Dell Still Fighting Icahn Offer as Math Gets Tight

At T-minus two days to voting, the Dell Inc. special committee wants to remind shareholders of all the ways Carl Icahn’s offer comes up short and that its $24.4 billion buyout offers the best value.

The Dell special committee sent a missive late Tuesday they can’t endorse Icahn’s latest proposal as superior. The special committee specifically pointed to Icahn’s financing agreement as being conditioned on the fact the board gets booted and criticized him again for not naming an executive.
