<p>For someone who is still mulling things over about what to do about his more than five percent investment in Yahoo, hedge fund investor and activist shareholder Daniel Loeb has been very busy lately getting his arsenal ready.</p>
<p>While deciding whether to mount a proxy fight &#8212; a potentially nasty public fight with the Silicon Valley Internet giant that sources said could start much earlier than the expected February 24 filing date to make a board challenge &#8212; he&#8217;s also had at least one phone meeting with new Yahoo CEO Scott Thompson in the last week to talk about the company&#8217;s future.</p>
<p>Sources said the talk was cordial, although the pair were not yet discussing any kind of rapprochement, which presumably could lead to board seats for Loeb.</p>
<p>But how far Loeb will go and how far Yahoo will give are the big open questions that are about to be answered.</p>
<p>The <a href="http://allthingsd.com/20120109/yahapocalypse-now-q4-results-proxy-fight-board-hijinks-and-asia-solution-combine-for-busy-month-for-yahoo/">earliest nominations for directors by outsiders</a> like Loeb can be submitted is February 24. He then has a month after that to propose a competing slate.</p>
<p><a href="http://allthingsd.com/20110908/activist-yahoo-shareholder-takes-aim-at-board/">Starting last fall when he started accumulating Yahoo shares</a>, Loeb had aggressively called for the ouster of Yahoo&#8217;s Chairman <a href="http://allthingsd.com/20110914/yahoo-for-sale-big-bidders-circling-including-marc-andreessen-as-board-pressure-mounts/">Roy Bostock</a> and director and then co-founder <a href="http://allthingsd.com/20111104/yahoos-activist-shareholder-loeb-now-targeting-jerry-yang/">Jerry Yang</a>. Yang <a href="http://allthingsd.com/20120117/jerry-yangs-decision-to-leave-yahoo-was-his-own-even-if-it-was-inevitable/">stepped away from Yahoo</a> earlier this month and Bostock <a href="http://allthingsd.com/20120207/exclusive-four-yahoo-board-members-to-depart-two-new-ones-arrive-and-three-more-on-the-way-like-i-said/">just announced his upcoming departure</a> this week.</p>
<p>Despite the renewed communication with Yahoo, Loeb is still acting like he might opt to fight &#8212; or at least freak out Yahoo enough to cooperate.</p>
<p>Among his recent activities, according to many sources:</p>
<p>* Attempting to assemble an alternate slight of directors  &#8212; including trying to persuade high-profile entrepreneurs such as David Goldberg and Max Levchin to join his board. Loeb <a href="http://allthingsd.com/20120109/come-west-daniel-loeb-a-silicon-valley-visit-as-as-yahoos-activist-shareholder-mulls-proxy-fight/">has been to Silicon Valley</a> several times to stir that pot.</p>
<p>* Meeting with a spate of powerful tech execs, here and elsewhere, in order to gain support for his battle and search for his own preferred leaders for Yahoo. A favorite is Hulu CEO Jason Kilar.</p>
<p>* Working on hiring a top outside crisis communications firm to handle the expected onslaught of media mudslinging that is sure to take place.</p>
<p>* Buttonholing large Yahoo investors to join him and getting, sources said, more support than expected from bigger ones. That&#8217;s no surprise: Capital Research Global Investors and Capital World Investors, Yahoo&#8217;s biggest institutional shareholders, voted against the company&#8217;s board in its last proxy battle and has been much disgruntled with the latest Yahoo stumbles.</p>
<p>* Recently reaching out to top Yahoo execs, including both Yahoo&#8217;s Chief Product Officer Blake Irving and Americas head Ross Levinsohn. Irving was so spooked by Loeb&#8217;s hello-there, several sources said, that he sent an email to Yahoo&#8217;s top staff about the contact attempt, noting he did not return the call (<em>teacher&#8217;s pet alert!</em>).</p>
<p>These are, of course, classic activist tactics by Loeb, aimed at getting the changes he wants made at Yahoo by applying real and perceived pressure.</p>
<p>Loeb had previously criticized the company&#8217;s talks with private equity investors, saying the prices being discussed were too low, which helped scuttle those talks.</p>
<p>Yahoo has also tried to gird itself too and to assuage other shareholders and the media, as it can hardly stand what a proxy fight will do to its already battered image. </p>
<p>Some recent moves to look like it is on the move, include: Loudly negotiating with its Asian partners for a big payday; making significant board changes; and hiring Thompson. Next up, as I previously reported, a <a href="http://allthingsd.com/20120123/lucky-13-after-more-than-a-dozen-failing-quarters-how-will-new-yahoo-ceo-roll-the-dice/">large-scale restructuring</a> and the inevitable <a href="http://allthingsd.com/20120119/as-weak-q4-earnings-loom-yahoo-freezes-hiring-and-also-contemplates-layoffs/">cost-saving layoffs</a>.</p>
<p>Who wins &#8212; and who blinks &#8212; in this Loeb versus Yahoo face-off, though, is still to be determined.</p>

<p>Google&#8217;s very first employee, Craig Silverstein, is leaving the company to join the high-profile online learning phenom, Khan Academy.</p>
<p>News of the departure first appeared yesterday in <a href="http://www.edsurge.com/assets/EdSurgeNewsletter052.html">a line in a newsletter</a> on education-tech entrepreneurship <a href="http://www.edsurge.com/">EdSurge</a>, and the search giant confirmed the departure to me. </p>
<p>[<strong>UPDATE:</strong> Here's a statement from a Google spokesperson -- and not CEO Larry Page (<em>classy and appreciative of others as ever!</em>, Larry!) -- on Silverstein's leaving: "Craig's been with Google since the early days. He was instrumental in the development of search and made numerous contributions to Google over the years. We wish him all the best at the Khan Academy and know that he will do great things to help them promote education around the world."]</p>
<p>Silverstein, who was actually Google&#8217;s No. 3 employee &#8212; that would be after its pair of founders, Page and Sergey Brin &#8212; has had a variety of technology jobs at the company over the years since it was founded in 1998.</p>
<p>But his first &#8212; helping them build the famed and lucrative search engine itself &#8212; was perhaps his most important. An experienced techie, Silverstein worked with Brin and Page on Google, from their dorm rooms as Ph.D. students at Stanford University, to their garage days, to the giant and diversified behemoth it is today, with tens of thousands of employees.</p>
<p>Currently, he has been working on a variety of projects, including mentoring engineers.</p>
<p>Having spent a some time with him over the years, I can tell you that he&#8217;s a lovely and adorkable guy, whose infectious enthusiasm and joy of tech has always embodied what I always refer to as &#8220;Good Google&#8221; (as opposed to, well, <em>you know</em>).</p>
<p>Silverstein will simply be a developer at Khan Academy&#8217;s Mountain View, Calif., offices, but I have emails for more details in to all parties.</p>
<p>Speaking of party &#8212; IMHO, Larry and Sergey should throw him a really nice one. Really <em>nice</em> &#8212; it&#8217;s well-deserved. </p>

<p>GigaOM finally fessed up and said that it had bought tech and media news site paidContent, as <strong>AllThingsD.com</strong> media ninja Peter Kafka had <a href="http://allthingsd.com/20120206/is-gigaom-buying-paidcontent/">reported earlier this week</a> it would.</p>
<p>The price is reportedly low, according to sources, but we&#8217;ll find out for you, since neither GigaOM nor the former paidContent owner, Britain&#8217;s Guardian News &#038; Media, is talking. As part of the deal, though, the Guardian has gotten some sort of stake in GigaOM, and someone there is joining its board as an observer.</p>
<p>PaidContent founder Rafat Ali left his company a couple years after selling to the Guardian in 2008. The Guardian put it up for sale in the fall.</p>
<p>Malik has sold off chunks of his own business &#8212; one of the pioneering tech and media news blogs &#8212; to venture capitalists such as True Ventures (where he is now a venture partner) and Reed Elsevier Ventures, who have invested a total of $15 million.</p>

<p>Here is Om Malik&#8217;s <a href="http://gigaom.com/2012/02/08/why-we-are-buying-paidcontent/">blog post</a> on the subject, which goes into all (or almost all) the deets:</p>
<blockquote class="memo"><p>First the news: Yes, the rumors are true. We are indeed buying the assets of ContentNext Media from Guardian News &#038; Media Limited. And no, we are not disclosing the terms of the deal, except that we are buying the entire group of properties &#8212; paidContent.org, mocoNews.net, contentSutra and paidContent:UK and that a representative of Guardian News &#038; Media will join our board of directors as an observer.</p>
<p>A few weeks ago when Paul Walborsky, CEO of GigaOM, came to the board and suggested that we should try and acquire paidContent, my fellow board members &#8212; Jon Callaghan (True Ventures), Ammar Hanafi (Alloy Ventures) and Kevin Brown (Reed Elsevier Ventures) &#8212; didn&#8217;t hesitate for a minute. The ethos of paidContent and our company are in sync. GigaOM&#8217;s core belief is that as connectivity becomes ubiquitous, it changes everything from society to business to we the people. paidContent from the very beginning has been built on the idea that connectedness is and will change media. It makes perfect sense for us to team up. Since then, Paul and his team worked tirelessly to make it happen.</p>
<p><strong>OK, now you know what. Let me tell you why.</strong></p>
<p>Now, why are we doing this deal, clearly the biggest of our five-and-a-half-year history? Two simple but equally powerful reasons &#8212; the first and perhaps most important reason: people. I have been an admirer of paidContent&#8217;s editorial team from the very beginning of its journey. Rafat Ali and Staci Kramer were two of my favorite writers in the early days of professional blogging. And while Rafat (who is on our board of advisers) has moved on to new things, I am glad to have Staci join us. She has been instrumental in building ContentNext from the ground up, and in addition to writing, she has been building the company&#8217;s event business. I am thrilled to announce that she will remain the editor of paidContent.</p>

<p><strong>Location, location, location</strong></p>
<p>These fine folks are actually going to help bolster our presence in New York and help increase our footprint in Europe, a region of key strategic focus for GigaOM. (We will be hosting Structure:Europe in Amsterdam, October 16-17.) With this deal, we are really pleased that one of the most forward-looking media outlets around, Guardian News &#038; Media, will become a shareholder in our business.</p>
<p>As you all know, I am (and will always be) a displaced New Yorker; New York City is my spiritual home. By increasing our footprint in the capital of the world, I would get a chance to go back more often. But it&#8217;s not an emotional tug that is driving us to this decision. New York is fast becoming a major technology hub, as Ryan Kim outlined in his recent post. And we want to expand our coverage to Boston &#8212; thanks to Barb Darrow who joined us several months ago &#8212; and the Washington DC corridor as well. paidContent&#8217;s New York City offices are now GigaOM East.</p>
<p><strong>Media is the new Wild West</strong></p>
<p>We are quite strategic about our acquisitions &#8212; we acquire media entities only if we love the people and believe that we are at the starting phase of a trend. In 2008, we acquired jkOnTheRun as our tip of the hat to the growing demand for mobile devices and the changes it would bring into society. Later that year, we brought in The Apple Blog because we knew the best was yet to come for Apple. Both of those acquisitions have helped GigaOM cover the issues that matter most to our ultimate customers &#8212; you, the reader &#8212; in a smart, sensible fashion.</p>
<p>&#8220;The question that mass amateurization poses to traditional media is &#8216;What happens when the costs of reproduction and distribution go away? What happens when there is nothing unique about publishing anymore because users can do it for themselves?&#8221; We are now starting to see that question being answered.&#8221; &#8212; Clay Shirky</p>
<p>Shirky&#8217;s observation means that we are in a time of chaos where the very idea of media is being questioned. And as a Chinese proverb says, from chaos emerges opportunity. I believe the best is yet to come for media.</p>
<p>Over the past few years we have started to see the transformation of media by new technologies, new methods of distribution and newer ways to consume information. Mathew Ingram has been writing about these disruptions on a regular basis, and now we are going to double down on what we think is a great new chapter in the media industry.</p>
<p>I have always believed that we&#8217;ve got to stop thinking of media as what it was and focus on more of what it could be. In the world of plenty, the only currency is attention and attention is what defines &#8220;media.&#8221; Zynga is fighting Hollywood for attention (and winning). Instagram is taking moments away from other media. They have attention. There are old companies that are dying and new ones that are being invented. We&#8217;re eager to expand our coverage of social and digital media editorially, in our research and at our events. paidContent is the best chronicler of the media industry, and by blending their coverage with ours, we hope to watch this fast-changing industry ever more closely.</p>

<p>In one of the odder things to happen in my journalism career, I was forwarded a flash analyst report by Wall Street&#8217;s Macquarie Capital on the news that <strong>AllThingsD.com</strong> broke yesterday (and foreshadowed before) about the <a href="http://allthingsd.com/20120207/exclusive-four-yahoo-board-members-to-depart-two-new-ones-arrive-and-three-more-on-the-way-like-i-said/">shakeup of Yahoo&#8217;s board</a>.</p>
<p>I cover the Silicon Valley Internet giant closely, obviously, and have had a lot of scoops on its machinations over the years. This was simply the latest, and turned out to be on on target (<em>Phew!</em>).</p>
<p>While that is presumably my job as a reporter, it was apparently of &#8220;concern&#8221; to Macquarie&#8217;s analyst.</p>
<p>Said the report: </p>
<blockquote class="memo"><p>One final note: it continues to concern us that one particular journalist, Kara Swisher, frequently seems to be privy to such precise information regarding YHOO. On January 9, almost a month prior to the actual release from the company, Kara wrote, &#8220;While some departures seem most obvious &#8212; longtime board members Vyomesh Joshi, Arthur Kern and Gary Wilson &#8212; the really interesting part will be the possible exit of Chairman Roy Bostock.&#8221; Yesterday she wrote, &#8220;expect a change in the Yahoo board composition, too, as early as this week.&#8221;  And today at 3:38pm EST, she posted a story that &#8220;Yahoo will announce the impending departure of four of its longtime board members, including chairman Roy Bostock. The others headed out the door are Hewlett-Packard exec Vyomesh Joshi, Gary Wilson and Arthur Kern.&#8221; While we give much credit to Kara for her ability to obtain this information, we believe it reflects very poorly on YHOO&#8217;s ability to maneuver effectively outside the public spotlight.</p></blockquote>
<p>While I appreciate the fist-bump, it&#8217;s unclear why it&#8217;s concerning for shareholders &#8212; whom these reports are created for &#8212; to know this information before Yahoo deigned to release the news or spoonfeeds any other information at investor events. After all, fair, complete and accurate information from anywhere in the tech news media could help them make better investment decisions.</p>
<p>And Yahoo also always operates in the public spotlight, even when it is outside it, as does every tech company. That&#8217;s especially true these days, in the vastly changed media environment, in which news moves faster and with more immediate impact. </p>
<p>In fact, I&#8217;m concerned that worrywart Wall Street doesn&#8217;t grok this &#8212; but I&#8217;m definitely not surprised, either.</p>

<p>Earlier today, I <a href="http://allthingsd.com/20120207/exclusive-four-yahoo-board-members-to-depart-two-new-ones-arrive-and-three-more-on-the-way-like-i-said/">had reported that Yahoo Chairman Roy Bostock was stepping down</a>. </p>
<p>He is, and the full letter he just released saying so is below.</p>
<p>Bostock did not say in the missive who will be Yahoo chairman in his place. Intuit CEO Brad Smith has a full-time job, and the newly installed Weather Channel CEO David Kenny does, too. Among the current directors, that would leave Sue James, Patti Hart and newly installed Yahoo CEO Scott Thompson &#8212; or one of Yahoo&#8217;s new board members.</p>
<p>In the letter, Bostock outlined the departures of four board members and the addition of five more directors (two of which were just named); did a little back-patting of his recent efforts to turn Yahoo around (after presiding over the board that got the Silicon Valley Internet giant into this mess); noted that the Asian talks to sell Yahoo&#8217;s stakes there are proceeding (it&#8217;s coming!); gave Thompson a thumbs-up (go, Scott!); and delivered kudos to Jerry Yang, the co-founder who left only weeks ago.</p>
<p>&#8220;Working with Jerry was always a delight,&#8221; wrote Bostock.</p>
<p>(Me, not so much, I would guess! <em>Bygones?</em>)</p>
<p>All kidding aside, Bostock has been the subject of a lot of criticism about Yahoo&#8217;s troubles, both deserved and undeserved, most especially for the non-sale to Microsoft several years ago. Many, including activist shareholder Daniel Loeb most recently, have called for his resignation.</p>
<p>It has not been an easy job, to be sure, so it must be a bit of a relief for the longtime advertising exec, who serves on other prominent boards, to finally pull away from the Yahoo black hole.</p>
<p>So, who&#8217;s next?</p>
<p>One interesting line in the letter, which everyone already knew, was that none of the various bids from outside investors have passed muster.</p>
<p>Wrote Bostock: &#8220;We have engaged with potential investors and reviewed proposals concerning an equity investment in the Company, although at this time there have not been any proposals which have been deemed by the Committee to be attractive to our shareholders.&#8221;</p>

<p>SUNNYVALE, Calif., February 7, 2012 &#8211;</strong> Yahoo! Inc (NASDAQ: YHOO), the premier digital media company, today released the following shareholder update from its Chairman Roy Bostock.<br />
February 7, 2012</p>
<p>Dear Fellow Shareholders:</p>
<p>I write today to update you on the actions the Yahoo! board has taken, and the actions it is pursuing, to increase shareholder value and position the Company for growth.  These actions result from a process I initiated about six months ago in a special meeting of the independent directors in which we analyzed the reasons why Yahoo! was not meeting either our own expectations or those of our shareholders.</p>
<p>The board decided then to move aggressively on three fronts to position Yahoo! for future success: one, we initiated a search for a new Chief Executive Officer with a vision and set of skills to lead Yahoo! into the future; two, we undertook a comprehensive strategic and structural review of the business; and three, we decided to assess the composition of the Company&#8217;s board of directors relative to its ability to enhance the prospects for Yahoo!&#8217;s future success. We have made progress on all three fronts.</p>
<p>First, and most importantly, we have appointed Scott Thompson as CEO to lead our company. Scott is a capable and dynamic leader who brings the experience and expertise the Company needs to achieve robust growth and success in the marketplace. Over the coming months and years, Scott will lead an outstanding team of Yahoos to deliver engaging user experiences driven by innovative products.</p>
<p>Second, we have made significant progress on the comprehensive strategic review which is overseen by the board&#8217;s Transactions and Strategic Planning Committee, chaired by director Brad Smith, the CEO of Intuit. The Committee&#8217;s guiding principle has been to assess alternatives which would increase value for all Yahoo! shareholders, and the Committee has been open to any transaction or initiative that would serve this objective.</p>
<p>As part of this review, we have pursued a wide range of discussions with potential partners. We have engaged with potential investors and reviewed proposals concerning an equity investment in the Company, although at this time there have not been any proposals which have been deemed by the Committee to be attractive to our shareholders. We are also in active discussions with our partners in Asia regarding the possibility of restructuring our holdings in Alibaba Group and Yahoo! Japan. The complexity and unique nature of these transactions is significant. While we continue to devote significant resources to these discussions, we are not in a position at this time to provide further detail or to provide assurance that any transaction will be achieved.</p>
<p>Finally, the board has concluded that in order to accelerate the Company’s transformation, the combination of a new Chief Executive Officer with an enhanced team of independent directors would provide Yahoo! with the expertise and perspectives necessary to drive innovation and growth going forward. Therefore, Mr. Joshi, Mr. Kern, Mr. Wilson and I have volunteered not to stand for re-election at the next shareholders’ meeting. </p>
<p>Furthermore, the board today elected two highly qualified independent directors, Alfred Amoroso and Maynard Webb, Jr. Mr. Amoroso served as President and CEO of Rovi Corporation until December 2011 and, among other positions, had previously served as the President, CEO and Vice Chairman of META Group, Inc., the President and CEO of CrossWorlds Software, Inc. and as a member of the world-wide management committee of IBM Corporation. Mr. Webb, the Chairman of LiveOps, Inc., served as that company&#8217;s CEO until July 2011.  Prior to that, Mr. Webb was Chief Operating Officer of eBay and Senior Vice President and Chief Information Officer for Gateway, Inc., in addition to management, leadership and board positions at several other companies spanning his 30-year career.</p>
<p>The board continues its search for additional independent directors. This search is being led by director Patti Hart, CEO of International Game Technology, Inc., who chairs our Nominating and Corporate Governance Committee. We anticipate announcing additional directors to round out the board as soon as this process concludes.</p>
<p>Separately, as previously announced, Jerry Yang has resigned from the board of directors and other positions within the Company to pursue his many interests outside of Yahoo!. Working with Jerry was always a delight.  He is a visionary and a pioneer who contributed enormously to Yahoo! since he co-founded the Company in 1995. He will be missed. The board thanks him deeply for his service and commitment to the Company.</p>
<p>Thus, following this year&#8217;s Annual Meeting a majority of Yahoo!&#8217;s directors will be new to the board this year, and all directors will have joined the board since 2010. We believe that this reconfigured board, with a fresh set of perspectives and diverse set of skills, will enable the Company to move forward even more aggressively.</p>
<p>It has always been a privilege for me to serve as Chairman of Yahoo!. The employees of Yahoo! remain the heart, soul, and future of the company. And with Scott Thompson leading them, they are the reason why I believe Yahoo! will create significant shareholder value over the coming years.</p>
<p>In September, this board moved proactively and decisively to improve the performance of the Company for the benefit of its shareholders. These actions could not have been accomplished without the support and active participation of each director on the board. For that, I thank them. And I thank them for the knowledge, expertise, talents and commitment they have brought to Yahoo!. We all take pride in the fact that we are positioning Yahoo! for success in the future. Yahoo! is an incredibly strong brand with formidable assets. <p>According to sources close to the situation, Yahoo will announce the impending departure of four of its longtime board members, including chairman Roy Bostock.</p>

<p>I had <a href="http://allthingsd.com/20120117/sources-four-more-board-members-will-be-following-yang-out-the-door/">reported</a> in several <a href="http://allthingsd.com/20120109/yahapocalypse-now-q4-results-proxy-fight-board-hijinks-and-asia-solution-combine-for-busy-month-for-yahoo/">previous posts</a> that this exact group of directors was leaving, and noted in <a href="http://allthingsd.com/20120206/yahoo-starts-making-wish-list-as-asian-deal-huffs-to-finish-line-and-board-changes-readied/">one yesterday</a> that it was about to happen, and that new board members were also on the way.</p>
<p>And, presto, it is so!</p>

<p>Rovi does digital entertainment technology, while LiveOps offers cloud-based enterprise solutions.</p>
<p>The Silicon Valley Internet giant will also be adding three more board members, said sources, but those people are not confirmed as yet.</p>
<p>And it is not clear who will be chairman of Yahoo&#8217;s board, either. Intuit CEO Brad Smith has a full-time job, and the newly installed Weather Channel CEO David Kenny does, too.</p>
<p>Sources said the news is coming after the markets close, with other updates, including: The news-free status of its ongoing <em>strategery</em> (the Asian deal is coming along &#8212; <em>blah, blah, blah</em> &#8212; but you read that here yesterday in much more detail); ladling praise on new CEO Scott Thompson (also formerly of eBay); and giving props to co-founder Jerry Yang, who stepped away from the board and from the company several weeks ago.</p>
<p>The moves by Yahoo are designed to thwart a possible proxy fight that might be coming from activist shareholder Daniel Loeb, who has been working on a board slate of his own.</p>
<p>It&#8217;s been hard for him, and also for Yahoo, to attract significant names to the board. The two new additions are solid tech execs, although certainly not high-profile appointments.</p>
<p>Yahoo declined to comment.</p>

<p>Because I am an obessive-compulsive and Facebook is my new target of stalkery, I have re-read its IPO filing from earlier this week about nine times so far.</p>
<p>It&#8217;s chock full of interesting little bits of tasty info about the Silicon Valley social networking giant that I plan to shine a little more light on this week.</p>
<p>First up is not exactly a news flash: Besides graphic artists, VCs also clean up in the public offering docs.</p>
<p>But I am not talking about the variety of venture firms with their fingers in Facebook, which run the gamut from Accel Partners to DST Global and more. </p>
<p>I am talking about individual wins for venture capitalists, most especially Accel&#8217;s Jim Breyer and Marc Andreessen of Andreessen Horowitz. </p>
<p>According to the filing, while Accel holds almost 190 million shares, Breyer himself holds 11.7 million shares personally in the &#8220;James W. Breyer 2005 Trust dated March 25, 2005.&#8221;</p>

<p>Depending on what Facebook&#8217;s valuation turns out to be, based on current estimates, that hovers around $300 million. One caveat, according to the filing, is that 10.4 million of those shares &#8212; which are currently Class B stock and will be converted to Class A stock &#8212; are &#8220;subject to a voting agreement in favor of Mr. Zuckerberg.&#8221; That would be CEO and co-founder Mark Zuckerberg, who controls the company via such arrangements.</p>
<p>Not so the shares of super-VC Marc Andreessen, whose firm holds 3.6 million shares. But he himself has 5.2 million restricted stock units, presumably for board service and other advisory duties to Facebook. That&#8217;s a possible $125 million or more windfall.</p>
<p>Other board members have also gotten RSUs, but not in that large an amount. Washington Post head Don Graham holds one million of them, while Washington, D.C. political vet Erskine Bowles and Netflix&#8217;s Reed Hastings each clock in at only 20,000 each.</p>
<p>That&#8217;s a big delta, of course, which means it&#8217;s good times for VCs in Silicon Valley, both professionally and personally. </p>

<p>Let&#8217;s be clear on the much-awaited Asian deal that Yahoo and its Asian partners have been working on: While it is certainly still moving forward, once signed, it will not actually officially close until next year.</p>
<p>Yes, that&#8217;s right &#8212; <em>2013</em>!</p>
<p>Still, what everyone and his investor is waiting for is the splashy announcement of the agreement, which involves the Silicon Valley Internet giant, China&#8217;s Alibaba Group and SoftBank, a large shareholder in Yahoo Japan.</p>
<p>Yahoo leadership has been hoping that could happen before Feb. 24, an <a href="http://allthingsd.com/20120109/come-west-daniel-loeb-a-silicon-valley-visit-as-as-yahoos-activist-shareholder-mulls-proxy-fight/">important date after which activist shareholder Daniel Loeb</a> could begin to mount a proxy fight against the current board.</p>
<p>And while the definitive agreement &#8212; involving the sale of Yahoo&#8217;s 33 percent stake in Alibaba and 35 percent stake in Yahoo Japan &#8212; has been moving back and forth among the dealmakers, one source said its completion might take a little longer than that, perhaps even into mid-March.</p>
<p>&#8220;It is one of the most complicated cross-border transactions in a long time,&#8221; said one person close to the situation. &#8220;It&#8217;s three different languages, three time zones and three companies that have not always seen eye to eye.&#8221;</p>
<p>It&#8217;s not that the companies don&#8217;t have the top talent on the effort. For Yahoo, it is CFO Tim Morse (who most recently also warmed the CEO seat, until Scott Thompson&#8217;s recent appointment); for Alibaba, it&#8217;s CEO Jack Ma and CFO Joe Tsai; and, for SoftBank, it is top man Masa Son and his top man Ron Fisher.</p>
<p>To make things even more complex, at the same time as the negotiating is going on, the trio also has to pay mind to how the Internal Revenue Service in the U.S. is going to view the whole deal. </p>
<p><a href="http://allthingsd.com/20120206/yahoo-starts-making-wish-list-as-asian-deal-huffs-to-finish-line-and-board-changes-readied/mk-br479a_cashr_d_20120105182116-2/" rel="attachment wp-att-171215"><img src="http://allthingsd.com/files/2012/02/MK-BR479A_CASHR_D_20120105182116.png" alt="" title="MK-BR479A_CASHR_D_20120105182116" width="262" height="396" class="alignleft size-full wp-image-171215" /></a></p>
<p>As you can see here from a <a href="http://online.wsj.com/article/SB10001424052970204331304577143121744990212.html">Wall Street Journal chart</a>, it&#8217;s a pretty complicated &#8220;cash-rich split-off&#8221; to avoid taxes.</p>
<p>While the IRS cannot take an application for a <a href="http://en.wikipedia.org/wiki/Private_letter_ruling">&#8220;private letter ruling&#8221;</a> until it has an actual agreement in hand, and will not issue one on a hypothetical transaction, the agreement still must be crafted so it is most likely to pass muster.</p>
<p>And only then can anyone move on to the many billions of dollars that Yahoo will instruct Alibaba and SoftBank to pay or contribute in kind for the asset part of the arrangement.</p>
<p>As the Journal noted, in more clarity than I ever could: &#8220;A key part of satisfying tax-code requirements is that the company shedding its shares get assets, not just cash, in exchange for them. Cash can&#8217;t account for more than two-thirds of the transferred value, tax rules say. This restriction was adopted in 2005 to limit misuse of the provision.&#8221;</p>
<p>While Yahoo&#8217;s execs have met about the various possibilities, it is more considering now than anything else.</p>
<p>And although a lot of names have been bandied about &#8212; Weather Channel, WebMD, as well as Glam Media and even Digg &#8212; the more likely direction Yahoo will go in will be different, according to many sources.</p>
<p>First, said sources, the key criteria for the purchase will be to diversify revenue streams, a theme Thompson sounded in his <a href="http://allthingsd.com/20120124/so-new-yahoo-ceo-scott-thompson-how-bad-is-it/">first earnings report</a> recently. That could mean more online commerce, perhaps, rather than advertising or media assets.</p>
<p>Second, said sources, international properties might be more valuable to Yahoo than owning more U.S.-based ones, which opens up a range of interesting possibilities.</p>
<p>This could even include some already held by Alibaba, for example, such as garnering a big stake in its publicly-traded Alibaba.com. Technically, via Alibaba, Yahoo already owns some of the e-commerce giant, but not directly. Another possibility is to get back the Yahoo China business, also now owned by Alibaba. </p>
<p>Third, U.S. companies that Yahoo might look at could be unusual and even bold. Two names brought up in recent internal meetings, for example, were Netflix (before its stock revived) and Yelp (which is prepping for an IPO, and which Yahoo once tried to buy already).</p>
<p>And if things were not already needlessly complex in fixing its Asia problem, expect a change in the Yahoo board composition, too, as early as this week. </p>
<p>As I previously reported, at least <a href="http://allthingsd.com/20120117/sources-four-more-board-members-will-be-following-yang-out-the-door/">four directors are expected to move on</a>. More to the point, there will also be replacements announced at the same time.</p>
<p>To stave off Loeb and even give him a perceptible win, sources said the company is considering announcing the changes sooner than later, with the hope that fresh new members will placate other shareholders.</p>
<p>Lastly, with Thompson starting to take the reins after a month there, I would also expect he&#8217;ll weigh in on some significant restructuring (his word, not mine!) at Yahoo soon enough, too.</p>
<p>Complicated? Sure is! Perplexing even? And how! But until Asian and board resolutions, the real work of fixing Yahoo can&#8217;t really begin.</p>

<p>Persistence &#8212; even if it is the whiny, likely undeserved, lunkheaded legal version of it &#8212; certainly pays off.</p>
<p>But you have to marvel at the bizarre karma going on, given that my favorite matching pair of digital ottomans, Cameron and Tyler Winklevoss, are poised to collect up to $300 million from the shares they got in a settlement with Facebook and its CEO and co-founder Mark Zuckerberg over the founding of the social networking giant.</p>
<p>That&#8217;s right, folks, the rich do get richer, especially if they pursue their case well past the point of shame.</p>
<p>It&#8217;s not clear how many of the 1.2 million shares the Winklevii still have from the settlement they got in 2008, since they wrangled with their own lawyers over it, and the stock has also split.</p>
<p>But let&#8217;s assume the Olympic rowers kept a chunk, which will be worth a lot of gold-plated oars if Facebook reaches the upward of $80 billion valuation it is expected to in its upcoming initial public offering.</p>
<p>Facebook filed its long-expected IPO earlier this week.</p>

<p>He sent it to his twin brother, Tyler, and also to Divya Narendra, their other partner in the ill-fated ConnectU service. </p>
<p>Without going into all the well-gone-over deets (go see the Aaron Sorkin-penned movie and believe about 26 percent of it), ConnectU was the Harvard University dating site that Zuckerberg allegedly submarined in order to start Facebook.</p>
<p>Well, presumably water under bridge &#8212; unless you are talking about the perpetually disgruntled Winklevii.</p>
<p>At the time they <a href="http://allthingsd.com/20110624/the-winklevii-didnt-actually-give-up-they-just-switched-to-another-lawsuit/">finally dropped their seven-year fraud lawsuit</a> this past summer, they then reopened to a different one then pending.</p>

<p>We&#8217;ve been fortunate to host Facebook CEO and co-founder Mark Zuckerberg twice on the stage of the <strong>D: All Things Digital</strong> conference, including one appearance with COO Sheryl Sandberg.</p>
<p>With the blockbuster IPO filing of the social networking giant yesterday &#8212; and the ensuing quiet period &#8212; both interviews are now most definitely an interesting look-see at the pair who are leading the company. </p>
<p>After Facebook goes public in late May, investors will presumably get more interaction with them both, as well as deeper insight into what makes the company tick. </p>
<p>Until then, here are the videos from the full interviews from <a href="http://allthingsd.com/20100610/full-d8-video-facebook-ceo-mark-zuckerberg/">2010&#8242;s <strong>D8</strong></a> and <a href="http://allthingsd.com/20080528/zuckerberg_sandberg/">2008&#8242;s <strong>D6</strong></a> (unfortunately, for goofy reasons back then, we had to cut these up into four parts).</p>
<p>The interviews cover a wide range of topics, including the then-distant IPO. </p>

			<content:encoded><![CDATA[<p>For most of the eight years since he has been running Facebook, co-founder and CEO Mark Zuckerberg has essentially dragged his feet on the way to the inevitable initial public offering of the social networking giant.</p>
<p>Here&#8217;s proof of that in a pair of interviews Lesley Stahl of CBS&#8217;s &#8220;60 Minutes&#8221; did with him in 2008 and 2010. (I am in the clip, too, and my guessing on the timing of the current IPO pretty is spot-on &#8212; a prediction I had forgotten I made).</p>

<p>Apparently, Facebook has a lot of friends.</p>
<p>Clickety-clicking ones, whose massive interest in the just-filed IPO of the Silicon Valley social networking giant seems to have temporarily crashed the Securities and Exchange Commission&#8217;s EDGAR Web site, where anyone can access regulatory documents on companies.</p>
<p>We&#8217;re calling the SEC for comment right now, but the site is still hanging, and sources said the reason is the Facebook initial public offering filing. </p>
<p><strong>Update:</strong> It&#8217;s back up! Though slow. Still, <em>go government</em>!</p>
<p><strong>Another Update:</strong> The SEC got back to us and in response to the question of whether this was related to a Facebook surge, spokesman John Nester said, &#8220;Greatly increased traffic that began shortly before 5 pm slowed the public website. We are bringing on additional capacity to handle the load.”</p>

<p>Here are the major stats on Facebook&#8217;s IPO, which it just filed: 845 million monthly users and 483 million daily users; annual revenue of $3.7 billion; $1.8 billion in annual operating income and $1 billion net income. </p>
<p>And the raise in the initial public offering for now? It&#8217;s $5 billion. That could go up, of course; as yet, there is no valuation listed in the S-1 filing with the Securities and Exchange Commission for the social networking giant.</p>
<p>Let&#8217;s just say, it will be a lot.</p>
<p>And here are some <em>uh-oh</em> stats: </p>
<p>A full 12 percent of Facebook&#8217;s revenue in 2011 was linked to its relationship with online gaming giant Zynga. </p>
<p>And overall growth is slowing too.</p>
<p>Said Facebook&#8217;s filing: </p>
<p>&#8220;We believe that our rates of user and revenue growth will decline over time. For example, our annual revenue grew 154% from 2009 to 2010 and 88% from 2010 to 2011. Historically, our user growth has been a primary driver of growth in our revenue. Our user growth and revenue growth rates will inevitably slow as we achieve higher market penetration rates, as our revenue increases to higher levels, and as we experience increased competition.&#8221;</p>
<p>That is still <em>en fuego</em>, but will be noted by many.</p>
<p>In case you were visiting the outer rings of Jupiter and did not hear, you might want to know that Facebook filed for an initial public offering today. It is perhaps the most eagerly anticipated of financial events in Silicon Valley in many years.</p>
<p>The massive social networking site &#8212; which was launched in an undergraduate dorm room at Harvard University on the first Wednesday in February 2004, exactly eight years ago &#8212; is now a global phenomenon.</p>
<p>Its rocket ride to the top of the Internet and in Silicon Valley has been largely due to the aggressive innovation of one very unusual founder, CEO and co-founder Mark Zuckerberg.</p>
<p>Assembling an experienced team and pushing through a series of sometimes controversial products to link friends together online, the young entrepreneur has built a service that now is challenging even search giant Google.</p>
<p>Zuckerberg has been slow to take the company public, although the move was inevitable. </p>
<p>And now, of course, it is here.</p>

<p>Sony <a href="http://allthingsd.com/20120201/sony-promotes-hirai-to-president/">said today</a> that it had promoted the long-expected heir apparent, Kazuo Hirai, to take over as president and CEO of the consumer electronics giant.</p>
<p>The exec has most recently been leading Sony&#8217;s CE and video game units, which he talked about on stage at <a href="http://allthingsd.com/category/asiad/">the <strong>AsiaD</strong> conference</a> last fall.</p>

<p>Like political junkies waiting up for election returns (losers!), Silicon Valley folks, including tech journalists (losers!), are up this morning to await and then pounce on the long-expected IPO filing of Facebook.</p>
<p>But, several sources said, the social networking giant &#8212; as I have <a href="http://allthingsd.com/20120201/dude-wheres-my-facebook-ipo-filing-ashtons-on-hold/">previously reported</a> &#8212; will likely not file its copious documents until this afternoon, after the markets close, at the earliest.</p>
<p>In other words, my day is shot. Thanks, <a href="http://allthingsd.com/20120131/the-quiet-man-meet-the-real-face-of-the-facebook-ipo-cfo-david-ebersman/">Dave Ebersman</a>!</p>
<p>Sources said the filing could even possibly slip a day, as the company&#8217;s suits get busy with dotting all the I&#8217;s and crossing the T&#8217;s.</p>
<p>That&#8217;s unlikely, though &#8212; Facebook was actually founded the first Wednesday in February of 2004, like today eight years later. </p>
<p>Sentiment from the not-very-sentimental co-founder and CEO Mark Zuckerberg? <em>Awwwwwwww &#8230;</em></p>
<p>And, if those dudes rush, we might even see all the deets of the Silicon Valley darling&#8217;s finances and other info &#8212; including who&#8217;s got what shares and who doesn&#8217;t &#8212; earlier today. But don&#8217;t count on it.</p>
<p>That&#8217;s right &#8212; Facebook is sucking up even more of your precious time, and it is not even fun like beating your mother at Words With Friends or creepily poking old flames.</p>
<p>Facebook, Web 2.0&#8242;s most successful start-up, is expected to raise many billions of dollars on a valuation of tens of millions times that. </p>
<p>In other words, <em>blah, blah, blah</em> until we get the real numbers &#8230; </p>

<p>Okay, okay, we get it: Morgan Stanley got the coveted left-hand lead position on Facebook&#8217;s blockbuster IPO filing. Goldman Sachs is there, too, but in the third-place, always-a-bridesmaid spo,t and is crying big salty tears about the injustice of it all.</p>
<p>It&#8217;s hard to feel badly for overpaid investment bankers, and focusing on them is kind of like endlessly discussing the lawyers who processed your mortgage, when the focus should be on the house you&#8217;re buying.</p>
<p>Does anyone except a few Richie Rich ZIP Codes in Manhattan care about this one deet of the initial public offering of the social networking giant? </p>
<p>Nope, but there is so little real news ahead of the IPO filing expected today that this is what we are chomping on this morning, as everyone awaits the big doc drop at the Securities and Exchange Commission.</p>
<p>Sources said it is <a href="http://allthingsd.com/20120201/go-the-fk-back-to-sleep-silicon-valley-facebook-ipo-likely-to-file-later-today-at-earliest/">likely to come this afternoon</a> rather than this morning, though. And, perish the thought, all that dotting of I&#8217;s and crossing of T&#8217;s could delay it to tomorrow, even (unlikely, but mebbe!).</p>
<p><em>Sigh.</em></p>
<p>Tidbit: Facebook was actually founded the first Wednesday in February of 2004 in an undergraduate dorm room at Harvard University, like today but eight years later. </p>
<p>Thus, here&#8217;s a boring Facebook history timeline chart to look at:</p>

<p>What up? The <a href="http://allthingsd.com/20120131/facebook-board-meeting-today-for-final-ipo-okays/">board met</a>, the spinmeisters are at the ready and, most of all, Silicon Valley is stoked to make some more arrogant badillionaires. </p>
<p>Now, hopefully, we&#8217;ll get the real news about Facebook.</p>
<p>Namely, who&#8217;s getting the big dough in this much-anticipated Web 2.0 gambit? Co-founder and CEO and Hoodie Commander Mark Zuckerberg <em>fer sure</em>, but who else?</p>
<p>Plus all the juicy financials from Facebook, along with stats in usage, growth and just how much the company sticks it to its gaming serf &#8212; <em>oops</em>, partner &#8212; Zynga and others for the privilege of being on its all-powerful platform.</p>
<p>Me? I pay nada, like other Facebook users, for being able to show off pictures of my vacations and decline friendships from PR people I like, but still &#8230; well, you know.</p>

<blockquote class="memo"><p><strong>4:45 am PT:</strong> Done with <a href="http://allthingsd.com/20120201/aol-beats-low-expectations-increasing-ad-revenue-and-slowing-total-decline-in-q4/">AOL Q4 earnings</a>, which were <em>meh</em>, but better meh than expected. AOL, if you recall, used to be Facebook and now is, um, not. </p>
<p>Note to Zuckerberg: Be nice to people on your way up, since you&#8217;ll meet them again on the way down.</p>
<p><strong>4:46 am PT:</strong> I check the SEC site and get zip. Click, click, clickety-click over to find out the latest on Demi Moore and her fake-pot debacle.</p>
<p>Who knew there was <a href="http://en.wikipedia.org/wiki/Synthetic_cannabis">synthetic cannabis</a> and it is called K2 or Spice? Not me! According to Wikipedia: &#8220;It seems likely that synthetic cannabis can precipitate psychosis and in some cases it is prolonged.&#8221;</p>
<p>I decide to blame Ashton Kutcher and then wonder if he is an investor in Facebook via BFF-to-errant-celebrities-who-like-tech Ron Conway, also a Facebook investor.</p>
<p>Note to self: <em>Call Ashton!</em> That dude plays village idiots all the time, but I am not fooled by Mr. Pretty Face.</p>
<p><strong>4:47 am PT:</strong> I consider email bombing Yahoo&#8217;s Jerry Yang, who is <a href="http://allthingsd.com/20120119/jerry-yangs-short-goodbye-the-official-letter/">probably not so busy right now</a>, and asking him what he thinks about the Demi Moore crisis and also Facebook&#8217;s IPO.  </p>
<p>Remember when Yahoo was king of Silicon Valley and Yang posed in that purple VW on the cover of that magazine? Better still, remember when Yahoo was going to buy Facebook for just over $1 billion and then borked it?</p>
<p>Just sayin&#8217;, Mark &#8212; so, <em>keep it reals</em>!</p>
<p><strong>4:48 am PT:</strong> I consider going out for doughnuts &#8212; and not because of any real weed need. I just would like me some glazed and sprinkled sugar treats right about now. Then, I could post the pictures of them on my Facebook page.</p>
<p>Sweet.</p>

<p>AOL <a href="http://ir.aol.com/phoenix.zhtml?c=147895&#038;p=irol-newsArticle&#038;ID=1655049&#038;highlight=">said it earned</a> 23 cents a share for the fourth quarter on revenue of $576.8 million, compared to 60 cents per share on $596 million in the same quarter a year ago.</p>
<p>Wall Street analysts had expected the New York-based Internet company to earn 16 to 17 cents on revenue of $572 million.</p>
<p>While the results are still down significantly from a year ago, AOL&#8217;s stock has been rising &#8212; gaining more than 25 percent in the quarter &#8212; since CEO Tim Armstrong has improved advertising revenue.</p>
<p>That was up 10 percent in the quarter, the third consecutive quarterly increase.</p>
<p>Subscription revenue from its access business continued to fall &#8212; down 18 percent &#8212; although that was the lowest rate of decline in five years.</p>
<p>AOL also noted that it had encouraging improvements in certain areas of its business:</p>
<blockquote class="memo"><p>Video: AOL grew its videos, video views, video ad impressions and revenue at double-digit rates.</p>
<p>Brand Advertising: Project Devil advertisers, impressions and revenue grew at double-digit rates.</p>
<p>Local: Patch grew traffic, advertisers and ad impressions more than 100% year over year.</p>
<p>Traffic: Consumer usage was flat to Q3 2011, as growth in the Huffington Post Media Group sites offset declines at MapQuest and AIM.</p></blockquote>

<p>Ever heard of David Ebersman? </p>
<p>You should, and this week you <em>will</em>, given the self-effacing exec has been one of the prime movers behind what is expected to be the blockbuster offering of Web 2.0: Facebook&#8217;s impending IPO.</p>
<p>And while the social networking site&#8217;s movietastic co-founder and CEO Mark Zuckerberg and its smooth-operator COO Sheryl Sandberg have gotten a lion&#8217;s share of the attention related to the initial public offering, the former Genentech exec has been the key man in organizing the IPO itself.</p>
<p>The kickoff to that will be its filing, which could come as early as tomorrow morning. Whatever the valuation and raise numbers are &#8212; that&#8217;s still not clear &#8212; it will be a badillion-zillion-tons.</p>
<p>That has meant a lot of noise and also shuttling among investors, bankers, board and all the many other dueling constituencies to organize what will be one of the most scrutinized IPOs in tech.</p>
<p>And, so far, the reviews of Ebersman, 42, have been good, with most praising his lack of ego, quiet confidence, professional demeanor and, most importantly, no drama as important attributes of what has been a smooth process, considering. </p>
<p>&#8220;This is a three-ring circus no matter what,&#8221; said one source. &#8220;But Ebersman has made it much less so by making sure it was as steady as it could be.&#8221;</p>
<p>That calm tone has also made him a favorite of Zuckerberg and Sandberg, as well as key Facebook board members such as Marc Andreessen, since he arrived at the company in 2009. At Facebook, he has been in charge of its finance, facilities and information technology teams. </p>
<p>But Ebersman has been a lot more than that, said multiple sources, taking the key role in the IPO, but also spearheading critical long-term planning initiatives and instituting strict resource allocation systems. </p>
<p>That sounds dull, but regimenting Facebook has been one of the hallmarks of its growth and stability compared to many other competitors. </p>
<p>&#8220;He could easily be a CFO for a Fortune 10 company &#8230; but he is much more than an accountant or a deal maker, which are two flavors CFO usually come in,&#8221; said one person who is an admirer of his work. &#8220;But [Ebersman] is much more than that &#8212; really leading the charge on significant fronts related to the core of Facebook&#8217;s operations.&#8221;</p>
<p>Before coming to Facebook, the Brown University graduate was CFO of biotech giant Genentech, where he also held a number of other more operational positions, including being in charge of product development there. Ebersman was also a research analyst on Wall Street.</p>
<p>He came to Facebook&#8217;s attention via Genentech&#8217;s Art Levinson, who recommended Ebersman to the company, despite his lack of Internet experience. He replaced Gideon Yu, who left Facebook in a controversial departure. </p>
<p>While initially concerned that he had little digital experience, Zuckerberg, Sandberg and others were immediately convinced that Ebersman was just what they were looking for &#8212; low-key, smart and able to grok the complexity and challenges of Facebook. </p>
<p>&#8220;You can hire someone who knows the space or someone who is like a great athlete and can master anything,&#8221; said one person. &#8220;David is the latter.&#8221;</p>
<p>Ebersman has been given the ball a lot with regards to the IPO, even though all roads of decision-making essentially lead to Zuckerberg, who has been intent on not rushing to market in favor of growing the business. </p>
<p>Low-key was one of Zuckerberg&#8217;s main tenets of the IPO as it became more inevitable.</p>
<p>Thus, one of the first things Ebersman did was nix the &#8220;pitch&#8221; process by banks.</p>
<p>Instead, sources said, he worked with bankers individually to design an IPO that would work best for Facebook, including keeping fees low.</p>
<p>&#8220;It was very hands on and careful, with Ebersman crafting close relationships rather than pitting banks against each other,&#8221; said one source. &#8220;But it was also all about Facebook maintaining complete control.&#8221;</p>
<p>Still, Ebersman also did not veer away from a relatively traditional process &#8212; no wacky Google auction here.</p>
<p>&#8220;Facebook is not taking chances with this IPO and wants to make it a blue-chip event,&#8221; said another source. &#8220;Neither David nor the company thinks this is a time to be that experimental.&#8221;</p>
<p>But one thing is clear as the IPO machine now moves into high gear: &#8220;This is a team &#8212; specifically Mark, Sheryl and David &#8212; that is completely aligned going into this and David is the implementer they trust to make it so.&#8221;</p>
<p>We&#8217;ll see how it goes in what will be a busy time going forward. </p>
<p>One thing for sure &#8212; Ebersman, who plays bass guitar in a band in his spare time, will have little of that in orchestrating the biggest arrangement of Facebook&#8217;s life.</p>

<p>According to several sources close to the situation, the Facebook board has been meeting early this afternoon at its Silicon Valley HQ to give the go-ahead to a massive initial public offering.</p>
<p>Facebook is expected to file regulatory documents as early as tomorrow morning for what will certainly be one of the most-watched IPOs in tech in recent years. </p>
<p>Sources also noted the filing could happen after markets closed tomorrow, too. </p>
<p>While sources said the filing time could still change even later this week, that seems unlikely, especially given the furor over every detail &#8212; including entirely meaningless ones &#8212; about the much hyped Facebook offering.</p>
<p>But it&#8217;s finally here and will be much scrutinized.</p>
<p>As I <a href="http://allthingsd.com/20120130/facebook-eyepo-tracking-the-truth-of-the-biggest-deal-of-web-2-0/">previously reported</a>, the offering is expected to be below an overblown valuation number of $100 billion that has been widely reported and the amount being raised is also less than the $10 billion being bandied about. </p>
<p>I would tell you those numbers if I knew, but the offering has been locked down tight by Facebook &#8212; much different than blabbier recent IPOs from Internet companies. (<em>Heeelllloooo, Groupon!</em>)</p>
<p>That&#8217;s because Facebook management has been determined to conduct an IPO with as little drama as possible and is seeking to minimize a bubble atmosphere around the event. </p>
<p>(I might start liveblogging the IPO countdown right now, just to ramp up the noise and send CNBC into a frenzy.)</p>
<p>The board of Facebook is chaired by co-founder and CEO Mark Zuckerberg, who has been the most insistent about conducting the IPO with more deliberation and care.</p>
<p>One notable difference, for certain, has been Zuckerberg&#8217;s patience in growing the business before taking Facebook public. Still, it is important to remember that its history has actually been very short in time &#8212; the start-up was launched as thefacebook.com from his dorm room at Harvard University in early 2004. </p>
<p>If you are counting, that is only eight years ago. </p>

<p>Memo to the world from Silicon Valley legend and power-VC Marc Andreessen: &#8220;I think that this is more of the theme that software is going to be eating all other industries.&#8221;</p>
<p>More like chomping through them with renewed gusto, with the <a href="http://allthingsd.com/20120131/andresseen-horowitz-raises-1-5-billion/">announcement today</a> that his venture firm, Andreessen Horowitz, has raised a huge new $1.5 billion fund to continue to fund &#8220;extending our capabilities to more disruptors,&#8221; according to Andreessen&#8217;s longtime partner Ben Horowitz. </p>
<p>And by capabilities, the pair means handing from $10,000 to $100 million to Internet entrepreneurs in all kinds of arenas &#8212; such as its previous investments in Airbnb, Pinterest and a plethora of others &#8212; from its new third fund.</p>
<p>This large amount brings Andreessen Horowitz&#8217;s total in just <a href="http://allthingsd.com/20120131/why-has-andreessen-horowitz-raised-2-7b-in-three-years/">three years to $2.7 billion</a>, which Andreessen said took about the same amount of time to raise as the previous one. The new fund is made up of largely the same limited partners.</p>
<p>&#8220;It is almost double, but it sets us up well,&#8221; said Andreessen, who said the LPs urged them to raise more. &#8220;Our first fund was, as it turns out, undersized in terms of the growth opportunity we found.&#8221;</p>
<p>The interest from the firms&#8217; LPs aligned, said Horowitz, noting that he thinks their interest was because investors are becoming more selective about firms.</p>
<p>&#8220;I think a lot of LPs have begun to think that there are too many VCs not worth investing in,&#8221; he said. &#8220;Many of them want to then invest in what they consider the best, and if they can&#8217;t get in, to not invest at all.&#8221;</p>
<p>To be able to give them the kind of returns those investors are expecting, Andreessen said that the investments &#8212; which will still be pretty much limited to the Internet arena and in California &#8212; will be stepped up to keep the rate of innovation going.</p>
<p>&#8220;The opportunities continue to be very, very good, and we find that that continues to be true,&#8221; he said. &#8220;And there is a big supply of money, and that&#8217;s very good from a company standpoint.&#8221;</p>
<p>What Andreessen and Horowitz said they will do to continue to differentiate themselves will be to keep on focusing on backing founder/CEOs over all.</p>
<p>&#8220;We have a lot of respect for our peers, but we have a different philosophy,&#8221; said Horowitz. &#8220;The majority of the companies we fund will be run by their founders.&#8221;</p>
<p>Andreessen said that philosophy is a bit of a throwback.</p>
<p>&#8220;It&#8217;s kind of like venture capitalists were in the &#8217;60s and &#8217;70s, in a way,&#8221; he said. &#8220;We are operators who back operators.&#8221;</p>

<p>How green is Silicon Valley? <em>Very</em>, it seems. </p>
<p>As expected, and as has been widely reported (<a href="http://allthingsd.com/20111209/if-drafted-andreessen-horowitz-will-not-run-yahoo-but-well-buy-it-cheap/">including here</a>), Andreessen Horowitz finally announced its latest venture fund, raising $1.5 billion for venture investments. The huge amount is the Silicon Valley firm&#8217;s third.</p>
<p>Its investments in its previous two funds have included such high-profile start-ups as Airbnb and Pinterest.</p>

<p>In an unusual gift, Helen Gurley Brown has given Columbia University&#8217;s Graduate School of Journalism and Stanford University&#8217;s School of Engineering $30 million to create a bi-coastal Institute of Media Innovation.</p>
<p>Said the schools in a joint press release about the David and Helen Gurley Brown Institute for Media Innovation, &#8220;it is designed to encourage and support new endeavors with the potential to inform and entertain in transformative ways. It will recognize the increasingly important connection between journalism and technology, bringing the best from the East and West Coasts.&#8221;</p>
<p>Each university will get $12 million, with the additional $6 million to build a &#8220;state-of-the-art, high-tech newsroom&#8221; at  Columbia&#8217;s famous J-School in upper Manhattan in New York.</p>
<p>(Full disclosure: I went to graduate school there, but we used typewriters way back then.)</p>
<p>Among the advisors to the project is well-known Silicon Valley exec Bill Campbell. </p>
<p>The move will be interesting as a collaborative venture between the East and West coasts, although it is unclear what it might yield. </p>
<p>Interestingly, last week, <a href="http://allthingsd.com/20120127/making-sure-the-next-zuckerberg-or-gates-stays-put-at-harvard/">Harvard University announced an on-campus venture fund</a> with New Enterprise Associates to better compete with the enticements of California.</p>
<p>Great content needs useable technology. Sharing a language is where the magic happens,&#8221; said Gurley Brown in a statement. &#8220;It&#8217;s time for two great American institutions on the East and West Coasts to build a bridge.&#8221;</p>

<p>Gift Establishes First of Its Kind Bi-Coastal Institute for Media Innovation &#8212; Bringing Together the Best in West Coast Technology with East Coast Content</p>
<p>NEW YORK and PALO ALTO, Calif., January 30, 2012, 1:00 p.m. ET &#8211;</strong> Columbia University&#8217;s Graduate School of Journalism and Stanford University&#8217;s School of Engineering today announced a $30 million gift from longtime Cosmopolitan magazine editor and author Helen Gurley Brown to establish the David and Helen Gurley Brown Institute for Media Innovation.</p>
<p>The Institute and the collaboration between the two schools is groundbreaking in that it is designed to encourage and support new endeavors with the potential to inform and entertain in transformative ways. It will recognize the increasingly important connection between journalism and technology, bringing the best from the East and West Coasts.</p>
<p>The Institute, the first of its kind, is inspired by the memory of Ms. Brown&#8217;s late husband, David Brown, a graduate of both Stanford University and the Columbia School of Journalism. Brown, who along with partners Richard Zanuck and Steven Spielberg created such classic American films as Driving Miss Daisy, The Verdict and Jaws, was also a former journalist, publisher and, late in his career, a stage producer whose credits included the musicals Sweet Smell of Success and Dirty Rotten Scoundrels.</p>
<p>Of the total gift, each school will receive $12 million for Institute activities. The gift to Columbia’s Journalism School, the largest in its history, will endow a professorship whose holder will be the Institute&#8217;s East Coast director. The gift to Stanford&#8217;s Engineering School will similarly endow the position of the West Coast director. An additional $6 million will go to Columbia which will also pay for the construction of a highly visible signature space at the eastern end of the J-School&#8217;s landmark building, featuring a state-of-the-art high-tech newsroom.</p>
<p>The funding of the Institute will support graduate and postgraduate fellowships, both at Stanford and Columbia, and competitively awarded &#8220;Magic Grants,&#8221; intended to seed the most innovative and promising ideas for future development conceived of by Brown Fellows.</p>
<p>Commenting on the announcement, Helen Gurley Brown said, &#8220;David and I have long supported and encouraged bright young people to follow their passions and to create original content. Great content needs useable technology. Sharing a language is where the magic happens. It&#8217;s time for two great American institutions on the East and West Coasts to build a bridge.&#8221;</p>
<p>The east-west collaboration of the two schools will enable students at both institutions to build upon their ideas with professors and innovators at both universities. At both locations there will be a strong emphasis on executing new ideas and demonstrating products and prototypes. The<br />
Institute will establish ongoing links to business leaders and media companies to bring its innovations to market.</p>
<p>&#8220;New York City, as the major center for the television, music, print media and advertising, is profoundly affected by rapidly evolving digital technology,&#8221; said Stanford engineering professor Bernd Girod, who will serve as the Institute&#8217;s founding director until Columbia appoints his East Coast counterpart. &#8220;The Brown Institute will bring together creative innovators skilled in production and delivery of news and entertainment with the entrepreneurial researchers at Stanford working in multimedia technology.&#8221;</p>
<p>&#8220;This gift from David and Helen Gurley Brown is truly transformative for the school,&#8221; said Nicholas Lemann, Dean of the Graduate School of Journalism at Columbia University. &#8220;As we enter our Centennial year, the Browns&#8217; generosity will enable us to explore new and exciting realms of leadership in our field. We are thrilled to have this opportunity to collaborate with Stanford Engineering.&#8221;</p>

<p>Stanford Engineering has a storied history of achievement and entrepreneurship. Its faculty and graduates have founded such iconic companies as Google, Hewlett-Packard, Cisco Systems and Yahoo! and contributed to such groundbreaking technologies as lasers, global positioning, magnetic resonance imaging, digital sound synthesis and modern web-search algorithms.</p>

<p>The Institute will have a distinguished board of advisors including leaders from technology, venture capital and media including, among others, Frank A. Bennack, Jr., CEO of Hearst Corporation; Bill Campbell, Chairman of the Board at Intuit and an Apple Inc. board member; and Eve Burton, Vice President and General Counsel of Hearst Corporation. </p>
<p>Helen Gurley Brown, who turns 90 in February, is one of the world&#8217;s most popular and influential editors. She led Cosmopolitan magazine from 1965 to 1996 and authored many books, including the 1962 bestseller, Sex and the Single Girl. Her impact on popular culture and society has reached around the globe, largely due to the three-plus decades when she put her personal stamp on Cosmopolitan in a way that has rarely been replicated. Under her reign, Cosmopolitan became the go-to magazine for women worldwide and remains the best selling young women&#8217;s magazine around the world today with 64 editions, in 35 languages and more than 80 countries.</p>
<p>&#8220;As both CEO of Hearst Corporation and advisor to the Brown Institute, today marks a very special day for education, journalism and technology,&#8221; said Bennack. &#8220;I&#8217;m very proud of David&#8217;s legacy and Helen, who understood the power of community, in particular, and its importance to women, long before social media had a name.&#8221;</p></blockquote>
