<p>Code Advisors is getting a $25 million investment from financial services giant JPMorgan Chase for a minority stake in the Silicon Valley-based boutique investment bank and advisory firm.</p>
<p>The influx of cash will allow Code to grow quicker, said Quincy Smith, one of the firm&#8217;s founders, which also include Michael Marquez and Fred Davis.</p>
<p>The non-exclusive deal, the two firms said, is the natural extension of a longer-term relationship that has been developing for a while.</p>
<p>&#8220;To the extent that the money means we are getting even closer together, that&#8217;s great,&#8221; said Smith in an interview earlier today. &#8220;This solidifies a partnership that has existed for some time.&#8221;</p>
<p>Plus, it presumably also gives each what the other cannot offer clients. Usually a big bank might try to kill or buy a firm like Code, so this move is unique.</p>
<p>&#8220;We are growing our business and getting access to next-generation entrepreneurs that Code knows well,&#8221; added Kurt Simon, co-head of Technology, Media and Telecom Banking at J.P. Morgan. &#8220;And it&#8217;s a sign of continued investment in our important West Coast businesses.&#8221;</p>

<p>Indeed, J.P. Morgan has been competing with Goldman Sachs and Morgan Stanley for a higher profile in Silicon Valley. It recently was selected with the pair as one of the lead bankers in the upcoming Facebook IPO. It has also worked recently with LinkedIn, Skype and Pandora.</p>
<p>Code has taken on smaller deals with a range of hot start-ups and entrepreneurs, which was one of the attractions for J.P. Morgan. That includes representing Spotify and LivingSocial, and making investments in Path and Flipboard.</p>
<p>&#8220;For J.P. Morgan, it&#8217;s like making an limited partner investment in another venture firm,&#8221; said Smith. &#8220;And for us, we can offer a lot more services to our clients as they grow.&#8221;</p>
<p>As part of the deal, Jes Staley, CEO of J.P. Morgan&#8217;s investment bank and a member of the firm&#8217;s operating committee, will become a non-voting observer on Code&#8217;s board.</p>

<p>Earlier today, Yahoo released a letter talking itself up to investors, introing a new Web site called <a href="http://specials.yahoo.com/forward/">Yahoo Forward</a> to do more bragging and &#8212; you guessed it &#8212; giving yet another smackdown to activist shareholder Dan Loeb of Third Point.</p>
<p>The move comes as the proxy fight over the Silicon Valley Internet giant moves ever closer to its annual meeting, which is set to take place sometime this summer.</p>
<p>In the letter, which had precisely zero new news, Yahoo recounted again that it tried hard to settle things with its disgruntled shareholder, but underscored its desire not to have Loeb on the board. </p>
<p>Why? Because the man who owns about six percent of Yahoo &#8212; which is about 99.99 percent more than any other current board member, which seems to make him pretty interested in Yahoo&#8217;s fate &#8212; is <em>not</em> qualified to be a director.</p>
<p>&#8220;The board continues to believe that Mr. Loeb himself does not bring the relevant skill set and experience to the board, particularly in comparison to the candidates selected by the board,&#8221; the Yahoo letter read. &#8220;In addition, we believe that, based on the specific qualifications of Third Point&#8217;s nominees relative to Yahoo!&#8217;s business and opportunities, the candidates nominated by the board&#8217;s Nominating and Governance Committee are significantly superior to those proposed by Third Point. &#8220;</p>
<p><em>Buuuurn!</em> (Not really.)</p>
<p>Loeb has his own Web site, <a href="http://www.valueyahoo.com">Value Yahoo</a>, which <a href="http://allthingsd.com/20120402/third-point-launches-value-yahoo-blog-which-does-not-value-current-leadership/">he launched last month to pillory Yahoo</a>. He used it today to post an infographic titled &#8220;The Incredible Shrinking Yahoo.&#8221;</p>
<p><em>Buuuurn!</em> (Not really.)</p>
<p>In fact, the real fire could start as early as next week and in the months ahead when other Yahoo investors start to pick sides in the fight.</p>
<p>That should really begin when independent proxy advisory firm Institutional Shareholder Service gives its recommendation on the issue to Yahoo investors. </p>
<p>A backing by ISS for another prominent proxy advisor Glass Lewis will help Loeb, although he still has an uphill battle to convince other shareholders to vote down Yahoo, which has a new CEO in Scott Thompson and a mostly new board.</p>
<p>That will be even more difficult, given how active Thompson has been in making a ton of productive-sounding moves, such as a recent restructuring which included 2,000 layoffs. While results will not be in for a while, a lot of <a href="http://allthingsd.com/20120502/all-of-yahoos-top-execs-gather-today-to-talk-strategery-about-what-stays-and-what-goes/">we&#8217;re-hard-at-work strategery noise</a> is probably a good tack for Yahoo.</p>
<p>The company will surely try to drop some more Yahoo bombs on Loeb to burnish its chances in the coming month &#8212; most likely first around a taxable sale of a large portion of its Asian assets related to new rounds of talks now taking place again, which might include a fat dividend to investors.</p>
<p>(Investors like fat dividends and the people who give them fat dividends, by the way!)</p>
<p>The company could also sell off some of its underperforming units, such as its advertising technology business and renegotiate its search partnership with Microsoft, all of which will give Yahoo more of a case that Loeb&#8217;s complaints are now unfounded.</p>
<p>But don&#8217;t count Loeb out, either. He&#8217;s a deft campaigner and also deserves some credit for forcing Yahoo to make several of its recent moves to oust weak members of its longtime dysfunctional board.</p>
<p>In that regard, at least, Loeb has been <em>very</em> relevant.</p>

<p>Dear Shareholder,</p>
<p>Since last August, Yahoo! has moved forward aggressively, implementing a plan to position itself for future success and to increase the value of Yahoo! for you, our shareholders.</p>
<p><strong>*</strong> Just four months ago, we <strong>appointed CEO Scott Thompson</strong>, a highly accomplished and dynamic leader with the experience and expertise required to lead Yahoo! to renewed growth, innovation, and success. Scott is already moving the company forward fast &#8212; dramatically reorganizing the business around its core strengths with a mindset of focus, speed, discipline, and putting the customer first.</p>
<p><strong>*</strong> <strong>The company has reconstituted the board of directors</strong>, with the optimal mix of expertise, experience, and fresh perspectives to accelerate the company’s transformation. We recruited five new, highly qualified independent directors through the Nominating and Corporate Governance Committee&#8217;s thorough search process. In addition, four of our directors volunteered not to stand for re-election at the 2012 shareholders&#8217; meeting. As reconstituted, following the annual meeting a majority of Yahoo!&#8217;s directors will be new to the board this year, and all directors will have joined the board since 2010.       </p>

Working with a leading executive recruitment firm and using the committee&#8217;s desired skill sets and experience for new board members, the committee identified over 100 potential candidates and sought input from a number of our major shareholders. Committee members engaged with over 20 individuals, including the four nominees proposed by Third Point. Committee members then conducted numerous in-depth interviews and carefully analyzed the qualifications of each candidate, including each of Third Point&#8217;s nominees. Committee members conducted additional interviews with those candidates that warranted further consideration, as determined by the committee in its meetings held throughout the process. Following completion of the full process, the committee and the board determined that the distinguished group of five candidates recently announced were the best choices, based on their individual accomplishments, experience directly relevant to Yahoo!&#8217;s business and its challenges, and records of value creation.</p>
<p>The <strong>new directors have strong records of significant accomplishment</strong> at the highest levels of media, advertising, marketing, Internet, technology, and finance, including corporate finance and restructuring, and insight into customers&#8217; perspectives. Unfortunately, Mr. Loeb declined to end his proxy solicitation on that basis, insisting that there could be no settlement unless he was personally appointed to the board. The board continues to believe that Mr. Loeb himself does not bring the relevant skill set and experience to the board, particularly in comparison to the candidates selected by the board. In addition, we believe that, based on the specific qualifications of Third Point&#8217;s nominees relative to Yahoo!&#8217;s business and opportunities, the candidates nominated by the board&#8217;s Nominating and Governance Committee are significantly superior to those proposed by Third Point. Nevertheless, we want to emphasize that we remain committed to an open dialogue with all our shareholders and to working in a constructive manner with Third Point. </p>

<p>At a prequel for the many VPs of Yahoo to the all-hands meeting for all 13,500 employees of the Silicon Valley Internet giant that is taking place at 11 am, Yahoo co-founder, director and former CEO Jerry Yang told the group the company was &#8220;not for sale.&#8221;</p>
<p>Even though, of course, it was hiring advisory firms, <a href="http://allthingsd.com/20110906/bring-in-the-suits-yahoo-hiring-strategic-advisers-to-plot-next-moves/">such as Allen &#038; Co.</a>, to explore strategic options. Many justifiably feel &#8220;for sale&#8221; is just what Yahoo is.</p>
<p>Instead, Yang reassured the troops that it was business as usual at the company, in spite of the <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">abrupt firing of its current CEO Carol Bartz</a> yesterday.</p>
<p>One attendee emailed me: &#8220;<em>Really?</em>&#8220;</p>
<p>Yang told the group that the aim was to grow revenue and profit, but did not put forth a specific plan as yet. He also said the search was on for a new CEO.</p>
<p>Meanwhile, interim CEO Tim Morse spoke only at the end of the meeting, for the last 10 minutes.</p>
<p>Morse continued to be Yang&#8217;s sidekick at the all-hands meeting later, in which they reiterated their no-sale motto.</p>
<p>Still, the troops were restless and the event included a lot of pointed questions from employees about the ouster of Bartz and how that was going to get the company growing again.</p>
<p>One employee asked the board to give Bartz&#8217;s $10 million severance package to charity, to much applause.</p>
<p>Another query was about the shift on Bartz by Yahoo&#8217;s Chairman Roy Bostock, who <a href="http://allthingsd.com/20110623/yahoo-board-backs-bartz/">praised her performance </a>earlier this summer at the annual meeting.</p>
<p>How, asked the employee, did Yahoo go from full support of Bartz to fired? The basic answer from Yang: Things change!</p>
<p>Another employee asked about the <a href="http://allthingsd.com/20110906/google-goes-big-with-its-hulu-bid/">bid to buy the Hulu</a> premium video service. Americas head Ross Levinsohn&#8217;s answer: Yahoo did not need it to win.</p>
<p>Both Levinsohn and product head Blake Irving stressed how big Yahoo still is, although Yahoo&#8217;s kind of big today might not mean better.</p>
<p>Employees &#8212; I love them for channelling exactly what I would have asked &#8212; pressed Morse on when the <em>strategery</em> would be done this time. A few months, he said.</p>
<p>But perhaps the toughest query was about how did the board fire the CEO without first having a plan in place, which the questioning employee noted had further worsened trust issues with Yahoo leadership.</p>
<p>It got the biggest applause. </p>
<p>Trust us, said Yang.</p>
<p>That&#8217;s a big ask for beleaguered Yahoo staffers these days.</p>
<p>Meanwhile, Yahoo filed a new-less 8-K regulatory filing today about the Bartz firing. </p>
<p>In it, Yahoo wrote: &#8220;No new compensatory or severance arrangements were entered into in connection with these leadership changes. Ms. Bartz will receive severance benefits<br />
for termination without cause as provided in her employment and equity award agreements.&#8221;</p>

<p>One of the results of Yahoo&#8217;s <a href="http://kara.allthingsd.com/20110419/yahoos-first-quarter-earnings-the-revenue-drought-continues-due-to-search-fall-off/">weak earnings report</a> earlier this week has been the renewal of chatter about possible changes in its leadership and even ownership.</p>
<p>And continued investor discomfort with its troubled stock price&#8211;Yahoo shares are down 7.25 percent year over year and an astonishing 49 percent on a five-year basis&#8211;and the level of renewed grumbling by major institutional shareholders is causing some key players to go back to their PowerPoints to reevaluate various options.</p>
<p>(By way of contrast, Google is down about 4.5 percent year over year&#8211;largely due to last week&#8217;s earnings release with higher than expected expenses&#8211;but still up more than 20 percent for the five years.)</p>
<p>As many might recall, last year Yahoo was under scrutiny by a number of interested parties&#8211;from big media companies to other digital players to private equity firms&#8211;considering a <a href="http://kara.allthingsd.com/20100930/could-aol-buy-yahoo-could-news-corp-takeover-2-0-with-a-little-help-from-the-chinas-alibaba">number of takeover scenarios</a>.</p>
<p>Most of them were just talk and no action resulted, but that did not mean that interest went away.</p>
<p>The truth is, they are still out there and ruminating&#8211;this time with what sources describe as a much more amenable Yahoo board, with several of its key members willing to entertain any legitimate offers or ideas to improve the Silicon Valley search giant&#8217;s prospects.</p>
<p>In the last go-round, by contrast, Yahoo&#8217;s top execs&#8211;including CEO Carol Bartz&#8211;denied any interest in the swirl of rumors related to a variety of ideas.</p>
<p>That&#8217;s definitely changed&#8211;at least at the board level&#8211;so here are three very credible scenarios of what could happen:</p>
<p><strong>Peetie, Peetie, Yahoo-Sweetie</strong></p>
<p>Late last year, BoomTown wrote a post about the interest that former News Corp. COO and President Peter Chernin&#8211;who now owns his own entertainment production company&#8211;had in the situation at Yahoo.</p>
<p><a href="http://kara.allthingsd.com/files/2011/04/157844079_c3j8p-M-2.jpeg"><img src="http://kara.allthingsd.com/files/2011/04/157844079_c3j8p-M-2-200x300.jpg" alt="" title="157844079_c3j8p-M-2" width="200" height="300" class="alignleft size-medium wp-image-43020" /></a></p>
<p>As I <a href="http://kara.allthingsd.com/20101117/enter-the-chernin-former-news-corp-president-and-coo-in-yahoo-what-if-mix">wrote in November</a>:</p>
<blockquote class="memo"><p>But multiple sources from a variety of sides said that Chernin, a well-liked and deeply experienced media and entertainment exec, has been contacted by a number of private equity firms and other investors about his interest in becoming involved should any of the various and sundry scenarios around the Internet giant pan out.</p>
<p>And Chernin, many sources said, has expressed a definite interest in the situation, perhaps because he was deeply involved in a previous deal when running News Corp.</p>
<p>At the time, it involved combining the media giant&#8217;s Myspace social networking site with Yahoo and also Microsoft&#8217;s portal MSN and creating a new company, code-named &#8220;TrafficCo.&#8221;</p></blockquote>
<p>Indeed, that interest remains for Chernin, who has also been an increasingly active investor, including in the digital sector. He is an angel funder of the hot social media app start-up Flipboard, and also just joined the board of the popular Pandora music service.</p>
<p>The most likely possible scenarios have him joining with deep-pocketed partners, including Providence Equity Partners and, yes, Microsoft, as well as investment banks or advisory firms, such as Morgan Stanley and Code Advisors.</p>
<p>The approach being considered&#8211;which would only be done in a friendly way, with the cooperation of Yahoo&#8217;s board&#8211;would center on making a large enough investment in its shares, allowing the group to take control of the management and the board, putting Chernin in as chairman and maybe CEO (or with a new CEO&#8211;see next section).</p>
<p>If Microsoft were involved&#8211;and Chernin has strong ties there&#8211;such a scenario might include folding all its online properties into Yahoo and renegotiating its rocky search partnership, too.</p>
<p>This is an idea that intrigues a lot of people&#8211;including current Yahoo board chairman Roy Bostock, co-founder Jerry Yang and other board members&#8211;who have indicated recently to several investors and dealmakers a willingness to listen to credible player such as Chernin.</p>
<p>But, in this scenario, it would be up to Chernin and his partners to make a prosposal, said sources, and he might decide that the complexity of getting the power to make big changes at Yahoo is too big to tackle.</p>
<p>In addition, Chernin remains a successful Hollywood player, with several major television and movie projects in the works, as well as big investment possibilities in Asia.</p>
<p>&#8220;Does he want the headache of Yahoo at this point in his career?&#8221; asked one person, among many Chernin has talked to recently about becoming involved in the company. &#8220;Would you?&#8221;</p>
<p>Maybe so, if it would provide a big financial windfall. Many think an exec with a reputation like Chernin&#8217;s could easily begin to move Yahoo&#8217;s moribund stock upward quickly.</p>
<p><strong>ABC (Anybody But Carol)</strong></p>
<p>Here&#8217;s one truth: Yahoo CEO Carol Bartz does not get proper credit for a number of moves she has made since coming to the company two years ago, including cleaning up the messy corporate structure, de-complexifying garbled systems, cutting costs and bringing its far-flung operations into line.</p>
<p><a href="http://kara.allthingsd.com/files/2011/04/547702043_HQzHZ-M-1.jpeg"><img src="http://kara.allthingsd.com/files/2011/04/547702043_HQzHZ-M-1-199x300.jpg" alt="" title="547702043_HQzHZ-M-1" width="199" height="300" class="alignright size-medium wp-image-43021" /></a></p>
<p>Yahoo&#8217;s stock is certainly doing better than when she arrived in early January of 2009, when it was in the $12 range compared to its current $16 price point.</p>
<p>But here&#8217;s another: That stock price now includes more than $10 in solid assets&#8211;cash and Yahoo&#8217;s much more valuable stakes in China&#8217;s Alibaba Group and Yahoo! Japan&#8211;leaving very little true share appreciation.</p>
<p>And here are more truths: Bartz&#8217;s inability to get revenues growing, innovations flowing, promising start-ups acquired and&#8211;most importantly&#8211;to stop the continual exodus of talent out the door of Yahoo has made her tenure shakier than ever.</p>
<p>Add to that making its relationships with Asian partners more tense, almost no traction in key mobile, video and social arenas, a record of loud public declarations that have fallen flat and serious troubles in Yahoo&#8217;s search and online partnership with Microsoft&#8211;a deal Bartz struck and is charged with managing&#8211;recently highlighted in Yahoo&#8217;s earnings earlier this week.</p>
<p>As <a href="http://blogs.forbes.com/ericjackson/2011/04/20/to-unlock-yahoos-value-bartz-should-take-a-hike/">shareholder activist Eric Jackson</a>, who has long agitated for change at Yahoo, wrote this week in a post:</p>
<p>&#8220;The truth is that investors are fed up with Bartz. Their enmity towards Bartz is palpable when you talk to them. Bartz talked a big game coming into the job and she hasn&#8217;t delivered. It&#8217;s that simple.&#8221;</p>
<p>Well, not that simple and maybe not fair, but it&#8217;s also clear that no one thinks Bartz will be re-upped when her contract is up in 18 months.</p>
<p>Thus, it&#8217;s no surprise that ideas of other possible leaders of Yahoo are being contemplated now.</p>
<p>Here&#8217;s the short list I have made of my choices: Akamai President and Yahoo board member <a href="http://kara.allthingsd.com/20110204/exclusive-huffpos-eric-hippeau-stepping-down-from-yahoo-board-as-akamais-david-kenny-steps-in">David Kenny</a>; former Microsoft exec and current Juniper Networks CEO Kevin Johnson; former AOL CEO and current News Corp. digital head Jon Miller; and Nikesh Arora, current Chief Business Officer and sales head at Google.</p>
<p>There are plenty more to pick from, of course, and any could be installed in conjunction with an effort such as Chernin&#8217;s.</p>
<p><strong>AOL Under the Hoop</strong></p>
<p>No good Yahoo scenario plotting can be contemplated without including AOL and its flashy CEO Tim Armstrong.</p>
<p><a href="http://kara.allthingsd.com/files/2011/04/888733886_4oHvJ-M.jpeg"><img src="http://kara.allthingsd.com/files/2011/04/888733886_4oHvJ-M-200x300.jpg" alt="" title="888733886_4oHvJ-M" width="200" height="300" class="alignleft size-medium wp-image-43022" /></a></p>
<p>Armstrong has made no secret of wanting to get ahold of Yahoo properties to apply the strategy he has been trying at AOL to get it moving again.</p>
<p>Which is: To become the premiere digital media company.</p>
<p>Which is actually Yahoo&#8217;s new motto&#8211;although arguably, in word and deed, Armstrong has been much more active in pushing the concept and narrative.</p>
<p>That includes his incessant acquisitions of all kinds of online media properties, including the big fish&#8211;the <a href="http://kara.allthingsd.com/20110206/youve-got-arianna-aol-buys-huffington-post-for-315-million-in-cash/">$315 million purchase of the Huffington Post</a> and the coronation of its even-flashier co-founder Arianna Huffington as content chief.</p>
<p>Armstrong has certainly not been averse to the idea of a Yahoo-AOL hookup with him at the top, and has been actively talking to anyone interested in such a deal.</p>
<p>And things could get a lot more interesting if AOL linked with a bigger strategic partner, such as News Corp. or Disney or even Google, Armstrong&#8217;s former stomping grounds.</p>
<p>Still, wishing does not make it so, especially with a much smaller and weaker set of assets than Yahoo and a still poor record on goosing its advertising sales.</p>
<p>AOL&#8217;s stock is down 30 percent year over year, as investors still worry about Armstrong&#8217;s ability to turn the company around, which kind of puts him in the same situation as Bartz.</p>
<p>&#8220;AOL is waiting under the hoop for whatever happens, which is a good place to be,&#8221; said one person close to the situation. &#8220;Why not?&#8221;</p>
<p>Why not, indeed&#8211;so, let the games begin.</p>

<p>A new $10 million micro-venture fund, led by former Yahoo top engineering exec Ash Patel&#8211;called Morado Ventures and funded by a group largely made up of ex-Yahoos&#8211;is about to launch, according to sources close to the situation.</p>
<p>Expected limited partners in Morado, which means &#8220;purple&#8221; in Spanish, include former Yahoo CEO Terry Semel, former COO Dan Rosensweig and former advertising sales head Greg Coleman. Ex-Yahoo President Sue Decker is also considering investing, said sources.</p>
<p>Purple, of course, is Yahoo&#8217;s color.</p>
<p>Interestingly enough, the fund&#8211;which has not officially closed yet&#8211;is also likely to include Yahoo&#8217;s two founders Jerry Yang and David Filo, both of whom are still at the company.</p>
<p>Both will be limited partners and will not make investment decisions. In addition, Morado has no affiliation with Yahoo.</p>
<p>(Still, BoomTown would love to have been the fly in the room when Yang and Filo told current Yahoo CEO Carol Bartz about it!)</p>
<p>Patel will also be joined at Morado by Mike Marquez of investment advisory firm, Code Advisors, although he will also remain at Code.</p>
<p>Sources said the small fund, which is similar to an angel group, will focus on early-stage start-ups in the Internet consumer arena, as well as in the platform space.</p>

<p>Patel (pictured here)&#8211;a 14-year Yahoo veteran whose last job at the company was as EVP for Product Architecture &#038; Strategy&#8211;certainly has experience in these areas.</p>
<p>He took a <a href="http://kara.allthingsd.com/20091103/dozen-year-yahoo-tech-veteran-ash-patel-to-take-time-off/">sabbatical from the company</a> last November, but never really returned.</p>
<p>Sources said Patel has been doing some of his own investing since then, but was eager to involve himself with start-ups.</p>
<p>While ironic in many ways&#8211;the kinds of innovative companies that Morado will likely be investing in are just those that have put the slower-moving Yahoo in just the situation it finds itself in today&#8211;it&#8217;s a great idea for a fund run by longtime operating execs.</p>
<p>And while many execs from a variety of Silicon Valley companies have become VCs, angel investors and such, this gathering of former execs from the same company is definitely one to watch.</p>
<p>(Plus, BoomTown is guessing the parties will be fun too.)</p>

<p>After longtime Internet tech exec <a href="http://kara.allthingsd.com/20100210/myspace-ceo-van-natta-was-fired-by-news-corp-digital-head-miller-in-late-afternoon-meeting">Owen Van Natta was ousted from his job as CEO of MySpace last February</a>, after clashing with News Corp. (NWS) digital chief Jon Miller and also the other two top execs at the troubled social networking site, he seemed to drop off the map a bit to chillax and regroup.</p>
<p>Not for long, though, as the high-profile Van Natta (pictured here)&#8211;he was also a top exec at Facebook in its early days, as well as at Amazon (AMZN) before that&#8211;soon began doing mentoring and also unofficial consulting work with various start-ups in which he was an angel investor or had developed an interest.</p>
<p>Most especially, according to numerous sources, that effort has now been largely focused on Zynga, the red-hot social gaming company that has been on a growth and revenue tear of late.</p>
<p>Under CEO and founder Mark Pincus, that has included <a href="http://kara.allthingsd.com/20091218/zyngas-mark-pincus-talks-about-big-funding-offer-ad-controversies-and-more">big new rounds of investment</a>, <a href="http://digitaldaily.allthingsd.com/20100518/farmville-creator-not-leaving-facebook-after-all">renewing its partnership with Facebook</a> after some contention, <a href="http://kara.allthingsd.com/20100526/yahoo-announces-partnership-with-zynga">striking another deal to put its popular games such as Farmville throughout Yahoo</a> (YHOO) and, reportedly, working on an even bigger deal with Google (GOOG).</p>
<p>It&#8217;s been a very active time for Zynga, which has been contemplating an initial public offering.</p>
<p>All that, sources said, has prompted Pincus to increasingly bring in Van Natta as an adviser to the start-up, focused mostly on strategy and operations.</p>
<p>And, said sources, that could eventually result in a more formal role, such as Van Natta joining Zynga in an official job, like COO. Many say that both have been seriously contemplating such a move in recent weeks.</p>
<p>In fact, at the recent Allen &#038; Co. media confab in Sun Valley, which both attended, Van Natta and Pincus told many of Van Natta&#8217;s more substantive advisory role.</p>
<p>A COO job like that would not be a big leap for Van Natta, who was COO and close advisor to Facebook CEO and founder Mark Zuckerberg at the nascency of the company.</p>
<p>Van Natta was key to some important early deals, such as bringing on Microsoft (MSFT) as an investor and staffing the young service.</p>
<p>In doing so, he formed a close bond with the then less experienced Zuckerberg.</p>
<p>Eventually, though, that relationship cooled, and <a href="http://kara.allthingsd.com/20070815/management-shuffle-at-facebook">Van Natta&#8217;s job shifted</a> as more execs joined.</p>
<p><a href="http://kara.allthingsd.com/20080219/owen-van-natta-to-leave-facebook">Van Natta left the social networking giant</a> in early 2008.</p>
<p>He did a <a href="http://kara.allthingsd.com/20081110/van-natta-takes-playlist-ceo-job-with-new-investment-by-pittman">short stint as CEO of music discovery site Playlist</a> later in 2008, but was <a href="http://kara.allthingsd.com/20090424/van-natta-confirmed-as-ceo-of-myspace-the-full-press-release">put in charge at MySpace</a> as part of an awkward troika of leadership by the following April.</p>
<p>Although he moved to reinvigorate the tarnished service, Van Natta&#8217;s job there was short-lived, After much internal wrangling with COO Michael Jones and product head Jason Hirschhorn, Miller suddenly fired him in a tense meeting earlier this year.</p>
<p>To be sure, to grab a big job at Zynga would be a splashy move for both the company and Van Natta, who has clearly seen quite a few of them in his Internet career.</p>
<p>When I contacted them to ask about Van Natta&#8217;s role, Pincus declined comment and Van Natta has yet to respond.</p>

<p>Davis (pictured here) is a senior partner at <a href="http://www.davisshapiro.com/">Davis, Shapiro, Lewit &#038; Hayes</a>. The entertainment law firm&#8211;which is based in both New York and Los Angeles&#8211;has an emphasis in music, digital rights, and branded entertainment, and works with a wide range of digital media companies, including YouTube.</p>
<p>After a <a href="http://kara.allthingsd.com/20091028/exclusive-cbs-digital-ceo-smith-to-leave-to-start-a-silicon-valley-advisory-firm-first-customer-cbs">BoomTown post in late October on Smith&#8217;s plans</a>, CBS (CBS) confirmed the move, which will take place in January, noting that his new firm would remain an adviser to the media giant under a multiyear contract.</p>
<p>Davis is an interesting choice for the firm, which Smith hopes will emulate Hambrecht &#038; Quist, one of the more influential among Silicon Valley investment banks during the first Web boom.</p>
<p>Along with Davis, Smith has been joined by CBS&#8217;s Mike Marquez.</p>

And it may be the last. On Tuesday, Apple issued an <a href="http://support.apple.com/kb/HT3642">advisory</a> warning that it does not support iTunes integration with third-party digital media players.</p>

Apple is aware that some third-parties claim that their digital media players are able to sync with Apple software. However, Apple does not provide support for, or test for compatibility with, non-Apple digital media players and, because software changes over time, newer versions of Apple’s iTunes software may no longer provide syncing functionality with non-Apple digital media players.

<p>Translation: The Pre won&#8217;t be syncing with iTunes for long.</p>
<p>Now, Palm isn&#8217;t explicitly named in the advisory, but it&#8217;s clear that this is a broad shot across its bow. And it&#8217;s not like we didn&#8217;t see it coming. Did anyone really think that Apple (AAPL) would permit the Pre to sync with iTunes by <a href="http://nanocr.eu/2009/06/04/palm-pre-usb-hack-confirmed/">masquerading as an iPod</a>?</p>
<p>Funny. Asked last month at <strong>D7</strong> <a href="http://d7.allthingsd.com/speakers/roger-mcnamee/">if Apple might take issue with the Pre&#8217;s iTunes integration</a>, Palm investor Roger McNamee said, &#8220;I don&#8217;t think so. They are practically a monopolist and this is what consumers want. Consumers own all this media. I find it hard to believe that Apple will get bent out of shape.&#8221; (see video below)</p>
<p>Well, believe it. That said, Palm (PALM) seems unfazed by Apple&#8217;s implied threat. Reached for comment, the company said Cupertino will only harm consumers if it disables iTunes integration with the Pre. &#8220;Palm&#8217;s media sync works with the current version of iTunes,&#8221; Palm spokesperson Lynn Fox told me. &#8220;If Apple chooses to disable media sync in a future version of iTunes, it will be a direct blow to their users who will be deprived of a seamless synchronization experience. However, people will have options. They can stay with the iTunes version that works to sync their music on their Pre, they can transfer the music via USB, and there are other third-party applications we could consider.&#8221;</p>

And it may be the last. On Tuesday, Apple issued an <a href="http://support.apple.com/kb/HT3642">advisory</a> warning that it does not support iTunes integration with third-party digital media players. </p>

Apple is aware that some third-parties claim that their digital media players are able to sync with Apple software. However, Apple does not provide support for, or test for compatibility with, non-Apple digital media players and, because software changes over time, newer versions of Apple’s iTunes software may no longer provide syncing functionality with non-Apple digital media players.

<p>Translation: The Pre won&#8217;t be syncing with iTunes for long.</p>
<p>Now, Palm isn&#8217;t explicitly named in the advisory, but it&#8217;s clear that this is a broad shot across its bow. And it&#8217;s not like we didn&#8217;t see it coming. Did anyone really think that Apple (AAPL) would permit the Pre to sync with iTunes by <a href="http://nanocr.eu/2009/06/04/palm-pre-usb-hack-confirmed/">masquerading as an iPod</a>?</p>
<p>Funny. Asked last month at <strong>D7</strong> <a href="http://d7.allthingsd.com/speakers/roger-mcnamee/">if Apple might take issue with the Pre&#8217;s iTunes integration</a>, Palm investor Roger McNamee said, &#8220;I don&#8217;t think so. They are practically a monopolist and this is what consumers want. Consumers own all this media. I find it hard to believe that Apple will get bent out of shape.&#8221; (see video below)</p>
<p>Well, believe it. That said, Palm (PALM) seems unfazed by Apple&#8217;s implied threat. Reached for comment, the company said Cupertino will only harm consumers if it disables iTunes integration with the Pre. &#8220;Palm&#8217;s media sync works with the current version of iTunes,&#8221; Palm spokesperson Lynn Fox told me. &#8220;If Apple chooses to disable media sync in a future version of iTunes, it will be a direct blow to their users who will be deprived of a seamless synchronization experience. However, people will have options. They can stay with the iTunes version that works to sync their music on their Pre, they can transfer the music via USB, and there are other third-party applications we could consider.&#8221;</p>

			<content:encoded><![CDATA[<p><img class="alignright size-medium wp-image-6529" title="dewolfe" src="http://mediamemo.allthingsd.com/files/2009/04/dewolfe-250x188.png" alt="dewolfe" width="250" height="188" />MySpace CEO Chris DeWolfe is likely to be on his way out of the company he helped found, and News Corp., which bought the social network in 2005, has a single potential successor in mind. Sources say that person is former Facebook COO Owen Van Natta, who is currently CEO of music start-up Project Playlist.</p>
<p>People familiar with the matter tell me that DeWolfe and News Corp., specifically <a href="http://kara.allthingsd.com/20090327/jon-miller-to-news-corp-as-digital-head/">new digital boss Jon Miller</a>, are discussing a leadership change today. News Corp. (NWS) officials declined to comment. (News Corp. is the owner of Dow Jones, which owns this Web site.)</p>
<p>Sources tell me Miller hadn&#8217;t been planning on getting rid of DeWolfe (pictured above) in the near future, and that until yesterday he was still evaluating his options. News Corp. CEO Rupert Murdoch had once treated DeWolfe as a favorite and gave him significant autonomy at MySpace. But Murdoch, who brought Miller on earlier this month, has been leaning toward a change as MySpace&#8217;s traffic has stagnated and its buzz and momentum have moved to Facebook.</p>
<p>Still, Murdoch had left the decision about the site&#8217;s leadership to Miller, his new hire, sources said. One possibility: Elevating DeWolfe to a nonexecutive advisory position.</p>
<p>Those options narrowed last night once TechCrunch ran a <a href="http://www.techcrunch.com/2009/04/21/news-corp-exploring-myspace-ceo-options/">story</a> claiming that News Corp. had hired a headhunting firm to &#8220;scour for possible replacements&#8221; for DeWolfe.</p>
<p>News Corp. hadn&#8217;t actually hired a headhunter, I&#8217;m told by multiple sources. But I&#8217;m also told that the report was enough to spook DeWolfe into calling Miller to ask what his plans were. That conversation led to today&#8217;s negotiations, which will likely lead to his stepping down as CEO, although he may remain affiliated with MySpace in some capacity.</p>
<p><img class="alignleft size-full wp-image-6539" title="owen-van-natta" src="http://mediamemo.allthingsd.com/files/2009/04/owen-van-natta.jpg" alt="owen-van-natta" width="165" height="250" />Meanwhile, News Corp. has been talking to Van Natta (pictured here) about taking DeWolfe&#8217;s place. Van Natta, who had been a highly regarded executive at Facebook, was at one point the leading candidate to head up MySpace Music, which launched last fall, and the two sides held extensive conversations.</p>
<p>But Van Natta, like <a href="http://www.businessinsider.com/2008/7/myspace-music-needs-launch-date-ceo">many other potential hires for that position</a>, bristled at the job&#8217;s org chart: Rather than a standalone company, a la Hulu, the site News Corp. set up with GE&#8217;s (GE) NBC, MySpace Music is simply a unit of MySpace, reporting to DeWolfe. <a href="http://mediamemo.allthingsd.com/20081105/myspace-music-ceo-debuting-tomorrow/">MTV executive Courtney Holt</a> eventually took the job.</p>
<p>But Van Natta&#8217;s fate has remained closely intertwined with MySpace anyway. Project Playlist, the free music-streaming site he took over last fall, has seen traffic plummet after <a href="http://mediamemo.allthingsd.com/20081223/facebook-bails-on-project-playlist-too/">MySpace, along with Facebook, cut off the site&#8217;s access to their users</a>, a move prompted by lawsuits from several major music companies.</p>
<p>Van Natta has made some headway at extracting the company from its legal mess, which predated his hiring, and he has hammered out a settlement with <a href="http://mediamemo.allthingsd.com/20090325/a-win-for-project-playlist-emi-drops-suit-signs-on/">EMI Music Group</a>. But Playlist is still being sued by Warner Music Group (WMG) and Vivendi&#8217;s Universal Music Group, and even music sites that aren&#8217;t in legal trouble are struggling to keep their heads above water. Plenty of Silicon Valley watchers wonder why Van Natta landed at Playlist in the first place and think that he has been looking for a way out.</p>
<p>Here&#8217;s a video of DeWolfe talking with BoomTown&#8217;s Kara Swisher a little more than a year ago when MySpace opened a new office in San Francisco. Below that is a video of Van Natta talking to Swisher in 2007 about Facebook&#8217;s ill-fated &#8220;Beacon&#8221; project.</p>

Yet Adobe (ADBE) won&#8217;t have a fix in place until March 11, and then only for Adobe Reader 9 and Acrobat 9. Patches for earlier versions of the software will arrive sometime after that.</p>
<p>Two and half weeks or longer to wait for a critical patch.</p>
<p>In the meantime, exploits for the flaw will no doubt grow in number and cunning&#8211;a nightmare since the PDF format and Adobe&#8217;s related apps are so widely used. &#8220;Right now we believe these files are only being used in a smaller set of targeted attacks,&#8221; <a href="http://www.shadowserver.org/wiki/pmwiki.php?n=Calendar.20090219">security group Shadowserver said in an advisory on the matter</a>. &#8220;However, these types of attacks are frequently the most damaging and it is only a matter of time before this exploit ends up in every exploit pack on the Internet.&#8221;</p>
<p>Shadowserver recommends disabling Javascript in Acrobat and Reader to limit exposure to such attacks.  There are, of course, other solutions as well&#8211;<a href="http://www.foxitsoftware.com/">Foxit</a> for Windows users, <a href="http://www.apple.com/macosx/features/300.html#preview">Preview</a> for Mac users, and <a href="http://www.foolabs.com/xpdf/about.html">Xpdf</a> for Linux users.</p>
