<p>At a media event in New York today, Yahoo CEO Marissa Mayer announced a new office in Times Square for the Silicon Valley Internet giant. </p>
<p>&#8220;From one Mayor to another,&#8221; said Mayor Michael Bloomberg to Mayer (<em>get it?</em>) about locating in Manhattan&#8217;s iconic location, which will house 500 Yahoo employees.</p>
<p>But not Tumblr, which will remain blissfully downtown, even after its <a href="http://allthingsd.com/20130519/yahoo-tumblrs-for-cool-board-approves-1-1-billion-deal/">$1.1 billion all-cash acquisition by Yahoo</a> announced today.</p>
<p>&#8220;We&#8217;re very happy that Tumblr is a home-grown company,&#8221; said Bloomberg,</p>
<p>Irony alert: Yahoo&#8217;s new digs in the Big Apple is actually the old HQ of the New York Times. </p>
<p>&#8220;Twenty years ago there were a lot of Yahoos in New York,&#8221; said the Bloomberg, channeling Jackie Mason and then touting the local tech industry and reeling off the stats. </p>
<p>Boiled down: Geeks rule. </p>
<p>Mayer also talked briefly about the acquisition of Tumblr and repeated the trying-really-hard-to-be-wacky, &#8220;we&#8217;re going to try not to screw it up&#8221; promise.</p>
<p>Mayer then introduced another promise &#8212; a commitment to fix Yahoo&#8217;s last major acquisition screw-up, Flickr.</p>
<p>Yahoo exec Adam Cahan, who is in charge of the photo-sharing service and who uses the term &#8220;awesome&#8221; quite a lot, came on next to show the changes.</p>
<p>He introduced a new design, which looks kinda like Instagram and kinda like Flipboard and kinda like Apple and kinda like Facebook&#8217;s homepage. It does bring Yahoo up to speed with others in the key photo-sharing space, which is good.</p>
<p>(Sorry, I cannot be more detailed, since I could only see it via Internet, because <strong>AllThingsD.com</strong> was not invited to the event by Yahoo.)</p>
<p>From what I can tell, it&#8217;s very image-centric with big photos and little text.</p>
<p>Cahan also introed a new Google Android mobile version and said that Flickr will offer a terabyte of space for free to users, which is about 537,731 photos. </p>
<p>Then he talked about a terabyte a lot, claiming that &#8220;no other Internet company has offered you a terabyte&#8221; of space. (Well, I would imagine Google and Facebook will now do so in a New York minute.)</p>
<p>Some very nice man with a German accent demoed it. (Again, I am not there and did not see a name going by on screen, and I can&#8217;t ask Yahoo PR his name.)</p>
<p>It&#8217;s purty, for sure, and nice to be able to upload photos in their full fidelity without worrying about space constraints.</p>
<p>Mayer called it &#8220;spectacular,&#8221; &#8220;bigger&#8221; and, of course, &#8220;awesome.&#8221;</p>
<p>It is certainly much more striking than how the antiquated Flickr homepage used to look like &#8212; which was circa 1969. But, like I said, kinda like what others have already done, although these updates are certainly a welcome change for Flickr. </p>
<p>Mayer then ran a very cute video for the changes, which, well, was kinda like an Apple video.</p>
<p>&#8220;Flickr was awesome once and then it languished,&#8221; said Mayer, declaring victory already. &#8220;And now it&#8217;s awesome again.&#8221;</p>
<p>In a Q&#038;A after, Mayer, Cahan and the nice German guy answered questions about integration of Tumblr and Flickr (not yet!); how it was like or not like Instagram (no cropping apparently &#8212; which is exactly what is fantastic about Instagram); the terabyte (it&#8217;s awesome!); and more Tumblr deets (you know them already); monetization; and a bizarre one about redundancy so you don&#8217;t lose photos. </p>
<p>Mayer also said that Yahoo had bought 11 billboards in Times Square to show off Flickr and noted there was a party after for the media. (Except the unchosen, so I am enjoying a nice glass of Cabernet all by my lonesome. Frankly, it&#8217;s <em>awesome!</em>) </p>

<p>Despite largely anecdotal media speculation, it&#8217;s not clear how the acquisition of Tumblr by Yahoo for $1.1 billion will be greeted by users of the New York blogging service.</p>
<p>But rival blogging service WordPress&#8217;s founder <a href="http://ma.tt/2013/05/yahooblr/">Matt Mullenweg posted on his blog</a> last night that WordPress imports from Tumblr on Sunday &#8212; after news of the deal had been broken by <strong>AllThingsD.com</strong> &#8212; had risen from a typical 400 to 600 blog posts an hour to more than 72,000.</p>
<p><em>Whoa!</em></p>
<p>That said, this is not an uncommon occurrence. Some users of Posterous fled the blogging service when Twitter bought it, and some Instagrammers huffed off when Facebook nabbed the photo-sharing site.</p>
<p>And, by comparison, Tumblr says it get 75 million blog posts per day &#8212; so 72,000 are just a drop in the ironic blogging ocean.</p>
<p>Plus, Mullenweg thinks the high price paid by the Silicon Valley Internet giant was low.</p>
<p>&#8220;I think we&#8217;re at the cusp of understanding the ultimate value of web publishing platforms, particularly ones that work cross-domain, and while Yahoo&#8217;s all-cash deal by some metrics, like revenue, is very generous, I think it&#8217;s a tenth of the value that will be created in these platforms over the coming years,&#8221; wrote Mullenweg.</p>
<p>Here&#8217;s his post:</p>
<blockquote class="memo"><p>It now looks pretty certain that Yahoo has pulled off a deal to buy Tumblr for 1.1B. The relationship between WordPress and Tumblr has always been pretty friendly: Tumblr&#8217;s own blog used to be on WP, WordPress.com supports Tumblr as a Publicize option alongside Twitter and Facebook, our Akismet team sends them daily emails of splogs on the service, and there’s healthy import and export traffic both ways. (Imports have actually spiked on the rumors even though it&#8217;s Sunday: normally we import 400-600 posts an hour from Tumblr, last hour it was over 72,000.)</p>
<p>News like this, whether from a friend or a competitor, is always bittersweet: I&#8217;m curious to see what the creative folks behind Tumblr do with their new resources, both personal and corporate, but I&#8217;m more interested to know what they would have done over the next 5-10 years as an independent company. <p>According to numerous sources close to the situation, the Tumblr brand will continue on in the wake of <a href="http://allthingsd.com/20130519/yahoo-tumblrs-for-cool-board-approves-1-1-billion-deal/">its $1.1 billion acquisition by Yahoo</a>.</p>
<p>That includes definitive promises by Yahoo CEO Marissa Mayer to once-sale-shy Tumblr CEO David Karp to allow him to shepherd the fast-growing blogging product, with no forced integration with Yahoo&#8217;s many other content properties.</p>
<p>That said, sources added, there will be more back-end changes to marry infrastructure, such as undergirding Tumblr&#8217;s nascent advertising business and giving it more distribution opportunities.</p>
<p>&#8220;At the beginning, at least, it&#8217;ll be hands-off,&#8221; said one person close to the situation. &#8220;It has to be.&#8221;</p>
<p>While that is probably no surprise, it&#8217;s still good news for Tumblr employees as well as its very opinionated user base, which is not likely to greet a takeover by a corporate giant of the social, iconoclastic user-generated content service.</p>
<p>That said, Yahoo execs discussed and are aware of <a href="http://allthingsd.com/20130518/why-yahoo-doesnt-think-tumblr-has-a-porn-problem/?mod=atd_homepage_carousel">issues around porn published on the site</a>, although they believe it to be fixable over time.</p>
<p>As Peter Kafka noted:</p>
<blockquote class="memo"><p>To spell that out: Tumblr&#8217;s advertisers don’t have to worry about their stuff showing up on blogs like We Want Porn. At worst, it&#8217;s possible that they&#8217;ll end up advertising to a user whose dashboard includes posts from We Want Porn. But in general, they ought to be pretty well insulated from that stuff.</p>
<p>By the same token, if Yahoo wanted to, it could end up scrubbing Tumblr of porn, and losing a lot of users and views &#8212; but it probably wouldn’t lose much in the way of monetizable users. Unless it turns out that the majority of Tumblr&#8217;s core users have signed on exclusively to use porn.</p></blockquote>
<p>Or, as a Tumblr investor also told Kafka: &#8220;Non-story. Tumblr is the Internet. It&#8217;s a dashboard-follower model, opt-in.&#8221;</p>
<p>Moving on from porn, sources close to the situation &#8212; okay, pretty much <em>everyone</em> is chit-chatting away now &#8212; said that Mayer spent a lot of time with Karp (who was in Silicon Valley last week, in fact, visiting her) about the transition, and about how the new ownership would impact him and the service.</p>
<p>One source called them &#8220;kindred spirits&#8221; on the issue, and that Mayer has been given great purview by the Yahoo board to foster Tumblr to prevent it from turning out like Flickr, Delicious and many other big acquisitions dating back to GeoCities. (I was there covering that deal way back when, and what a mess <em>that</em> was!)</p>
<p>Mayer is well-liked by product and engineering entrepreneurs, and has often focused on them at Yahoo, over the perhaps more important demands of business and advertising execs.</p>
<p>That would appeal to Karp, who once famously said that online advertising made him physically sick. Still, he has recently begun to embrace ad sales at Tumblr.</p>
<p>Within the last year or so, Tumblr has started selling modestly sized &#8220;native ads&#8221; promoting brands&#8217; Tumblr pages on users&#8217; dashboards, which has shown promise. Tumblr has said it had $13 million in revenue last year, and sources said it could get to up to $100 million this year.</p>
<p>&#8220;We&#8217;re going to be very careful here,&#8221; said a source with knowledge of the acquisition.</p>
<p>A source at Tumblr agreed: &#8220;This will be a very delicate dance, since so much could go wrong if done without care.&#8221;</p>
<p>Still, some at Yahoo are worried that the company might be chasing the youthful demographic at Tumblr too assiduously. &#8220;This is a very fickle audience,&#8221; said another high-ranking Yahoo exec. &#8220;Chasing a young one is a very tricky thing.&#8221;</p>
<p>Yes, indeed, but Mayer thinks she is the one to be able to pull it off and make Yahoo relevant with an even wider consumer base.</p>
<p><strong>AllThingsD</strong> <a href="http://allthingsd.com/20130517/yahoo-board-to-meet-sunday-to-consider-1-1-billion-all-cash-deal-to-acquire-tumblr/">broke news of the deal in the offing last week</a>, which has since been approved by Yahoo&#8217;s board.</p>

<p>The Yahoo board has approved a massive $1.1 billion all-cash deal to buy Tumblr.</p>
<p>It&#8217;s not clear when the official vote was taken, but sources close to the board said the acquisition was a foregone conclusion and was unanimously approved by the directors of Silicon Valley Internet giant. </p>
<p>The deal will likely be announced Monday morning, said numerous sources. </p>
<p><strong>AllThingsD.com</strong> initially broke the story of the <a href="http://allthingsd.com/20130516/will-yahoo-try-to-get-its-cool-again-by-doing-a-deal-for-tumblr/">acquisition efforts</a> and later followed up with <a href="http://allthingsd.com/20130517/yahoo-board-to-meet-sunday-to-consider-1-1-billion-all-cash-deal-to-acquire-tumblr/">details of the exact price and the board meeting to approve the transaction</a>. </p>
<p>There were no other competing bids, despite reports, to snap up the New York-based social blogging service. That said, Tumblr had held some very preliminary discussions about various deals with Facebook, Google, Microsoft and also Twitter earlier this year. </p>
<p>As part of the Yahoo deal, Tumblr CEO David Karp &#8212; who will get a windfall of cash from the acquisition &#8212; will stay at Yahoo for four years at least and retain a lot of control over the service, much in the same way Instagram CEO Kevin Systrom does at Facebook. But, as there, Yahoo will undergird Tumblr&#8217;s nascent advertising business with its large and established infrastructure, said sources.</p>
<p>Yahoo had been mulling some kind of deal with Tumblr, from a strategic investment to an outright acquisition, for about six weeks. Sources said that Yahoo CEO Marissa Mayer had decided that buying the company was going to be &#8220;the stake in the ground of what her strategy is going forward for Yahoo.&#8221;</p>
<p>And that is to attract younger audiences with just the kind of user-generated content Tumblr has pioneered to impressive growth.</p>
<p>According to numerous sources, Mayer determined quickly in her research that the site was just the kind of property that Yahoo needed to make it both &#8220;cool&#8221; and relevant to new consumers.</p>
<p>Yahoo is looking to bolster its strong set of existing media offerings to appeal to a different demographic and also get into the social space via consumer-based software solutions that are both elegant and easy to use.</p>
<p>Tumblr&#8217;s mobile usage has also been strong, which also interested Mayer. While Tumblr started as a desktop-based service, its mobile offering has ramped up quickly in the last few years. ComScore says that a quarter of the service&#8217;s U.S. visitors now come from mobile devices.</p>
<p>At this price, it will be Mayer&#8217;s biggest acquisition so far. Since she became CEO last summer, Mayer has made only a series of small acquisitions of mobile startups at a low cost.</p>
<p>According to sources, the Tumblr brand will continue.</p>
<p>The deal, if consummated, will be a big win for investors. In a series of fundings since 2007, Tumblr has raised $125 million so far and is now at a reported valuation of $800 million. Investors include Spark Capital, Union Square Ventures, Sequoia Capital, Greylock Partners, Insight Venture Partners and the Chernin Group.</p>
<p>While Tumblr&#8217;s Karp has resisted various offers for the company over the years, Mayer spent a lot of time with him reassuring him that Yahoo could turbocharge his business. He has also been searching for a COO to help him build out the infrastructure of its business, especially its advertising one.</p>
<p>And as Peter Kafka and I previously wrote, Tumblr could certainly bring Yahoo a big, young audience. Its worldwide traffic was at 117 million visitors in April, according to comScore. On its home page, Tumblr claims it has 107.8 million blogs and 50.6 billion posts. U.S. desktop traffic to Tumblr was 37 million in April, close to LinkedIn and Twitter, although Twitter obviously has much more via mobile.</p>
<p>But figuring out how to make money from that is a task that the company has only recently started to tackle.</p>
<p>Like other recent Web startups that have seen rocketship growth &#8212; see: Twitter, Facebook &#8212; Tumblr resisted advertising for its formative years, and its user base seems particularly unwilling to accept standard banner ads. In addition, many industry observers think that Tumblr&#8217;s pages are packed with porn or other questionable content that would scare off advertisers.</p>
<p>But within the last year or so, Tumblr has started selling modestly sized &#8220;native ads&#8221; promoting brands&#8217; Tumblr pages, on users&#8217; &#8220;dashboards,&#8221; which has shown promise. Tumblr has said it had $13 million in revenue last year and sources said it could get up to $100 million this year.</p>
<p>Tumblr has been represented by Qatalyst Partners&#8217; Frank Quattrone, while Yahoo&#8217;s Mayer, as well as M&#038;A head Jackie Reses and CFO Ken Goldman, have been on the company&#8217;s side.</p>
<p>Interestingly, what got me first focused on Tumblr last week were Goldman&#8217;s comments at JP Morgan&#8217;s Global Technology conference last week, where he underscored the need for the aging Yahoo to attract more users from the coveted 18-to-24-years-old age bracket. Along with more marketing, he explicitly said Yahoo needed to be &#8220;cool again.&#8221;</p>
<p>&#8220;One of our challenges is we have had an aging demographic,&#8221; said Goldman at the Boston event. &#8220;Part of it is going to be just visibility again in making ourselves cool, which we got away from for a couple of years.&#8221;</p>
<p>Tumblr, apparently, fits the very expensive bill. </p>

<p>Because I get bored on Sunday nights, I opened up Yahoo&#8217;s recent regulatory filings for some light reading and, as usual, found some tasty information that the company had kindly dropped in for my erudition, but declined to call my attention to.</p>
<p>Namely, that the Silicon Valley Internet giant is paying not so very much for its mobile acquisitions, according to several documents the company has filed.</p>
<p>In fact, Yahoo&#8217;s average price paid for each of five of the 10 startups it has purchased since last fall is a tiny $3.2 million in cash. </p>
<p>For example, here&#8217;s last week&#8217;s <a href="http://www.sec.gov/Archives/edgar/data/1011006/000119312513202371/d498788d10q.htm">10-Q</a> referring to three of CEO Marissa Mayer&#8217;s first acquisitions &#8212; content curation app <a href="http://allthingsd.com/20130122/yahoo-poised-to-acquire-content-curation-site-snip-it/">Snip.it</a>, which Yahoo bought in January (funding amount unknown, but the $10 million acquisition price reported by some sites is clearly wrong, as you will see from the filing); recommendation app <a href="http://allthingsd.com/20130212/with-new-alike-mobile-app-acquisition-yahoo-pushes-into-local-discovery/">Alike</a> (funding amount unknown), which was on February&#8217;s menu; and recommendation app <a href="http://allthingsd.com/20130320/yahoo-brings-jybe-team-back-into-the-fold/">Jybe</a> (funding amount unknown), which the company picked up in mid-March:</p>
<blockquote class="memo"><p>The Company did not make any acquisitions during the three months ended March 31, 2012. However, during the three months ended March 31, 2013, the Company acquired three companies, all of which were accounted for as business combinations. The total purchase price for these acquisitions was $10 million and consisted entirely of cash consideration, primarily allocated to goodwill. Goodwill represents the excess of the purchase price over the fair value of the net tangible and intangible assets acquired and is not deductible for tax purposes.</p>
<p>The Company&#8217;s business combinations completed during the three months ended March 31, 2013 did not have a material impact on the Company’s condensed consolidated financial statements.</p></blockquote>
<p>Going back further, Yahoo&#8217;s purchase of recommendation app Stamped last October (it had $3 million in funding) and video-chat app OnTheAir ($880,000 in funding) in December were also on the cheap &#8212; a bargain at $6 million total &#8212; according to its <a href="http://www.sec.gov/Archives/edgar/data/1011006/000119312513085111/d442073d10k.htm">10-K filed a few months ago</a>:</p>
<blockquote class="memo"><p>During the year ended December 31, 2012, the Company acquired two companies, which were accounted for as business combinations. The total purchase price for these acquisitions was $7 million. The total cash consideration of $7 million less cash acquired of $1 million resulted in a net cash outlay of $6 million. Of the total purchase price, $6 million was allocated to goodwill and $1 million to cash acquired. Goodwill represents the excess of the purchase price over the fair value of the net tangible and intangible assets acquired and is not deductible for tax purposes.</p>
<p>The Company&#8217;s business combinations completed in 2012 did not have a material impact on the Company&#8217;s consolidated financial statements, and therefore pro forma disclosures have not been presented.</p></blockquote>
<p>It will be interesting to see what Yahoo reveals as to the price, and how it will account for the late March acquisition of Britain&#8217;s news reader Summly, which <strong>AllThingsD</strong> <a href="http://allthingsd.com/20130325/yahoo-paid-30-million-in-cash-for-18-months-of-young-summly-entrepreneurs-time/">reported was a loftier $30 million</a>.</p>
<p>The Summly deal did not appear to have closed by the end of the quarter, so no purchase information has been released, although it will be soon enough, along with that of the more recent string of mobile buys by Yahoo: To-do app <a href="http://allthingsd.com/20130501/yahoo-acquires-to-do-app-maker-astrid/">Astrid</a>, social polling app <a href="http://allthingsd.com/20130509/yahoo-snaps-up-two-more-small-mobile-companies-milewise-and-gopollgo-in-ongoing-acq-hires/">GoPollGo</a>, travel rewards app <a href="http://allthingsd.com/20130509/yahoo-snaps-up-two-more-small-mobile-companies-milewise-and-gopollgo-in-ongoing-acq-hires/">MileWise</a> and mobile gaming studio <a href="http://allthingsd.com/20130510/yahoo-snaps-up-mobile-gaming-company-loki-studios/">Loki</a>.</p>
<p>For those four tiny companies, which were doubtlessly also bought for very little, Yahoo did tout what it&#8217;s really after in a festive tweet on Friday.</p>

<p>LivingSocial, the daily deals site owned in part by Amazon, has suffered a massive cyber attack on its computer systems, which an email from CEO Tim O&#8217;Shaughnessy &#8212; just sent to employees and obtained by <strong>AllThingsD.com</strong> &#8212; said resulted in &#8220;unauthorized access to some customer data from our servers.&#8221; </p>
<p>The hack includes customer names, emails, birthdates and encrypted passwords.</p>
<p>The breach has impacted 50 million customers of the Washington, D.C.-based company, who will now be required to reset their passwords. All of LivingSocial&#8217;s countries across the world appear to have been affected, except in Thailand, Korea, Indonesia and the Philippines, as LivingSocial units Ticketmonster and Ensogo there were on separate systems.  </p>
<p>One positive note in a not-so-positive situation: The email sent to employees and customers noted that neither customer credit card nor merchant financial information was accessed in the cyber attack.</p>
<p>This is the latest big data breach in the consumer Internet space, which has seen troublesome incursions into some high-profile companies recently, including Zappos, <a href="http://allthingsd.com/20120606/linkedin-tells-users-to-change-passwords-confirms-breach/">LinkedIn</a> and <a href="http://allthingsd.com/20130302/add-to-hacked-list-listmaking-company-evernote/">Evernote</a>.</p>
<p>When asked for comment on the email, a LivingSocial PR spokesman confirmed the attack and that 50 million customers were impacted.</p>
<p>The attack comes at a tough time for the company, since it has been trying to turn itself around after a downturn across the daily deals landspace. LivingSocial got a <a href="http://allthingsd.com/20130220/livingsocial-gets-a-much-needed-110-million-boost/">large cash infusion recently</a> from investors to help staunch its losses. Amazon owns 29 percent of the company. </p>

<p>At a human resources conference yesterday, Yahoo CEO Marissa Mayer finally commented on the massive controversy generated after the Silicon Valley Internet company decided to end its work-from-home offering to its employees.</p>
<p>News of the change came in February after <strong>AllThingsD</strong> <a href="http://allthingsd.com/20130222/physically-together-heres-the-internal-yahoo-no-work-from-home-memo-which-extends-beyond-remote-workers/">published a hopelessly awkward memo on the new dictate that resulted in a firestorm of debate</a>.</p>
<p>That was no surprise, since the missive was confusingly penned by HR head Jackie Reses, who noted, in part: &#8220;Speed and quality are often sacrificed when we work from home. We need to be one Yahoo!, and that starts with physically being together.&#8221; Along with an incomprehensible aside about the &#8220;cable guy,&#8221; there were few details.</p>
<p>And because Yahoo PR&#8217;s goal is to not comment, except when pushing shiny new products, it was disinclined to say anything at all once the memo was public. <strong>ATD</strong> reported initially it was a couple hundred employees, but the memo made it unclear who would be impacted and how. Yahoo later made an unusually bloodless statement that work from home was not what was right for the company at that time, given its need to turn itself around.</p>
<p>Mayer underscored that point in her keynote speech, with <a href="http://tech.fortune.cnn.com/2013/04/19/marissa-mayer-telecommuting/">Fortune reporting</a> that she put up an image of a purple elephant with WFH letters on its side and said, &#8220;I need to talk about the elephant in the room.&#8221; </p>
<p>She also tried to push blame onto, well, I am not sure whom, noting, &#8220;It was wrongly perceived as an industry narrative.&#8221; This mistakes-were-made tactic was clever, but the situation spun out of control simply due to the fact that Mayer was tin-eared on a hot-button issue and was poorly advised not to give a quick and cogent explanation of it at the time, causing a lot of unnecessary external and internal confusion and worry.</p>
<p>What was too bad was Mayer had a valid enough point &#8212; even if it was very harsh medicine to end the popular policy &#8212; that Yahoo probably needs all hands on deck right now to return to innovative relevance. She also said in her speech that while &#8220;people are more productive when they&#8217;re alone &#8230; they&#8217;re more collaborative and innovative when they&#8217;re together. Some of the best ideas come from pulling two different ideas together.&#8221;</p>
<p>As I said, it&#8217;s an excellent point, even if how Mayer delivered her message turned out to be a lesson as a new CEO in how it&#8217;s not what you say, but <em>how</em> you say it. And, of course, when.</p>

<p>Yahoo has bought Summly, the mobile news reader app founded by a young British entrepreneur.</p>
<p>In a statement, the London-based company said it had bought the tiny outfit, which will close its app. The price was not disclosed (although I will try to find out soon enough). But the company had been seeking additional funding recently at a big valuation, in stark contrast to its small size (less than one million downloads), staff (five) and business model (zero revenue).</p>
<p>(<strong>Update</strong>: Sources tell me Yahoo paid just about <a href="http://allthingsd.com/20130325/yahoo-paid-30-million-in-cash-for-18-months-of-young-summly-entrepreneurs-time/">$30 million for Summly</a>, mostly in cash, with 10 percent in stock, for three employees.)</p>
<p><a href="http://allthingsd.com/20121213/mobilemobilemobile-yahoo-eyes-hipster-teen-founded-summly-news-app/"><strong>AllThingsD.com</strong> reported in December</a> that Yahoo was looking closely at the startup, with CEO Marissa Mayer meeting with its founder Nick D&#8217;Aloisio. As we noted then, Yahoo was aiming at trendy mobile &#8220;acq-hires&#8221; to give the sleepy Silicon Valley Internet giant some sizzle and improve its moribund mobile offerings.</p>
<p>Mayer has been buying up a range of similar small mobile startups, largely for their teams of talented and innovative engineers. And, at a recent employee meeting, its M&#038;A head Jackie Reses said the Silicon Valley company was <a href="http://allthingsd.com/20130307/loose-lips-yahoo-ma-head-tells-employees-company-looking-at-two-significant-and-a-half-dozen-small-buys/">looking at two significant purchases and a half-dozen smaller ones.</a> </p>
<p>Said Yahoo: &#8220;Founder Nick D&#8217;Aloisio and the Summly team are joining Yahoo! in the coming weeks. While the Summly app will close, we will acquire the technology and you&#8217;ll see it come to life throughout Yahoo!&#8217;s mobile experiences soon. We&#8217;re not disclosing purchase price or other terms of the deal.&#8221;</p>

<p>News readers have been getting snapped up of late. CNN <a href="http://allthingsd.com/20110830/zite-sold-to-cnn-for-just-over-20-million/">acquired Zite for $20 million in 2011</a>, while we reported that <a href="http://allthingsd.com/20130311/whos-about-to-acquire-news-reading-app-pulse-because-someone-is/">LinkedIn was in the midst of buying Pulse for upwards of $50 million</a>. </p>
<p>The 17-year-old D&#8217;Aloisio created the high-profile news reading app, which garnered much attention in the last year in the mobile space, which is probably what attracted Yahoo to it. </p>
<p>As I wrote:</p>
<blockquote class="memo"><p>D&#8217;Aloisio &#8212; who looks like he could easily be a member of One Direction if this tech thing did not work out &#8212; is perhaps a perfect storm for Yahoo, which is seeking to show that it can attract innovative, young entrepreneurs to the company, while also looking to strengthen its nearly bare mobile cupboard.</p>
<p>Summly is all that and a bag of (fish and) chips, with a very slick app for the Apple iPhone that has become one of the more popular in the App Store since it was re-launched last month. The company has said it has been downloaded 500,000 times.</p>
<p>It deserves the attention, as it is a pleasure to use &#8212; think an even hipper version of Flipboard with some more sass. The handsomely designed app summarizes news stories &#8212; all using a natural language processing algorithm &#8212; in only a few sentences and in under 400 characters. Users can then swipe through topics and stories quickly and click in to be directed to the full story on the original news site. </p>
<p>Summly originally started as a prototype app called Trimit, which soon garnered attention and seed funding from Hong Kong billionaire Li Ka-Shing&#8217;s investment firm. In no time, it had a range of other investors, ponying up about $1.5 million, including trendy ones like Ashton Kutcher and tech types like Zynga&#8217;s Mark Pincus, Automattic&#8217;s Matt Mullenweg and Airbnb&#8217;s Brian Chesky.</p>
<p>Since then, it has been striking content deals, including with News Corp. (which owns this site) and others, which seem to be attracted by its investor pedigree, its solid technology and &#8212; perhaps most of all &#8212; its media-darling founder.</p></blockquote>

That was dominated at the beginning of the week by the story we broke on <a href="http://allthingsd.com/20130222/physically-together-heres-the-internal-yahoo-no-work-from-home-memo-which-extends-beyond-remote-workers/">Yahoo CEO Marissa Mayer&#8217;s hot-button ban on working from home</a> for employees, a bid to turn the Silicon Valley Internet giant around quickly.</p>

<p>Tonight, the controversial &#8220;Start-Ups: Silicon Valley&#8221; airs on the Bravo cable television channel. </p>
<p>But, on Wednesday, a less splashy &#8212; and perhaps more amusing &#8212; tech-oriented program is also making its debut on Bravo: &#8220;LOLwork.&#8221;</p>
<p>Yes, it&#8217;s about the wacky start-up with those grammatically incorrect online cats that I so love.</p>
<p>&#8220;LOLwork&#8221; takes the viewer inside the Seattle-based humor company, focusing a lot on its CEO Ben Huh, as well as his Cheezburger team.</p>
<p>Here is a video interview I did with Huh last week at the <strong>AllThingsD.com</strong> global HQ about the show, as well as a Bravo clip of it:</p>

<p>Welcome back, class of 2013. Time to fire up your devices for the jam-packed fall.</p>
<p>As in, tech launches, of course, which is the lifeblood of the ADD-afflicted digital industry.</p>
<p>Perhaps prompted by Apple&#8217;s annual fall-event stylings &#8212; more on <em>that</em> below, of course &#8212; this week is already packed with events (all of which will be exhaustively covered by the crack team here at <strong>AllThingsD</strong>).</p>
<p>That includes two different smartphone unveiling events tomorrow by Motorola Mobility (a.k.a. Google) and Nokia (kinda a.k.a. Microsoft). </p>
<p>Amazon will take the whole next day for itself with the rollout of new Kindle formations, including what is expected to be a larger version, in the Los Angeles area. </p>
<p>Nintendo is up the following week on September 13, with an invite noting it will unveil how its &#8220;Wii U will change the future of gaming and entertainment&#8221; &#8212; is that <em>all</em>? &#8212; at an event in New York.</p>
<p>Today, <a href="http://allthingsd.com/20120904/not-wanting-to-be-left-out-htc-schedules-sept-19-event-in-new-york/">HTC sent out an invite</a> for a September 19 event in New York &#8220;to see what&#8217;s next.&#8221; It&#8217;s another mobile device is my guess!</p>
<p>And, a month later, Microsoft is the outlier of the group, with its own Windows 8 debut on October 26. </p>
<p>Of course, this is all due to the event Apple announced today for September 12 to introduce the iPhone 5, a fact that the tech giant was not even bothering to hide in its invite with a big 5 in the shadow of the 12. </p>
<p>Those clever imps at Apple are probably snickering away today at their Cupertino, Calif., HQ to see if we can figure it all out.</p>
<p>(We did, but are still parsing the symbols to find the location of the Holy Grail, too.)</p>
<p>So, as usual, Apple is at the center of the action, which others have smartly glommed onto (also as usual).</p>
<p>Thus, going forward forever more &#8212; and to get ahead in the consumer mindset before the holiday buying season &#8212; everyone will be required in the post-Labor Day time frame to hawk their latest goods. </p>
<p>Pity the poor consumers, perhaps, but get ready anyway, as there <em>will</em> be a pop quiz.</p>
<p>Speaking of back to school, here is my fave version from the under-appreciated movie musical &#8220;Grease 2&#8221;:</p>

<p>As <strong>AllThingsD</strong> <a href="http://allthingsd.com/20120517/exclusive-yahoo-finally-set-to-strike-alibaba-share-deal-half-now-then-half-of-whats-left-after-eventual-ipo/">reported several days ago they would</a>, Yahoo and Alibaba Group have finally reached an agreement for the Silicon Valley Internet giant to sell back half its stake in the Chinese Web company in a $7 billion deal.</p>
<p>The taxable shares sale agreement, which is now being approved by both boards, is part of a larger and more complex arrangement, which will also include a multibillion-dollar stock buyback by Yahoo and an eventual IPO of Alibaba.</p>
<p>And, perhaps most importantly, it will bring to an end what could be the longest running global cat fight in Internet history, in which the long-time partners have bickered over the terms of their relationship for years now.</p>
<p>It has mostly been over how they could get to the transaction they should be announcing later tonight (or morning in Hong Kong, which it is there now). While it could fall apart at the last minute, that is highly unlikely at this point.</p>
<p>(<strong>Update</strong>: The Yahoo board has approved the deal unanimously, said sources, so it is <em>done</em> done.)</p>
<p>(<strong>Update 2</strong>: Yahoo and Alibaba both confirmed the deal in a joint press release, which is below.)</p>
<p>Thus, after many failed attempts to strike <a href="http://allthingsd.com/20120214/exclusive-yahoo-asia-deal-talks-off/">a tax-free deal</a> &#8212; also involving Yahoo&#8217;s Japanese partner, SoftBank &#8212; collapsed, the pair have finally settled on a taxable deal, which could net Yahoo upwards of $4 billion.</p>
<p>The transaction values Alibaba at $35 billion and is subject to a number of funding issues that could change the value of the deal. </p>
<p>But here is the overall situation, as I previously reported: </p>
<p>Yahoo is set to sell half of its roughly 40 percent stake in Alibaba, in a taxable deal. The transaction is likely to value that portion of Yahoo&#8217;s holdings at about $7 billion &#8212; or 20 percent of Alibaba&#8217;s $35 billion enterprise valuation. Alibaba is in the midst of raising capital to fund the sale.</p>
<p>After taxes of upward of 35 percent are paid on the long-term gains &#8212; remember that Yahoo bought the now-lucrative Alibaba stake for just $1 billion in 2005 &#8212; the company will use the funds to buy back its own shares. That stock has been caught in the mid-teens doldrums for quite a while, so this could help boost shares significantly.</p>
<p>A shareholder dividend is also being considered by the Yahoo board, but it is unlikely. It&#8217;s also not clear if some of the cash will be held back for acquisitions by Yahoo, sources added, but it is also unlikely.</p>
<p>As part of the deal, sources said, medium-term incentives have been put in place for Alibaba to move forward with a public offering, which sources stressed is without contractual obligation or a time frame. Alibaba execs have already been publicly indicating such a direction recently, but this will put them more firmly on that path.</p>
<p>Although there are no plans to go public as yet, the IPO incentive revolves around several terms, including the right to buy back half the remaining stake, which expires in December of 2015. As I previously reported, Yahoo will be required to sell back half of the 20 percent remaining stake upon IPO and the other half after that if Alibaba goes public in the time frame agreed to. </p>

<p>Lastly, the Alibaba voting rights for both Yahoo and SoftBank are much diminished in the new deal, according to sources, to under 50 percent. </p>
<p>Translation: Alibaba CEO Jack Ma is now in the driver&#8217;s seat completely.</p>
<p>Once close, the pair have been wrangling over the large Yahoo ownership, which Ma has been trying to dislodge in a variety of nice and not-so-nice ways. It has resulted in a number of very public disagreements.</p>
<p>That included a <a href="http://allthingsd.com/20110601/alibaba-group-ceo-jack-ma-live-at-d9/">nasty back-and-forth over its Alipay unit</a> with now-fired CEO Carol Bartz, <a href="http://allthingsd.com/20110930/jack-ma-at-stanford-we-are-very-interested-in-buying-yahoo/">threats of takeover of Yahoo</a> with private equity firms and, more recently, making friendly with its just-ousted CEO, Scott Thompson.</p>
<p>Those talks with him in recent weeks, which included a visit to China by Thompson, led to the new deal, which was negotiated primarily between Yahoo&#8217;s CFO Tim Morse and legal head Mike Callahan and Ma and Alibaba&#8217;s Joe Tsai.</p>
<p>The talks continued even as Thompson was suddenly engulfed in a controversy over a fake computer science degree on his resume that quickly led to <a href="http://allthingsd.com/20120513/yahoo-officially-confirms-atd-report-on-ceo-changes-and-proxy-settlement/">his departure from Yahoo</a>.</p>
<p>Ironically, the error was first discovered by activist shareholder Daniel Loeb, who is now voting on the deal as a newly named director of Yahoo, after successfully helping to oust Thompson.</p>
<p>He owns almost 6 percent of Yahoo.</p>
<p>The final decision to approve the deal was in the hands of a very new board of Yahoo, which has been drastically reshaped in recent weeks. It met to decide on the deal this weekend.</p>
<p>While the deal with Alibaba is finally nearing an end, Yahoo&#8217;s talks to sell its 33 percent stake in Yahoo! Japan is not part of this agreement. That&#8217;s due to what Thompson had called a &#8220;valuation gap,&#8221; which sources said is still an outstanding issue.</p>
<p>New interim CEO Ross Levinsohn has not been involved in the Alibaba deal in any significant way. But he certainly will benefit from its halo effect, if approved, especially given that it will likely boost Yahoo shares.</p>
<p>It also puts Yahoo in a unique situation, in which it must sink or swim more largely based on the value of its troubled core business.</p>
<p>That could mean a lot of things, including the eventual sale of the company, whose most lucrative asset recently &#8212; its Alibaba holding &#8212; will matter much less.</p>
<p>As soon as I get the press release, I will post it here, but no one is commenting, despite the inevitable happy ending to this long-running story.</p>

<blockquote class="memo"><p><strong>Yahoo! and Alibaba Reach Agreement on Comprehensive Plan for Alibaba Stake Agreement Realizes Significant Value, Immediate Liquidity and Path to Future Monetization</p>
<p>Yahoo! Board Increases Share Repurchase Plan by US$5 Billion</p>
<p>May 20, 2012 &#8212; Sunnyvale, California and Hangzhou, China &#8211;</strong> Yahoo! Inc. (NASDAQ: YHOO) and Alibaba Group Holding Limited today announced they have entered into a definitive agreement for a staged and comprehensive value realization plan for Yahoo!&#8217;s stake in Alibaba.</p>
<p>The first step is the repurchase by Alibaba of up to one-half of Yahoo!&#8217;s stake, or approximately 20% of Alibaba&#8217;s fully-diluted shares. The purchase price will be based on a valuation of Alibaba to be established through equity financings that Alibaba intends to undertake to finance the transaction, subject to a floor valuation of approximately US$35 billion. The agreement includes substantial financial incentives for Alibaba to raise the additional equity at a valuation higher than US$35 billion. At the minimum price and assuming the initial repurchase of the full 20% stake, Yahoo! would receive from Alibaba consideration of approximately US$7.1 billion, composed of at least US$6.3 billion in cash proceeds and up to US$800 million in newly-issued Alibaba preferred stock. </p>
<p>The agreement also establishes a framework for Yahoo! to monetize its remaining interest in Alibaba in stages. First, at the time of an initial public offering (IPO) of Alibaba in the future, Alibaba will be required either to repurchase one-quarter of Yahoo!&#8217;s current stake at the IPO price or allow Yahoo! to sell those shares in the IPO. Second, following such an IPO, Yahoo! has registration rights and rights to marketing support from Alibaba to enable Yahoo! to dispose of its remaining shares, at times of Yahoo!’s choosing following a customary lock-up period.</p>
<p>This agreement is a result of extensive discussions between the two parties and a comprehensive review of both taxable and tax-efficient alternatives. Yahoo! and Alibaba believe this agreement to be the best path to align incentives and maximize value for shareholders of both companies and it paves the way for Alibaba to achieve future public market liquidity for all of Alibaba&#8217;s shareholders. For Yahoo!, the agreement provides for a staged exit over time, balancing near-term liquidity and return of cash to shareholders with the opportunity to participate in future value appreciation of Alibaba.</p>
<p>&#8220;Today&#8217;s agreement provides clarity for our shareholders on a substantial component of Yahoo!’s value and reaffirms the significance of our relationship with Alibaba,&#8221; said Ross Levinsohn, Interim CEO of Yahoo!. &#8220;We look forward to continued collaboration with the Alibaba team on business initiatives as we explore joint opportunities for growth and benefit from Alibaba&#8217;s future. <p>&#8220;This transaction opens a new chapter in our relationship with Yahoo!,&#8221; said Jack Ma, Chairman and Chief Executive Officer of Alibaba Group. &#8220;I look forward to working with Ross Levinsohn and the Yahoo! team as Alibaba builds China&#8217;s leading e-commerce company. Yahoo!&#8217;s global audience reach will provide attractive partnership opportunities for Alibaba to explore markets outside of China. The transaction will establish a balanced ownership structure that enables Alibaba to take our business to the next level as a public company in the future.&#8221;</p>
<p>&#8220;We look forward to delivering the proceeds of the near-term transaction to our shareholders, and to the further enhancement of value and the additional monetization in the future that this agreement enables,&#8221; said Timothy R. Morse, Executive Vice President and Chief Financial Officer of Yahoo!.  </p>
<p>In addition to the share repurchase, the companies have also agreed to amend their existing technology and intellectual property licensing agreement. Among other things, this amendment will result in Yahoo! granting Alibaba a transitional license to continue to operate Yahoo! China under the Yahoo! brand for up to four years, while restrictions on Yahoo!&#8217;s ability to make other investments in China will be terminated. Alibaba will make an upfront lump sum royalty payment of US$550 million to Yahoo! and continuing royalty payments for up to four years. In addition, Alibaba will license certain patents to Yahoo!. Upon closing of the repurchase transaction, the Alibaba shareholders&#8217; agreement will be amended so that the parties’ respective rights will be commensurate with the parties’ post-closing level of ownership in Alibaba. Yahoo! will continue to be represented on Alibaba’s board of directors with the right to appoint one of four existing directors.</p>
<p>Yahoo! intends to return substantially all of the after-tax cash proceeds to shareholders following the closing of the transaction. While the form of the return of capital to shareholders has not yet been finalized, Yahoo!&#8217;s board has increased Yahoo!&#8217;s share buyback authorization by US $5 billion concurrently with this transaction.</p>
<p>The transaction is subject to customary closing conditions. Alibaba will be required to close the repurchase with respect to at least one-quarter of Yahoo!’s current stake in Alibaba regardless of the amount of financing raised, and up to one-half of Yahoo!&#8217;s current stake if it obtains the requisite financing. Alibaba intends to finance the repurchase through a combination of its own cash resources, debt, equity and equity-linked financing. <p>Five years ago, <strong>AllThingsD.com</strong> was launched with just a few staffers, a few stories and a whole lot of hope. Also, as it turned out, with a panoply of LOLcat photos.</p>
<p>The site had soft-launched a little earlier, but &#8212; <a href="http://raanan.com/2007/04/26/all-things-digital-has-launched/">officially</a> &#8212; we opened our doors in the late evening of April 26, 2007. Walt Mossberg wrote about a Kodak printer; John Paczkowski wrote about, <em>wait for it</em>, Apple; and I opined on how then-Yahoo-CEO Terry Semel might save the troubled company.</p>
<p>The more things change &#8230;</p>
<p>Actually, despite the fact that we have grown hugely in both traffic and staff, and have logged almost 26,000 posts, little has changed in how <strong>ATD</strong> looks at its role in covering tech, using stringent standards of fairness, accuracy, ethics and reporting.</p>
<p>As I wrote back then: &#8220;That is what we will be trying to do most of the time here, attempting to figure out what is happening in the digital space and explaining it in a way that is clear and cogent.&#8221;</p>
<p>And, of course, have some fun doing it.</p>
<p>Thus, mission accomplished, and mission never accomplished, too.</p>
<p>Walt and I want to thank everyone, from our outstanding staff to our Dow Jones colleagues to the many companies we cover to &#8212; most of all &#8212; our readers.</p>
<p>There is a lot more to come going forward, and we hope to never disappoint and always delight.</p>

<p>As many readers know, we have been adding to our staff here at <strong>AllThingsD</strong>, most recently in our new reviews section, with the addition of Lauren Goode earlier this year.</p>
<p>Now Walt Mossberg and I are proud to announce that Mike Isaac is joining our team to cover the social Web and its biggest players, including Facebook, Twitter and Google+.</p>
<p>He comes to <strong>ATD</strong> most recently from a staff writer position at Wired, where, among many other things, he spent much of his time writing about Google&#8217;s mobile and social efforts.</p>
<p>From 2010 to 2012, his coverage at Wired included the decline and fall of Hewlett-Packard&#8217;s mobile empire, Google&#8217;s surprise acquisition of Motorola Mobility, and Facebook&#8217;s steady trudge toward IPO-hood. </p>
<p>Prior to that, he wrote about the business of tech for Forbes magazine and Forbes.com, with a particular emphasis on start-ups and social. His work has also appeared in Paste magazine, Performer magazine, DNR magazine and the Washington Examiner.</p>
<p>Isaac holds a degree in English literature from the University of California at Berkeley, and is a former Georgetown University journalism fellow.</p>
<p>He takes over the social beat from Liz Gannes, who will be stepping up our coverage of the many businesses of Google, innovation, venture investing and the start-up scene &#8212; especially its bigger companies, from Pinterest to Quora to Dropbox. Gannes, as everyone who follows her knows well, has become a key observer of Silicon Valley and its players, and her insights into the tech scene have become one of our most invaluable offerings.</p>

<p>ParkMe is an app that <strong>AllThingsD</strong> writer <a href="http://allthingsd.com/20120312/the-best-and-worst-marketing-gimmick-in-austin/">Ina Fried wrote</a> was &#8220;the best (and worst) marketing gimmick in Austin&#8221; at the SXSW Interactive festival last week.</p>
<p>Simply put, the Los Angeles-area start-up used fake tickets and boots to get the word out about their app, which recommends the &#8220;cheapest and closest parking around you.&#8221;</p>
<p>Yes, boots in Texas. Heh.</p>

<p>Tomorrow, as part of the commitment that <strong>AllThingsD</strong> has to providing its readers with ever more high-quality content, this site will be launching a new reviews section, <strong>All Things Reviewed</strong>.</p>
<p>Simply put, we&#8217;re building on the consumer-tech reviews by Walt Mossberg and Katie Boehret that we&#8217;ve always run, with a fresh team of <strong>ATD</strong> reviewers, the first of whom is the talented Lauren Goode.</p>
<p>Lauren will be joined in the coming months by additional strong reviewers, who we will be adding soon, and each of whom will likely do one meaty review a week.</p>
<p>Katie, who will continue as a columnist at The Wall Street Journal, will also take on the added task of editing the new <strong>All Things Reviewed</strong> section, which we designed to be bright and graphical and easy to navigate.</p>
<p>We&#8217;ll also have plenty of timely, interesting consumer product news in addition to the in-depth reviews. It will all be integrated into the main <strong>ATD</strong> site, too, because we consider it a key part of providing a range of news, information, analysis and context to those who come to us for trustworthy, fair and accurate journalism.</p>
<p>Make no mistake: We think it is critical that reviews adhere to the same strict tenets of reporting we have for everything we post here. The reviews of the products we will feature take time, rigorous testing and deep critical analysis.</p>
<p>And, like Walt&#8217;s and Katie&#8217;s current reviews, these new <strong>ATD</strong> reviews will be based on thorough testing and aimed at smart consumers &#8212; and not just techies and enthusiasts.</p>
<p>That&#8217;s why we will pick carefully which products are significant or might be interesting to a broader range of readers. In other words, we won&#8217;t be reviewing every single slightly changed phone or laptop, or every me-too location app, and we won&#8217;t bore you with chip speeds and technobabble.</p>
<p>Thus, as hard as it is to say to the geeks who follow us, we will shun the rigid spec lists and templates used elsewhere, and instead present you with holistic, experience-based reviews that tell the story of the product &#8212; hardware, software, apps, games, Web sites and services.</p>
<p>Most importantly, we won&#8217;t be afraid to point out negatives, even if the manufacturer is an advertiser. Our aim is to earn your trust and be on your side, even if you disagree at times with our conclusions.</p>

				<content:encoded><![CDATA[<p>I certainly was not expecting the kind of start-up that former Sun Microsystems CEO Jonathan Schwartz &#8212; he of the fantastic ponytail &#8212; showed off to me at <strong>AllThingsD.com</strong> Global HQ earlier this week.</p>
<p>No enterprise. No servers. No software. </p>
<p>Instead, a very intriguing new social networking site called CareZone, aimed at helping people managing chronic health care issues, whether it be elderly parents, sick children or others.</p>
<p>The private site, subscription-based and without advertising, feels like Facebook for dealing with illness, creating an online community among family members, as well as others involved in the care.</p>
<p>Among the features: Profiles, journals, contacts, medication information and a lockbox for key files such as advance directives, to-dos and notes.</p>
<p>Having just endured my own health care issue, I can tell you all the things to take care of become pretty complex and confusing, and are mostly done via email, paper and phone calls.</p>
<p>Schwartz said the idea came from his own difficult experience with his child, who has a chronic illness, as well as a recent health crisis his father had.</p>
<p>He is bootstrapping the seven-person start-up, based in San Francisco, which he founded with Apple and Microsoft vet Walter Smith, who is CareZone&#8217;s CTO.</p>
<p>The cost is $48 a year, or a monthly fee of $5, for a each patient.</p>

				<content:encoded><![CDATA[<p>While <strong>AllThingsD.com</strong> is known for scooping various and sundry internal memos from Internet giants, this is perhaps the most pleasing to post.</p>
<p>It&#8217;s a graphic visualization that our social media editor Drake Martinet did for his beloved, Stacy Green, who is the VP of marketing and communications over at Mashable.</p>
<p>Drake asked Stacy to marry him last night and, because they are both such geeks, did this paean to their relationship that is just adorkable.</p>
<p>And we post it here, because <strong>ATD</strong> is not just about news &#8212; it&#8217;s about love, sweet love. Compared to our Apple coverage, it&#8217;s the only thing that there&#8217;s just too little of.</p>
<p>No, not just for some, but for everyone &#8212; Happy Valentine&#8217;s Day to all our readers.</p>
<p>(By the way, Stacy said yes.)</p>

<p>GigaOM finally fessed up and said that it had bought tech and media news site paidContent, as <strong>AllThingsD.com</strong> media ninja Peter Kafka had <a href="http://allthingsd.com/20120206/is-gigaom-buying-paidcontent/">reported earlier this week</a> it would.</p>
<p>The price is reportedly low, according to sources, but we&#8217;ll find out for you, since neither GigaOM nor the former paidContent owner, Britain&#8217;s Guardian News &#038; Media, is talking. As part of the deal, though, the Guardian has gotten some sort of stake in GigaOM, and someone there is joining its board as an observer.</p>
<p>PaidContent founder Rafat Ali left his company a couple years after selling to the Guardian in 2008. The Guardian put it up for sale in the fall.</p>
<p>Malik has sold off chunks of his own business &#8212; one of the pioneering tech and media news blogs &#8212; to venture capitalists such as True Ventures (where he is now a venture partner) and Reed Elsevier Ventures, who have invested a total of $15 million.</p>

<p>Here is Om Malik&#8217;s <a href="http://gigaom.com/2012/02/08/why-we-are-buying-paidcontent/">blog post</a> on the subject, which goes into all (or almost all) the deets:</p>
<blockquote class="memo"><p>First the news: Yes, the rumors are true. We are indeed buying the assets of ContentNext Media from Guardian News &#038; Media Limited. And no, we are not disclosing the terms of the deal, except that we are buying the entire group of properties &#8212; paidContent.org, mocoNews.net, contentSutra and paidContent:UK and that a representative of Guardian News &#038; Media will join our board of directors as an observer.</p>
<p>A few weeks ago when Paul Walborsky, CEO of GigaOM, came to the board and suggested that we should try and acquire paidContent, my fellow board members &#8212; Jon Callaghan (True Ventures), Ammar Hanafi (Alloy Ventures) and Kevin Brown (Reed Elsevier Ventures) &#8212; didn&#8217;t hesitate for a minute. The ethos of paidContent and our company are in sync. GigaOM&#8217;s core belief is that as connectivity becomes ubiquitous, it changes everything from society to business to we the people. paidContent from the very beginning has been built on the idea that connectedness is and will change media. It makes perfect sense for us to team up. Since then, Paul and his team worked tirelessly to make it happen.</p>
<p><strong>OK, now you know what. Let me tell you why.</strong></p>
<p>Now, why are we doing this deal, clearly the biggest of our five-and-a-half-year history? Two simple but equally powerful reasons &#8212; the first and perhaps most important reason: people. I have been an admirer of paidContent&#8217;s editorial team from the very beginning of its journey. Rafat Ali and Staci Kramer were two of my favorite writers in the early days of professional blogging. And while Rafat (who is on our board of advisers) has moved on to new things, I am glad to have Staci join us. She has been instrumental in building ContentNext from the ground up, and in addition to writing, she has been building the company&#8217;s event business. I am thrilled to announce that she will remain the editor of paidContent.</p>
<p>Ernie Sander who spearheads the ContentNext editorial operations is the kind of veteran everyone on our team, including me, can learn from. And for that precise reason, Ernie is going to become the executive editor of our sprawling online editorial operations. Our managing editor, Nicole Solis, is being promoted to VP of Editorial Operations. And then there is the most awesome team of journalists &#8212; Robert Andrews, Tom Krazit, Daniel Frankel, Laura Hazard Owen, Jeff Roberts and Amanda Natividad. In addition there are a wonderful group of technology, business and sales people who are joining our company. I welcome them all to our growing family and can&#8217;t wait to break bread with them in weeks to come.</p>
<p><strong>Location, location, location</strong></p>
<p>These fine folks are actually going to help bolster our presence in New York and help increase our footprint in Europe, a region of key strategic focus for GigaOM. (We will be hosting Structure:Europe in Amsterdam, October 16-17.) With this deal, we are really pleased that one of the most forward-looking media outlets around, Guardian News &#038; Media, will become a shareholder in our business.</p>
<p>As you all know, I am (and will always be) a displaced New Yorker; New York City is my spiritual home. By increasing our footprint in the capital of the world, I would get a chance to go back more often. But it&#8217;s not an emotional tug that is driving us to this decision. New York is fast becoming a major technology hub, as Ryan Kim outlined in his recent post. And we want to expand our coverage to Boston &#8212; thanks to Barb Darrow who joined us several months ago &#8212; and the Washington DC corridor as well. paidContent&#8217;s New York City offices are now GigaOM East.</p>
<p><strong>Media is the new Wild West</strong></p>
<p>We are quite strategic about our acquisitions &#8212; we acquire media entities only if we love the people and believe that we are at the starting phase of a trend. In 2008, we acquired jkOnTheRun as our tip of the hat to the growing demand for mobile devices and the changes it would bring into society. Later that year, we brought in The Apple Blog because we knew the best was yet to come for Apple. Both of those acquisitions have helped GigaOM cover the issues that matter most to our ultimate customers &#8212; you, the reader &#8212; in a smart, sensible fashion.</p>
<p>&#8220;The question that mass amateurization poses to traditional media is &#8216;What happens when the costs of reproduction and distribution go away? What happens when there is nothing unique about publishing anymore because users can do it for themselves?&#8221; We are now starting to see that question being answered.&#8221; &#8212; Clay Shirky</p>
<p>Shirky&#8217;s observation means that we are in a time of chaos where the very idea of media is being questioned. And as a Chinese proverb says, from chaos emerges opportunity. I believe the best is yet to come for media.</p>
<p>Over the past few years we have started to see the transformation of media by new technologies, new methods of distribution and newer ways to consume information. Mathew Ingram has been writing about these disruptions on a regular basis, and now we are going to double down on what we think is a great new chapter in the media industry.</p>
<p>I have always believed that we&#8217;ve got to stop thinking of media as what it was and focus on more of what it could be. In the world of plenty, the only currency is attention and attention is what defines &#8220;media.&#8221; Zynga is fighting Hollywood for attention (and winning). Instagram is taking moments away from other media. They have attention. There are old companies that are dying and new ones that are being invented. We&#8217;re eager to expand our coverage of social and digital media editorially, in our research and at our events. paidContent is the best chronicler of the media industry, and by blending their coverage with ours, we hope to watch this fast-changing industry ever more closely.</p>

<p>According to sources close to the situation, Dow Jones is losing its top online editor.</p>
<p>Kevin Delaney, managing editor of The Journal Online &#8212; or WSJ.com, as it is better known &#8212; is taking a job at the Atlantic Media Company, sources said.</p>
<p>The move is a blow to the Journal&#8217;s online efforts, as Delaney, who got the top job in late 2009, is a well-regarded journalist and editor.</p>
<p>(He is certainly an <strong>AllThingsD.com</strong> fave of those at the Dow Jones mother ship, but he <em>still</em> did not call me back to comment! Thanks a lot, Kevin!)</p>
<p>It has not yet been determined who will succeed him at WSJ.com, sources said. Delaney is not leaving immediately.</p>
<p>Delaney joined the media giant in 1992, was a prominent tech reporter in Silicon Valley, and was also deputy managing editor at WSJ.com.</p>
<p>It&#8217;s not clear what Delaney&#8217;s new position will be at the Washington, D.C.-based Atlantic Media, which is best known for its flagship Atlantic Monthly magazine and also the National Journal. </p>
<p>But sources said his role will be part of a new content initiative the company is undertaking.</p>
<p>The well-known Atlantic has recently transformed itself from a coffee-table, big-think analog offering, which still is published, to focusing more on its online content site.</p>
<p>That includes its sassy Atlantic Wire, which is edited by former Gawker editor Gabriel Snyder. Two stories today, for example, are titled &#8220;Where the &#8216;Crybaby&#8217; Gingrich Meme Came From&#8221; and &#8220;Cain Promises &#8216;Unconventional&#8217; Endorsement, Jokes Ensue.&#8221;</p>
<p>That&#8217;s not your intellectually snotty uncle&#8217;s Atlantic!</p>
<p>I am looking forward to seeing what Delaney is up to soon.</p>

<p>This morning, Yahoo <a href="http://allthingsd.com/20120104/confirmed-yahoo-names-paypal-head-scoot-thompson-as-new-head/">said it had hired PayPal President Scott Thompson</a> as its newest victim, <em>oops</em>, CEO. </p>
<p>(You can read <em>my</em> <a href="http://allthingsd.com/20120104/new-yahoo-ceo-and-bosox-fanboy-scott-thompson-speaks-its-still-early-innings/">interview with him</a> too, here.)</p>
<p><strong>AllThingsD.com</strong> had reported the pending development last night &#8212; which is how we roll here.</p>
<p>Now we will roll into the conference call on the matter, and are hoping that the head of the lucrative eBay payments unit will make an appearance, given that he does not start until next week.</p>
<p>One piece of advice I will extend Thompson: I would refrain from cursing, as previous Yahoo CEO Carol Bartz did on her first outing. (She was fired in September, although not precisely for the cussing she so enjoyed partaking in.)</p>
<p>Here we go!</p>
<p><strong>7:02 am</strong>: It&#8217;s on, with Thompson present. </p>
<p>Yahoo Chairman Roy Bostock begins, and he is &#8220;very excited, very excited.&#8221;</p>
<p>I&#8217;d be very excited if Thompson talked and not Roy, who has been to this particular Yahoo CEO rodeo a few too many times before.</p>

<p><strong>7:06 am</strong>: Scott Thompson is on and is &#8220;just thrilled&#8221; to be the new Yahoo CEO.</p>
<p>I like his accent, which seems like he might be from Boston. He does look and sound like Cliff Clavin, the mailman guy at the Beantown bar from the television classic &#8220;Cheers.&#8221;</p>
<p>Except, given he has been the darkest of dark horses in this CEO race, <em>nobody</em> knew Thompson&#8217;s name.</p>
<p>Thompson is saying all the right stuff, about wanting to increase shareholder value and such.</p>
<p>He sounds so hopeful! Urgency! Thoughtfulness! A bright new morning at Yahoo!</p>
<p>I have been to this rodeo before too, but I am still hoping this time it&#8217;ll work. </p>
<p>Scott, if you let me down, I might cry, because you sound so nice.</p>
<p><strong>7:09 am</strong> Q&#038;A time already.</p>
<p>Congrats from the Wall Street analyst peanut gallery.</p>
<p>Then, it&#8217;s right into a question for Bostock, about the progress of the Asian assets deal. </p>
<p>Also, is Thompson too much of a technologist and not a media dude?</p>
<p>Bostock wants to talk about only Scott, but notes that there will be &#8220;no slowdown and no delay&#8221; in the Asian process. And Thompson will be all onboard when he comes on board, folks.</p>
<p>Bostock sounds tired, but starts to talk about how a &#8220;great customer experience&#8221; is the key to the advertising business. He notes that Thompson knows how to do this, hence he&#8217;ll be fantastic.</p>

<p>Bostock is saying Yahoo has been &#8220;treading water&#8221; and now needs to swim fast. Treading water? I wonder who the top honcho at Yahoo has been while the company has been listlessly dangling its legs in the drink?</p>
<p>Roy &#8212; that&#8217;s who!</p>
<p><strong>7:15 am</strong>: Another analyst asks about margins.</p>
<p>Thompson is not having any of it! He is polite when asking for time to get on the job to make proper statements.</p>
<p>But he does focus on the need to build &#8220;great, innovative&#8221; products. True, but Yahoo has been incredibly unable to do this of late.</p>
<p>Thompson gives no specifics, though. My big idea: I would steal the self-driving car from Google.</p>
<p><strong>7:17 am</strong>: A question about what the core of Yahoo is, and about what lessons Thompson is bringing from his experience at PayPal.</p>
<p>Well, he has not met the team &#8212; literally. Yahoo&#8217;s board consulted almost no one in the top ranks of execs on this appointment.</p>
<p>But Thompson &#8220;suspects&#8221; there is talent there. Given the recent attrition, he&#8217;ll need a big Inspector Clouseau magnifying glass to find it!</p>
<p>From eBay&#8217;s PayPal, he says that the key was balancing the customer experience with network effect and, well, <em>blah, blah, blah</em> Internet-speak.</p>

<p><strong>7:20 am</strong>: A question about Yahoo&#8217;s display business versus Google.</p>
<p>Thompson notes it is too early for him to say &#8212; though he had better say soon! &#8212; but notes that data is key. He is a well-known by-the-numbers guy, and that is clearly where we are going at Yahoo, now that he is the big dog.</p>
<p>Thus:</p>
<p>&#8220;The data these Internet businesses create, the ability to use analytical technology to build a better businesses for your customers &#8230; I feel certain that wealth of data is going to be exploitable for next generation products, next generation experiences &#8230; My instinct says down in that data we&#8217;re going to be able to find ways to compete and innovate that the world hasn’t seen yet.&#8221;</p>
<p>I am really liking this accent, which is almost lulling. And so polite! Sources tell me that being &#8220;collaborative&#8221; was a big goal in this hiring.</p>
<p><strong>7:22 am</strong>: A question about the identity of Yahoo, and whether it should be public or private.</p>
<p>Thompson harps on the need for innovation, and hopes it will be the future.</p>
<p>&#8220;I would not be here if I didn&#8217;t think it was possible,&#8221; says Thompson.</p>
<p>Bostock takes the public/private question. Yahoo will be public, he declares! Mostly, because it would be too pricey to take private.</p>
<p>&#8220;It&#8217;s a moot point,&#8221; he says.</p>
<p><strong>7:25 am</strong>: More questions about what Yahoo is.</p>
<p>Thompson declines to run off the rails on this dicey one, but he says he believes that Yahoo has great assets.</p>
<p>It does. It&#8217;s just that it has been crashed many times &#8212; by the people who just hired him &#8212; right into a wall. </p>
<p><em>Just sayin&#8217;</em> &#8212; a self-driving car would have done a better job.</p>
<p><strong>7:27 am</strong>: A brain-drain question, and more on Asia and on mobile.</p>
<p>Bostock butts in again. He said that Thompson will not be distracted by that, and will concentrate on the core business. Hush up, Roy.</p>
<p>Thompson says that he looks forward to meeting the peeps of Yahoo. (&rsquo;Cuz he has not, as yet!)</p>

<p>In this, he&#8217;s like the anti-Bartz. Is this good? It&#8217;s certainly different.</p>
<p>He says again that, &#8220;I can&#8217;t wait to meet&#8221; everyone at Yahoo. Vice versa, because this dude came from left field.</p>
<p>Thompson promises that he will be a &#8220;sponge.&#8221;</p>
<p>He closes by noting that he is &#8220;genuinely excited,&#8221; and says he believes in Yahoo.</p>
<p>Indeed, when it comes to Yahoo, you definitely gotta have faith.</p>

<p>Yesterday, on WSJ.com&#8217;s &#8220;Digits&#8221; online tech show, host Simon Constable asked me if some parts of <a href="http://allthingsd.com/20120102/not-the-ipad-3-or-new-apple-tv-but-apple-planning-media-related-event-in-the-bigger-apple-this-month/">my scoop on Apple holding a media-focused event in New York</a> at the end of this month were secretly implying anything.</p>
<p>Simon apparently read &#8220;The Da Vinci Code&#8221; one too many times! I don&#8217;t know from clandestine signals, but here I am talking about the event, along with <strong>AllThingsD.com</strong> media ace Peter Kafka.</p>

<p>As I <a href="http://allthingsd.com/20111208/googles-news-reader-now-called-currents-finally-coming/">reported this morning</a> it was close to launching, Google has debuted its news reader product, which is called <a href="http://www.google.com/producer/editions">Google Currents</a>. In a <a href="http://googlemobile.blogspot.com/2011/12/google-currents-is-hot-off-press.html">blog post</a>, the search giant said that the new product, which will compete with many others, including as Flipboard, Yahoo&#8217;s Livestand and AOL&#8217;s Editions, will be available on Google&#8217;s own Android mobile operating system devices, as well as Apple&#8217;s iPhone and iPad.</p>
<p>Google Currents will debut with 150 partners &#8212; including <strong>AllThingsD.com</strong> (my developers can sure keep a secret).</p>

<p>In it, WSJ.com&#8217;s Markets Hub host Paul Vigna asked the (largely offscreen) media mogul some questions about online stuff, as the other two (terrified-looking) panelists watched.</p>
<p>What about buying into online gaming giant Zynga&#8217;s upcoming IPO? &#8220;No,&#8221; gruffed Murdoch. Does he play its flagship game, FarmVille? Of course <em>not</em>.</p>
<p>Murdoch is apparently on Facebook, though. Well, could Vigna be besties with his ultimate boss (News Corp. owns Dow Jones, which owns The Wall Street Journal, which owns WSJ.com, which also owns <strong>AllThingsD.com</strong>) on the social networking giant? </p>
<p>&#8220;No,&#8221; growled Murdoch.</p>
