Intel and AMD’s seemingly endless legal battles have finally ended. The two companies said early Thursday that they have reached a comprehensive agreement that resolves their many antitrust and patent disputes. </p>
<p>Under terms of the agreement, Intel (INTC) will pay AMD (AMD) $1.25 billion (nearly a quarter of AMD’s $4.46 billion market cap) and agree to &#8220;abide by a set of business practice provisions” presumably crafted to temper Intel&#8217;s allegedly anticompetitive practices. Here are details of the agreement:</p>

<strong>Business Practices Provisions Prohibit Intel From:</strong></p>
<ul>
<li>Offering inducements to customers in exchange for their agreement to buy all of their microprocessor needs from Intel, whether on a geographic, market segment, or any other basis  (Section 2.1.1.a)</li>
<li>Offering inducements to customers in exchange for their agreement to limit or delay their purchase of microprocessors from AMD, whether on a geographic, market segment, or any other basis (Section 2.1.1.b)</li>
<li>Offering inducements to customers in exchange for their agreement to limit their engagement with AMD or their promotion or distribution of products containing AMD microprocessors, whether on a geographic, channel, market segment, or any other basis (Section 2.1.2a-b)</li>
<li>Offering inducements to customers in exchange for their agreement to abstain from or delay their participation in AMD product launches, announcements, advertising, or other promotional activities (Section 2.1.2.b)</li>
<li>Offering inducements to customers or others to delay or forebear in the development or release of computer systems or platforms containing AMD microprocessors, whether on a geographic, market segment, or any other basis (Section 2.2.2 and 2.1.2)</li>
<li>Offering inducements to retailers or distributors to limit or delay their purchase or distribution of computer systems or platforms containing AMD microprocessors, whether on a geographic, market segment, or any other basis (Section 2.2.1)</li>
<li>Withholding any benefit or threatening retaliation against anyone for their refusal to enter into a prohibited arrangement such as the ones listed above.</li>

<p>In return, AMD will drop all its pending litigation against the company and pull out of regulatory complaints worldwide. Finally, the two rivals will enter into a five-year patent cross-licensing agreement. </p>
<p><a href="http://www.intel.com/pressroom/archive/releases/2009/20091112corp_a.htm?iid=pr1_releasepri_20091112ra">In a joint statement, the companies said</a>, &#8220;While the relationship between the two companies has been difficult in the past, this agreement ends the legal disputes and enables the companies to focus all of our efforts on product innovation and development.&#8221;</p>
<p>Interesting. Clearly, <a href="http://digitaldaily.allthingsd.com/20091112/amd-ceo-to-intel-ha-ha/">AMD CEO Dirk Meyer&#8217;s earlier comments</a> about the ratification of its complaints about Intel’s business practices and the company&#8217;s hope for a future in which AMD&#8217;s &#8220;ability to succeed as a business is really determined by the quality of our products and customer relationships&#8221; was quite prefigurative.</p>
<p>During a call to discuss the settlement, Meyer said the accord marks the beginning of a new era, one that changes the game for AMD. &#8220;It is an important milestone for us, for our customers, our partners, and most importantly&#8211;for consumers and businesses worldwide,&#8221; Meyer said. </p>
<p>&#8220;It is the culmination years of litigation and regulatory engagement, and we are optimistic that it will usher a new era for our industry,&#8221; the CEO continued, further noting that change may not be immediate. &#8220;We recognize that it will take time for people to understand how the operating conditions in processor business have changed&#8211;but make no mistake&#8211;they have changed&#8230;.We look forward to healthy competition with the mutual respect one would expect between world-class competitors.&#8221;</p>
<p>It is unclear if the settlement will affect the antitrust suit brought against Intel by New York Attorney General Andrew Cuomo last week as Cuomo hasn’t yet commented. But the European Union  says it will not change its decision in May to fine Intel a record $1.5 billion for anticompetitive behavior.</p>
<p>&#8220;The European Commission takes note that Intel and AMD have settled all their litigation and that Intel is paying AMD compensation of one-and-quarter billion dollars,&#8221; said an EC spokesman. &#8220;But Intel has an ongoing obligation to comply with the commission’s antitrust decision and with EU competition law. The commission continues to vigorously monitor Intel’s compliance with its obligations under the EU antitrust decision.&#8221;</p>

This morning, New York Attorney General Andrew Cuomo filed a <a href="http://www.oag.state.ny.us/media_center/2009/nov/NYAG_v_Intel_COMPLAINT_FINAL.pdf">federal antitrust lawsuit</a> against the company, alleging that it violated state and federal laws with a &#8220;systematic campaign&#8221; of illegal conduct to maintain its monopoly.</p>
<p>At issue here, once again, is Intel’s alleged practice of using bribery and coercion to maintain its monopoly, something rival AMD complained about in its own antitrust suit against Intel (INTC) in 2005. </p>
<p>AMD (AMD) alleged, for example, that in 2000, Michael Capellas, then chief executive of Compaq Computer, told AMD that because of Compaq’s relationship with AMD, Intel withheld the delivery of some microprocessors he needed for servers. Capellas told AMD he would stop buying from it, saying he &#8220;had a gun to his head.&#8221; </p>
<p>Further, in 2004, Gateway officials are alleged to have told AMD that Intel &#8220;beat them into guacamole&#8221; in retaliation for their limited dealings with its rival. These are but two incidents in a list that includes similar alleged acts of coercion by Intel involving 38 other computer makers, distributors and retailers.</p>
<p>Apparently, Cuomo has found evidence of similar behavior. &#8220;Rather than compete fairly, Intel used bribery and coercion to maintain a stranglehold on the market,&#8221; Cuomo said in a statement. &#8220;Intel’s actions not only unfairly restricted potential competitors, but also hurt average consumers who were robbed of better products and lower prices.&#8221;</p>

<p>Facebook faced consumer fraud charges in 2007 for allegedly responding too slowly to user complaints about harassment, pornography or nudity from the social-networking site. The probe into the company’s safety procedures by New York state Attorney General Andrew Cuomo resulted in a settlement requirement that Facebook respond to such complaints within 24 hours.</p>
<p>But in a recent string of phishing attacks in which hackers have broken into a user’s Facebook account and hit up his or her friends for money with the online chat tool, pretending to be stranded or robbed, complaints have emerged that the privacy team at Facebook hasn’t responded to users in a timely manner.</p>

<p>There, Internet service providers, and we&#8217;re talking <strong>all of them</strong>, have agreed to block access not just to sites and newsgroups alleged to contain child pornography, but to <a href="http://reuters.com/article/technologyNews/idUKL1077696620080610">those alleged to feature materials promoting terrorism or racial hatred </a>as well.</p>
<p>&#8220;We can no longer tolerate the sexual exploitation of children in the form of child pornography,&#8221; <a href="http://ap.google.com/article/ALeqM5j8n3L3F45SLEJwIdAneWFZ5b7a-gD917A3I09">Interior Minister Michele Alliot-Marie said</a> in a speech today. &#8220;We have come to an agreement: access to child pornography sites will be blocked in France. Other democracies have done it. France could wait no longer.&#8221; And then, pledging her support for the &#8220;fundamental liberty that is Internet access,&#8221; she added:  &#8220;This is not a question of creating a Big Brother on the Internet.&#8221;</p>
<p>Well, not yet anyway.</p>

			<content:encoded><![CDATA[<p>John Gilmore once famously claimed that &#8220;the Internet interprets censorship as failure and routes around it.&#8221; If he&#8217;s right, there&#8217;s no reason to worry that an agreement by three of the nation&#8217;s largest Internet service providers to <a href="http://www.nytimes.com/2008/06/10/nyregion/10internet.html">block access to newsgroups and Web sites that traffic in child pornography</a> might have other frightening consequences. If not, well &#8230;</p>
<p><a href="http://www.oag.state.ny.us/press/2008/june/june10a_08.html">Prodded into action by New York Attorney General Andrew Cuomo</a>, Verizon (VZ), Sprint (S) and Time Warner Cable (TWX) have agreed to <a href="http://money.cnn.com/news/newsfeeds/articles/djf500/200806101259DOWJONESDJONLINE000472_FORTUNE5.htm">block Web sites</a> identified by Cuomo as ones that disseminate child pornography. They&#8217;ve also agreed to restrict access nationwide to most, and in the case of Time Warner Cable <strong>all</strong>, of Usenet&#8217;s discussion groups, most of which are not repositories of illegal material. <strong>To repeat, Time Warner will now block all of USENET.</strong></p>
<p>“It’s going to make a significant difference,” Cuomo said of the agreement. “It’s like the issue of drugs. You can attack the users or the suppliers. This is turning off the faucet. Does it solve the problem? No. But is it a major step forward? Yes. And it’s ongoing. No one is saying you’re supposed to be the policemen on the Internet, but there has to be a paradigm where you cooperate with law enforcement, or if you have notice of a potentially criminal act, we deem you responsible to an extent. This literally threatens our children, and there can be no higher priority than keeping our children safe.”</p>
<p>Of course. A noble effort, this curtailing of access to child pornography. It would just be unfortunate if it became the first step in widespread Internet censorship.</p>

<p>In an open letter to Facebook CEO Mark Zuckerberg, New York Attorney General Andrew Cuomo said that within days of setting up fake profiles for 12- to 14-year-old users, <a href="http://www.nytimes.com/2007/09/25/nyregion/25facebook.html?em&amp;ex=1190865600&amp;en=b0c86f4e9c2b27a5&amp;ei=5087%0A">investigators &#8220;received numerous sexual solicitations from adults sent to several of the underage profiles.&#8221;</a> Worse, when the investigators complained to the company, it often responded lethargically or failed to act at all. Which belies Facebook&#8217;s portrayal of itself as a safer alternative to <a href="http://digitaldaily.allthingsd.com/20070725/ddv20070725/">MySpace</a>.</p>
<p>&#8220;The OAG [Office of the Attorney General] is concerned that in Facebook&#8217;s efforts to grow, the company may be giving a lower priority to the safety and welfare of its users, and in particular, underage users,&#8221; <a href="http://www.oag.state.ny.us/press/2007/sep/Facebook%20ltr.pdf">Cuomo wrote</a>. &#8220;To be clear, within the constraints of the law, Facebook has the right to operate any type of Web site it deems fit. However, it does not have the right to represent that its site is safe and that it promptly responds to complaints when such statements are not accurate.&#8221;</p>
<p>And so the New York AG&#8217;s office has <a href="http://www.msnbc.msn.com/id/20962783/">subpoenaed information about Facebook&#8217;s safety and security measures</a>. Which was apparently enough to rouse the company from <a href="http://digitaldaily.allthingsd.com/20070925/megalomaniabook/">its $15 billion valuation reveries</a>.</p>
<p>&#8220;We take the concerns of the Office of the New York Attorney General very seriously,&#8221; said Facebook spokeswoman Brandee Barker. &#8220;As our service continues to grow, so does our responsibility to our users to empower them with the tools necessary to communicate efficiently and safely. We strive to uphold our high standards for privacy on Facebook and are constantly working on processes and technologies that will further improve safety and user control on the site. We are committed to working closely with all the state attorneys general to maintain a trusted environment for all Facebook users and to demonstrate the efficacy of these efforts.&#8221;</p>

According to Cuomo, Dell not only failed to deliver to customers the rebates, warranties and technical support it promised, it misled them with promises of attractive financing, only to leave them with expensive credit lines.</p>
<p>Dell spokesman Bob Pearson said the company denies the allegations and plans to contest the suit: &#8220;We are confident that our practices will be found to be fair and appropriate. While even one dissatisfied customer is too many, the allegations in the AG&#8217;s filing are based upon a small fraction of Dell&#8217;s consumer transactions in New York. We are committed to providing a positive experience to all of our customers every day.&#8221;</p>
<p>Mmm-hmm. Easy as Dell, eh?</p>
