<p>Randi Zuckerberg, who is director of marketing at Facebook and also the sister of CEO and co-founder Mark Zuckerberg &#8212; is leaving the company after six years to start a new media firm to help companies become more social.</p>
<p>In her resignation letter, which is below in its entirety, Zuckerberg said:</p>
<p>&#8220;I have spent my years at Facebook pouring my heart and soul into innovating and pushing the media industry forward by introducing new concepts around live, social, participatory viewing that the media industry has since adopted. We have made incredible progress, but there is still much to be done and other ways I can affect change. Now is the perfect time for me to move outside of Facebook to build a company focused on the exciting trends underway in the media industry.&#8221;</p>
<p>Facebook confirmed the departure and in a statement said: &#8220;We can confirm Randi has decided to leave Facebook to start her own company. We are all grateful for her important service.&#8221;</p>
<p>There was no comment from Mark Zuckerberg directly.</p>
<p>The company Randi Zuckerberg is creating is apparently called RtoZ Media, which is obviously a play on her name.</p>
<p>The move is likely to be much noticed, since Randi Zuckberberg has been at Facebook since its early days and has also been a high-profile and charismatic personality both inside the social networking company and in Silicon Valley.</p>
<p>She has been on maternity leave for the last three months, after having her first child, and sources said she has told them that being away from the rapid-fire pace at Facebook has given her time to reflect on what she wants to do in the next phase of her career.</p>
<p>Presumably, leaving Facebook will give Zuckerberg greater freedom to work for a range of companies without a conflict. That said, it&#8217;s unlikely she&#8217;ll take on Google+ as a client.</p>
<p>Zuckerberg is certainly going out on a high note &#8212; she was recently nominated for an Emmy award in the category of live coverage of a current news event for her work on &#8220;Facebook Live,&#8221; a real-time news show she created and hosted for the company.</p>
<p>Zuckerberg, who is <em>definitely</em> not a geek like her brother, noted in her letter to Facebook COO Sheryl Sandberg and communications head Elliot Schrage: &#8220;I am thankful for the strong mentorship, guidance, and support, which is empowering me to follow my dreams and show that you don&#8217;t have to be an engineer to be a hacker.&#8221;</p>

<p>While no one inside or outside Myspace owner News Corp. expects fireworks and giant piles of money, the tire-kicking for the long-troubled social-networking-turned-entertainment site actually starts Wednesday.</p>
<p>That&#8217;s when about a dozen interested parties will finally get a walk-through of the books and more by management and the serious talks begin.</p>
<p>But, said several sources, despite a variety of reports of various interested buyers, no deal for the Beverly Hills, Calif.-based Myspace is imminent with any one of them.</p>
<p>Instead, most expect some kind of outcome within two weeks at the earliest.</p>
<p>Among the possibilities is anything from an outright sale to partnership that continues to involve News Corp., which has engaged Allen &#038; Co. to conduct the sad proceedings.</p>
<p>Among those in the fray are, <a href="http://voices.allthingsd.com/20110330/news-corp-holds-early-talks-with-vevo-about-myspace">as has been reported</a>, music video network Vevo, owned by several media giants. It is the most prominent strategic suitor for Myspace.</p>
<p>But talks with Vevo are preliminary, as are all others.</p>
<p>In fact, most of the others interested are as expected: moneybag private equity players, such as Providence Equity Partners and Silver Lake Partners. Both have been in discussions with News Corp. in earlier efforts to offload Myspace.</p>
<p>Interestingly, Criterion Capital Partners, which <a href="http://mediamemo.allthingsd.com/20100617/aol-criterion-announce-yesterdays-bebo-deal">bought AOL&#8217;s Bebo</a> social networking site for less than $10 million last June, is not in the bidding as yet.</p>
<p>Neither is Zynga, the San Francisco casual gaming start-up. Various stories had rumored of its interest in Myspace, but they are inaccurate. In addition, neither AOL nor Yahoo seem likely bidders either.</p>
<p>And it goes without saying that the Silicon Valley social networking site that did Myspace in&#8211;Facebook&#8211;is also not a buyer. So too Google, which&#8211;back in the headier days&#8211;handed Myspace a fortune as part of an ill-advised advertising deal.</p>
<p>In any case, whoever buys Myspace needs a lot of patience, which seems to have run out at News Corp., where <a href="http://mediamemo.allthingsd.com/20110202/live-news-corp-talks-about-the-daily-myspace-and-earnings/">top execs take turns bashing it to shareholders</a>.</p>
<p>That&#8217;s no surprise. After a <a href="http://kara.allthingsd.com/20101027/saving-myspace-ceo-mike-jones-talks-about-rethink-relaunch-and-fingers-crossed-resurgence/">laudable though glacial redesign</a> as a music and entertainment hub last fall, traffic has declined 44 percent in a recent month from a year ago, to 37.7 million unique visitors in the U.S.</p>
<p>Worse still, the News Corp. unit that houses Myspace showed an operating loss of $156 million in the recent quarter, mostly related to a severe drop-off of advertising revenue at the site.</p>
<p>That plunge in fortunes will surely have an impact on the price buyers are willing to pay for the once iconic brand.</p>

			<content:encoded><![CDATA[<p>Myspace, which has been struggling to revitalize itself, is expected to lay off 550 to 600 of its staff of just over 1,000 tomorrow, according to several sources.</p>

<p>NetworkEffect <a href="http://networkeffect.allthingsd.com/20101231/myspace-mulls-significant-layoffs-with-potential-sale-looming/">first reported news of the large-scale cuts</a> at the end of December.</p>
<p>But now, the social-network-turned-entertainment-hub has set a date&#8211;January 11&#8211;and is working on finalizing the people it will let go, which will likely include a significant number of international employees.</p>
<p>The Beverly Hills, Calif.-based company will be touting the changes as a restructuring to shed &#8220;legacy&#8221; businesses and products.</p>
<p>Unfortunately, the context for that rationale is that Myspace is shedding a full half of its staff.</p>
<p>After the layoffs, the News Corp.-owned Myspace will turn its sights to sale options, as I also reported.</p>
<p>The company is primarily being shopped to private-equity buyers, although one intriguing possibility currently being raised within News Corp. is to try to sell Myspace to Yahoo.</p>
<p>Internally, Myspace staffers have been expecting layoffs in early January for some time, with the numbers circulating being as high as 70 percent of the company&#8217;s staff.</p>

			<content:encoded><![CDATA[<p>Myspace&#8211;the long-troubled social networking site turned social entertainment hub&#8211;is in the midst of planning that could soon result in significant layoffs of its staff, according to multiple sources familiar with the situation.</p>
<p>That number could be as much as 50 percent of the 1,100 employees at Myspace, largely based in the U.S., but also in international locations.</p>

<p>While the decision of what cuts to make to its employee base have not been made yet, nearly the entire Myspace staff was given the last week of December off from work to save money. <strong>Update</strong>: <em>Myspace tells us via email the week off was an employee perk, not a cost-cutting measure.</em></p>
<p>Sources stressed that management was still working out the details of more drastic cost-cutting measures that owner News Corp. has been wanting from Myspace, as its revenues and traffic have declined.</p>
<p>The layoffs are also part of a larger rethink about the future of the Beverly Hills, Calif.-based company, which has had many difficulties in recent years, including several leadership upheavals and a talent drain, as well as stagnant growth.</p>
<p>Among the many options contemplated has been the sale of the Myspace unit, as has been widely reported. According to sources, Jack Kennedy, EVP of operations for News Corp. Digital Media, has been tapped to explore the sale of Myspace.</p>
<p>Until now, both large-scale cost-cutting and exploration of an acquisition were on hold as Myspace <a href="http://kara.allthingsd.com/20101026/the-my-fill-in-the-space-reset-is-here-as-social-network-morphs-into-entertainment-hub/">launched its redesign as an entertainment hub</a>, which was rolled out about six weeks ago.</p>
<p>Myspace also recently started <a href="http://networkeffect.allthingsd.com/20101118/myspace-a-place-for-facebook-friends/">user account integration with former foe Facebook</a>.</p>
<p>And the company also <a href="http://networkeffect.allthingsd.com/20101130/myspace-modernizes-mobile-site-and-app/">revamped its mobile offerings</a> and <a href="http://mediamemo.allthingsd.com/20101216/google-myspace-finally-land-new-ad-deal/">signed a new search advertising deal with Google</a> (at which time MediaMemo&#8217;s Peter Kafka predicted layoffs were around the corner).</p>
<p>But, according to many inside and outside the company, the redesign and strategy moves are not expected to result in a major turnaround of Myspace. It&#8217;s not much of a surprise that News Corp. is moving to remedy the situation now.</p>

<p>He added: &#8220;We judge in quarters, not in years.&#8221;</p>
<p>At this point, a sale would be the likeliest save for the media giant.</p>
<p>One juicy rumor that has been going around suggests Facebook game-maker Zynga as a potential acquirer of Myspace. While the two companies had discussed closer ties in the past&#8211;back when Zynga COO Owen Van Natta was still CEO of Myspace&#8211;those talks went nowhere.</p>
<p>Several sources said a private equity buyer for Myspace is now the likeliest outcome if the online property is sold.</p>
<p>Myspace declined to comment on layoffs or acquisition talks.</p>

<p>Internal memos were sent around to staff this afternoon about the executive change, said sources, which you can see below.</p>
<p>&#8220;Hey everybody, it&#8217;s been super tough staying quiet about this news at the request of our execs,&#8221; said Hadi Partovi, in an internal memo obtained by BoomTown. &#8220;I know some of you are very surprised about this, and I want to apologize for not having had the option to brief you personally in advance.&#8221;</p>
<p>Hadi was SVP of Technology at the News Corp. (NWS) unit, while Ali was SVP of Business Development. Hadi will leave MySpace entirely, while Ali will have a special adviser role, said the memo from MySpace Co-President Michael Jones.</p>
<p>In a blog post in March titled, <a href="http://kara.allthingsd.com/20100311/myspace-musical-chairs-will-the-partovis-stay-or-will-they-go-now">&#8220;MySpace Musical Chairs: Will the Partovis Stay or Will They Go Now?,&#8221;</a> I wrote:</p>
<p>&#8220;In all likelihood, said sources, the Partovis will remain at MySpace for the next several months, although they are likely to move eventually to more senior advisory or special-project roles there in order to pursue longtime outside investing and entrepreneurial interests.&#8221;</p>
<p>Now that has come to pass.</p>
<p>The fate of the well-known tech wunderkinds has been one of the more interesting guessing games of late at MySpace.</p>
<p>MySpace managers have been keenly interested in avoiding the appearance that the company is in the grip of a talent drain, especially related to such well-known innovators.</p>
<p>The Partovis arrived in the midst of turbulent change at MySpace last August, just after its original CEO and co-founder, Chris DeWolfe, was suddenly tossed out and replaced by CEO Owen Van Natta, as well as COO Jones and Chief Product Officer Jason Hirschhorn.</p>
<p>As part of its new strategy to become an entertainment hub, the Beverly Hills, Calif.-based MySpace bought the Partovis&#8217; social music start-up, iLike, in a deal engineered by Van Natta.</p>
<p>After it closed, Hadi was mostly working in MySpace&#8217;s Seattle office, and Ali was mostly based in San Francisco.</p>
<p>(See this <a href="http://kara.allthingsd.com/20100420/when-ali-partovi-just-couldnt-get-out-of-myspace-the-video-proof-and-spoof/">funny welcome video</a> Ali Partovi did at the time.)</p>
<p>But <a href="http://kara.allthingsd.com/20100210/myspace-ceo-van-natta-was-fired-by-news-corp-digital-head-miller-in-late-afternoon-meeting">Van Natta suddenly got the boot in January</a> after clashing with News Corp. digital chief Jon Miller, as well as Hirschhorn and Jones, sending MySpace into yet another storm.</p>
<p>Hirschhorn and Jones were then named co-presidents.</p>
<p>While several sources said the Partovis are not unhappy with the pair or with the <a href="http://kara.allthingsd.com/20100310/video-back-to-the-future-at-myspace-or-just-another-retread">new MySpace mediacentric strategy</a>, the brothers sold their company with the idea of working with Van Natta.</p>
<p>&#8220;That firing reset things,&#8221; said one source close to the situation in March.</p>
<p>Nonetheless, there was some progress with iLike, including integration of MySpace Music with Google (GOOG) and a MySpace Events offering.</p>
<p>In addition, the pair have wide-ranging interests outside the company, including an active investment portfolio in such start-ups as Facebook, Dropbox, Opower, BlueKai and Flixster.</p>
<p>They have already scored big with investments in Tellme, which was sold to Microsoft (MSFT); <a href="http://kara.allthingsd.com/20100419/terminally-happy-mayor-of-zappos-meets-born-grumpy-dictator-of-boomtown-hijinks-ensue">Zappos</a>, which was acquired by Amazon (AMZN); and IronPort, now owned by Cisco (CSCO).</p>
<p>And though iLike was not the success they had hoped for, their entrepreneurial record is strong. Ali Partovi sold LinkExchange to Microsoft, and Hadi Partovi, who also worked at Microsoft, co-founded Tellme.</p>
<p>Now, it seems, the Partovis are moving on to the next challenge.</p>

- iLike&#8217;s artist-stats are integrated into the MySpace artist dashboard<br />
- iLike.com drives search engine traffic to MySpace artist pages<br />
- iLike team implemented the imeem traffic redirection and data backend of imeem playlist integration<br />
- iLike team provided backend metadata + recommendation engine for MySpace music search and  song-similarities</p>
<p>Most importantly, thanks to our work, MySpace is the #1 provider of music on Facebook, music on Google, and Concerts on iPhone. Regardless of any challenges that MySpace needs to overcome, that is a great legacy that I know we&#8217;re all proud of.</p>
<p>I&#8217;m personally very sad that I won&#8217;t be working with any of you&#8211;the amazing team we built at iLike is perhaps our greatest accomplishment.</p>

<p>Ali Partovi will be stepping down as SVP of Business Development, but will continue working with MySpace as a strategic advisor working on special projects. He will also be taking time to invest in and advise startups.</p>

<p>Earlier this week, BoomTown visited MySpace HQ in Beverly Hills, Calif., to <a href="http://kara.allthingsd.com/20100309/video-new-myspace-co-presidents-hirschhorn-and-jones-talk-about-the-past-troubled-present-work-in-progress-and-future-revival/">interview its new co-presidents</a>, Michael Jones and Jason Hirschhorn, and get a look-see at its evolving revival plans to stop the social networking ship from sinking further.</p>
<p>Thus, I got a tour of a storyboard-like room at MySpace, where the team is trying to formulate the &#8220;discover and be discovered&#8221; motto it is now using, which is pretty much its old motto restated.</p>
<p>Can the old become new again?</p>
<p>In fact, a lot of the plan does sound a lot like shades of the past at MySpace, focusing on a younger, artistic demo with a heavy dose of pop culture.</p>
<p>Jazzed up, of course, with the latest social networking hooks, a cleaner user page redesign, topics pages, a focus on sharing content of all kinds, especially music, games and entertainment, and more.</p>
<p>That includes a new Today on MySpace, or TOM, to greet new users, rather than the famous analog Tom Anderson, co-founder and former first friend to all. <em>Get it?</em></p>
<p>It is all part of a very slow-moving effort to turn MySpace into a socially-charged entertainment hub, which is now being led by Hirschhorn and Jones.</p>
<p>They took over management immediately after News Corp. (NWS) execs <a href="http://kara.allthingsd.com/20100210/myspace-ceo-van-natta-was-fired-by-news-corp-digital-head-miller-in-late-afternoon-meeting">suddenly fired CEO Owen Van Natta</a> last month.</p>
<p>The pair reported to Van Natta, and now they essentially share his job to revive MySpace, which has lost ground to fast-growing and more innovative sites such as Facebook.</p>
<p>Still, it is not a small enterprise, with upward of 100 million monthly visitors and just above $350 million in annual revenue.</p>

<p>Here&#8217;s a video of the tour I did in which the pair describe some of what they have been up to, which seems to center, most of all, on turning back the clock and returning to MySpace&#8217;s roots.</p>
<p>Is a proper retread&#8211;which is completely dependent on keeping talent and executing well&#8211;enough to stem the losses if there are enough newfangled features to make it all feel fresh?</p>
<p>Or not?</p>

<p>On Monday, as part of a press hello-there MySpace is doing this week, BoomTown traveled to Los Angeles for the day to finally check in with the new management at the turmoil-plagued company.</p>
<p>That would be new Co-Presidents Jason Hirschhorn and Michael Jones, who are now ferreting away on a slow rollout of a plan to turn MySpace into a socially-charged entertainment hub.</p>
<p>They took over the Beverly Hills-based social networking site immediately after News Corp. (NWS) digital head Jon Miller <a href="http://kara.allthingsd.com/20100210/myspace-ceo-van-natta-was-fired-by-news-corp-digital-head-miller-in-late-afternoon-meeting"> suddenly fired CEO Owen Van Natta</a> last month.</p>
<p>The pair reported to Van Natta and, according to pretty much everyone you speak to, were very much at odds with him.</p>
<p>Perhaps that was inevitable due to the awkward way the trio was hired at the same time last April, as part of a grand plan of overhaul.</p>
<p>Their arrival followed the <a href="http://mediamemo.allthingsd.com/20090422/chris-dewolfe-likely-to-step-down-as-ceo-news-corp-talking-to-facebook-veteran-owen-van-natta">defenestration of co-founder and CEO Chris DeWolfe</a>, who was blamed for the declining prospects of MySpace in recent years after a red-hot start.</p>
<p>While former Facebook and Amazon (AMZN) exec Van Natta was selected as the experienced one in charge, Hirschhorn ran product and Jones was charged with getting the trains to run on time at MySpace&#8211;when they ran right at all, that is.</p>
<p>That all ended when Miller and Van Natta clashed over control of MySpace, which has about 100 million monthly visitors and just above $350 million in annual revenue.</p>
<p>And faster than you can say <em>Rupe</em>, former AOL (AOL) exec and serial entrepreneur Jones, and Hirschhorn&#8211;who is a well-known media exec with stops at Sling Media and Viacom (VIA)&#8211;got the nod.</p>

<p>What&#8217;s that famous Shakespeare quote? Uneasy lies the head that wears a MySpace crown? Or, in this case, two heads and two crowns!</p>
<p>How deliciously ripe with plot.</p>
<p>And so much to cover: From the corporate intrigue to how News Corp. looks at the troubled property to competition like Facebook to what to do about declining traffic, engagement and advertising revenue to rampant sale or spinoff rumors.</p>
<p>And most of all, and what gets unfortunately lost in all this mess&#8211;what the heck they are doing to innovate the actual product and make it into an entertainment hub.</p>
<p>Thus, here&#8217;s a video interview I did with Hirschhorn and Jones&#8211;at their joint desk, like some digital Oscar Madison and Felix Unger&#8211;where we talk about all this and more, including whether or not Hirschhorn is a <em>kvetcher</em> or not.</p>
<p>(He is, but I am worse!)</p>

<p>While many thought it would not sail through regulatory scrutiny easily, and it has taken a year, the merger of two entertainment industry giants&#8211;Ticketmaster and Live Nation&#8211;can go forward as long as a certain set of conditions is met, the Department of Justice said.</p>
<p>And while DOJ&#8217;s antitrust head, Christine Varney, told reporters today that she warned the two companies that the federal government was prepared to litigate if necessary, it&#8211;<em>well</em>&#8211;did not.</p>
<p>“We concluded the transaction as originally proposed was anti-competitive,” said Varney, a statement that was pretty much negated by her decision not to block the merger, given that the conditions she set were not a stretch for the parties to meet.</p>
<p>Still, Varney noted: &#8220;The proposed settlement allows for strong competitors to Ticketmaster, allowing concert venues to have more and better choices for their ticketing needs, and provides for anti-retaliation provisions, which will keep the merged company in check.&#8221;</p>
<p>We shall see about that&#8211;many are expecting even higher ticket prices and &#8220;fees.&#8221;</p>
<p>The companies also reached an agreement with 17 State Attorneys General as part of the U.S. consent decree, as well as with the Canadian Commissioner of Competition.</p>
<p>Not surprisingly, shares of both West Hollywood-based Ticketmaster (TKTM) and Live Nation (LYV) of Beverly Hills, Calif., were up about 15 percent today, even though the deal still has to undergo public comment and be approved by a judge.</p>
<p>But after today, Ticketmaster investors will get Live Nation stock, valued at $15.49, and with its ticker retired, Ticketmaster shares will no longer trade.</p>
<p>Now the combined company will be able to do everything from selling tickets to booking artists to selling their T-shirts and more.</p>
<p>And all Live Nation and Ticketmaster have to do to operate like this is sell off a college sports ticketing unit to Comcast (CMCSA) and license ticketing software to Live Nation&#8217;s nearest competitor, the Anschutz Entertainment Group.</p>
<p>Also, for a decade, the merged company cannot play dirty, blackballing those who decide they don&#8217;t want to use its services.</p>
<p>With 75 big venues across the U.S. under the purview of Live Nation, that&#8217;s a lot of places the world&#8217;s largest concert promoter could apply pressure.</p>
<p>And because Ticketmaster is the dominant player in ticketing for sports and entertainment events, as well as the manager of a spate of major acts that play at those Live Nation venues, it&#8217;s clear you have a very powerful entity.</p>
<p>It will all be led, in part, by Ticketmaster CEO Irving Azoff, who can be seen below in an <a href="http://kara.allthingsd.com/20090612/ticketmaster-ceo-irving-azoff-the-full-d7-interview">interview with BoomTown</a> at the seventh <strong>D: All Things Digital</strong> conference last May.</p>
<p>One of the most influential behind-the-scenes movers and shakers in the music industry for a long time now, Azoff talked about with me about the merger and digital forces buffeting the entertainment business.</p>
<p>Azoff will be the executive chairman of the merged company, which will be called Live Nation Entertainment, as well as CEO of Front Line artist management. Longtime Hollywood and Internet mogul Barry Diller is set to be chairman, and Michael Rapino will be CEO and president.</p>

<blockquote class="memo"><p>LOS ANGELES and WEST HOLLYWOOD, Calif., Jan 25, 2010&#8211;Live Nation, Inc. and Ticketmaster Entertainment, Inc. today announced that they have reached agreements with the U.S. Department of Justice (DOJ) and with the Canadian Commissioner of Competition, clearing the way for the merger of the companies. Upon closing, the company will be renamed Live Nation Entertainment, Inc. to reflect the combination of Live Nation&#8217;s concert promotions expertise with Ticketmaster&#8217;s world-class ticketing solutions and artist relationships.</p>
<p>Under the terms of the proposed final judgment filed today in U.S. District Court for the District of Columbia, the companies have agreed to divest Ticketmaster&#8217;s self-ticketing subsidiary, Paciolan, to Comcast-Spectacor and to license the Ticketmaster Host technology to Anschutz Entertainment Group, Inc., as well as to other terms that protect competitive conditions in ticketing and promotions. Seventeen State Attorneys General also participated in the matter and have joined in the U.S. consent decree. The parties&#8217; consent agreement with the Canadian Commissioner of Competition is on substantially equivalent terms.</p>
<p>As previously announced, in connection with the merger, each issued and outstanding share of Ticketmaster common stock will be cancelled and converted into the right to receive a number of shares of Live Nation common stock such that Ticketmaster stockholders will receive approximately 50.01% of the voting power of the combined company. Subject to final confirmation, the companies expect each share of Ticketmaster common stock to be cancelled and converted into the right to receive 1.474 shares of Live Nation common stock in connection with the merger and for Live Nation to issue approximately 84,613,661 shares of Live Nation common stock to Ticketmaster stockholders in the aggregate.</p>
<p>The combined company will be led by Michael Rapino as CEO and President of Live Nation Entertainment and Irving Azoff as Executive Chairman of Live Nation Entertainment and CEO of Front Line. Barry Diller will serve as Chairman of the Board of Live Nation Entertainment. The Board will consist of 14 directors, seven from each company.</p></blockquote>

<p>In other words: Silicon Valley meets <em>Silicone</em> Valley!</p>
<p>There, the Facebook team&#8211;which included PR honcho Brandee Barker and Randi Zuckerberg, who handles all kinds of media and other partnership initiatives (both pictured above)&#8211;asked Hollywood celebrities questions from Facebook users and more.</p>

<p>Employees at MySpace have been waiting to find out who their <a href="http://kara.allthingsd.com/20091007/myspace-poised-to-hire-new-ad-sales-head-as-it-preps-music-and-entertainment-centric-strategy-and-redesign/?mod=ATD_sphere">new ad sales boss</a> will be, as <strong>All Things Digital</strong> reported earlier this week.</p>
<p>And here she is: Nada Stirratt, who until today was running digital sales for Viacom&#8217;s (VIA) MTV Networks. (You can read her goodbye memo to MTV colleagues below.)</p>
<p>It looks as if MySpace CEO Owen Van Natta is assembling a team of MTV veterans at his company, which he&#8217;s in the process of overhauling.</p>
<p>In addition to Stirratt, MySpace has brought former digital guru Jason Hirschhorn over as chief product officer. And Courtney Holt, who runs MySpace Music, had run digital music for MTV before Chris DeWolfe, Van Natta&#8217;s predecessor, <a href="http://mediamemo.allthingsd.com/20081105/myspace-music-ceo-debuting-tomorrow/">brought him on board last year</a>. Viacom hasn&#8217;t named a replacement for Stirratt.</p>
<p>Next week could be Stirratt&#8217;s debut in front of the entire advertising sales staff of MySpace, who are set to gather at a new seaside resort about 20 miles south of Los Angeles to get a first glimpse of the fresh direction the company is preparing to take under its new management.</p>
<p>The struggling social networking site, HQed in Beverly Hills, has been trying to reboot its image, spur innovation in its product and most of all, pull itself out of a too-long slump, even as longtime rival, Palo Alto, Calif.-based Facebook, has seen explosive growth.</p>
<p>In late August, MySpace sales and marketing head Jeff Berman left the company as <a href="http://kara.allthingsd.com/20090820/myspace-to-hire-millard-and-also-media-link-to-take-over-ad-sales-whither-berman/">MySpace hired MediaLink</a>, a New York- and Los Angeles-based media consultancy, to help get its ad sales business back on track. </p>
<p>That effort has been led by <a href="http://mediamemo.allthingsd.com/20090421/wenda-millard-out-at-martha-stewart/">MediaLink President Wenda Millard</a>, who is well known in the ad industry and was longtime leader of the ad sales force at Yahoo (YHOO).</p>
<p>Getting an experienced top ad exec in place will round out a recent spate of new hiring by MySpace, including a new CTO, Alex Maghen, who moved over from its MySpace Music joint venture, and a new CFO, Mark Rosenbaum.</p>
<p>This has been part of Van Natta&#8217;s wholesale flushing out of most of the top execs who worked under DeWolfe.</p>
<p>Now, with a new team of execs, the News Corp. (NWS) property is putting the finishing touches on a master plan, which will include a new redesign of its hopelessly messy interface and doubling down on a product strategy that will center on, said one source, &#8220;what we own,&#8221; namely, music and entertainment.</p>
<p>Music is the obvious key leverage point, the still-bright spot of MySpace, followed by adding big entertainment categories like movies, television, gaming, video and other pop culture arenas.</p>
<p>Once the rejiggered product is in place, it will be up to Stirratt to sell it to advertisers.</p>

<p>On the agenda, aptly enough, for the 150 ad sales employees, who will gather at Terranea in Palos Verdes, is Ben Sherwood, author of &#8220;The Survivors Club: The Secrets and Science That Could Save Your Life,&#8221; and founder of a <a href="http://www.thesurvivorsclub.org">Web site of the same name</a> that describes itself as &#8220;the place for surviving and thriving.&#8221;</p>
<p>Also coming to the meeting will be several bands that have successfully leveraged MySpace as a platform, to talk about their experiences and to play for the crowd.</p>
<p>And, perhaps most importantly, the group might also get to meet its new boss by then, as several sources close to the situation said that MySpace has settled on an exec to fill the key job of running its ad business.</p>
<p>While it is unclear if the deal is completely done, sources said MySpace management will announce the pick this week.</p>
<p>Sources added that MySpace has been particularly interested in one exec from Viacom (VIA) and another from Microsoft (MSFT).</p>
<p>While the sources would not name the Viacom exec, several pointed to Keith Lorizio, Microsoft VP of U.S. sales, as someone MySpace has been targeting.</p>

<p>Van Natta, along with COO Michael Jones and Chief Product Officer Jason Hirschhorn, have been squirreled away since late April, working at cleaning up the company by replacing management, restructuring its various units and cutting costs, including <a href="http://kara.allthingsd.com/20090617/myspace-after-the-layoffs-heres-whats-what-and-whats-next">massive layoffs</a>.</p>
<p>They have also been trying to come up with a plan to differentiate MySpace from Facebook, a good strategy since it is now well-nigh impossible for the Beverly Hills-based MySpace to catch up with the Palo Alto, Calif.-based Facebook&#8217;s galloping growth.</p>
<p>While the whole new offering will not be rolled out prominently until at least the first quarter of next year, said several sources, some changes will begin sooner, including a gradual redesign of the site.</p>
<p>Under the new plan, said several sources, the main idea will be to shift the focus to engagement over sheer audience numbers. While MySpace is still huge, with about 70 million monthly U.S. visitors, increasing how much time they spend on the site is the goal.</p>
<p>&#8220;It&#8217;s not like numbers are not important, but the better metric for MySpace will be how involved users are,&#8221; said one person close to the situation. &#8220;MySpace needs to win on minutes.&#8221;</p>
<p>And, rather than the wider and more scattershot approach of past years, the new direction being stressed is more scalable and focused.</p>
<p>&#8220;It is not about getting everyone and their mothers on MySpace,&#8221; said a source, &#8220;but about being a better site to those here.&#8221;</p>
<p>That will include  stressing &#8220;ownership&#8221; of online categories, which for MySpace are music and entertainment, with the hope that advertisers will be attracted to more engaged users.</p>
<p>Unlike Facebook, which is often described as a utility platform for communications between friends, sources said MySpace will be aimed more at being a platform for communities of interest.</p>
<p>That includes using tools from other companies, such as MySpace&#8217;s recent two-way synch with Twitter, the hot microblogging service, to link those communities.</p>
<p>Presumably, the company&#8217;s <a href="http://kara.allthingsd.com/20090817/sale-of-ilike-to-myspace-135-million-in-cash-6-million-for-talent-retention-delayed-over-tax-issues-reallyplus-the-list-of-other-suitors">August purchase of iLike</a>, the social music start-up, is also part of that plan.</p>
<p>&#8220;Instead of the ability to just connect friend to friend in a single social graph, this will be about connecting a person to their communities of passion and interest and to others like them anywhere,&#8221; said one source.</p>
<p>Music is the obvious key leverage point, the still-bright spot of MySpace, followed by adding big entertainment categories like movies, television, gaming, video and other pop culture arenas.</p>

<p>&#8220;MySpace should represent pop culture online to customers and advertisers,&#8221; said one source. &#8220;The core strength has always been music and that is where the site will really excel, because it binds customers to the service.&#8221;</p>
<p>The even heavier music focus on the main juggernaut site, noted several sources, does create an odd situation with MySpace Music, the separate joint venture the site has with music labels to create a massive music community.</p>
<p>While sources do not think News Corp. will attempt to suck MySpace Music back into the main site, due to the complex partnership issues, the idea is to make them even more deeply integrated and to sell them to advertisers as one powerful marketing message.</p>
<p>In any case, several sources noted that one of the most successful parts of the new plan has been to convince News Corp. leaders that MySpace does not have to beat Facebook to be successful.</p>
<p>Sooner than later, of course, MySpace has to do just that.</p>
<p>Will it work? Who knows, but said one source close to the situation quite correctly:</p>
<p>&#8220;There is no silver bullet for MySpace&#8211;it just has to climb back step by step.&#8221;</p>

<p>Does Google need a Hollywood guide?</p>
<p>It may be getting one: Jim Wiatt, the former head of the fabled William Morris talent agency, has been talking to the company about a consulting gig for its YouTube video site.</p>
<p>Wiatt, who is <a href="http://www.deadlinehollywooddaily.com/urgent-jim-wiatt-looks-to-be-leaving-wme-before-it-starts/">leaving his old job</a> in the aftermath of his agency&#8217;s highly contentious merger with the Endeavor agency, discussed the idea with Google and YouTube executives in Mountain View last week, multiple sources said.</p>
<p>Wiatt hasn&#8217;t signed a deal and may end up pursuing something else instead, I&#8217;m told.</p>
<p>But the role would make sense, given that Wiatt has already served as a de facto guide for Google CEO Eric Schmidt, who has been trying to ingratiate his company with studio and network executives for some time. </p>
<p>(Schmidt has spent enough time in Hollywood to justify plunking down <a href="http://latimesblogs.latimes.com/lanow/2008/11/montecito-where.html">a reported $20 million for an estate in Montecito</a>, a wealthy resort town an hour or so outside of Beverly Hills.)</p>
<p>Google (GOOG) has tried to convince Hollywood to bring more of its content over to the world&#8217;s largest video site, but its biggest players have so far resisted, offering the site promotional trailers but little else. Meanwhile Hulu, the joint venture between News Corp.&#8217;s (NWS) Fox, GE&#8217;s (GE) NBC and Disney&#8217;s (DIS) ABC has staked out a reputation as the go-to site for free &#8220;premium&#8221; movies and TV shows.</p>
<p>Earlier this year, reports <a href="http://www.nytimes.com/2009/01/29/business/media/29youtube.html?_r=1">surfaced</a> that William Morris and Google had reached a pact that would steer the agency&#8217;s high-profile clients to make and star in YouTube videos.</p>
<p>Neither company ever formally acknowledged the so-called &#8220;YouTube Gold&#8221; program, and it&#8217;s not clear if it ever got off the ground. But, in any case, William Morris has more or less been absorbed by onetime rival Endeavor, headed by Ari Emanuel, leaving Wiatt looking for other work.</p>
<p>Wiatt, via a spokesman, declined to comment. YouTube offered up this statement via email: &#8220;We are constantly exploring opportunities to reward the talented members of the YouTube community, including helping to distribute their content around the Web and beyond.&#8221;</p>

<p><strong>UPDATE</strong>: <em>In an <a href="http://mediamemo.allthingsd.com/20090820/myspace-welcomes-medialink-and-wenda-millard-the-complete-internal-memo/">internal memo</a>, MySpace is now telling employees that current ad sales head Jeff Berman is leaving the company.</em></p>
<p>In a move that will surely have Madison Avenue talking, well-known online advertising sales executive Wenda Harris Millard (pictured here)&#8211;who is now president of New York- and Los Angeles-based media consultancy Media Link&#8211;is poised to take over all advertising sales at MySpace, sources said.</p>
<p>But, in an unusual twist, she will remain in her job at <a href="http://medialinkllc.com/index.html">Media Link</a>, which has also been hired by MySpace to advise on restructuring the social networking company&#8217;s salesforce.</p>
<p>Sources said the arrangement is expected to be announced sometime today.</p>
<p>While details are still being hashed out, Millard&#8211;who <a href="http://kara.allthingsd.com/20070625/wenda-was-robbed">was the top ad exec at Yahoo</a> (YHOO) in its glory days and who <a href="http://mediamemo.allthingsd.com/20090421/wenda-millard-out-at-martha-stewart/">recently left her job as co-CEO of Martha Stewart Living Omnimedia</a> (MSO)&#8211;will apparently report to MySpace CEO Owen Van Natta directly.</p>
<p>In turn, all regional advertising vice presidents at MySpace will report to her. Millard is likely to work out of New York, where she lives and where the Beverly Hills, Calif.-based MySpace also has offices.</p>

<p>This is a big coup for Media Link, which was founded by Michael Kassan, given that it will essentially be running a major part of the business of MySpace as MySpace seeks to reinvigorate itself, spur innovation and reset its product strategy.</p>
<p>Media Link <a href="http://mediamemo.allthingsd.com/20090421/wenda-millard-out-at-martha-stewart/">hired Millard in April</a>, which turned out to be a good move as she appeared to be the obvious draw for MySpace, as well as News Corp. (NWS) execs.</p>
<p>She is well known to them, as well as to many in both the Internet and advertising industries. Millard has been a longtime online exec, working at Ziff Davis Media and DoubleClick in the very early days of the Web. She was also chairman of the Interactive Advertising Bureau last year until this past April.</p>
<p>MySpace also reportedly talked to several big online advertising sales execs like Millard about the job, according to several sources outside the company.</p>

<p>This development now leaves the fate of President of Sales and Marketing Jeff Berman (pictured here) unclear.</p>
<p>But several sources told me Berman&#8211;whom I wrote earlier this summer was <a href="http://kara.allthingsd.com/20090617/myspace-after-the-layoffs-heres-whats-what-and-whats-next/">&#8220;rumored to be on the bubble,&#8221;</a> but remaining for the time being&#8211;has been actively looking for a new job in the past few weeks and even told at least one person he spoke to that he was going to be &#8220;gone from MySpace by Labor Day.&#8221;</p>
<p>Probably sooner, now that MySpace is about to hire Millard and her firm to take over a big part of his job.</p>
<p>Yesterday, MySpace made another splashy move by buying the social music site, iLike, the first acquisition by its new exec team, as part of a move to push the &#8220;socialization of content.&#8221;</p>
<p>In a statement in the press release about the iLike acquisition, Van Natta might be seen as tipping his hand a little bit: &#8220;We are deeply committed to bringing world class talent into all areas of the company&#8230;.&#8221;</p>
<p>Seasoned and experienced management was a point he also emphasized in a conference call with media yesterday about the iLike deal.</p>
<p>Millard is certainly that.</p>
<p>And, in fact, there has been a clearing out of almost all of MySpace&#8217;s former top execs and replacement with new blood&#8211;such as former Apple (AAPL), Amazon (AMZN) and Facebook alum Katie Geminder as SVP of user experience and design and Mike Macadaan, who is VP of product.</p>
<p>It is a process that is doubtlessly going to continue as Millard comes in and cleans house&#8211;and it will be interesting to see just what talent comes in next.</p>

<p>In fact, only $13.5 million will be paid upfront in cash, with about $8 million of that money likely going to one of its major shareholders, Ticketmaster Entertainment (TKTM), due to its preferred shares.</p>
<p>Another $6 million has been promised by MySpace in forward payments to retain some key employees&#8211;including iLike co-founders and twin brothers Ali and Hadi Partovi.</p>
<p>Although those employees can remain in Seattle, where iLike has its HQ, they must stay employed at Beverly Hills, Calif.-based MySpace for two and a half years to get their money.</p>
<p>It&#8217;s that talent part of the deal that caused the Partovis to cancel the iLike board meeting, which they explained to key investors was necessary due to some confusion over how the money paid to these employees would be taxed.</p>
<p>A person briefed on the issue said that if it was taxed as compensation, it would have a much higher tax rate than if it were considered long-term capital gains.</p>
<p>The Partovis said in the email that they were working on the problem with their advisers on the sale, Allen &#038; Co., as well as with lawyers and accountants.</p>
<p>Tax snafus in the middle of a sale are not exactly the way the entrepreneurial Partovis envisioned it was going to go for iLike (see my various video interview related to iLike below) when they created the compelling music sharing and recommendation service in 2006.</p>
<p>After only a few years, the innovative start-up claims it has 50 million registered users overall.</p>
<p>A lot of that growth was due to iLike quickly becoming one of the most popular widgets on social networking sites like Facebook, where it has also been the top music application, with 10 million active monthly users.</p>
<p>The Partovis&#8211;who once were close with execs at Facebook (see my party video below), particularly founder and CEO Mark Zuckerberg&#8211;placed great faith in its growth lifting all Web 2.0 boats.</p>
<p>It did not turn out that way, though, especially from the important financial point of view, and iLike scrambled to diversify.</p>
<p>The iLike service recently began offering a music downloading service, for example, as well as other such features, all of which would be attractive to the music-centric focus at MySpace.</p>

<p>Once an Internet sensation, MySpace has been struggling to restructure itself after losing momentum and buzz in recent years, as well as a huge advertising revenue drop in its most recent quarter.</p>
<p>Its owner, News Corp. (NWS), replaced its founders with new management four months ago, including former Facebook exec Owen Van Natta as CEO.</p>
<p>After making major staff layoffs and rejiggering management, Van Natta and his new team have been working on an overhaul of the MySpace product and seem to be refocusing it to become a global music and entertainment service.</p>
<p>MySpace also has a joint venture with major music labels, MySpace Music, which has been trying to attract consumers and build a viable business. Sources said MySpace Music could also buy into the iLike deal or simply license its technology to improve its features.</p>
<p>Thus, purchasing iLike would fit in well with MySpace&#8217;s overall plans.</p>
<p>And iLike has also been in need of a fix itself.</p>
<p>For all its popularity, especially on Facebook, it has moved slowly toward profitabilty, and its $17 million in funding has been dwindling, as has its viability as a standalone company.</p>
<p>Back in more frothy Web 2.0 days, iLike&#8217;s generous funding gave it a valuation of more than $50 million, which has also lost steam over time and as the economy has worsened.</p>
<p>In the last quarter of fiscal 2008, for example, Ticketmaster wrote down its $13 million investment by $6 million.</p>
<p>Tensions between its execs and iLike have gotten worse over time, although some thought at one time that Ticketmaster would buy iLike.</p>
<p>No longer, which is why the founders turned to Allen &#038; Co., as <a href="http://mediamemo.allthingsd.com/20081124/web-2o-music-pioneer-ilike-looking-for-buyers">MediaMemo reported as far back as November</a>, to find another big investor or buyer.</p>
<p>Wrote Peter Kafka: &#8220;Delivering free music on the Web has so far proven to be a high-cost, low-revenue endeavor&#8230;&#8221;</p>
<p>So, the New York deal-making firm ginned up a small group of suitors, which included Facebook, Activision Blizzard (ATVI) and Microsoft (MSFT), as well as MySpace.</p>
<p>Of the three, Activision was most serious, with interest in integrating iLike&#8217;s community and technology tools with its Guitar Hero franchise.</p>
<p>But Activision never actually made a formal bid, said sources.</p>
<p>Both Microsoft and Facebook also considered the purchase, but sources said they would only offer stock in a deal. But iLike wanted cash in the deal.</p>
<p>The Partovis were also was wary about working at either place.</p>
<p>Both Partovis, for example, had worked at Microsoft (Ali after selling it LinkExchange in 1998 for $265 million; Hadi several times, once following Microsoft&#8217;s acquisition of Tellme Networks, which he co-founded).</p>
<p>As it has turned out, in its short life, iLike&#8217;s last, best alternative is apparently MySpace.</p>
<p>&#8220;Look, iLike has been shopped around for a while, and while the team and technology are great, it only has one choice and that&#8217;s to be sold,&#8221; said one person involved in the various scenarios. &#8220;The question for the buyer then is whether it was worth it to pay up or just move on and do it ourselves.&#8221;</p>
<p>So until the bean counters settle this IRS nightmare, here is my <a href="http://kara.allthingsd.com/20080723/kara-visits-ilike-in-seattle/">video interview with Hadi Partovi</a> about a year ago at iLike&#8217;s HQ in the Capitol Hill section of Seattle, when times were a little more hopeful:</p>

<p>Yesterday, shares of Netflix got their semiregular rocket boost&#8211;with its stock up more than five percent to close at just over $42&#8211;from rumors that Amazon was interested in buying Netflix.</p>
<p>Oh, it&#8217;s a seemingly dreamy match&#8211;the top online retailer snapping up the upstart U.S. mail-order DVD movie and television show service.</p>
<p>But the speculation completely ignored the giant price needed to buy the Silicon Valley-based Netflix (NFLX)&#8211;well above its current $2.43 billion market cap, to be sure&#8211;which would be a big chunk of Amazon&#8217;s $35 billion valuation.</p>
<p>And it also leaves out the nearly impossible tax problem Amazon (AMZN) would acquire if it ever bought Netflix, given that Netflix has many U.S. distribution locations for its subscription rental business. Amazon does <em>not</em> like paying state taxes and avoids them carefully.</p>
<p>Instead, those interested in seeing the independent company in the embrace of a larger one might want to consider a more suitable and very interested candidate: Microsoft.</p>
<p>Neither Microsoft (MSFT) nor Netflix will comment about such a hookup.</p>
<p>But several sources close to Microsoft told BoomTown that that the <a href="http://www.xbox.com/en-US/live/netflix/">partnership between Netflix and Xbox Live</a> to allow users to watch movies and TV episodes on the Xbox 360 device&#8211;struck exactly  one year ago today&#8211;is going like gangbusters, with one saying it was &#8220;en fuego.&#8221;</p>
<p>Very loosely translated: <em>On fire</em>.</p>
<p><a href="http://kara.allthingsd.com/files/2009/07/hastingsjpg.jpeg"><img src="http://kara.allthingsd.com/files/2009/07/hastingsjpg.jpeg" alt="hastingsjpg" title="hastingsjpg" width="147" height="183" class="alignleft size-full wp-image-15783" /></a></p>
<p>So much so, several sources said, that Robbie Bach&#8211;who is president of Microsoft&#8217;s Entertainment and Devices division, which includes the Xbox business&#8211;has been meeting with Netflix CEO and co-founder Reed Hastings (pictured) in recent weeks about what else the pair can do together to expand its current partnership.</p>
<p>The deal already in place between them is a hit, according to sources at both companies.</p>
<p>It gave Netflix access to 12 million Xbox members and handed Microsoft what has turned out to be a very popular application and an unusually successful joint effort.</p>
<p>While an acquisition would be a much bigger move, some at the software giant think it would necessarily be such a bad one for Microsoft, which has long been seeking to forge better ties in the entertainment arena.</p>
<p>Many of Microsoft&#8217;s major Hollywood forays over the years have been duds. So, stronger ties with Netflix&#8211;even a more robust partnership, at the very least&#8211;would give it a more definitive video strategy most think it lacks.</p>
<p>Its archrival, Google (GOOG), has been trying&#8211;with similarly lackluster impact&#8211;to accomplish the same results via its pricey and money-losing YouTube unit.</p>
<p>But Netflix&#8211;which has an office in Beverly Hills, as well as Los Gatos, Calif.&#8211;has much better relationships with the industry there, mostly because it has become such a big buyer of DVDs as it has grown its business (see charts below of subscriber and revenue growth; click on them to make them larger).</p>

<p>In addition, it has added more subscribers than ever in the last year and is solidly profitable, mostly due to sending consumers all those DVDs in little red envelopes.</p>
<p>And while a lot of execs at Hollywood studios that Netflix does business with have been wary&#8211;and told me so in no uncertain terms on my recent visit to Los Angeles&#8211;about its entry into the digital video delivery business, they have also been thrilled with the checks that Netflix has been writing them since it was founded more than a decade ago.</p>
<p>But, it is that main DVD business that Hastings, in a <a href="http://online.wsj.com/article/SB124570665631638633.html">recent interview with The Wall Street Journal recently</a>, has said is &#8220;doomed.&#8221;</p>
<p>Noted the article:</p>
<p>&#8220;As soon as four years from now, [Hastings] predicts, the business that generates most of Netflix&#8217;s revenue today will begin to decline, as DVDs delivered by mail steadily lose ground to movies sent straight over the Internet. So Mr. Hastings, who co-founded the company, is quickly trying to shift Netflix&#8217;s business&#8211;seeking to make more videos available online and cutting deals with electronics makers so consumers can play those movies on television sets.&#8221;</p>
<p>With Internet video still in its infancy&#8211;and barely in gestation in terms of any viable business model&#8211;Netflix might indeed need help, especially since Hollywood has been slow to give it rights to more movies for online distribution.</p>

<p>That will be increasingly troublesome, given that digital delivery is the way consumers are headed. According to the Journal story, over 20 percent of Netflix members now use the streaming service.</p>
<p>But it only has about 12,000 titles&#8211;mostly older films&#8211;licensed on its online service, compared to 100,000 DVD rental titles.</p>
<p>That&#8217;s because, for now, much more powerful pay channels usually win out over Netflix in these online video distribution wars, which also include Amazon and Apple (AAPL), along with many others.</p>
<p>Thus, even with a strong and unusually long-term executive bench, the close-knit Netflix will still be facing a major battle in moving in a direction it must head in sooner than later</p>
<p>Such an epic journey could be easier for Netflix with a powerful ally like Microsoft.</p>
<p>One more interesting link would make such a relationship even smoother: <a href="http://www.microsoft.com/presspass/bod/bod.aspx">Hastings is also on the board of Microsoft</a>, having <a href="http://www.microsoft.com/presspass/press/2007/mar07/03-26HastingsPR.mspx">joined in 2007</a>.</p>
<p>So, the savvy and innovative entrepreneur&#8211;well-known for his close-to-the-vest dealmaking and eager to not miss a key turn for his company&#8211;might very well decide to keep friends very close.</p>

<p>In a <a href="http://www.8bitkid.com/2009/07/02/farewell-myspace/">blog post on his Web site</a> yesterday, titled &#8220;Farewell, MySpace&#8230;,&#8221; Engel did not say where he was headed, but noted:</p>
<p>&#8220;While MySpace presented opportunities through their scale and reach, I&#8217;ve spent the past 3 years at large companies, and now I&#8217;m ready to go small and give the startup life a try.&#8221;</p>
<p>In addition, while I was poking around on this story, sources also told me that there are more higher-level departures in the works, including those whom the new team of execs at Beverly Hills, Calif.-based MySpace had kept in place, despite a recent round of layoffs.</p>

<p>While Anderson remains at MySpace, his role has been changed and product is now headed by Jason Hirschhorn, and Andrus reportedly decided recently that he did not want to stay at the company in a lesser role.</p>
<p>Andrus is also listed as a developer at Gray Ghost Ventures on <a href="http://www.linkedin.com/pub/tom-andrus/0/215/185">LinkedIn</a>.</p>

<p>In the longer term, sources said it is also likely that once he completes the work to downsize MySpace&#8217;s international operations&#8211;which were cut drastically&#8211;its head, Travis Katz (pictured here), will move on in the fall.</p>
<p>While some thought <a href="http://kara.allthingsd.com/20090623/confirmed-travis-katz-remains-at-myspace-as-international-head/">he would leave during MySpace&#8217;s international layoffs several weeks ago, he did not</a>, given all the work involved in closing down a lot of operations there after 67 percent the staff abroad was cut.</p>
<p>Katz, sources said, is preparing to move to California in the next several weeks and is interested in working for a start-up, after many years at News Corp.</p>

<p>FIM, of course, is being rejiggered into a new smaller unit, as I previously reported, and is likely to be renamed simply the Digital Media Group.</p>

And today, MySpace, which is still 1,000-strong, has to face the cold, harsh light of day in the aftermath of the restructuring and get busy quickly figuring out a way to reinvigorate a brand that has suffered after a stunning rocket of a start many years ago.

So, based on many sources I have spoken to over the last week, here's a rundown of the next steps MySpace will likely be taking and who'll be making them.]]></description>

<p><em>Now what?</em></p>
<p>The party-all-night social-networking site that has been MySpace so far got a massive morning-after shock yesterday when <a href="http://digitaldaily.allthingsd.com/20090616/myspace-a-place-for-layoffs/">30 percent of its workforce&#8211;or 420 employees&#8211;was laid off</a>.</p>
<p>And today, MySpace, which is still 1,000-strong, and its leaders have to face the cold, harsh light of day in the aftermath of the restructuring and get busy quickly figuring out a way to reinvigorate a brand that has suffered after a stunning rocket of a start many years ago.</p>
<p>That&#8217;s especially true since a report also just came out by market research outfit comScore (SCOR) showing that Facebook has surpassed MySpace in the key U.S. market as the top social-networking site.</p>
<p>So, based on many sources I have spoken to over the last week, here&#8217;s a rundown of the next steps MySpace will likely be taking and who&#8217;ll be making them.</p>
<p><strong>MORE LAYOFFS?</strong></p>
<p>“Simply put, our staffing levels were bloated and hindered our ability to be an efficient and nimble team-oriented company,” said <a href="http://kara.allthingsd.com/20090424/van-natta-confirmed-as-ceo-of-myspace-the-full-press-release/">new CEO Owen Van Natta</a> in a statement about the layoffs.</p>
<p>What he did not say was that cost-cutting via layoffs is almost always the first move in a turnaround.</p>
<p>These cuts have actually been long in coming, but it&#8217;s promising that they finally happened so quickly after Van Natta&#8211;along with <a href="http://kara.allthingsd.com/20090427/back-to-school-new-myspace-ceo-van-natta-starts-today-and-joined-by-former-aol-exec-jones-as-coo/">COO Michael Jones</a> and <a href="http://kara.allthingsd.com/20090427/myspace-musical-chairs-jason-hirschhorn-also-in-at-myspace-as-chief-product-officer/">Chief Product Officer Jason Hirschhorn</a>&#8211;were brought in by News Corp. (NWS) digital head Jon Miller to replace co-founder and CEO Chris DeWolfe.</p>

<p><a href="http://kara.allthingsd.com/files/2009/06/layoff.jpeg"><img src="http://kara.allthingsd.com/files/2009/06/layoff.jpeg" alt="layoff" title="layoff" width="224" height="224" class="alignleft size-full wp-image-14661" /></a></p>
<p>&#8220;The layoffs were a total reset,&#8221; said one source, who noted that unless MySpace&#8217;s advertising business falls off a cliff, which it is unlikely to do in the short term, more cuts in the U.S. will not be needed for now. That might not be true internationally, where MySpace has not performed as strongly.</p>
<p>At this point, MySpace is now about the same size as chief rival Facebook&#8217;s staff, which has been growing much more quickly (you can see my <a href="http://kara.allthingsd.com/20090615/kara-tours-the-new-facebook-hq-and-gets-ripped-the-uncut-video/">video tour of its new Silicon Valley HQ here</a>).</p>
<p>Except for not making the move to new offices in Los Angeles, the Beverly Hills, Calif.-based MySpace is also not going to be closing offices elsewhere, as has been reported, most especially its San Francisco one.</p>
<p>In fact, Van Natta is traveling to visit all of them, his memo said, over the next several days.</p>
<p><strong>LEADERSHIP</strong></p>
<p>Despite the large number of layoffs and the departure of DeWolfe, most expect there to be very little change in the top ranks of MySpace leadership for the time being.</p>
<p>While Jeff Berman, MySpace&#8217;s president of sales and marketing, has been rumored to be on the bubble, multiple sources said he would be staying in his job.</p>
<p>He&#8217;ll continue to be aided by Angela Courtin, SVP of marketing, who is well-regarded.</p>

<p>The same is true of the other major question mark, co-founder Tom Anderson (pictured here), who has held the president title at the company and was in charge of its products.</p>
<p>Anderson does not have a new title yet and will no longer be in a key operational role, but many sources said his historical knowledge and his tight relationship with the MySpace community make it important that he remain at the company.</p>
<p>&#8220;Tom is clearly in touch with what has made MySpace special,&#8221; said one source. &#8220;And it is important that he remain to keep the culture alive.&#8221;</p>
<p>Also staying for now is Tom Andrus, who has been SVP of product management under Anderson and is now reporting to Hirschhorn. While initially upset by being supplanted so quickly by new execs, most sources told me that he is a solid and well-liked exec.</p>
<p>The same is said of Jason Oberfest, SVP of business development, who is also staying. So too, CTO Aber Whitcomb, whom many thought would be leaving.</p>
<p>The only major exec departure I could confirm was Fox Interactive Media CFO Ed McKenna, who was in charge of MySpace too. Sources said will be leaving the company as his function gets consolidated into higher corporate units at News Corp.</p>
<p><strong>PRODUCT REHAUL</strong></p>
<p>Lastly, most noted that MySpace cannot cut its way back to health, which is why sources said its execs are now beginning to engage in a major overhaul of the product itself.</p>
<p>While leadership had considered bringing in a separate new skunkworks-type team to do that, it has been decided that the current staff&#8211;helped by some outside consultants&#8211;will be doing a top-to-bottom redo of MySpace.</p>
<p>MySpace could use it. As you can see from the charts below from a poll that we did for the seventh <strong>D: All Things Digital</strong> conference recently&#8211;and where Walt Mossberg and I interviewed Van Natta and Miller onstage (see the <a href="http://d7.allthingsd.com/20090527/jon-miller-and-owen-van-natta/">highlights video below</a>)&#8211;it has a lot to fix, including reengaging users, improving technology and differentiating itself from Facebook.</p>
<p>And, in fact, carving itself out as a different product than Facebook is one major aim because the offerings&#8211;while both are social networks&#8211;are quite different in approach. Facebook has evolved into more of a utility, while MySpace has made better inroads as an entertainment hub.</p>

<p>Whatever changes are made, most sources note that MySpace needs to try to remain true to its original frisky and fun start-up core, while innovating a next-generation product and continuing to goose its advertising business.</p>
<p>That also includes starting up renegotiations with Google (GOOG) about its search-advertising partnership, talks that are just getting started now (more on that soon).</p>
<p>Most of all, said one person, pointing to the long and painfully public struggle at Yahoo (YHOO), leadership has to stop the focus on MySpace being broken as soon as possible.</p>
<p>&#8220;MySpace needed to be shaken up, but it is still a very powerful brand and has huge traffic,&#8221; said the source. &#8220;Its management has to project a sense inside and outside that it is not only fixable, but also can lead again.&#8221;</p>
<p>As with Yahoo, Time Warner (TWX) online unit AOL and many others before it, that&#8217;s no easy task for MySpace, starting today.</p>

<p>MySpace has officially announced the appointment of entrepreneur and former AOL exec Mike Jones as COO, as <a href="http://kara.allthingsd.com/20090427/back-to-school-new-myspace-ceo-van-natta-starts-today-and-joined-by-former-aol-exec-jones-as-coo/">BoomTown reported earlier today</a>.</p>
<p>But the social-networking site also named former Sling Media top exec Jason Hirschhorn as chief product officer in what has become a series of senior management moves at MySpace.</p>
<p>The paidContent Web site <a href="http://www.paidcontent.org/entry/419-industry-moves-userplane-founder-mike-jones-joins-myspace-as-coo/">first reported on the Hirschhorn appointment</a> earlier this morning.</p>
<p>Besides Sling, which he recently left in a mass departure of top execs, Hirschhorn was also the top digital exec at MTV Networks and was part of the team at Viacom (VIA) that unsuccessfully tried to buy MySpace many years ago.</p>
<p>Both Hirschhorn and Jones, who are already based in Los Angeles, will report to newly named CEO Owen Van Natta, the former COO of Facebook, who <a href="http://kara.allthingsd.com/20090424/van-natta-confirmed-as-ceo-of-myspace-the-full-press-release/">replaced MySpace co-founder and CEO Chris DeWolfe last week</a>.</p>
<p>Recently installed News Corp. (NWS) digital head Jon Miller has put in place a trio of well-known Internet execs at the top of MySpace, which has seen its buzz and momentum wane in the face of the huge growth at Facebook.</p>
<p>MySpace&#8217;s motto is &#8220;A Place for Friends.&#8221; But it might very well now be: A place for wandering digital execs.</p>
<p>And expect more top execs to wander away from MySpace too. Once the trio get their bearings, many sources indicate that News Corp., the owner of MySpace, has given Van Natta and his key execs free rein to remake the unit.</p>
<p>There is a lot to fix at the entertainment-, music- and media-heavy site, from a renegotiation with Google (GOOG) over its advertising search deal to goosing traffic to innovating its look and feel.</p>
<p>In addition, MySpace is likely to forge closer tech ties with Silicon Valley, where Facebook is based.</p>
<p>News Corp. already noted that it was in talks with MySpace co-founder and President Tom Anderson about a new role in the company. Also likely to get a major look-see are top execs like sales head Jeff Berman and CTO Aber Whitcomb, as well as a number of others.</p>
<p>To begin, though, the trio will meet the staff of MySpace, more than 1,000 people, in an all-hands event to be held outside of its building in Beverly Hills, Calif., at about 3:30 p.m. today.</p>
<p>Sources tell me there is no space big enough at the HQ to accommodate them, so the courtyard of the building will be used.</p>
<p>BoomTown is in Los Angeles today, by coincidence, but will not be crashing the event, so send interesting tidbits my way.</p>

Hirschhorn joined MTV Networks following the acquisition of his company, Mischief New Media, which provided interactive services to the entertainment industry.</p>
<p>“Michael’s operational insight and knowledge of the social media market will prove to be a valuable asset as we set out to evolve the MySpace product offering,” said Jon Miller, chief digital officer, News Corporation. “From a product perspective, there’s no better choice than Jason, who is highly regarded as an incredibly talented innovator, media executive and leader, all qualities I know will greatly benefit our team and our users.”</p>

<p>New MySpace CEO Owen Van Natta starts his first day on the job at MySpace bright and early this morning, coming to its Beverly Hills HQ as he takes over for co-founder and former CEO Chris DeWolfe.</p>
<p>Along with him will be a new COO, former AOL exec Mike Jones, whose appointment will be announced this morning, sources said.</p>
<p>The pair will meet with MySpace staff today at 3:30 p.m. PDT.</p>
<p>Jones was the founder of Userplane, a social-networking application maker that was bought by then-AOL head Jon Miller in 2006.</p>
<p>Miller is now the digital chief at News Corp. (NWS), which owns MySpace.</p>
<p>(News Corp. also owns Dow Jones, which owns this Web site.)</p>
<p>Jones left the Time Warner (TWX) unit last year to start Tsavo, a digital content start-up.</p>
<p>Van Natta, who was running the Project Playlist start-up until his appointment, has stronger Silicon Valley ties. For now, he will commute to MySpace from Northern California, where his family lives.</p>
<p>Van Natta was a former top-ranking Facebook exec, still holding a small stake in the MySpace rival, and has also worked at Amazon (AMZN).</p>
<p>But, with a strong product and technology background, the Los Angeles-based Jones is an excellent choice to be a partner to Van Natta&#8211;who was hired by Miller last week in a <a href="http://kara.allthingsd.com/20090424/van-natta-confirmed-as-ceo-of-myspace-the-full-press-release/">flurry of change at the social-networking site</a>.</p>
<p>Their challenges include: Reinvigorating the MySpace brand, upgrading its technology, adding more innovation to its feature set, continuing to grow its nascent advertising business and dealing with the tough renegotiation of its lucrative search and advertising deal with Google (GOOG).</p>
<p>They must also play deft diplomats at MySpace, where many remain loyal to DeWolfe and to co-founder Tom Anderson. Anderson is in talks to step down as president for an unspecified new role in the company. He currently remains president.</p>

<p>News Corp. will officially announce its shaken-but-not-stirred digital lineup this morning, as former AOL head Jon Miller takes over as the media giant&#8217;s new chief digital officer.</p>
<p>And Peter Levinsohn&#8211;his predecessor at Fox Interactive Media, which Miller will inherit in a new form, along with a larger portfolio, all based in New York&#8211;will also officially take up his new post as the key digital exec at News Corp.&#8217;s film and television studios in California.</p>
<p>In the press release, the company said Miller &#8220;will be charged with driving digital strategy across News Corp. businesses.&#8221;</p>
<p>In a statement, News Corp. CEO Rupert Murdoch said: “Our focus moving forward is twofold: to enable our digital businesses to flourish as individual entities and to bolster the digital strategies of our core media properties by treating them as central to, and not separate from, the enterprise.&#8221;</p>
<p>The release went on to say that Miller will have sway over News Corp.’s standalone digital businesses, including MySpace, IGN Entertainment, Photobucket, as well as Jamba and the Hulu joint venture with NBC Universal, and will &#8220;collaborate with operational heads and digital executives through all lines of business around the globe to develop and refine digital efforts.&#8221;</p>
<p>Last Friday, <a href="http://kara.allthingsd.com/20090327/jon-miller-to-news-corp-as-digital-head">BoomTown and others outlined the moves</a>, part of Murdoch&#8217;s efforts to make significant changes related to how the company&#8217;s digital efforts are managed.</p>
<p>The shifts come in the wake of the previously announced upcoming departure of COO Peter Chernin, who was in charge of digital efforts at News Corp.</p>

<p>Miller (pictured here), whose noncompete agreement with Time Warner (TWX) from his AOL stint just ran out, will report directly to Murdoch. Besides the chief digital officer title, he will also be chairman and CEO of the newly created News Digital Media group.</p>
<p>Levinsohn, a longtime News Corp. exec, is also getting a significant new job as president of new media and digital distribution at the Fox studios, coordinating delivery of its film and television assets on all mobile and digital platforms.</p>
<p>It will be his task to create sustainable advertising and other business models in this fast-moving arena, as well as create innovative new content for those platforms.</p>

<p>News Corp. said that Levinsohn will oversee &#8220;Fox Filmed Entertainment’s entire content portfolio across all digital distribution channels, including Hulu and third party platforms in the broadband, mobile and gaming markets. He will direct all policy decisions regarding new usage and business models, content protection, and will further develop the studio’s original and derivative content businesses by working with creative talent, distributors and brands to bring short and long-form digital entertainment to audiences worldwide.&#8221;</p>
<p>It&#8217;s definitely a complex, challenging job&#8211;although a big opportunity&#8211;for the affable Levinsohn, who never sought the limelight as some who worked for him have, most especially MySpace CEO and co-founder Chris DeWolfe.</p>
<p>Both previous FIM heads, Ross Levinsohn and Peter Levinsohn, many sources said, had to deal with DeWolfe&#8217;s own sphere of influence within News Corp. (NWS), especially his close ties to Murdoch. Both FIM and MySpace are located in Beverly Hills, Calif.</p>
<p>As I previously wrote, relations between DeWolfe and both those execs could be described, at best, as tense.</p>
<p>Miller now inherits that relationship at the social-networking site. And he must also navigate the complexities of the global media giant, as well as figure out ongoing relationships with digital companies, such as Google (GOOG), Microsoft (MSFT), Yahoo (YHOO) and his former company, Time Warner (TWX) unit AOL.</p>
<p>The same, of course, goes for Levinsohn.</p>
<p>And, especially with the weak economy, which often slows innovation at large companies, it is likely the pair will end up having to work together closely if News Corp. is to have a cohesive and successful digital strategy under the new set-up going forward.</p>

Prior to Fox Interactive Media, Levinsohn held a number of senior positions at the company, including president of Fox Digital Media, and president of Worldwide Pay Television and Video on Demand for Fox Filmed Entertainment.</p>
<p>Mr. Miller was most recently a founding partner of Velocity Interactive Group, a digital media and communications investment firm. From 2002 to 2006, he served as Chairman and CEO of AOL, where he restructured the company&#8217;s core business lines, focusing on online advertising. Through his leadership, AOL delivered record annual profit growth of 21 percent and increased online advertising growth, the centerpiece of its new business model, by 46 percent. Previously, Miller was CEO and President of USA Information and Services, now IACI and Expedia (the company split in two in 2005), where he helped build industry-leading positions in such areas as online travel, ticketing, and electronic retailing.</p>
<p>Earlier in his career, Mr. Miller spent several years as Managing Director of Nickelodeon International, a unit of Viacom&#8217;s MTV Networks. <p>BoomTown has <a href="http://www.deadlinehollywooddaily.com/digital-changes-for-news-corp-ex-aoler-jon-miller-becomes-digital-media-ceo-fim-prez-peter-levinsohn-to-big-studio-job/">confirmed a report by Nikki Finke of Deadline Hollywood Daily</a> that former AOL head Jon Miller is set to take over as digital head at News Corp., replacing Peter Levinsohn.</p>
<p>The <a href="http://rosslevinsohn.wordpress.com/2009/03/28/as-the-internet-world-turns/">move was also mentioned in a blog post</a> by Miller&#8217;s partner in an investment company, Ross Levinsohn, who once held a smaller version of the job Miller is taking.</p>
<p>But Miller has not actually signed up for the job officially, since he is still under a noncompete agreement with Time Warner from his AOL stint. It runs out in three days, in fact.</p>
<p>As some might recall, <a href="http://kara.allthingsd.com/20080801/boomtown-plea-to-jeff-bewkes-free-jon-miller">Miller was barred from taking a board seat at Yahoo</a> last year by Time Warner CEO Jeff Bewkes.</p>
<p>But sources said News Corp. is likely to announce Miller as head by Monday or Tuesday at the latest.</p>
<p>Once he does sign,  which seems likely, Miller will become News Corp.&#8217;s chief digital officer, reporting directly to the media giant&#8217;s head, Rupert Murdoch. Based in New York, he will also be chairman and CEO of the newly created News Digital Media group.</p>
<p>Sources noted that this is a a different and larger platform for Miller, bigger than just the Fox Interactive Media job that Levinsohn held. It will go across all properties held by News Corp. across the globe.</p>
<p>&#8220;The idea is to mainstream the digital initiatives, which have been all over the company,&#8221; said one source close to the situation.</p>
<p>Levinsohn will move to another job within News Corp. (NWS) at the film and television studios, to coordinate delivery of its assets on mobile and digital platforms, sources said. It will be his task to create sustainable business models in this fast-moving arena.</p>
<p>News Corp. has, in fact, been searching for a new digital head for the past several months, talking to a number of well-known Internet execs, including Joost head Mike Volpi, former AOL exec Jim Bankoff and former Facebook exec Owen Van Natta.</p>
<p>The decision to rejigger News Corp.&#8217;s digital assets came after the announcement that President and COO Peter Chernin was leaving his job and has largely been pushed by Murdoch.</p>
<p>Previously, Chernin had been in charge of digital efforts at News Corp.</p>
<p>The search for the position was, in fact, conducted by well-known head tech and media headhunter Jim Citrin of Spencer Stuart.</p>
<p>Ironically, Miller is still essentially taking a job once held by his current partner, Ross Levinsohn, at the investment fund, Velocity Interactive Group. As I noted above, Levinsohn confirmed the Miller offer from News Corp. in a blog post called &#8220;Thunderclap.&#8221;</p>
<p>The move is a fascinating one, and one of many in the digital arena of late among its top execs. Former Google (GOOG) exec Tim Armstrong recently took over as CEO of the Time Warner (TWX) online unit AOL, for example.</p>
<p>Also, even though the job will cover all the the many News Corp. Web properties, even more compelling will be how Miller will deal with its largest and most prominent asset: social-networking giant MySpace.</p>
<p>More to the point, it will be riveting to see how he will handle managing MySpace co-founder and CEO Chris DeWolfe.</p>
<p>Both previous FIM heads, Ross Levinsohn and Peter Levinsohn, many sources said, had to deal with DeWolfe&#8217;s own sphere of influence within News Corp., especially his close ties to Murdoch. Both FIM and MySpace are located in Beverly Hills, Calif.</p>
<p>Relations between DeWolfe and both those execs could be described, at best, as tense.</p>
<p>But Miller, who is a much bigger Internet player in his own right, with a more powerful charge from Murdoch, certainly is likely to shift that balance of power.</p>

<p>That&#8217;s due to the <a href="http://kara.allthingsd.com/20090217/facebooks-mark-zuckerberg-cries-uncle-on-tos-snafu-the-entire-backtracking-memo/">controversy Facebook has been embroiled in this week about changes</a> it recently made to its Terms of Service that gave the company unusually sweeping rights over customers’ content and privacy.</p>
<p>While Zuckerberg had said in <a href="http://blog.facebook.com/blog.php?post=54434097130">his first post about the issue</a> that Facebook was not in the content-stealing business, the strong language in the ToS sent the usual suspects into a major meltdown over the possibility that the young geek had gone into full-scale evil mogul mode.</p>
<p><em>As if!</em></p>
<p>In fact, <a href="http://kara.allthingsd.com/20090216/you-have-zero-privacy-anyway-get-over-it-that-goes-double-on-social-networks/">Zuckerberg has been ensconced in his Silicon Valley lair</a> for years now, counting down until he knows precisely everything about everyone&#8217;s drunken college days!</p>
<p>Until D-Day then, here is my translation of his latest backtracking post:</p>

<p><strong>What the Wizard wrote:</strong> <em>A couple of weeks ago, we revised our terms of use hoping to clarify some parts for our users. Over the past couple of days, we received a lot of questions and comments about the changes and what they mean for people and their information. Based on this feedback, we have decided to return to our previous terms of use while we resolve the issues that people have raised.</em></p>
<p><strong>Translation:</strong> Did you know crow is delicious if you eat it with a little Bosco on top?</p>
<p>More to the point, I would just like to assure you that we have taken our lawyers&#8211;who idiotically rewrote our ToS to give us ownership rights to the Bible, &#8220;American Idol&#8221; and everything Bill O&#8217;Reilly utters&#8211;and sent them over to our friends at MySpace, because their owner, News Corp. (NWS), already owns two of those three [and also this site!].</p>
<p><strong>What the Wizard wrote:</strong> <em>Many of us at Facebook spent most of today discussing how best to move forward. One approach would have been to quickly amend the new terms with new language to clarify our positions further. Another approach was simply to revert to our old terms while we begin working on our next version. As we thought through this, we reached out to respected organizations to get their input.</em></p>
