			<content:encoded><![CDATA[<p>Actor and social media guru Ashton Kutcher is launching a custom Twitter client built with UberMedia. <a href="http://www.aplus-app.com/">A.Plus</a>, which seems to be aimed at people who primarily use Twitter to follow Kutcher, is an Adobe Air desktop client featuring content channels curated by Kutcher as well as a built-in browser to view content linked in tweets.</p>
<p><a rel="attachment wp-att-76737" href="http://allthingsd.com/20110523/ashton-kutcher-has-a-twitter-app-why/a-plus/"><img class="alignright size-full wp-image-76737" title="A.Plus" src="http://allthingsd.com/files/2011/05/A.Plus_.png" alt="" width="150" height="154" /></a>Kutcher (<a href="https://twitter.com/#!/aplusk">@aplusk</a>) is one of the most popular Twitter users, with 6.8 million followers. UberMedia, meanwhile, is Bill Gross&#8217; Twitter ecosystem company that has a bad relationship with Twitter.</p>
<p>Earlier this year, Twitter <a href="http://allthingsd.com/20110218/twitter-suspends-ubertwitter-and-twidroyd-apps-for-violating-policies/">suspended access</a> to various UberMedia Twitter apps for a few days, citing repeated terms of service violations. That conflict is part of why Twitter declared that<a href="http://allthingsd.com/20110311/clear-out-twits-twitter-tells-developers-to-stop-building-clients/?mod=ATD_rss"> third-party developers should stop making Twitter clients</a>. (Did Ashton not get that memo?)</p>
<p>Twitter clients are often used by active tweeters who want a more customizable and powerful version of the service that&#8217;s accessible from various devices. UberMedia spent the last year buying up Twitter apps for mobile and desktop platforms such as UberSocial, Twidroyd and Echofon, and it recently <a href="http://allthingsd.com/20110418/hey-what-happened-to-tweetdecks-ubermedia-deal/">tried to buy TweetDeck</a>, the ultimate power-user app.</p>
<p>Now Twitter is expected to close the TweetDeck deal instead, as soon as this week.</p>
<p>So why is Kutcher, aka Mr. Twitter, working with UberMedia? Not to be a conspiracy theorist, but you have to wonder if Twitter slighted Kutcher by not thanking him enough for his endless promotion of their service.</p>
<p>Also, it&#8217;s probably safe to say that Kutcher&#8211;who just scored a gig to replace Charlie Sheen&#8217;s role in &#8220;Two and a Half Men&#8221;&#8211;reaches a more mainstream audience than most Twitter clients.</p>

<p>Got me. The last time I reported on the Twitter start-up, it was supposed to have been acquired by UberMedia for $30 million.</p>
<p>I&#8217;ve asked all the relevant parties and aside from a <a href="https://twitter.com/twitterglobalpr/status/60077625305075713">public non-comment from Twitter</a>, have yet to hear back.</p>
<p>Here&#8217;s what I do know:</p>
<ul>
<li>In February, after <a href="http://techcrunch.com/2011/02/11/ubermedia-tweetdeck/">TechCrunch</a> reported that UberMedia had acquired the Twitter client, I asked around and was told that the deal hadn&#8217;t been closed but was &#8220;pretty far along, with signed term sheets, etc.,&#8221; and<a href="http://mediamemo.allthingsd.com/20110211/tweetdeck-finds-a-home-and-30-million-at-ubermedia/"> would be worth $30 million in cash and UberMedia stock</a>.</li>
<li>Following that report, I heard that some TweetDeck investors were grousing that the company had sold too early, for too little.</li>
<li>Last week, a person familiar with TweetDeck told me the deal still hadn&#8217;t closed because there were &#8220;valuation issues.&#8221; That explanation doesn&#8217;t make a whole lot of sense to me. Or more precisely, it sounds more like a polite way of saying &#8220;something came up that moved this thing from &#8216;almost done&#8217; to &#8216;in limbo.&#8217;&#8221;</li>
<li>It&#8217;s worth underscoring that the original TweetDeck/Uber deal was going to be paid for primarily with UberMedia stock. If you&#8217;re bullish on UberMedia, that&#8217;s a good thing, because it could end up being worth much more down the road. On the other hand, it would be no sweat for Twitter to hand over $50 million in its own stock for this deal. And if you&#8217;re an investor who&#8217;s eager to turn that paper into cash via secondary market sales, it would be easy to do so&#8211;much easier than selling UberMedia shares.</li>
</ul>
<p>So now that we&#8217;ve moved from known knowns, let&#8217;s move to known unknowns:</p>
<p><strong>What was UberMedia going to do with TweetDeck, anyway?</strong></p>
<p>The two answers you hear most often is that Bill Gross and company were rolling up Twitter-related startups so they could either: Do what Twitter hasn&#8217;t done so far, and make real money selling ads against Tweets; or gather up enough users to create a Twitter-like platform that they could run on their own.</p>
<p>But neither of those answers makes much sense to me, either.</p>
<p>Because by all accounts Twitter CEO Dick Costolo seems to have a real problem with Gross, which makes a partnership unlikely. And because splitting off a chunk of Twitter&#8217;s users and creating a better/more reliable/whatever service sounds like the kind of thing that appeals to tech pundits. But not real people.</p>
<p><strong>What would Twitter do with TweetDeck, anyway?</strong></p>
<p><strong> </strong> This one seems a little easier to figure out: TweetDeck is one of Twitter&#8217;s most popular clients, and the service has become increasingly interested in owning its own distribution.</p>
<p>On the other hand! Twitter has been asked about TweetDeck&#8217;s role in its ecosystem several times in the last year or so, and each time, the company has responded with the same answer: <em>We love TweetDeck, but it&#8217;s not for us&#8211;the people who use that thing are hard-core power users, and we&#8217;re aiming at a broad audience.</em> (Fun/frustrating game for new users: Boot up TweetDeck and try to find the &#8220;search&#8221; function.)</p>
<p>Twitter founder/product guru Jack Dorsey is the most recent Twitter official to say something along those lines, in a  <a href="http://mediamemo.allthingsd.com/20110329/qa-twitters-jack-dorsey-on-priorities-products-and-getting-punched-in-the-stomach/">Q&amp;A last month</a>. TweetDeck CEO Iain Dodsworth found his statement <a href="http://www.tweetdeck.com/twitter/iaindodsworth/~SB36O">worth highlighting for his own Twitter followers</a>, though he only called out the first paragraphs of this exchange:</p>
<blockquote class="memo"><p>Q: So are you saying there shouldn’t be all of these other clients out there? I love TweetDeck, and I like it better than Twitter.com. Is your job as product director to make Twitter.com as good as TweetDeck?</p>
<p>A: I think the biggest challenge is to build a cohehesive user experience, and at the same time, enable and allow for multiple views on the same thing. TweetDeck is a very interesting client, because it presents a view that no other client in the world presents, which is this multicolumn, massive amounts of information in one pane. And people really, really enjoy that.</p>
<p>But I think that’s maybe five percent of the Twitter population. That five percent of the Twitter population are some of the most high-value publishers that we have, and they’re using the service at extreme velocity. So of course we have to pay attention to that, and I’m not saying we need to rid ourselves of interfaces like that. We have to embrace them.</p>
<p>But, we also need to speak to the 80 percent that will not be using an interface like that, that don’t really understand what Twitter is and that see Twitter as mainly a consumption experience. We spend a lot of time on people tweeting but a lot of the value that one gets out of Twitter is being able to follow their interests, and not necessarily tweet about it. But just consume it. So we need to put a lot more effort into the consumption experience and the consumer experience.</p></blockquote>
<p>So maybe Twitter changed its mind and decided that it&#8217;s worth owning that small slice of power users, after all. Or maybe TweetDeck&#8217;s owners ended up looking for more money and less risk (and less upside). Or maybe both, or something else. Positively <a href="http://en.wikipedia.org/wiki/There_are_known_knowns">Rumsfeldian</a>.</p>

<p>UberMedia CEO Bill Gross addressed the suspension on none other than <a href="http://twitter.com/#!/Bill_Gross">Twitter</a>, writing: &#8220;Twitter has requested that we make some small changes to our clients, which we are doing right now, &amp; we will be back live again asap.&#8221;</p>
<p>Only 30 minutes later, he updated his feed to say &#8220;We have made the changes Twitter requested. As soon as Twitter reactivates, you will be live again.&#8221;</p>
<p><a href="http://support.twitter.com/articles/452648-i-m-having-problems-logging-in-to-ubertwitter-or-twidroyd">In a post on Twitter&#8217;s site</a>, it explains that if you are having problems logging into UberTwitter or twidroyd, it&#8217;s because Twitter suspended service to them today.</p>
<p>It explains that the abrupt suspension was necessary because it asks third-parties &#8220;to abide by a simple set of rules that we believe are in the interests of our users, and the health and vitality of the Twitter platform as a whole.&#8221;</p>
<p>Since both UberTwitter and twidroyd and a third, UberCurrent, which are all operated by UberMedia, were apparently not in compliance, it suspended the apps. No further details were included as to how it was violating the policies.</p>
<p><strong>UPDATE: </strong>In a statement, Twitter provided a few more details, including the fact that its been in touch with UberMedia over the violations since April 2010. &#8220;These violations include, but aren’t limited to, a privacy issue with private Direct Messages longer than 140 characters, trademark infringement, and changing the content of users’ Tweets in order to make money.&#8221;</p>
<p><a href="http://www.businesswire.com/news/home/20110218006156/en/Statement-UberMedia-Twitter%E2%80%99s-Suspension-Service-UberTwitter-Twidroyd">In a formal statement</a> by UberMedia, Gross said Twitter asked them to modify the apps, including the name of UberTwitter. The name changing process began three weeks ago by polling its users on new names. &#8220;We’ve decided based on their input to change the product name to UberSocial, which we completed today.&#8221;</p>
<p>The apps have been resubmitted to the respective stores.</p>
<p>Twitter explains that it took the unusual step of sharing this suspension because it affects a larger number of users. In the meantime, it recommended downloading its own apps, using its mobile site or trying apps from other third-party developers.</p>

Its investors, at least, believe it will be worth $10 billion sooner than later.</p>
<p>So why is the leading Twitter application&#8211;the one that many of Twitter&#8217;s most ardent users rely on&#8211;selling itself for $30 million?</p>
<p>That&#8217;s the question lots of people are mulling over since Friday&#8217;s news about the <a href="http://mediamemo.allthingsd.com/20110211/tweetdeck-finds-a-home-and-30-million-at-ubermedia/">UberMedia/TweetDeck deal</a>.</p>
<p>The tech investors and observers I&#8217;ve chatted with in the last couple of days generally land in one of two camps. Either:</p>
<ul>
<li>TweetDeck is the biggest Twitter client not owned by Twitter, and they sold too early.</li>
<li>TweetDeck is the biggest Twitter client not owned by Twitter and, given the circumstances, they did okay.</li>
</ul>
<p>This is basically a more muted replay of last year&#8217;s <a href="http://mediamemo.allthingsd.com/20100411/twitters-developer-conference-starts-early-with-a-group-therapy-session/">Twittersphere freakout</a>, when it became clear that Twitter wanted to own much more of the Twitter ecosystem itself, and would <a href="http://mediamemo.allthingsd.com/20100524/we-sort-of-warned-you-twitter-boots-rival-ad-networks-from-its-stream/">place more limits</a> on <a href="http://mediamemo.allthingsd.com/20100524/twitters-free-love-era-comes-to-an-end-time-for-developers-and-publishers-to-pay-up/">everyone else</a>.</p>
<p>One important variable here is the way you view Bill Gross and UberMedia. A big chunk of the TweetDeck payout&#8211;the majority, according to multiple sources&#8211;will be in UberMedia stock. So if you think that company&#8211;<a href="http://kara.allthingsd.com/20110214/ubermedia-raises-17-5-million-from-accel-index-and-steve-case/">which just raised another $17.5 million itself</a>&#8211;has an upside, then the deal looks that much better.</p>
<p>That&#8217;s hard to figure, though, because Gross seems to be doing two things: Buying Twitter apps that compete with Twitter&#8217;s own products, and building a Twitter advertising system that will compete with the one Twitter is trying to build itself.</p>
<p>And Twitter doesn&#8217;t seem any more receptive to any of that now than it did 10 months ago. But Gross and his backers argue that they&#8217;re going to pull it off in a way that makes Uber become the Zynga to Twitter&#8217;s Facebook&#8211;a smaller company built on another bigger company&#8217;s platform, that makes both of them more valuable. So if they&#8217;re right&#8230;</p>
<p>Meantime, this seems like a good time to revisit Twitter investor Fred Wilson&#8217;s &#8220;inflection point&#8221; essay from last April.</p>
<p>That&#8217;s the one that precipitated much quaking among third-party Twitter developers and investors, with good reason: In part, it explained that <a href="http://www.avc.com/a_vc/2010/04/the-twitter-platform.html">Twitter would be buying or building &#8220;hole-filling&#8221; services</a>, which meant there wouldn&#8217;t be much reason for many of the Twittersphere&#8217;s existing apps to exist.</p>
<p>A year later, though, it&#8217;s the second part of Wilson&#8217;s essay, where he calls on developers to build new apps and services that &#8220;create something entirely new on top of Twitter,&#8221; that seems more striking.</p>
<p>Because if Twitter really does end up being worth $10 billion or more, it seems like someone ought to be trying to do that. I&#8217;m not sure I&#8217;ve seen any, though.</p>

<p>Accel&#8217;s Jim Breyer will join the board of UberMedia, maker of social media reading and posting tools, which is currently largely aimed at the Twitter ecosystem.</p>
<p>&#8220;We are hoping to work very closely with Twitter, which is certainly our goal, as well as other social media platforms like Facebook,&#8221; said Breyer in an interview with BoomTown this morning, answering a question about previous tensions between Twitter and UberMedia. &#8220;There will be a lot of efforts to monetize Twitter and there is no silver bullet.&#8221;</p>
<p>Index Ventures and Steve Case&#8217;s Revolution Ventures also participated in the round.</p>
<p>The company did not reveal the amount raised, nor the valuation for UberMedia.</p>
<p>But many like him are trying to find a way to monetize the huge microblogging platform&#8211;including Twitter&#8211;and take advantage of its enormous scale.</p>
<p>Gross <a href="http://kara.allthingsd.com/20100411/paid-search-inventor-bill-gross-moves-to-monetize-tweets-with-tweetup-and-without-twitter">founded the start-up</a> last spring.</p>
<p>Armed with $3.5 million in venture funding from a group of leading investors, including Index, Revolution, betaworks, First Round Capital and angel investors such as Mahalo&#8217;s Jason Calacanis and BuzzMachine&#8217;s Jeff Jarvis.</p>
<p>Started in Gross&#8217;s Idealab start-up incubator and called TweetUp (and then PostUp), it was initially cast as a keyword-based bidding marketplace akin to Overture/Goto.com, the first paid search system he created a decade ago.</p>
<p>TweetUp also offered an organic search service to surface the best tweets. This put it at odds on several fronts with Twitter, which began to aggressively move to take over key parts of its business that had largely been left to third-party developers.</p>
<p>That still remains UberMedia&#8217;s essential goal, and Breyer hopes that the new investment will show Twitter that UberMedia hopes to work in harmony with it, as other developers have done successfully with Facebook. (Accel and Breyer himself are big investors in the social networking giant, so he should know.)</p>
<p>&#8220;Like Twitter, we want to drive the customer experience,&#8221; he said, pointing out successes such as the Zynga gaming service. &#8220;This is a lot like Facebook several years ago and cooperation worked out well for everyone.&#8221;</p>

<p>UberMedia, run by Internet pioneer Bill Gross, will pay $30 million in cash and stock for the London-based company, which has raised <a href="http://mediamemo.allthingsd.com/20100520/more-money-for-twitter-apps-tweetdeck-raises-another-3-million/">less than $5 million</a> from investors in the last two years.</p>
<p>The deal, first reported by <a href="http://techcrunch.com/2011/02/11/ubermedia-tweetdeck/">TechCrunch</a>, isn&#8217;t done yet, but it&#8217;s pretty far along, with signed term sheets, etc. All of TweetDeck&#8217;s investors will take a portion of their payout in UberMedia equity, I&#8217;m told.</p>
<p>Both Gross and TweetDeck founder Iain Dodsworth (pictured here) have been trying to build businesses within the Twitter ecosystem, though it&#8217;s never been clear how Twitter felt about that.</p>
<p>Gross, in particular, has had an uneasy relationship with Twitter: Last year, an earlier incarnation of his company tried to launch an &#8220;AdSense for Tweets&#8221; product at the same time that <a href="http://mediamemo.allthingsd.com/20100524/we-sort-of-warned-you-twitter-boots-rival-ad-networks-from-its-stream/">Twitter launched its own Google-like ad product</a>, and <a href="http://mediamemo.allthingsd.com/20100524/we-sort-of-warned-you-twitter-boots-rival-ad-networks-from-its-stream/">that didn&#8217;t go well</a>.</p>
<p>The two companies have other things in common as well. TweetDeck has been shepherded along by Betaworks, the New York-based holding company/platform/incubator that also specializes in the Twittersphere. And Betaworks is also an investor in&#8230;UberMedia.</p>
<p>Here&#8217;s an interview I conducted with Dodsworth last April, when the Twittersphere was particularly confused about the prospects of Twitter apps, like TweetDeck, that weren&#8217;t owned by Twitter itself. Looks like this one turned out just fine.</p>

			<content:encoded><![CDATA[<p>Last week the year-old start-up PostUp, formerly known as TweetUp, renamed itself <a href="http://ubermedia.com/">UberMedia</a>. So much for worrying about brand recognition!</p>
<p>The Pasadena, Calif.-based company also acquired the independently developed BlackBerry application UberTwitter, adding to its acquisition of Echofon (the Twitter client for iPhone and other Mac devices) at the beginning of the month and Twidroyd (Twitter for Android) in September. <strong>Update</strong>: <em>On Monday UberMedia <a href="http://www.businesswire.com/news/home/20110124006574/en/UberMedia-Acquires-Mixx.com-Plans-Add-Company’s-Content">said</a> it had acquired an additional company, <a href="http://www.mixx.com/">Mixx</a>, the former competitor to Digg that now curates social media channels for brands.</em></p>
<p><img class="alignright size-medium wp-image-2624" title="JonKraft" src="http://networkeffect.allthingsd.com/files/2011/01/JonKraft-275x123.png" alt="" width="220" height="98" />UberMedia, despite its seemingly perpetual identity crisis, has particular notoriety because its founder and CEO, Bill Gross, first popularized paid search advertising with his company GoTo.com in the late &#8217;90s. When Gross first <a href="http://kara.allthingsd.com/20100411/paid-search-inventor-bill-gross-moves-to-monetize-tweets-with-tweetup-and-without-twitter/">launched the company last April</a>, he said he&#8217;d do the same thing for Twitter.</p>
<p>Since then, Twitter has <a href="http://mediamemo.allthingsd.com/20100412/as-promised-here-come-the-twitter-ads/">launched its own ad system</a> and <a href="http://mediamemo.allthingsd.com/20100524/we-sort-of-warned-you-twitter-boots-rival-ad-networks-from-its-stream/?mod=ATD_rss">tightened up on permissions</a> for rival ad networks.</p>
<p>UberMedia has let its Twitter account recommendation widgets languish, but says they will be relaunched soon as a new product called FollowMe. Meanwhile, the Twitter clients the company has acquired have a combined three million active users. They are some of the leading independent options, despite somewhat precarious positioning now that Twitter has launched its own official clients for most every platform.</p>
<p>Gross is traveling in Europe this week, but UberMedia COO <a href="http://twitter.com/#!/jonkraft1">Jon Kraft</a> got on the phone with NetworkEffect over the weekend to say that there is indeed a method behind all this name-changing and client-acquiring madness. Here&#8217;s an edited transcript:</p>
<p><strong>NetworkEffect: Why the name UberMedia?<br />
</strong></p>
<p>Kraft: Obviously we&#8217;re very excited about the acquisition of UberTwitter, and we felt like our mission had expanded a bit since we first launched. It was really all about this paid search platform, and PostUp was a great name&#8230;.</p>
<p><strong>And before that you had another name, TweetUp.</strong></p>
<p>Yes, but as we started to grow our business on the client side, we saw ourselves increasingly as a media company. We&#8217;re not crazy about the fact that we&#8217;ve changed our name twice now, but hopefully we&#8217;ll build a company around that brand.</p>
<p><strong>How did this acquisition strategy come about? </strong></p>
<p>We first bought Twidroyd seven months ago, and we really loved what we learned about the way consumers use Twitter.</p>
<p><strong>What is the involvement of the founders of the companies you bought? Are they all running their respective apps?<br />
</strong></p>
<p>Obviously a big part of what makes those companies exciting is the passion of the founders, so we encourage them to operate fairly independently.</p>
<p><strong>Who is the staff of UberMedia?<br />
</strong></p>
<p>We have some business development to create partnerships, but the vast majority is engineers. We have a little over 40 employees as a distributed team.</p>
<p><strong>And what&#8217;s happened to the sponsored Twitter accounts and tweets?<br />
</strong></p>
<p>We&#8217;re still very excited about what we&#8217;re doing with the marketplace, but there are a number of other innovations that we&#8217;re planning. The bigger vision is to innovate inside the Twitter ecosystem.</p>
<p><strong><img class="alignleft size-medium wp-image-2629" title="UberMedia" src="http://networkeffect.allthingsd.com/files/2011/01/UberMedia-275x76.png" alt="" width="193" height="53" />What does that mean in the context of Twitter competing within its ecosystem, especially through Twitter clients? That doesn&#8217;t seem like a category other start-ups and investors are investing in as much today.</strong></p>
<p>It&#8217;s not easy to organically grow a new Twitter client from scratch, it&#8217;s a real challenge. But I think the Twitter platform is still greatly under-leveraged, and there&#8217;s surprisingly low penetration of Twitter users today.</p>
<p><strong>But it&#8217;s not as if Twitter allows application makers to just make whatever money they want on its platform.</strong></p>
<p>Twitter has been understandably conservative about wanting to protect the user experience across their platform, so we&#8217;re being conservative as well and thinking of other ways to innovate and monetize.</p>
<p><strong>What is your company&#8217;s relationship with Twitter?<br />
</strong></p>
<p>It&#8217;s a great relationship. I can&#8217;t talk details about what we&#8217;re discussing, but the relationship is quite good.</p>
<p><strong>Are you raising more funding? [UberMedia, which launched out of Gross's Idealab, had previously raised $3.5 million from Index Ventures, Betaworks, Revolution, First Round Capital and others.]</strong></p>
<p>We&#8217;re not talking about our funding right now, but obviously you have to raise money in order to grow aggressively.</p>
<p><strong>Will you keep acquiring? It seems like you have Twitter clients for most of the major platforms now.</strong></p>
<p>It is possible, but not top of our priority list.</p>
<p><strong>One things you have not had is a problem with agility.</strong></p>
<p>That&#8217;s a concise way to put it.</p>
<p><strong>What about Bill Grosss involvement? Is he still CEO or is he doing other Idealab stuff?<br />
</strong></p>
<p>Absolutely. He&#8217;s head-down 100 percent on this project.</p>

<p>According to sources close to the situation, the aggressive Russian investment outfit DST Global is out of the running to fund Twitter.</p>
<p>Instead, the prize is almost certainly going to Kleiner Perkins, the legendary Silicon Valley venture firm of Web 1.0 that has been making a big push of late into the Web 2.0 market.</p>
<p>The valuation for the new round&#8211;which sources said is well above $150 million&#8211;will be from $3.5 billion to $4 billion.</p>
<p>And it is not clear if there are any other smaller investors in this funding, but sources said that was likely.</p>
<p>Sources added that the San Francisco microblogging service will be completing its newest round of funding next week, although Twitter might not even announce it publicly.</p>
<p>The new round will be the first in a year for Twitter.</p>
<p>In the fall of 2009, Twitter raised funding at a $1 billion valuation to help spur its growth to its current size of 325 employees, serving its 175 million users.</p>
<p>Such growth was of interest to DST, which has made giant investments in social networking giant Facebook, social gaming rocket ship Zynga and Groupon, the <a href="http://kara.allthingsd.com/20101203/breaking-groupongoogle-talks-end">social buying site that recently ended acquisition talks</a> with Google.</p>
<p>Twitter moving into its next phase of development is an attractive target for many VCs, as it seeks a lucrative way to monetize its popular business.</p>
<p>And, in fact, Kleiner star VC John Doerr has been making a big push to be the big investor in this key next round for Twitter, which also has had regular acquisition interest from both Google and Facebook.</p>
<p>What will be interesting to see is if acquisition interest in Twitter from the pair spikes, given the collapse of Google&#8217;s attempt to buy Groupon.</p>
<p>The talks with Twitter began, according to several sources, after Kleiner had considered investing in PostUp&#8211;the Twitter search engine and advertising platform start-up from Bill Gross&#8217;s Idealab, which was <a href="http://kara.allthingsd.com/20100411/paid-search-inventor-bill-gross-moves-to-monetize-tweets-with-tweetup-and-without-twitter">first called TweetUp</a>.</p>
<p>PostUp irked Twitter, and its <a href="http://mediamemo.allthingsd.com/20100413/twitter-to-rival-ad-players-tread-carefully/">CEO Dick Costolo was particularly vocal</a> about not allowing third-party ad rivals to create a spammier service.</p>
<p>Sources said it was Bill Campbell, well-known Silicon Valley exec and adviser to multiple companies such as Google, who brought Kleiner and Twitter into discussions.</p>
<p>Campbell&#8217;s latest coaching task has been at Twitter.</p>
<p>Kleiner has also recently stepped up its Web 2.0 game with the <a href="http://kara.allthingsd.com/20101129/hire-like-its-1999-kleiners-doerr-finally-lands-meeker-after-11-years-of-trying-and-its-about-time">hiring of high-profile Wall Street analyst Mary Meeker</a> of Morgan Stanley.</p>
<p>She has been brought in to help turbocharge the firm&#8217;s digital investment portfolio, especially in social, mobile and commerce.</p>
<p>The move has underscored Kleiner&#8217;s noisy intent of late to jump into the social Web market.</p>
<p>After scoring a late entry into the scene with its investment in the fast-growing social gaming start-up Zynga, Kleiner has made a <a href="http://kara.allthingsd.com/20101021/liveblogging-unveiling-of-the-sfund-at-facebook-with-guest-stars-kleiner-amazon-and-zynga/">big marketing push recently to allocate a dedicated $250 million &#8220;sFund&#8221;</a> to social start-ups.</p>
<p><a href="http://networkeffect.allthingsd.com/20101129/twitters-buffet-of-options-investors-like-dst-or-acquirers-like-google/">NetworkEffect&#8217;s Liz Gannes first wrote</a> of Kleiner&#8217;s interest in Twitter a week ago, followed by a <a href="http://techcrunch.com/2010/11/30/bidding-war-for-twitter-raises-valuation-to-nearly-4-billion-kleiner-perkins-currently-in-pole-position/">report a day later in TechCrunch</a> about Kleiner&#8217;s primacy in the Twitter funding race and Doerr&#8217;s fervent effort to land the investment.</p>
<p>None of the players mentioned here has responded to BoomTown&#8217;s request for a comment.</p>

<p>BoomTown is showing my age quite a bit today, after I unearthed notes this morning from 11 years ago.</p>
<p>It was for a story I never ended up doing in December of 1999 for The Wall Street Journal&#8211;where I was pretty much the only Internet beat reporter for the newspaper in Silicon Valley then&#8211;about the possibility that Mary Meeker was considering leaving Morgan Stanley in New York for two hot West coast jobs.</p>
<p>The high-profile Wall Street Internet analyst never made the move back then.</p>
<p>But, at long last, Meeker finally decided today to take one of those offers, joining Kleiner Perkins today as a venture partner in the digital arena.</p>
<p>It&#8217;s a much-needed hire by the legendary firm and its most prominent partner, John Doerr, given Meeker&#8217;s deep well of experience and the critical need for the still-lagging-behind-hotter-VCs Kleiner to wade more definitively into more current digital trends that she knows well.</p>
<p>For sure, Kleiner dominated Web 1.0 by backing what are now its golden oldies, such as Netscape Communications, Amazon and Google.</p>
<p>But it&#8217;s more recent Web 2.0 investments and influence has not been as impressive, especially with regards to its brighter lights and sharper entrepreneurs.</p>
<p>As in: No Facebook. No Foursquare. No Groupon. No Twitter (yet).</p>
<p><a href="http://kara.allthingsd.com/files/2010/11/imgres1.jpeg"><img src="http://kara.allthingsd.com/files/2010/11/imgres1.jpeg" alt="" title="imgres" width="180" height="181" class="alignleft size-full wp-image-37771" /></a></p>
<p>To be fair, Kleiner has made some interesting moves&#8211;mostly due to its iconoclastic partner <a href="http://kara.allthingsd.com/20101022/a-nerd-by-any-other-name-would-be-as-geek-bing-gordon-waxes-poetic-and-more-at-the-sfund-launch/">Bing Gordon</a> (pictured here)&#8211;such as one fund to focus on <a href="http://digitaldaily.allthingsd.com/20100331/kpcb-doubles-down-on-ifund-200-million-for-iphone-and-ipad-apps">Apple iPhone and iPad apps</a> and another on <a href="http://kara.allthingsd.com/20101021/liveblogging-unveiling-of-the-sfund-at-facebook-with-guest-stars-kleiner-amazon-and-zynga/">social</a>.</p>
<p>And it&#8217;s has one big and shiny Web 2.0 bet&#8211;which it never fails to point to an awful lot&#8211;in gaming phenom Zynga, also courtesy of Gordon.</p>
<p>Bringing on Meeker to add to that now will surely help Kleiner at a critical time, giving it new investment chances, as the digital space shift sharply again.</p>
<p>In an <a href="http://voices.allthingsd.com/20101129/morgan-stanley-analyst-mary-meeker-moving-to-kleiner-perkins/">interview with the Journal today</a>, Doerr correctly called the time&#8211;a mash-up of social networking, e-commerce and mobile&#8211;&#8221;a third wave of innovation.&#8221;</p>
<p>In a quick interview this morning, Meeker underscored this, noting, &#8220;the level of engagement from large companies and the innovation coming from all over Silicon Valley makes this a unique time to invest in and build important companies.&#8221;</p>
<p>She said she was attracted to the team at Kleiner to help her move to a new level of expertise and will be spending more significant time in Northern California at her home here.</p>
<p>&#8220;This is an opportunity to stretch myself in a great spot at a great time,&#8221; said Meeker, noting she was especially interested in the mobile space. &#8220;It&#8217;s a pretty massive shift going on right now and I wanted to be part of it.&#8221;</p>
<p>But a move way back when by Meeker would have been an even bigger deal, since the Web 1.0 was at what turned out to be its peak moment in December of 1999&#8211;the ill-fated AOL-Time Warner merger would not be announced for a month, in fact.</p>
<p><a href="http://kara.allthingsd.com/files/2010/11/Queen-Greatest-Hits-II-1991.jpeg"><img src="http://kara.allthingsd.com/files/2010/11/Queen-Greatest-Hits-II-1991-275x275.jpg" alt="" title="Queen - Greatest Hits II (1991)" width="250" height="250" class="alignright size-medium wp-image-37762" /></a></p>
<p>And Meeker&#8211;who was involved in that deal and most of the other bigs ones, especially the IPOs&#8211;was the undisputed &#8220;Queen of the Net&#8221; from her powerful perch as the top kingmaker on the booming scene.</p>
<p>After working at other firms, she had come to Morgan Stanley as an analyst in 1991, covering PCs, hardware, software and the still nascent Internet scene.</p>
<p>I had met her several years later in a late-night interview in her office in Manhattan, Chinese food included, while I was working on a book on the rising power of AOL.</p>
<p>AOL was one of the many companies she had introduced Wall Street to, and she had become one the key nexuses for all the newly hatched Web players.</p>
<p>For her to leave her job then would have caused reverberations everywhere, since investors far and wide were taking her recommendations on the new companies of the moment, such as Amazon and eBay.</p>
<p>So&#8211;while she would later endure negative scrutiny for some of her too bullish cues, after the bursting of the Internet bubble came soon after&#8211;nabbing her at the time would be been a very big story.</p>
<p>And who was trying to entice her?</p>
<p>Well, Bill Gross of Idealab for one, offering her the possibility of big IPO stock options (which would turn out to be less than valuable soon after).</p>
<p>Said Gross in an email to me this morning:</p>
<blockquote class="memo"><p>Back when we were opening an Idealab office in NY, we wanted to get the best talent in the universe, and that led us right to Mary. She was brilliant and ahead of her time then, as now.</p>
<p>At the time, we talked about working with her to have her insights about industries and companies help us inform the direction our existing companies should take, as well as brainstorm together what new companies to create.</p>
<p>I think Mary was just too happy doing what she was doing, and she went on to have another great 10-year run doing just that!</p></blockquote>
<p>And the other suitor? That was Doerr of Kleiner Perkins.</p>
<p>A longtime friend and a star venture capitalist whose investments benefited greatly from Meeker&#8217;s attention, he had long tried to recruit her.</p>
<p>Fast forward to today, as Doerr seems to have finally sealed the deal.</p>
<p>Meeker&#8217;s title at the investment bank has most recently been as its head of global technology research.</p>
<p>At Kleiner Perkins, no surprise, she&#8217;ll focus on the firm&#8217;s investments in social, mobile and e-commerce, trying to turbocharge its efforts.</p>
<p>Presumably including, as<a href="http://networkeffect.allthingsd.com/20101129/twitters-buffet-of-options-investors-like-dst-or-acquirers-like-google/"> NetworkEffect&#8217;s Liz Gannes reported earlier today</a>, Kleiner making a big push to invest in a new badillion-dollar funding round for Twitter.</p>
<p>Meeker&#8217;s presence could help there for sure, especially since she has been a big proponent of the microblogging service, as you can see on page 18 of her most recent annual Internet trends report&#8211;titled <a href="http://kara.allthingsd.com/20101116/and-the-meeker-shall-inherit-the-virtual-earth-in-other-words-marys-annual-internet-trends-preso">&#8220;Ten Questions Internet Execs Should Ask &#038; Answer.&#8221;</a></p>
<p>It&#8217;s clear, as you will read below, those are just the kinds of queries Kleiner needs to be making.</p>

			<content:encoded><![CDATA[<p><a href="http://mediamemo.allthingsd.com/files/2010/05/woodstock.jpg"><img class="alignright size-medium wp-image-19885" title="woodstock" src="http://mediamemo.allthingsd.com/files/2010/05/woodstock-275x275.jpg" alt="" width="250" height="250" /></a>Twitter isn&#8217;t just <a href="http://mediamemo.allthingsd.com/20100524/we-sort-of-warned-you-twitter-boots-rival-ad-networks-from-its-stream/">booting other ad networks out of its stream</a>. It now plans to tax some start-ups and publishers that are making money from the service.</p>
<p>That&#8217;s a pretty significant change for the company, which has previously allowed anyone to do just about anything with its data, without asking for a cent.</p>
<p>But that&#8217;s over, based on the <a href="http://dev.twitter.com/pages/api_terms">new terms of service</a> the company released today. The relevant excerpt:</p>
<blockquote class="memo"><p>In cases where Twitter content is the basis (in whole or in part) of the advertising sale, we require you to compensate us (recoupable against any fees payable to Twitter for data licensing).</p></blockquote>
<p>That&#8217;s potentially a big deal. It&#8217;s also quite vague. And after talking to Twitter COO Dick Costolo this afternoon, I&#8217;m pretty sure that vagueness is intentional. Because I&#8217;m not sure Twitter knows exactly how it wants to proceed.</p>
<p>But I did extract some specifics from Costolo:</p>
<ul>
<li>Twitter is only focused on sites and services that sell ads against its stream. So if your service doesn&#8217;t generate revenue, or does so using something other than ads (i.e., subscriptions, analytics packages, etc.), you&#8217;re fine.</li>
<li>If you do have to pay up, there are a couple of different ways to do it: You could cut Twitter in via a revenue split or agree to license its data stream, which has generally been free up until now. Or you could agree to use Twitter&#8217;s own &#8220;Promoted Tweets&#8221; ad service. Or some combination of the above.</li>
<li> Costolo says the company hasn&#8217;t established a minimum fee, revenue split or another metric for payments. So a lot of this is going to get hammered out case by case.</li>
</ul>
<p>Okay. But who, exactly, is going to have to pay up? Twitter&#8217;s terms aren&#8217;t clear, and while I went around and around with Costolo about this over the phone, I&#8217;m still not sure. Because I don&#8217;t think Twitter is sure.</p>
<p>Start with the easy stuff: If there&#8217;s nothing else in your service beyond tweets and you&#8217;re selling ads against those tweets, you could be paying.</p>
<p>&#8220;When we&#8217;re talking about cases where Twitter is clearly a key component  of how a page is monetized, we need to have a commercial relationship,&#8221; Costolo said.</p>
<p>That sure sounds like TweetUp, the new &#8220;AdSense for Tweets&#8221; product that launched today, despite what CEO Bill Gross told me this morning. And it doesn&#8217;t sound like <a href="http://muckrack.com/">Muck Rack</a>, a Twitter aggregation site owned by Sawhorse Media&#8211;because there aren&#8217;t any ads on Muck Rack. But if owner Greg Galant decided to start running Google (GOOG) AdSense ads on his pages, he might end up paying.</p>
<p>Except that Twitter says it&#8217;s <em>not</em> looking to find all the developers and publishers out there selling ads against the Twitter stream and tax them. Size matters, for one thing.</p>
<p>&#8220;We&#8217;re not trying to prevent people from building businesses,&#8221; says <a href="http://twitter.com/tonyw">Tony Wang</a>, a Twitter business development executive who joined my call with Costolo today. &#8220;We&#8217;re saying if there&#8217;s this thing you&#8217;re doing, and you&#8217;re selling ads against it, and it&#8217;s really big, we want to participate in that.&#8221;</p>
<p>So is Twitter only interested in really big publishers who use Twitter? Not necessarily. I asked Costolo about the Huffington Post, which has prominently embraced Twitter and uses it frequently to fill out its pages. Like this Twitter widget under a <a href="http://www.huffingtonpost.com/2010/05/22/julio-aparicio-gored-in-t_n_585941.html">grisly story about a gored bullfighter (careful!)</a>.</p>
<p>That&#8217;s probably fine, Costolo said. But what about Huffpo&#8217;s <a href="http://www.huffingtonpost.com/arianna-huffington/tweet-tweet-announcing-hu_b_530291.html">&#8220;Twitter editions,&#8221;</a> which are <a href="http://www.huffingtonpost.com/comedy/twitter">primarily</a> <a href="http://www.huffingtonpost.com/politics/twitter">made</a> up <a href="http://www.huffingtonpost.com/entertainment/twitter">of</a> <a href="http://www.huffingtonpost.com/sports/twitter">tweets</a>? I&#8217;ve asked Costolo about those in a follow-up email, but haven&#8217;t heard back yet. My gut: He&#8217;s not sure yet. Which is going to make for lots of interesting conversations in the coming weeks and months.</p>
<p>UPDATE: Here&#8217;s Costolo&#8217;s response, via e-mail, on the Huffpo question. Not surprisingly, he heaps praise on a big Web site that helps Twitter increase its distribution. Though note he does mention plans to &#8220;monetize&#8230;together&#8221;:</p>
<blockquote class="memo"><p>HuffPo&#8217;s Twitter Edition pages are an awesome example of why those guys are one of our most innovative partners. We actively support and encourage those efforts, and look forward to working with them to monetize these opportunities together. In fact, I think they will play an important role in helping define smart approaches to advertising around Twitter-driven content.</p></blockquote>
<p>It&#8217;s reasonable enough for Twitter to start trying to make money via companies that are making money via Twitter&#8211;it&#8217;s a move many outsiders have been calling for the company to make for some time. But it wouldn&#8217;t be Twitter if this was a straightforward process. Get ready for a bumpy ride.</p>
<p>UPDATE 2: After a day of discussion, Twitter has tweaked its language in its terms of service,  swapping out  &#8220;In cases where Twitter content is the basis (in whole or  in part) of the  advertising sale&#8221; with &#8220;In cases where Twitter content  is the primary basis of the advertising sale&#8221;.</p>
<p>What does that mean? Here&#8217;s Costolo, via email: &#8220;The policy remains the same &#8212; if Twitter content is the primary basis of the advertising sale, we require a commercial relationship. It&#8217;s important to note that just because there is Twitter content on a site, for example a Twitter widget, that does not mean we will require a commercial relationship. We encourage folks to find innovative ways to display Twitter content, and we aren&#8217;t interested in tracking down each and every implementation in order to be compensated.&#8221;</p>

<p>Does your business plan involve running ads in Twitter&#8217;s stream? Think again: Twitter appears to have shut out all rival ad networks from its service.</p>
<p>The relevant quote from a <a href="http://blog.twitter.com/2010/05/twitter-platform.html">Twitter blog post</a> today: &#8220;We will not allow any third party to inject paid tweets into a timeline on any service that leverages the Twitter API.&#8221;</p>
<p>We sort of saw this coming. When <a href="http://mediamemo.allthingsd.com/20100413/live-from-new-york-twitter-pitches-ads-to-madison-avene/">Twitter launched its own ad system</a> last month, COO Dick Costolo made it clear that <a href="http://mediamemo.allthingsd.com/20100413/twitter-to-rival-ad-players-tread-carefully/">Twitter would be restricting the way rival ad systems could use the service&#8217;s data feed</a>.</p>
<p>But Costolo also seemed to leave room for ad networks like 140 Proof and Ad.ly. The supposed terms: <em>If you use &#8220;real&#8221; tweets as your ads, you&#8217;ll be okay</em>. Here&#8217;s an excerpt from an interview I conducted with him on this very topic:</p>
<blockquote class="memo"><p>Clients can use our system and other ad  systems at the same time. The distinction I would make, or the caveat I  would add to that, [is that] we are going to probably prohibit pieces,  insertions into the timeline that cause user confusion.</p>
<p>So for example, if someone creates an ad that looks like a tweet in  the timeline, but isn’t a tweet&#8211;such that if you click on the retweet  button, you go to a landing page instead of retweeting the tweet&#8211;that’s  something [that] causes user confusion; it harms the overall value of the platform, and we’re going to prohibit that.</p></blockquote>
<p>What changed? I&#8217;ve asked Twitter for comment, but I doubt we&#8217;ll get more than what Costolo has already offered in his post. The short version: <em>It&#8217;s our service, and we&#8217;re running it in a way that makes the most sense to us.</em></p>
<p>That&#8217;s fine, and that&#8217;s the company&#8217;s prerogative. But in addition to the third-party ad businesses Twitter just gut-punched, the move is going to have repercussions with Twitter&#8217;s third-party developers, who were already wary about the service&#8217;s intentions. It&#8217;s an open invitation to them to search for other partners. Like, um, Google (GOOG).</p>
<p>Meanwhile, <a href="http://www.tweetup.com/">TweetUp</a> CEO Bill Gross, who is launching his Twitter ad product today, tells me his service won&#8217;t be affected by Twitter&#8217;s new policy because he&#8217;s not placing his ads in Twitter&#8217;s stream. Rather, he&#8217;s inserting them into Twitter search results his company generates. Seems to me that Twitter&#8217;s new policy is broad enough that it could be aimed at TweetUp too. But let&#8217;s see what happens&#8230;</p>

<p>Bill Gross is widely considered the man responsible for the invention of paid search advertising, which heralded such Web powerhouses as Google (GOOG).</p>
<p>Now, in a can-lightning-strike-twice effort and armed with $3.5 million in venture funding from a group of leading investors, the well-known entrepreneur has decided to monetize Twitter on his own.</p>
<p>Thus, <a href="http://kara.allthingsd.com/20100411/paid-search-inventor-bill-gross-moves-to-monetize-tweets-with-tweetup-and-without-twitter">Gross has just launched a public beta of TweetUp</a>, a keyword-based bidding marketplace akin to the innovative Overture/Goto.com he created a decade ago.</p>
<p>Gross will be the CEO of TweetUp, which will also offer an organic search service to surface the best tweets from the microblogging site.</p>
<p>Coincidentally, Twitter is now aggressively moving to take over key parts of its ecosystem, which has largely been left to third-party developers. It is also expected to announce some kind of advertising system of its own this week.</p>
<p>Tweet fight, anyone?</p>
<p>Here are two video interviews I did with Gross last week at his Idealab offices in Pasadena, Calif. The first is an interview about TweetUp and the second, below it, a tour of the well-known incubator where he came up with his latest scheme:</p>

<p>Just as Twitter finally prepares to announce its plans to make money&#8211;after what has seemed an eternity&#8211;the man responsible for the invention of paid search is beating the microblogging site to the potentially profitable punch, and without its involvement.</p>
<p>Armed with $3.5 million in venture funding from a group of leading investors, well-known entrepreneur Bill Gross is launching a public beta of TweetUp, a keyword-based bidding marketplace akin to Overture/Goto.com, the first paid search system he created a decade ago.</p>
<p>Gross will be the CEO of TweetUp, which will also offer an organic search service to surface the best tweets, a move that seems to put it in competition with Twitter&#8217;s own search service.</p>
<p>This comes just as Twitter is aggressively moving to take over key parts of its ecosystem, which has largely been left to third-party developers.</p>
<p>TweetUp could now give these developers a chance to make money on Twitter without relying on Twitter.</p>
<p>TweetUp is backed by Index Ventures, betaworks, Revolution LLC, First Round Capital and other investors, including Mahalo&#8217;s Jason Calacanis and BuzzMachine&#8217;s Jeff Jarvis.</p>
<p>And TweetUp has struck a number of distribution deals with well-known Twitter search clients and Web sites&#8211;such as Seesmic, Answers.com and others&#8211;and will pay them half its revenue.</p>
<p>Gross has been working on the service since February at his Idealab start-up incubator in Pasadena, Calif.</p>
<p>He said he got the idea after he was struck by how hard it was to sort through good tweets from the <a href="http://kara.allthingsd.com/20100210/boomtown-heads-to-ted-and-promises-no-pretentious-tweets">TED conference</a>, as well as how quickly a substantive tweet he posted, which was related to the global climate change event, disappeared as more recent  ones replaced it in real time.</p>
<p>Said TweetUp in a press release about its system:</p>
<p>&#8220;In addition to an algorithm that combines a variety of factors to determine relevance, tweeters can bid on keywords in a competitive marketplace very similar to what now occurs at Internet search engines. This sophisticated combination of factors pushes the best tweets to the top of the results of users&#8217; searches, allowing them to find the most compelling tweeters, and it enables serious tweeters to expand their following quickly and cost-effectively. TweetUp search will work alongside Twitter&#8217;s traditional search to provide a richer array of results.&#8221;</p>
<p>Twitter is also making several moves to monetize itself of late, with most observers expecting an advertising system to be announced soon.</p>
<p>The company has also been adding tools, which puts it in direct conflict with outside developers. On Friday, for example, Twitter announced it was <a href="http://mediamemo.allthingsd.com/20100409/twitter-goes-shopping-comes-home-with-tweetie-next/">purchasing Tweetie</a>, maker of a popular Apple (AAPL) iPhone client for the messaging service.</p>
<p>The start-up has traditionally relied on third-party developers to build apps for the service, much as Facebook did at its start.</p>
<p>But Twitter management and key investors have recently been signaling that the company would be taking over key aspects of its business. This has caused tensions, obviously, in the wider Twitter ecosystem.</p>
<p>Thus, it will be interesting to watch how Twitter reacts to what Gross is doing with TweetUp.</p>

That's a cold comfort amid all the global melting down, but BoomTown will not refuse it.

<p>Onstage, there were a lot of talks about the awful state of the earth at TED, which sometimes feels like a four-year college in four days.</p>
<p>But there were also less-dire presentations, like the one from &#8220;Eat, Pray, Love&#8221; hit author Elizabeth Gilbert about genius, and another on how Brad Pitt&#8217;s head and range of facial expressions are now stored in a studio database for all eternity (as part of his work on the movie, &#8220;The Curious Case of Benjamin Button&#8221;).</p>

<p>Last week, BoomTown traveled to Long Beach, Calif., to attend the TED conference, a longtime gathering of digerati and others who have come to love its eclectic and outward-looking program.</p>
<p><a href="http://www.ted.com">TED</a>&#8211;which stands for Technology, Entertainment, Design&#8211;on its 25th anniversary moved here from Monterey this year for the first time, in order to accommodate its growing audience.</p>
<p>First held in 1984, Chris Anderson&#8217;s Sapling Foundation bought TED in 2001 from its founder, Richard Saul Wurman. TED has since grown to include an international conference, TEDGlobal; media initiatives, including TED Talks and TED.com; and the TED Prize.</p>
