<p>Earlier today, Yahoo&#8217;s persistent thorn, activist shareholder Dan Loeb of Third Point poison-<a href="http://allthingsd.com/20120504/loeb-demands-yahoo-board-fire-ceo-by-monday-over-false-resume/">penned another letter to the board</a> of the Silicon Valley Internet company, demanding that Yahoo fire its new CEO Scott Thompson, as well as director Patti Hart, over bizarre inaccuracies related to their academic achievements.</p>
<p>&#8220;Permitting Mr. Thompson and Ms. Hart to stay with the Company after apparently violating the Code of Ethics sends a message to all Yahoo! employees that a different set of rules applies at the top,&#8221; Loeb wrote.&#8221;[Yahoo must] terminate Mr. Thompson for cause immediately given his demonstrable unsuitability to remain Chief Executive Officer and a director of Yahoo! and accept the resignation of Ms. Hart for similar reasons.&#8221;</p>
<p>And while many across the blogosphere &#8212; including some <a href="http://www.businessinsider.com/the-smartest-people-in-tech-are-ridiculing-scott-thompson-and-yahoo-2012-5?op=1 ">very clever tweets</a> &#8212; called for his head tout de suite, that&#8217;s just not going to happen.</p>
<p>At least for <em>now</em>, at this early point in a <a href="http://allthingsd.com/20120503/dan-loeb-alleges-discrepancies-on-yahoo-ceo-scott-thompsons-resume-related-to-computer-science-degree/">controversy over Yahoo filing legal documents that misrepresented Thompson&#8217;s long-ago degree</a> from Stonehill College.</p>
<p><a href="http://allthingsd.com/20120505/they-shoot-yahoo-ceos-dont-they-but-not-without-a-really-smoking-gun-and-a-much-stronger-board/220px-rubiks_cube-1/" rel="attachment wp-att-204007"><img src="http://allthingsd.com/files/2012/05/220px-Rubiks_cube-1.png" alt="" title="220px-Rubik&#039;s_cube-1" width="220" height="229" class="alignleft size-full wp-image-204007" /></a> </p>
<p>In a nutshell: Thompson does not have a computer science degree, as he had maintained he did in public bios for almost a decade, a falsehood that mysteriously seeped into documents Yahoo filed with the Securities and Exchange Commission.</p>
<p>That&#8217;s bad news for Yahoo, for sure, on many levels, but moving against Thompson at this moment is not likely to be the answer &#8212; for the short term, at least.</p>
<p>That&#8217;s due to many reasons, that I like to think of it as three hopelessly complex puzzles that need solving pronto.</p>
<p><strong>The What-Did-Yahoo-Know-and-When-Did-It-Know-It Question</strong></p>
<p>There is no question the first thing Yahoo&#8217;s board needs to do is a <a href="http://allthingsd.com/20120503/yahoos-board-will-review-resume-discrepancy-of-ceo/">thorough investigation</a> to determine how a borked bio could proliferate so widely and for so long.</p>
<p>Most importantly, Yahoo will have to reveal if Thompson actually gave them this incorrect information, as he aggressively lobbied for the then-open CEO job. </p>
<p>As I had previously reported several times, Thompson cold-emailed a Yahoo director &#8212; Intuit CEO Brad Smith, as it turns out &#8212; despite not being on the list of potential candidates. Thompson was then shuttled over to Hart, who was running the vetting process with the help of headhunting firm Heidrick &#038; Struggles, and hired within weeks.</p>
<p>Oddly, sources said Thompson never filled out the required informational papers for the job, nor did Heidrick conduct the normal background check on him. Instead, another forensic firm Yahoo hired did the work.</p>

<p>If it turns out Thompson gave any of them the bad bio info, it would be quick curtains for him. </p>
<p>But if Yahoo&#8217;s board members obtained his info on their own, the next key query would be how no one at Yahoo &#8212; especially its legal and compliance staffers, as well as outside help &#8212; managed to catch the problem during the vetting of Thompson.</p>
<p>Here are some good questions to start with: </p>
<p>Who put a faux computer science degree on Thompson&#8217;s bio in the first place, why and when did it happen? </p>
<p>Where did Yahoo get the inaccurate information? </p>
<p>Who was in charge of checking Thompson&#8217;s academic record for Yahoo? </p>
<p>And, who checked the work of the checkers? </p>
<p>The problem is made more complicated, because correct information was easily available in the SEC filings of eBay for years, since Thompson was head of its PayPal payments unit.</p>
<p>While the resume information was indeed wrong on eBay&#8217;s Web site and on numerous bios of Thompson for years, how did eBay legally get it right while Yahoo did not?</p>
<p>That calls into question the expertise of the company, its directors and those they hired to make sure execs were completely on the up and up, a task they clearly failed at.</p>
<p>If rank incompetence is the reason, which it looks like it might be, expect certain board members and other Yahoo staffers to go, along with anyone who helped in the Thompson vetting, or lack thereof.</p>
<p>Unless, of course, the gang-that-couldn&#8217;t-shoot-straight actually did shoot straight and some one at Yahoo found out about the educational discrepancy before the new CEO was announced, but declined to fix it.</p>

<p>While sinister, such a scenario is not entirely implausible, given how much pressure Yahoo was under at the time to hire a CEO quickly, due to Loeb and his looming proxy fight.</p>
<p>If any evidence were to surface that this was so, it is curtains all around, which would rain the kind of disaster down on Yahoo&#8217;s Sunnyvale HQ that would make Loeb&#8217;s attacks look like a Nerf battle. Instead, it would be &#8220;The Hunger Games&#8221; &#8212; except that no one survives.</p>
<p><strong>The Chaos-in-Sunnyvale Conundrum</strong></p>
<p>Which brings us to the profound implications of Yahoo jacking its second CEO within six months.</p>
<p>While it&#8217;s easy to yell &#8220;Fire the CEO&#8221; on a crowded Twitter, it&#8217;s simply not so easy in practice.</p>
<p>How long did it take Yahoo&#8217;s lugubrious board to figure out Carol Bartz needed to go? A &#8230; long &#8230; time. (And, she <em>had</em> a CS degree!)</p>
<p>More to the point, Thompson &#8212; and his not-so-merry band of consultants from Boston Consulting Group and, this week, McKinsey &#038; Company &#8212; has only just completed a massive <a href="http://allthingsd.com/20120404/its-official-yahoo-lays-off-2000-employees/">layoff of 2,000 employees</a> and a jarring <a href="http://allthingsd.com/20120410/its-official-yahoo-reorgs-itself-just-like-we-said-memo-time/">restructuring</a> of management.</p>
<p>He&#8217;s also in the early stages of rolling out a new and decidedly still-squishy strategic plan to  top execs (also just this week), along with working on some other key initiatives.</p>
<p><a href="http://allthingsd.com/20120505/they-shoot-yahoo-ceos-dont-they-but-not-without-a-really-smoking-gun-and-a-much-stronger-board/mr-busy-web/" rel="attachment wp-att-204024"><img src="http://allthingsd.com/files/2012/05/mr-busy-web.jpeg" alt="" title="mr-busy-web" width="330" height="301" class="alignright size-full wp-image-204024" /></a></p>
<p>That includes renegotiating its search partnership with Microsoft; noodling around on a possible deal with Google; contemplating the sale of a variety of assets; and &#8212; <em>oh, yes</em> &#8212; trying to take on social networking Godzilla Facebook over patent infringement.</p>
<p>Busy much?</p>
<p>But, most importantly, Thompson is now the umpteenth Yahoo CEO to be working on the never-ending talks with its Asian partners over selling back a piece of the company&#8217;s lucrative stake to them. </p>
<p>While Yahoo CFO Tim Morse and head lawyer Mike Callahan are the point men on the deal, the lack of CEO would be an issue in the now-proceeding again talks. </p>
<p>This is a sale that must &#8212; and I underscore <em>must</em> &#8212; get done and soon, giving Yahoo much-needed breathing room and a whole lot of cash to fork over to increasingly disgruntled shareholders.</p>
<p>So, expect Yahoo to try to milk that deal for all it&#8217;s worth in the coming week, in order to give the appearance, at least, of positive forward momentum.</p>
<p>And, like it or not, Thompson has to play a key role in it getting done. </p>
<p>Thus, the likelihood of wait-and-see over point-and-shoot on Thompson is higher than you might think.</p>
<p>That&#8217;s especially true given four members of the board are leaving within six weeks and have either or are in the process of being replaced by new members. </p>
<p>Then, Thompson will be their problem to solve.</p>
<p>Again, no small thing, since the old crew &#8212; led by feckless Chairman Roy Bostock &#8212; is not likely to want to end its appalling tenure with yet another disaster. </p>
<p>Such a move would further tarnish the legacy of its outgoing directors, although I am not sure how it could be any more sullied, given their consistent record of one bad decision after the next. </p>

<p>What do I <em>really</em> think? I think this cursed board will maintain its 100 percent score of doing the wrong thing at the right time. </p>
<p>It could be a different case with the new directors, of course, who all seem pretty sharp and not as easily impressed by a record of failure. </p>
<p>They will surely be monitoring Thompson carefully, as will employees, who have taken to internal message boards with a rage not seen in a while over the resume debacle. </p>
<p>Their morale might be one uncertainty impacting Thompson&#8217;s fate. If a lot of key employees continue to bolt Yahoo or those remaining more loudly express their disdain for the bio antics, the new directors might listen.</p>
<p><strong>The Whatever-Loeb-Says-We-Won&#8217;t-Do-Till-Later Head-Scratcher</strong></p>
<p>Which brings us back to Loeb, whose noisy campaign to grab seats on the Yahoo board has certainly hit home this week. </p>
<p>And, though Yahoo likes to ding him a lot, since he started his campaign of terribly entertaining investor terror, a lot of what he&#8217;s been calling for has happened. </p>
<p>That includes a major flushing of the board &#8212; with five longtime members, including co-founder Jerry Yang, going, going and gone.</p>
<p>In addition, Loeb brought pressure to slow down some questionable deals, from Yahoo&#8217;s PIPE dream to a tax-free spinoff in Asia in a deal only an accountant could love. </p>
<p>He&#8217;s also &#8212; though they try to deny it &#8212; got the Yahoo directors in the dangerous habit of reacting to him, rather than playing their own game. </p>
<p>While the Yahoo board has resisted any deal with Loeb (pictured here), blaming him for rejecting their kind offers of settlement, it is he who is setting the tone more than Yahoo.</p>
<p>And that tone is of alarm and trouble and chaos at Yahoo. </p>

<p>That&#8217;s not going to work to convince other Yahoo investors to back his cause &#8212; in fact, Loeb has a decidedly uphill battle to win his proxy challenge &#8212; he has still scored a direct win with the bio relevations.</p>
<p>So far, though, Loeb has not sunk Yahoo&#8217;s battleship, so it is unlikely the board will acquiesce to <a href="http://allthingsd.com/20120504/loeb-demands-yahoo-board-fire-ceo-by-monday-over-false-resume/">his latest demand of Thompson being fired by noon</a> on Monday. </p>
<p>Maybe it will eventually, or maybe it will just scold Thompson or maybe it will do nothing at all. </p>
<p>All that is an unknown &#8212; a riddle, wrapped in a mystery, inside an enigma, with a lot of managerial incompetence thrown in. And that, most of all, is the sad definition of today&#8217;s Yahoo.</p>

<p>AOL will begin rolling out its plans to overhaul its panoply of content sites as early as today, a key part of its integration with the Huffington Post, sources familiar with the situation said.</p>
<p>AOL CEO Tim Armstrong will be sending out an internal memo on the topic soon, said sources with knowledge of the moves.</p>
<p>He will outline how the New York-based Internet portal, which paid $315 million to acquire the high-profile news and opinion site, will essentially close down dozens of its dedicated content sites&#8211;some being shuttered completely and others integrated with existing Huffington Post sites.</p>
<p>One example of the first is Politics Daily, as has been previously reported; it will no longer exist as a brand. Its staff is being integrated into the Huffington Post&#8217;s more robust political offerings.</p>
<p>It goes both ways, though&#8211;the Huffington Post&#8217;s travel site will be closed in favor of AOL&#8217;s stronger offering in that arena.</p>
<p>And still other well-known AOL brands, such as its PopEater celebrity site and its StyleList fashion and beauty site, will keep their names but no longer exist as separate destination sites. PopEater will be integrated into HuffPo&#8217;s entertainment and StyleList to its similar site.</p>
<p>[<strong>UPDATE:</strong> StyleList's status was shifted just this morning--it will remain a standalone brand and AOL's Shelterpop will become StyleList at Home, integrating into StyleList. Plus it will all now be called Stylist--losing the "e" and capped "L."]</p>
<p>The changes are causing some tension within AOL, given it is a drastic shift from relatively recent efforts to expand its portfolio of editorial sites.</p>
<p>In fact, some insiders are calling the recent vetting of which content sites to close and which to keep as &#8220;death panels,&#8221; a somewhat dicey reference to controversies over the Obama administration&#8217;s healthcare plan.</p>
<p>Also on deck for tomorrow will be letters sent out to freelancers about new plans to hire some&#8211;though not all&#8211;of them. According to several sources, AOL content head Arianna Huffington outlined the plan to editors recently, stressing the need to focus on staff-generated and more journalistically focused content.</p>
<p>One thing that is not happening is the appointment of a new editor-in-chief for AOL&#8217;s flagship tech news site, Engadget.</p>
<p>BoomTown reported on the <a href="http://kara.allthingsd.com/20110312/engadgets-top-editors-topolsky-and-patel-exit-from-aols-giant-tech-site">recent departure of Engadget&#8217;s top two editors</a>, Editor-in-Chief Josh Topolsky and Managing Editor Nilay Patel.</p>
<p>The news rocketed around the small echo chamber that is the tech blogosphere, which is no surprise since Engadget is one of the largest sites on the Web covering the tech sector.</p>
<p>In the interim, staffer <a href="http://www.engadget.com/editor/darren-murph">Darren Murph</a> has been appointed managing editor of Engadget. He reports to Joshua Fruhlinger, editorial director for Engadget, Switched and AOL Tech. Brad Hill is the business director for the properties.</p>
<p>Engadget is one of the largest in tech, with 14 million unique visitors a month. Its main competitor is Gawker&#8217;s Gizmodo. AOL also owns TechCrunch, another tech news site.</p>
<p>An email to AOL for comment has not yet been returned.</p>

<p>Last night, BoomTown attended a Silicon Valley book party for Amy Chua, the author of one of this year&#8217;s most talked-about tomes: &#8220;Battle Hymn of the Tiger Mother.&#8221;</p>
<p>Online chatter about it&#8211;or, more specifically, an essay Chua wrote in The Wall Street Journal related to the book, titled <a href="http://online.wsj.com/article/SB10001424052748704111504576059713528698754.html">&#8220;Why Chinese Mothers Are Superior&#8221;</a>&#8211;quickly rocketed around the Web and mostly not in a good way for Chua.</p>
<p>In chat forums, on Twitter, on Facebook and all over the blogosphere, she was pilloried for her words about raising her children, which included:</p>
<blockquote class="memo"><p>Here are some things my daughters, Sophia and Louisa, were never allowed to do:</p>
<p>• attend a sleepover</p>
<p>• have a playdate</p>
<p>• be in a school play</p>
<p>• complain about not being in a school play</p>
<p>• watch TV or play computer games</p>
<p>• choose their own extracurricular activities</p>
<p>• get any grade less than an A</p>
<p>• not be the No. 1 student in every subject except gym and drama</p>
<p>• play any instrument other than the piano or violin</p>
<p>• not play the piano or violin.</p></blockquote>
<p>As it turns out, even though it surely sold a lot of books, Chua said the badly-titled essay and the ensuing heated debate on the Internet misconstrued and twisted what was meant to be a much more funny and complex memoir about parenting.</p>

<p>In a bold and definitive move, AOL is paying $315 million, mostly in cash, to buy the Huffington Post, one of the Web&#8217;s most prominent news and opinion sites.</p>
<p>As part of the deal, Huffington Post co-founder Arianna Huffington (pictured here)&#8211;who was derided by some when she co-founded the left-leaning site in 2005 with investor and well-known communications exec Kenneth Lerer&#8211;will become president and editor in chief of the Huffington Post Media Group within AOL.</p>
<p>The deal was signed late this afternoon, and the board of directors of each company and shareholders of the privately held Huffington Post have approved the transaction.</p>
<p>In an exclusive video interview BoomTown conducted earlier today in Dallas, just before Super Bowl XLV, both Armstrong and Huffington were jovial that the whirlwind deal, begun in November, actually worked out so quickly.</p>
<p>Perhaps giddy, they hit upon a common motto:</p>
<p>&#8220;One plus one equals 11.&#8221;</p>
<p><em>Get it? </em> One and one next to each other is the number 11!</p>
<p>Let&#8217;s move on, shall we?</p>
<p>AOL said it is expected to close in the late-first or early-second quarter of 2011.</p>
<p>Once culminated, it will put Huffington in charge of all AOL content and other properties, including well-known names such as Engadget, Moviefone, MapQuest and TechCrunch.</p>
<p>She said she plans to move to New York from Los Angeles, although she will also maintain her longtime Brentwood home there.</p>
<p>And content for all these sites will be integrated deeply into the Huffington Post, giving it a huge new infusion of editorial material.</p>
<p>More to the point, the flashy acquisition&#8211;which essentially came together in less than two weeks in January&#8211;will become the linchpin of AOL CEO Tim Armstrong&#8217;s aggressive, if risky, strategy to focus the long-troubled company as a content and advertising powerhouse.</p>
<p>For AOL, the deal gives it a popular branded site that is very good at generating lots of page views and impressions very efficiently&#8211;which is the company&#8217;s whole thrust these days.</p>
<p>That means lots more ad inventory to sell and an injection of content talent, giving AOL the scale it desperately needs.</p>
<p>The move also obviously gives AOL a much-needed editorial identity and cohesion, which it doesn&#8217;t really have.</p>
<p>In fact, many think AOL needs a rallying point to bring clarity to its hodgepodge of recent acquisitions that all center on the notion that a strong company has yet to emerge in the premium content space.</p>

<p>While it all makes for a riveting narrative by the charming Armstrong, AOL still has not delivered the business turnaround promised after its spinoff from Time Warner in 2009.</p>
<p>Wall Street, which has given Armstrong a lot of rope, has become more impatient of late to see results&#8211;especially more robust increases in its display advertising business, as its access business dies off&#8211;after AOL spun off from Time Warner in 2009.</p>
<p>In its quarterly report last week, AOL reported earnings of 61 cents a share on revenue of $596 million.</p>
<p>But, as <a href="http://mediamemo.allthingsd.com/20110202/aols-ad-turnaround-still-isnt-here-yet/">MediaMemo&#8217;s Peter Kafka</a> wrote:</p>
<blockquote class="memo"><p>The bigger picture is that Armstrong&#8217;s turnaround is still in progress. Ad revenue was down 29 percent in the last quarter, although that number is worse than it looks. A big chunk of the decline comes from moves AOL has intentionally made that will cut revenue in the short run in return for more profitable sales down the road.</p>
<p>A more representative data set for Armstrong are his display ad sales, which are down 14 percent overall and eight percent in the U.S..</p>
<p>The bad news is that the rest of the Web ad industry is well into rebound mode; the good news is that AOL has trained Wall Street to expect numbers like these. If you&#8217;re waiting to see positive sales numbers, Armstrong said during AOL’s earnings call this morning, wait until the second half of this year.</p></blockquote>
<p>In any case, the move is a good one for the Huffington Post since it will vault it to the next level of growth.</p>
<p>Other companies, such as Yahoo and NBC Universal, had looked at the company as a purchase target, and many expected it to eventually sell out to a larger company.</p>
<p>Sources close to the Huffington Post said that that outcome seemed the most likely, and the recent expansion of the site and its audience made it a good time to do a deal now.</p>
<p>Talks with Yahoo last year went nowhere, sources said, but Armstrong was not as slow to act.</p>
<p>Indeed, the actual deal happened quickly, said Armstrong and Huffington in a video interview with BoomTown earlier today (<a href="http://kara.allthingsd.com/20110206/aols-tim-armstrong-and-huffpos-arianna-huffington-talk-about-deal-touchdown-from-super-bowl/">which you can see here</a>).</p>
<p>The pair started talking in early November of last year at the Quadrangle Conference in New York and continued their discussions through the holidays.</p>
<p>Armstrong made the official offer to Huffington by phone in January, while she was at the World Economic Forum in Davos, Switzerland, and he was snowed in in New York.</p>
<p>Five time multiple to the Huffington Post&#8217;s upward of $60 million in expected revenue for the coming year, and nearly 10 times the $31 million for 2010, the offer was accepted quickly.</p>
<p>AOL used cash for $300 million of the purchase and $15 million in stock for the rest.</p>
<p>&#8220;The idea of turning a fire hose of traffic onto our content made enormous sense,&#8221; said one person close to the situation. &#8220;Everything is changing so fast, it seemed like the time was right.&#8221;</p>
<p>An IPO was also considered for the Huffington Post, sources said. But since the site only recently moved into profitability&#8211;although barely&#8211;such an event would have been farther out.</p>
<p>That&#8217;s despite the fact that the Huffington Post has seen fast-growing traffic and influence, spurred in part by Huffington&#8217;s larger-than-life persona in both the mainstream media and blogosphere.</p>
<p>The wide-ranging site&#8211;which has added a number of content areas in recent years beyond its flagship political offering&#8211;currently has almost 26 million unique monthly visitors, according to recent stats, moving in close range to established news organizations such as the New York Times.</p>
<p>That kind of success seemed unlikely when the Huffington Post launched on May 9, 2005, positioning itself as as a liberal counterweight to the popular right-leaning Drudge Report.</p>
<p>But the Huffington Post&#8217;s heady mix of celebrity bloggers, personality and voice, as well as aggressive curation of links from other sites, quickly caught on.</p>
<p>To fund its efforts, the New York-based online media company has raised $37 million from angel investors such as Lerer&#8211;the largest individual shareholder, followed closely by Huffington&#8211;and venture firms such as Greycroft Partners, Softbank Capital and Oak Investment Partners.</p>
<p>The growth has not been without controversy around issues such as lack of payments to bloggers who contribute and accusations that the site uses too much content from other Web sources when linking.</p>
<p>And Huffington herself has also been a lightning rod, which has been both positive and negative for the site.</p>
<p>But, there is no question she is one of the Web&#8217;s most prominent players, along with writing books, appearing on television frequently and being a fixture at high-profile events in New York, Los Angeles and Washington, D.C.</p>
<p>That includes a never-ending panoply of parties that feature a potent mix of movie stars, corporate poo-bahs, glad-handing politicians and lots of journalists from all over the media.</p>
<p>In fact, full disclosure, I was at one of those parties this past weekend for actor Colin Firth and others involved in the making of the Oscar-nominated film &#8220;The King&#8217;s Speech.&#8221; (Apropos of nothing, actor Helena Bonham Carter is as smart as you would expect, but much more delicate.)</p>
<p>As part of the AOL deal, CEO Eric Hippeau&#8211;who has been integral to professionalizing the business and will be joining Lerer Ventures&#8211;and Chief Revenue Officer Greg Coleman will leave the Huffington Post.</p>
<p>Ironically, Coleman was replaced by Armstrong as head of ad sales at AOL after he took over as CEO. Coleman got a big payout and will now apparently get another.</p>
<p>But the rest of the 200 Huffington Post employees are moving over to AOL with Huffington, who Armstrong hopes will be the company&#8217;s ace in the content hole going forward.</p>
<p>There are likely to be changes to come too at AOL, within weeks, especially in its content-side management and site staffs.</p>
<p>AOL provided some quotes in support of the deal from prominent Internet figures who know Huffington well.</p>
<p>&#8220;Arianna is one of the preeminent authors and editors of our time, and Tim has a remarkable track record of business success,&#8221; said Facebook COO Sheryl Sandberg. &#8220;Bringing them together creates tremendous potential for AOL.&#8221;</p>
<p>And Twitter co-founder Biz Stone said:</p>
<p>&#8220;Editorial vision and leadership are essential in order to transmute our shared cacophony of voices into a valuable dialogue. Arianna&#8217;s expertise, empathy, and entrepreneurial enthusiasm forms a kind of alchemy turning mere words and phrases into powerful expressions of humanity.&#8221;</p>

<p>AOL has agreed to purchase The Huffington Post for $315 million, approximately $300 million of which will be paid in cash funded from cash on hand. The Huffington Post is privately owned by its two cofounders, as well as a group of investors. The proposed transaction is subject to customary closing conditions, including receipt of government approvals. The boards of directors of each company and shareholders of The Huffington Post have approved the transaction. The transaction is expected to close in the late first- or early second-quarter 2011.</p>

<p>Here is the whole CBS interview on &#8220;60 Minutes&#8221; of Mark Zuckerberg, which aired last night.</p>
<p>The quick poll of the piece on Twitter and in the blogosphere: The Facebook co-founder and CEO did great and his Harvard University nemisii, the Winklevoss twins, looked goony and graspy (even though Zuck <em>did</em> sandbag them).</p>
<p>And, yes, BoomTown said the Winklevii got enough dough for their role in social networking history and the &#8220;toddler CEO&#8221; turned out to be a prodigy. Also, that veteran television correspondent Lesley Stahl is a &#8220;fuddy-duddy&#8221; (she asked and I <em>keed</em>!).</p>

<p>Last week, BoomTown was in Washington, D.C., my old stomping grounds for 15 years, from attending Georgetown University as an undergraduate to covering the beginnings of the Internet at the Washington Post.</p>
<p>I miss a lot of things about living there, but most definitely not the poisonous political partisanship that you get sucked into from the minute you arrive.</p>
<p>Most recently, for example, it was ugly battles over financial reform, some tough remarks by President Barack Obama toward the GOP and&#8211;I swear&#8211;the &#8220;controversy&#8221; over some airbrushing of House Majority Leader Nancy Pelosi on a magazine cover.</p>
<p>In other words, it does not take much for the denizens there to descend into the mud-slinging swamp the city was built on.</p>
<p>But it&#8217;s almost a relief to be in D.C. rather than in California, given how increasingly hostile the atmosphere is getting as a range of companies wrestle over a range of issues both key and trivial.</p>
<p>The hostilities especially center on the three main powers of Silicon Valley today: Google (GOOG), Apple (AAPL) and Facebook.</p>
<p>And, specifically, the conflicts include Apple versus Google and Adobe (ADBE) and HTC and the First Amendment; Google versus Apple and Facebook and Microsoft (MSFT) and the Federal Trade Commission and&#8211;oh, yes&#8211;China; and Facebook versus Google and Twitter and anyone who gets in the way of its Manifest Destiny of Like-buttoning the Web.</p>
<p>Even Yahoo (YHOO) is entering the fray, with <a href="http://kara.allthingsd.com/20100430/yahoo-ceo-trash-talks-web-rivals-but-that-wont-stop-the-companys-troubling-brain-drain">CEO Carol Bartz taking please-don&#8217;t-forget-us shots</a> at Google and Facebook recently.</p>
<p>The Apple shooting match with Adobe over its Flash video technology is perhaps the most riveting, especially because it is the computer giant&#8217;s CEO, Steve Jobs, personally and relentlessly conducting the assault.</p>
<p>Jobs called <a href="http://www.apple.com/hotnews/thoughts-on-flash/">Adobe technology shoddy</a>, <a href="http://kara.allthingsd.com/20100411/exclusive-video-adobe-cto-lynch-smacks-back-at-apples-protectionist-strategy-calling-it-bad-for-consumers-but-hell-swing-chickens-if-forced">Adobe execs called Jobs controlling</a>, the blogosphere erupted.</p>

<p>While issues around the use of Flash are a lot more complex, of course, they illustrate just how much the digital sector is at a critical inflection point.</p>
<p>That&#8217;s especially true as the game moves from the laptop/desktop, Web-centric world to one more social, mobile and focused on innovative new devices, such as smartphones and tablets.</p>
<p>This means the potential for a shift in power, obviously&#8211;which, in turn, means more wrangling among and between the digital powers-that-be.</p>
<p>It&#8217;s the top of mind as the next <strong>D: All Things Digital</strong> conference approaches in less than a month. In our eighth foray out, there have never been more overt power struggles among the various players who will be onstage.</p>
<p>Last year, in our opening essay for <strong>D7</strong>, titled <a href="http://d7.allthingsd.com/20090526/welcome-to-web-30">&#8220;Welcome to Web 3.0,&#8221;</a> we made a prediction.</p>
<p>&#8220;So what&#8217;s the seminal development that&#8217;s ushering in the era of Web 3.0? It’s the real arrival, after years of false predictions, of the thin client, running clean, simple software, against cloud-based data and services,&#8221; we wrote, specifically referencing the growing popularity of Apple’s iPod and iPhone as the harbingers of this important trend.</p>
<p>We continued: &#8220;But this is not just about one company, one platform or even one form factor. No, this new phenomenon is about handheld computers from many companies, with software platforms and distribution mechanisms tightly tied to cloud-based services, whether they are multi-player games, e-commerce offerings or corporate databases.&#8221;</p>
<p>Looking back over the last year, we think we got it pretty right, as companies of all kinds and in all arenas raced to be part of the social, mobile, cloud-centered action.</p>
<p>This fusion and, really, collision of key trends will be at the heart of what we’ll be focusing on at <strong>D8</strong> as the major companies in tech and media try to figure out how consumers want to conduct their digital lives going forward and with what devices.</p>
<p>And inevitably, that has begun to cause some major rifts among and between the powers that be throughout tech and media. It’s clear to us that a major realignment of consumer expectations and desires is taking place, along with a fundamental shift in how we all relate to computing.</p>
<p>Still, with all the changes, it&#8217;s important to keep a respectful tone, which seems to have gotten a bit lost of late, especially now when every tiny shift and disagreement enters the digital echo chamber and quickly moves from loud to strident.</p>
<p>Such noise inevitably makes the whole competitive necessity of Silicon Valley&#8211;which is one of its greatest assets, of course&#8211;seem tinny and small, much like what you hear out of Washington all the time.</p>
<p>One of the reasons I moved out West  was that it always seemed that&#8211;whatever the rivalry or wrangling&#8211;Silicon Valley was much better than that.</p>
<p>So even though healthy and robust competition is what makes it all work in tech, as Sergeant Esterhaus of &#8220;Hill Street Blues&#8221; used to say in the trademark phrase, which you can see in this video, &#8220;Let&#8217;s be careful out there&#8221;:</p>

<p>This fusion and, really, collision of key trends will be at the heart of what we’ll be focusing on at <strong>D8</strong> as the major companies in tech and media try to figure out how consumers want to conduct their digital lives going forward and with what devices.</p>
<p>And inevitably, that has begun to cause some major rifts among and between the powers that be throughout tech and media. It’s clear to us that a major realignment of consumer expectations and desires is taking place, along with a fundamental shift in how we all relate to computing.</p>
<p>Still, with all the changes, it&#8217;s important to keep a respectful tone, which seems to have gotten a bit lost of late, especially now when every tiny shift and disagreement enters the digital echo chamber and quickly moves from loud to strident.</p>
<p>Such noise inevitably makes the whole competitive necessity of Silicon Valley&#8211;which is one of its greatest assets, of course&#8211;seem tinny and small, much like what you hear out of Washington all the time.</p>
<p>One of the reasons I moved out West  was that it always seemed that&#8211;whatever the rivalry or wrangling&#8211;Silicon Valley was much better than that.</p>
<p>So even though healthy and robust competition is what makes it all work in tech, as Sergeant Esterhaus of &#8220;Hill Street Blues&#8221; used to say in the trademark phrase, which you can see in this video, &#8220;Let&#8217;s be careful out there&#8221;:</p>

<p>That’s the format used by a start-up called Unvarnished. According to the site, Unvarnished aims to help users &#8220;get the inside scoop on other business professionals, providing candid assessments of coworkers&#8221; and potential hires. The site, which was first reported on by TechCrunch, is in beta testing, and you must be invited to participate or see reviews.</p>
<p>Sites that allow anonymous and possibly damaging comments on individuals are not new. In fact, such comments are a staple of some of the more long-lived sites on the Internet. But combining the seedy underbelly of the Web with professional networking is an idea that sounds uncomfortable at best&#8211;and has raised concerns in the blogosphere. The New York Times (NYT) Bits blog said the site &#8220;creates a public bathroom wall for everyone on the planet&#8211;then hands its users a big, anonymous Sharpie pen.&#8221;</p>

Arriving at market next month, the Devour seems a lower-cost alternative to the Droid, though Verizon (VZ) hasn’t yet named a price for it. </p>
<p>Certainly, the specs, below, for the Devour suggest it will cost significantly less than the $200 Droid commands when tethered to a two-year wireless contract.</p>

<p>As I said, Verizon has not disclosed the price for Devour, but $99 sounds about right to me, especially if the company is looking to pit this thing against Apple’s (AAPL) low-end iPhone 3G.</p>

<p>The <a href="http://www.facebook.com/McAfee">deal with McAfee</a> (MFE) comes at a slightly odd time&#8211;coinciding with yesterday&#8217;s three-ring circus in the blogosphere about an alleged employee at Facebook who claimed in an anonymous interview that the social networking powerhouse was rife with internal security abuses.</p>
<p>BoomTown thought the report specious at best, but it certainly brought up valid concerns that pop up regularly about consumer security&#8211;especially viruses and spam&#8211;on Facebook and on the Internet at large.</p>
<p>This concern has been heightened by privacy controversies over Facebook&#8217;s new policy of broadening availability of user data to the wider Web unless the user takes action to prevent it.</p>
<p>As Facebook grows, those worries will, obviously, only become more pronounced.</p>
<p>In any case, the offer with McAfee is also an interesting one in that Facebook certainly has a great audience for all kinds of companies to market to. It&#8217;s nice that the first one is so sensible.</p>
<p>According to a McAfee press release, its software &#8220;will be available to Facebook users in the U.S., U.K., Australia, Italy, Germany, the Netherlands, Spain, France, Canada, Mexico and Brazil. Numerous additional countries will be added throughout Q1.&#8221;</p>

-Be cautious when downloading files from the Internet.<br />
-Be cautious of any message, post or link you see on Facebook that looks suspicious, requires an additional login, or asks you to download or upgrade software.<br />
-Use an up-to-date browser that features an anti-phishing blacklist. Some examples include Internet Explorer 8 and Firefox 3.0.10.<br />

			<content:encoded><![CDATA[<p>Since the earliest rumors shivered through the blogosphere, Google has been on a steady march toward releasing its own mobile offering. </p>
<p>If the journey was steady, though, the communication was anything but. Google (GOOG) has shifted its language along the way and even outright denied the smartphone project once or twice. </p>
<p>The Nexus One, <a href="http://mediamemo.allthingsd.com/20091213/google-pals-up-with-t-mobile-to-push-its-nexus-one-phone">news of which got out a few weeks ago</a>, might not be the innovative free-to-all everyone was fantasizing about, but it represents the most significant mobile announcement from Google to date, using its Android operating system software.</p>
<p>More to the point, Nexus One, the Silicon Valley search giant&#8217;s most aggressive attack on the hegemony of Apple&#8217;s (AAPL) iPhone, will <a href="http://digitaldaily.allthingsd.com/20091229/google-announces-jan-5-android-event/">finally be unveiled today</a> at an event that  will be ably covered by Digital Daily&#8217;s John Paczkowski, starting at about 10 am PT.</p>
<p>But overall, it was a pretty sneaky journey from there to here.</p>

<p>The Apple (AAPL) tablet, an Internet-connected, touch-screen device, has dominated the tech blogosphere in recent weeks, even though it hasn’t been formally announced by the secretive company. The Journal reported that Apple is in talks with TV networks for a related subscription service, and outlets have also discussed the possible component makers that will work with Apple.</p>
<p>Apple watchers expect the company&#8211;maybe even Steve Jobs, who has been closely involved with the tablet’s development&#8211;to unveil the tablet in three weeks (Jan. 27, <a href="http://digitaldaily.allthingsd.com/20100104/major-apple-product-announcement/">according to All Things D</a>), and while Apple won’t be at CES, you can bet that attendees and exhibitors will be talking about it.</p>

<p>Tonchidot Chief Executive Takahito Iguchi, facing tough questions from a savvy audience about his company’s “augmented reality” technology, gave a series of emphatic single-word answers, exhibiting a never-say-die attitude that delighted the TechCrunch 50 conference crowd.</p>

<p>I was skedded to be one of the roasters, though, so I sent along a video of all my video encounters over the years at various tech events with the man I like to call <em>Scooby-Don&#8217;t</em>.</p>
<p>As you will see below from our geek version of Seinfeld-Newman faceoffs, I like to poke fun at the gooney enthusiasm of Scoobs&#8211;who never met a wacky gadget he did not squeal over, a social whatever start-up he did not proselytize or a line for a new iPhone he did not sit in all day and night.</p>
<p>In all seriousness, the blogosphere could use a lot more of Robert, who is big-hearted and infectiously warm, loyal and funny, in his own goofy way, and never cruel. Plus, he knows how to make fun of himself.</p>
<p>But most of all, Robert truly cares about innovation in tech, even if he also likes to tweet every time he has an errant thought about just about anything.</p>

<p>His agency, TBWA/Media Arts Lab, is shuffling people around, however. If you&#8217;re reading this story on this Web site, you probably don&#8217;t care about the details, but you can find them <a href="http://adage.com/agencynews/article?article_id=140070">here</a> and <a href="http://www.mediabistro.com/agencyspy/tbwachiat_day/lee_clows_not_going_anywhere_141843.asp#more">here</a>. The takeaway: Clow isn&#8217;t retiring, he&#8217;ll still have a hand in Apple (AAPL) campaigns, and he&#8217;s a bit bemused by the way the Internet has treated his org chart shuffle.</p>

<p>In a stunning one-two punch, Microsoft will announce separate nonexclusive deals today with both Facebook and Twitter to integrate their real-time feeds of status updates into the Bing search service.</p>
<p>According to sources, Microsoft (MSFT) digital head Qi Lu will announce the deal onstage in a few hours at the Web 2.0 Summit.</p>
<p>BoomTown <a href="http://kara.allthingsd.com/20091021/update-is-microsoft-poised-to-integrate-twitter-into-bing/">reported earlier today that the Microsoft data-mining deal with Twitter was poised</a> to be announced.</p>
<p>But the addition of Facebook raises the stakes considerably because it has the largest pool of status updates, despite all the hype around Twitter. Facebook has previously stated that it has 40 million updates a day, on average, from its 300 million-plus audience.</p>
<p>Twitter has been talking to Google (GOOG) about a similar arrangement, and, according to sources, so has Facebook.</p>
<p>But the deal is a definite blow to the dominant search engine, since&#8211;for the first time&#8211;data will be available on Bing that are not available on Google.</p>
<p>Neither of the services is expected to be up and running for weeks, if not months. But there is the possibility of a demo today by Qi Lu of what it will look like.</p>
<p>What&#8217;s interesting about the deals, which have been in the works for several weeks, is that they will be very different.</p>
<p>Much of what is posted on Twitter is public by design, while Facebook users prefer the closed nature of the service to disperse a wide variety of personal information only to their friends, and they want to control it.</p>
<p>Thus, sources said, not all Facebook updates will be included in the real-time feed to be searched by Bing, but only those its users choose to make available to the wider public. Facebook will apparently provide users with a number of new tools to do so.</p>
<p>BoomTown <a href="http://kara.allthingsd.com/20091008/twitter-talking-separately-to-microsoft-and-also-google-about-big-data-mining-deals/">first reported several weeks ago that Twitter was in advanced talks</a> with both the search rivals about such a real-time search arrangement.</p>
<p>When asked about the talks onstage at Web 2.0 yesterday, Twitter CEO Evan Williams turned coy, according to numerous reports, joking &#8220;Whose deals?”</p>
<p>But, in fact, the San Francisco-based microblogging service was very much engaged in dealmaking aimed at gaining more visibility for the billions of tweets from its 54 million monthly users.</p>
<p>And so was Facebook, and it is probably a little irksome to Twitter that the rival social networking site will steal some of the thunder over the deal, which is sure to break out in the blogosphere today.</p>

<p>The two services represent the hugest trove of real-time and content-sharing information, generated from their massive data streams.</p>
<p>The deals with Microsoft might include a payment of several million dollars to both Facebook and Twitter, along with various revenue-sharing proposals that would give them a piece of the advertising revenue made from search results.</p>
<p>Doing these kinds of data deals with big search players does make a lot of sense, since it would be hard for both companies to turbocharge their own search engines without running into the big cash-laden guns at both Google and Microsoft, which recently launched the Bing search service.</p>
<p>Being deeply integrated into big search services would give both companies an even huger footprint.</p>
<p>Microsoft did a small experiment this past summer by integrating Twitter data into search results, starting with tweets of bloggers like me.</p>
<p>And the company provides search services to the Silicon Valley-based Facebook, part of a major investment deal it made several years ago.</p>
<p>Both Microsoft and Google had separately contemplated buying Twitter and Facebook in deals that never materialized.</p>
<p>But, if they both strike data deals with Twitter and Facebook, they will get the next best thing&#8211;an ability to offer all that real-time information to the masses from its most innovative sources.</p>

<p>His speech was directed to corporate customers, and he avoided the dancing and iPhone demolition that have made his prior appearances viral hits on YouTube and the blogosphere. He was most fired up discussing security on Windows 7, saying he wanted to “romance” its features more than an earlier demo did.</p>
<p>Windows 7, which goes on sale next month, will achieve the estimated cost savings because it won’t cost as much to support, Mr. Ballmer said. Its most popular new feature is the user experience, he said, though he personally is a fan of its wireless networking capabilities.</p>

<p>It&#8217;s certainly acquisition fever in Silicon Valley today.</p>
<p>After it was announced that that social networking giant Facebook had bought online content sharing start-up FriendFeed, now comes the news that VMware has purchased SpringSource, a privately held enterprise and Web application development and management cloud computing start-up.</p>
<p>The price? That would be $420 million in cash and stock.</p>
<p>While the blogosphere&#8211;including BoomTown&#8211;will inevitably find the FaceFeed deal more riveting, this one is obviously more important.</p>
<p>With the purchase of San Mateo, Ca.-based SpringSource, Palo Alto, Calif.-based,  VMware (VMW)&#8211;which is a top player in the virtualization space&#8211;is adding to its cloud-computing application-management strength and its ties to the open-source community.</p>

			<content:encoded><![CDATA[<p>The actor’s statement at the Boao Forum Saturday that Chinese people “need to be controlled,” followed with his comments favoring Japanese TVs over Chinese brands, drew quick condemnation over the weekend from politicians in Hong Kong and Taiwan. His words also were widely carried in the Western media and blogosphere. One English-language blog headline: “Jackie Chan is a Know-Nothing Self-Loathing Racist.”</p>
<p>The comments were carried less broadly on the mainland, which might have cheered Mr. Chan’s camp. But as word has reached the Chinese Internet, the reaction has been mostly negative.</p>

			<content:encoded><![CDATA[<p>As <a href="http://online.wsj.com/article/SB123939209770209171.html">news broke</a> of the death of Dave Arneson, co-creator of the cult role-playing game Dungeons &#038; Dragons, the blogosphere lit up with mourning, and online gaming mags published tributes to one of the pioneers of modern geekery.</p>
<p>On the site for Wizards of the Coast, the current distributor of Dungeons &#038; Dragons and the self-proclaimed world leader in “hobby gaming,” a <a href="http://www.wizards.com/default.asp?x=dnd/4news/20090409">somber message</a> is posted about Mr. Arneson’s death: “Whether you’re a lifelong D&#038;D player or a newcomer to RPGs, a traditional paper-and-pencil gamer or an online role-player, we all owe a great debt of thanks to Dave Arneson and his groundbreaking Blackmoor game.”</p>

			<content:encoded><![CDATA[<p>The Recording Industry Association of America’s efforts to make nice to ISPs seem to be paying off&#8211;even if many of the ISPs are a little embarrassed by their new friend.</p>
<p>At a digital music panel in Nashville this week, executives from AT&#038;T (T) and Comcast (CMCSA) created a furor by saying they were passing along warnings to customers that the RIAA says are illegally uploading music files onto the Internet.</p>
<p>Later, the companies tried to calm the outrage erupting in the blogosphere by harrumphing they weren’t cutting off Internet access to those people&#8211;or in the case of Cox (CXR), hardly ever cutting it off. AT&#038;T said it wouldn’t cut off access without a court order.</p>
<p>So what is going on? For more than a year, the RIAA has been engaged in a major diplomatic effort to win over ISPs. “What we are trying to encourage ISPs to do is adopt some form of graduated response,” says Jonathan Lamy, an RIAA spokesman. “It is our position that people who are repeat offenders merit an account suspension or something like that.” He adds that any customer has a right to due process and should have the option to challenge the action if they think it is unjustified.</p>

<p>Here below are three screenshots of Microsoft&#8217;s internal test of a new search product called Kumo.</p>
<p>The long expected upgrade to the Live Search product from Microsoft (MSFT) is being tested for a public rollout later this year.</p>
<p>The blogosphere was a-twitter, literally, after a Twitter post by Powerset co-founder Barney Pell this past weekend, about a rebranding and updating of the search offering. (Microsoft acquired Powerset last year and Pell works on search strategy.)</p>
<p>Sources at Microsoft said the company has not yet decided whether it will keep the Kumo name, which sounds a little too much like that crazy dog from the Stephen King novel.</p>
<p>Maybe that&#8217;s the point, at least related to Google. (<em>Chomp!</em>)</p>

<p>Microsoft has been trying to catch up in the search game by spending big-time after it failed to acquire Yahoo (YHOO) last year.</p>
<p>And it still wants to do a search deal with Yahoo, in order to make a dent in the market dominance of Google (GOOG).</p>
<p>Until then, of course, Microsoft must innovate. And, so far, Kumo seems to be an interesting effort with a clean and spare look.</p>
