				<content:encoded><![CDATA[<p>Google Inc. has aggressively avoided paying corporation tax in Britain and its reputation won&#8217;t be restored until it begins to pay what is due, a U.K. parliamentary committee said Thursday, in the latest sign that governments around the world are stepping up scrutiny of the tax affairs of multinational firms.</p>
<p>In a strongly worded 64-page report, the public affairs committee also criticized the U.K. tax authority, Her Majesty&#8217;s Revenue and Customs, for failing to challenge Google about its &#8220;highly contrived&#8221; tax arrangement and called on it to fully investigate the Internet giant.</p>

<p>Because I get bored on Sunday nights, I opened up Yahoo&#8217;s recent regulatory filings for some light reading and, as usual, found some tasty information that the company had kindly dropped in for my erudition, but declined to call my attention to.</p>
<p>Namely, that the Silicon Valley Internet giant is paying not so very much for its mobile acquisitions, according to several documents the company has filed.</p>
<p>In fact, Yahoo&#8217;s average price paid for each of five of the 10 startups it has purchased since last fall is a tiny $3.2 million in cash. </p>
<p>For example, here&#8217;s last week&#8217;s <a href="http://www.sec.gov/Archives/edgar/data/1011006/000119312513202371/d498788d10q.htm">10-Q</a> referring to three of CEO Marissa Mayer&#8217;s first acquisitions &#8212; content curation app <a href="http://allthingsd.com/20130122/yahoo-poised-to-acquire-content-curation-site-snip-it/">Snip.it</a>, which Yahoo bought in January (funding amount unknown, but the $10 million acquisition price reported by some sites is clearly wrong, as you will see from the filing); recommendation app <a href="http://allthingsd.com/20130212/with-new-alike-mobile-app-acquisition-yahoo-pushes-into-local-discovery/">Alike</a> (funding amount unknown), which was on February&#8217;s menu; and recommendation app <a href="http://allthingsd.com/20130320/yahoo-brings-jybe-team-back-into-the-fold/">Jybe</a> (funding amount unknown), which the company picked up in mid-March:</p>
<blockquote class="memo"><p>The Company did not make any acquisitions during the three months ended March 31, 2012. However, during the three months ended March 31, 2013, the Company acquired three companies, all of which were accounted for as business combinations. The total purchase price for these acquisitions was $10 million and consisted entirely of cash consideration, primarily allocated to goodwill. Goodwill represents the excess of the purchase price over the fair value of the net tangible and intangible assets acquired and is not deductible for tax purposes.</p>
<p>The Company&#8217;s business combinations completed during the three months ended March 31, 2013 did not have a material impact on the Company’s condensed consolidated financial statements.</p></blockquote>
<p>Going back further, Yahoo&#8217;s purchase of recommendation app Stamped last October (it had $3 million in funding) and video-chat app OnTheAir ($880,000 in funding) in December were also on the cheap &#8212; a bargain at $6 million total &#8212; according to its <a href="http://www.sec.gov/Archives/edgar/data/1011006/000119312513085111/d442073d10k.htm">10-K filed a few months ago</a>:</p>
<blockquote class="memo"><p>During the year ended December 31, 2012, the Company acquired two companies, which were accounted for as business combinations. The total purchase price for these acquisitions was $7 million. The total cash consideration of $7 million less cash acquired of $1 million resulted in a net cash outlay of $6 million. Of the total purchase price, $6 million was allocated to goodwill and $1 million to cash acquired. Goodwill represents the excess of the purchase price over the fair value of the net tangible and intangible assets acquired and is not deductible for tax purposes.</p>
<p>The Company&#8217;s business combinations completed in 2012 did not have a material impact on the Company&#8217;s consolidated financial statements, and therefore pro forma disclosures have not been presented.</p></blockquote>
<p>It will be interesting to see what Yahoo reveals as to the price, and how it will account for the late March acquisition of Britain&#8217;s news reader Summly, which <strong>AllThingsD</strong> <a href="http://allthingsd.com/20130325/yahoo-paid-30-million-in-cash-for-18-months-of-young-summly-entrepreneurs-time/">reported was a loftier $30 million</a>.</p>
<p>The Summly deal did not appear to have closed by the end of the quarter, so no purchase information has been released, although it will be soon enough, along with that of the more recent string of mobile buys by Yahoo: To-do app <a href="http://allthingsd.com/20130501/yahoo-acquires-to-do-app-maker-astrid/">Astrid</a>, social polling app <a href="http://allthingsd.com/20130509/yahoo-snaps-up-two-more-small-mobile-companies-milewise-and-gopollgo-in-ongoing-acq-hires/">GoPollGo</a>, travel rewards app <a href="http://allthingsd.com/20130509/yahoo-snaps-up-two-more-small-mobile-companies-milewise-and-gopollgo-in-ongoing-acq-hires/">MileWise</a> and mobile gaming studio <a href="http://allthingsd.com/20130510/yahoo-snaps-up-mobile-gaming-company-loki-studios/">Loki</a>.</p>
<p>For those four tiny companies, which were doubtlessly also bought for very little, Yahoo did tout what it&#8217;s really after in a festive tweet on Friday.</p>

<p>Last week, I had a very erudite meeting with Louise Rogers, who runs one of the fastest growing social networking sites for educators &#8212; first in Britain and now operating in about 197 countries including the U.S.</p>
<p>The London-based TSL is a fascinating glimpse into how education is changing quickly online, catering to teachers who primarily share lesson plans, but also tips and techniques with others for free. It&#8217;s been signing up many thousands per month, who download 2.8 million plans weekly to help them better do their job &#8212; often in a resource-starved environment.</p>
<p>While running a number of English-language products, TSL struck a partnership called Share My Lesson with the American Federation of Teachers and its mainstay TES Connect service to expand here.</p>
<p>The company started a century ago as a newspaper supplement for teachers in the Times in Britain, which was owned by News Corp. at one point (which also owns this site) and was then sold to a private equity firm for $400 million and then sold again. </p>
<p>TSL, now largely online with $120 million in annual revenues garnered from a robust jobs listing service for teachers and other premium products, competes with other similar online services, like Curriki and LessonPlan.it.</p>

<p>Synacor, the behind-the-scenes tech company that provides authentication services to television companies, will be launching a new identification platform for pay-TV services that will allow users to use social IDs rather than passwords across multiple devices.</p>
<p>While it is common for consumers to do so for a range of Web services, Synacor Cloud ID will be the first to allow customers to use social logins from Facebook, Twitter and Google+ for cable TV authorization.</p>
<p>The Buffalo-based Synacor is a leader in white-label authentication services for many &#8220;TV Everywhere&#8221; events, including 2012 March Madness, the 2010 Vancouver Winter Olympics and, most recently, the 2012 London Summer Olympics.</p>
<p>To do so, the company has worked with many pay-TV providers, as well as channels, including Dish Network, Charter, HBO Go, CNN and the Cartoon Network.</p>
<p>It has not announced any done deals as yet, said a spokesman, but the goal is obviously to work with the big ones, such as Comcast, Dish and Time Warner Cable.</p>
<p>Such a move is an important one, as <a href="http://allthingsd.com/20120605/nbcs-olympic-web-video-plan-live-legal-and-painful/">Peter Kafka</a> wrote recently: </p>
<p>&#8220;That&#8217;s one of the fundamental precepts of the &#8216;TV Everywhere&#8217; plan that the cable guys are using to hold off disruption, and in practice it&#8217;s a hassle. It requires digging up your cable bill so you can find your account number, and starting up yet another online account and password. Not rocket science, but certainly not one-click easy.&#8221;</p>

<p>Although the circumstances of his death &#8212; considered a suicide, due to persecution over his being gay, although that conclusion has <a href="http://www.bbc.co.uk/news/science-environment-18561092">recently been disputed</a> &#8212; were tragic, there is no question that computing owes a great deal to Alan Turing.</p>
<p>Britain&#8217;s math whiz and famed codebreaker would have celebrated his 100 birthday today. His theories that helped crack Nazi Germany&#8217;s Enigma code in World War II might be enough, but Turing pushed the boundaries on machine intelligence and algorithms to levels that changed technology. </p>
<p>The development of the modern computer &#8212; including work on the stored program concept &#8212; was born from many of his key insights.</p>
<p>No surprise, the doodle today on Google &#8212; a company that knows a thing or two about algorithms &#8212; today is in tribute to him, a version of Turing&#8217;s hypothetical computing machine.</p>

<p>GigaOM finally fessed up and said that it had bought tech and media news site paidContent, as <strong>AllThingsD.com</strong> media ninja Peter Kafka had <a href="http://allthingsd.com/20120206/is-gigaom-buying-paidcontent/">reported earlier this week</a> it would.</p>
<p>The price is reportedly low, according to sources, but we&#8217;ll find out for you, since neither GigaOM nor the former paidContent owner, Britain&#8217;s Guardian News &#038; Media, is talking. As part of the deal, though, the Guardian has gotten some sort of stake in GigaOM, and someone there is joining its board as an observer.</p>
<p>PaidContent founder Rafat Ali left his company a couple years after selling to the Guardian in 2008. The Guardian put it up for sale in the fall.</p>
<p>Malik has sold off chunks of his own business &#8212; one of the pioneering tech and media news blogs &#8212; to venture capitalists such as True Ventures (where he is now a venture partner) and Reed Elsevier Ventures, who have invested a total of $15 million.</p>
<p>In a blast from the past, here is a <a href="http://allthingsd.com/20070624/kara-visits-contentnexts-rafat-ali/">video interview I did with Ali in mid-2007</a> in Santa Monica, Calif., at what was then its new offices, talking about the bright future ahead for paidContent (sorry about the quality, but whatevs!):</p>

<blockquote class="memo"><p>First the news: Yes, the rumors are true. We are indeed buying the assets of ContentNext Media from Guardian News &#038; Media Limited. And no, we are not disclosing the terms of the deal, except that we are buying the entire group of properties &#8212; paidContent.org, mocoNews.net, contentSutra and paidContent:UK and that a representative of Guardian News &#038; Media will join our board of directors as an observer.</p>
<p>A few weeks ago when Paul Walborsky, CEO of GigaOM, came to the board and suggested that we should try and acquire paidContent, my fellow board members &#8212; Jon Callaghan (True Ventures), Ammar Hanafi (Alloy Ventures) and Kevin Brown (Reed Elsevier Ventures) &#8212; didn&#8217;t hesitate for a minute. The ethos of paidContent and our company are in sync. GigaOM&#8217;s core belief is that as connectivity becomes ubiquitous, it changes everything from society to business to we the people. paidContent from the very beginning has been built on the idea that connectedness is and will change media. It makes perfect sense for us to team up. Since then, Paul and his team worked tirelessly to make it happen.</p>
<p><strong>OK, now you know what. Let me tell you why.</strong></p>
<p>Now, why are we doing this deal, clearly the biggest of our five-and-a-half-year history? Two simple but equally powerful reasons &#8212; the first and perhaps most important reason: people. I have been an admirer of paidContent&#8217;s editorial team from the very beginning of its journey. Rafat Ali and Staci Kramer were two of my favorite writers in the early days of professional blogging. And while Rafat (who is on our board of advisers) has moved on to new things, I am glad to have Staci join us. She has been instrumental in building ContentNext from the ground up, and in addition to writing, she has been building the company&#8217;s event business. I am thrilled to announce that she will remain the editor of paidContent.</p>
<p>Ernie Sander who spearheads the ContentNext editorial operations is the kind of veteran everyone on our team, including me, can learn from. And for that precise reason, Ernie is going to become the executive editor of our sprawling online editorial operations. Our managing editor, Nicole Solis, is being promoted to VP of Editorial Operations. And then there is the most awesome team of journalists &#8212; Robert Andrews, Tom Krazit, Daniel Frankel, Laura Hazard Owen, Jeff Roberts and Amanda Natividad. In addition there are a wonderful group of technology, business and sales people who are joining our company. I welcome them all to our growing family and can&#8217;t wait to break bread with them in weeks to come.</p>
<p><strong>Location, location, location</strong></p>
<p>These fine folks are actually going to help bolster our presence in New York and help increase our footprint in Europe, a region of key strategic focus for GigaOM. (We will be hosting Structure:Europe in Amsterdam, October 16-17.) With this deal, we are really pleased that one of the most forward-looking media outlets around, Guardian News &#038; Media, will become a shareholder in our business.</p>
<p>As you all know, I am (and will always be) a displaced New Yorker; New York City is my spiritual home. By increasing our footprint in the capital of the world, I would get a chance to go back more often. But it&#8217;s not an emotional tug that is driving us to this decision. New York is fast becoming a major technology hub, as Ryan Kim outlined in his recent post. And we want to expand our coverage to Boston &#8212; thanks to Barb Darrow who joined us several months ago &#8212; and the Washington DC corridor as well. paidContent&#8217;s New York City offices are now GigaOM East.</p>
<p><strong>Media is the new Wild West</strong></p>
<p>We are quite strategic about our acquisitions &#8212; we acquire media entities only if we love the people and believe that we are at the starting phase of a trend. In 2008, we acquired jkOnTheRun as our tip of the hat to the growing demand for mobile devices and the changes it would bring into society. Later that year, we brought in The Apple Blog because we knew the best was yet to come for Apple. Both of those acquisitions have helped GigaOM cover the issues that matter most to our ultimate customers &#8212; you, the reader &#8212; in a smart, sensible fashion.</p>
<p>&#8220;The question that mass amateurization poses to traditional media is &#8216;What happens when the costs of reproduction and distribution go away? What happens when there is nothing unique about publishing anymore because users can do it for themselves?&#8221; We are now starting to see that question being answered.&#8221; &#8212; Clay Shirky</p>
<p>Shirky&#8217;s observation means that we are in a time of chaos where the very idea of media is being questioned. And as a Chinese proverb says, from chaos emerges opportunity. I believe the best is yet to come for media.</p>
<p>Over the past few years we have started to see the transformation of media by new technologies, new methods of distribution and newer ways to consume information. Mathew Ingram has been writing about these disruptions on a regular basis, and now we are going to double down on what we think is a great new chapter in the media industry.</p>
<p>I have always believed that we&#8217;ve got to stop thinking of media as what it was and focus on more of what it could be. In the world of plenty, the only currency is attention and attention is what defines &#8220;media.&#8221; Zynga is fighting Hollywood for attention (and winning). Instagram is taking moments away from other media. They have attention. There are old companies that are dying and new ones that are being invented. We&#8217;re eager to expand our coverage of social and digital media editorially, in our research and at our events. paidContent is the best chronicler of the media industry, and by blending their coverage with ours, we hope to watch this fast-changing industry ever more closely.</p>

				<content:encoded><![CDATA[<p>Predicting massive demand related to the upcoming <a href="http://www.london2012.com/">London Olympics</a>, British regulators said Monday they are massively boosting available spectrum for the Games.</p>

<p>The crunch will come from a variety of corners, from wireless cameras for filming close-ups, walkie-talkies for coordinating volunteers and, of course, millions of spectators looking to upload their photos and videos to gloat to non-ticket-holding relatives.</p>
<p>&#8220;The event presents a unique logistical challenge never faced before by the U.K., with a need to assign up to 20,000 wireless frequencies to be used for the Games in London, more than double the number usually assigned in a year,&#8221; Britain&#8217;s Ofcom <a href="http://media.ofcom.org.uk/2012/01/23/ofcom-prepares-for-record-spectrum-demand-at-london-2012-games/">said in a statement</a>.</p>
<p>Ofcom, the agency responsible for managing the British airwaves, said it has been working for six years on a plan. To get the needed spectrum, Ofcom says it will temporarily borrow some spectrum held by the government, use some frequencies made available by the digital-TV switchover, and offer up airwaves that are in the process of being auctioned off but not yet in use. Unlicensed spectrum will also be tapped, it said.</p>
<p>To handle all these airwaves and avoid interference, Ofcom said it has built a state-of-the art airwave management system, and has also been doing tests during high-profile events, such as last year&#8217;s royal wedding.</p>
<p>A final test will come at the Queen&#8217;s Diamond Jubilee in early June, with the Games themselves starting July 27.</p>
<p>&#8220;Ready and prepared for this challenge, Ofcom recognises that there is no room for complacency,&#8221; Ofcom COO Jill Ainscough said in a statement. &#8220;We are working behind the scenes to make this capacity available, to ensure that this demand is met.&#8221;</p>

Ive has been named Knight Commander of the Most Excellent Order of the British Empire, or KBE for short. When in England or any member of the British Commonwealth like Canada, he will be entitled to be addressed as Sir Jonathan. </p>
<p>Its his second honor from the Queen, who named him Commander of the British Empire, or CBE, in 2006. The new title will be conferred by the touch of a sword held by the Queen. </p>
<p>Interestingly, Ive is only one of two people being given this particular title this year, from the extensive list of other honors published in the London Gazette. (Ive&#8217;s name appears on page 24 of the announcement; there&#8217;s a <a href="http://www.london-gazette.co.uk/issues/60009/supplements/24">PDF of that page here</a>.) The other KBE recipient is the art historian <a href="http://en.wikipedia.org/wiki/John_Richardson_%28art_historian%29">John Patrick Richardson</a>, who wrote a well regarded biography of <a href="http://en.wikipedia.org/wiki/Picasso">Pablo Picasso</a>. </p>
<p>The best profile of Ive that I know of is <a href="http://www.businessweek.com/magazine/content/06_39/b4002414.htm">this 2006 BusinessWeek story</a> by my former colleague Peter Burrows. It&#8217;s more than five years old, and so may be a bit dated, but it&#8217;s terrific.</p>

<p>Jonathan (Jony) Ive has been appointed by Her Majesty Queen Elizabeth II a Knight Commander of the Most Excellent Order of the British Empire (KBE). </p>
<p>The honour, for the lead designer at Apple Inc. of products like the iPod and iPad, was part of the New Year 2012 Honours List and was in recognition of Jonathan Ive&#8217;s services to design and enterprise.</p>
<p>&#8220;I am keenly aware that I benefit from a wonderful tradition in the UK of designing and making,&#8221; said Jony Ive. &#8220;To be recognized with this honour is absolutely thrilling and I am both humbled and sincerely grateful.&#8221;</p>
<p>&#8220;I discovered at an early age that all I&#8217;ve ever wanted to do is design,&#8221; Ive added. &#8221; I feel enormously fortunate that I continue to be able to design and make products with a truly remarkable group of people here at Apple.&#8221;</p>
<p>The British Consul General in San Francisco, Priya Guha, said she was &#8220;delighted that Jony Ive has been granted this exceptional honour by Her Majesty The Queen. Through his design of the iMac, iPod, iPhone and iPad, his work has transformed the lives of a generation of people, revolutionising the way people interact with technology.  He epitomizes the strengths of British design and innovation.&#8221;</p>
<p>British Honours are bestowed on merit for exceptional achievement or service to British interests. This is the second royal honour for Ive, who was awarded a CBE (Commander of the British Empire) in 2006 for his achievements in British design and innovation. The current Knighthood recognises his work on raising design standards generally in consumer, industrial and professional goods and for his championing of British design.</p>
<p>Jonathan Ive becomes Sir Jonathan Ive, and the knighthood will be conferred by the touch of a sword by Her Majesty The Queen.</p>
<p>London-born designer Ive is the Senior Vice President of Industrial Design at Apple, reporting directly to the CEO. Since 1996, he has been responsible for leading a design team widely regarded as one of the world&#8217;s best.</p>
<p>Ive has demonstrated a life-long commitment to design.  He has been recognized with numerous design awards including being named Designer of the Year by the Design Museum London and awarded the title Royal Designer for Industry by The Royal Society of Arts.</p>
<p>Ive holds honorary doctorates from The Royal College of Art, The University of Arts London, the Rhode Island School of Design (RISD) and Northumbria University (Newcastle Polytechnic) where he also received his Bachelor of Arts degree. He holds 596 design and utility patents in his name.</p>
<p>After graduating in 1989, he co-founded the London design agency Tangerine, where he designed everything from washbasins to televisions.  In 1992, he moved to Apple and, after the return of Steve Jobs in 1997, became Senior Vice President of Industrial Design, designing the first iMac in 1998, its progressively sleeker successors, and then the iPod, iPhone and iPad.</p>
<p>The Queen chooses the recipients of Honours on the advice of the Prime Minister and other relevant ministers, to whom recommendations are made by their departments or members of the public. Private nominations&#8211;those made by individuals or by representatives of organisations to the Prime Minister&#8217;s Office&#8211;can also be made and account for about a quarter of all recommendations.</p></blockquote>

According to data from Kantar Worldpanel ComTech, the iPhone captured nearly half of U.K. smartphone sales in October, overtaking its Android rivals.</p>
<p>&#8220;Apple took a whopping 42.8 percent share of all smartphone sales, giving it a significant lead over Android &#8212; a feat many thought was impossible,&#8221; Dominic Sunnebo, global insight director at ComTech, explained. &#8220;With nearly a year and a half between iPhone launches there has been huge pent-up demand.&#8221;</p>

<p>Indeed. Android&#8217;s share of handset sales for October? 35 percent.</p>
<p>An impressive surge for Apple. Caveat: this is data for one month only and that month was the one that saw the launch of the 4S &#8212; a de facto guarantee for a spike in demand. Taking a longer view of the 12 weeks ended October 30, Android still leads with a 46 percent share to the iPhone&#8217;s 27.8 percent.</p>
<p>Still, 27.8 percent is a nice chunk of the market to have captured, especially considering Apple did it with just three phones (iPhones 3Gs, 4 and 4S).</p>

				<content:encoded><![CDATA[<p><a href="http://allthingsd.com/20110928/oracle-you-have-a-very-bad-memory-mr-lynch/mike_lynch/" rel="attachment wp-att-126194"><img src="http://i2.wp.com/allthingsd.com/files/2011/09/mike_lynch-380x285.png?resize=380%2C285" alt="" title="mike_lynch" class="alignright size-Featured wp-image-126194" data-recalc-dims="1" /></a>Hewlett-Packard <a href="http://www.hp.com/hpinfo/newsroom/press/2011/111003xb.html">just announced</a> that it had closed its acquisition of the British software firm Autonomy. This is the company that HP decided to acquire under previous CEO Léo Apotheker on Aug. 18 for $11.7 billion, the same day it said it planned to spin off its PC division and shut down its webOS business unit.</p>
<p>Rather than become an HP executive, Autonomy CEO Mike Lynch, who&#8217;s been described as <a href="http://entertainment.salon.com/2000/07/10/autonomy/">Britain&#8217;s first software billionaire</a>, will remain head of Autonomy, which HP will operate as a wholly owned subsidiary, though he will report to Whitman.</p>
<p>Of course, the deal didn&#8217;t get done without some drama &#8212; what does get done at HP without drama these days? First there was the shock at the price paid, which represented a 64 percent premium over Autonomy&#8217;s share price. It was just one of the things that led to a <a href="http://allthingsd.com/20110916/the-number-of-securities-lawyers-circling-hp-is-growing/">shareholder lawsuit</a> against HP.</p>
<p>There were certainly enough questions about the deal to cause some speculation around the notion that HP might try to back out of it. Those ideas gained some currency when HP&#8217;s board of directors <a href="http://allthingsd.com/20110922/exclusive-whitman-expected-to-get-ceo-nod-after-markets-close-and-not-for-the-interim-either/">fired former CEO Léo Apotheker</a>, but not before giving him a pricey <a href="http://allthingsd.com/20110929/apothekers-exit-is-cheaper-than-expected-for-hp-but-still-pricey-considering/">exit package</a>.</p>
<p>Then there was the Oracle shopping scandal. Asked about Oracle&#8217;s position in the unstructured data market two weeks ago, CEO Larry Ellison said that his company had passed on a chance to acquire Autonomy because the price was too high. Lynch, apparently falling into a <a href="http://allthingsd.com/20111003/oracle-launches-exalytics-machine-probably-ending-spat-with-autonomy/">PR trap laid by Oracle</a>, took issue with Ellison, saying Autonomy had <a href="http://blogs.wsj.com/digits/2011/09/27/autonomy-ceo-fires-back-at-larry-ellison/">never been shopped to Oracle</a>, prompting Oracle to publicly <a href="http://allthingsd.com/20110928/oracle-you-have-a-very-bad-memory-mr-lynch/">call Lynch a liar</a>, then produce a set of PowerPoint slides <a href="http://allthingsd.com/20110929/mike-lynch-to-oracle-oh-you-mean-those-slides/">as evidence.</a> Lynch then went on to <a href="http://allthingsd.com/20110930/autonomy-when-all-else-fails-blame-the-bankers/">blame his eager banker</a>, Frank Quattrone. Of course, it was widely known that Autonomy had been <a href="http://allthingsd.com/20101216/will-oracle-and-microsoft-bid-on-autonomy/">quietly shopped around</a> for months.</p>
<p>So that little kerfuffle is over, now that HP is in control and its corporate communications team, <a href="http://allthingsd.com/20110927/whitman-makes-comms-appointment-we-got-your-memo/">led by Lynn Anderson</a>, is in charge.</p>
<p>Meanwhile, there&#8217;s the larger mission to worry about: HP has to prove that Autonomy was worth all that money, and there&#8217;s an awful lot at stake. HP shares are still trading near their lowest levels in six years, and closed today at $22.20, down 25 cents. According to the disputed slides prepared by Qatalyst partners that were shared at one time or another with Oracle, Autonomy is expected to bring in $1.1 billion in revenue next year, which would amount to less than 1 percent of HP&#8217;s forward revenue projection for 2012 of $127 billion. It&#8217;s going to be tough to make it pay. But like it or not, HP is stuck with it now.</p>

Mike Lynch, the CEO of Autonomy, the software company being acquired by Hewlett-Packard in an $11.7 billion deal, seems not to have learned this lesson, because the hole he&#8217;s in keeps getting deeper.</p>
<p>As we reported Wednesday, Oracle decided to slap Lynch silly with a <a href="http://allthingsd.com/20110928/oracle-you-have-a-very-bad-memory-mr-lynch/">public rebuke</a> concerning his comments to The Wall Street Journal that his company <a href="http://blogs.wsj.com/digits/2011/09/27/autonomy-ceo-fires-back-at-larry-ellison/">had never been shopped to Oracle</a>.</p>
<p>Always eager to clear up the record &#8212; just, well, you know, <em>because</em> &#8212; Oracle went on to publish the PowerPoint slides sent by investment banker Frank Quattrone of Qatalyst Partners to Mark Hurd in January. The slides may or may not have had anything to do with a meeting held by Lynch, Quattrone, Oracle President Mark Hurd and its head of M&#038;A, Douglas Kehring, in April. <em>Or not!</em> You see, the stories vary.</p>
<p>(Oracle, by the way, has since taken down the slides, but you can still <a href="http://allthingsd.com/20110929/mike-lynch-to-oracle-oh-you-mean-those-slides/">read them here</a>. <strong>Update: And we&#8217;re now told the slides are <a href="http://www.oracle.com/us/corporate/features/please-buy-autonomy-503330.html">back up</a></strong>. <em>Interesting!</em>)</p>
<p>But what about the email those slides arrived with originally? Well, a kindly source has sent it to us. Dated Jan. 26 &#8212; you can read it below &#8212; it was sent to Hurd by Quattrone (whose address I&#8217;ve deleted as a courtesy). Judge for yourself, but to me it sure reads like the windup to a sales pitch.</p>

And despite its strong track record of growth and very high profitability (50 pct margins), it trades at less than 20x earnings and around 11x Ebitda, huge discounts to the other strategic software assets of scale. <p>And it was! At least the email part. Quattrone weighed in on the whole kerfuffle via an email to Lynch, which Lynch then shared with the <a href="http://ftalphaville.ft.com/blog/2011/09/29/689091/mike-lynch-and-oracle-frank-replies/">Financial Times Alphaville blog</a>:</p>

&#8220;The slides Oracle posted publicly were sent by me to Mark Hurd in January, were prepared by Qatalyst and were for the purpose of our independently pitching Autonomy as an idea to Oracle. These slides were not used in our April meeting with Mark and Doug.&#8221;</p></blockquote>
<p>So what of the meeting in April? Well, apparently it wasn&#8217;t a sales pitch at all. No, <em>really</em>. As Autonomy said in a statement also sent to the FT:</p>
<blockquote class="memo"><p>&#8220;In April 2011, there was a meeting for approximately thirty or forty minutes between Autonomy and Mark Hurd, which was set up by Frank Quattrone as an introduction to Mark Hurd. Oracle is an Autonomy customer. It was made clear that Autonomy was not for sale and no sale process was under way. Mr. Quattrone’s company was not engaged by Autonomy at that time. There has been no other contact with Oracle since then. &#8230;</p>
<p>&#8220;Qatalyst have informed us that the slides Oracle has recently posted on its website were prepared and sent independently by Qatalyst to Oracle on 26 January (the content is clearly from January). This is the first time we have seen them. Autonomy was not involved in this nor was Qatalyst engaged by Autonomy until mid-year. Autonomy did not present these slides in the meeting.</p>
<p>&#8220;Oracle seems a little confused about the sequence of events and origins of the data it has received, something that would suggests it needs better management of and insight into the unstructured data on its internal systems. We would be delighted to help.&#8221;</p></blockquote>
<p><em>Oh, snap!</em> At least Lynch is learning the art  of the snarky retort. So the slides were the work of eager bankers trying to get a deal cooking. And the meeting was just a friendly call by Autonomy&#8217;s CEO on a customer? With an investment banker and another company&#8217;s head of M&#038;A &#8212; two people who have collectively done more Silicon Valley deals than any other people in the world &#8212; joining in just for kicks? Okay then.</p>
<p>While this tit-for-tat seems like a mildly entertaining tempest in a teapot, <em>it&#8217;s a $12 billion teapot!</em> One about which HP shareholders still seem to have a lot of  questions, especially in light of the <a href="http://allthingsd.com/20110922/its-official-meg-whitman-named-hp-ceo-apotheker-out/">management change</a> that has gone on there since <a href="http://allthingsd.com/20110818/hp-reportedly-close-to-10-billion-buyout-of-autonomy-pc-unit-spinoff/">the deal</a> was announced. Time, however, is short: HP is said to be about ready to close on the deal <a href="http://online.wsj.com/article/SB10001424052970204138204576601020671512798.html">Monday.</a></p>
<p>Why is it so important to Lynch that the world believe that Autonomy was <em>not</em> shopping itself, and not engaging in any discussions about selling itself? Because laws in the U.K. about corporate acquisitions are very strict, for one thing. And companies engaging in discussions about being acquired without disclosing that fact to shareholders quickly find themselves in hot water with regulators! That means CEOs in the U.K. get ticklish on this subject very easily.</p>
<p>Of course, the first official public disclosure about Autonomy being in discussions to sell itself to anyone <a href="http://www.reuters.com/article/2011/08/18/idUS197763+18-Aug-2011+RNS20110818">crossed the wires at 1:32 pm New York time on Aug. 18</a>, which, by my watch, is about two minutes after markets had closed in London. The disclosure, however, came about an hour and change after Bloomberg News reported that a deal was near. About 90 minutes after Autonomy&#8217;s disclosure in London &#8212; and with 52 minutes left before the close of markets in New York &#8212; came <a href="http://www.hp.com/hpinfo/newsroom/press/2011/110818b.html">HP&#8217;s confirming statement</a> that it was &#8220;in discussions.&#8221; Then, just after markets closed in New York, the <a href="http://www.hp.com/hpinfo/newsroom/press/2011/110818xc.html">deal was done</a>. That leaves plenty of room for people on both sides of the Atlantic to ask all kinds of fun questions. <em>Anyway</em>. </p>
<p>And as we all know, Oracle &#8212; whether in January or April &#8212; passed on the opportunity to bid on Autonomy, primarily because the price was, as CEO Larry Ellison put it on a conference call last week, &#8220;shockingly high&#8221; at about $6 billion.  And four months later &#8212; or eight, depending on when you start counting &#8212;  on Aug. 18, Hewlett-Packard announced its plans to <a href="http://allthingsd.com/20110818/hewlett-packard-misses-on-earnings-says-goodbye-to-pcs-webos/">acquire Autonomy</a> at nearly twice that price.</p>
<p>So what was the purpose of the April meeting in Oracle&#8217;s board room in Redwood Shores? Was it really a &#8220;lively discussion about databases,&#8221; as Lynch has previously claimed? Or an innocent customer call during which two masters of tech M&#038;A just happened to be in the room? We don&#8217;t know exactly. </p>
<p>But we do know one thing: Having <a href="http://blogs.wsj.com/digits/2011/09/27/autonomy-ceo-fires-back-at-larry-ellison/">first characterized Ellison&#8217;s description of the matter as &#8220;just inaccurate,&#8221;</a> then copping to a previously undisclosed meeting of some kind, Lynch does know how to change his story.</p>

				<content:encoded><![CDATA[<p>LONDON—In April 2002, News Corp.&#8217;s News of the World tabloid scrambled at least eight reporters and photographers to an Epson ink-cartridge factory in Britain&#8217;s Midlands region, hoping to land a big scoop: Missing Milly Dowler Found Alive.</p>
<p>Improbably, the tabloid&#8217;s news desk had reason to believe the 13-year-old girl—whose disappearance was then a big story in Britain—had run away from home and gotten a job at the Epson factory. The reason: The paper had a voice-mail message, apparently intercepted from her phone, suggesting she worked there.</p>
<p>The tabloid&#8217;s hope was that, &#8220;When Milly Dowler clocked off work, we would be there outside the gates,&#8221; said one journalist involved in the three-day stakeout, which hasn&#8217;t previously been reported. &#8220;We could say, &#8216;There you are, Milly, the whole world has been looking for you.&#8217;&#8221;</p>
<p>It turned out the girl wasn&#8217;t working at Epson. In September 2002, she was found murdered.</p>

<p>The photo, which appeared on the U.K.-based tech site <a href="http://www.shinyshiny.tv/2011/08/jake-davis-scottish-hacker-his-sunglasses-denim-shirt-and-revolutionary-book.html">shinyshiny.tv</a>, is of Jake Davis, an 18-year-old resident of Britain&#8217;s Shetland Islands, specifically the island of <a href="http://en.wikipedia.org/wiki/Yell,_Shetland">Yell</a>. The original photo appeared in the <a href="http://instagr.am/p/JEMy2/">Instagram</a> account of a user known as timbr. <strong>Update:</strong> Timbr turns out to be <a href="http://twitter.com/#!/tim">Tim Bradshaw</a> of the <a href="http://blogs.ft.com/fttechhub/2011/08/jake-davis/#axzz1TmLZXIlW">Financial Times</a>.</p>
<p>After reports surfaced suggesting that police may have been <a href="http://nakedsecurity.sophos.com/2011/07/28/topiary-have-the-police-arrested-the-right-man/">tricked</a> into arresting the wrong person, police say they&#8217;re certain they have their man.</p>
<p>Davis appeared in a City of Westminster court this morning and was granted bail; he is next scheduled to appear in court on Aug. 30. He faces five charges related to distributed denial-of-service attacks against several sites, including, notably, the U.K.&#8217;s Serious Organized Crimes Agency in June. </p>
<p>Using the online handle &#8220;Topiary,&#8221; Davis had functioned as the group&#8217;s spokesman and gave interviews to the media about its activities. The group attracted a great deal of media attention for its numerous attacks against, among others, <a href="http://allthingsd.com/20110604/sony-hacked-for-what-seems-to-be-the-umpteenth-time/">Sony</a>, PBS, <a href="http://allthingsd.com/20110605/lulzsec-strikes-again-claims-attack-on-nintendo-server/">Nintendo</a>, Britain&#8217;s National Health Service, the U.S. Senate, the U.S. <a href="http://allthingsd.com/20110615/cia-website-goes-down-lulzsec-takes-credit/">Central Intelligence Agency</a>, private affiliates of the FBI, and the <a href="http://allthingsd.com/20110624/arizona-confirms-lulzsec-docs-are-authentic-worries-about-officer-safety/">Arizona Department of Public Safety</a>.</p>
<p>The arrest in the U.K. followed a <a href="http://allthingsd.com/20110719/16-arrested-in-nationwide-hacker-crackdown/">string of arrests</a> in the United States, in which 16 people have been accused of being involved with the distributed denial-of-service attack against PayPal, the payment unit of eBay. LulzSec had in recent days been <a href="http://allthingsd.com/20110727/lulzsec-hackers-protest-paypal-as-one-of-them-is-arrested-in-u-k/">organizing a protest</a> against PayPal, encouraging people to kill their accounts with the service.</p>
<p>LulzSec&#8217;s <a href="http://twitter.com/#!/lulzsec">Twitter account</a> has been quiet since July 27, the day the arrest was announced. And the Twitter account belonging to <a href="http://twitter.com/#!/atopiary">Topiary</a> has been wiped of all messages, save for one saying &#8220;You cannot arrest an idea.&#8221; The Twitter account belonging to <a href="http://twitter.com/#!/anonymousirc">AnonymousIRC</a>, the group under whose banner LulzSec <a href="http://allthingsd.com/20110625/at-the-heigh-of-their-infamy-lulzsec-hackers-call-it-quits/">briefly operated</a>, included a message of support.</p>

<p>Yahoo turned in another <a href="http://allthingsd.com/20110719/yahoo-revenues-down-again-in-2q-and-microsoft-search-deal-gets-blame/">weak performance in the second quarter</a>, with yet another decline in revenue. </p>
<p>This time it was five percent, compared to last quarter&#8217;s six percent. In other words, at least things are looking up as they go down!</p>
<p>While earnings per share rose smartly, Wall Street is still looking for strong sales growth from the Silicon Valley Internet giant, which seems unable to provide it.</p>
<p>Blamed most this time for the revenue fall: Yahoo&#8217;s changes in its display sales operations in the key Americas region, reasons for which were largely unspecified in the initial company press release. (You can see the damage in this <a href="http://allthingsd.com/20110719/not-so-chart-tastic-picture-of-yahoos-2q-display-disaster/">slide deck from the company here</a>.)</p>
<p>Maybe Yahoo CEO Carol Bartz will explain it all in its upcoming conference call with analysts (or she could try the <a href="http://allthingsd.com/20110719/liveblogging-murdoch-son-at-phonegate-hearing-a-lion-in-winter/">I-don&#8217;t-know approach taken by News Corp. CEO Rupert Murdoch</a> in PhoneGate hearings in Britain earlier today!).</p>
<p><strong>2 pm PT:</strong> It starts with the usual regulatory blah-blah, which I always enjoy.</p>
<p>Bartz gets right into it, opening with the key <a href="http://allthingsd.com/20110714/the-good-the-bad-and-the-time-consuming-yahoo-pushes-to-settle-alibaba-dispute-before-earnings-but-dont-hold-your-breath/">problems with China&#8217;s Alibaba Group</a>, as well as its display and search revenue weaknesses.</p>
<p>The fight with Alibaba is over its Alipay payments unit, which was spun out of the Chinese company without Yahoo&#8217;s say-so. Yahoo is a big shareholder.</p>
<p>Bartz says that the company was working on a settlement night and day.</p>
<p>But she quickly gets onto how display did not perform as expected in its key Americas arena. &#8220;Obviously, I am not happy,&#8221; she said.</p>
<p><a href="http://allthingsd.com/20110719/liveblogging-yahoo-q2-earnings-call-whos-to-blame-for-the-revenue-rout/unknown-2/" rel="attachment wp-att-100200"><img src="http://i0.wp.com/allthingsd.com/files/2011/07/Unknown1.png?resize=215%2C234" alt="" title="Unknown" class="alignleft size-full wp-image-100200" data-recalc-dims="1" /></a></p>
<p><em>Obvi!</em> Neither are shareholders, Carol.</p>
<p>She says it was not about new competitive development. It was not about the economy. It was not about engagement. </p>
<p>So what <em>was</em> it? Changes in its sales leadership and organization, says Bartz, which has included talent walking out the door in droves.</p>
<p>A lot more than Yahoo expected, but no surprise to anyone who has been paying any attention to the brain drain at the company.</p>
<p>Bartz promises a new approach to sales, part of its endless turnaround, which is beginning to feel like a digital version of &#8220;Waiting for Godot.&#8221;</p>
<p>Search revenue, though, says Bartz, was better than expected.</p>
<p><strong>2:11 pm:</strong> CFO Tim Morse is on now, running through the numbers and the display shortfall in the Americas region. </p>
<p>&#8220;We simply did not have appropriate coverage,&#8221; says Morse, noting consumer products, tech and autos as weak spots in the advertising market.</p>
<p>Thank goodness, then, for the guarantees from search revenue in the Microsoft partnership deal. </p>
<p>More numbers and then it is back to Bartz to talk about search, which is going better than the last quarter, when it was the culprit for the revenue decline.</p>
<p>She says that Microsoft and Yahoo were working together to improve the issues.</p>
<p>&#8220;We&#8217;d like to be further down the road,&#8221; says Bartz about the goal of search revenue per search growth, as well as settling all the other problems, such as the Asian issues. </p>
<p><a href="http://allthingsd.com/20110719/liveblogging-yahoo-q2-earnings-call-whos-to-blame-for-the-revenue-rout/images-8/" rel="attachment wp-att-100205"><img src="http://i1.wp.com/allthingsd.com/files/2011/07/images7.png?resize=223%2C156" alt="" title="images" class="alignright size-full wp-image-100205" data-recalc-dims="1" /></a></p>
<p>And, by further, I am presuming she means actual forward movement, which is what roads are actually for.</p>
<p><strong>2:27 pm:</strong> Q&#038;A time, the part of our program where Wall Street analysts do not ask the questions that need asking (and where I win fancy journalism awards for pointing this delta out!).</p>
<p>Therefore, Bartz is first thanked for providing &#8220;color&#8221; about the display disaster and is not asked about more specifics of the disaster itself.</p>
<p>The second question still does not get to it either, but she does note Yahoo&#8217;s sales force has to sell beyond &#8220;Gee, we&#8217;re big&#8221; and come up with better ad solutions.</p>
<p>&#8220;The issue is we did not have enough sales people in front of the big clients,&#8221; says Bartz. </p>
<p>That&#8217;s because all those former Yahoos are now working at Groupon, LivingSocial, Facebook and on down the line and now in front of big clients for those hotter companies.</p>
<p><strong>2:34 pm:</strong> Question about its Asian assets. Yahoo&#8217;s talks with Yahoo! Japan and Alibaba are separate, says Bartz, although I would add that they have non-movement in common. </p>
<p>And also a question about <a href="http://allthingsd.com/20110718/with-yet-another-flat-quarter-expected-does-yahoo-need-a-hail-mary-hulu-acquisition/">Yahoo&#8217;s interest in the acquisition</a> of the Hulu premium online video service.</p>
<p>Bartz winks verbally and says nothing, which translates into: Of course, it is interested.</p>
<p>More on the reasons for the display fall-off, which Bartz makes clear is not due to big competitive threats, but internal issues. </p>
<p>Maybe she&#8217;s saving big competitive threats as the reason for a revenue decline in the third quarter!</p>

<p>I look forward to the quarter I get the finger pointed at me for causing revenue to fall, due to my snarky posts. </p>
<p>Now, we are into softball questions about improvements in engagement. It&#8217;s up, but no one asks why Yahoo is still not doing anything very cutting edge in product innovation compared to competitors.</p>
<p>I believe Google has <a href="http://allthingsd.com/20110715/by-the-numbers-google-the-biggest-social-network-launch-ever/">launched at least 14 new social networks</a> since this Sunday, along with its <a href="http://allthingsd.com/20110714/google-beats-q2-expectations/">strong quarterly performance</a> last week. And Apple, well, <a href="http://allthingsd.com/20110719/monster-earnings-from-apple/">blew away its quarter today</a> as it is about to <a href="http://allthingsd.com/20110714/new-macbook-airs-coming-next-week-not-this-week/">release more cool new stuff</a> later this week.</p>
<p>And that might be the crux of the issue for Yahoo, which might not solve its woes by throwing a more focused sales army at the issue.</p>
<p>That&#8217;s because Yahoo&#8217;s products are simply not nearly has social as Facebook or even Google right now, which might be the true problem as old customers move on to new advertising solutions.</p>
<p>Whatever the reason, Yahoo clearly needs a refresh of its ad products and how it sells them, especially in its fast-growing mobile, video and communications products.</p>
<p>Bartz talks about getting better expertise, a tighter regional focus and other issues of going to market, which is perhaps something she might have realized many, many quarters ago. </p>
<p>After all, she&#8217;s been in charge for a while, and these issues are not new. </p>

<p>In fact, in an earlier quarter, Bartz was <a href="http://allthingsd.com/20110420/yahoos-focuses-on-tentpole-events-with-new-head/">stressing &#8220;tentpole&#8221; events</a> and anchor media properties and the power of the size of Yahoo as a selling point. </p>
<p>This <a href="http://allthingsd.com/20110419/yahoos-first-quarter-earnings-the-revenue-drought-continues-due-to-search-fall-off/">was in April</a>, in fact, in the <a href="http://allthingsd.com/20110419/liveblogging-yahoos-1q-earnings-call-get-me-to-funky-town/">first quarter of this year</a>.</p>
<p>As I wrote then: </p>
<p>&#8220;CEO Carol Bartz excited was the Silicon Valley Internet giant&#8217;s traffic gusher for big tentpole events such as the Super Bowl and the Oscars. In fact, Bartz practically sounded like a gushy &#8220;Entertainment Tonight&#8221; flunky when talking to Wall Street analysts about Yahoo&#8217;s Oscar news, games and other offerings. She proudly noted the site&#8217;s efforts generated more than a billion pages views.&#8221;</p>
<p>Now big is out! <em>Moving on!</em></p>
<p>The last question is another about Yahoo&#8217;s talks with its Asian partners.</p>
<p>&#8220;It&#8217;s complex,&#8221; says Bartz.</p>

<p>That is, until the phone-hacking scandal in Britain &#8212; with the News Corp.-owned tabloid News of the World&#8217;s editors, reporters and managers accused of serious misconduct &#8212; got really going in recent weeks.</p>
<p>The issue about the out-of-control press has put the well-spoken Grant, a victim of the hacking, at the center of the action and he&#8217;s doing a laudable job as both an indignant and also reasonable voice. </p>

<p>But in this case, instead of U.S. celebs and pols, those blogs will come from famous British luminaries, including former Prime Minister Tony Blair; Sarah Brown, wife of another former PM, Gordon Brown; and entertainers Ricky Gervais and Tracey Ullman.</p>
<p>The Huffington Post apparently already attracts a monthly audience in excess of 1.2 million in the U.K.</p>
<p>AOL &#8212; which bought the high-profile news and opinion site for $315 million &#8212; has given its content head, Arianna Huffington, a lot of backing and also funding for expansion, including globally. </p>
<p>Other international Huffington Post sites are likely to roll out soon.</p>

<p>The idea, they say, is to use cloud computing to monitor and analyze power use at British homes and businesses, as part of an overall plan to reduce the country&#8217;s energy use and therefore its carbon footprint.</p>
<p>Several existing wireless players have tossed their hats in the ring to build smart meter systems, including BT, Telefonica and Vodafone. They all want a piece of a big UK government contract that could be worth as much as $14 billion to install smart meters in every home by 2020 as part of a wider plan to reduce its carbon emissions by 80 percent by the year 2050.</p>
<p>IBM and C&#038;W say their plan, which they call the UK Smart Energy Cloud, will gather data many times a day from smart meters around the country and store it in a cloud hosted in the UK. The data would then go to power utilities for analysis, to make sure customers are billed according to their usage.</p>
<p>IBM is also involved in a nationwide <a href="http://www-03.ibm.com/press/us/en/pressrelease/26596.wss">smart grid project in Malta </a> and has a hand in a <a href="http://www-01.ibm.com/software/success/cssdb.nsf/CS/CSDY-78WUDJ?OpenDocument&#038;Site=gicss67eu&#038;cty=en_us">pilot project in Denmark</a>. C&#038;W has more than 1,000 network sites, and many, it says, are located at electrical substations. IBM and C&#038;W would essentially become a middle man, saving UK power retailers from having to make huge investments in computing and communications infrastructure.</p>

<p>The Lord Chief Justice of England and Wales, the splendidly named Lord Judge, [Monday] issued guidance on “The use of live text-based forms of communication (including Twitter) from court for the purposes of fair and accurate reporting”.</p>
<p>Unfortunately for him, @judge has already gone.</p>
<p>What the title lacks in snappiness, it makes up for in its potentially revolutionary impact.</p>

<p>Interest from the two software giants would seem a plausible explanation for the peculiar circumstances around Autonomy&#8217;s on-again, off-again talks about making an acquisition.</p>
<p>In April it said it would sell convertible bonds to raise money&#8211;nearly $800 million&#8211;to fund an acquisition, though it never named a target.</p>
<p>Then suddenly last month the company said the deal it had been working on was being put off because of another unspecified opportunity, which promptly sent its stock reeling. Autonomy shares, which trade on London&#8217;s FTSE, are down 27 percent from their 52-week high. It could be that whatever deal the company was working on was put on the back burner following unexpected overtures from Larry Ellison and Steve Ballmer.</p>
<p>Autonomy specializes in what it calls Meaning Based Computing. Its software is designed to recognize the relationships between structured data&#8211;what you find in an organized database&#8211;and unstructured data&#8211;which can be anything from words in a written document, a speech or conversation, or anything else that has information that isn&#8217;t organized into rows and columns. Its customers run the gamut from businesses such as FedEx, the NYSE, Louis Vuitton and Goodyear to tech firms like Adobe and Cisco Systems.</p>
<p>On its face this rumor is interesting because now that the battle to roll up the data storage firms is largely resolved following <a href="http://newenterprise.allthingsd.com/20101213/dell-to-acquire-compellent/">Dell&#8217;s acquisition of Compellent</a>, one of the next dealmaking battle fronts for the large IT vendors is going to be software that makes managing data in all its various forms easier, more powerful and less costly.</p>
<p>Autonomy certainly fits that bill, and at market valuation in the $7 billion neighborhood, both Oracle and Microsoft could get it done.</p>
<p>However, the cynic in me wonders if this is just a deliberate rumor intended to goose Autonomy&#8217;s flagging stock price. If that&#8217;s the case, <a href="http://online.wsj.com/quotes/main.html?symbol=AU.&#038;type=lse&#038;mod=DNH_S">it appears to have worked</a>.</p>

That in itself is rare enough an occurrence that when it happens, it usually makes news.</p>
<p>However, when it first happened, many assumed that Anonymous&#8211;the loose affiliation of digital troublemakers who last week overwhelmed the Web sites of <a href=http://online.wsj.com/article/SB10001424052748703493504576007182352309942.html?mod=WSJ_Tech_LEFTTopNews>Mastercard and Visa</a>&#8211;was making trouble again. Not so. <a href="http://www.bloomberg.com/news/2010-12-13/amazon-denies-hacker-attack-caused-shutdown-of-european-sites.html">In a statement to Bloomberg News</a>, Amazon officially blamed the outage on the failure of some of its hardware at a facility in Dublin. Web monitoring service Netcraft has confirmed this by its own <a href=http://news.netcraft.com/archives/2010/12/12/amazon-goes-offline-in-europe.html>independent observations</a>.</p>
<p>Amazon had last week come into the <a href=http://newenterprise.allthingsd.com/20101204/paypal-to-wikileaks-youre-cut-off/>crosshairs</a> of WikiLeaks supporters for its <a href=http://newenterprise.allthingsd.com/20101202/amazon-cuts-off-wikileaks-joe-lieberman-claims-pointless-victory/>removal</a> of files related to the organization&#8217;s leaks of previously secret U.S. diplomatic cables.</p>
<p>And indeed Anonymous had planned to attack Amazon but realized the target was too big and <a href=http://news.netcraft.com/archives/2010/12/09/operation-payback-aborts-attack-against-amazon-com.html>switched to PayPal</a> instead.</p>

<p>The technology, known as &#8220;deep packet inspection,&#8221; is capable of reading and analyzing the &#8220;packets&#8221; of data traveling across the Internet. It can be far more powerful than &#8220;cookies&#8221; and other techniques commonly used to track people online because it can be used to monitor all online activity, not just Web browsing. Spy agencies use the technology for surveillance.</p>
<p>Now, two U.S. companies, Kindsight Inc. and Phorm Inc., are pitching deep packet inspection services as a way for Internet service providers to claim a share of the lucrative online ad market.</p>

<p>Now, three years after Google (GOOG) plunked down $1.6 billion for the video site, it seems to have figured out an approach that works for at least some big players: Hand over a chunk of the site to content creators, who get to control it, sell ads on it, program it with their stuff and share some of the ad dollars.</p>
<p>It&#8217;s a pretty straightforward compromise: YouTube gets some of the ad dollars that &#8220;premium&#8221; content&#8211;stuff you&#8217;d see on a TV screen, basically&#8211;can generate; content creators get access to the the gazillion eyeballs that the world&#8217;s biggest video site attracts. Examples: See the pacts that Sony (SNE), Disney (DIS), Time Warner&#8217;s (TWX) Turner, Warner Music Group (WMG) and Universal Music have hammered out in recent months.</p>
<p>And that sounds like the deal that YouTube and Britain&#8217;s <a href="http://www.channel4.com/">Channel 4</a> have reached. <a href="http://www.telegraph.co.uk/technology/google/6273942/YouTube-to-sign-landmark-content-deal-with-Channel-4.html">Telegraph</a>:</p>
<blockquote class="memo"><p>YouTube and Channel 4 have been in talks for at least the last six months and a contract is expected to be signed imminently. The Telegraph understands that Channel 4 has negotiated the right to sell its own advertising around its content on YouTube and share the revenue with the Google-owned site.</p>
<p>A senior television source close to Channel 4 said: &#8220;It was key for Channel 4 to be able to sell the advertising around its own inventory so it could extract maximum value from the deal and retain commercial control over its own property.</p>
<p>&#8220;When the Channel 4 content formally appears on YouTube, it will be branded exactly the same way as it is on the Channel 4 website. It will be a fully Channel 4 branded space and look as if someone has picked up 4 on Demand (Channel 4’s online catch up service) and put it on YouTube.&#8221;</p>
<p>&#8230;The partnership will be the first formal arrangement YouTube has agreed with a British broadcaster in which the majority of its content will be shown in full on the video-sharing site.</p></blockquote>
<p>No comment from YouTube. If the report doesn&#8217;t pan out, I&#8217;m assuming it won&#8217;t have any impact on anyone reading this in the U.S.: The Web is worldwide, but these content deals tend to be specific to various territories, which means you won&#8217;t be able to watch British programming from the States. Fair enough: My non-U.S. readers always gripe about not being able to watch Hulu clips.</p>
