<p>According to sources close to the situation, the search for a new CEO for Yahoo is closing in on key candidates.</p>
<p>But, said sources, it appears to be coming down to a contest between interim Yahoo CEO Ross Levinsohn and Hulu CEO Jason Kilar.</p>
<p>&#8220;It&#8217;s pretty much a choice between picking a media exec or a product exec,&#8221; said one person, referring to Kilar and Levinsohn respectively, about leading the troubled Silicon Valley Internet giant. &#8220;It&#8217;s about defining what Yahoo is going to be.&#8221;</p>
<p>Jim Citrin of Spencer Stuart is conducting the search. </p>
<p>At this point, said sources, it appears to still be a situation that is Levinsohn&#8217;s to lose. Along with having been at Yahoo for several years, the media-savvy exec has also recently scored points with the hiring of a new and very well-regarded sales chief, <a href="http://allthingsd.com/20120618/its-official-michael-barrett-talks-about-new-job-as-yahoo-ad-czar/">Michael Barrett</a>.</p>
<p>In addition, some Yahoo board members feel that adding yet another new CEO into the mix from outside could further destabilize a company that has gone through the leadership wringer over the last year.</p>
<p>That has included the ousting of two CEOs since last fall &#8212; Carol Bartz and Scott Thompson &#8212; in less than ideal circumstances that has called into question the competence of its board.</p>
<p>Actually, more precisely, its <em>incompetence</em>.</p>
<p>The newly formed board of Yahoo &#8212; most of the directors responsible for recent snafus have departed &#8212; is now very wary of making another such mistake, which is apparently why it did not name Levinsohn immediately.</p>
<p>&#8220;This has to be seen as a process that really is not slapdash,&#8221; said another source. &#8220;Yahoo can&#8217;t afford to make another mistake.&#8221;</p>
<p>No, it cannot. </p>
<p>But in keeping Levinsohn hanging, some inside the company feel the board is doing just that.</p>
<p>&#8220;The employees at Yahoo cannot take yet another all-hands meeting where we meet another CEO and hear another new vision for the company,&#8221; said one longtime staffer. &#8220;It&#8217;s hard to imagine that again without becoming nauseous.&#8221;</p>
<p>Still, Kilar is a favorite choice of some Yahoo board members; he is now out-of-contract with Hulu and is reportedly in the middle of negotiating his exit there.</p>
<p>&#8220;Jason is a free agent,&#8221; said a source close to the situation at the premium video service, which includes News Corp. (which owns this Web site) and Disney, as well as Comcast. &#8220;And he is looking for this next thing.&#8221;</p>
<p>He should, since tensions between Kilar and his major media partners/owners remain high and his departure seems imminent.</p>
<p>Whether taking on the huge task of fixing what ails Yahoo is that is unclear; some expect Kilar to favor moving on to a start-up.</p>
<p>One other issue: Neither Levinsohn nor Kilar has ever run a public company, although both have worked for them.</p>
<p>Other candidates Yahoo has spoken to are part of a list it has gone to several times before. </p>
<p>They include News Corp. digital exec &#8212; and longtime Levinsohn friend and business partner &#8212; Jon Miller, who has definitively declined to be considered due to his relationship with Levinsohn; former Yahoo exec Dan Rosensweig, who is now CEO of Chegg and who has declined several overtures; and former aQuantive CEO Brian McAndrews, whom sources said is also not interested in the job.</p>
<p>Other possible execs &#8212; none of whom appear to have bitten the Yahoo line either &#8212; include former Microsoft CFO Chris Liddell and former DoubleClick CEO David Rosenblatt.</p>
<p>There appear to be no women candidates among those in the talent search. (<em>What a shockeroo!</em>)</p>
<p>It will be interesting to see if the usually lugubrious Yahoo board will act before the annual meeting, which is in one week. The choice certainly cannot drag on, though.</p>
<p>&#8220;Yahoo needs to move forward with <em>someone</em>,&#8221; said another source.</p>

<p>The Bay Area start-up has already <a href="http://allthingsd.com/20110719/gigwalk-signs-up-microsoft-to-provide-thousands-of-paid-tasks-for-iphone-carrying-entreprenuers/">signed up a number of big-name firms</a>, including Microsoft, that saw the service as a way to get workers to perform large numbers of small tasks. In roughly a year, Gigwalk says, 130,000 people have done more than 180,000 jobs across all 50 states.</p>
<p>Now the company is expanding its software to allow businesses to better communicate with mobile workers, whether they are found through the iPhone or its own employees.</p>
<p>Its latest software allows workers to ask questions and lets companies check in on employees, while also serving up new tools for entering data. Gigwalk&#8217;s business model remains the same &#8212; charging a double-digit percentage fee for the value of the work parceled out through its service.</p>
<p>With its recent moves, CEO Ariel Seidman said, Gigwalk is moving even further into the enterprise space, further distinguishing it from services like TaskRabbit and Zaarly, which are aimed more at individuals and small business.</p>
<p>&#8220;You are seeing some separation here,&#8221; Seidman said in an interview.</p>
<p>Gigwalk remains a tiny company of just 14 workers, though it is in the process of moving from its spot in Mountain View to a new spot in San Francisco.</p>

				<content:encoded><![CDATA[<p>Nice timing. As Apple gears up for tomorrow&#8217;s event focused on digital textbooks, Chegg reminds us that there are plenty of folks who are already chasing the same market.</p>
<p><a href="http://www.chegg.com/">Chegg</a>, which sells and rents physical and digital textbooks, is rolling out a souped-up version of its digital textbook reader, which is browser-based and built using HTML5. That means it should play nicely with Apple&#8217;s iPad in particular, but also Google Android tablets, Amazon&#8217;s Kindle Fire or any other device, mobile or not, as long as they&#8217;re plugged into an active Web connection.</p>
<p>The new reader also integrates features from <a href="http://allthingsd.com/20101208/exclusive-chegg-buys-cramster/">some</a> of the <a href="http://allthingsd.com/20110915/chegg-buys-zinch-in-another-move-toward-a-social-education-platform/">companies</a> Chegg has been <a href="http://allthingsd.com/20110819/college-one-stop-shop-chegg-buys-web-tutoring-service/">snapping up</a> in the past few years, like a Q&#038;A service that will come bundled with each text. This video should show off some bells and whistles:</p>

<p>Chegg&#8217;s news underscores the fact that Apple&#8217;s entry into the market hasn&#8217;t been held up by technical issues. And it&#8217;s not that the big textbook players refuse to publish their books in digital form: Kno is also publishing digital texts from the big guys. So is Amazon. And Barnes &#038; Noble. Etc.</p>
<p>But big publishers aren&#8217;t in any hurry to fundamentally disrupt their existing businesses. Which is why their digital books look a whole lot like their print books, except that the digital books are priced below their print counterparts, to account for the fact that they can&#8217;t be resold.</p>
<p>And even if the publishers did want to reboot, there are ossified bureaucracies throughout the education system that make it nearly impossible to quickly adopt new technologies, let alone new texts. Digital textbooks may be inevitable, but that doesn&#8217;t mean they have to get here overnight.</p>
<p>So if Apple&#8217;s big news Thursday is that it&#8217;s rolling out tools to let people create their own textbooks, <a href="http://arstechnica.com/apple/news/2012/01/apple-to-announce-tools-platform-to-digitally-destroy-textbook-publishing.ars">GarageBand-style</a>, then that may look like an end run &#8212; an effort to restart the business by bypassing lots of entrenched players. But I&#8217;d like to wait and see who Eddy Cue brings up onstage Thursday before I&#8217;m convinced of that.</p>

<p>One of Yahoo&#8217;s biggest problems &#8212; brain drain &#8212; has turned out to be an asset for private equity firms and other players interested in figuring out their best moves related to the Silicon Valley Internet giant.</p>
<p>A plethora of ex-Yahoos, including many former top execs, are getting buttonholed by those who want to know more about the inner workings of the company that might not be obvious from its copious financial data available publicly.</p>
<p>That includes former Americas head Hilary Schneider, who has a longer-term consulting gig with TPG Capital, one of the several PE firms that has recently signed a non-disclosure agreement with Yahoo; former COO and President Sue Decker, who has had a longtime informal relationship with Blackstone, which has not signed the NDA and has been in talks with Yahoo&#8217;s Asian partners, China&#8217;s Alibaba Group and Japan&#8217;s SoftBank; and even former CEO Carol Bartz, who sources say has also been contacted to get her insights.</p>
<p>She is one of many in that regard, in a large pool of former Yahoos, such as: LinkedIn CEO Jeff Weiner, who had run Yahoo&#8217;s media efforts; Chegg CEO Dan Rosensweig, former Yahoo COO; SurveyMonkey CEO Dave Goldberg, who ran swathes of Yahoo&#8217;s entertainment properties; Criteo CEO Greg Coleman, former Yahoo sales head; former CEO Terry Semel, who is now an investor; former communications exec Brad Garlinghouse, who is now at AOL; and Demand Media Chief Revenue Officer Joanne Bradford, who also was a top Yahoo advertising exec.</p>
<p>Not all are cooperating with the requests for a chitchat about Yahoo, but there is much incoming interest in ex-Yahoos and what they might know.</p>
<p>There&#8217;s lots more where that came from, from all parts and all levels of Yahoo, given the breadth of the exes now doing very well &#8212; <em>thank you very much</em> &#8212; throughout the tech and media industries. </p>
<p>Thus, calls from PE firms, from Silver Lake to Bain Capital to Providence Equity Partners, as well as interest from major and majorly irritated shareholders, such as activist hedge fund investor Dan Loeb.</p>
<p>It&#8217;s a smart idea to tap this rich vein of information, as all contemplate possible multi-billion-dollar investments.</p>
<p>While some of these execs have not worked at Yahoo in many years, all have significant knowledge about the challenges and also the culture that cannot be gleaned from spreadsheets.</p>
<p>They also know a lot about the internal politics and personalities of the existing inside players, too. More importantly, several were involved in similar previous major business decisions at Yahoo.</p>
<p>Decker, for example, was a key exec in the Yahoo takeover attempt by Microsoft several years ago; Schneider and Bartz were deeply involved in striking the advertising and search partnership with Microsoft.</p>
<p>&#8220;Between everyone, it&#8217;s a good way to figure out where all the bodies are buried,&#8221; said one person close to the situation. &#8220;And there are <em>a lot</em> of bodies.&#8221;</p>

<p>According to sources close to the situation, Yahoo has hired Heidrick &#038; Struggles for its CEO search.</p>
<p>It will be a dicey job, since the effort is on a separate track than the Silicon Valley Internet giant&#8217;s wide-ranging strategic review, which is looking at a range of options including the sale of the company.</p>
<p>That&#8217;s why many see the move as window-dressing for Yahoo&#8217;s board, rather than any real interest in hiring a new leader.</p>
<p>Sources said that will make the search a difficult one for Yahoo, since any CEO candidate would be coming into a very volatile situation. In addition, Yahoo has been struggling &#8212; Struggles, struggling, <em>get it</em>? &#8212; to recharge its advertising and search business and also its product innovation cycle.</p>
<p>That&#8217;s the reason &#8212; among several others &#8212; that the board of Yahoo suddenly <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">fired its former CEO Carol Bartz</a> last month.</p>
<p>Heidrick has worked for Yahoo previously, in the now ill-conceived placement of Bartz by partner John Thompson. A different partner will be handling this assignment, sources said.</p>
<p>The <a href="http://allthingsd.com/20110907/yahoos-next-ceo-maybe-snoop-dogg-ya-digg/">pool of possible CEOs to lead Yahoo</a> is not a large one, but could includes execs such as Juniper Networks CEO Kevin Johnson, Chegg CEO Dan Rosensweig, Skype CEO Tony Bates, John Pleasants of Disney&#8217;s Playdom, Hulu CEO Jason Kilar, Facebook COO Sheryl Sandberg and any number of top Google execs, as well as Yahoo board member and Akamai President David Kenny. </p>

<p>A Yahoo spokeswoman declined to comment.</p>

<p>Chegg &#8212; best known for online rentals of textbooks to college students &#8212; said it has just bought Zinch, a start-up that links high school students and college recruiters.</p>
<p>Terms of the deal were not disclosed.</p>
<p>The purchase of the San Francisco-based Zinch, said CEO Dan Rosensweig in an interview earlier this week, is part of a larger plan involving a series of acquisitions aimed at &#8220;how we move from two-day relevance to relevance all year around for students.&#8221;</p>
<p>By that, he meant the short time period when students either buy or rent their textbooks for the semester.</p>
<p>That&#8217;s certainly been a good business for Chegg, which is the leader in the online textbook-rental arena, including digital distribution.</p>
<p>But to further solidify its relationship with students and expand its market base to include high schoolers along with college consumers, Chegg has picked up a number of start-ups like Zinch, using its stock and also the whopping $220 million in funding from a number of venture firms, including Kleiner Perkins.</p>
<p>In late September, for example, the <a href="http://kara.allthingsd.com/20100926/exclusive-chegg-raises-75-million-in-additional-funding-from-asias-ace/">company bought CourseRank</a>, which helps students share course schedules, take classes with friends, and read and write reviews on classes and professors, as well as find out how they grade.</p>
<p>Also scooped up by Chegg: Notehall, which is a student-to-student note-taking trading market; <a href="http://allthingsd.com/20101208/exclusive-chegg-buys-cramster/">Cramster</a>, a social homework helper; and Student of Fortune, a homework-answers site for student questions (which a recent filing by Chegg noted was bought for $5.9 million in stock).</p>
<p>Also being tested are such offerings as deals for students and other ways to leverage the original textbook relationship.</p>
<p>&#8220;This is the beginning of a connected student network that we hope to build into a giant platform,&#8221; said Rosensweig. &#8220;We want to have a student using us all the way through for a 10-year span, from high school on.&#8221;</p>
<p>In related news, Chegg said it has hired former Palm CFO Andrew Brown as its new CFO. Prior to Palm, he served as the CFO of Pillar Data Systems Inc., a storage start-up funded by Oracle&#8217;s Larry Ellison. </p>
<p>While a CFO hiring often indicates a soon-to-happen IPO, Rosensweig said that Chegg has more than enough capital, needs to focus on building up its offerings and is in no rush to go public.</p>

<p>The firing of Yahoo CEO Carol Bartz leaves open one of the bigger and more difficult jobs in tech &#8212; one that has taken its toll on many.</p>
<p>Nonetheless, rapper Snoop Dogg stepped right up to the Twitter plate yesterday, as soon as news broke of the ouster.</p>

<p>Thus, while the Yahoo board has yet to begin a search, I have already been hard at work on selecting the next CEO. </p>
<p>(Last time, the company took <a href="http://allthingsd.com/20081118/yahoos-peter-chernin-principle-and-other-ceo-choices/">none of my suggestions</a>, but after the most recent result, the directors might want to pay mind!)</p>
<p>Sources said Yahoo is looking for an experienced Internet type, either from inside or outside the company.</p>
<p>&#8220;Yahoo has put its flag in the ground as a digital media company with a technology base,&#8221; said one source. &#8220;The job requires big buckets of expertise and needs someone who will grow the company.&#8221;</p>

Both Yahoo and I had <a href="http://allthingsd.com/20101117/enter-the-chernin-former-news-corp-president-and-coo-in-yahoo-what-if-mix/">picked him</a> when co-founder Jerry Yang stepped down as CEO almost three years ago, and he had declined the offer. This time, perhaps a big chunk of the company and total autonomy would work, even if making a hit like &#8220;Rise of the Planet of the Apes&#8221; is more fun.</p>

<p><strong>Sheryl Sandberg:</strong> The COO of Facebook is sort of the anti-Bartz, with a smooth and efficient persona, and she is an experienced tech exec. But the former Google exec is at a place of growth at the social networking site, and is unlikely to want to leave the big show, especially since a blockbuster IPO is looming.</p>

<p>Memo to Yahoo board: I have a million more ideas, from former Viacom exec Tom Freston to former Yahoo board member Eric Hippeau. Or why not bring back a passel of former Yahoos to advise, such as former CEO Terry Semel or former president Sue Decker?</p>
<p>Or Oprah! I hear Winfrey will be in Silicon Valley later this week, and she has a lot more free time now. </p>

<p>Amazon will let students (or anyone) buy textbooks at a steep discount to their print list prices, and will charge them based on the amount of time they plan to hang on to the book.</p>
<p>The bookseller says it will generally require a minimum rental period of 30 days, and it will allow students to extend that period at their discretion. Renters will continue to be able to access notes and highlights they&#8217;ve made in their texts even after they&#8217;ve &#8220;returned&#8221; the books.</p>
<p>The only surprise here is that it took Amazon this long to get into the business. It introduced the Kindle in the fall of 2007, and since then a flood of start-ups, like Chegg, Kno and Inkling, have targeted the market. Barnes and Noble already has its own <a href="http://www.barnesandnoble.com/u/etextbooks-digital-textbooks/379002516/?r=1&amp;utm_source=google&amp;cds2Pid=36196&amp;utm_campaign=Textbooks%20-%20Departments&amp;cm_mmc=Google-_-Textbooks%20-%20Departments-_-Textbooks%20-%20eTextbooks-_-E%20Book%20Textbook&amp;cm_mmca1=25244939-e023-97a9-53c7-000025b72996&amp;utm_medium=cpc&amp;utm_term=e+book+textbook">e-textbook store</a>.</p>
<p>But while <a href="http://allthingsd.com/20090506/live-amazon-unveils-kindle-30/">Amazon introduced the high-end Kindle DX</a>, aimed at the <a href="http://allthingsd.com/20090507/how-to-afford-a-kindle-dx-wait-three-years-stay-away-from-beer/">college market</a>, in 2009, it has <a href="http://allthingsd.com/20100701/amazons-big-expensive-kindle-dx-you-didnt-buy-now-cheaper-blacker/">yet to make much headway</a> there.</p>

<p>According to sources close to the situation, Intel Capital and Advance Publications will lead a $30 million investment round in Kno, the high-profile student tablet start-up.</p>
<p>In addition to the funding from its venture capital arm, Intel itself will consult with Kno on its tablet design. Kno, which is getting out of the hardware business, will now focus on its software to manage the devices that are aimed at the college market.</p>
<p>Intel will not manufacture tablets either. Instead, its engineers will consult with Kno on power management, graphics, display, systems integration, which it does for a variety of its customers.</p>
<p>Along with Intel Capital and Advance, current investors will also participate in the round, said sources. But Intel Capital and Advance, the owner of the Condé Nast publishing empire, make up a big part of the funding.</p>
<p>Sources said Intel Capital&#8217;s investment is $20 million and Advance and others make up the rest of it.</p>
<p>BoomTown <a href="http://kara.allthingsd.com/20110221/exclusive-kno-student-tablet-start-up-in-talks-to-sell-off-tablet-part-of-business">reported in February</a> that the much-funded and high-profile Silicon Valley start-up&#8211;aimed at making tablet computers focused at students&#8211;was considering selling off the entire hardware part of the business.</p>
<p>Sources said Kno execs have recently decided that the quicker-than-expected uptake in tablet production by a multitude of powerful device makers had made its efforts to package a seamless offering less critical.</p>
<p>Instead, the company will now focus on its robust software and services to offer students on the Apple iPad, as well as upcoming tablets based on Google&#8217;s Android mobile operating system and others.</p>
<p>The move is a dramatic shift for the company, which had not shipped significant numbers of the touchscreen device as it has long touted.</p>
<p>In fact, Kno <a href="http://kara.allthingsd.com/20101108/kno-prices-its-student-tablets-at-599-and-899-to-ship-by-end-of-the-year">said in November</a> that it would ship a $599 and $899 version of the tablet by the end of the year.</p>
<p>The lower price was for its single-screen device, while the clamshell double-screen version was more expensive.</p>
<p>And, although it has been reported no pre-orders were fulfilled, Kno did indeed ship several hundred of them, built by China&#8217;s Foxconn, before stopping doing so earlier this year.</p>
<p>Many have been dubious about Kno&#8217;s ambitious hardware efforts.</p>
<p>That&#8217;s because marketing a new and complex product like the Kno takes a lot of effort and cash, especially since it is an increasingly competitive market for mobile and portable computing products that includes Apple, Microsoft, Hewlett-Packard, Google, Amazon, Dell and many others.</p>
<p>Before this $30 million, Kno has <a href="http://kara.allthingsd.com/20100908/heres-what-vcs-get-for-46-million-the-kno-tablet-d8-demo/">raised another $46 million in funding</a> to add to an earlier $10 million round.</p>
<p>Sources in February said that the Santa Clara, Calif.-based company considering going <a href="http://kara.allthingsd.com/20101027/kno-hires-fancy-cfo-as-it-preps-tablet-launch-and-possible-new-funding-search">back out to raise even more</a>.</p>
<p>Its current backers include prominent venture players like Andreessen Horowitz and First Round Capital, along with angel investors Mike Maples and Ron Conway.</p>
<p>Sources said the shift to deliver textbook and other student-related delivery system would be a better path for all that investment money, since Kno has established a wide range of partnerships with colleges and universities.</p>
<p>In addition, Kno co-founder <a href="http://voices.allthingsd.com/20100923/the-time-is-now-for-digital-textbooks">Osman Rashid has a lot of experience in digital education market</a>. He was also the co-founder of Chegg, the textbook rental business that is <a href="http://kara.allthingsd.com/20110201/holding-out-for-a-hero-the-next-web-ipos-might-surprise-you/">reportedly aiming for an IPO</a> soon.</p>
<p><a href="http://www.businessweek.com/news/2011-04-07/intel-said-to-lead-30-million-funding-of-education-startup-kno.html">BusinessWeek</a> was first to report that Intel Capital was making the investment in Kno, but the post did not mention Advance&#8217;s involvement or that Intel itself was licensing the hardware design business from Kno.</p>

<p>Kno&#8211;the much-funded and high-profile Silicon Valley start-up aimed at making tablet computers focused at students&#8211;is considering selling off the entire hardware part of the business and is in talks with two major consumer electronics manufacturers to do so, according to sources close to the situation.</p>
<p>Sources said Kno execs have recently decided that the quicker-than-expected uptake in tablet production by a multitude of powerful device makers had made its efforts to package a seamless offering less critical.</p>
<p>Instead, the company will focus on its robust software and services to offer students on the Apple iPad, as well as upcoming tablets based on Google&#8217;s Android mobile operating system and others.</p>
<p>BoomTown could not determine which two companies Kno was in serious discussions with about unloading its hardware business, but the company has signed an NDA with one of them.</p>
<p>But, if a deal is struck, the move would be a dramatic shift for the company, which has yet to ship significant numbers of the student-focused touchscreen device as it has long touted.</p>
<p>In fact, Kno <a href="http://kara.allthingsd.com/20101108/kno-prices-its-student-tablets-at-599-and-899-to-ship-by-end-of-the-year">said in November</a> that it would ship a $599 and $899 version of the tablet by the end of the year.</p>
<p>The lower price was for its single-screen device, while the clamshell double-screen version was more expensive.</p>

				<content:encoded><![CDATA[<p>Silicon Valley&#8217;s top venture capital firms pride themselves on finding future hits before anyone else. That&#8217;s how they get the best returns, have the most influence and build their brands.</p>
<p>But the current market tempts VCs to change the game plan by buying shares of late-stage Web companies wherever they can find them&#8211;from start-ups directly or from employees and previous investors.</p>
<p>VCs didn&#8217;t start the fire; folks like Yuri Milner from Digital Sky Technologies (Facebook, Zynga, Groupon) and private company marketplaces that help stave off IPOs, like SecondMarket and SharesPost, did.</p>
<p>But these new Web giants&#8217; valuations just keep going up. Think Facebook&#8217;s valuation was <a href="http://networkeffect.allthingsd.com/20110102/by-the-numbers-goldman-sachs-buddies-up-with-facebook/">bloated at $50 billion</a>? After seeing huge demand at that price, a month later, the company is <a href="http://kara.allthingsd.com/20110210/exclusive-facebook-exploring-tender-offer-for-1-billion-of-employee-shares-at-60-billion-valuation/">exploring selling employee shares</a> at a $60 billion valuation.</p>
<p>Watching those numbers rise so quickly makes VCs lose their hang-ups about price and just want to get in on the hotness.</p>
<p>Kleiner Perkins is reportedly buying $38 million worth of Facebook shares from existing shareholders at a $52 billion valuation, <a href="https://www.fis.dowjones.com/WebBlogs.aspx?aid=DJFVW00020110214e72e0005l&#038;ProductIDFromApplication=&#038;r=wsjblog&#038;s=djfvw">according to VentureWire</a>. Meanwhile, <a href="http://kara.allthingsd.com/20110209/exclusive-andreessen-horowitz-invests-80-million-in-twitter/">Andreessen Horowitz bought $80 million worth of Twitter shares</a> on the secondary market, after not participating in the company&#8217;s recent <a href="http://kara.allthingsd.com/20101215/exclusive-twitter-raises-200-million-at-3-7-billion-valuation-adds-mccue-and-rosenblatt-to-board/">$200 million funding round</a>, led by Kleiner Perkins.</p>
<p>Both those firms, along with Battery Ventures and Greylock Partners, also <a href="http://emoney.allthingsd.com/20110110/groupon-closes-out-nearly-billion-dollar-round/">invested in Groupon&#8217;s last huge round</a>, after the daily deal site <a href="http://kara.allthingsd.com/20101203/breaking-groupongoogle-talks-end/">walked away from talks of a $6 billion buyout by Google</a>.</p>

<p>It&#8217;s not just the big names doing such deals. Venture capitalists were the buyers in more than 40 percent of transactions on SecondMarket in the <a href="http://www.secondmarket.com/pdf/documents/secondmarket-q4-2010-pcm-report.pdf">fourth quarter of 2011</a>.</p>
<p>VC activity easily outpaced other buyers, which were individuals, hedge funds, mutual funds, secondary funds and asset managers.</p>
<p>According to SecondMarket Head of Public Affairs Mark Murphy, VCs representing the largest percentage of buyers is a recent trend that started in the third quarter of 2010.</p>
<p>This comes at a time when <a href="http://nvcatoday.nvca.org/index.php/the-latest-industry-data/venture-capital-fundraising-declines-further-in-2010.html">raising money for a VC firm is tougher than ever</a>.</p>
<p>What are VCs buying on SecondMarket? Facebook accounts for the single largest portion of transactions, at 39 percent. After that are LinkedIn, Etsy, Chegg, Epocrates, Silver Spring Networks, CafePress and Reply, and some other companies that declined to be named.</p>
<p>SecondMarket does not share pricing or volume stats or trends, except to say it sold $157.8 million worth of stock in the fourth quarter, up from $75 million in the third quarter.</p>
<p>Some VCs are steering clear of secondary markets and late-stage deals. Redpoint&#8217;s Geoff Yang was willing to go on the record about it in a <a href="http://networkeffect.allthingsd.com/20110201/redpoints-geoff-yang-prefers-early-stage-risk-to-late-stage-valuations-video/">recent interview</a>. “What do venture capitalists know about being a momentum hedge fund?” he said.</p>
<p>It&#8217;s not just proven hits big enough for the secondary markets that are attracting funding interest. Everyone is still eager to find the next Groupon or Zynga. The Q&#038;A site Quora, led by former Facebook CTO Adam D&#8217;Angelo, raised $11 million at a valuation of $86 million last year before it had even launched to the public. After success with early adopters, the start-up is now fending off offers of much <a href="http://gigaom.com/2011/01/28/so-how-much-is-quora-worth/">more money than that</a>.</p>
<p>So there&#8217;s pressure to either get in very early, or get in late if you can, because the time in between is fleeting.</p>
<p>VCs are also actively trying to get more involved in seed funding deals. For instance, Google Ventures recently set up its Startup Lab to attract early-stage companies where it charges them $5 per month for office space (<a href="http://networkeffect.allthingsd.com/20110212/google-ventures-sows-seed-funding-with-new-startup-lab-video-tour/">see our video tour</a>). <p>And probably not Groupon.</p>
<p>At least not <em>yet</em>, when it comes to the blockbuster Web IPOs that Wall Street and investors have been waiting for, and now expecting to roll out sooner than later in the wake of the return of the Web IPO in recent weeks.</p>
<p>Not so fast.</p>
<p>That&#8217;s what multiple sources with knowledge of the situation said when queried by BoomTown after the successful public outing by <a href="http://mediamemo.allthingsd.com/20110126/wall-street-welcomes-the-content-farm-demand-media-super-sizes-its-ipo/">Demand Media</a>, followed by <a href="http://kara.allthingsd.com/20110127/here-comes-another-web-ipo-linkedin-s-1-filing-imminent">LinkedIn&#8217;s</a> S-1 regulatory filing last week.</p>
<p>While these events spurred a great deal of speculation about which Web wunderkind would belly up to the public trough next, sources said that those looking for IPOs well above the $5 billion range will have to wait a little longer.</p>
<p>Because, while companies such as social networking giant Facebook, social buying phenom Groupon and social gaming&#8217;s Zynga have all been courted heavily by investment bankers such as Goldman Sachs, Morgan Stanley and others&#8211;all remain well-funded and willing to hold off opening their books for all to see until the last possible moment.</p>
<p>&#8220;There&#8217;s not a lot of reason to expose all kinds of information that is keeping these companies ahead too early,&#8221; said one person close to the situation. &#8220;In fact, once that much data is out there, you could argue that they lose a lot of their magic to investors.&#8221;</p>
<p>Some of that financial information is already out there, although in small bites, which has only been a taste for investors.</p>
<p>Full-scale sunlight will be different. While it can be cleansing, it can also be disappointing to those with too-high expectations of these companies.</p>
<p>Thus, expect to see more small IPOs&#8211;at least in comparison&#8211;from outfits such as Chegg, which has also been deep in talks with bankers for a while now.</p>
<p>Chegg, like LinkedIn, has been highly successful in a niche arena&#8211;in its case, online rentals of textbook to college students.</p>
<p>In the fall, the Silicon Valley company <a href="http://kara.allthingsd.com/20100926/exclusive-chegg-raises-75-million-in-additional-funding-from-asias-ace/">raised another $75 million</a> in funding, on top of a previous $144 million.</p>
<p>Venture firms, such as Kleiner Perkins, Foundation Capital, Insight Venture Partners and others have presumably handed over that money in hopes of big returns in disrupting a $10 billion college textbook business.</p>
<p>Chegg got its start in 2005 at Iowa State University as a classified rental service, where books were the dominant item, but evolved its business to focus on actually doing the textbook rentals.</p>
<p>Typically, a rental costs a fraction of what buying a book outright does. It is ordered online and then sent to a renter, who then returns it.</p>
<p>The company’s unusual name, Chegg, is a mashup of “chicken and egg,” and its model is similar to that of innovative video rental outfit Netflix.</p>
<p>And a Netflix-like business is what presumably may keep Wall Street investors interested&#8211;at least until the bigger fish arrive.</p>

Here are a few details.</p>
<p>With the offering, LinkedIn hopes to raise $175 million. The company reports revenue for the 2009 fiscal year of $120 million and a loss of about $4 million. And for the first nine months of 2010 it reported revenue of $161 million with a profit of $1.9 million, or about 4 cents a share. It may be profitable now, but it doesn&#8217;t expect to be profitable on a GAAP basis in 2011 because it expects its costs to increase. Leading the list of costs it expects to increase: Technology infrastructure.</p>
<p>As of Sept. 30 it was sitting on nearly $90 million in cash.</p>
<p>As BoomTown&#8217;s Kara Swisher<a href="http://kara.allthingsd.com/20110127/here-comes-another-web-ipo-linkedin-s-1-filing-imminent/"> reported earlier today, </a>the offering will be led by Morgan Stanley, with J.P. Morgan Securities, Allen &#038; Company and UBS Securities all part of the underwriting team. No mention of Goldman Sachs however, which is also an investor.</p>
<p>The Mountain View, Calif., company runs what it calls “the world’s largest professional network on the Web with some 90 million members in 200 countries and territories.” The filing reports a monthly average of 65 million unique visitors during the three-month period ended December 2010, nearly double the 36 million from the same period in 2009, and 5.5 billion page views during the same period, up from 2.8 billion in 2009.</p>
<p>LinkedIn&#8217;s had a head count of <del datetime="2011-01-27T22:00:06+00:00">1,000</del> 990 full-time employees as of Dec. 31. Of those, 524 were in engineering, product development and customer operations; 313 were in sales and marketing; and another 153 were classified as general and administrative.</p>
<p>Revenue for the first nine months of 2010 breaks down like this:</p>
<li>$65.9 million, or nearly 41 percent of sales, came from the Hiring Solutions segment</li>
<li>$51.4 million, or nearly 32 percent of sales, came from the Marketing Solutions segment</li>
<li>$44.1 million, or 27 percent of sales, came from premium subscriptions.</li>
<p>LinkedIn says that 27 percent of net revenue came from customers outside the U.S.</p>
<p>CEO Jeffrey Weiner made $462,297, including a base salary of $250,000 a year and a bonus of more than $211,000. He has options to purchase 3,521,237 shares at an exercise price of $2.32 per share, and blocks of these options vest on a monthly basis. So far, options on about 1.6 million shares, or about 45 percent of his total option grant, have vested.</p>
<p>CFO Steven Sordello made $342,507, with a base salary of $240,000 and a bonus of $101,306. He has options to buy about 295,000 shares in various blocks, with strike prices that range from 46 cents to $2.32 a share.</p>
<p>Founder and chairman Reid Hoffman owns more than 19 million pre-IPO shares, or a little more than 21 percent of the company. With valuation estimates for the company ranging from $2 billion to $3 billion, Hoffman&#8217;s stake would be worth somewhere between $428 million and $642 million.</p>
<p>Weiner owns 3.8 million shares, or about 4 percent, a stake worth between $82 million and $123 million. Among LinkedIn&#8217;s VC investors, Sequoia Capital has a little less than 17 million shares, or 19 percent, followed by Greylock Partners, with 14 million shares, or a little less than 16 percent. Bessemer Venture Partners has 4.6 million shares, or about 5 percent. They invested total venture funding of $103 million and collectively hold stakes worth between $796 million and $1.19 billion, depending on the valuation.</p>
<p>LinkedIn’s long-awaited entry into the public market is one that many expect will be followed by other Internet firms in the coming year, including Zynga, Chegg and, finally, Facebook. And news of the filing comes on the heels of yesterday&#8217;s IPO by Demand Media, a Web publisher based in Santa Monica, Calif., which <a href="http://mediamemo.allthingsd.com/20110126/wall-street-welcomes-the-content-farm-demand-media-super-sizes-its-ipo/">went public yesterday</a>, with an offering that valued the company at $1.5 billion. Another anticipated IPO, by Skype, looks like it will be delayed until <a href="http://voices.allthingsd.com/20110126/skype-wont-ipo-until-second-half-this-year/">later this year</a>.</p>
<p>Yet an IPO is only one of the various scenarios that could take place at LinkedIn. According to <a href="http://networkeffect.allthingsd.com/20110107/for-linkedin-first-comes-ipo-then-comes-marriage-to-google/">NetworkEffect&#8217;s Liz Gannes</a>, one scenario could be an acquisition by Google or Microsoft that takes place either right after filing of the S-1, or right after an IPO. Recent stock purchases have pegged the company at a valuation of about $2 billion, and an IPO would likely push it even higher.</p>

<p>Sources said LinkedIn is ready to submit an S-1 filing to the Securities and Exchange Commission, its first step in the IPO process, and that could happen after the markets close this afternoon.</p>
<p>The offering is likely to be led by Morgan Stanley, although Goldman Sachs is an investor in LinkedIn and could also be part of the underwriting team.</p>
<p>The Mountain View, Calif., company currently has what it describes as &#8220;the world&#8217;s largest professional network on the Internet with more than 90 million members in over 200 countries and territories.&#8221; It has 1,000 full-time employees.</p>
<p>LinkedIn&#8217;s entry into the public market is one that many expect will be followed by other Internet firms in the coming year, including Zynga, Chegg, Groupon, and, most anticipated of all, Facebook.</p>
<p>Demand Media, a Santa Monica, Calif., online publisher, went public yesterday, <a href="http://mediamemo.allthingsd.com/20110126/wall-street-welcomes-the-content-farm-demand-media-super-sizes-its-ipo/">with an offering that valued the content company</a> at $1.5 billion.</p>
<p>How much is LinkedIn worth? According to a <a href="http://networkeffect.allthingsd.com/20110107/for-linkedin-first-comes-ipo-then-comes-marriage-to-google"> NetworkEffect post</a>, &#8220;recent purchases of its stock have valued the company at more than $2 billion. Pushing the company toward the public markets would help set a price range up higher.&#8221;</p>
<p>LinkedIn was founded in the living room of co-founder and Chairman Reid Hoffman&#8211;who is also a well-known Silicon Valley entrepreneur and investor&#8211;in 2002 and launched in 2003. Its current CEO is former Yahoo exec Jeff Weiner.</p>
<p>Its investors include Sequoia Capital, Greylock Partners and several others, with a total venture funding of $103 million.</p>

<p>According to sources close to the situation, online textbook rental company Chegg has acquired Cramster, a social online homework help platform.</p>
<p>The Pasadena, Calif.-based <a href="http://www.cramster.com">Cramster</a> is the leading online study community, offering expert Q&#038;A help, study groups and practice tests and problems. College and high school students, teachers, professors, parents and other experts add information into the network on a large range of subjects.</p>
<p>It was founded in 2002 and now has one million members, using either a free or premium service.</p>
<p>The Cramster purchase is one in a series of start-up acquisitions that Chegg has been making of late, part of a strategy to be a central place for student needs.</p>
<p>In late September, the <a href="http://kara.allthingsd.com/20100926/exclusive-chegg-raises-75-million-in-additional-funding-from-asias-ace/">company bought CourseRank</a>, a Mountain View, Calif., start-up that helps students share course schedules, take classes with friends, and read and write reviews on classes and professors, as well as find out how professors grade.</p>
<p>To expand, Chegg has raised a whopping $220 million in funding from a number of venture firms, including Kleiner Perkins.</p>
<p>That’s because Chegg has become the front-runner in the increasingly competitive online textbook rental space, as it seeks to disrupt the $10 billion college textbook business.</p>

<p>Kno, the start-up that is creating a digital tablet for students, said it is also planning on releasing a single-screen version.</p>
<p>The company&#8211;which was started by the founder of Chegg, the online textbook rental service&#8211;had <a href="http://kara.allthingsd.com/20100802/full-d8-demo-video-kno">debuted a double-screen tablet</a> (pictured here) at the eighth <strong>D: All Things Digital</strong> conference in June.</p>
<p>The current clamshell device has a pair of touchscreens that open and shut like a book, and Kno will offer an online store linked to the tablet for the purchase of materials.</p>
<p>Some felt the double-screened device might be too cumbersome, given the plethora of tablets in a variety of sizes that are being planned and released soon, all influenced by the popular Apple (AAPL) iPad.</p>
<p>Kno said its single-screen tablet will be smaller and sold at a lower price point, but will be shipped at the same time as the original double-screen, by the end of the year.</p>
<p>The company will be announcing pricing and ship dates soon.</p>
<p>When it does, Kno will be headed right into a competitive and increasingly innovative tablet market that now also includes Amazon (AMZN), Samsung, Dell (DELL), Hewlett-Packard (HPQ) and Google (GOOG).</p>
<p>Kno is certainly girding for battle in this portable arena. It <a href="http://kara.allthingsd.com/20100908/heres-what-vcs-get-for-46-million-the-kno-tablet-d8-demo">nabbed an additional $46 million in venture funding</a> from a panoply of Silicon Valley bigs earlier this month.</p>
<p>The Santa Clara, Calif.-based Kno previously raised almost $10 million in funding from prominent venture players like Andreessen Horowitz and First Round Capital, along with investors Mike Maples and Ron Conway.</p>
<p>In addition, well-known techie Marc Andreessen is now on Kno&#8217;s board.</p>

<p>Chegg, the online textbook rental service, has raised another $75 million from Asia-based Ace Limited, according to sources.</p>
<p>Ace seems to be nonexistent on the Internet, although sources said it is a Hong Kong-based investment firm.</p>
<p>The round comes after a huge Series D investment in late 2009, which already brought Chegg&#8217;s funding to a whopping $144 million.</p>
<p>Venture firms, such as Kleiner Perkins, Foundation Capital, Insight Venture Partners and others have presumably handed over that money in hopes of big returns.</p>
<p>And, of course, the inevitable IPO for the Silicon Valley start-up.</p>
<p>That&#8217;s because Chegg has become the front-runner in the increasingly competitive online textbook rental space as it seeks to disrupt the $10 billion college textbook business.</p>
<p>Chegg got its start in 2005 at Iowa State University as a classified rental service, where books were the dominant item, but evolved its business to focus on actually doing the textbook rentals.</p>
<p>The company&#8217;s unusual name, Chegg, is a mashup of &#8220;chicken and egg,&#8221; and its model is similar to that of innovative video rental outfit Netflix (NFLX).</p>
<p>Chegg now serves close to 7,000 schools across the U.S., with 120 employees in Silicon Valley and more at a warehouse operation in Louisville, Ky.</p>
<p>Typically, a rental costs a fraction of what buying a book outright does. It is ordered online and then sent to a renter, who then returns it.</p>
<p>There is, of course, lots of competition.</p>
<p>The Barnes &amp; Noble (BKS) College division recently began testing a textbook rental program, for example, and is rolling it out to 25 U.S. colleges. And <a href="http://voices.allthingsd.com/20100305/almost-famous-mehdi-maghsoodnia-of-bookrenter">BookRenter</a> is a smaller rival.</p>
<p>In a bid to expand its offerings beyond books, Chegg recently acquired CourseRank, a Mountain View, Calif., start-up that helps students &#8220;share their course schedule, take classes with their friends, read and write reviews on classes and professors as well as find out how professors grade.&#8221;</p>

<p>In fact, Kno shares a co-founder with Chegg, the online textbook-rental service.</p>
<p>That would be Osman Rashid&#8211;and you can pretty much draw a straight line from Chegg to Kno.</p>
<p>But rather than focusing on making an old business better via the Web, as Chegg does, Kno will be headed right into the competitive tablet market that now includes Amazon (AMZN), Apple (AAPL), Samsung, Dell (DELL), Hewlett-Packard (HPQ) and, reportedly, Google (GOOG).</p>
<p>The Santa Clara, Calif.-based Kno has previously raised almost $10 million in funding from prominent venture players like Andreessen Horowitz and First Round Capital, along with investors Mike Maples and Ron Conway.</p>

<p>Earlier this week, BoomTown went down to Santa Clara, Calif. to the offices of Chegg, the online textbook rental leader, to pay a visit on longtime Silicon Valley exec Dan Rosensweig.</p>
<p>The voluble Rosensweig has had a series on interesting posts, from stints at CNET Networks and Ziff-Davis before a top job at Yahoo (YHOO). After that, it was as a partner at the Quadrangle Group and then running the <a href="http://kara.allthingsd.com/20090322/exclusive-dan-rosensweig-steps-up-to-takes-his-licks-as-guitar-hero-frontman">Guitar Hero division</a> of Activision Blizzard (ATVI).</p>
<p>Now he is CEO of Chegg, where he <a href="http://kara.allthingsd.com/20100202/exclusive-rosensweig-to-leave-guitar-hero-takes-over-as-ceo-of-online-textbook-rental-startup-chegg">arrived in February</a>.</p>
<p>After raising $144 million in funding, Chegg has become the front-runner in the increasingly competitive online textbook rental space.</p>
<p>Venture firms, such as Kleiner Perkins, Foundation Capital and, most recently, Insight Venture Partners, have presumably handed over that money to co-founders Osman Rashid and Aayush Phumbhra in hopes of big returns.</p>
<p>And, of course, the inevitable IPO.</p>
<p>Chegg got its start in 2005 at Iowa State University as a classified rental service, where books were the dominant item, but evolved its business to focus on actually doing the textbook rentals.</p>
<p>The company&#8217;s unusual name, Chegg, is a mashup of chicken and egg and its model is similar to that of innovative video rental outfit Netflix (NFLX).</p>
<p>Chegg now serves close to 7,000 schools across the U.S., with 120 employees in Silicon Valley and more at a warehouse operation in Louisville, Ky.</p>
<p>Typically, a rental costs a fraction of what buying a book outright does. It is ordered online and then sent to a renter, who then returns it.</p>
<p>All this activity has attracted a lot of interest from both big and small players, especially given the $10 billion college textbook business.</p>
<p>That makes for lots of competition. The Barnes &#038; Noble (BKS) College division recently began testing a textbook rental program, for example, and is rolling it out to 25 U.S. colleges. And <a href="http://voices.allthingsd.com/20100305/almost-famous-mehdi-maghsoodnia-of-bookrenter">BookRenter</a> is a smaller competitor.</p>
<p>Today, in a bid to expand its offerings beyond books, Chegg said it had acquired CourseRank, a Mountain View, Calif. start-up that helps students &#8220;share their course schedule, take classes with their friends, read and write reviews on classes and professors as well as find out how professors grade.&#8221;</p>
<p>Terms of the deal were not disclosed.</p>
