<p>Remember when <a href="http://postcards.blogs.fortune.cnn.com/2011/09/27/facebook_zuckerberg_hunts_bison/">Fortune magazine wrote</a> in September that Facebook co-founder and CEO Mark Zuckerberg had reportedly bagged a bison as part of a <a href="http://postcards.blogs.fortune.cnn.com/2011/05/26/mark-zuckerbergs-new-challenge-eating-only-what-he-kills/">&#8220;personal challenge&#8221;</a> to eat only what he had killed?</p>
<p>Well, proof of that is hard to miss, now that the ginormous mounted head of said dead bison has been hung on the wall of a Facebook conference room used by the social networking site&#8217;s COO Sheryl Sandberg.</p>
<p>Zuckerberg placed it there recently as a prank, to surprise his top exec with the installation of the very hairy bison when she was away from Facebook&#8217;s Silicon Valley HQ. </p>
<p>And surprised she was when she got back and was faced with the creature, which pretty much takes up the whole room, as you can see above and below. </p>
<p>(And, let me just say on a personal level, like a digital version of the &#8220;Murder She Wrote&#8221; lady, solving the mystery of this geek-on-bison killing is a whole lot more satisfying than getting a pile of internal Yahoo memos.)</p>
<p><img src="http://allthingsd.com/files/2011/12/bison3.png" alt="" title="bison3" width="320" height="480" class="alignright size-full wp-image-154674" /></p>
<p>The bison has now been nicknamed Billy and also sports a Facebook-branded baseball cap and occasional hoodie &#8212; <em>natch!</em> (My suggestion if you want to use a dead beast metaphor most effectively here would be to clad it all in Google swag.)</p>
<p>While he never confirmed it, Zuckerberg had teased the crowd about the possibility of his hunting prowess at the f8 developers conference this fall in his keynote speech, displaying his Facebook page that had a picture of what he had tagged &#8220;Bison Burgers.&#8221;</p>
<p>In fact, it&#8217;s been quite a lot of bison for the famous entrepreneur since he felled the majestic beast. According to Wikipedia, bison usually weigh 700 to 2,200 pounds, but can be as much as 3,800 pounds. That&#8217;s a lot of burgers!</p>
<p>To get them, Zuckerberg learned the most humane approach and then shot the beast in California, after obtaining a hunting license and, presumably, a <em>very</em> big gun.</p>
<p>Clearly, he was serious when he told Fortune in May that &#8220;the only meat I&#8217;m eating is from animals I&#8217;ve killed myself.&#8221; Among the early victims, which grew in size, were a lobster, a chicken, a pig and a goat.</p>
<p>At this time, the Winklevii are still roaming the plains &#8212; and it would be illegal and just plain mean on Zuckerberg&#8217;s part to frag them any more than he already has.</p>
<p>So, he went for the bison, the next biggest beast in his cross-hairs. </p>
<p>Its head will be moved to Facebook&#8217;s new headquarters today along with the rest of the company, who will now work in spacious new digs. </p>
<p>Which, I am told, could easily fit a herd of elephants &#8212; but let&#8217;s not go there.</p>

<p>No, not Facebook.</p>
<p>Not Zynga.</p>
<p>And probably not Groupon.</p>
<p>At least not <em>yet</em>, when it comes to the blockbuster Web IPOs that Wall Street and investors have been waiting for, and now expecting to roll out sooner than later in the wake of the return of the Web IPO in recent weeks.</p>
<p>Not so fast.</p>
<p>That&#8217;s what multiple sources with knowledge of the situation said when queried by BoomTown after the successful public outing by <a href="http://mediamemo.allthingsd.com/20110126/wall-street-welcomes-the-content-farm-demand-media-super-sizes-its-ipo/">Demand Media</a>, followed by <a href="http://kara.allthingsd.com/20110127/here-comes-another-web-ipo-linkedin-s-1-filing-imminent">LinkedIn&#8217;s</a> S-1 regulatory filing last week.</p>
<p>While these events spurred a great deal of speculation about which Web wunderkind would belly up to the public trough next, sources said that those looking for IPOs well above the $5 billion range will have to wait a little longer.</p>
<p>Because, while companies such as social networking giant Facebook, social buying phenom Groupon and social gaming&#8217;s Zynga have all been courted heavily by investment bankers such as Goldman Sachs, Morgan Stanley and others&#8211;all remain well-funded and willing to hold off opening their books for all to see until the last possible moment.</p>
<p>&#8220;There&#8217;s not a lot of reason to expose all kinds of information that is keeping these companies ahead too early,&#8221; said one person close to the situation. &#8220;In fact, once that much data is out there, you could argue that they lose a lot of their magic to investors.&#8221;</p>
<p>Some of that financial information is already out there, although in small bites, which has only been a taste for investors.</p>
<p>Full-scale sunlight will be different. While it can be cleansing, it can also be disappointing to those with too-high expectations of these companies.</p>
<p>Thus, expect to see more small IPOs&#8211;at least in comparison&#8211;from outfits such as Chegg, which has also been deep in talks with bankers for a while now.</p>
<p>Chegg, like LinkedIn, has been highly successful in a niche arena&#8211;in its case, online rentals of textbook to college students.</p>
<p>In the fall, the Silicon Valley company <a href="http://kara.allthingsd.com/20100926/exclusive-chegg-raises-75-million-in-additional-funding-from-asias-ace/">raised another $75 million</a> in funding, on top of a previous $144 million.</p>
<p>Venture firms, such as Kleiner Perkins, Foundation Capital, Insight Venture Partners and others have presumably handed over that money in hopes of big returns in disrupting a $10 billion college textbook business.</p>
<p>Chegg got its start in 2005 at Iowa State University as a classified rental service, where books were the dominant item, but evolved its business to focus on actually doing the textbook rentals.</p>
<p>Typically, a rental costs a fraction of what buying a book outright does. It is ordered online and then sent to a renter, who then returns it.</p>
<p>The company’s unusual name, Chegg, is a mashup of “chicken and egg,” and its model is similar to that of innovative video rental outfit Netflix.</p>
<p>And a Netflix-like business is what presumably may keep Wall Street investors interested&#8211;at least until the bigger fish arrive.</p>

<p>According to sources close to the situation, online textbook rental company Chegg has acquired Cramster, a social online homework help platform.</p>
<p>The Pasadena, Calif.-based <a href="http://www.cramster.com">Cramster</a> is the leading online study community, offering expert Q&#038;A help, study groups and practice tests and problems. College and high school students, teachers, professors, parents and other experts add information into the network on a large range of subjects.</p>
<p>It was founded in 2002 and now has one million members, using either a free or premium service.</p>
<p>The Cramster purchase is one in a series of start-up acquisitions that Chegg has been making of late, part of a strategy to be a central place for student needs.</p>
<p>In late September, the <a href="http://kara.allthingsd.com/20100926/exclusive-chegg-raises-75-million-in-additional-funding-from-asias-ace/">company bought CourseRank</a>, a Mountain View, Calif., start-up that helps students share course schedules, take classes with friends, and read and write reviews on classes and professors, as well as find out how professors grade.</p>
<p>To expand, Chegg has raised a whopping $220 million in funding from a number of venture firms, including Kleiner Perkins.</p>
<p>That’s because Chegg has become the front-runner in the increasingly competitive online textbook rental space, as it seeks to disrupt the $10 billion college textbook business.</p>
<p>Chegg got its start in 2005 at Iowa State University as a classified rental service, where books were the dominant item, but evolved its business to focus on actually doing the textbook rentals.</p>
<p>The company’s unusual name, Chegg, is a mashup of &#8220;chicken and egg,&#8221; and its model is similar to that of innovative video rental outfit Netflix.</p>

<p>The Barnes &amp; Noble (BKS) College division recently began testing a textbook rental program, for example, and is rolling it out to 25 U.S. colleges. And <a href="http://voices.allthingsd.com/20100305/almost-famous-mehdi-maghsoodnia-of-bookrenter">BookRenter</a> is a smaller rival.</p>
<p>In a bid to expand its offerings beyond books, Chegg recently acquired CourseRank, a Mountain View, Calif., start-up that helps students &#8220;share their course schedule, take classes with their friends, read and write reviews on classes and professors as well as find out how professors grade.&#8221;</p>

<p>Yesterday, BoomTown helmed the <strong>ATD</strong> motorboat through the torrential rain to Adobe Systems&#8217; San Francisco HQ for yet another sit-down with CTO Kevin Lynch about the latest drive-by software attack by Apple.</p>
<p>This time, rather than taking a more conciliatory tone as in the <a href="http://kara.allthingsd.com/20100217/adobes-cto-kevin-lynch-talks-about-apple-insults-flashs-future-and-more/">last video interview we did</a>, the mild-mannered Lynch was more pointed, calling Apple&#8217;s actions to block use of its flagship Flash video technology by developers a &#8220;protectionist strategy&#8221; that was &#8220;bad for consumers.&#8221;</p>
<p>Lynch joked about Apple&#8217;s increasingly hostile moves against the software maker, saying the computer powerhouse will soon require developers to &#8220;build applications by typing with one hand and swinging a chicken above your head.&#8221;</p>
<p>Lynch then promised to package chickens with Adobe&#8217;s Creative Suite 5&#8211;the latest update of the collection of graphic design, video editing and Web development applications, to be launched tomorrow&#8211;if need be.</p>
<p>For those paying attention, Apple has definitely been pecking away at Adobe (ADBE) and Flash, which is the most popular video technology on the Web.</p>
<p>But it won&#8217;t remain so if Apple (AAPL) has its way.</p>
<p><a href="http://kara.allthingsd.com/20100409/lets-go-to-the-videotape-before-adobe-and-apple-went-all-gosselin-on-us">To recap</a>:</p>
<p>Right after the news that the iPad was coming from Apple earlier this year, CEO Steve Jobs, in much-leaked remarks at an employee meeting, called Flash a buggy software nightmare.</p>
<p>While Adobe has long tried soft-pedal the tech tussle, Apple escalated the battle last week by adding new rules for developers that pretty much freeze out Adobe, preventing them from using a tool that will port applications created in Flash to Apple&#8217;s iPhone and iPad operating systems.</p>
<p>With its anti-Flash workaround declared illegal by Apple, and even though Lynch <a href="http://mediamemo.allthingsd.com/20100409/adobe-well-be-fine-without-apple/">penned a don&#8217;t-worry blog post</a>, Adobe was also forced to acknowledge the potential damage in a regulatory filing last week.</p>
<p>What&#8217;s next is anyone&#8217;s guess in this Silicon Valley smackdown, but it looks like Apple and Adobe are going to the chicken-feather-filled mattresses.</p>

<p>Longtime Silicon Valley exec Dan Rosensweig (pictured here) is stepping down as CEO and president of the Guitar Hero division of Activision Blizzard to take a new job as president and CEO of Chegg, the top online textbook rental start-up.</p>
<p>Both companies confirmed the move, which is somewhat unexpected given that the former Yahoo (YHOO) COO landed the <a href="http://kara.allthingsd.com/20090322/exclusive-dan-rosensweig-steps-up-to-takes-his-licks-as-guitar-hero-frontman/">job running the top gaming franchise in March</a> of last year.</p>
<p>It has been an eventful, but also a particularly tough year at Guitar Hero, in the face of yet another withering downturn in the gaming market.</p>
<p>While Activision (ATVI) introduced a new version of its flagship Guitar Hero game, as well as a new DJ Hero, Band Hero and a Guitar Hero: Van Halen version, sales were weaker overall, even though DJ Hero was the the No. 1 new game in both the U.S. and Europe.</p>
<p>Nonetheless, according to a recent report from research firm NPD Group, sales in the videogame space were down eight percent in 2009 from 2008.</p>
<p>And while Guitar Hero did gain market share as the most popular such game in its genre, most expect its trajectory to be downward.</p>
<p>Guitar Hero 5 sold slightly fewer than 996,000 units from September through December in North America, for example, according to NPD.</p>
<p>While global sales were better, Guitar Hero: World Tour, in comparison, sold 3.4 million units the year earlier.</p>
<p>In contrast, Rosensweig&#8211;who is probably much more suited to the pure Web space and the Silicon Valley scene&#8211;will be taking over a much faster-growing business at Chegg, based in Santa Clara, Calif.</p>
<p>It has become the front-runner in the increasingly competitive online textbook rental space.</p>
<p>To help maintain that lead, Chegg has garnered a huge $144 million investment kitty.</p>
<p>Top venture firms, such as Kleiner Perkins, Foundation Capital and, most recently, Insight Venture Partners, have presumably handed over that money to co-founders Osman Rashid and Aayush Phumbhra in hopes of big returns.</p>
<p>The pair started Chegg in 2005 at Iowa State University as a classified rental service, where books were the dominant item, but evolved its business to focus on actually doing the textbook rentals.</p>

<p>The company&#8217;s unusual name, Chegg, is a mashup of chicken and egg and its model is similar to that of innovative video rental outfit Netflix (NFLX).</p>
<p>Chegg now serves close to 7,000 schools across the U.S. and has a cute and student-friendly practice of planting a tree for every textbook rented, bought or sold.</p>
<p>With 120 employees in Silicon Valley and more at a warehouse operation in Louisville, Ky., Chegg claims it has grown over 600 percent year over year since its founding, although the start-up would not provide more specifics on financials.</p>
<p>A spokeswoman said that company rented more books in January of this year than all of last year and has saved students more than $137 million.</p>
<p>Typically, a rental costs a fraction of what buying a book outright does. It is ordered online and then sent to a renter, who then returns it.</p>
<p>All this activity has attracted a lot of interest from both big and small players, especially given the $10 billion college textbook business.</p>
<p>While one can assume that a lot of Chegg&#8217;s business will eventually move to digital downloads, especially as the use of e-readers explodes, the physical business is strong for the near term.</p>
<p>The Barnes &#038; Noble (BKS) College division recently began testing a textbook rental program, for example, and is rolling it out to 25 U.S. colleges. And BookRenter is a smaller competitor.</p>
<p>But with Chegg, Rosensweig is getting to ride the lead horse in the space, taking over from current CEO Rashid.</p>
<p>In an <a href="http://www.usatoday.com/money/companies/management/entre/2009-01-11-chegg-rashid_N.htm">interview a year ago</a>, in fact, Rashid said, &#8220;I do not want to be a long-term CEO. My passion is solving the problem and getting the company to a place where it can be taken to the next step.&#8221;</p>
<p>While he will remain chairman, the entrepreneur has recently closed $7.5 million in funding for a new stealth start-up called Kakai. Sources have said it is focused on the even more crowded e-reader space.</p>
<p>The replacement for Rosensweig&#8211;who had been working in private equity since his departure from Yahoo (YHOO) in late 2006 and has also worked at CNET Networks and Ziff-Davis&#8211;will be the Guitar Hero division&#8217;s current COO, David Haddad.</p>

<p>You were expecting an A+, right?</p>
<p>Because of all the cursing and tough talk and uber-sassy assistant and loyal sidekick, Judy.</p>
<p>And especially, the use of elaborate barnyard metaphors from Yahoo CEO Carol Bartz&#8217;s growing up in Wisconsin to describe the Internet giant&#8217;s current state of affairs.</p>
<p>That includes the <a href="http://kara.allthingsd.com/20090129/where-the-chickens-would-come-home-to-roost-if-yahoo-and-microsoft-ever-did-do-a-search-deal/">priceless bon mots from an earnings call</a> last year: &#8220;This is not a company that needs to be pulled apart and left for the chickens.&#8221;</p>
<p>Not unless Farmer Bartz says it needs to be, that is!</p>
<p>I began <a href="http://kara.allthingsd.com/20100125/the-one-year-report-card-of-yahoos-carol-bartz-deal-making-incomplete">handing out marks to Bartz recently</a>, after she gave herself a B- for overall performance for the year since she took over the troubled Internet giant.</p>
<p>But I decided to be more specific, splitting the grades for Yahoo in 2009 into five categories.</p>
<p>I awarded Bartz an A- for management, a C+ for financials, a C- for product innovation and an incomplete for deal-making so far.</p>
<p>And, indeed all signs should point to A+ on the fifth, moxie, especially when you are talking about Bartz, one of the more colorful of Internet CEOs on the scene these days.</p>
<p>While AOL (AOL) CEO Tim Armstrong has those Don Draper cheekbones, Microsoft (MSFT) CEO Steve Ballmer that whole sweaty energy thing, Amazon (AMZN) Jeff Bezos the borderline maniacal vibe and Google (GOOG) CEO Eric Schmidt the big-brained alien act, Bartz is still 110 percent more entertaining on any given day.</p>
<p>But if you really think about it, she has been much more systematic in her tenure, making no dramatic, swing-for-the-fences moves, despite displaying a great deal of style.</p>

<p>More Taylor Swift than Lady Gaga, if you get my drift.</p>
<p>Like the deeply calculated Swift, Carol Bartz is a careful fixer&#8211;cutting costs at the Silicon Valley icon, finally making the inevitable search and online advertising deal with Microsoft, doing a lot of obvious internal rejiggering of systems, prettying up the front page and starting a much needed marketing campaign.</p>
<p>And while this all meets one definition of moxie&#8211;energy and pep&#8211;it&#8217;s still not that kind of fizzy riskiness (no wacky outfits for Yahoo!) that perhaps is still coming.</p>
<p>According to various definitions, the word&#8217;s etymology is from Moxie, a soft drink from the early 20th century that was one of the first mass-produced carbonated beverages in the U.S.</p>
<p>Per Wikipedia, its origins are as &#8220;a panacea, it was supposed to be especially effective against &#8216;paralysis, softening of the brain, nervousness and insomnia.&#8217;&#8221;</p>
<p>Would that Yahoo could be that to consumers!</p>
<p>Sadly for Moxie, while it still survives in New England, it got knocked out of the soda race by Coca Cola (KO), much as the ubiquitous Google knocked Yahoo out of the search business.</p>
<p>But Bartz, who just completed an executive offsite at Half Moon Bay, Calif., might be ready to trot out her act more dramatically in the months to come and, therefore, up the moxie stakes.</p>
<p>At the end of Yahoo&#8217;s recent <a href="http://kara.allthingsd.com/20100126/liveblogging-the-yahoo-fourth-quarter-earnings-call/">conference call for its fourth-quarter earnings</a>, she noted firmly that, &#8220;We&#8217;re done looking inward.&#8221;</p>
<p>Indeed, sources tell me Bartz has decided to start bringing all kinds of outside thoughts and influences into Yahoo next to try to shake up the often self-absorbed culture.</p>
<p>Maybe Gaga?</p>
<p>Rah rah ah-ah-ah! Ro mah ro-mah-mah! Gaga Ooh-la-la!</p>
<p>Now <em>that</em> would show some real moxie.</p>
<p>Until that happens, here is video of the bizarre singer at the Grammy Awards a few days ago, as well as the dreadfully off-pitch Swift (what is <em>up</em> with that?):</p>

Scientists in Holland have taken muscle cells from a living pig and by bathing them in an animal fetus &#8220;broth,&#8221; <a href="http://www.timesonline.co.uk/tol/news/science/article6936352.ece">cultured them into a &#8220;soggy form of pork&#8221; in the lab</a>.</p>
<p>&#8220;What we have at the moment is rather like wasted muscle tissue,&#8221; researcher Mark Post told the Sunday Times. &#8220;We need to find ways of improving it by training it and stretching it, but we will get there.&#8221; If Post and his colleagues are able to do that, we may end up with an environmentally friendly meat that reduces the impact of food production. Said Post, &#8220;You could take the meat from one animal and create the volume of meat previously provided by a million animals.&#8221;</p>
<p>Vladimir Mironov, a tissue engineer at the Medical University of South Carolina, envisions a day when we use countertop bioreactors to make our meat&#8211;steaks and chops with nutritional profiles that we have predetermined. &#8220;It would look like a coffee maker,&#8221; <a href="http://www.touro.edu/media/pr/tourointhenews/pdfs/Will_consumers_have_a_beef_with_test_tube_meat.pdf">Mironov said back in 2007</a>. &#8220;This is my dream.&#8221; </p>
<p>Sadly for Mironov, he wasn&#8217;t able to find funding. NASA turned down his request for a grant, and the lone group that did express interest in his work, taking the you-are-what-you-eat philosophy full circle, was interested in meat cultured from its members&#8217; own cells. Mironov declined to identify that particular&#8230;diners&#8217; club, but said, &#8220;I don’t want to participate in high-tech human cannibalism.&#8221;</p>

<p>For the more serious-minded, there should be news about more cost-cutting, including the <a href="http://kara.allthingsd.com/20090415/stop-me-if-youve-heard-this-one-yahoo-management-and-staff-set-on-shuffle-again/">possibility of additional layoffs</a>, as well as questions on <a href="http://kara.allthingsd.com/20090420/update-on-yahoo-microsoft-talks-hot-and-heavy/">Yahoo&#8217;s talks with Microsoft</a> (MSFT) about a search and advertising partnership.</p>
<p>Frankly, I am most excited to see what pistol-packing remark Bartz will make to those listening in about the Silicon Valley icon and its prospects.</p>
<p>She has turned out to be the Midwestern version of Oscar Wilde of the Internet when waxing poetic on Yahoo (YHOO), including the classic: “This is not a company that needs to be pulled apart and left for the chickens.”</p>
<p>Although, truth be told, <a href="http://kara.allthingsd.com/20090420/make-way-for-tech-earnings-ibm-yahoo-apple-and-microsoft-on-deck/">Wall Street is expecting more chicken scratch</a> than feed today from Yahoo.</p>
<p>Analysts are expecting $1.2 billion in revenue and profit of eight cents a share for the quarter, which are significant declines on both counts due to the company&#8217;s lackluster online display ad business.</p>
<p>In these tough economic times, investors will be looking at the steepness of the declines for clue of performance, as well as what is to come. Any upside surprise will be a big deal.</p>

<p>The earnings press release will come out at 1:20 p.m. PDT, after the market is closed, while the call starts at 2 p.m.</p>

<p>&#8220;She has an opinion and she is not afraid to use it,&#8221; joked one high-ranking Yahoo. &#8220;That is a big deal for a lot of people here who have wanted a CEO who is very forceful.&#8221;</p>
<p>And the only substantive negative: Some remain worried about her lack of Internet savvy, although most of those admit she has been a quick learner as the 100-day mark comes to a close.</p>
<p>In Yahoo&#8217;s case, 100 days has a special meaning&#8211;when he got his job in late 2007, former Yahoo CEO and co-founder Jerry Yang declared that he was going to give the troubled company a <a href="http://kara.allthingsd.com/20071025/day-100/">100-day evaluation with &#8220;no sacred cows.&#8221;</a></p>
<p>The Yang-farmed bovines, as it turned out, just got fatter.</p>
<p>Under Bartz, more have been under the knife, as the hard-charging exec has started to really put her imprint on the company.</p>
<p>She has certainly talked tough since the <a href="http://kara.allthingsd.com/20090113/live-blogging-yahoos-bartz-as-ceo-announcement-her-first-words-yahoooo/">meet-the-press conference</a> on her very first day on Jan. 13.</p>
<p>Some memorable Bartz quotes were about Yahoo&#8217;s immediate needs, in her estimation: “some friggin’ breathing room&#8221; and “frankly, [the company] could use a little management.”</p>
<p><a href="http://kara.allthingsd.com/files/2009/04/attack_chicken_attack_640-298x300.jpg"><img src="http://kara.allthingsd.com/files/2009/04/attack_chicken_attack_640-298x300-250x251.jpg" alt="attack_chicken_attack_640-298x300" title="attack_chicken_attack_640-298x300" width="250" height="251" class="alignleft size-medium wp-image-12162" /></a></p>
<p>That kind of tough-lady, Annie-Get-Your-Gun quote-making has been Bartz&#8217;s signature, whether it be in <a href="http://kara.allthingsd.com/20090220/carol-bartz-friday-memos-chick-flicks-the-need-for-speed-and-wow-also-here-comes-the-rerorg">folksy Friday memos she has sent out to staff</a> or at the <a href="http://kara.allthingsd.com/20090127/liveblogging-the-yahoo-fourth-quarter-earnings-call-yes-we-can/">fourth-quarter earnings call in late January</a>, only weeks into her tenure, when she declared:</p>
<p>&#8220;This is not a company that needs to be pulled apart and left for the chickens.&#8221;</p>
<p>Well, except for the management structure, which <a href="http://kara.allthingsd.com/20090226/bartz-blogs-reorg-the-entire-memo-to-employees">Bartz pulled right apart and reshuffled</a> six weeks in.</p>
<p>Cleaning up and simplifying the complex reporting structure in an all-roads-lead-to-Carol set-up and tossing out the CFO were main points of the reorganization. Many at Yahoo expect there to be even more cuts in staff sooner than later, many sources said.</p>
<p>And there have also been departures of key staff, including: PR head <a href="http://kara.allthingsd.com/20090202/yahoo-pr-head-jill-nash-to-depart-the-company">Jill Nash</a>, Zimbra founder <a href="http://kara.allthingsd.com/20090121/zimbra-founder-satish-dharmaraj-to-depart-yahoo">Satish Dharmaraj</a> and soon, high-ranking techie <a href="http://kara.allthingsd.com/20090331/another-yahoo-to-go-venkat-panchapakesan-on-his-way-out">Venkat Panchapakesan</a>.</p>
<p>Yang too, although he remains on the board, has not been present as much at the company.</p>
<p>Curiously, though, except for the new CMO, Elisa Steele&#8211;whose office is powerfully located right next to Bartz, as many Yahoos noted to me&#8211;there have been no further appointments for open positions for CFO, a new Customer Advocacy top exec and a new international head. Presumably, they are on the way.</p>
<p>Not that Bartz has not been busy&#8211;visiting Yahoo staff and clients all over&#8211;as well as finally finding time for a face-to-face meeting with Microsoft CEO Steve Ballmer in Silicon Valley recently.</p>

<p>Before the recent meetings, in a classic negotiating tactic, Bartz (pictured here) has projected a disinterested, poker-faced attitude about the situation, <a href="http://kara.allthingsd.com/20090116/is-the-gut-bone-connected-to-the-knee-jerk-bone/">even telling Yahoo staff in one meeting</a> “that she plans to spend a lot of time investigating whether to sell Yahoo’s search business, but that her ‘gut’ was not to do that.”</p>
<p>Well, a sale of Yahoo&#8217;s search business might not happen, Bartz was only buying a little time in being so confident and projecting the affect that Yahoo had some leverage and a choice.</p>
<p>But that is exactly what she does not really have, given that Yahoo faces the prospect of spiraling costs to maintain a search share, even as it has a good chance of declining.</p>
<p>So, last week, the news&#8211;<a href="http://kara.allthingsd.com/20090410/yahoos-bartz-and-microsofts-ballmer-finally-talking-about-search-and-advertising-partnership/">first reported here</a> Friday&#8211;that Bartz was involved in preliminary talks with Microsoft (MSFT) about an extensive commercial advertising and search partnership&#8211;should have come as almost no surprise.</p>
<p>A re-engagement between the companies, after a bruising takeover battle that ended in tears all around, has been long hoped for by investors and other observers, given that both have struggled against the search behemoth that is Google (GOOG).</p>
<p>(Or, in a nickname that BoomTown is trying unsuccessfully to popularize: Googzilla.)</p>
<p>The talks&#8211;which are not about the software giant making another acquisition offer for Yahoo&#8211;are ongoing and might not lead anywhere, but it is in both sides&#8217; interest to avoid that outcome.</p>
<p>&#8220;Yahoo has to do some kind of deal or Bartz will be facing a decline even she cannot manage,&#8221; said one person close to the situation. &#8220;And Microsoft, if it wants to compete in search, needs Yahoo&#8217;s share along with its own.&#8221;</p>
<p>Among the surprisingly innovative ideas being bandied about: Yahoo might take over all of Microsoft’s display and premium advertising business to sell along with its own, while Microsoft would run the search advertising business for the pair.</p>
<p>And, while the discussions could degenerate into chest-pounding and pointless jockeying, one assumes that Bartz gets the idea that Yahoo needs a lot of help&#8211;including from some rapprochement with Microsoft, from making its staff even leaner, from streamlining its product focus and from striking other significant partnerships.</p>
<p>Many inside and outside Yahoo certainly hope that spirit&#8211;and not the one from this video below of a fabulous scene of Betty Hutton and Howard Keel in the musical classic, &#8220;Annie Get Your Gun,&#8221; singing &#8220;Anything You Can Do&#8221;&#8211;prevails with Microsoft in the next 100 days.</p>

<p>Rumor has it there are big games going on this weekend&#8211;at least one of which involves football players. The rest involve the usual players, though they might appear in different positions&#8211;and on different teams&#8211;from week to week. These games, most likely, will continue through Monday and beyond. Scores will be kept on an ongoing basis.</p>
<p>BoomTown wrote this week about a new game of tag taking Facebook by storm. Whether or not you&#8217;ve written a list of <a href="http://kara.allthingsd.com/20090130/facebooks-latest-craze-tag-youre-it-repeat-24-more-times/">&#8220;25 Random Things&#8221;</a> about yourself, you&#8217;ve likely read a few. BoomTown only gave up five, but they&#8217;re good ones. On defense, AOL announced it would <a href="http://kara.allthingsd.com/20090128/exclusive-aol-to-layoff-10-percent-of-staff-due-to-ad-meltdown-to-refocus-on-new-structure/">lay off</a> 10 percent of its workforce due to the overall ad meltdown; CEO Randy Falco&#8217;s memo to his troops is <a href="http://kara.allthingsd.com/20090128/aol-ceo-randy-falcos-entire-memo-to-the-troops-on-layoffs/">here</a>. And whether or not AOL has <a href="http://kara.allthingsd.com/20090128/buyers-remorse-or-not-aol-is-not-considering-selling-bebo/">buyer&#8217;s remorse</a> over last year&#8217;s $850 million acquisition of Bebo, the company is not considering putting the social network up for sale.<br />
BoomTown followed the <a href="http://kara.allthingsd.com/20090126/coach-carol-are-they-crying-theres-no-crying-theres-no-crying-at-yahoo/">tough love approach</a> of Yahoo&#8217;s (YHOO) new CEO Carol Bartz, and <a href="http://kara.allthingsd.com/20090127/liveblogging-the-yahoo-fourth-quarter-earnings-call-yes-we-can/">liveblogged</a> the company&#8217;s fourth-quarter earnings call, during which Bartz insisted (without mentioning Microsoft) that she wasn&#8217;t brought to Yahoo to sell the company. She also shared some canny-folksy wisdom&#8211;in the form of a chicken metaphor&#8211;about the value of the company as a whole, but it&#8217;s still a little early in the game to call that one. Of course, BoomTown had a <a href="http://kara.allthingsd.com/20090129/where-the-chickens-would-come-home-to-roost-if-yahoo-and-microsoft-ever-did-do-a-search-deal/">few opinions</a> about the unspoken Microsoft (MSFT) scenario.</p>
<p>Over at Digital Daily, there was a lot to be said about smartphones. Apple&#8217;s (AAPL) so-called <a href="http://digitaldaily.allthingsd.com/20090127/apple-awarded-patent-on-palm-pre-gesture-area/">&#8220;iPhone patent,&#8221;</a> which would cover much of the Palm (PALM) Pre&#8217;s multitouch and gesture interface, has the potential to be a huge game changer in that race, <a href="http://digitaldaily.allthingsd.com/20090128/dont-forget-the-multi-touch-prior-art-in-minority-report/">if it&#8217;s upheld</a>. And as if Palm doesn&#8217;t have enough to worry about, <a href="http://digitaldaily.allthingsd.com/20090126/sprint-nextel-to-cut-8000-jobs-palms-hopes-for-a-comeback/">Sprint</a> (S)&#8211;its exclusive carrier for the Pre&#8211;is rumored to be preparing to lay off 14 percent of its workforce in March, when the phone is expected to launch. Elsewhere in that contest, it turns out that Research in Motion&#8217;s (RIMM) <a href="http://digitaldaily.allthingsd.com/20090129/see-lightning-hear-thunder-know-the-storm/">BlackBerry Storm</a>, which was largely panned by critics, is actually selling at a decent clip&#8211;one million so far in the U.S. No iPhone, but still, it could be worse. As Digital Daily noted, <a href="http://digitaldaily.allthingsd.com/20090130/should-have-bought-palm-when-it-had-the-chance-dell/">Dell</a> (DELL) is said to be readying two phones to enter the market dominated by the iPhone, BlackBerry, and soon the Pre: one an iPhone-like Windows Mobile device, and the other a Pre-like Android device. Both could launch as soon as February, but greatness is not anticipated. Digital Daily also kept the tech <a href="http://digitaldaily.allthingsd.com/20090129/tech-industry-announces-layoff-surplus/">job-cut score</a>, which increased 74.2 percent from 2007 to 2008. Here&#8217;s a <a href="http://digitaldaily.allthingsd.com/20090127/econalypto-redux/">roundup</a> of some of those affected.</p>
<p>MediaMemo had some interesting numbers to share: While Obama&#8217;s Inauguration was indeed a big day for Web video, it <a href="http://mediamemo.allthingsd.com/20090128/obamas-big-day-on-the-web-smaller-than-you-thought/">wasn&#8217;t as huge</a> as some estimated. Exact numbers are impossible to measure, of course, but roughly 13 million people watched the ceremony online, while roughly 38 million watched on television. On an ongoing (and presumably growing) basis, though, numbers suggest that almost <a href="http://mediamemo.allthingsd.com/20090127/are-one-in-five-netflix-subscribers-watching-online/">20 percent</a> of Netflix&#8217;s (NFLX) subscribers are using the company&#8217;s streaming service to watch movies online. That should increasingly morph back into the world of television as the company&#8217;s technology makes it simpler to stream directly to a set-linked device. In the world of print, things continue to look grim. Time Warner&#8217;s (TWX) Time Inc., in a <a href="http://mediamemo.allthingsd.com/20090128/time-inc-plays-chicken-with-its-delivery-dudes-check-your-newsstand-for-results/">standoff</a> with its distributor, which upped its price by seven cents per magazine&#8211;has announced it will take its business elsewhere as of Feb. 1. If this is a game of chicken, it&#8217;s anybody&#8217;s guess who&#8217;ll win. And Time Inc.&#8217;s Ann Moore received a lifetime achievement award from the magazine industry&#8217;s trade group on Thursday. In her acceptance speech, she expressed her belief in the power of magazines and print advertising and her gratitude in the fact that she&#8217;s <a href="http://mediamemo.allthingsd.com/20090130/time-incs-ann-moore-makes-the-case-for-magazines-and-is-glad-shes-not-in-newspapers/">not in the newspaper business</a>.</p>
<p>In Personal Technology this week, Walt Mossberg reviewed <a href="http://ptech.allthingsd.com/20090128/ilife-gets-better-just-dont-ask-it-to-find-a-face/">iLife &rsquo;09</a>&#8211;specifically iPhoto, GarageBand and iMovie, with mixed results. In <a href="http://mailbox.allthingsd.com/20090128/installing-drivers-for-windows-7/">Mossberg&#8217;s Mailbox</a>, it was all about Windows 7: Whether it requires new drivers, how it stacks up to XP, and how upgrades from XP and Vista compare with each another. Katherine Boehret reviewed the <a href="http://solution.allthingsd.com/20090127/a-blackberry-thats-easy-on-your-thumbs/">BlackBerry Curve 8900</a> in the Mossberg Solution, and liked it.</p>

<p>In Yahoo&#8217;s <a href="http://kara.allthingsd.com/20090127/liveblogging-the-yahoo-fourth-quarter-earnings-call-yes-we-can/">fourth-quarter earnings conference call earlier this week</a>, new Yahoo CEO Carol Bartz went out of her way to ho-hum all over the possibility of a search deal with Microsoft.</p>
<p>She even went as far as to not even mention its name when she referred to the laggard third player in market share.</p>
<p>And Bartz also tried to make it seem as if a <a href="http://kara.allthingsd.com/20090118/the-three-caballeros-bostock-ballmer-andbewkes/">recent meeting between Microsoft CEO Steve Ballmer and Yahoo Chairman Roy Bostock</a>&#8211;as well as Time Warner (TWX) CEO Jeff Bewkes, who presides over the AOL online service&#8211;was fiction. (It was not.)</p>
<p>Of course, it was all cooked up and well-rehearsed by Bartz, who knows how to play the expectations game as well as anyone else, especially as she endeavors to come up to speed on the various prospects for Yahoo going forward.</p>
<p>One person who has been close to the situation said it best: &#8220;Anyone would have said the same regardless of their true position at this point.&#8221;</p>
<p>Indeed.</p>
<p>Of course, BoomTown&#8217;s favorite&#8211;and obviously well thought out&#8211;line was in answer to an analyst&#8217;s question on shareholder value. No surprise: Bartz insisted Yahoo as a whole was, in fact, an unappreciated pearl before swine.</p>
<p>Actually, she used another barnyard metaphor, in the grand tradition of former CEO <a href="http://kara.allthingsd.com/20070823/dear-diary-jerry-of-100-days/">Jerry Yang&#8217;s &#8220;sacred cow&#8221; debacle</a>.</p>
<p>&#8220;This is not a company that needs to be pulled apart and left for the chickens,&#8221; said Bartz, using a phrase she said was from her Wisconsin upbringing.</p>
<p>My guess is that the savvy and slick Bartz left that farm behind a long, long time ago and was again using the folksy straight talk in some serious gamesmanship with Microsoft (MSFT) and anyone else.</p>
<p>And perhaps Yahoo (YHOO) is truly not chicken scratch, although a lot of horse sense will be needed in the next few months to make that so.</p>
<p>(No, I could not resist.)</p>
<p>And, employing a video I love, if Bartz ever does succumb to the charms of Microsoft, here&#8217;s what the pair might hope that flock of attack poultry would peck at next:</p>

<p><strong>2:08 p.m. PST:</strong></p>
<p>It&#8217;s Carol&#8217;s show obviously, coming on first and foremost, with a little joke, after hearing all the typical caveats that must be uttered by Yahoo&#8217;s investor relations folks before the call begins.</p>
<p>&#8220;I should have understood all those risks before I took this job,&#8221; she chuckled.</p>
<p>Now <em>that&#8217;s</em> the understatement of the year!</p>
<p><span id="more-8981"></span></p>
<p>Noting she has been on the job only eight days, meeting and greeting the folks of Yahoo, Bartz said she was impressed by the energy and &#8220;can-do&#8221; spirit of the company, noting that the product pipeline was fantastic.</p>
<p>Of course, products have never been the problem at Yahoo, as many have noted (including BoomTown many, many times). Execution has been the devil in the details!</p>
<p>Bartz obviously got this, but was not going to insult former management this time, as she did in <a href="http://kara.allthingsd.com/20090113/live-blogging-yahoos-bartz-as-ceo-announcement-her-first-words-yahoooo/">her debut public conference with the press and analysts</a>.</p>
<p>Right after she was hired in mid-January, Bartz noted that Yahoo and its assets, &#8220;frankly, could use a little management.&#8221;</p>
<p>But it is probably not a good idea to say that again with thus-far silent Jerry Yang sitting right next to her.</p>
<p><strong>2:09 p.m. PST</strong></p>
<p>A tiny bit of kissing up to Bartz by CFO Blake Jorgensen, who started to go over the numbers in great detail, putting the best face on a weakish performance overall, especially compared to previous years.</p>
<p>At the end, he said that Yahoo had performed well in 2008, considering the poor economy, and added guidance going forward was not great either, especially compared to a year ago.</p>
<p>Also, he warned Wall Street not to expect too much guidance for 2009, as <a href="http://kara.allthingsd.com/20090122/liveblogging-the-microsoft-second-quarter-earnings-call-a-lipstick-free-pig/">Microsoft had also said last week</a> in its own depressing earnings call.</p>

<p><strong>2:20 p.m PST:</strong></p>
<p>Back to <em>can-do</em> Carol Bartz, who began by pointing to all the various assets that Yahoo has&#8211;including its Build Your Own Search Service (BOSS) product and Yahoo News&#8211;all of which are strong products for advertisers, she said.</p>
<p>But Bartz also finally made the point that execution needs to improve, which she said was &#8220;addressable.&#8221;</p>
<p>Before the Q&#038;A started, she answered some questions about the company she asked herself, before they could be asked by others. Apparently, now that Bartz is an &#8220;insider,&#8221; she knows better than anyone else!</p>
<p>Did she come to Yahoo to sell it? &#8220;No.&#8221;</p>
<p>Will she sell search? Bartz does not know yet, but noted &#8220;search is a very valuable part of [Yahoo's] business.&#8221;</p>
<p>She added that Yahoo search market share was three times the size of the third player, which Bartz curiously did not name, but which is&#8211;of course!&#8211;Microsoft&#8211;which wants very much to buy Yahoo&#8217;s search business.</p>
<p>Uh-oh, Microsoft (MSFT) CEO Steve Ballmer might not get his way so quickly!</p>
<p><strong>2:26 p.m. PST:</strong></p>
<p>The first question was about selling the company.</p>
<p>&#8220;I did not come to Yahoo to sell the company,&#8221; said Bartz again. &#8220;It&#8217;s too early to say more than that.&#8221;</p>
<p>The second question was about reports&#8211;<a href="http://kara.allthingsd.com/20090118/the-three-caballeros-bostock-ballmer-andbewkes/">in this column too!</a>&#8211;about talks with Microsoft and Time Warner (TWX) unit AOL recently.</p>
<p>Bartz said Yahoo does not comment on reports that &#8220;come from nowhere.&#8221;</p>
<p>Sorry to disagree, but they <em>did</em> come from somewhere and were very well-sourced&#8211;just like the absolutely on-target post this column did of <a href="http://kara.allthingsd.com/20090107/new-prospect-for-yahoo-ceo-carol-bartz/">Bartz&#8217;s pending CEOship at Yahoo</a>, before it was officially announced. But let&#8217;s just try to ignore that slight and move on&#8211;unless, of course, Bartz keeps up with what has become regular blog-bashing, which means a testy war of words and copious leaked memos to come!</p>
<p>The third question was about the management. Bartz said she plans on getting the lines of communication clearer, which she said she was really good at.</p>
<p>Kissing up to herself was a nice touch.</p>
<p><strong>2:33 p.m. PST:</strong></p>
<p>Next came a question about international business&#8211;which is the least of Yahoo&#8217;s worries, no matter what its execs say about the great products.</p>
<p>The next question was about guidance. No guidance, folks!</p>
<p>Now, one on the display business, with questions about the pressure on prices and on premium online advertising, which is Yahoo&#8217;s top business.</p>
<p>Jorgensen said Yahoo is trying to help advertisers, but that there has been and will continue to be a slowdown in advertising, due to the recession.</p>
<p>More on outlook, cost-cutting, etc. Jorgensen: More caution. Hey, analysts, we&#8217;re in a recession and I am not so sure how many ways he can say that.</p>
<p>So far, no Jerry Yang, which was starting to seem odd, since that Yahoo minion said he might be chatting away too.</p>
<p>But, as I said, it seems to be Carol&#8217;s show, which has been highly entertaining so far in her tenure, although she&#8217;d probably scowl at me sternly for saying that and pull out that cheap trick of insulting the press again.</p>
<p>Next up was a question to about various foreign assets and investments. Bartz will look into it! Jorgensen got in a good joke about her priority not being foreign tax issues.</p>
<p>The following question was about product innovation aimed at a younger demographic.</p>
<p>Bartz was on top of that too, pointing out that she has kids in their 20s.</p>
<p>First, she noted children do grow up, and that they will start to use Yahoo products like its finance offerings, as they move into the workforce and have less time to post dopey pictures on Facebook and throw digital sheep.</p>
<p>Also, young people are finicky, she added. They jumped from MySpace to Facebook, after all!</p>
<p>&#8220;Who knows what&#8217;s going to come next?,&#8221; she said, sounding like a typically exasperated parent. In other words, Yahoo will grab them when they grow up and prefer to be more dull!</p>
<p><strong>2:43 p.m. PST:</strong></p>
<p>The next question was about the timing of changes to come, which prompted Bartz to make another joke about buying the New York Times tomorrow! She was kidding, because the analyst asking the question suggested the troubled Yahoo buy the troubled media company in a recent report.</p>
<p>But, seriously folks, Bartz reiterated: &#8220;Gimme some time.&#8221;</p>
<p>Next, someone asked about the advertising sales force at Yahoo, which is a good question. Bartz is headed to a sales force meeting in a few weeks, she said, wherein she plans to have a beer with them and find out (once they are drunk and presumably easy to get blabbing).</p>
<p>Still, no Jerry Yang! Sigh. I suddenly desperately miss him and his lower-case ways.</p>

<p>The next question was on shareholder value, which has not been very valuable of late. Bartz noted that everything is on the table related to Yahoo&#8217;s businesses, but underscored how valuable the property is as a whole.</p>
<p>&#8220;This is not a company that needs to be pulled apart and left for the chickens,&#8221; said Bartz.</p>
<p>Apparently, this folksy little saying is from her Wisconsin upbringing. Scary poultry metaphor alert!</p>
<p>Bartz is asked about top assets at Yahoo.</p>
<p>She once again noted that Yahoo&#8217;s great products will save the day, from customization to integration of assets. &#8220;If we have strong products, we will attract the audience that just beats everything,&#8221; said Bartz.</p>
<p>A question about search and display being together, which is a sneaky way to ask about Microsoft, since that&#8217;s the great debate within Yahoo over whether to do a deal to outsource it or not.</p>
<p>Bartz made a confusing house metaphor, with search being the house, but it is completely lost on me. Is search the house or a living room or what?</p>
<p>&#8220;Whether we keep it or sell it, it&#8217;s an important asset,&#8221; Bartz then said, which was a clever way of saying exactly nothing.</p>
<p><strong>2:55 p.m. PST:</strong></p>
<p>A question on Yahoo brand, which Bartz basically said is about being the place people come every day. But she admitted there was too much complexity to that brand, although products are strong!</p>
<p>Next, someone asked a question about relevancy of Yahoo. &#8220;Our users don&#8217;t need constant change,&#8221; noted Bartz, who has a decent point about the jumpy nature of Web 2.0&#8242;s change-for-change&#8217;s-sake mantra.</p>
<p>Still&#8211;let&#8217;s be honest&#8211;Yahoo&#8217;s missed a key trend or two in recent years.</p>
<p>Next up was a question about ad prices and another on cost cuts. Jorgensen said that it&#8217;ll be more about efficiencies and perhaps some more outsourcing.</p>
<p>Bartz thanked the group for not being &#8220;too pushy&#8221; in their questions, which was an odd end note, since pushy should be the main job of analysts.</p>
<p>In fact, after listening to the call, I hope that Wall Street keeps up the pushy factor, as investors deserve a lot more answers from Bartz and Yahoo going forward.</p>
<p>It is not, as Bartz insisted in the conference call, a case of inside and outside perceptions being different. Yahoo does have strong products, but it still has gotten itself into its current mess all by itself, much of which has little to do with the weak economy.</p>
<p>That&#8217;s why I plan on being <em>very</em> pushy, asking about everything from what structural changes Bartz plans to make to how she envisions Yahoo&#8217;s business going forward to improving morale on a sustained basis to what she thinks she can do to make Yahoo the strongest it can be when the economy comes out of the recession.</p>
<p>And, not to get pushy or anything, but what happened to some words from the promised Jerry Yang?</p>
<p>Perhaps he fell victim to the vicious chickens of Wisconsin.</p>

<p>Maybe it would be easier to sell Facebook to Microsoft for billions and billions, <a href="http://kara.allthingsd.com/20080519/facebook-not-selling-well-not-yet-and-ipo-try-2010-or-later/">even though it is not likely you will</a>.</p>
<p>But, for the sake of argument, let&#8217;s take the opposing position about the best future for the hot social-networking site.</p>
<p>In other words, make a friendly Microsoft takeover of Facebook your own version of an IPO, as <a href="http://furrier.org/2008/05/19/facebook-ipo-microsoft-is-facebooks-ipo-not-the-nasdaq/">John Furrier has suggested here</a>, and walk away a Silicon Valley legend.</p>
<p>Because such a sale to Microsoft could happen, you know, with or <em>even</em> without you.</p>
<p><span id="more-68127"></span></p>
<p>Here&#8217;s one scenario to think about while on your <a href="http://kara.allthingsd.com/20080509/where-in-the-world-is-mark-zuckerberg/">current worldwide &#8220;Vision Quest&#8221; trip</a>:</p>
<p>Microsoft (MSFT) somehow screws up its courage again after the Yahoo (YHOO) rejection and makes a concrete offer anywhere above $10 billion for Facebook. And it gets on the record, as it must, at your next board meeting.</p>
<p>Say you refuse, as you have the power to do (and have done before) as founder, due to the voting structure.</p>
<p>But minority shareholders find out (they always do), then some employees and, inevitably, the press.</p>
<p>Mayhem will surely ensue.</p>
<p>Sure, they all stuck with you when you turned down previous offers for Facebook at more than $1 billion from Yahoo, $5 billion from Microsoft, sniffs in that range from Google (GOOG).</p>
<p>That was definitely gutsy for you to do, in your first job and in your early 20s.</p>
<p>But $10 billion, when you have not yet proven you have a truly sustainable and explosive business model of the kind Google luckily found before its IPO?</p>
<p>And what if the Microsoft offer was $15 billion? $20 billion?</p>
<p>BoomTown will tell you exactly what:</p>

<p>Possible lawsuits&#8211;ask any good corporate governance lawyer about it&#8211;from any number of aggrieved minority investors for not grabbing the Willy Wonka-esque golden ticket when it was offered to you.</p>
<p>Growing pressure from the media&#8211;which you are, to be certain, very good at completely ignoring&#8211;asking incessantly whether you have just made too big a bet this time.</p>
<p>And, most importantly, from your own employees, the growing worry that even you, especially in a weak economy, cannot spin up a shinier IPO than the money Microsoft is offering you. Stayers can turn into sellers very quickly.</p>
<p>You need to be prepared, BoomTown speculates, for this very possibility and need to have answers when and if the time comes.</p>
<p>That requires asking some questions, which I am guessing a smart young man like you is already asking of yourself.</p>
<p>Such as: At what price should I consider a Microsoft buyout? Could Facebook still be run independently? And, if not, how long would I have to stay at a Microsoft-owned Facebook?</p>
<p>Most importantly, how many other entrepreneurs like me have refused the big buyout and done better?</p>
<p>(The list is long and varied&#8211;some like Google&#8217;s Larry Page and Sergey Brin refused and won, but others like former Netscaper Marc Andreessen did not and also did just fine.)</p>
<p>You&#8217;re lucky for now, of course, because Microsoft&#8217;s CEO Steve Ballmer will likely not make a definitive offer after the Yahoo debacle, without knowing you are firmly on board to at least consider it with a friendly frame of mind.</p>
<p>And, I am guessing, you won&#8217;t dangle a price to Microsoft either.</p>
<p>Thus, a chicken and an egg conundrum. Which comes first?</p>
<p>BoomTown is also guessing the bankers are working hard at solving this ancient philosophical causality dilemma&#8211;in this case, who can and should move first?</p>
<p>But no matter how much they huff and puff&#8211;expensively, of course&#8211;the only one who can solve this puzzle is you, at least at this juncture.</p>
<p>And that requires just one basic question for which you need to have an answer ready: Do you truly believe you can do better?</p>
<p>Well, <em>do you</em>?</p>
<p>Furrier thinks not: &#8220;Risk losing it all in competitive warfare where you&#8217;re undermatched and overgunned. &#8230; It&#8217;s about basic risk management.&#8221;</p>
<p>Of course, all BoomTown can offer to say is this: There is absolutely nothing basic about it.</p>
