For someone who is still mulling things over about what to do about his more than five percent investment in Yahoo, hedge fund investor and activist shareholder Daniel Loeb has been very busy lately getting his arsenal ready.

While deciding whether to mount a proxy fight — a potentially nasty public fight with the Silicon Valley Internet giant that sources said could start much earlier than the expected February 24 filing date to make a board challenge — he’s also had at least one phone meeting with new Yahoo CEO Scott Thompson in the last week to talk about the company’s future.

Sources said the talk was cordial, although the pair were not yet discussing any kind of rapprochement, which presumably could lead to board seats for Loeb.

But how far Loeb will go and how far Yahoo will give are the big open questions that are about to be answered.

The earliest nominations for directors by outsiders like Loeb can be submitted is February 24. He then has a month after that to propose a competing slate.

Starting last fall when he started accumulating Yahoo shares, Loeb had aggressively called for the ouster of Yahoo’s Chairman Roy Bostock and director and co-founder Jerry Yang. Yang stepped away from Yahoo earlier this month and Bostock just announced his upcoming departure this week.

Despite the renewed communication with Yahoo, Loeb is still acting like he might opt to fight — or at least freak out Yahoo enough to cooperate.

Among his recent activities, according to many sources:

* Attempting to assemble an alternate slate of directors — including trying to persuade high-profile entrepreneurs such as David Goldberg and Max Levchin to join his board. Loeb has been to Silicon Valley several times to stir that pot.

* Meeting with a spate of powerful tech execs, here and elsewhere, in order to gain support for his battle and search for his own preferred leaders for Yahoo. A favorite is Hulu CEO Jason Kilar.

* Working on hiring a top outside crisis communications firm to handle the expected onslaught of media mudslinging that is sure to take place.

* Buttonholing large Yahoo investors to join him and getting, sources said, more support than expected from bigger ones. That’s no surprise: Capital Research Global Investors and Capital World Investors, Yahoo’s biggest institutional shareholders, voted against the company’s board in its last proxy battle and has been much disgruntled with the latest Yahoo stumbles.

* Recently reaching out to top Yahoo execs, including both Yahoo’s Chief Product Officer Blake Irving and Americas head Ross Levinsohn. Irving was so spooked by Loeb’s hello-there, several sources said, that he sent an email to Yahoo’s top staff about the contact attempt, noting he did not return the call (teacher’s pet alert!).

These are, of course, classic activist tactics by Loeb, aimed at getting the changes he wants made at Yahoo by applying real and perceived pressure.

Loeb had previously criticized the company’s talks with private equity investors, saying the prices being discussed were too low, which helped scuttle those talks.

Yahoo has also tried to gird itself and to assuage other shareholders and the media, as it can hardly stand what a proxy fight will do to its already battered image.

Some recent moves to look like it is on the move include: Loudly negotiating with its Asian partners for a big payday; making significant board changes; and hiring Thompson. Next up, as I previously reported, a large-scale restructuring and the inevitable cost-saving layoffs.

Who wins — and who blinks — in this Loeb versus Yahoo face-off, though, is still to be determined.

“I didn’t want the password to live in an email somewhere. I started thinking, what if there was something that would allow me to destroy the email?” Robbins said in an interview.

The thought stayed with him, and by summer, Robbins had dropped the other project to turn his full attention to building a service for hyper-secure email exchanges. He named the service Burn Note.

Burn Note, which opens up to the public today, allows the sender of an email to set a time frame in which the receiver can read an email before the email disappears.

At that point, the email no longer exists — anywhere.

Burn Note’s Web site says the service uses no binary logging, which means there are no standby servers, or backup copies of emails. The company uses a storage engine that has no journaling capabilities, and an underlying file system that logs metadata but not the content of the notes themselves.

While grabbing an image of the email might seem like a simple workaround, Robbins said he has introduced two methods to the service that make it extremely difficult for recipients to quickly copy the text of an email for posterity. Burn Notes can include Web links, but can’t send attached files, though Robbins has said attachments are in the works.

“I think there are a lot of legitimate uses for why people would want an off-the-record conversation,” Robbins said. “The message goes away, but it’s still been communicated to the recipient, which is the point.”

Robbins most recently served as the head of software development for Facebook-acquired Drop.io; he said the Burn Note service was partly inspired by that cloud-storage service. “There was a feature that we considered, but ultimately didn’t turn on, where a file could have a certain number of views before it self-destructed,” Robbins said.

While there currently aren’t any mobile apps for Burn Note, Robbins said that it’s a mobile-optimized Web site, so it can be accessed from a phone with a Web browser.

Highly encrypted or “vanishing” email services aren’t new. In 1999, Canada-based Hush Communications launched Hushmail, a free Web-based email system for individuals and businesses that sent PGP — Pretty Good Privacy — encrypted emails. As Wired reported, it was originally stated that “uniquely-coded” Hushmails were so encrypted that not even Hush employees with access to servers could read the emails.

But in 2007, Hush turned over a dozen CDs of emails, following a court order obtained through a mutual assistance treaty between the U.S. and Canada. The evidence was requested as part of a U.S. federal prosecution of alleged steroid dealers. The company subsequently acknowledged that Hushmails could, in some instances, be decrypted.

In 2009, the New York Times wrote about a group of scientists at the University of Washington who developed software that would make email messages disappear after a period of time. The software, called Vanish, would rely on a key-based encryption system that differed from the usual key cryptography used in digital communications, by making the “keys” erode over time.

A couple of months after that, “Freedom to Tinker,” which is hosted by Princeton’s Center for Information Technology Policy, released a paper detailing a series of experimental attacks against the Vanish prototype. The paper stated that Vanish should be considered too risky to rely on.

On a Web site for Vanish, the group acknowledged that the implementation on which Vanish was based was not adequately protected against attacks, and says it’s “investigating new directions and architectures for self-destructing data.”

Burn Note’s Robbins says Hushmail’s service and the Vanish project are different from Burn Note because those products rely on encryption keys, while Burn Note is effectively reengineering the default settings of computer systems and server systems so that nothing at all is saved.

When asked what Burn Note’s protocol would be for handling requests from law-enforcement officials for email exchanges, Robbins replied, “Burn Notes aren’t emails.”

He went on to say that the exchange of Burn Notes is more comparable to phone calls in that, unless they’re recorded, the exchange itself can’t be retrieved.

But Burn Note — unlike phone companies — doesn’t keep a log of who is communicating with whom. Robbins said the company plans to compile and study anonymous usage data, but will keep two separate logs — incoming messages and outgoing messages — rather than a log of messages exchanged between users. According to the company’s explanation of its technical procedures, even the time stamp on the message is anonymized: Burn Note rounds the times to the nearest hour so that timing cannot be used as a unique identifier.

“A lot of services launch to acclaim that they’re going make digital communications disappear,” said Paul Ohm, an associate professor of law focused on information privacy at the University of Colorado Law School. “But they sometimes become that place where bad people go to exchange information, or a haven for criminals. In order for this work, you have to stay on the side of legitimacy.”

“It’s never a complete dead end,” Ohm added. “There has to be data living somewhere, and there’s always a way to engineer around these systems.”

While Burn Note will at first be marketed to the average email user, Robbins said he hopes to attract attention from the enterprise market. “I think there’s a really interesting set of use cases around banks, especially if it can be made to plug in to existing systems,” he said.

When asked how Burn Note might comply with the record-keeping obligations of U.S. financial institutions have, Robbins said it would require a case-by-case evaluation.

“I don’t have a good answer for that, because it will require review by a legal professional before we can fully work through that type of situation,” Robbins said. He pointed to the company’s privacy policy, which plainly states:

“If you have a legal obligation to preserve data, do not use Burn Note.”

Yes, he jumped, even though being pushed was surely looming on the horizon ahead.

But the decision of Yahoo co-founder, former CEO and director Jerry Yang to leave Yahoo was indeed sudden, with the board meeting just this morning about the issue.

It was so sudden, in fact, that Yahoo’s key execs — including its communications arm — had only a few minutes heads-up to what is arguably one of the more momentous events in the history of the Silicon Valley Internet giant.

In fact, newly installed CEO Scott Thompson was in Los Angeles in a previously planned visit to meet his new staffers, said multiple sources, forcing him to participate in the board meeting from there.

As it turns out, according to numerous sources, Yang had had enough, and had finally realized that perhaps the many players in the ongoing Yahoo drama inside and outside the company had also had enough of him.

As I wrote last week about the possibility of Yang stepping down from the board, such a move of a founder from its board is unusual, although it was possible in this case:

“While Internet company founders usually stick on boards, it’s not a given, especially with all the turmoil at Yahoo, some of which is related to Yang.”

In fact, as the pressure has mounted on Yahoo to right its ever-listing ship, a lot of the rancor was being piled atop Yang, whether deserved or — in some cases — undeserved.

That’s because, even after the rough time he had as CEO of Yahoo, Yang had remained unusually active in its affairs, joining internal meetings and being part of discussions about its strategic alternatives.

And while he might protest that he was doing what was asked of him by the board, his status as the company founder made it hard to minimize his clout.

“It’s hard to ignore Jerry Yang,” said one exec. “He has an impact on everything, even if he thinks he does not.”

The recent negotiations with Yahoo’s Asian partners is a case in point. While board member Brad Smith and others have been a key part of the talks to sell off parts of its stakes there — which are critical to Yahoo to complete — execs at both China’s Alibaba Group and Japan’s SoftBank both pointed to a too-strong influence of Yang in the deal as a possible stumbling block.

Yang served on both the boards of Alibaba and SoftBank’s Yahoo Japan, so his interest would have been obvious. But sources involved in the talks would often blame him for their rocky nature and difficulty.

“Jerry just does not want to sell,” one said to me last week.

Maybe he didn’t or maybe he did, but one thing was clear: Yang had become a lightning rod for a lot of the trouble Yahoo has gotten into over the years.

That was true with major investors, who have been more loudly saying of late to its board that his continued presence was a problem. The most vocal, of course, was Yahoo’s activist shareholder Daniel Loeb, who has called for Yang’s ouster, and has been contemplating a proxy fight to make it so.

Loeb was out in Silicon Valley last week, talking to possible alternate board members, many of whom have been longtime colleagues and even friends of Yang, and took the meeting anyway.

Worse, perhaps, was the prospect that Yang has also been losing his most ardent fan base: Yahoo employees.

With all the mishegas over recent years, they had also begun to question his role as a leader in the company, many voting with their feet by leaving in droves.

With a new CEO in place, and the possible chance that its Asian problems were moving in the right direction, it had to have sunk in for Yang that it had finally become time to make peace with the present by abandoning his future at Yahoo.

Thus, he wanted to leave on his own terms, even if — in the end — the man who is most definitely one of the Internet’s most important pioneers did not have much of a choice.

Through many years of working together, first at eBay and then during the failed California governor’s race, Meg Whitman has relied heavily on Henry Gomez for communications advice.

Their close working relationship even earned them the mash-up nickname among those at eBay and elsewhere: Menry.

So when she got the CEO job at Hewlett-Packard, it was a bit of a surprise that Gomez — who has recently been living on the East Coast (see baseball cap above) — helped out a lot, but was not named to the top PR slot at the tech giant.

No longer, it seems, with Gomez being named EVP and Chief Communications Officer at HP today.

It’s a big job, given the hard work that Whitman faces reviving the iconic tech company, which has been beset by strategic and business challenges of all kinds, shapes and sizes in recent years.

While it might be seen as an adjunct to the business, the forward-facing parts of HP are in need of a powerful public relations initiative, which is presumably why Whitman wanted one of her most trusted and longtime staffers in the post.

According to HP, Gomez will become a member of the company’s executive council and report directly to Whitman.

Prior to joining eBay, Gomez was vice president of Corporate Affairs at HBO in New York. He started his communications career at Hill and Knowlton and has worked on a wide array of public relations and marketing communications challenges in numerous industries.

Most recently, Gomez ran his own consulting business, providing communications counsel to clients such as H&R Block. He was on the leadership team of Whitman’s 2010 campaign for governor of California and has been involved in government and political affairs throughout his career. In 2011, Gomez was appointed to the board of BJ’s Restaurants, Inc. He is a graduate of Boston College.

It’s 2012 and it’s time for a brand news obsession for me besides the mishegas of Yahoo — and the winner is: Facebook’s upcoming IPO.

Thus, I shall endeavor to scoop all deets great and small about the social networking site’s moving on up to a deluxe public company in the Wall Street sky, which is expected in the spring of this year.

From bankers battling for purchase to who’s selling what to the delightful back and forth with regulators to Google’s lobbing the inevitable screaming meanies at its rival during Facebook’s quiet period, this is going to be a good one.

And CEO and Co-founder Mark Zuckerberg — and his hoodie — are back in the brightest of spotlights!

Speaking of the need for PR, one of the unsung but critical parts of any company’s public offering process is the hiring of an outside communications firm to handle the deluge of media, rumors and other breathless attention Facebook is sure to get.

It’s a highly specific job, given the reporters a company will be dealing with — in this case, sharp-elbowed Wall Street reporters — are usually different than the ones the Silicon Valley start-up has mostly dealt with (the geeks!).

And the expected winner of that thankless job is likely to go to the Brunswick Group, which describes itself as an “international corporate communications partnership that helps businesses and other organizations address critical communications challenges.”

In other words: Will be putting out the endless wildfires sure to rage around tech’s hottest IPO since Google.

Brunswick is among a small group of high-powered strategic communications firms that compete for such high-profile IPO jobs, as well as mergers and acquisitions and other corporate battling.

Others include Sard Verbinnen & Co. (it has worked for Groupon board and Alibaba Group); Joele Frank, Wilkinson Brimmer Katcher (it has toiled for Hewlett-Packard) and Kekst and Company (now cat-wrangling the Yahoo drama).

It’s probably not a surprise that Brunswick won the deal, since it has worked with Facebook in the past, including on its controversial private offering with Goldman Sachs a year ago.

No surprise, everyone declined comment.

Thus, let the Hunger, oops, PR games begin!

The move to beef up communications expertise at the prominent Silicon Valley venture firm continues: Sequoia Capital has hired Andrew Kovacs, a well-regarded senior manager from Google, for a new job to help its portfolio companies with public relations and other related issues, sources said.

Google’s top flack Rachel Whetstone told staff about the move this past week, sources said, which will take place in mid-January.

Kovacs (pictured here, looking very GQ), who has been at the search giant for five years, has most recently headed PR for its apps unit.

His appointment comes after competing firms, including Andreessen Horowitz and Kleiner Perkins, bolstered talent to the comms areas of their firms, in order to better service the companies they invest in.

This is especially important to early-stage start-ups and their often young entrepreneurs, who usually have little experience with the media or with marketing. But such expertise is increasingly important in the crowded and ever-noisier tech sector, as companies try to rise above the fray.

Sequoia already has a longtime marketing partner, Mark Dempster, to whom Kovacs will be reporting, serving the firm’s companies in the U.S. and Israel. Kovacs will not be working on PR for Sequoia itself.

Some of Sequoia’s better-known start-ups include Dropbox, Tumblr and Eventbrite.

South Korean consumer electronics giant Samsung Electronics has hired former AOL and Google exec David Eun to lead a new push to create more media offerings, the company said.

In a press release, the maker of a wide range of devices — from televisions to tablets to smartphones and more — said Eun would serve as executive vice president of its media-related units.

About Eun’s role, Samsung said: “He will play a key role in developing a global media strategy and driving new business opportunities to take advantage of Samsung’s growing number of digital televisions and displays, mobile phones, tablets and other connected devices.”

It’s not clear what that means, but presumably it could spell more investments and acquisitions in digital media, and even in the social space.

The move is part of a larger reorganization at Samsung Electronics, which it also announced has divided into two parts, digital media and communications and device solutions.

Samsung’s deepening of its media efforts — it has previously launched various smaller content initiatives — is an interesting one, especially in light of the fast-changing market it now competes in, in which partners like Apple and Google have also become intense rivals.

Google bought Motorola recently and has been increasing its media offerings, as has Apple. Samsung and Apple are also engaged in a series of global legal battles over devices.

In turn, companies like Amazon — which recently released the Kindle Fire tablet — have upped their efforts in the consumer electronics area.

In addition, Japan’s Sony — which already owns a major Hollywood studio — now owns all its handset business and has recently added tablets to its lineup.

Eun is an interesting choice, having been part of Google’s earliest efforts to move beyond its core search business into media, such as its acquisition of YouTube.

He left his most recent job at AOL, where he had headed its content unit, earlier this year. Eun has also previously worked at both Time Warner and NBC.

Kleiner Perkins has nabbed former Twitter engineering head Mike Abbott, who left the social communications company less than two months ago to be an entrepreneur in residence at Benchmark Capital.

(Well, that didn’t last long, Mike, but maybe the food was better at 2750 Sand Hill Road than at 2480 Sand Hill Road.)

In an interview this morning, Abbott said that he hopes to stay a VC for 20 years (yipes!), since it allows him to work closely with a wide range of entrepreneurs and also get a broad view across a spectrum of businesses.

“I am really energized about what’s been happening in a lot of places like software,” he said. “From my experience, I think I bring a lot of differentiation for the companies Kleiner is invested in.”

And tech cred too. “We think engineers will be thrilled to have access to Mike and he’s a magnet for talent,” said Kleiner partner Ted Schlein, who compared him to all the comic-book heroes, The Avengers, in one person. “Mike is multi-faceted.”

Abbott was indeed a high-profile hire for Twitter a little over a year ago from Palm, where he served as head of its software and services, in charge of its webOS mobile platform.

He was brought in to provide a level of discipline and reliability to the Twitter communications platform and service, which had been plagued by persistent outages that made the Fail Whale infamous.

Abbott will focus on social, mobile and cloud investments at the well-known Silicon Valley venture firm while working on a team that includes high-profile players Mary Meeker and Bing Gordon.

In less than a year and a half, Abbott grew the Twitter engineering team from 80 to more than 350 engineers in an intensely competitive recruiting market. Mike Abbott is just the third senior KPCB partner added in three years, joining Bing Gordon and Mary Meeker, each with exceptional records serving mobile, social and cloud entrepreneurs. Cantaloupe Systems, a Bay Area-based start-up that provides tech services for vending machine operators, has been working to deploy near field communication-enabled payment terminals at vending machines in San Francisco, Chicago and the mid-Atlantic region.

But not for hungry Apple iPhone users, since the NFC technology that is being installed only works with Google’s one-tap payments app for Android-based smartphones, called Google Wallet.

Cantaloupe co-founder Anant Agrawal said that Google Wallet-equipped vending machines will feature prominent stickers so consumers know which machines work with the app, and that eventually operators and even Google could send coupons and rewards to users as they purchase snacks.

For vending operators in the U.S. — there have long been such technologies in places like Japan — one-tap mobile phone payment could be a much-needed boost. From 2008 to 2010, vending machine sales fell 18 percent to $19.25 billion, according to an industry report from Automatic Merchandiser.

This is attributed mainly to a high U.S. unemployment rate — fewer people working means fewer people in offices, and office purchases account for 80 percent of all vending machine spending. Consumers are apparently not buying snacks at theme parks and airports, either.

Still, using a smartphone to pay at vending machines is a long way from becoming office protocol. Google Wallet is currently only available on one smartphone, the Sprint Nexus S 4G phone.

And while Cantaloupe said it has installed 6,000 NFC bezels so far, that’s a small percentage of the 80,000 machines in Cantaloupe’s network, and an even smaller fraction of the six million vending machines across the country.

In addition, while industry reports show vending operators are investing in new technology, many still don’t even accept credit card payments, because the benefits of easier payments don’t outweigh the transaction fees on low-margin items such as snacks.

Nonetheless, some think the ability to offer more coupons and rewards in the future is worth the investment in the tech now.

Mark Stein — whose company, Mark Vend, operates 2,000 vending machines in businesses, hospitals and universities in the Chicago area — plans to install NFC-enabled bezels on half of his machines by early 2012.

“It takes a long time to get the infrastructure out there,” he said. “But as more and more people do mobile banking, I think they’ll want to do more purchasing with their mobile phones.”

High-tech vending machines might have another benefit, too. With the introduction of compatible mobile apps, consumers could potentially request that certain items be included in the next round of snacks, and send immediate complaints when a machine is malfunctioning.

In other words, no more snacks stuck in vending machine purgatory.

As bidders ready their offers for all or parts of Yahoo this week, a lot of the eyes for one of the more aggressive ones will likely be on well-known Silicon Valley entrepreneur and powerful VC Marc Andreessen.

That’s because he’s deciding whether or not to play a significant role — as a key board member and even possibly as chairman — in an effort by private equity firm Silver Lake to buy part of the troubled Internet giant and attempt a dramatic reversal of its waning fortunes.

Andreessen, who now runs the Andreessen Horowitz venture firm with Ben Horowitz, has visited Yahoo execs, as I reported last week, part of a weighing of whether to deeply enmesh himself in turning around the iconic Web property.

He has been, as was also reported several months ago, allied with Silver Lake on a Yahoo effort since September and worked with the firm on its purchase and then sale of Internet communications service Skype.

For Andreessen — who serves on the board of Hewlett-Packard and has a lot on his plate running a major venture firm with investments at key companies throughout the tech sector — the decision to join with Silver Lake is a tough one, given that the possibility of failure is not unheard of.

“The question is whether Yahoo can be a growth company again,” said one person close to the situation. “And that is still unclear.”

In meetings with Yahoo execs, several sources noted that Andreessen was unusually blunt about the problems Yahoo faces and its mistakes in the past. They noted as well his reticence over the amount of work required to make a difference.

“He seemed very negative on the idea of whether anyone had what it took to turn it around,” said one exec.

Another factor: Possible friction with Yahoo co-founder and Andreessen friend Jerry Yang. The pair have discussed the issue on friendly terms. “Marc would not do this without Jerry being okay with it,” said one source.

That’s because observers expect the entrance of the Netscape co-founder — who has enormous clout with engineering talent across Silicon Valley, which Yahoo dearly needs — to overshadow and even minimize Yang’s involvement.

One thing is clear: Major shareholders, who are wary of any deal that would keep the current regime in place at Yahoo, told me in multiple interviews last week that the only way they would accept a partial investment by a private equity firm — called a PIPE — would be if there was new leadership in any deal.

And the first name mentioned by almost every Yahoo investor as a key get? Marc Andreessen.

Andreessen declined to comment on any of the 53 emails I sent him asking to.

One area of literacy that’s changing is the order in which things are presented — it isn’t linear, it’s organised spatially, and often some meaning is carried in the design, layout, images, sounds, movement, subtle changes in colour in a game — it’s all part of what literacy is in today’s world. One of Yahoo’s biggest problems — brain drain — has turned out to be an asset for private equity firms and other players interested in figuring out their best moves related to the Silicon Valley Internet giant.

A plethora of ex-Yahoos, including many former top execs, are getting buttonholed by those who want to know more about the inner workings of the company that might not be obvious from its copious financial data available publicly.

That includes former Americas head Hilary Schneider, who has a longer-term consulting gig with TPG Capital, one of the several PE firms that has recently signed a non-disclosure agreement with Yahoo; former COO and President Sue Decker, who has had a longtime informal relationship with Blackstone, which has not signed the NDA and has been in talks with Yahoo’s Asian partners, China’s Alibaba Group and Japan’s SoftBank; and even former CEO Carol Bartz, who sources say has also been contacted to get her insights.

She is one of many in that regard, in a large pool of former Yahoos, such as: LinkedIn CEO Jeff Weiner, who had run Yahoo’s media efforts; Chegg CEO Dan Rosensweig, former Yahoo COO; SurveyMonkey CEO Dave Goldberg, who ran swathes of Yahoo’s entertainment properties; Criteo CEO Greg Coleman, former Yahoo sales head; former CEO Terry Semel, who is now an investor; former communications exec Brad Garlinghouse, who is now at AOL; and Demand Media Chief Revenue Officer Joanne Bradford, who also was a top Yahoo advertising exec.

Not all are cooperating with the requests for a chitchat about Yahoo, but there is much incoming interest in ex-Yahoos and what they might know.

There’s lots more where that came from, from all parts and all levels of Yahoo, given the breadth of the exes now doing very well — thank you very much — throughout the tech and media industries.

Thus, calls from PE firms, from Silver Lake to Bain Capital to Providence Equity Partners, as well as interest from major and majorly irritated shareholders, such as activist hedge fund investor Dan Loeb.

It’s a smart idea to tap this rich vein of information, as all contemplate possible multi-billion-dollar investments.

While some of these execs have not worked at Yahoo in many years, all have significant knowledge about the challenges and also the culture that cannot be gleaned from spreadsheets.

They also know a lot about the internal politics and personalities of the existing inside players, too. More importantly, several were involved in similar previous major business decisions at Yahoo.

Decker, for example, was a key exec in the Yahoo takeover attempt by Microsoft several years ago; Schneider and Bartz were deeply involved in striking the advertising and search partnership with Microsoft.

“Between everyone, it’s a good way to figure out where all the bodies are buried,” said one person close to the situation. “And there are a lot of bodies.”

According to sources close to the situation, Twitter VP of Engineering Mike Abbott has left the company.

He is apparently interested in doing more investing.

[UPDATE: Twitter confirmed the departure in a statement, noting that Abbott was joining Benchmark Capital as an entrepreneur in residence. Benchmark’s Peter Fenton is on the Twitter board.

“We can confirm that Mike Abbott is no longer with Twitter. Mike will be available to assist the company in his new role as an Entrepreneur in Residence at Benchmark Capital. We thank Mike for his leadership in growing an outstanding team of engineers from 100 to 400 that have successfully taken on the unique challenge of making Twitter reliable and stable. While Mike led the engineering team, Twitter grew from handling 55 million tweets a day to 230 million. Twitter is focused on aggressively moving forward to fulfill the profound opportunities that are in front of us.”

Said Fenton:

“What Mike Abbott accomplished at Twitter is nothing short of heroic, when Benchmark introduced him to the company we felt he had the courage and entrepreneurial drive to build a strong engineering foundation. The move feels sudden, but sources said it has been brewing for a while and happened several days ago.

Abbott was a high-profile hire for Twitter a little over a year ago from Palm, where he served as head of its software and services, in charge of its webOS platform.

He was brought in to bring a level of discipline and reliability to the Twitter communications platform and service, which was plagued by persistent outages that made the Fail Whale infamous.

In large part, Abbott has done that, as Twitter has grown significantly. It now has 230 million tweets per day, he said in a recent interview.

Twitter does not have a replacement as yet, sources said.

As expected, the European Commission approved Microsoft’s $8.5 billion acquisition of Skype late last week.

Next, the deal for the popular Internet communications company — which had previously been cleared by U.S. regulators — is likely to officially close later this week (paperwork!), said several sources close to the situation.

Now, of course, comes the hard part — which is whether Microsoft can successfully integrate the more nimble Skype into the belly of the software beast and allow it to thrive.

Some key questions:

How smoothly can Microsoft integrate Skype into its existing products, such as its unified communications platform, Outlook mail and Hotmail, Office, Messenger and Xbox Live? And, perhaps most of all, Windows Phone devices?

That said, will Skype also get to do what it needs for its own success beyond Microsoft? That includes working with mobile rivals Apple and Google, who now dominate the smartphone market, as well as many others. It has already managed to buy GroupMe group messaging start-up for $85 million, just months after its own acquisition in May.

And can the division — which will be led by Tony Bates, Skype’s CEO and now a Microsoft president — operate successfully located mostly away from the power center of Redmond, Wash.? Skype has a substantial office in Silicon Valley, as well as key engineering units in Estonia and Stockholm.

In that vein, will Microsoft be able to hold on to new talent like Bates and Skype’s geek squad, all of whom have substantial choices elsewhere? Like a lot of large tech companies, Microsoft is not known for being able to hold on to those who come in from the outside, in large part due to its insular culture of longtime execs.

In other words, how big a welcome will Microsoft’s other powerful presidents — such as Windows division head Steven Sinofsky — give Bates and company?

Today, Fortune magazine released its annual “50 Most Powerful Women in Business” and, as usual, it had its share of tech execs on the list.

And off it, too — first and foremost being ousted Yahoo CEO Carol Bartz, who was jacked completely from her 2010 No. 10 rank. She was No. 8 in 2009.

In her place: Newly designated Hewlett-Packard CEO and former eBay CEO Meg Whitman grabbed the No. 9 spot.

Also on the list: fast-rising IBM sales, marketing and strategy exec Ginni Rometty at No. 7; Xerox CEO Ursula Burns at No. 8; Oracle President and CFO Safra Catz at No. 11; Facebook COO Sheryl Sandberg at No. 12; Google execs Susan Wojcicki and Marissa Mayer at No. 28 and No. 38, respectively; IBM North America GM Bridget Van Kralingen at No. 39; and Best Buy Americas President Shari Ballard.

Catz was the highest paid of the group, with $42.1 million in total 2010 compensation.

And also taken off this year: 2010 No. 14, HP’s Ann Livermore, who left her top job there, but still is on the tech giant’s board; 2010 No. 28 Cathie Lesjak, CFO of HP; 2010 No. 44 Lorrie Norrington, a former president at eBay; and Apple’s communications head Katie Cotton (she was robbed!), who was No. 50 in 2010.

“It is critical that we speak with one voice,” wrote Whitman in an internal email I obtained (below).

Thus, she has appointed longtime HP exec Lynn Anderson (pictured here) to “take on the role of acting Chief Communications Officer reporting directly to me,” according to the memo she sent to senior leaders at the company.

Not sure what “acting” means yet, but Anderson has gotten the job that was once that of former SAP exec Bill Wohl. He was put on “special assignment” late this summer, whatever that means, with his duties being taken up by Global Marketing EVP Marty Homlish.

Now Anderson is taking over, having helped during the Wohl transition. She previously headed up influencer relations for HP’s enterprise business.

And before that, she worked on a variety of marketing jobs for HP Canada. Anderson’s background is wonky, according to her company bio: “Before joining HP in 1983 as a systems engineer, Anderson was a programmer, analyst and operations manager for several IT departments.”

During the initial announcement of her new job running HP, Whitman relied on longtime comms adviser Henry Gomez. Gomez, who worked closely with her when Whitman was CEO of eBay and later on her unsuccessful run for California governor, has a consulting business and presumably did not want to work full time for HP.

In a blog it just posted, Groupon said its recently hired COO, Margo Georgiadis, “has decided to return to Google (her former employer) in a new role as President, Americas.”

She was only hired in April, just months before the company filed to go public. Georgiadis was previously VP of Global Sales at Google.

(Interesting way to get a better title at the search giant, Margo!)

Georgiadis was in charge of the company’s global sales, marketing and operations at the Chicago-based social buying service.

Sources said that the hiring did not gel on either side.

It might not be Georgiadis’ fault. She replaced Rob Solomon, who was in his job for one year.

And here’s another: PR hire Brad Williams, a longtime Silicon Valley communications exec, who was there and then gone in what felt like 23 minutes.

It seems Groupon does not like Silicon Valley types or, perhaps, vice versa.

Since its IPO filing, in fact, it feels as if it has been a non-stop circus disaster at Groupon.

That has included immense controversy about its sketchy accounting, huge slugs of venture funding going to its founders and a lot of worries about its growth.

Today, in a Friday late afternoon dumping of bad news in hopes that no one notices (I do), Groupon also amended its S-1 public offering filing once again to change revenue metrics and also add a controversial internal letter that CEO and co-founder Andrew Mason sent to employees to counter its many and growing critics.

There appear to be many more shoes dropping soon, said sources, so stay tuned.

Update on the Groupon Team

As a fast-growing company, we’ve done a lot of hiring this year, including on our senior executive team. Since the beginning of this year, we’ve made a total of 8 additions — that’s 57% of the total executive team. It would have been great if I could say that we batted 1,000%, but that’s rarely the case; after five months at Groupon, Margo Georgiadis, our COO, has decided to return to Google (her former employer) in a new role as President, Americas.

We’ve built a fantastic team that has proven itself highly capable, so this change won’t have an impact on operations. In fact, we are using it as an opportunity to reorganize in a way that reflects our evolving strategic priorities. Sales, Channels, International, and Marketing will now report directly to me.

Allison Johnson, who had been a top marketing exec for Apple, is finally close to launching on a new kind of marketing firm, sources said, with backing from Twitter co-founder Jack Dorsey and Malaria No More co-founder Ray Chambers.

Sources said that Johnson — who had been Apple’s vice president of worldwide marketing communications since 2005, before she quit in March — has since been ruminating on how to create a different kind of marketing company. Its aim is to help big companies and brands connect more effectively with smaller tech companies and burgeoning social networks.

“It’s a different new model, although it’s certainly a full-service solution for companies from a marketing point of view,” said one source. “But it does not conform to a typical agency.”

It’s not clear how much funding Dorsey or Chambers have put up or when the firm will launch. It’s been in formation for many months, said sources.

But Johnson has been working closely on its creation with longtime Silicon Valley PR exec Sarah Ross and others. Previously, she had been talking about such a partnership with Facebook PR exec Brandee Barker, who is no longer involved in the project.

Johnson has also talked to former Facebook marketing director Randi Zuckerberg, who left the social networking site last week to start her own marketing firm, about working together.

Johnson declined to comment on the venture.

Randi Zuckerberg, who is director of marketing at Facebook and also the sister of CEO and co-founder Mark Zuckerberg — is leaving the company after six years to start a new media firm to help companies become more social.

In her resignation letter, which is below in its entirety, Zuckerberg said:

“I have spent my years at Facebook pouring my heart and soul into innovating and pushing the media industry forward by introducing new concepts around live, social, participatory viewing that the media industry has since adopted. We have made incredible progress, but there is still much to be done and other ways I can affect change. Now is the perfect time for me to move outside of Facebook to build a company focused on the exciting trends underway in the media industry.”

Facebook confirmed the departure and in a statement said: “We can confirm Randi has decided to leave Facebook to start her own company. We are all grateful for her important service.”

There was no comment from Mark Zuckerberg directly.

The company Randi Zuckerberg is creating is apparently called RtoZ Media, which is obviously a play on her name.

The move is likely to be much noticed, since Randi Zuckberberg has been at Facebook since its early days and has also been a high-profile and charismatic personality both inside the social networking company and in Silicon Valley.

She has been on maternity leave for the last three months, after having her first child, and sources said she has told them that being away from the rapid-fire pace at Facebook has given her time to reflect on what she wants to do in the next phase of her career.

Presumably, leaving Facebook will give Zuckerberg greater freedom to work for a range of companies without a conflict. That said, it’s unlikely she’ll take on Google+ as a client.

Zuckerberg is certainly going out on a high note — she was recently nominated for an Emmy award in the category of live coverage of a current news event for her work on “Facebook Live,” a real-time news show she created and hosted for the company.

Zuckerberg, who is definitely not a geek like her brother, noted in her letter to Facebook COO Sheryl Sandberg and communications head Elliot Schrage: “I am thankful for the strong mentorship, guidance, and support, which is empowering me to follow my dreams and show that you don’t have to be an engineer to be a hacker.”

According to multiple sources close to the situation, Ning has been talking recently to a large pool of companies about selling itself, including Google and Groupon, as well as to a number of private equity companies.

Interest has been both incoming to and outgoing from Ning.

The talks around the fate of the high-profile social networking platform — co-founded by Silicon Valley icon and investor Marc Andreessen — are still early and might not result in a sale, although a number of sources said the company was being valued at up to $150 million.

That price is well below previous loftier valuations for Ning and would mean only a break-even for investors, who have put close to $120 million into Ning since it was founded in 2004.

Among its investors: Andreessen, LinkedIn Chairman and investor Reid Hoffman, Legg Mason, Allen & Company and Lightspeed Venture Partners.

There are no bankers involved in the preliminary efforts, in which Andreessen has been involved, although discussions with Google and Groupon have been substantive in nature.

Several other companies — including AOL, Demand Media and Go Daddy — have also been approached or are kicking tires at the site. Most would be interested in Ning’s technology for creating premium social networks.

Ning bills itself on its site as “The World’s Largest Platform for Creating Social Websites.”

The sales effort grew out of a parallel one to possibly raise more money for the start-up. Sources said there was some incoming interest, so talking to a larger pool of buyers was undertaken recently.

Such a move would be an interesting one for Ning, which has undergone a series of ups and downs over its history, including dramatic management and business plan shifts.

Its most recent plan has been to go all-premium, trying to find a way to turn the start-up into a profitable enterprise.

That’s worked out well, the company has previously said, with strong growth. Since its business shift a year ago, Ning has said, it has had 400 percent year-on-year revenue growth, going from 17,000 to more than 100,000 subscribers and with 60 million monthly active users.

Ning’s shift has been under the leadership of Jason Rosenthal, who had been COO of Ning until he replaced its founding CEO, Gina Bianchini, in early 2010.

Ning has also recently tried to get into the highly competitive mobile social communications arena, with a service called Mogwee. The traction for the product does not appear to have been significant.

Ning’s Rosenthal declined to comment about any sales efforts when reached by me today.

Yahoo turned in another weak performance in the second quarter, with yet another decline in revenue.

This time it was five percent, compared to last quarter’s six percent. In other words, at least things are looking up as they go down!

While earnings per share rose smartly, Wall Street is still looking for strong sales growth from the Silicon Valley Internet giant, which seems unable to provide it.

Blamed most this time for the revenue fall: Yahoo’s changes in its display sales operations in the key Americas region, reasons for which were largely unspecified in the initial company press release. (You can see the damage in this slide deck from the company here.)

Maybe Yahoo CEO Carol Bartz will explain it all in its upcoming conference call with analysts (or she could try the I-don’t-know approach taken by News Corp. CEO Rupert Murdoch in PhoneGate hearings in Britain earlier today!).

2 pm PT: It starts with the usual regulatory blah-blah, which I always enjoy.

Bartz gets right into it, opening with the key problems with China’s Alibaba Group, as well as its display and search revenue weaknesses.

The fight with Alibaba is over its Alipay payments unit, which was spun out of the Chinese company without Yahoo’s say-so. Yahoo is a big shareholder.

Bartz says that the company was working on a settlement night and day.

But she quickly gets onto how display did not perform as expected in its key Americas arena. “Obviously, I am not happy,” she said.

Obvi! Neither are shareholders, Carol.

She says it was not about new competitive development. It was not about the economy. It was not about engagement.

So what was it? Changes in its sales leadership and organization, says Bartz, which has included talent walking out the door in droves.

A lot more than Yahoo expected, but no surprise to anyone who has been paying any attention to the brain drain at the company.

Bartz promises a new approach to sales, part of its endless turnaround, which is beginning to feel like a digital version of “Waiting for Godot.”

Search revenue, though, says Bartz, was better than expected.

2:11 pm: CFO Tim Morse is on now, running through the numbers and the display shortfall in the Americas region.

“We simply did not have appropriate coverage,” says Morse, noting consumer products, tech and autos as weak spots in the advertising market.

Thank goodness, then, for the guarantees from search revenue in the Microsoft partnership deal.

More numbers and then it is back to Bartz to talk about search, which is going better than the last quarter, when it was the culprit for the revenue decline.

She says that Microsoft and Yahoo were working together to improve the issues.

“We’d like to be further down the road,” says Bartz about the goal of search revenue per search growth, as well as settling all the other problems, such as the Asian issues.

And, by further, I am presuming she means actual forward movement, which is what roads are actually for.

2:27 pm: Q&A time, the part of our program where Wall Street analysts do not ask the questions that need asking (and where I win fancy journalism awards for pointing this delta out!).

Therefore, Bartz is first thanked for providing “color” about the display disaster and is not asked about more specifics of the disaster itself.

The second question still does not get to it either, but she does note Yahoo’s sales force has to sell beyond “Gee, we’re big” and come up with better ad solutions.

“The issue is we did not have enough sales people in front of the big clients,” says Bartz.

That’s because all those former Yahoos are now working at Groupon, LivingSocial, Facebook and on down the line and now in front of big clients for those hotter companies.

2:34 pm: Question about its Asian assets. Yahoo’s talks with Yahoo! Japan and Alibaba are separate, says Bartz, although I would add that they have non-movement in common.

And also a question about Yahoo’s interest in the acquisition of the Hulu premium online video service.

Bartz winks verbally and says nothing, which translates into: Of course, it is interested.

More on the reasons for the display fall-off, which Bartz makes clear is not due to big competitive threats, but internal issues.

Maybe she’s saving big competitive threats as the reason for a revenue decline in the third quarter!

I look forward to the quarter I get the finger pointed at me for causing revenue to fall, due to my snarky posts.

Now, we are into softball questions about improvements in engagement. It’s up, but no one asks why Yahoo is still not doing anything very cutting edge in product innovation compared to competitors.

I believe Google has launched at least 14 new social networks since this Sunday, along with its strong quarterly performance last week. And Apple, well, blew away its quarter today as it is about to release more cool new stuff later this week.

And that might be the crux of the issue for Yahoo, which might not solve its woes by throwing a more focused sales army at the issue.

That’s because Yahoo’s products are simply not nearly has social as Facebook or even Google right now, which might be the true problem as old customers move on to new advertising solutions.

Whatever the reason, Yahoo clearly needs a refresh of its ad products and how it sells them, especially in its fast-growing mobile, video and communications products.

Bartz talks about getting better expertise, a tighter regional focus and other issues of going to market, which is perhaps something she might have realized many, many quarters ago.

After all, she’s been in charge for a while, and these issues are not new.

In fact, in an earlier quarter, Bartz was stressing “tentpole” events and anchor media properties and the power of the size of Yahoo as a selling point.

This was in April, in fact, in the first quarter of this year.

As I wrote then:

“CEO Carol Bartz excited was the Silicon Valley Internet giant’s traffic gusher for big tentpole events such as the Super Bowl and the Oscars. In fact, Bartz practically sounded like a gushy “Entertainment Tonight” flunky when talking to Wall Street analysts about Yahoo’s Oscar news, games and other offerings. She proudly noted the site’s efforts generated more than a billion pages views.”

Now big is out! Moving on!

The last question is another about Yahoo’s talks with its Asian partners.

“It’s complex,” says Bartz.

You can say that again.

In the ongoing talent drain at Yahoo, longtime Yahoo search veteran Chi-Chao Chang (pictured right) is the next to swirl away from the Internet giant.

Chang was VP and GM of the global search business at Yahoo and has been at the company since 1999.

More importantly, he has been a key exec in Yahoo’s troubled search alliance with Microsoft, so there’s another plus for Yahoo (and by plus, I mean minus). It is not clear where Chang is headed.

On his LinkedIn profile, Chang described his job thus:

“I am responsible for Yahoo’s global search operations and marketplace, and am the executive manager of the Microsoft Search Alliance for the US/CA marketplace. My team runs in-region operations and marketplace analysis for Americas, Asia and Europe.”

But that’s not all today!

Also departing Yahoo is a top PR exec, May Petry (pictured left). She has held a number of different communications jobs at Yahoo over the years, including for its Connected Life unit, corporate and, most recently, for its Americas unit. Petry, who has previously worked at BEA Systems and Sun Microsystems, will head to Hewlett-Packard to run PR for its webOs unit.

(Note to May: I am just as interested in that action-packed business, so get ready!)

When the selling of Myspace winds down in the next week or so, it’ll probably attract a spate of comments about what a failure the whole social networking enterprise turned out to be.

And — especially when you recall what a Web phenom the social networking site was before it got blown out of the water by Facebook — it was.

That is, unless you think of the mob of former execs who have worked at the company over time, many of whom have moved on to some more golden opportunities after leaving the News Corp.-owned property.

That includes, most recently and notably, former sales head Michael Barrett, who is about to score big as CEO of AdMeld, which is reportedly in the process of selling to Google for $400 million.

Also a big winner: Former Myspace CEO Owen Van Natta, who was fired from that job in one of its many putsches and who quickly rebounded to a top job at online gaming powerhouse Zynga.

So, while it is one of the more overused memes of Silicon Valley, the “mafia” analogy — which has been applied to fertile entrepreneurial breeding grounds such as PayPal, before its acquisition by eBay — is useful when thinking about Myspace.

It is also a good thing to keep in mind about any tech company that goes off the rails: There might still be a silver lining, even if the start-up never sees the light of day again.

As proof, herein is a list I created after pinging a bunch of former Myspace folks:

Jason Oberfest: Former SVP of business development. Now, VP Ngmoco, which was sold to Japanese gaming giant DeNA for $400 million last year.

Dmitry Shapiro: Former CTO, Myspace Music. Now, at Facebook competitor Altly.

Adam Bain: While at Fox Interactive Media, he ran the ad platform for Myspace. Now, head of sales at Twitter.

Jeff Berman: Former president of sales and marketing. Now, GM of the NFL’s digital media unit.

Jason Hirschhorn: Former co-president and chief product officer. Now, on MGM board, angel investor, and there are rumors of him working on a curation start-up.

Amit Kapur: Former COO. Now, CEO, Gravity, an information filtering service start-up.

Chris DeWolfe: Co-founder and former CEO. Now, CEO, MindJolt, an online gaming roll-up.

Ross Levinsohn: Former president of FIM, he was integral to buying Myspace. Now, EVP of Americas unit, Yahoo.

Mike Lang: Former News Corp. strategy exec also involved in Myspace purchase. Now, CEO, Miramax.

Aber Whitcomb: Former CTO. Now CTO, MindJolt.

Jim Heckman: Former chief strategy officer of FIM. Now, CEO of 5to1, recently sold to Yahoo for $25 million.

Dani Dudeck: Former communications head. Now, PR head at Zynga.

Travis Katz: SVP of international. Now, CEO of Gogobot, a social travel start-up.

Richard Rosenblatt: Former CEO of Intermix Media and Chairman of Myspace, he sold it to News Corp. Now, CEO of Demand Media.

Angela Courtin: Former SVP of marketing. Now, EVP at Aegis Media.

These folks should be on the call list of whoever ends up buying Myspace. Last week, I wrote that an investor group, including Activision head Bobby Kotick, is now in the lead for the deal.

As an update, according to sources, Kotick has gotten clearance from Activision’s major shareholder Vivendi to do the Myspace transaction as a passive personal investment.
