			<content:encoded><![CDATA[<p><a href="http://allthingsd.com/20111017/former-data-domain-ceo-frank-slootman-gets-his-old-band-back-together/frank_slootman-feature/" rel="attachment wp-att-132786"><img src="http://allthingsd.com/files/2011/10/frank_slootman-feature-380x285.png" alt="" title="frank_slootman-feature" width="380" height="285" class="alignright size-Featured wp-image-132786" /></a>When we last saw Frank Slootman, the former CEO of the enterprise storage concern Data Domain, he had just <a href="http://allthingsd.com/20110112/greylock-adds-former-data-domain-ceo-as-a-partner/">joined Greylock Ventures</a> as a general partner. That was in January.</p>
<p>Fast forward to October, and Slootman is not only CEO of a new company, ServiceNow, but is getting his old band from Data Domain &#8212; which he sold to EMC in 2009 after a <a href="http://allthingsd.com/20090615/data-domain-to-emc-nix-null-nein-nyet-non-nuh-uh-nope-nay/">takeover battle with NetApp</a> &#8212; back together.</p>
<p>So what is ServiceNow? It was started in 2003 by Fred Luddy, the former CTO of help-desk management outfits Peregrine Systems and Remedy, one of which is now part of Hewlett-Packard, the other part of BMC. The ServiceNow idea is basically to compete with HP and BMC by replacing those old on-premise help desk management applications with a cloud-based software-as-a-service offering. </p>
<p>ServiceNow has grown like crazy, doubling its sales every year for eight years in a row &#8212; it now has 500 employees and boasts $130 million in recurring revenue. Slootman joined as CEO in April. And now he&#8217;s hired a bunch of his old buddies from Data Domain to join him.</p>
<p>Having earlier in the week <a href="http://www.marketwire.com/press-release/servicenow-appoints-microsoft-veteran-arne-josefsberg-as-chief-technology-officer-1568048.htm">tapped Arne Josefsberg</a> &#8212; a 25-year Microsoft veteran who was most recently general manager of the Windows Azure service &#8212; as its chief technology officer, ServiceNow has just hired a batch of Data Domain guys away from EMC:</p>
<ul>
<li>Michael Scarpelli, the former CFO of Data Domain will now be ServiceNow&#8217;s CFO.</li>
<li>Dan McGee, the onetime senior vice president of engineering, will be &#8212; you guessed it &#8212; senior vice president of engineering.</li>
<li>David Schneider will be senior vice president of worldwide sales and service, taking the same title he held at Data Domain.</li>
</ul>
<p>Though people know Slootman primarily for his work in the storage business at Data Domain &#8212; which he ultimately sold to EMC for $2.1 billion &#8212; he calls his journey into that line of business a &#8220;diversion.&#8221; Before Data Domain, he was a senior executive at Borland Software. &#8220;Before I was a storage guy, I was an applications guy. I worked in the software layer, so this is right in my wheelhouse,&#8221; he told me. &#8220;People say the cloud is hot, but what&#8217;s even hotter is cloud management, because people need software to manage it, and we&#8217;re right smack in the middle of that set of issues.&#8221;</p>
<p>So what&#8217;s the plan for ServiceNow? To kick things up a notch, naturally. &#8220;We&#8217;re getting the company IPO-ready,&#8221; Slootman says. And while it hasn&#8217;t hired any bankers yet, it&#8217;s not for nothing that Slootman just brought in a team of trusted execs who were along for the ride with <a href="http://blogs.wsj.com/venturecapital/2009/07/10/breaking-down-the-vc-investment-returns-of-data-domain/">Data Domain&#8217;s 2007 IPO</a> and subsequent acquisition.</p>
<p>If and when it happens, a ServiceNow IPO will be rather different from so many others in recent history. ServiceNow is already cash-flow positive: It has $70 million in cash on the balance sheet, Slootman says, and started with practically no venture capital. It took a small $2.5 million round from JMI Equity in 2005; in 2009, Sequoia Capital invested by buying out some employees&#8217; shares, and Sequoia&#8217;s Doug Leone joined the board of directors.</p>
<p>So what happened at Greylock? &#8220;I found out that I don&#8217;t have the temperament or disposition or DNA set to be a venture capitalist,&#8221; Slootman told me. &#8220;A lot of people told me I wouldn&#8217;t last, and they knew me better than I knew myself. If you&#8217;re going to fail at something, it&#8217;s best to fail fast and move on to the next thing.&#8221;</p>

			<content:encoded><![CDATA[<p><img src="http://newenterprise.allthingsd.com/files/2011/01/photo_fslootman.jpg" alt="" title="photo_fslootman" width="148" height="207" class="alignright size-full wp-image-1676" />Hot on the heels of participating in the mammoth <a href=http://emoney.allthingsd.com/20110110/groupon-closes-out-nearly-billion-dollar-round/>$950 million funding round of Groupon</a>, venture capital firm Greylock Partners announced named Frank Slootman, the former CEO of Data Domain, now part of EMC, as a partner.</p>
<p>Slootman had helmed Data Domain from its founding in 2001 through its public offering in 2007 and sold it to EMC for $2.4 billion in 2009 following a <a href=http://digitaldaily.allthingsd.com/20090615/data-domain-to-emc-nix-null-nein-nyet-non-nuh-uh-nope-nay/>bidding war with NetApp</a>.</p>
<p>Data Domain’s claim to fame is a technology called deduplication that allowed hard drives to get competitive with tape systems for backup. When making daily backups if only 2 percent of your data has changed why back up the other 98 percent every day? The amount of data you have to manage quickly explodes, and the only way to manage it in a cost-effective manner was to use tape systems. Data Domain changed that. “We neutralized the cost advantage that tape had and tore down the tape storage business in the process,” Slootman told me.</p>
<p>Data Domain was one of the early targets in the string of enterprise storage deals that included the <a href=https://digitaldaily.allthingsd.com/20100902/dell-bails-on-3par/>bidding war</a> between Dell and Hewlett-Packard over 3Par, and another <a href=http://digitaldaily.allthingsd.com/20101115/emc-to-buy-isilon-systems/>EMC deal for Isilon</a>. After EMC closed its deal for Data Domain, Slootman stayed on for 18 months in order to help with the transition.</p>
<p>And though Greylock is best known for its investments in two giants of social networking  LinkedIn and Facebook, Slootman said he’s joining to “bring more firepower” to its enterprise team. “There’s basically two activities in venture capital these days, enterprise and consumer,” he said. “There’s a lot of opportunities in data center storage and infrastructure technologies, networking, virtualization, enterprise apps. Basically stuff that gets sold to companies,” he said.</p>
<p>He says he’ll be on the lookout for companies that can repeat the what Data Domain did: Tear down an industry. “There’s only so much money in the world or in an industry. People are not going to spend net incremental money unless you can reduce their spending somewhere else,” he told me.  “Your game is to move the money from point A to point B. You’re looking for wholesale replacement of things that people are already doing, but doing it better, cheaper or faster.”</p>
<p>Cloud computing presents an interesting opportunity he says. Unlike the pre-cloud days with applications were tied to specific hardware, cloud-based services tend to require that everything in the data center be standardized. Getting all that gear to run efficiently requires virtualization &#8212; essentially allowing one machine to act like many. Virtualization makes it easy and efficient to get services up and running without a lot of hassle, but also to shut things down easily when they’re not needed. “Big companies are looking for ways to pay by the drink. They want to be able to scale up and down.”</p>
<p>Greylock’s most recent enterprise investments was a $6.3 million stake in Proferi, a cloud based enterprise performance management firm that’s still in stealth mode. Andreessen Horowitz and Peoplesoft founder Dave Duffield also participated in that round. Others include Pure Storage, another company in stealth mode, and Cloudera. All three were led by <a href=http://www.greylock.com/team/team/9/>Aneel Bhusri</a>, who was an early investor in Data Domain and served as its chairman.</p>

After market close Wednesday afternoon, NetApp said it has terminated its merger agreement with Data Domain, giving the data storage technology vendor leave to accept EMC’s (EMC) <a href="http://digitaldaily.allthingsd.com/20090706/emc-makes-data-domain-an-offer-it-cant-refuse/">unsolicited takeover bid</a>&#8211;at $33.50 per share cash, an 11 percent premium over its own.</p>
<p><a href="http://finance.yahoo.com/news/Data-Domain-Agrees-to-be-bw-3697309845.html/print;_ylt=AhKDZxnQZ_oMjs.ByztzG_vjba9_?x=0">Which is exactly what Data Domain did.</a></p>
<p>One consolation: NetApp (NTAP) may have failed as a suitor, but it received a $57 million breakup fee from Data Domain (DDUP) as a result of the termination of the agreement.</p>
<p>Still, it&#8217;s a tough blow for NetApp (NTAP), which will now focus on &#8220;existing growth opportunities&#8221; instead of ill-starred bidding wars with rivals.</p>
<p>Said Dan Warmenhoven, NetApp’s chairman and CEO: &#8220;While NetApp’s acquisition of Data Domain would have produced benefits for customers and employees and complemented NetApp’s existing growth trajectory, we remain highly confident in our already compelling strategic plan, market opportunities, and competitive strengths.&#8221;</p>
<p>“NetApp applies a disciplined approach to acquisitions, one focused intently on creating long-term value for our stockholders.&#8221; Warmerhoven added. &#8220;We therefore cannot justify engaging in an increasingly expensive and dilutive bidding war that would diminish the deal’s strategic and financial benefits. NetApp has established leadership positions in virtualized infrastructure, storage efficiency, and unified storage, even in these difficult economic times, by helping customers meet their business objectives with less physical storage while reducing costs. That commitment will not change. We look forward to continuing to build on our foundation of innovation and customer service, and to continuing to execute our successful growth strategy.”</p>

<p>This morning, <a href="http://www.emc.com/about/news/press/2009/20090706-01.htm">EMC raised its offer for Data Domain to $2.1 billion from $1.8 billion</a>, an 11 percent increase over its previous all-cash bid. Data Domain’s board had previously recommended that shareholders reject EMC’s $30-a-share cash bid in favor of a $30 cash-and-stock offer from NetApp (NTAP).</p>
<p>Hard to see the board doing so again now that the EMC (EMC) has sweetened the financial end of its proposal and removed some deal-protection provisions with which Data Domain (DDUP) had taken issue. With those gone,  EMC’s bid is clearly superior to NetApp’s, CEO Joe Tucci claims, and it would be hard to argue otherwise.</p>
<p>&#8220;Over the past several weeks we’ve received strong support from many Data Domain stockholders and customers, validating our belief that EMC is Data Domain’s best choice,&#8221; Tucci wrote in a letter to Data Domain’s leadership. &#8220;With regulatory requirements now fulfilled, and in light of the clearly superior proposal we submitted to Data Domain’s Board of Directors today, we expect Data Domain to sign our definitive agreement that will deliver superior value in cash to the Data Domain stockholders in as little as two weeks.&#8221;</p>
<p>Data Domain has until midnight on July 17 to accept the offer.</p>
<p><strong>UPDATE:</strong> NetApp responded to EMC&#8217;s announcement with the following statement:</p>
<blockquote><p>&#8220;In response to EMC&#8217;s revised, unsolicited offer, the NetApp Board of Directors will carefully weigh its options, keeping in mind both its fiduciary duty to its stockholders and its disciplined acquisition strategy. We will provide an update shortly.&#8221;</p></blockquote>

The offer, which was previously set to expire at 12 midnight on Monday, June 29, is now extended to July 10. Data Domain has already agreed to be acquired for $30 in cash and some stock by NetApp (NTAP), and EMC has been trying to pry the company out of that agreement with the all-cash offer, which has been rejected by Data Domain management. EMC chairman, president and CEO said EMC’s offer “remains superior to NetApp’s.”</p>

<p>On Monday the company once again said its bid for the data storage equipment maker Data Domain is <a href="http://biz.yahoo.com/prnews/090615/ne32496.html?.v=1">&#8220;superior&#8221; to a competing offer from NetApp</a>. This, despite the fact that Data Domain earlier in the day issued <a href="http://finance.yahoo.com/news/Data-Domains-Board-of-iw-15524382.html/print">a statement</a> recommending that shareholders reject EMC’s $30-a-share cash bid and instead accept a $30 cash-and-stock offer from NetApp.</p>
<p>&#8220;Our Board is committed to enhancing stockholder value and, after careful review with our outside advisors, determined that the $30 per share EMC Offer is not in the best interests of our stockholders at this time,&#8221; said Frank Slootman, president and CEO of Data Domain.</p>
<p>Why not? Well, among other things Data Domain hasn’t been able to discuss EMC’s offer because EMC hasn’t yet accepted the confidentiality and standstill agreement that would allow it to do so. For another, Data Domain must pay a $57 million termination fee if it should abandon its deal with NetApp&#8211;and that’s on top of a host of other considerable transaction expenses.</p>
<p>That’s understandable, I suppose. Still, it’s difficult to see why Data Domain insists that EMC’s all-cash offer is worth less than NetApp’s cash-and-paper bid. Unless it’s doing so to force EMC’s hand deeper into its wallet. And, indeed, that may be exactly what’s happening here. Sources say. EMC (EMC) could raise its offer to as much as $35 per share to win Data Domain (DDUP) or force NetApp (NTAP) to pay more than it can afford for it. &#8220;EMC is in the win-win box and NetApp is in the lose-lose box,&#8221; <a href="http://www.reuters.com/article/idUSTRE55B4LD20090612">a source close to the company told Reuters</a>. &#8220;EMC can pay more than NetApp can in a reasonable range. If NetApp wants to pay at an unreasonable range, that&#8217;s good for EMC.&#8221;</p>

			<content:encoded><![CDATA[<p>Until three weeks ago, few people outside corporate data centers knew much about deduplication technology, which makes data storage more efficient by culling repetitive documents. That changed when data storage companies NetApp (NTAP) and EMC (EMC) got into a bidding war last month for a leading provider of the heretofore obscure software.</p>
<p>Their target is Data Domain (DDUP), for which EMC is offering $30 a share and NetApp $25 a share. While the clash surprised people who don’t know about the technology, it was no shock for Darren Thomas, who heads Dell’s (DELL) data storage division. “We always knew” that deduplication was hot, he says.</p>
<p>This week, Dell  jumped into the fray when it announced a new deduplication box that combines technology from software maker CommVault (CVLT) with Dell hardware. The new product – along with new deduplication services that Dell is offering – may give a hint into the company’s M&#038;A strategy, which has been taking shape in recent months.</p>

Wednesday afternoon NetApp (NTAP) said Data Domain (DDUP) had <a href="http://www.marketwire.com/press-release/Netapp-Inc-NASDAQ-NTAP-999182.html">accepted</a> its<a href="http://digitaldaily.allthingsd.com/20090603/netapp-to-emc-i%E2%80%99ll-see-your-bid-and-rai-nevermind/"> offer of $30 a share in cash and stock</a> over an identical <a href="http://digitaldaily.allthingsd.com/20090602/emc-datadomain/">all-cash bid from EMC (EMC)</a>.</p>
<p>Apparently, Data Domain’s board did not find EMC’s offer to be the “win-win for both companies” that CEO Joe Tucci claimed. That said, its shareholders might. Apprised of the NetApp-Data Domain deal, EMC quickly issued a statement saying it plans go to the mat over this one. &#8220;EMC&#8217;s all-cash tender offer remains superior to NetApp&#8217;s proposed part-stock merger transaction,” <a href="http://finance.yahoo.com/news/EMC-States-Its-30-Per-Share-prnews-15430715.html?.v=1">Tucci said in a statement</a>. “We are proceeding with our superior cash tender offer, which is not subject to any financing or due diligence contingency. We do not believe that the Data Domain stockholders will approve the merger transaction with NetApp. EMC urges the Board of Directors of Data Domain to not take any actions that would further impede a transaction that is a superior alternative for Data Domain&#8217;s shareholders.&#8221;</p>

I say “of sorts” because this morning <a href="http://finance.yahoo.com/news/NetApp-Makes-Revised-Offer-to-iw-15422780.html">NetApp raised its offer for Data Domain to $30 a share</a> from $25 to match, but not exceed,  EMC’s bid. Which is odd, because EMC&#8217;s nearly $2 billion bid is all-cash and NetApp’s is cash and stock. Why would Data Domain shareholder’s prefer NetApp’s offer to EMC’s? For a few reasons, says NetApp CFO Steve Gomo. “First, it offers a combination of value certainty — through the cash and the collar — coupled with the potential for long-term value upside through the ongoing ownership of NetApp stock,” Gomo wrote in a letter to Data Domain’s board of directors. “Second, the stock portion of the transaction consideration is expected to be tax-free to Data Domain stockholders. And third and potentially most important, we believe that a combination of Data Domain and NetApp offers clearly superior transaction certainty. Unlike a combination of Data Domain and EMC, which has substantial product overlap and which we believe will face significant regulatory challenges, a combination of Data Domain and NetApp has no meaningful regulatory risk.”</p>
<p> In short, NetApp’s stock is undervalued, so you’re getting a killer deal, and one free of regulatory scrutiny to boot. What’s not to like? Sadly for NetApp, it’s the $13.55 of its $30 a share bid offered in paper.</p>

<p>Data Domain shareholders are celebrating today. After market close Monday, EMC (EMC) <a href="http://www.reuters.com/article/americasMergersNews/idUSN0146416920090601?sp=true">made a $1.8 billion bid for the backup and disaster data recovery systems company</a>, trumping <a href="http://finance.yahoo.com/news/NetApp-to-Acquire-Data-bw-15308219.html">the $1.5 billion NetApp (NTAP) offered for it in late May</a>.</p>
<p>The bid values Data Domain (DDUP) at $30 a share&#8211;a 20 percent premium over NetApp’s rival proposal which itself represented nearly a 40 percent premium over Data Domain’s closing stock price of $17.91 on the day the bid was announced. Obviously, great news for anyone with Data Domain in their portfolio.</p>
<p>During a conference call, EMC CEO Joe Tucci called the company’s all-cash proposal &#8220;superior&#8221; to NetApp&#8217;s offer and &#8220;a win-win” for both companies. &#8220;We didn&#8217;t just wake up one day and say maybe this is a good thing to do,” he said. “We have had our eye on Data Domain and obviously somebody moved before we did.”</p>
<p>And while that somebody might have signed a binding agreement with Data Domain, it hasn’t yet won shareholder approval. Nor is it likely to. What investors in their right mind would argue for $25 per share in cash and stock over $30 in cash, especially when the latter really requires no due diligence?</p>
<p>Incidentally, shares in Data Domain are up more than 18 percent at $31.21 this morning.</p>
