<p>In 2007, after its CEO, Antonio Perez, appeared on stage at the fourth <strong>D: All Things Digital</strong> conference, I was invited to visit the HQ of Kodak in Rochester, N.Y., to see up close the transition to a digital imaging company he was attempting.</p>
<p>At the time, I <a href="http://allthingsd.com/20071220/kara-visits-kodak-part-1/">wrote</a>:</p>
<p>&#8220;That shift has obviously been painful, including huge cuts in its employee base, due to the sharp decline of its market might. Since 2004, Kodak has cut its employee head count from about 64,000 to 30,600 as it has undergone a massive restructuring.&#8221;</p>
<p>Yesterday, Kodak gave up that effort and <a href="http://allthingsd.com/20120118/not-a-kodak-moment-as-camera-maker-files-for-bankruptcy/">filed for Chapter 11 reorganization</a>. Where it will go from here is anybody&#8217;s guess.</p>
<p>While the iconic company has tried to leverage its patent portfolio, <a href="http://allthingsd.com/20120110/beleaguered-kodak-tries-patent-suit-strategy-on-apple-htc/">suing Apple, HTC and Samsung</a>, it needs more than just that as it seeks to remake its ailing business.</p>
<p>Here are the two videos I did with its execs of the ideas back then that obviously did not work out, as well as one of the classic &#8220;The Times of Your Life&#8221; commercials (I dare you not to tear up watching it, a potent memory of the emotional power Kodak once had over consumers):</p>

<p>According to sources close to the situation, Yahoo has instituted a hiring freeze across the company and is considering a reduction in force in support units of the company. </p>
<p>While the details of any layoffs &#8212; which are expected to be small and selective for now &#8212; are still being worked out, sources said that the stricture not to fill hundreds of open positions is the first step toward significant cost-cutting initiatives across the Silicon Valley Internet giant, in the wake of what it expects to be another weak quarterly report next week and a looming proxy fight.</p>
<p>Yahoo reports its fourth quarter earnings Tuesday. While the company has managed to improve the results in the last part of the quarter, sources said they will still show continued weakness in its key businesses and consumer usage.</p>
<p>That&#8217;s as competitors such as Google and Facebook have been showing significant growth, especially in the display advertising market.</p>
<p>Thus, <a href="http://allthingsd.com/20120104/confirmed-yahoo-names-paypal-head-scott-thompson-as-new-head/">new Yahoo CEO Scott Thompson</a> appears to be zeroing in on costs and managing for margins, said multiple sources, much as his predecessor Carol Bartz did at the start of her tenure.</p>
<p>But many think Yahoo needs even more drastic changes, including massive cuts in staff and also product arenas, to give the company new life.</p>
<p>That includes shifts in leadership at the top levels too. In a major move this week, co-founder <a href="http://allthingsd.com/20120117/jerry-yangs-decision-to-leave-yahoo-was-his-own-even-if-it-was-inevitable/">Jerry Yang stepped down</a> from the company&#8217;s board and all roles there. More <a href="http://allthingsd.com/20120117/sources-four-more-board-members-will-be-following-yang-out-the-door/">directors are expected to leave</a> soon, too.</p>
<p>That will likely come after <a href="http://allthingsd.com/20120109/yahapocalypse-now-q4-results-proxy-fight-board-hijinks-and-asia-solution-combine-for-busy-month-for-yahoo/">negotiations to sell part of its lucrative stakes</a> in both the Alibaba Group and Yahoo Japan are successfully completed.</p>
<p>While not a certainty, Yahoo&#8217;s board hopes that will happen sometime before <a href="http://allthingsd.com/20120109/come-west-daniel-loeb-a-silicon-valley-visit-as-as-yahoos-activist-shareholder-mulls-proxy-fight/">activist shareholder Daniel Loeb initiates a proxy battle</a> against the company in the coming month. </p>
<p>Sound complex? </p>
<p>It is, and also troubling to Yahoo&#8217;s long beleaguered rank and file, who have been <a href="http://allthingsd.com/20120110/yahoo-employees-fear-layoffs-as-thompson-brings-new-vision/">worried about more layoffs</a>.</p>
<p>The Yahoo troops have been under intense pressure and have suffered from ongoing attrition. Just yesterday, for example, Yahoo lost one of its top advertising execs, <a href="http://allthingsd.com/20120118/yahoo-loses-top-sales-exec-to-amazon/">Seth Dallaire</a>, to Amazon.</p>
<p>The company can ill afford such departures of key talent, even as it seeks to pare employee numbers in other parts of its business.</p>
<p>At the end of its last quarter, Yahoo reported that it had 13,700 staffers, down from 14,100 in the previous year. </p>
<p>Yahoo, of course, declined comment. </p>

<p>Through many years of working together, first at eBay and then during the failed California governor&#8217;s race, Meg Whitman has relied heavily on Henry Gomez for communications advice.</p>
<p>Their close working relationship even earned them the mash-up nickname among those at eBay and elsewhere: Menry.</p>
<p>So when she got the CEO job at Hewlett-Packard, it was a bit of a surprise that Gomez &#8212; who has recently been living on the East Coast (see baseball cap above) &#8212; helped out a lot, but was not named to the top PR slot at the tech giant.</p>
<p>No longer, it seems, with Gomez being named EVP and Chief Communications Officer at HP today. </p>
<p>It&#8217;s a big job, given the hard work that Whitman faces reviving the iconic tech company, which has been beset by strategic and business challenges of all kinds, shapes and sizes in recent years.</p>
<p>While it might be seen as an adjunct to the business, the forward-facing parts of HP are in need of a powerful public relations initiative, which is presumably why Whitman wanted one of her most trusted and longtime staffers in the post.</p>
<p>According to HP, Gomez will become a member of the company&#8217;s executive council and report directly to Whitman.</p>
<p>Said HP in its press release, which you can also read below: &#8220;Gomez will be responsible for HP&#8217;s media and industry analyst relations, executive communications, employee communications, government affairs and global social innovation.&#8221;</p>
<p>As in, the voice of Menry is back!</p>

<p>Gomez, 48, comes to HP with 26 years of communications experience. He spent most of the last decade working at eBay, where he served in a variety of roles including senior vice president for Corporate Communications and president of Skype. Gomez played a crucial role in building eBay&#8217;s brand during the critical years following the company&#8217;s initial public offering.</p>
<p>Prior to joining eBay, Gomez was vice president of Corporate Affairs at HBO in New York. He started his communications career at Hill and Knowlton and has worked on a wide array of public relations and marketing communications challenges in numerous industries.</p>
<p>Most recently, Gomez ran his own consulting business, providing communications counsel to clients such as H&#038;R Block. He was on the leadership team of Whitman&#8217;s 2010 campaign for governor of California and has been involved in government and political affairs throughout his career. In 2011, Gomez was appointed to the board of BJ&#8217;s Restaurants, Inc. He is a graduate of Boston College.</p>

<p>Here&#8217;s the news that came out of a meeting that newborn Yahoo CEO Scott Thompson had yesterday afternoon with the VP-and-above staff of the Silicon Valley Internet giant:</p>
<p>No. 1: Yahoo is both a media and tech company.</p>
<p>No. 2: His focus for the next four weeks will be internal meetings and getting to know the staff.</p>
<p>No. 3: Thompson uses the following Yahoo products &#8212; email, finance and news.</p>
<p>No. 4: He is very good at explaining what eBay&#8217;s PayPal &#8212; where he just served as its president &#8212; is.</p>
<p>&#8220;If he can do that, maybe he can let us all finally know what Yahoo is, too,&#8221; joked one VP, referencing the well-known difficulty Yahoo&#8217;s CEOs have had with clearly defining the company&#8217;s mission.</p>
<p>But Thompson &#8212; whom every single person I spoke to called a &#8220;nice guy&#8221; &#8212; declined to say much about the stuff everyone really wanted to know, from the Asian assets (no comment!) to the possible investments by private equity firms (no comment!) and more (no comment!).</p>
<p>Most VPs I interviewed seemed to have a wait-and-see attitude about Thompson, who is not the kind of high-profile hire some had expected. Of prime worry: The steep learning curve he might have, in a time that requires urgency.</p>
<p>&#8220;He&#8217;s not the game-changer, but he seems very competent,&#8221; said another VP. &#8220;We&#8217;ll see.&#8221;</p>
<p>Indeed, we will. And, to start, Thompson is on display for the entire Yahoo staff at an all-hands employee meeting on Yahoo&#8217;s Sunnyvale campus, which is taking place right now. </p>

<p><em>&#8220;Let&#8217;s go. Yes, let&#8217;s go.&#8221; [They do not move.]</p>
<p>&#8211; Samuel Beckett, &#8220;Waiting for Godot&#8221;</em></p>
<p>In Internet terms, the <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">removal of Yahoo CEO Carol Bartz</a> happened a dog&#8217;s age ago.</p>
<p>In fact, it was September 6. </p>
<p>Since then, it has felt like a slow slog, especially contrasting the situation with that of another troubled Silicon Valley giant, Hewlett-Packard,<a href="http://allthingsd.com/20110922/exclusive-whitman-expected-to-get-ceo-nod-after-markets-close-and-not-for-the-interim-either/"> which fired its CEO Léo Apotheker and appointed a new one, Meg Whitman</a> on September 22.</p>
<p>Since then, in comparison, the former eBay CEO has been like the Energizer Bunny, making a series of major and often difficult decisions, including: <a href="http://allthingsd.com/20111027/hp-will-keep-pc-division/">Holding onto its PC unit</a>; reaffirming its controversial deal to <a href="http://allthingsd.com/20111206/autonomys-mike-lynch-talks-about-being-hps-speedy-tiger-cub-video/">buy Autonomy</a>; <a href="http://allthingsd.com/20111130/whitman-webos-decision-coming-at-hp-within-two-weeks/">promising a decision</a> on the fate of its webOS unit within the next two weeks; <a href="http://allthingsd.com/20111103/hp-hires-new-evp-from-boeing-names-new-cio/">appointing new execs</a>; and even <a href="http://allthingsd.com/20111206/whoops-hp-just-bought-another-company/">buying a company</a>. </p>
<p>To be fair, Yahoo did acquire <a href="http://allthingsd.com/20111101/yahoo-buys-ad-network-interclick-for-270-million/">advertising start-up Interclick</a>. </p>
<p>Otherwise, still no sale or investment deal. No new CEO. No Asia resolution. And, perhaps most importantly, no clearly articulated strategy going forward. </p>
<p>It&#8217;s not that Yahoo&#8217;s leadership isn&#8217;t working at it. </p>
<p>Some fervently insist to me that there is a &#8220;plan,&#8221; as if there is some clever game of Internet Stratego going on that I cannot possibly grok.</p>
<p><em>Mebbe</em> &#8212; but of this I have no doubt: The Yahoo board has indeed been huffing and puffing away, weighing and measuring, considering and debating. </p>
<p><em>A lot.</em> </p>
<p>Maybe I&#8217;m just too impatient. I am (ask my kids). </p>
<p>Or maybe Yahoo&#8217;s beleaguered employees are, one of whom just wrote me plaintively, &#8220;unreal how they can drag this out,&#8221; in what has become a common refrain up and down the ranks.</p>
<p>Or maybe it&#8217;s the Asian partners, Alibaba Group and SoftBank, who are antsy and have considered a variety of nuclear options in order to get back stakes Yahoo holds in them. Said one: &#8220;The strategy seems to be to frustrate and exhaust us into submission.&#8221;</p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/61c8onc-rol/" rel="attachment wp-att-151430"><img src="http://allthingsd.com/files/2011/12/61C8OnC-RoL.png" alt="" title="61C8OnC-RoL" width="300" height="300" class="alignleft size-full wp-image-151430" /></a></p>
<p>Or, finally, maybe it&#8217;s the newly frustrated recent bidders for a partial stake in Yahoo, Silver Lake and TPG Capital. Declared one to me after I warned that Yahoo might, in fact, drag the proceedings out longer than you might expect: &#8220;I thought you were kidding.&#8221; </p>
<p>Nope, welcome to the Yahoo waiting game, PE guys! </p>
<p>So, to help us all get through it, here&#8217;s a quick update primer on what&#8217;s what on the various fronts:</p>
<p><strong>Who&#8217;s in Charge Here?</strong></p>
<p>Technically, it is the Yahoo board, which is aided by interim CEO Tim Morse.</p>
<p>First, a word about Morse: By all accounts, he is doing a very good job as temporary head honcho &#8212; calming the troubled company, making swift decisions about daily operating issues and being a generally nice dude to deal with.</p>
<p>&#8220;He&#8217;s Yahoo&#8217;s no-drama Obama, in comparison to what was happening before,&#8221; said one exec, in reference to the more volatile regime under Bartz. </p>
<p>Still, despite his <a href="http://allthingsd.com/20110930/only-one-yahoo-fearless-leader-note-this-week-please-ignore-the-un-ignorable-rumors/">very pleasant all-hands meetings</a>, such as one earlier this week, Morse had previously been Yahoo&#8217;s CFO and not an Internet-savvy visionary to give the company inspiration. No insult intended, but he&#8217;s the accountant guy. </p>
<p>To be fair, he is not meant to be the visionary, but many at the company are yearning for exactly that.</p>
<p>A role that is now being taken up again by co-founder, former CEO and director Jerry Yang, who dozens of employees tell me is <a href="http://allthingsd.com/20110908/return-of-the-jerry-co-founder-yang-back-in-yahoo-spotlight-again-amid-all-new-turmoil-and-tensions-too/">unusually involved in operational details</a> these days for a board member. </p>
<p>I get reports of sightings of him all the livelong day: Jerry in demand-side advertising confab! Jerry chitchatting with entrepreneurs from a possible start-up acquisition! Jerry weighing in on a variety of products. Look, over in the cubicle, <em>it&#8217;s Jerry</em>! </p>
<p>This is seen by Yahoo employees as a good thing and also a bad thing, since it&#8217;s hard to be running your little divisional show at Yahoo with the dude who invented it all looking over your shoulder, even if he means well. People naturally defer to Yang, the 800-pound Web icon in the room.</p>
<p>But, given the overwhelming state of stasis at Yahoo now &#8212; &#8220;No one can do anything until we find out how the story ends,&#8221; said one staffer &#8212; and employees eying the exits, no power at Yahoo really matters but the board.</p>
<p><em>You know</em>, the board that has gotten the company to this moment of crisis and profound ennui, which is its own particularly ironic irony. </p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/yahoocomm/" rel="attachment wp-att-151330"><img src="http://allthingsd.com/files/2011/12/yahoocomm-640x408.png" alt="" title="yahoocomm" width="640" height="408" class="aligncenter size-large wp-image-151330" /></a></p>
<p>To better understand the power dynamics on the board, above is a little chart for you to peruse to give you an idea of which independent board member is running what key committee. </p>
<p>The only truly important one is the Transactions and Strategic Planning committee, which is headed by Intuit President and CEO Brad Smith and includes former Akamai President (and former Yahoo CEO candidate) <a href="http://allthingsd.com/20111108/with-no-yahoo-ceo-pledge-david-kenny-back-in-the-strategic-fray/">David Kenny</a>, top HP exec Vyomesh Joshi and other guy Gary Wilson.</p>
<p>And, in completely visible shadow form, Yang. Multiple sources close to the situation said he has been a key force in the strategery around a possible sale or investment. </p>
<p>This has caused not more than a little tension among board members, but everyone seems to like the much described nicest-man-in-the-room, Smith, and hopes his cool head will prevail.</p>
<p>Another important part of the board is the Nominating and Corporate Governance committee run by Patti Hart, who is energetically and simultaneously &#8212; if pointlessly &#8212; in search of a capable new Yahoo CEO.</p>
<p>Or, as I like to call this mythical person: The Unicorn.</p>
<p><strong>The Deal</strong></p>
<p>As I and many others have previously reported, there are <a href="http://allthingsd.com/20111121/nda-worthy-pe-firms-silver-lake-and-tpg-meet-with-top-yahoo-operating-execs/">bids on the table for partial investments</a> in Yahoo by two very powerful private equity firms, Silver Lake and TPG Capital.</p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/original-4/" rel="attachment wp-att-151448"><img src="http://allthingsd.com/files/2011/12/original1.png" alt="" title="original" width="450" height="300" class="alignright size-full wp-image-151448" /></a></p>
<p>It&#8217;s a PE rumble, with a side of Microsoft financial backing! (I think Silver Lake&#8217;s Egon Durban makes a very nice Riff, while Microsoft&#8217;s Steve Ballmer is the perfect Officer Krupke.)</p>
<p>My fervent wishes for some figurative and dance-accompanied knife-play aside, the bids are essentially the same in general and different in particular. Silver Lake is offering about $16.50 a share, while TPG is dangling a tiny bit more. Silver Lake has power entrepreneur and VC Marc Andreessen on its side, while TPG is trying to get Silicon Valley fave investor and start-up whisperer <a href="http://allthingsd.com/20111201/the-golden-geek-vs-the-start-up-whisperer-in-yahoo-savior-faceoff-not-yet-but-delicious-to-imagine/">Reid Hoffman</a> of Greylock Partners and LinkedIn on its team. Both have ideas on CEOs, strategy and what to do about the Asian assets.</p>
<p>This type of deal could happen suddenly and you&#8217;ll hear about it quick, since the losing side will immediately trash it to the media. </p>
<p>As you might expect, each director has their favorite PE firm, with some not liking Andreessen, some thinking the TPG bid is a little light, some for a whole-company deal and some wanting Yahoo to hire its own CEO and run the place itself.</p>
<p>Of course, the last one shows a disturbing level of denial and should be a nonstarter, given the board&#8217;s abysmal record on CEO choice and its riding of Yahoo to this sad point in its storied history. </p>
<p>Here&#8217;s what to expect on the PE front: A lot of wrangling behind the scenes with frequent leaks to the media about what each side wants and will not yield on. </p>
<p>CEO choice or no CEO choice, that is the question!</p>
<p>Also a big factor are Yahoo&#8217;s major shareholders, few of whom like the partial investment deal, which is known as a PIPE (Private Investment in Public Equity), because of the insiderness of it all and because they prefer a whole-company sale at a higher price. </p>
<p>There is also pressure from activist shareholders like <a href="http://allthingsd.com/20111104/yahoos-activist-shareholder-loeb-now-targeting-jerry-yang/">Daniel Loeb</a> of Third Point, who has attacked Yang and others on the board and is ready to pounce with a proxy fight if Yahoo tries to override shareholders too egregiously. And, of course, the inevitable lawsuits over any arrangement that seems to block a whole-company bid.</p>
<p>That said, such a mega-deal seems unlikely, since it is too pricey and despite a lot of noise that Yahoo&#8217;s Asian partners were ready to strike with a takeover in order to get back Yahoo&#8217;s big stakes in their companies.</p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/yogi-bear-show-02/" rel="attachment wp-att-151459"><img src="http://allthingsd.com/files/2011/12/yogi-bear-show-02-248x285.png" alt="" title="yogi-bear-show-02" width="248" height="285" class="alignleft size-medium wp-image-151459" /></a></p>
<p>That&#8217;s kind of like buying a store to get back the cool pair of shoes you sold, but bankers love to scheme up this stuff. While it certainly could happen, it would be a bear of a deal. </p>
<p>Perhaps more like Yogi Bear, hopelessly angling for a tasty pic-a-nik basket &#8212; but <em>grrrr</em> anyway.</p>
<p>But perhaps the biggest factor in all of this mishegas is <a href="http://allthingsd.com/20111123/for-yahoo-and-me-too-time-is-brain/">time</a>. There is none on a lot of levels, most especially the increasing level of brain drain and drift at Yahoo. After the New Year dawns, this is going to spin right out of control and amount to the biggest internal challenge Yahoo faces.</p>
<p><strong>An Asian Solution</strong></p>
<p>As I and others have reported, Yahoo is <a href="http://allthingsd.com/20111202/wielding-a-sword-of-damocles-yahoos-asian-partners-await-answer-on-yet-another-proposal-to-buy-back-shares/">entertaining yet another proposal</a> to sell all or part of its Asian assets back to the companies, which make up a bulk of its market valuation.</p>
<p>The relationship between Yahoo and its Asian partners has long been fraught, and today the difficulty of reaching an agreement remains a vexing issue. That&#8217;s because it is hard and complex and because no one wants to do what the other side wants.</p>
<p>I am no tax attorney, but it seems as if Yahoo will ultimately come to some deal with China&#8217;s Alibaba and Japan&#8217;s SoftBank, which could include big investors like Russia&#8217;s DST Global. </p>
<p>And, as I reported last week, the Asian partners want to strike a deal with the current board rather than lose leverage with a much cannier new owner.</p>
<p>It&#8217;s a tough decision in all aspects to strike, but would remove the focus on the fact that Yahoo&#8217;s most valuable asset is something it is not running and simply holds due to a good stock trade in years past.</p>
<p>Years past should be the operative thought here, since the Asian assets have nothing to do with what Yahoo needs to do with its core U.S. and global brand.</p>
<p>You know, the thing that allowed them to buy those lucrative Asian assets in the first place?</p>
<p><strong>Strategery</strong></p>
<p>And that&#8217;s the crux of all this, isn&#8217;t it? Yahoo needs a new strategy and fast. </p>
<p>Or it needs to clarify and hone its current strategies around advertising and media and define itself once and for all. While it often touts itself as a premier digital media company, it&#8217;s still not clear exactly what Yahoo is saying by that.</p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/who_am_i_24601_tshirt-p235292740896407012zvh3u_400/" rel="attachment wp-att-151483"><img src="http://allthingsd.com/files/2011/12/who_am_i_24601_tshirt-p235292740896407012zvh3u_400-285x285.png" alt="" title="who_am_i_24601_tshirt-p235292740896407012zvh3u_400" width="285" height="285" class="alignright size-medium wp-image-151483" /></a></p>
<p>In fact, <em>incredibly</em>, sources told me that the board was still wrangling over the tired issue of what Yahoo is at its most recent meeting &#8212; essentially, is it a products company or a media company? </p>
<p>If I had to listen to that who-am-I-anyway debate again, I think I would scream, given how many important Web trends that Yahoo has whiffed in recent years, many of which were right in its own wheelhouse.</p>
<p>How much damage this has caused to Yahoo&#8217;s core business is a critical one to determine, with many feeling the situation is too far gone to revive it and others confident that this is simply an issue of poor execution. </p>
<p>I am in the middle on this one, but all the indicators of Yahoo&#8217;s business have long been heading in the wrong direction, and results in the next quarter are expected to underline this even more.</p>
<p>Thus, the board&#8217;s navel-gazing at this point is untoward, considering that it is presiding over the possibility of a sale that should not have had to happen in the first place. While it is not quite a fire sale, it&#8217;s no cause for celebration at all the attention, either.</p>
<p>In fact, it&#8217;s also pointless, since &#8212; if this all resolves as it should &#8212; the current Yahoo board will not be the one determining the company&#8217;s future any longer. Remember that: This group should and will be gone for the most part.</p>
<p>Yahoo shareholders and employees can hope, at least.</p>
<p>Then, it will be up to the next group of leaders to make the very hard choices &#8212; including what are likely to be massive layoffs and radical surgery on its offerings &#8212; for what&#8217;s to come next.</p>
<p>In the end, that is all that will matter. Until then, as usual, you&#8217;ll have to sit tight.</p>

<p>What an <em>amazing</em> coincidence.</p>
<p>On the very day Yahoo&#8217;s board is considering <a href="http://allthingsd.com/20111130/yahoo-bidders-come-in-at-16-50-to-17-50-with-plan-to-keep-jerry-yang-staying-on-board/">actual bids from two private equity firms</a> interested in deals to buy close to 20 percent of the company for between $16.50 and $17.50 a share, comes a spate of eerily similar breathless media postings that there&#8217;s another bid in the making for $20!</p>
<p>That&#8217;s <em>totes</em> better, right? I mean, how can Yahoo&#8217;s directors accept a real live lesser-priced bid now when there&#8217;s a prettier one in the fog just ahead?</p>
<p>No, really, it&#8217;s there &#8212; if you squint really, really hard.</p>
<p>Except it&#8217;s not even close, when you actually check with two of the key members of the group of alleged buyers, which would apparently be Blackstone, Bain Capital and Yahoo&#8217;s Asian partners, Alibaba Group and SoftBank.</p>
<p>Sources close to Blackstone and Alibaba said while there have been talks, which have been <a href="http://allthingsd.com/20111111/alibaba-and-softbank-meet-with-blackstone-as-promised-yahoo-investment-effort-proceeds/">previously reported weeks ago here</a> and elsewhere, there is no bid in the offing that is close to fruition and at that price.</p>
<p>In an unusual public statement, in fact, Alibaba&#8217;s John Spelich said flatly: &#8220;Alibaba Group has not made a decision to be part of a whole-company bid for Yahoo.&#8221;</p>
<p>This from a company whose voluble CEO Jack Ma is prone to making <a href="http://allthingsd.com/20111019/jack-ma-asiad/">giant and noisy speeches to signal his interest</a> in finding a way &#8212; any way &#8212; to get back shares of the Chinese Internet giant from Yahoo.</p>
<p>Not this time, and several sources close to Alibaba reiterated that it was nowhere near close to any bid as yet and that a price is still up in the air. In addition, sources added, Alibaba might decide to work with another PE group, such as Providence Equity. </p>
<p>In addition, sources noted that if Alibaba could strike an adequate deal with private equity bidders to get a large chunk of the stake back, it would be highly preferable to a hostile takeover of Yahoo that could end in tears and little else. </p>
<p>&#8220;The threat of a takeover is more useful than the damage an actual takeover would cause for everyone,&#8221; said one person close to the situation. &#8220;No one wants this to be unfriendly.&#8221;</p>
<p>So why the rumors &#8212; doubtlessly being spread around by hopelessly cynical Wall Street types interested only in stock manipulation &#8212; surfacing today?</p>
<p>Simple: To get some easy-to-play media outlet to bite, report it as speculative fact and cause the stock of Yahoo to take flight tomorrow. </p>
<p>Hey, it <em>could</em> happen! </p>
<p>Sadly, this junior-league trick has already worked &#8212; Yahoo shares were up a dollar to $16.72 in after-hours trading tonight. </p>
<p>It is likely to go even higher tomorrow, which could cause the board of Yahoo to delay accepting either of the partial bids from Silver Lake or TPG Capital, even if they were the best thing for the company and its employees.</p>
<p>Except that the job of the Yahoo board is to evaluate what&#8217;s before them and not what is perhaps, someday, soon, wait-by-the-phone, really soon, I promise is going to be delivered. </p>
<p>In fact, several sources noted that it&#8217;s not clear if the Yahoo board has even asked for parties to submit whole-company bids yet. </p>
<p>When and if Yahoo&#8217;s board does that and if something better actually does come down the pike, with a much fatter price tag of $20 or more, then the directors can mull <em>that</em> over.</p>
<p>That would be the prudent thing to do for the company, its employees and its shareholders, even if Yahoo&#8217;s stock gets a temporary lift now. </p>
<p>Maybe I am just a hopeless Silicon Valley romantic and not a hardened Wall Street M&#038;A type, but the survival of Yahoo is the real point here, rather than the lining of bankers&#8217; already fee-stuffed pockets.</p>
<p>And anything other than that is just fog.</p>

<p>Last night, Yahoo&#8217;s board gathered for a pre-meeting dinner, a precursor to a day-long meeting today to weigh several bids from private equity firms to buy part of the Silicon Valley Internet giant, including Silver Lake and TPG Capital.</p>
<p>Among the thorniest of issues will be the low price that the firms want to pay for a 19.9 percent stake in the company. Silver Lake has offered $16.50 and TPG a dollar more. </p>
<p>In the past year, Yahoo share prices have seen a low of $11.09 and a high of almost $19. It closed yesterday at $15.70 &#8212; a price that is mostly due to sale rumors &#8212; making the offers not much of a gain on current market valuation.</p>
<p>The transaction type being contemplated is called a PIPE &#8212; or a Private Investment in Public Equity &#8212; with the investment below 20 percent, which allows Yahoo to avoid a shareholder vote on the issue.</p>
<p>While the Yahoo board had hoped for bids above $20, they are not expected to be forthcoming, considering the weakness in its business over recent years and the difficulty of returning it to health and growth. </p>
<p>Results in its upcoming quarter, for example, are expected to be weak again, with trouble in its advertising business, largely due to uncertainty around the business.</p>
<p>The low price, along with the attempt to bypass shareholder approval, is sure to infuriate Yahoo&#8217;s major investors, given they have watched the value of their stakes wilt over the years under current board management.</p>
<p>In the last five years, due to continually muddled leadership and the missing of key Internet trends, Yahoo shares have dropped 44 percent in value, which compares with huge gains from companies like Amazon and others.</p>
<p>Major Yahoo stakeholders are already irked by the PIPE idea itself, which could transfer power to private equity firms at preferential terms.</p>
<p>Another possible bone of contention will be the preservation of at least some parts of Yahoo&#8217;s current board.</p>
<p>Under a plan by Silver Lake, for example, it would get three board seats, as well as another one for a CEO of its choosing. Another seat will go to Yahoo co-founder and current board member Jerry Yang. There will be six independent board members, but it is not clear if they would be new or include some current directors.</p>
<p>One of the Silver Lake choices would be well-known Silicon Valley legend <a href="http://allthingsd.com/20111128/yahoo-will-marc-or-wont-he/">Marc Andreessen</a>, who is now a powerful VC. The appeal of Andreessen is important to some major shareholders who have turned sour on Yang.</p>
<p>Who will be CEO of the rejiggered entity will also be discussed at the meeting. Sources said Silver Lake and TPG have definite candidates in mind and Yahoo has also been conducting an official search.</p>
<p>In other words, there&#8217;s a lot on the plate of Yahoo&#8217;s board today, which also needs to revisit continued proposals from its Asian partners &#8212; China&#8217;s Alibaba Group and SoftBank of Japan &#8212; to sell back its stakes in Alibaba and Yahoo Japan in various tax-free schemes. </p>
<p>Sources said Yahoo &#8212; which has thus far rejected such efforts &#8212; might now consider selling a part of their shares back, up to half. This would allow the company to give a cash dividend to its disgruntled shareholders. </p>
<p>If thwarted, as has been previously reported <em>ad nauseum</em>, Alibaba and SoftBank are considering their own bid with the help of other U.S. private equity firms, such as <a href="http://allthingsd.com/20111111/alibaba-and-softbank-meet-with-blackstone-as-promised-yahoo-investment-effort-proceeds/">Blackstone</a>.</p>
<p>Other PE firms &#8212; especially ones who have not signed Yahoo&#8217;s non-disclosure agreement related to any deal &#8212; are also hanging under the hoop, so to speak, to see what happens. At least one firm hopes the Yahoo board will reject the low-priced partial bids, leaving the court wide open again. </p>
<p>&#8220;It&#8217;s still anyone&#8217;s game,&#8221; said one possible bidder.</p>
<p>Except for Yahoo&#8217;s put-upon employees and shareholders, this is anything but fun. More on <em>that</em> soon.</p>

<p>According to sources close to the situation, neither CEO Mark Pincus nor one of its principal venture shareholders, Kleiner Perkins, will be selling any shares in its upcoming initial public offering. </p>
<p>While big investors often divest stock in IPOs, not all do. It is a carefully watched number by investors, who are always wary of insiders who unload a lot of shares in an offering.</p>
<p>But such activity by the fast-growing San Francisco online gaming company will be watched carefully since Pincus has <a href="http://dealbook.nytimes.com/2011/11/27/zyngas-tough-culture-risks-a-talent-drain/">recently been painted</a> in a number of press reports as the greedy Mr. Potter of Silicon Valley.</p>
<p>Among the allegations is that he runs a poisonously tough culture that tracks its employees&#8217; output and performance via elaborate data models that require extraordinary amounts of work, along with nefarious list-making of who&#8217;s naughty and who&#8217;s not.</p>
<p>That big-brother behavior has reportedly included taking away high-ranking jobs and the sweet stock options that go along with them from those execs found wanting.</p>
<p>While there is no doubt Pincus is a hard-charging personality, his defenders note that it&#8217;s due to a belief that life at Zynga is a meritocracy and that his practices are not any more heavy-handed than those at other firms.</p>
<p>Indeed, Pincus has a lot of competition in the tough-guy tech CEO category from longtime legends such as Microsoft&#8217;s Bill Gates, who set the gold standard for mean, as well as Amazon&#8217;s Jeff Bezos and now Google CEO Larry Page. </p>
<p>Pincus does not even rate in this pantheon, which is more typical of tech companies than anyone would care to admit or, to be fair, care to care about. With big benefits, vast wealth and much latitude, many in tech don&#8217;t mind the grueling work schedules. </p>
<p>After all, it&#8217;s not exactly ditch-digging, now is it?</p>
<p>In any case, sources said the coverage has hit Zynga staff hard, as well as Pincus, who has not responded due to the IPO&#8217;s quiet period. That&#8217;s in contrast to Groupon, the daily-deals site whose own rough process was rife with highly negative stories about the company&#8217;s prospects.</p>
<p>While those media accounts were more aimed at the business itself and less personal, Groupon CEO Andrew Mason vociferously defended the company in a controversial letter that was then leaked and published (<a href="http://allthingsd.com/20110825/exclusive-groupons-mason-tells-troops-in-feisty-internal-memo-it-looks-good/">to me and by me!</a>). </p>
<p>Pincus will doubtlessly have a lot to say to investors who ask about the company&#8217;s culture and its possible negative impact on attrition, as some stories have charged. </p>
<p>His decision not to sell, sources said, was inspired by Zynga investor and close friend Reid Hoffman, who has sold very little of the stock of LinkedIn, where he serves as chairman.</p>
<p>The action all begins next week, according to <a href="http://finance.fortune.cnn.com/2011/11/29/zyngas-ipo-roadshow-begins-monday/">multiple reports</a>, when Zynga takes its show on the road in preparation for an IPO that is expected to value the company at $15 to $20 billion and will take place before the new year.</p>
<p>It will debut under the ZNGA ticker on the Nasdaq market.</p>
<p>While some have been worried about Zynga&#8217;s future growth, its past performance has been a lot stronger than other Internet offerings. In the first nine months of the year, the company posted $828.9 million in revenue, double the amount from a year ago, with net income of $30.7 million.</p>
<p>Pincus&#8217;s holding onto shares will be seen as a plus, of course, although he has sold a large amount of stock in Zynga&#8217;s history.</p>
<p>According to its S-1 filing:</p>
<p>&#8220;From our inception in October 2007 to date, Mr. Pincus, our Chief Executive Officer, Chief Product Officer and the Chairman of our Board of Directors, has purchased an aggregate of 149,197,328 shares of our common stock. To date, Mr. Pincus has sold an aggregate of 43,629,310 shares of our common stock at prices ranging from $0.42 to $13.96.&#8221;</p>
<p>Pincus now holds 91.4 million of Class B shares, 16 percent of the total, as well as 20.5 million of Class C shares, 38 percent of that group. Kleiner holds 65.2 million shares, or 11.2 percent, of Class B shares. </p>
<p>Other big Zynga owners, who might or might not sell at the IPO, include Institutional Venture Partners, Union Square Ventures, Foundry Venture Capital and Avalon Ventures. </p>

		<description><![CDATA[Yahoo has about 30 working days to make what has to be a complex and multiparty deal, in an effort that is akin to herding cats.]]></description>

<p>I hate to use a personal story to make a professional point &#8212; but when I was in the hospital recently, after <a href="http://allthingsd.com/20111019/what-not-to-do-in-hong-kong-trust-me-on-this-one/">suffering from a mini-stroke</a>, I got an important piece of health advice that, oddly enough, applies perfectly to Yahoo, the Silicon Valley Internet icon I cover very closely.</p>
<p>I know, <em>I know</em>, but listen up &#8230;</p>
<p>When I was close to going home, one of my doctors told me I had to make sure I paid attention to any signs that might indicate a recurrence. The issue around any possible future ischemic attack taking place, he said, is speed in getting critical care once any unusual symptoms become apparent, such as numbness, tingling, confusion and cognitive difficulty.</p>
<p>That&#8217;s because every second of delay translates to increased damage to cerebral cells that could badly impact speech, movement and worse.</p>
<p>&#8220;Remember,&#8221; the doctor intoned with great and very appropriate gravity. &#8220;<em>Time is brain</em>.&#8221;</p>
<p>Yes, indeed it is &#8212; for me, and also very much so for Yahoo these days.</p>
<p>Leaving aside my own mortality, one of the most important issues going forward for Yahoo&#8217;s long-hoped-for revival will be how quickly the company moves in the next month, in what has so far been a <a href="http://allthingsd.com/20111031/yahoo-shares-melt-as-rumors-conflict-with-other-rumors/">lugubrious and rumor-heavy process</a> to figure out its strategic plan in the wake of the <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">firing of CEO Carol Bartz</a> in early September.</p>
<p>That means &#8212; going into a major holiday season &#8212; Yahoo has about 30 working days to make what has to be a complex and multiparty deal. It is likely to include private equity firms, big companies, Asian partners, investment bankers, major shareholders and scrutiny from the media, in an effort that is approximately akin to herding cats.</p>
<p>This from a board that has often moved with snail-like reflexes in the midst of much more minors crises, and has shown a talent for disaster.</p>
<p>So, while speed is sometimes the enemy of reason, in this case, it is now more necessary than ever before.</p>
<p>There are three key reasons why Yahoo&#8217;s leaders have to perform quickly now, each of which could spell even more turmoil for the long-troubled company, if botched.</p>
<p>The first is the possibility &#8212; actually, the probability &#8212; of a proxy fight that might begin informally just after the new year. </p>
<p>That&#8217;s when you could start hearing from someone like activist shareholder Daniel Loeb of Third Point &#8212; who has been vocal about ousting Yahoo board members, including co-founder Jerry Yang. Yahoo directors are fully aware that he is eyeing this ugly option, which will include readying an alternate slate of directors.</p>
<p>According to a Yahoo spokeswoman, the earliest nominations for directors can be submitted is February 24 for those &#8220;shareholder proposals not intended for inclusion in proxy materials and for nomination of director candidates.&#8221; </p>
<p>But while there is a formal process, you will hear it coming long before that, unless Yahoo gives Loeb board seats to quiet him down &#8212; which is unlikely but possible. </p>
<p>Such a noisy fight is not one Yahoo can afford to have, and it has already shown some cloddish sensibilities in its response to a <a href="http://allthingsd.com/20111104/yahoos-activist-shareholder-loeb-now-targeting-jerry-yang/">recent letter by Loeb</a> &#8212; who has many more shares than Yang, and should still be accorded a certain amount of respect, no matter what he says.</p>
<p>Given how badly the last Yahoo shareholder tussle with Carl Icahn went, another proxy battle could be deadly, and might drag on through the first half of 2012. In his Yahoo tussle, Icahn ultimately got three seats on the Yahoo board, but eventually went away with everyone the poorer.</p>
<p>Second, Yahoo will report its fourth-quarter earnings in late January, which will likely continue to show weakness in key sectors of its business. While interim CEO Tim Morse is doing a laudable job given the shaky circumstances, drops in advertising revenue growth, engagement and search are not anything Yahoo can keep making excuses for.</p>
<p>While it is likely the company&#8217;s beleaguered operating execs will pull out the stops to make the numbers look better &#8212; a new game I like to play is &#8220;how many homepage ads can they jam in there at the quarter&#8217;s end?&#8221; &#8212; it&#8217;s no panacea for the kinds of dramatic and even drastic changes that new ownership will have to make, sooner than later.</p>
<p>And, speaking of beleaguered, perhaps the most important reason that Yahoo has to get the lead out and clarify its situation is due to one consistent thing about the company: Talent attrition and employee fatigue. </p>
<p>Speaking to one exec after another in recent weeks, it is dead clear that Yahoo is increasingly hard-pressed to hold on to the best of its current employees, or to attract any terrific new ones.</p>
<p>The impact on product innovation, morale and more is obvious.</p>
<p>One exec who has long been one of the more cheerleader types for Yahoo &#8212; often calling me out in the past for being too negative on the company&#8217;s prospects &#8212; has recently turned weary, cynical and even depressed about the future &#8212; so much so that I now find myself bucking up the worker. </p>
<p>&#8220;You can&#8217;t hire anyone, since you can&#8217;t tell them honestly who their bosses might be in three months,&#8221; said the staffer. &#8220;And you can&#8217;t look anyone who works for you now in the eye and tell them it will turn out right in the end, either, given the track record so far.&#8221;</p>
<p>Indeed. And, more than any other factor that could hurt Yahoo in the competitive tech sector, brain drain is what will always get you in the end.</p>

<p>As I <a href="http://allthingsd.com/20111117/exclusive-zyngas-van-natta-moves-to-strategic-advisor-feld-off-board-paul-in/">reported earlier today</a>, social gaming giant Zynga has posted <a href="http://www.sec.gov/Archives/edgar/data/1439404/000119312511315435/d198836ds1a.htm">another filing</a> with the Securities and Exchange Commission. </p>
<p>That includes Chief Business Officer Owen Van Natta stepping out of an operational role and forfeiting shares in the process. To be exact: That will be 4.6 million options and close to 800,000 restricted stock units. </p>
<p>All of the details are in his transition letter in Zynga&#8217;s massive new S-1, which is in exhibit 10.12 to the amendment filing.</p>
<p>I would start at page 119, but to summarize: Van Natta is keeping all the vested stock options and restricted stock units, currently more than two million stock options that are already vested and another 936,000 RSUs (Zynga calls them ZSUs) already vested. He also has another 750,000 shares that will continue to vest due to his board position.</p>
<p>But, because he is no longer an employee, he is forfeiting all his unvested employee stock options and RSUs. Although it does seem like a lot, this is typical in such cases.</p>

<p>In a <a href="http://allthingsd.com/20111117/hasta-la-vista-stock-options-heres-the-zynga-sec-filing/">new filing with the Securities and Exchange Commission</a> concerning its upcoming IPO, Zynga is expected to unveil two key management and board changes at the online gaming phenom:</p>
<p>Chief Business Officer Owen Van Natta &#8212; who came to the San Francisco-based start-up several years ago to help CEO Mark Pincus grow it and develop it &#8212; will step down from his job and become a strategic adviser focusing on major partnerships. He&#8217;ll still remain board member at Zynga, but will give up millions of pre-IPO shares by moving out of his operational role.</p>
<p>And director and venture investor Brad Feld will leave the the board, which VCs sometime do as companies move to a public offering and add members with more specific business experience. </p>
<p>In his place, longtime entrepreneur and investor Sunil Paul, who founded a company called FreeLoader with Pincus many moons ago, will join the board.</p>
<p>Zynga confirmed the changes to me in a statement by Pincus: </p>
<p>&#8220;Owen is a valuable business partner. He&#8217;s made great contributions to Zynga and continues to be an important part of our team.&#8221;</p>
<p>Sources said the changes related to Van Natta around are not part of a recent controversy around a <a href="http://online.wsj.com/article/SB10001424052970204621904577018373223480802.html">Wall Street Journal story</a> about clawing back of some share options grants of early Zynga employees who had become less involved in the company. While the company cannot actually take back already vested shares owned by those staffers, the article has put a lot of scrutiny on Zynga and raised questions about how to cope with the kind of hyper-growth some Internet firms experience.</p>
<p>That&#8217;s certainly been the kind of rocket ride Zynga has been on, as it has grown from a small social gaming company on Facebook to a high-profile public company.</p>
<p>Zynga is in the final stages of its IPO process, answering questions from the SEC that are typical. If all goes well, Zynga execs are expected to go on a road show after the Thanksgiving and go public by the end of the year at a market valuation of close to $20 billion.</p>
<p>That was different from when Van Natta officially <a href="http://allthingsd.com/20100813/zyngas-newest-deal-snagging-myspace-facebook-vet-owen-van-natta/">got to Zynga in the spring of last year</a> &#8212; after a rocky experience running the doomed Myspace. At the time, he told me at the time that planned to be focused on scaling the business and did not consider himself a long-term operating executive.</p>
<p>Since then, he has helped Pincus hire a series of experienced gaming execs, including a chief operating officer, a chief marketing officer and others.</p>
<p>Zynga was Van Natta&#8217;s third high-profile Web company in recent years. He was a top early exec for Mark Zuckerberg at Facebook until <a href="http://kara.allthingsd.com/20080219/owen-van-natta-to-leave-facebook/">early 2008</a>, and in 2009 he took over News Corp.&#8217;s (NWS) <a href="http://kara.allthingsd.com/20090422/former-facebook-exec-van-natta-set-to-take-over-at-myspace-as-founder-dewolfe-steps-down/">MySpace</a>, a job that <a href="http://kara.allthingsd.com/20100210/myspace-ceo-van-natta-was-fired-by-news-corp-digital-head-miller-in-late-afternoon-meeting/">lasted less than a year</a>. </p>
<p>Early in his career, Van Natta was also was a top strategy, marketing and deal exec for Amazon, which bought an early social networking start-up called PlanetAll that he worked at.</p>
<p>It will now be interesting to see what Van Natta does next, but it is unlikely he will take a permanent position. He is a longtime angel investor in Silicon Valley, including in hot start-ups such as Asana and still holds a significant stake in Facebook. </p>
<p>But, in moving out of his job at Zynga, he will be giving up many millions of shares of a rich trove he was given when he arrived at the company. That said, Van Natta already owns millions of accelerated vested shares and will get another large grant as a board member.</p>
<p>Translation: Don&#8217;t cry for Mr. Van Natta, Silicon Valley &#8212; he made $42 million last year from Zynga shares alone.</p>

<p>Clearspring, the social-sharing company &#8212; in an effort to increase its business as a marketing analytics player &#8212; has acquired XGraph, a data science company.</p>
<p>Clearspring declined to provide the price it paid for XGraph, but said the deal was in cash and stock. The start-up raised $3.75 million just over a year ago.</p>
<p>The combined company has 85 employees &#8212; 70 at Clearspring and 15 at XGraph.</p>
<p>Execs at the the McLean, Va.-based company said the purchase will increase value to advertisers and publishers via audience targeting and data science. Clearspring is best known by consumers for <a href="http://allthingsd.com/20080930/clearspring-plus-addthis-but-does-that-add-up-to-a-real-business/">its AddThis social-sharing tool</a>, which provides a lot of detailed user data.</p>
<p>Clearspring <a href="http://allthingsd.com/20110510/clearspring-raises-20m-for-audience-data-and-gobbling-up-start-ups/">raised $20 million</a> in funding in May. At the time, the company said it planned to spend its new cash on acquisitions that leveraged data and built audiences more efficiently.</p>
<p>The New York-based XGraph focuses on modeling and monetizing the Web&#8217;s social graph.</p>

<p>&#8220;We get a lot of data points every day and making sense of them is something we have already been doing, but XGraph fits the bill to go even further in the multi-graph use of data,&#8221; said Clearspring CEO Ramsey McGrory. &#8220;It puts us in a position to be the market leader for the application of data.&#8221;</p>
<p>Key Compton, CEO and co-founder of the three-year-old XGraph, noted that the industry has become data-driven in new ways.</p>
<p>&#8220;People are connected to each other via social connections in a multi-graph platform,&#8221; said Compton. &#8220;I think there are some really interesting opportunities to access the data.&#8221; </p>

<p>Do sale rumors make a troubled asset more attractive? Yes &#8212; except when more rumors (that those sales rumors might not be true) appear.</p>
<p>Welcome to just another day in the life of Yahoo, which saw its <a href="http://www.google.com/finance?client=ob&#038;q=NASDAQ:YHOO">shares drop</a> more than 5.5 percent today. Its stock declined almost a dollar to close at $15.64, after it was reported by various news orgs that Yahoo might be leaning toward no sale and a shareholder dividend, and toward taking control of its own sale of its lucrative Asian assets.</p>
<p>That was counter to the news &#8212; from a number of the very same outlets &#8212; touting a variety of ever more elaborate and sometimes breathless sale scenarios last week, featuring various configurations of <a href="http://allthingsd.com/20111005/not-so-much-on-a-microsoft-bid-for-yahoo-theyre-crazy-but-not-that-crazy/">Microsoft</a>, Google and private equity firms like <a href="http://allthingsd.com/20110914/yahoo-for-sale-big-bidders-circling-including-marc-andreessen-as-board-pressure-mounts/">Silver Lake</a> and others.</p>
<p>Silver Lake, in fact, appears to be the most aggressive in the possible bidding for all or parts of Yahoo, and has been noodling such a deal most intently, and for a long time now.</p>
<p>It makes sense, given that Silver Lake was successful in a vaguely similar deal that ultimately saved the Internet telephony service <a href="http://allthingsd.com/20110510/done-deal-microsoft-to-buy-skype-for-8-5-billion-in-cash/">Skype</a>, which it eventually peddled at a high price to Microsoft.</p>
<p>In fact, according to several sources, Yahoo director and co-founder Jerry Yang &#8212; also a former CEO of the company, who appears to have seized the ball firmly in the strategy game &#8212; met with Silver Lake today for an unspecified little chitchat.</p>
<p>That said, one source told me, &#8220;what is deeply uncertain is whether Silver Lake will do something at all.&#8221;</p>
<p>This is par for the course in this everything-but-the-kitchen-sink drama. Because &#8212; although it makes for a boring post, and the back and forth throat-clearing before an actual event might be entertaining &#8212; so far, not very much is actually happening as yet at Yahoo, with regard to its <a href="http://allthingsd.com/20111019/yahoos-jerry-yang-there-are-plenty-of-options-beyond-sale/?refcat=asiad">variety of options</a>.</p>
<p>Of course, this could change in an hour. Or tomorrow, or the next day. Most of all, it&#8217;s clear that Yahoo&#8217;s board has to move in some significant way before the end of the year.</p>
<p>So, yes, the Silicon Valley Internet giant is <a href="http://dealbook.nytimes.com/2011/10/27/as-yahoo-bleeds-purple-a-push-for-a-deal/?nl=business&#038;emc=dlbkpma1">doing all the sales-oriented stuff</a> it should do with its coterie of pricey bankers (presumably being paid by the hour). </p>
<p>Yes, it has recently hired a <a href="http://allthingsd.com/20111013/exlcusive-yahoo-hires-heidrick-struggles-for-ceo-search/">talent-search firm</a>, which is eyeing the landscape to find a willing CEO. (Even more adviser costs!)</p>
<p>And, yes, it is still <a href="http://online.wsj.com/article_email/SB10001424052970203554104577002153070740324-lMyQjAxMTAxMDIwNzEyNDcyWj.html">wrangling with its Asian partners</a> &#8212; Alibaba Group and SoftBank &#8212; over how to do a tax-free transaction (you&#8217;d think from all the sweating over it that this deal was harder to solve than the European debt crisis).</p>
<p>And, on schedule, activist shareholders &#8212; like hedge-fund agitator Dan Loeb of Third Point &#8212; should be attacking again soon, until a deal is done.</p>
<p>But according to many sources both inside and outside Yahoo, what&#8217;s happening is pretty much business as usual for this Hamlet of a company, which is lugubriously debating and weighing and pondering its fate.</p>
<p>I suppose it should, given the importance of it all, except it is a conundrum that has been going on for far too long at Yahoo, and under a number of different leaders. </p>
<p>In other words, it&#8217;s like &#8220;As the World Turns,&#8221; except with some new characters and a whole lot more amnesia.</p>
<p>But the slowness of a very real process is also causing deep frustration with all those dealing with Yahoo now &#8212; including possible bidders, and definitely its Asian partners. </p>
<p>Their gripes &#8212; which are louder than in most deals &#8212; are not surprising: They refuse to sign a <a href="http://www.reuters.com/article/2011/10/27/us-yahoo-idUSTRE79Q7R920111027">too-onerous NDA</a> to look at Yahoo&#8217;s books; there&#8217;s an irksome tone of indecision on the part of the company&#8217;s board; and, as always, the incessant leaks about all of this and more are making it worse.</p>
<p>One bidder has likened the company to a &#8220;melting iceberg that has a lot less time than the planet has to put its house in order.&#8221;</p>
<p>Another bemoaned the variety of trial balloons being floated, and noted that no movement was what Yahoo seems to do best.  </p>
<p>That&#8217;s not exactly true, of course, so expect to see more leaks about plots and plans and meetings.</p>
<p>But no matter what you hear, keep in mind that having Yahoo&#8217;s fate being spun about like a top on a daily basis on Wall Street and in the media is not good for the company itself &#8212; or for its employees and shareholders.</p>
<p>Since it makes me dizzy &#8212; even though I like a good scoop as much as the next reporter &#8212; that&#8217;s the reason I have largely stuck to reporting about the actual internal turmoil inside Yahoo, from <a href="http://allthingsd.com/20111026/no-to-yess-yahoo-employee-satisfaction-survey-shows-morale-morass/">poor employee morale</a> to various <a href="http://allthingsd.com/20111026/exclusive-like-marketing-yahoos-customer-advocacy-org-gets-sliced-and-diced-this-week/">staff rejiggerings</a> to more <a href="http://allthingsd.com/20111021/former-yahoo-online-privacy-guru-heads-to-google/"> relentless brain drain</a>.</p>
<p>Because while everyone fiddles, Yahoo&#8217;s real prospects of maintaining its core business melt a little bit more every day.</p>
<p>Yahoo is on its third CEO in four years, it has lost advertising momentum to Google and Facebook, its engagement levels are dangerously slowing, its social and mobile strategies are unclear and even its powerful email product is under siege.</p>
<p>And in the end, it is only these things that will matter to whoever runs the company in the end.</p>

<p><a href="http://allthingsd.com/20110224/myspace-music-president-courtney-holt-leaving/">Courtney Holt</a>, who stepped down as president of Myspace Music early this year, is taking a new job as COO of <a href="http://allthingsd.com/20110620/hey-kids-lets-put-on-a-4m-vc-funded-show-a-visit-to-the-youtube-moguls-of-maker-studios-video/">Maker Studios</a>.</p>
<p>Holt has been an adviser to the Venice, Calif., new-generation production company &#8212; which makes and distributes more professional original content to the Internet, mostly via Google-owned YouTube &#8212; since the summer.</p>
<p>&#8220;It&#8217;s a natural fit to work with a great team and a natural evolution for me,&#8221; said Holt, who has been monitoring the online video space, despite many years in the music sector. &#8220;Being able to create an ecosystem of talent, distribution and production is a perfect storm of opportunity.&#8221;</p>
<p>The focus of Maker is to make Internet-only videos using better shared production tools, distribute and cross-promote them via a myriad of channels on YouTube and make money using the Google unit&#8217;s advertising system. Videos are original, and Maker also distributes those of other Web stars.</p>
<p>So far, the start-up has garnered $4 million in total funding from Greycroft Partners and GRP Partners, grown to 140 employees and logged 500 million monthly page views from its 300 videos per month.</p>

<p>&#8220;We have done a great job getting Maker up and running, but we wanted to take it to the next level with someone who gets what we are doing,&#8221; said co-founder Dan Zappin. &#8220;[Holt] has spent some time here, totally got it and we thought it was time to formalize the relationship.&#8221;</p>
<p>Zappin said Holt&#8217;s role will be to help Maker grow the business, still mostly on YouTube, but also make it in new ways. &#8220;Obviously, mobile is a big opportunity,&#8221; he said, while also noting Maker&#8217;s social efforts on Facebook and Twitter.</p>
<p>Recently, Google <a href="http://allthingsd.com/20111028/youtube-and-hollywood-finally-link-up-and-come-clean/">announced that it was handing out more than $100 million</a> to dozens of partners to create new channels.</p>
<p>Maker is producing three of these channel categories, but hopes to be more than just a content creator.</p>
<p>&#8220;There need to be networks to do distribution and marketing for Web content creators, to be able to do so at a cost per minute and drive audience,&#8221; said Holt. &#8220;It is unclear if all will get that right and we think Maker can help.&#8221; </p>

<p>It should probably come as no surprise to the board and top managers of Yahoo that the just-released annual poll of its workers &#8212; called the Yahoo Employee Satisfaction Survey &#8212; paints a picture of a deeply demoralized workplace. </p>
<p>Apparently, Yahoos can&#8217;t get no satisfaction.</p>
<p>The YESS questions went out to employees the week that the company fired CEO Carol Bartz, with most of the responses gathered in the ensuing weeks. </p>
<p>One major drop &#8212; not much of a shockeroo &#8212; was the employee assessment of senior leadership, under the question of whether &#8220;Yahoo is an effectively managed well-run organization.&#8221; That dropped 11 percent from last year. </p>
<p>Also troubling, according to numerous sources who have recounted the results to me, was that 19 percent of employees said they planned to leave the company within less than a year, in case a better opportunity arises.</p>
<p>(I like to call that the <em>anywhere-but-here</em> question.)</p>
<p>This is a large figure for any tech company for such a survey, which is commonly done throughout the industry. Typically, those numbers are around 10 percent, according to several human resources execs I queried, although Yahoo&#8217;s chart noted that the industry benchmark was 14 percent.</p>
<p>In any case, this YESS is Yahoo&#8217;s highest percentage of negatives for departure intent in several years.</p>
<p>Worse, it is higher in the product unit, where most of Yahoo&#8217;s engineers work and which is key to any technology company&#8217;s viability. Intent not to stay is 21 percent in the division.</p>
<p>On the plus side, numbers for manager effectiveness, teamwork and accountability did grow year over year in the product unit.</p>
<p>YESS documents sentiments I have been hearing widely and ever louder anecdotally from a plethora of mid-level managers at the Silicon Valley Internet giant. </p>
<p>Most are worried that they cannot hold onto critical employees as Yahoo is conducting a <a href="http://allthingsd.com/20110914/yahoo-for-sale-big-bidders-circling-including-marc-andreessen-as-board-pressure-mounts/">major strategic review</a> of its businesses, either to sell it or make sweeping changes.</p>
<p>The uncertainty has put its employees on edge and there has been a spike in attrition throughout the company. </p>
<p>And worry. At a <a href="http://allthingsd.com/20111006/yahoos-interim-ceo-in-internal-meeting-time-is-a-constraint-also-blame-the-media/">recent meeting with its staff</a>, interim CEO Tim Morse was buffeted with questions about the fate of employee stock options and other similar issues.</p>
<p>Despite all the turmoil, Yahoo has surprisingly not yet put an overall new plan into place for retention, although it has given some employees more money and other benefits.</p>
<p>&#8220;Can a company collapse from attrition?&#8221; one exec joked to me recently.</p>
<p>Yes, it can, which has to be of prime concern to the board of Yahoo, as it seeks to right itself. I cannot stress enough how many talented and committed employees remain at the company, desperately hoping for some effective leadership to finally take hold.</p>
<p>Because for all the swirl of what will happen to the whole company, one truism of technology innovation in Silicon Valley remains, if you want to survive: It&#8217;s still all about the talent.</p>
<p>[<strong>UPDATE:</strong> Here are some more YESS stats, according to sources:</p>
<p>"Yahoo is innovative": 42 percent agree, 27 percent neutral, 31 percent disagree.</p>
<p>"Yahoo anticipates changing customer needs and wants": 33 percent agree, 37 percent disagree, five points worse than the previous year.</p>
<p>But here is the hopeful kicker: 79 percent feel proud to say they work for Yahoo.] </p>

<p>As happened last week to its centralized marketing division, Yahoo has broken up its Customer Advocacy organization, with its staff distributed to the various regions and the product unit of the Silicon Valley Internet giant.</p>
<p>Customer Advocacy has been led by EVP <a href="http://pressroom.yahoo.net/pr/ycorp/jeff-russakow.aspx">Jeff Russakow</a>, whose fate is now similarly unclear as it is for <a href="http://allthingsd.com/20111021/exclusive-yahoo-overhauls-marketing-unit-the-internal-memo/">CMO Elisa Steele</a>, whose division was diced up to the regions last week. </p>
<p>Both execs &#8212; who were hired by fired CEO Carol Bartz &#8212; plan to remain at the company until at least January, sources said.</p>
<p>Russakow, according to his Yahoo bio, has had &#8220;global responsibility for all of Yahoo!&#8217;s customer support functions, including audience, small business, ad operations, and search network quality.&#8221; He came to Yahoo from previous jobs at Symantec and Adobe.</p>
<p>Interim CEO Tim Morse sent a memo to employees about the change, noting Russakow is looking for his next opportunity, using much the same language as Steele used in her internal email. </p>
<p>The moves are interesting, given Yahoo&#8217;s current effort to find a new strategy, which includes a possible sale of all or parts of the company. But there is also a strong sentiment within the company to reorganize around strengthening its advertising platform and products.</p>
<p>I have a call into Yahoo PR for comment (but let&#8217;s assume I am accurate about this, shall we?).</p>

<p>Yahoo is drastically rejiggering its marketing division, according to an internal memo sent today to employees from its Chief Marketing Officer <a href="http://pressroom.yahoo.net/pr/ycorp/elisa-steele.aspx">Elisa Steele</a>, in a move that seems to leave her future role unclear.</p>
<p>Steele was brought to <a href="http://allthingsd.com/20090226/new-yahoo-management-structure-the-entire-memo/">Yahoo over two years ago</a> by now-fired CEO Carol Bartz &#8212; whom she had been very close to &#8212; and charged with turbocharging and reorganizing the unit, which has never been strong. </p>
<p>While Steele certainly did overhaul the marketing department, some of her efforts, such as Yahoo&#8217;s pricey <a href="http://allthingsd.com/20090922/live-from-new-york-yahoo-introduces-you/">&#8220;It&#8217;s You&#8221;</a> advertising campaign, have <a href="http://allthingsd.com/20100419/yahoo-gets-set-to-unveil-rejiggered-ad-campaign-after-first-one-stumbled/">not worked out</a>. And, largely due to the ongoing turmoil at the company, its <a href="http://allthingsd.com/20111005/apple-brand-ascendent-while-yahoos-is-dropping-fast/">brand has suffered</a> under her watch. </p>
<p>The changes, which appear to be at the behest of Steele (though you <em>never</em> know at Yahoo!), will shift the major marketing functions back to the regions of the Silicon Valley Internet company from its current global centralized one.</p>
<p>&#8220;I believe we now need to bring marketing decisions, marketing talent and marketing budgets closer to the customer &#8212; and into the regions that depend on these critical plans,&#8221; she wrote. &#8220;We need to further link our marketing strategies to revenue growth, sales objectives and overall accountability.&#8221; </p>
<p>Since Steele took over the marketing department at Yahoo several years ago, she has been moving those powers to a more centralized system.</p>
<p>No longer.</p>
<p>In the internal memo, which I obtained and is embedded below, Steele outlines the shift, which will remove a lot of that control of marketing from the HQ and out to its business units. </p>
<p>Steele said in the email to the marketing team that she will remain at the company as CMO for now, although seems to indicate that she is also evaluating her future role.</p>
<p>&#8220;My current role as CMO on CEO staff is unchanged,&#8221; she wrote. &#8220;However, whatever I decide to do next for my career is my choice &#8212; and I&#8217;ll think about that on my own timeline.&#8221;</p>
<p>Sounds like an eventual departure to me, with Steele trying hard to stress she was going out on her own motor, even though giving up contro of big parts of your unit is unusual.</p>
<p>In any case, Steele obviously is betting now that on-the-ground control of marketing will help improve things for the beleaguered company. Here&#8217;s the memo:</p>
<blockquote class="memo"><p>Team,</p>
<p>It is critical for Yahoo! to grow faster and become more agile. We need to make decisions to accelerate the Regions&#8217; growth plans around the world, and Marketing plays a crucial role in helping develop, support and execute these plans. We&#8217;ve built an integrated marketing machine that is an asset to help the company grow now and into the future. When we assembled a global and centralized organization in 2009, we took the opportunity to create best practices, establish consistency, deepen domain expertise, enhance functional capabilities and innovate for one of the biggest brands in the world. And, in the past 12 months, Global Marketing took home dozens of industry awards for marketing leadership in integrated consumer marketing, digital marketing and event marketing – including the acclaimed Cannes Lions, a Clio, a Webby and IAB Awards. Our Marketing achievements have been broad, deep and well recognized.</p>
<p>Now that we have this strong capability, it is time to leverage it even further. I believe we now need to bring marketing decisions, marketing talent and marketing budgets closer to the customer &#8212; and into the regions that depend on these critical plans. We need to further link our marketing strategies to revenue growth, sales objectives and overall accountability. Therefore, I want to put the marketing programs and tools we&#8217;ve developed right with the Sales and Audience teams responsible for the business outcomes.</p>
<p>It is with this in mind that I recommended a marketing reorganization plan to align to these objectives, accelerate decision-making and simplify roles. The plan centers on decentralizing the current global team into 2 types of specific teams:</p>
<p>1. Regional Marketing: Our regional marketing teams will move to report directly to the Regional leaders in Americas, EMEA and APAC.</p>
<p>2. Corporate Marketing: Our strategic brand, communications and marketing services teams will remain centralized and report into HQ.</p>
<p>This was my proposal to Tim for the best interests of Yahoo! today, and I am glad he agreed with my thinking. I really hope you will endorse and support these changes, too. Yahoo! needs your help and expertise to insure this important next phase is successful.</p>
<p>I want you to know how proud I am of your achievements and contributions. I also want to thank you for the incredible support you have shown me over the past 2.5 years in the current organization. It&#8217;s been an amazing brand adventure and working with each of you has been a great source of satisfaction.</p>
<p>My current role as CMO on CEO staff is unchanged. However, whatever I decide to do next for my career is my choice &#8212; and I&#8217;ll think about that on my own timeline. First, I will work with Tim, my peers and all of you to ensure a smooth transition &#8212; and that is my focus for now.</p>

<p>According to multiple sources close to the situation, Groupon plans to conduct its road show for investors next week, starting either on Monday or Tuesday.</p>
<p>While the decision to move forward could still change, it comes amid <a href="http://allthingsd.com/20110927/the-groupon-conundrum-the-ipo-goes-on-but-when-will-the-drama-stop/">continued criticism</a> of the Chicago-based daily deals company, which has had one of the rougher IPO processes for an Internet company in recent memory.</p>
<p>Just yesterday, the <a href="http://dealbook.nytimes.com/2011/10/17/the-missed-red-flags-on-groupon/">New York Times</a> took aim at Groupon and its Wall Street bankers, retreading over the same list of issues, including controversial accounting, a too-large payout to its founders and issues around its marketing costs.</p>
<p>In addition, the social buying service has had some management turnover, with two COOs departing.</p>
<p>Lastly, it has <a href="http://allthingsd.com/20110923/more-groupon-amends-its-s-1-ipo-filing-again-over-accounting-issues/">amended its S-1 filing several times</a>, for a variety of reasons, including an email to employees by its CEO Andrew Mason that struck regulatory agencies as a bit blabby.</p>
<p>That said, the initiation of the road show &#8212; where company execs will pitch its business to possible shareholders &#8212; might be an indication that Groupon&#8217;s results have improved in its recent quarter.</p>
<p>In the last quarter, the company lost $102.7 million on revenue of $878 million.</p>
<p>Also of concern is the stock market itself. Groupon, like several Web IPO candidates, had delayed its offering due to turbulent conditions.</p>
<p>Now, sources said, the company will go public on the Nasdaq exchange soon after the road show is complete and after pricing by its bankers.</p>
<p>That valuation will also be under scrutiny. Some had previously estimated that Groupon would have an IPO of up to $25 billion. Now it could be half that, sources said.</p>
<p>Well, we will presumably soon see, as Groupon plans to proceed.</p>

<p>Yahoo CTO Raymie Stata is stepping down as CTO of the Silicon Valley Internet giant, the company confirmed this afternoon, after I made a query about the change.</p>
<p>He will be replaced by Ash Munshi, Yahoo said.</p>
<p>In a statement, the company said:</p>
<p>&#8220;Raymie Stata, CTO, has taken on a newly created role of EIR at Yahoo! to allow him to return to his entrepreneurial  roots. Yahoo! is excited to appoint Ash Munshi to the role of CTO. Ash has a well-established career managing successful global technology organizations at the most senior levels with a laser focus on meeting and exceeding customer needs.&#8221;</p>
<p>While sources said Stata had planned to leave Yahoo, he will remain an Entrepreneur in Residence there, an unusual arrangement for a big company. Typically, departing execs become EIRs at venture firms.</p>
<p>The latest talent shift at Yahoo is part of a broader attrition problem at the company, which has been persistent for years and has worsened in the wake of the firing of CEO Carol Bartz and a massive strategic review of its options.</p>
<p>Employees at the company have become troubled by the turmoil and are worried about what a possible change of control will bring for Yahoo.</p>
<p>Stata was appointed CTO last June, after having been its Chief Architect. He has reported to Chief Product Officer Blake Irving.</p>

<p>(<strong>UPDATE:</strong> Pinterest and Andreessen Horowitz confirmed the new funding, which is $27 million. The firm&#8217;s Jeff Jordan will join Pinterest&#8217;s board.)</p>
<p>In an interview, Jordan said that the amount of interest in Pinterest &#8212; <em>get it?</em> &#8212; was a big reason for the deal.</p>
<p>&#8220;People love the product, even though it is only in beta so far, with consumers who use it voraciously,&#8221; he said. &#8220;It&#8217;s elegantly social.&#8221;</p>
<p>Co-founder Ben Silbermann said the focus at Pinterest &#8212; which has only eight employees &#8212; was to &#8220;provide users with a place to discover and share in an inspirational way &#8230; we want to help people get in touch with their interests in real life.&#8221;</p>
<p>The start-up, which has no revenue to speak of yet and is still in invite-only mode, has become the hottest start-up of late in Silicon Valley, given its quick growth and compelling idea that has been called &#8220;experiential shopping.&#8221;</p>
<p>To me, it is just a really cool way of finding stuff of all kinds &#8212; from kids&#8217; toys to inspiring quotes to travel tips &#8212; using a very savvy crowd of users via social visual bookmarking.</p>
<p>It&#8217;s kind of like Oprah on steroids, with users creating and sharing virtual collages on the handsome and easy-to-use site. Others can than &#8220;re-pin&#8221; them and great stuff rises in rank.</p>
<p>The site has previously raised $10 million from Bessemer Venture Partners, valuing the company at $40 million.</p>

<p>Today, in an internal meeting of its VP-level execs, Yahoo&#8217;s interim CEO Tim Morse said of the Silicon Valley Internet giant&#8217;s strategic review that &#8220;we know time is a constraint and we are mindful we have to go quickly.&#8221; </p>
<p>Morse, who is largely seen as a figurehead by Yahoo insiders and a proxy for the board after the recent firing of CEO Carol Bartz, held the confab this morning.</p>
<p>(Note to Tim: I don&#8217;t know why I am not just invited to these Yahoo gatherings, since it would make my life a <em>lot</em> easier.)</p>
<p>Back to the meeting action: Morse got a lot of questions from the execs, who were very concerned by the muddled swirl of rumors about the future of Yahoo, including a <a href="http://allthingsd.com/20110914/yahoo-for-sale-big-bidders-circling-including-marc-andreessen-as-board-pressure-mounts/">possible sale</a>. </p>
<p>While saying he was open to all questions, Morse began with an explanation for the group that he could not answer &#8220;unwise&#8221; ones that he either did not have insight into or could not answer in a semi-public forum.</p>
<p>That included upcoming quarterly results, retention plans and, of course, sale offers.</p>
<p>Only <em>wise</em> questions, peeps! (And no <a href="http://www.urbandictionary.com/define.php?term=wisenheimer">wisenheimer</a> stuff, either!)</p>
<p>Of course, no one paid attention to that request. They launched instead into multiple queries about the strategic plan the board is working on.</p>
<p>Morse told the group that there was interest in Yahoo and that its banking advisers were reaching out to those &#8220;we think we should be talking to.&#8221;</p>
<p>He added, noting that Yahoo had to focus on its ongoing business: &#8220;We know time is a constraint and we are mindful we have to go quickly&#8221; on the strategic review of what to do.</p>
<p>Previously, the board has said the process would take months, which is too glacial, considering. </p>
<p>There was also a question about the stock and the risks to their jobs in any deal. Cautioning that he could not say what would happen, Morse assured them that any party that buys the company would likely want to retain talent.</p>
<p>Someone else asked what a good buyer would look like. Morse replied that it would be someone who was good for employees, for shareholders and for customers.</p>
<p>But not good for the wretched media! </p>
<p>Morse took particular aim at us, noting that the press was writing stories &#8220;because they make money out of clicks.&#8221;</p>
<p>Actually, while we will take the clicks, <strong>AllThingsD</strong> is writing stories so Yahoos and everyone else can get a clearer picture of what is going on, as opposed to the incessant corporate confusion coming from Yahoo.</p>
<p>(By the way, <em>just sayin&#8217;</em>, but Yahoo also likes the clicks to its pages.)</p>
<p>One person asked if Yahoo was officially for sale. Morse said, &#8220;No, we are not trying to sell the company.&#8221; Then, he blamed the media again for misreading co-founder <a href="http://allthingsd.com/20110923/yahoos-dueling-internal-memos-board-followed-by-ceo-spam-employees-in-race-to-explain/">Jerry Yang&#8217;s recent memo</a> about evaluating options as code for a sale. </p>
<p>Which it was &#8212; and you can take <em>that</em> click to the bankers.</p>
<p>A Yahoo spokeswoman, natch, declined to comment.</p>

<p>Arriving at Silicon Valley&#8217;s Computer History Museum, in the heart of the tech industry, with the leader of the free world talking jobs and digital, you might expect <em>fantastic</em> wireless access. </p>
<p>You might, but not so much if you are a &#8220;local&#8221; reporter and can&#8217;t jack into the extra-secret-special wireless link the national White House press corps apparently has reserved for itself. (They also get a lovely noshing buffet, whilst we tech reporters have been instructed not to touch the pineapple and scones or else!)</p>
<p>Famished for coffee and carbs, we&#8217;re left with glomming onto the museum&#8217;s slowish wireless service &#8212; there are lotsa geeks here today jamming up the lines &#8212; and every now and then getting some juice from Google. The search giant blankets the Mountain View, Calif. area near its HQ with free Wi-Fi, but it fades in and out.</p>
<p>I am now reconsidering the antitrust investigations that the Obama administration is conducting against Google, as long as its signal is good enough to check Twitter.</p>
<p>So this liveblog of President Barack Obama&#8217;s LinkedIn Town Hall &#8212; which will center on jobs and is titled, &#8220;Putting America Back to Work&#8221; &#8212; could be glacial with not much news, much like what I am expecting from the event itself.</p>

<p>I&#8217;d certainly <em>like</em> to work, as long as the wireless does! (Plus, limited power outlets in the room, so it&#8217;s every reporter for herself!) </p>
<p>But bygones, while we await the Prez!</p>
<p><strong>10:18 am</strong>: One thing that made me flee Washington, D.C., when I worked for the Washington Post, was all the rigmarole that surrounded the appearance of and access to politicians.</p>
<p>I get it, the security and all, and am all for it on a general safety level. But, no matter how you slice it, it hinders any kind of movement or genuine interaction, like being stuck at a really dull opera. All the world&#8217;s a stage and we are all merely waiting in traffic.</p>
<p>In contrast, and one of the joys of Silicon Valley, is that anyone can get up right up into the grill of the various billionaire potentates littering the landscape, engage in a debate and get a possibly real answer.</p>
<p>Thus, I am hoping for a lot here from LinkedIn CEO Jeff Weiner, who is going to moderate the hour-long session with the President.</p>
<p>By the way, while he is busy running the business-focused social networking site, Weiner is looking good in a fancy suit, almost as if he could be Secretary of the Internet. I&#8217;d vote for him.</p>
<p><strong>10:28 am</strong>: Some painless but hip music is playing now, as we <em>wait, wait, wait</em> for Obama, who is set to begin in 30 minutes. </p>

<p>(Obviously, I am bored, so I shall now go monitor Twitter to catch up on the latest in the new bad-marriage-or-not cat fight between Brad Pitt and his ex, Jennifer Aniston &#8212; as if we need <em>him</em> to tell us Angelina Jolie is more interesting. Frankly, Angie&#8217;s midday snack is more interesting than Jen.)</p>
<p>There is now what appears to be a Secret Service dude next to me, giving me a hairy eyeball. If I am jailed over my wireless protest, please give generously to my defense fund.</p>
<p>Free the Internet! Free the Internet!</p>
<p><strong>10:35 am</strong>: Finally, the production guy is up giving out the rules. Turn off the cellphones, no making noise.</p>
<p>The head Secret Service guy then takes the stage. No getting out of your seat. No sudden movements. And <em>no</em> crossing the blue line in the front row.</p>
<p>&#8220;All joking aside,&#8221; he says, he <em>will</em> take you down. He also notes that if the President moves toward you to shake your hand, &#8220;do not move toward him.&#8221;</p>

<p>I love Secret Service agents &#8212; especially when played by Clint Eastwood &#8212; and wish I had one to give a few people in tech a little smackadoo on my behalf. And not only if they moved toward me!</p>
<p><strong>10:47 am</strong>: This little frisson of excitement is followed by more waiting, as the final seats are filled up in the room, which is an unusually (and welcome) multi-racial and gender-balanced crowd for Silicon Valley.</p>
<p>Various White House aides skitter back and forth like nervous ground squirrels &#8212; I would imagine their life is one big effort to avoid any gaffe &#8212; so the Prez must be near.</p>
<p>I am actually looking forward to seeing him, as I never have in person and am looking forward to seeing the famous Obama charm and techie cred.</p>
<p>Indeed, he is probably the most fast-forward tech president there has ever been. That said, buffeted by more serious issues facing the nation, his administration has delivered on few &#8212; by which I mean <em>none</em> &#8212; of its promises around the digitization of the U.S.</p>
<p>Our high-speed broadband, for example, is still woefully slow, inordinately expensive and not easily available nationwide.</p>
<p>And I will not even go into the need for increased focus on math and science education or the importance of our broken visa policies. </p>
<p>But the topic today is jobs, which is an arena where Silicon Valley and tech shines in the U.S., even as manufacturing of it has mostly moved overseas. How tech can help improve in the creation of jobs will be issue No. 1 here.</p>

<p>And, indeed, Weiner emerges to cheers, to give a little speech on &#8220;changing the way we work &#8230; and connecting talent to opportunity.&#8221;</p>
<p><strong>11:01 am</strong>: Then, the session starts right on time with President Obama. </p>
<p>He begins with a rote speech on jobs, which is nonetheless the most important issue he faces going into next year&#8217;s election. </p>
<p><strong>11:14 am</strong>: Ah, wireless glitch! Back!</p>
<p>President Obama is inexplicably in the middle of a Medicare question, which gives him an opportunity to talk about the need for the rich to pay more taxes. </p>
<p>And pass his American Jobs Act, of course.</p>
<p><strong>11:17 am</strong>: More on proposing legislation for retraining workers, such as the questioner&#8217;s mom. </p>
<p>Now to a group of email questions. The first is about when small businesses are going to get a break from onerous regulations and taxes.</p>
<p>President Obama says since he has been in office, he has cut taxes 16 times for those who create a business.</p>
<p>But he is not going to apologize for some regulations, such as those for the financial industry over the mortgage crisis.</p>
<p>&#8220;There are some regulations that have outlived their usefulness,&#8221; he says, but others not so much.</p>

<p>&#8220;The best thing we can do for you is that the unemployment rate goes down,&#8221; said President Obama, but also adds that making it easy to go to school while waiting on a job is also important.</p>
<p>&#8220;Just looking at you, I can tell you are going to do great,&#8221; he tells her in an awkward effort at reassurance.</p>
<p>Thanks, Barack, but she needs a job!</p>
<p><strong>11:28 am</strong>: A veteran is asking a question about transitioning out of the military. </p>
<p>Obama launches into a story of a medical technician who faced all kinds of experiences, but had to start over again with new classes when out of the military. He suggests some level of credentialing based on experience.</p>
<p><strong>11:33 am</strong>: Obama gets to pick out someone from the crowd and manages to pick out a dude who is a former Googler &#8212; although he only says that he works down the street &#8212; and is out of work by choice.</p>
<p>He asks: &#8220;Will you please raise my taxes?</p>
<p>A plant? I wish!</p>

<p>President Obama asks the name of the start-up. &#8220;A search engine,&#8221; says the ex-Googler-in-disguise, who is Doug Edwards, an early marketing exec there who actually wrote a book on being an ex-Googler.</p>
<p>&#8220;That worked out well for you,&#8221; kids President Obama.</p>
<p>Everyone likes a rich-guy joke!</p>
<p>He is soon onto the idea that we&#8217;re all dang lucky and declares he does not want it to turn the debate over taxes into a rich-poor war.</p>
<p>Bottom line, he notes that we have to raise taxes on the very wealthy. Frankly, if we raised taxes on a bunch of folks in this room, it would help a lot.</p>
<p><strong>11:42 am</strong>: A teach-training question, especially math and science teachers. </p>
<p>President Obama is all for it.</p>
<p>He is meaning well here, but all he seems to offer is a lot of bromides about the importance of education and errant related anecdotes.</p>
<p>Like one from IBM, where the company hires the kids in the program at the end.</p>
<p>President Obama wants students to see a direct connection between learning and jobs. </p>

<p>Then, he kind of says it again. Gosh, he can talk. How does the well-fed and wirelessly connected White House press corp take it? Lotsa donuts, I would imagine.</p>
<p>President Obama also wants us to turn off the electronics and video games for kids, too, thereby instantly losing the votes of my two sons!</p>
<p>Another laid-off guy is up at the mic. He had 22 years in IT management and is disheartened. </p>
<p>He wants a statement of encouragement from the CEO of America.</p>
<p>President Obama assures him that his track record of success gives him a leg up, but that the problem is the economy and the global meltdown, too.</p>
<p>It&#8217;s systemic, apparently.</p>
<p>&#8220;The problem is not you, the problem is the economy as a whole,&#8221; says President Obama.</p>
<p>That was the last question. Weiner, who has been sitting quietly (I know it was hard, Jeff, but good job), thanks the President and tells him that this is a big issue.</p>
<p>President does his thanks, too, for being able to speak, although not really that much was actually said.</p>

<p>He talks about the need for being ready to take advantage of that opportunity.</p>
<p>&#8220;Things have gotten so ideologically driven, putting party above country,&#8221; he adds, that nothing is getting done. That&#8217;s why the people, the voters, have to demand leadership from their elected officials.</p>
<p>Or, presumably, fire them and let them try to find another job, too. </p>
<p>It might turn out to be the best idea yet, if these pols don&#8217;t agree on something and quick.</p>

<p>Today, Yahoo leaders &#8212; <em>all</em> of them in two different memos &#8212; took to the keyboards to fill their 14,000 employees in on what&#8217;s up.</p>
<p>Reading them, Yahoos must now be more confused than ever.</p>
<p>To summarize: Yahoo is for sale, sort of. But we&#8217;re taking it slow, because we always like to drag out the uncertainty here at Sunnyvale HQ. Hey, keep working hard and innovating, despite the still-matrixed system. But don&#8217;t fret that your job and career hang in the balance. And have a good weekend!</p>
<p>In the first email, Yahoo Chairman Roy Bostock and co-founders David Filo and Jerry Yang &#8212; also a director &#8212; penned a rambling missive, which finally admitted the company was indeed, as was <a href="http://allthingsd.com/20110914/yahoo-for-sale-big-bidders-circling-including-marc-andreessen-as-board-pressure-mounts/">first reported here</a>, for sale.</p>
<p>Yahoo said hired-gun investment advisor, Allen &#038; Co., was &#8220;fielding inquiries from multiple parties that have already expressed interest in a number of potential options.&#8221;</p>
<p>Not to be a niggler, but didn&#8217;t <a href="http://allthingsd.com/20110907/yang-says-not-for-sale-all-hands-on-yahoos-slippery-deck/">Yang tell the troops at an all-hands meeting</a> recently that Yahoo was <em>not</em> for sale?</p>
<p><em>Details!</em> Thus, said the memo, until the company sorts out all the offers just <em>pouring</em> in &#8212; not so much, but when you&#8217;re selling a house, you put on the dog &#8212; Yahoos had to keep working hard.</p>
<p>Therefore: &#8220;What Yahoo! needs to do better &#8212; and we&#8217;ve talked about this &#8212; is accelerate innovation, reignite inspiration, and give our users what they want now &#8212; great content that is engaging and easy-to-use on any device and provides an experience in which they can participate and contribute. Perhaps most importantly, we need to anticipate what they will want next.&#8221;</p>
<p>You&#8217;ve. Talked. About. This. You mean to try to make cool stuff like every other tech company &#8212; Apple, Facebook, Google &#8212; already does? Mind-blowing.</p>
<p>After a little throat-clearing on its fake search for a new permanent CEO and some media-bashing (yes, this all my fault!), the memo noted that all this fancy <em>strategery</em> is going to take &#8220;months, not weeks.&#8221;</p>
<p>(Is it just me or does it feel as though former <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">CEO Carol Bartz was fired</a> a badillion years ago, instead of just weeks ago? Plus, I actually believe I officially now miss her kooky-but-genuine Friday staff emails.)</p>
<p>The Gang of Three email was followed by one from the incredible shrinking interim CEO Tim Morse, who said Yahoo was not in &#8220;limbo,&#8221; due to all this obvious limboness about the strategy.</p>
<p>&#8220;That means we will not be sitting still over the next few months,&#8221; Morse wrote. &#8220;We are actively making decisions and taking action.&#8221;</p>
<p>In other words, nothing to see here. Except everything.  </p>
<p>Oh, I give up &#8212; just read for yourselves:</p>
<blockquote class="memo"><p>Dear Yahoos:</p>
<p>In our recent all hands meeting, we talked about the Board&#8217;s strategic review to help return the Company to a path of robust growth and industry-leading innovation. While our teams are working to evaluate the many opportunities by which Yahoo! can continue building on our success, all kinds of people have been &#8212; and will continue &#8212; speculating in the media about where that work is headed, so we thought it best to provide you with some additional context directly from those of us who are closest to it. We don&#8217;t have specific news to share with you today, but we are committed to communicating with you directly from time to time &#8212; especially given the level of external swirl &#8212; so that you know where we are in the process. You can expect periodic updates from us and we encourage you to communicate with us as well.</p>
<p>At the heart of what we are doing is our belief that Yahoo!&#8217;s core strengths are not only relevant to where users are going today, but can serve as a foundation for the next phase of our company’s growth. Consider our strengths: we have 680 million users worldwide. We have nine of the #1 properties in the U.S., and we are a leader in display advertising. Our brand is iconic &#8212; we are not the only ones who bleed purple. By whatever measure you want to use &#8212; engagement, quality of products and services, our value to our advertisers &#8212; we all feel that we have what it takes to succeed. Also, our Asia assets remain one of our top priorities and we continue to work well with the teams there. As you may have seen, Alibaba Group has just announced a liquidity event for its employees that reflects a continued appreciation in its value, and therefore of the value of our stake.</p>
<p>What Yahoo! needs to do better &#8212; and we&#8217;ve talked about this &#8212; is accelerate innovation, reignite inspiration, and give our users what they want now &#8212; great content that is engaging and easy-to-use on any device and provides an experience in which they can participate and contribute. Perhaps most importantly, we need to anticipate what they will want next. That is the path to enhancing the value of Yahoo! for all of its stakeholders, including its users, customers, shareholders, partners and Yahoos everywhere. Our strategic review is designed to help us map out the best way to achieve that.</p>
<p>At this point, we cannot offer many specifics about the Board&#8217;s review; we&#8217;ve just gotten started. You should know that the entire Board and management team are fully aligned and unanimous in their views regarding the scope of this work. Allen &#038; Company was a logical choice to help us in this review, because they have been one of our advisers for some time, and this is familiar territory for them. Achieving success in our sector is intrinsic to what they do for a living, and they will be constructive partners.</p>
<p>Our advisers are working with us to develop ideas that we will pursue proactively. At the same time, they are fielding inquiries from multiple parties that have already expressed interest in a number of potential options. We will take the time we need to select and structure the best approach for the company, its shareholders and employees.</p>
<p>In addition, as we announced previously, the Board has commenced a search for a permanent Chief Executive Officer. That process also continues.</p>
<p>When we have updates that we can share we will do so. There will be plenty of rumors and speculation as different parties try to advance their agendas in the media &#8212; but it is important that we not be distracted by the rumors and speculation.</p>
<p>You are instrumental to the success of our business &#8212; we can&#8217;t do it without you. While we will move with a sense of urgency, this process will take time. Months, not weeks. We know that&#8217;s a lot of potential distraction, but we believe it will be worth the wait. We are forging a path to a next phase of growth for Yahoo! that feels like our best days: fun, full of possibility, and always in search of how to deliver the new thing people want from us. Together, we can write the next great chapter in the Yahoo! story and secure our place as one of those rarities: an internet company that endures.</p>

<p>You see, the Board is confident we can execute our current game plan in the short term. <p>We need a flexible, visionary plan. That&#8217;s why the Board is actively looking at all the options available to put Yahoo! on a strong trajectory. </p>
<p>That being said, while the Board makes this decision, it does not mean we are in limbo. We have to keep Yahoo! moving ahead. And to do that, there are three things I need Yahoos everywhere to focus on:</p>
<p>1.    Speed: Emphasize quick execution and decision-making</p>
<p>2.    Accountability: Do what you say you&#8217;re going to do &#8212; and take ownership for time to market, monetization, user engagement, quality, or whatever metric defines success for your team</p>
<p>3.    Purpose: Rally behind our mission and purpose: creating deeply personal digital experiences.</p>
<p>In the meantime, we will keep you updated as much as we can. And we will earn your trust &#8212; we know we have to.</p>

<p>Groupon amended its public offering documents today, in a <a href="http://www.sec.gov/Archives/edgar/data/1490281/000104746911008207/a2205238zs-1a.htm">new filing</a> with government regulators, in which it once again changed its accounting treatment.</p>
<p>That includes the way it measures revenue, which will now be reported <em>excluding</em> the money it pays out to merchants. </p>
<p>Some felt the &#8220;gross revenue&#8221; figure &#8212; a term for what are actually gross billings &#8212; was not reflective of Groupon&#8217;s true performance. It will now use net revenue.</p>
<p>Said the company in the current amended filing, its third: </p>
<p>&#8220;We consistently have stated that the amount we retain &#8212; rather than bill or collect &#8212; from the sale of Groupons is the key measure of the value we create. This change in presentation is consistent with that belief.&#8221;</p>
<p><em>Okkkkaaaay</em>, whatever you say, but the change was requested by the Securities and Exchange Commission.</p>
<p>In its second amended filing, Groupon dropped its controversial &#8220;Adjusted Consolidated Segment Operating Income,&#8221; or <a href="http://allthingsd.com/20110805/exclusive-groupon-will-dump-controversial-ascoi-accounting-in-new-ipo-filing/">ACSOI</a>, metric, which excluded key marketing costs.</p>
<p>In its first amended filing, it told investors to <a href="http://allthingsd.com/20110714/groupon-retracts-wildly-profitable-statement-in-latest-sec-filing/">ignore statements made by its Chairman Eric Lefkofsky</a> and also made more accounting clarifications.</p>
<p>In the current changes, Groupon also posted the <a href="http://allthingsd.com/20110825/exclusive-groupons-mason-tells-troops-in-feisty-internal-memo-it-looks-good/">controversial letter to employees</a> &#8212; first published here &#8212; that CEO and co-founder Andrew Mason wrote to strike back at the Chicago-based social buying network&#8217;s critics. Many felt the missive violated the quiet period before an IPO that companies are required to maintain.</p>
<p>And Groupon has been anything but quiet, as it advances and retreats to its Wall Street road show, which has been delayed and then not delayed (and might still be delayed, but who knows?).</p>
<p>Also today in its noisy goat rodeo: <a href="http://allthingsd.com/20110923/groupon-loses-new-coo-whos-going-back-to-google/">COO Margo Georgiadis</a> is headed back to Google after arriving in April. </p>
<p>I guess things did not work out. </p>
<p>Lastly, the new filing also has added a new metric for &#8220;cumulative repeat customers,&#8221; showcasing how many customers have bought a Groupon offering more than once. That number is over 12 million.</p>

<p>One of the quotes I always keep pinned to the side of my computer monitor is by my favorite writer, Joan Didion, from her terrific essay, &#8220;On Keeping a Notebook&#8221;:</p>
<blockquote class="memo"><p>I think we are well advised to keep on nodding terms with the people we used to be, whether we find them attractive company or not. Otherwise they turn up unannounced and surprise us, come hammering on the mind&#8217;s door at 4 a.m. of a bad night and demand to know who deserted them, who betrayed them, who is going to make amends. We forget all too soon the things we thought we could never forget. We forget the loves and the betrayals alike, forget what we whispered and what we screamed, forget who we were.</p></blockquote>
<p>Yesterday, Facebook took Didion&#8217;s elegant and poignant concept about memories a little too literally (and, of course, nerdily) with its introduction of <a href="http://allthingsd.com/20110923/analysis-facebook-applies-the-dimension-of-time-to-the-social-web/">Timeline</a>, which the social networking giant is calling &#8220;The Story of Your Life.&#8221;</p>
<p>Oh dear. (And it hopefully will not include the part about that fantastically dysfunctional break-up in a ratty hotel room by the sea.)</p>
<p><em>Moving on!</em> </p>
<p>You could look at this new offering from Facebook in a lot of ways, from a new super-sized version of its existing profiles to a digital scrapbook of memories to a geek version of a daily planner.</p>
<p>As Liz Gannes wrote today in a cogent analysis of Timeline:</p>
<p>&#8220;On one end, Facebook&#8217;s platform update will channel every little thing people do around the Web in real time. Meanwhile, the new timelines in user profiles are an acknowledgment and glorification of the past.&#8221;</p>
<p>All true, of course, but to my mind the whole idea of a life on display in pixels like some never-ending comic book &#8212; with photos and text and video and smiley faces (and frowns, too!) &#8212; is, well, more than a little creepy.</p>
<p>It&#8217;s not Facebook&#8217;s fault at all, because it is just doing better what it already does, born from its founder and CEO Mark Zuckerberg&#8217;s central notion that being able to share everything online is the sacred goal. </p>
<p>It&#8217;s always been his mantra and the young and decidedly visionary entrepreneur visibly bounced around the stage of Facebook&#8217;s f8 developers conference yesterday at the idea of it. </p>
<p>His Timeline had a lot about his longtime girlfriend and his dog, Beast. Has there ever been a more over-sharing canine? I think <em>not</em>!</p>
<p>(Actually, as longtime privacy activist Lori Fena tweeted to me today: &#8220;Internet Anthropology: 90&rsquo;s Internet &#8212; Nobody knows you&#8217;re a dog. 2011 FB Timeline &#8212; Everyone knows you&#8217;re a dog.&#8221;)</p>
<p>But what struck me the most was a video Zuckerberg showed about Timeline, which depicted the life of a (fictional?) Facebook employee named Andy Sparks, from his birth on August 14, 1974 onward. </p>
<p>Maybe it was just me, but as it proceeded through Andy&#8217;s awkward teens to his wedding to his own kids and the years flipped by, I got a sinking feeling that it would not stop until we ended up with a crepe-lined profile page and a digital tombstone.</p>
<p><strong><em>Here lies Andy &#8212; if you have any questions about his entire life, please back-click!</em></strong> </p>
<p>Thankfully, the video stopped at middle-age (Andy would be 37 years old now), but like I said: Creepy!</p>
<p>Then again, it also might be a bad idea to digitize everything in sight in the first place, well beyond such concerns, as <a href="http://maura.tumblr.com/post/10548489653/on-facebook-privacy-and-the-hindered-development-of">Maura Johnston concluded</a> in a smart essay about Timeline: </p>
<blockquote class="memo"><p>I think there&#8217;s something to be said about the idea of personality development over time that makes me quite uneasy about Facebook&#8217;s exuberance over being able to chronicle one&#8217;s whole life on the service. What does that do to the notion of memory, the fuzziness of which can have helpful functions at times? &#8230; And I feel like so many of the innovations involving technology and persona being put forth right now are being fashioned by people with myopic &#8220;everything is great right now and will be that way forever&#8221; outlooks, and that they don&#8217;t really have any sense of what life beyond their VC-funded Silicon Valley privileged existences might be like.</p></blockquote>
