<p>Whatever you want to call him or her &#8212; a silver bullet, the cure or, as I like to say, the <a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/">last unicorn</a> &#8212; Yahoo&#8217;s ever-seeking and never-deciding board has now renewed its focus on finding a new CEO.</p>
<p>Also on the docket: Working on a deal to sell back at least some of its stake in its twin Asian assets &#8212; Yahoo Japan and the Alibaba Group &#8212; back to the companies. A partial sale of stock back could placate the often tense situation among the partners.</p>
<p>What is clear is that the two bids from private equity firms are now in an undetermined circling pattern &#8212; due to a variety of concerns around shareholder unrest (<em>Occupy Yahoo</em> looms for 2012).</p>
<p>Therefore, the idea of bringing in said fantasy leader to perhaps finally be the one to revive the long-troubled company has returned to the forefront of action, according to numerous sources both inside and outside the company. </p>
<p>The concept in short, said people familiar with the situation: Hire some compelling and entrepreneurial CEO to get the company moving again from a product point of view, do a massive organizational overhaul and help settle Yahoo&#8217;s thorny Asian issues.</p>
<p>While a number of names have been rumored in reports &#8212; such as Google business lead Nikesh Arora, who is actually not likely to leave his top post at the search giant &#8212; sources said the board has been targeting a number of candidates, including Hulu CEO Jason Kilar.</p>
<p>Others on Yahoo&#8217;s wish list include Juniper CEO Kevin Johnson and online advertising entrepreneur Brian McAndrews, who sold aQuantive to Microsoft. There are several others also being considered.</p>
<p>Sources said Kilar has met with Yahoo board members about the offer, but his hiring would be a long shot.</p>
<p>It&#8217;s an interesting &#8212; if complex &#8212; gambit to bring in Kilar, who has had his own wrangles with the multi-owner structure of the premium video service over the years. </p>
<p>Kilar&#8217;s status at Hulu has been in question ever since it was <a href="http://allthingsd.com/20111013/hulus-owners-call-off-the-sale/">put on the block, then removed</a> and then &#8212; <em>well</em> &#8212; who knows.</p>
<p>Hulu&#8217;s owners &#8212; News Corp., Disney and Providence Equity Partners, along with Comcast (which is a now a passive investor) &#8212; did not like the offers it got from various bidders, including Yahoo. </p>
<p>While the media giants have made noises about wanting to keep a stake in distribution, their commitment to that remains unclear.</p>
<p>The situation has put Kilar &#8212; who already had tense relations with the service&#8217;s shareholders &#8212; in limbo until a valuation is determined next year. Without going into the complex details, Kilar has a large equity stake that could be liquid in April, related to certain rights held by Providence.</p>
<p>It is well known that Kilar has been concerned the team that built Hulu gets some sort of payout for their work. In fact, many years ago, Hulu was seen as a possible IPO candidate.</p>
<p>What&#8217;s not in question is Kilar&#8217;s talent at creating a cohesive team and a compelling product &#8212; especially with an advertising and media focus &#8212; and the need at Yahoo for a vibrant leader to encourage innovation and discourage its rapidly increasing attrition issues. </p>
<p>The search for a new Yahoo CEO &#8212; which is being led by director Patti Hart, and is being <a href="http://allthingsd.com/20111013/exlcusive-yahoo-hires-heidrick-struggles-for-ceo-search/">conducted by Heidrick &#038; Struggles</a> &#8212; had been mostly sidelined until recently, as the board solicited bids for a partial investment from PE firms. </p>
<p>Two emerged, from Silver Lake and TPG Capital, which had wanted to pay from $16.50 to $18 a share for a stake of just under 20 percent in what is called a PIPE (Private Investment in Public Equity) arrangement.</p>
<p>But the low price, and worries about lawsuits and even a proxy fight related to such a deal, have slowed down the momentum significantly, said sources. </p>
<p>Instead, Yahoo has told bidders it will get back to them in the coming weeks about the direction it will take. Thus, the focus on lining up CEO candidates and plans related to reviving Yahoo.</p>
<p>Some of those possible execs have put their hand up, while others &#8212; like Kilar &#8212; are being solicited. In addition, some still think that Yahoo board member <a href="http://allthingsd.com/20111108/with-no-yahoo-ceo-pledge-david-kenny-back-in-the-strategic-fray/">David Kenny</a> remains an internal option, especially if the board of Yahoo gets a refresh, despite his recent announcement that he has no intention of seeking the job. </p>
<p>In general, this shift should not come has a surprise for the hurry-up-and-wait board of Yahoo, which has struggled over the years to make good choices for the Silicon Valley Internet giant. </p>
<p>That drift has resulted in a downturn in its prospects, even as other companies have surged. </p>
<p>Those troubles were brought into sharp focus in a recent report by new Goldman Sachs Internet analyst Heath Terry, who strafed Yahoo in his &#8220;sell&#8221; recommendation. </p>
<p>Among the gems by an analyst whose investment bank is currently an advisor to Yahoo on its strategic options: </p>
<blockquote class="memo"><p>Yahoo simply faces too many competitive and structural headwinds to believe any kind of meaningful turnaround is possible. While there is significant asset value on the balance sheet and in the company&#8217;s large, though increasingly less engaged user base, we continue to believe, as we have since before the first Microsoft offer, that the segment of management driving the company is intent on trying to revive Yahoo as a company, regardless of the cost to shareholders.</p></blockquote>
<p>And, noting the need for a new CEO:</p>
<blockquote class="memo"><p>We would become more positive if we felt there was a likely event in the near term that might unlock the value of the balance sheet assets at Yahoo. While we believe the aggregate value of those assets is above the value reflected in YHOO, in order to be more positive on the stock we would need some proof that management is willing and able to take the steps necessary to unlock that value either through a sale or distribution to shareholders. Meanwhile, the declining profitability of the core display advertising business is masked by a search business that continues to lose share and relies on artificial support from Microsoft. We would become more positive on the core Yahoo business if the company is able to find a new CEO capable of focusing the business on its core advertising and communications opportunities, rationalizing costs, and driving growth. This would require user growth and especially engagement improvements in both online and mobile, improving monetization of advertising inventory, and stabilizing its search business.</p></blockquote>
<p>In other words: Wanted, one unicorn to work magic against increasingly troublesome dragons. Ability to sparkle a plus.</p>

<p>Silicon Valley venture firm Andreessen Horowitz said today that it was joining well-known investors Ron Conway and DST Global&#8217;s Yuri Milner in the Y Combinator Start Fund, which gives $150,000 to each start-up in its semi-annual group.</p>
<p>Andreessen Horowitz will be investing $50,000 of the total in each entrepreneurial effort, starting with the next &#8220;class&#8221; of up to five dozen companies later this month in the well-regarded incubator.</p>
<p>The money comes in the form of convertible debt, which is a loan that can convert if a start-up raises a funding round. Start-ups can refuse the money, although most do not.</p>
<p>&#8220;I can&#8217;t tell you how impressed we have been with the quality of the start-ups that Y Combinator has had,&#8221; said Marc Andreessen in an interview with me this afternoon. &#8220;[Co-founders Paul Graham and Jessica Livingston] have become the consigliere to a whole new generation of entrepreneurs.&#8221;</p>
<p>Indeed. Y Combinator assembles these start-ups twice a year, giving them about $15,000 to work on their idea, but &#8212; more importantly &#8212; providing a lot of support and entree to powerful investors in Silicon Valley. Its efforts have been critical to the beginnings of many successful companies, such as Reddit, Loopt and Scribd.</p>
<p>&#8220;So many of the high quality seed deals have been coming from Y Combinator and we wanted to be close to all those companies,&#8221; said Andreessen. &#8220;It&#8217;s a great view of what&#8217;s coming next from the very best start-ups.&#8221;</p>

<p>Last week, I met up with Geoff Ralston, an Internet exec whom I have known for a dog&#8217;s age&#8211;from his stint in the early days at Yahoo and later at music service Lala, which was <a href="http://allthingsd.com/20100601/apple-pulls-the-plug-on-lala-replaces-it-with-nothing/">sold to Apple in 2009</a>.</p>
<p>These days, instead of heading to another company or starting one, Ralston has joined with Tim Brady and Alan Louie to launch <a href="http://www.imaginek12.com/">Imagine K12</a>, an education incubator.</p>
<p>Based on Silicon Valley&#8217;s Y Combinator, the aim of the Palo Alto, Calif.-based Imagine K12 is to help education-focused start-ups with a little money and a lot of entrepreneurial encouragement.</p>
<p>After sifting through a pile of applications for slots, Ralston and his partners picked the first &#8220;class&#8221; of start-ups, who will begin work on June 2.</p>

<p>Earlier this week, he <a href="http://kara.allthingsd.com/20110403/sb-nation-sacks-aol-in-raid-of-former-engadget-team-for-competing-new-tech-site">hired away eight staffers from AOL&#8217;s Engadget</a> in order to create a competing tech news and gadget reviews site.</p>

<p>And now, according to sources close to the situation, the former AOL content head is close to hiring another former top AOL media exec, Marty Moe (pictured here), to manage it and also more niche sites the blog network is contemplating launching.</p>
<p>Sources said the hiring of Moe is not yet complete, but is close to being struck.</p>
<p>Tyler Bleszinski, SB Nation&#8217;s founder and sports editorial director, will continue to manage the start-up&#8217;s sports blog network, while Moe will focus on the company&#8217;s tech vertical and any other future categories.</p>
<p>Moe <a href="http://kara.allthingsd.com/20100823/top-aol-media-exec-marty-moe-to-depart-other-rumors-of-david-eun-ankling-not-so-much">left AOL less than a year ago</a>, after nine years working at the New York-based portal, including with Bankoff.</p>
<p>Both had been involved in the purchase of Weblogs Inc., which included the flagship Engadget site.</p>
<p>Now, it seems they will be trying to remake the concept of a content network, although in a more entrepreneurial and innovative setting.</p>
<p>The new tech site&#8211;which is still unnamed and will be helmed editorially by outgoing Engadget Editor in Chief Josh Topolsky&#8211;will debut some time in the fall. It is the first content expansion at the Washington, D.C., SB Nation, which has heretofore been exclusively focused on sports.</p>
<p>Topolsky will be joined by former Engadget managing editor Nilay Patel and also former staffers Paul Miller, Joanna Stern, Ross Miller, Chris Ziegler, Justin Glow and Dan Chilton.</p>
<p>All of the above had left Engadget in a <a href="http://kara.allthingsd.com/20110312/engadgets-top-editors-topolsky-and-patel-exit-from-aols-giant-tech-site">series of departures of late</a>, all due to increasing unhappiness with AOL&#8217;s management and content strategy.</p>
<p>Paul Miller and Ross Miller, who are not related, both stated publicly that they did not like the editorial direction AOL was going in, especially a controversial content strategy document titled &#8220;The AOL Way.&#8221;</p>
<p>New AOL content head Arianna Huffington has shifted toward a more journalistic path, but the talent bleed began before AOL&#8217;s $315 million purchase of the Huffington Post.</p>
<p>Many new upstart content sites such as SB Nation have begun to try to eat away at the big portal&#8217;s content strategy&#8211;pushed by its CEO Tim Armstrong&#8211;with perhaps more nimble efforts of their own.</p>
<p>And those smaller companies are also well funded.</p>
<p>SB Nation completed a <a href="http://kara.allthingsd.com/20101108/sb-nation-raises-10-5-million-in-khosla-ventures-led-series-c-round">$10.5 million Series C venture round</a>, led by Khosla Ventures, in the fall.</p>
<p>It had already raised about $13 million in total funding from Accel Partners, Allen &#038; Company and Comcast Interactive Capital, as well as from angel investors such as Ted Leonsis and others in Silicon Valley.</p>

<p>Of all the many job openings in tech, perhaps the most interesting to watch will be who Groupon selects as its next COO.</p>
<p>The search has been on for a while for the critical hire for the Chicago-based social buying company, well before the recent announcement that it was parting ways with President and COO Rob Solomon.</p>
<p>Among those approached, said sources close to Groupon: Former Doubleclick and Google exec David Rosenblatt.</p>
<p>He&#8217;s not taking the job for a variety of reasons, sources said, but<br />
finding someone to step up for the job will be tough, since it is likely to be one that will require a wide range of talents.</p>
<p>That includes: epic cat-wrangling of thousands of employees in far-flung locations; deep marketing and advertising prowess; high-level technology, product, mobile and e-commerce chops; and international experience.</p>
<p>The last is perhaps the most critical of all, since global growth&#8211;especially in Europe and Asia&#8211;is increasingly becoming Groupon&#8217;s main revenue driver, and the COO will have to pull together a crack team across the world.</p>
<p>That will become even more important after Groupon&#8217;s top international managers&#8211;Germany&#8217;s entrepreneurial Samwer brothers&#8211;move out of active management by the end of this year.</p>
<p><a href="http://kara.allthingsd.com/files/2011/03/samwer.jpeg"><img src="http://kara.allthingsd.com/files/2011/03/samwer.jpeg" alt="" title="samwer" width="255" height="128" class="alignleft size-full wp-image-42119" /></a></p>
<p>While company sources said this has been long planned, the Samwers (pictured here) have been fully involved in Groupon&#8217;s fast trajectory in Europe and elsewhere, since it <a href="http://voices.allthingsd.com/20100517/shopping-site-groupon-buys-germanys-citydeal">bought their Citydeal discounting clone last May</a>.</p>
<p>Thus, sources said, Groupon is looking at a range of candidates with experience abroad, as well as talent in scaling businesses quickly and to huge size.</p>
<p>And that means looking to companies such as Google and Amazon for an exec, where there are quite a few choices.</p>
<p>While BoomTown could not confirm whether Groupon has spoken to any of them, possible COO types are obvious.</p>
<p>At Amazon, some qualified execs include: Sebastian J. Gunningham, SVP of Seller Services; Diego Piacentini, SVP of International Retail; H. Brian Valentine, SVP of Ecommerce Platform; and Jeffrey A. Wilke, SVP of North America Retail.</p>
<p>At Google, there are tons of good candidates that Facebook has not yet raided, including: Stephanie Tilenius, VP of eCommerce; Henrique de Castro, VP of Media and Global Platforms; Dennis Woodside, VP of Americas Operations; and Margo Georgiadis, VP of Global Sales Operations (plus a Chicagoan!).</p>
<p>Other names being raised include Hulu&#8217;s Jason Kilar (unlikely, but I&#8217;d like it), various Microsoft execs and a spate of others.</p>
<p>(I say, let&#8217;s bring in Zynga&#8217;s Owen Van Natta, who was once COO of Facebook, since he&#8217;s missing a big pile of Groupon stock to add to his enviable collection of hot Web 2.0 company shares.)</p>
<p>While there are probably qualified execs outside the tech industry at retail and media outfits, sources said it is likely Groupon will select within the digital ranks.</p>
<p>Lastly, and perhaps most important, the Groupon COO candidate is going to have to accept that the role will not be a CEO-in-waiting, either before or after its inevitable IPO in the next year.</p>

<p>While I have received several tips that Co-founder and CEO Andrew Mason (pictured here) might not stay its principal exec, extensive checking with sources inside and outside the company indicate that such a move is highly unlikely.</p>
<p>&#8220;Andrew is beloved to the board, by investors and, most of all, by employees,&#8221; said one source. &#8220;He&#8217;s not going anywhere.&#8221;</p>
<p>Indeed, Mason has a close working relationship with Co-founder Brad Keywell, as well as Groupon Co-founder and Chairman Eric Lefkofsky.</p>
<p>In fact, despite other business interests, Lefkofsky has been very involved in all key decisions with Mason.</p>
<p>That job, presumably, would fall to the new COO, which Groupon should be hiring sooner rather than later.</p>
<p>&#8220;Groupon needs a world-class COO, who can manage hyper-growth, but also who knows that a No. 2 stays in the background while doing it,&#8221; said another source. &#8220;That&#8217;s a tall order.&#8221;</p>

<p>BoomTown always enjoys the maiden voyage of a newly public company, so liveblogging Demand Media&#8217;s first quarterly earnings seems like a must-do.</p>
<p>It&#8217;s also the first public outing for CEO Richard Rosenblatt, who has sold off his previous entrepreneurial efforts.</p>
<p>And it seems like a good start, as the Santa Monica, Calif.-based online content company, which <a href="http://mediamemo.allthingsd.com/20110126/wall-street-welcomes-the-content-farm-demand-media-super-sizes-its-ipo">had its IPO in late January</a>, finally out to rest some controversy about how much is actually earns by posting $1 million in net income in the last three months of 2010.</p>
<p>Okay, that is a <em>weensy</em> amount, to be sure, but it beat expectations, as well as for revenue, with sales of $73.6 million for the fourth quarter.</p>
<p>Of course, Demand wants Wall Street to look at &#8220;Adjusted OIBDA&#8221; results, which was up 88 percent, and which it is a much prettier $20.1 million in earnings.</p>
<p>Also on deck, as <a href="http://mediamemo.allthingsd.com/20110222/demand-medias-first-earnings-report-includes-an-actual-profit/">MediaMemo&#8217;s Peter Kakfa noted today</a>:</p>
<p>&#8220;Expect to hear at least one riff on whether or not the company feels threatened by <a href="http://mediamemo.allthingsd.com/20110128/google-tweaks-search-results-to-punish-scrapers/">Google</a> and changes the search engine is making to push <a href="http://chrome.blogspot.com/2011/02/new-chrome-extension-block-sites-from.html">&#8220;content farms&#8221;</a> out of its results. CEO Richard Rosenblatt insists that his company is not a content farm, and that <a href="http://mediamemo.allthingsd.com/20110127/demand-media-says-its-getting-along-just-fine-with-google-thank-you-very-much/">Google is just fine with his stuff</a>, but I have a feeling the issue won&#8217;t go away just yet.&#8221;</p>
<p>We&#8217;ll see&#8211;here we go:</p>
<p><strong>2:05 pm PT:</strong> It took me a bit to get into this conference call, since I could not get the live broadcast from the Web site at all and the teleconference operators were snoozing.</p>

<p>And I tuned in just as Rosenblatt (pictured here) was talking about how Demand was helping people get information about how to ripen avocados.</p>
<p>No, <em>really</em>.</p>
<p>(Memo to self: Curb the snotty journalist tone, especially since I love me a good, ripe avocado.)</p>
<p>Rosenblatt, who seems only a little nervous, pressed on by talking about its massive eHow site, as well as Cracked.com and other major branded sites Demand has.</p>
<p>The latest is TypeF women&#8217;s health and beauty site, which is guided by <a href="http://kara.allthingsd.com/20100628/exclusive-tyra-banks-picks-demand-as-americas-next-top-digital-business-model">supermodel Tyra Banks</a>.</p>
<p>Rosenblatt then linked it all to advertisers and how much they want to spend on sites like this.</p>
<p>&#8220;We are not limited to just a few key verticals,&#8221; he said, touting its sales staff, including Rosenblatt&#8217;s daring raid of Chief Revenue Officer Joanne Bradford from Yahoo.</p>
<p>&#8220;The company is well positioned to capture an increasing share of brand revenue,&#8221; said Rosenblatt.</p>
<p><strong>2:18 pm:</strong> Rosenblatt then zeroed in on the juicy issues, which center around the quality of the content Demand churns out.</p>
<p>Or, as critics have argued, lack of quality.</p>

<p>&#8220;The level of specificity is arcane to some,&#8221; noted Rosenblatt, using the example of <a href="http://www.ehow.com/how_4826178_make-flying-paper-lanterns.html">flying paper lanterns</a> and <a href="http://www.ehow.com/how_5381925_make-roof-rake.html">how to make a roof rake</a> as examples of the kind of niche content Demand produces.</p>
<p>Arcane is right, but it takes all kinds!</p>
<p>Plus, insisted Rosenblatt, it&#8217;s good! Accurate! Edited! Useful!</p>
<p>He took the gloves off here, which made me want a Demand piece about taking care of leather gloves (linseed oil?).</p>
<p>&#8220;We&#8217;re just getting started,&#8221; said Rosenblatt, about the company and not the glove care tips.</p>
<p><strong>2:24 pm:</strong> The CEO turned it over to the CFO, Charles Hilliard, which meant I was off on my critical Web search about taking care of my gloves.</p>
<p>That&#8217;s because he immediately said: &#8220;Adjusted OIBDA.&#8221;</p>
<p>Which-let&#8217;s be honest&#8211;sounds like a communicable disease.</p>
<p>Essentially, said Hilliard, it&#8217;s up, up, up for Demand, in terms of revenue, earnings, page views and more.</p>

<p>For some reason, Hilliard is using the retail term, &#8220;same store sales,&#8221; as a comparison. I covered retails for years, so it is a surprise for this to be the metaphor, but Demand obviously sees itself as a content store.</p>
<p><strong>2:39 pm:</strong> Q&#038;A time and the Google-fights-spam question came first!</p>
<p>Rosenblatt said he welcomed it and appeared unconcerned. His avocado-ripening, roof-rake-making, flying-lantern company needed to make no excuses!</p>

<p>Then some internal technical questions and about guidance for Q1. CFO Hilliard said that the company was guiding for growth, despite more public company expenses.</p>

<p>In a bold and definitive move, AOL is paying $315 million, mostly in cash, to buy the Huffington Post, one of the Web&#8217;s most prominent news and opinion sites.</p>
<p>As part of the deal, Huffington Post co-founder Arianna Huffington (pictured here)&#8211;who was derided by some when she co-founded the left-leaning site in 2005 with investor and well-known communications exec Kenneth Lerer&#8211;will become president and editor in chief of the Huffington Post Media Group within AOL.</p>
<p>The deal was signed late this afternoon, and the board of directors of each company and shareholders of the privately held Huffington Post have approved the transaction.</p>
<p>In an exclusive video interview BoomTown conducted earlier today in Dallas, just before Super Bowl XLV, both Armstrong and Huffington were jovial that the whirlwind deal, begun in November, actually worked out so quickly.</p>
<p>Perhaps giddy, they hit upon a common motto:</p>
<p>&#8220;One plus one equals 11.&#8221;</p>
<p><em>Get it? </em> One and one next to each other is the number 11!</p>
<p>Let&#8217;s move on, shall we?</p>
<p>AOL said it is expected to close in the late-first or early-second quarter of 2011.</p>
<p>Once culminated, it will put Huffington in charge of all AOL content and other properties, including well-known names such as Engadget, Moviefone, MapQuest and TechCrunch.</p>
<p>She said she plans to move to New York from Los Angeles, although she will also maintain her longtime Brentwood home there.</p>
<p>And content for all these sites will be integrated deeply into the Huffington Post, giving it a huge new infusion of editorial material.</p>
<p>More to the point, the flashy acquisition&#8211;which essentially came together in less than two weeks in January&#8211;will become the linchpin of AOL CEO Tim Armstrong&#8217;s aggressive, if risky, strategy to focus the long-troubled company as a content and advertising powerhouse.</p>
<p>For AOL, the deal gives it a popular branded site that is very good at generating lots of page views and impressions very efficiently&#8211;which is the company&#8217;s whole thrust these days.</p>
<p>That means lots more ad inventory to sell and an injection of content talent, giving AOL the scale it desperately needs.</p>
<p>The move also obviously gives AOL a much-needed editorial identity and cohesion, which it doesn&#8217;t really have.</p>
<p>In fact, many think AOL needs a rallying point to bring clarity to its hodgepodge of recent acquisitions that all center on the notion that a strong company has yet to emerge in the premium content space.</p>

<p>While it all makes for a riveting narrative by the charming Armstrong, AOL still has not delivered the business turnaround promised after its spinoff from Time Warner in 2009.</p>
<p>Wall Street, which has given Armstrong a lot of rope, has become more impatient of late to see results&#8211;especially more robust increases in its display advertising business, as its access business dies off&#8211;after AOL spun off from Time Warner in 2009.</p>
<p>In its quarterly report last week, AOL reported earnings of 61 cents a share on revenue of $596 million.</p>
<p>But, as <a href="http://mediamemo.allthingsd.com/20110202/aols-ad-turnaround-still-isnt-here-yet/">MediaMemo&#8217;s Peter Kafka</a> wrote:</p>
<blockquote class="memo"><p>The bigger picture is that Armstrong&#8217;s turnaround is still in progress. Ad revenue was down 29 percent in the last quarter, although that number is worse than it looks. A big chunk of the decline comes from moves AOL has intentionally made that will cut revenue in the short run in return for more profitable sales down the road.</p>
<p>A more representative data set for Armstrong are his display ad sales, which are down 14 percent overall and eight percent in the U.S..</p>
<p>The bad news is that the rest of the Web ad industry is well into rebound mode; the good news is that AOL has trained Wall Street to expect numbers like these. If you&#8217;re waiting to see positive sales numbers, Armstrong said during AOL’s earnings call this morning, wait until the second half of this year.</p></blockquote>
<p>In any case, the move is a good one for the Huffington Post since it will vault it to the next level of growth.</p>
<p>Other companies, such as Yahoo and NBC Universal, had looked at the company as a purchase target, and many expected it to eventually sell out to a larger company.</p>
<p>Sources close to the Huffington Post said that that outcome seemed the most likely, and the recent expansion of the site and its audience made it a good time to do a deal now.</p>
<p>Talks with Yahoo last year went nowhere, sources said, but Armstrong was not as slow to act.</p>
<p>Indeed, the actual deal happened quickly, said Armstrong and Huffington in a video interview with BoomTown earlier today (<a href="http://kara.allthingsd.com/20110206/aols-tim-armstrong-and-huffpos-arianna-huffington-talk-about-deal-touchdown-from-super-bowl/">which you can see here</a>).</p>
<p>The pair started talking in early November of last year at the Quadrangle Conference in New York and continued their discussions through the holidays.</p>
<p>Armstrong made the official offer to Huffington by phone in January, while she was at the World Economic Forum in Davos, Switzerland, and he was snowed in in New York.</p>
<p>Five time multiple to the Huffington Post&#8217;s upward of $60 million in expected revenue for the coming year, and nearly 10 times the $31 million for 2010, the offer was accepted quickly.</p>
<p>AOL used cash for $300 million of the purchase and $15 million in stock for the rest.</p>
<p>&#8220;The idea of turning a fire hose of traffic onto our content made enormous sense,&#8221; said one person close to the situation. &#8220;Everything is changing so fast, it seemed like the time was right.&#8221;</p>
<p>An IPO was also considered for the Huffington Post, sources said. But since the site only recently moved into profitability&#8211;although barely&#8211;such an event would have been farther out.</p>
<p>That&#8217;s despite the fact that the Huffington Post has seen fast-growing traffic and influence, spurred in part by Huffington&#8217;s larger-than-life persona in both the mainstream media and blogosphere.</p>
<p>The wide-ranging site&#8211;which has added a number of content areas in recent years beyond its flagship political offering&#8211;currently has almost 26 million unique monthly visitors, according to recent stats, moving in close range to established news organizations such as the New York Times.</p>
<p>That kind of success seemed unlikely when the Huffington Post launched on May 9, 2005, positioning itself as as a liberal counterweight to the popular right-leaning Drudge Report.</p>
<p>But the Huffington Post&#8217;s heady mix of celebrity bloggers, personality and voice, as well as aggressive curation of links from other sites, quickly caught on.</p>
<p>To fund its efforts, the New York-based online media company has raised $37 million from angel investors such as Lerer&#8211;the largest individual shareholder, followed closely by Huffington&#8211;and venture firms such as Greycroft Partners, Softbank Capital and Oak Investment Partners.</p>
<p>The growth has not been without controversy around issues such as lack of payments to bloggers who contribute and accusations that the site uses too much content from other Web sources when linking.</p>
<p>And Huffington herself has also been a lightning rod, which has been both positive and negative for the site.</p>
<p>But, there is no question she is one of the Web&#8217;s most prominent players, along with writing books, appearing on television frequently and being a fixture at high-profile events in New York, Los Angeles and Washington, D.C.</p>
<p>That includes a never-ending panoply of parties that feature a potent mix of movie stars, corporate poo-bahs, glad-handing politicians and lots of journalists from all over the media.</p>
<p>In fact, full disclosure, I was at one of those parties this past weekend for actor Colin Firth and others involved in the making of the Oscar-nominated film &#8220;The King&#8217;s Speech.&#8221; (Apropos of nothing, actor Helena Bonham Carter is as smart as you would expect, but much more delicate.)</p>
<p>As part of the AOL deal, CEO Eric Hippeau&#8211;who has been integral to professionalizing the business and will be joining Lerer Ventures&#8211;and Chief Revenue Officer Greg Coleman will leave the Huffington Post.</p>
<p>Ironically, Coleman was replaced by Armstrong as head of ad sales at AOL after he took over as CEO. Coleman got a big payout and will now apparently get another.</p>
<p>But the rest of the 200 Huffington Post employees are moving over to AOL with Huffington, who Armstrong hopes will be the company&#8217;s ace in the content hole going forward.</p>
<p>There are likely to be changes to come too at AOL, within weeks, especially in its content-side management and site staffs.</p>
<p>AOL provided some quotes in support of the deal from prominent Internet figures who know Huffington well.</p>
<p>&#8220;Arianna is one of the preeminent authors and editors of our time, and Tim has a remarkable track record of business success,&#8221; said Facebook COO Sheryl Sandberg. &#8220;Bringing them together creates tremendous potential for AOL.&#8221;</p>
<p>And Twitter co-founder Biz Stone said:</p>
<p>&#8220;Editorial vision and leadership are essential in order to transmute our shared cacophony of voices into a valuable dialogue. Arianna&#8217;s expertise, empathy, and entrepreneurial enthusiasm forms a kind of alchemy turning mere words and phrases into powerful expressions of humanity.&#8221;</p>

<p>AOL has agreed to purchase The Huffington Post for $315 million, approximately $300 million of which will be paid in cash funded from cash on hand. The Huffington Post is privately owned by its two cofounders, as well as a group of investors. The proposed transaction is subject to customary closing conditions, including receipt of government approvals. The boards of directors of each company and shareholders of The Huffington Post have approved the transaction. The transaction is expected to close in the late first- or early second-quarter 2011.</p>

<p>In an unusual move for a venture firm chasing a hot start-up, Andreessen Horowitz said it has dropped out of the race to be an investor in social location company Foursquare.</p>
<p>In an interview tonight, Ben Horowitz, partner in the high-profile VC outfit he helms with Marc Andreessen, said enough was enough related to the intense media and other machinations, which have included talks to be acquired by Yahoo, around the deal.</p>
<p>&#8220;We withdrew our funding offer to Foursquare and we are out,&#8221; said Horowitz in an interview with BoomTown. &#8220;This is playing out too much in public and clearly someone has an interesting agenda here, so this is not something we want to participate in.&#8221;</p>
<p>In addition&#8211;after making an offer three weeks ago at valuations lower than have been reported, though he would not specify the exact number&#8211;Horowitz said he felt the company had conducted a &#8220;process that is very long and undefined.&#8221;</p>
<p>Indeed, it is not clear what is going on, and the situation is rife with speculation about what Foursquare and, specifically, its founder and CEO, Dennis Crowley, will do.</p>
<p>Foursquare&#8217;s board met last week about the acquisition offer by Yahoo, which priced the start-up at just above $100 million.</p>
<p>The board turned that offer down flat, according to sources at both Foursquare and Yahoo.</p>
<p>But (YHOO) is still interested, sources said, and seems willing to raise its bid.</p>
<p>Also still in the running: Gideon Yu of Khosla Ventures, an Andreessen Horowitz rival, and perhaps several others.</p>
<p>In large part, the decision about what to do rests with Crowley, who controls a large chunk of the shares of the start-up.</p>
<p>Many think he might be inclined not to sell Foursquare to a large company, preferring to take venture funding instead, remaining independent and turbocharging the fast-growing status-update service.</p>
<p>Crowley already sold another start-up he founded, Dodgeball, to Google (GOOG) several years ago and had a very bad entrepreneurial experience.</p>
<p>Perhaps that&#8217;s why he and Foursquare have so far been very slow to take any of these lucrative offers, despite the fact that the service is still small (about one million users) and unprofitable.</p>
<p>But even in dropping out, Horowitz underscored his admiration for Foursquare, noting that Andreessen Horowitz considered it a great investment.</p>
<p>&#8220;If the process was changed, we still like the company,&#8221; said Horowitz. &#8220;But since it has been long and undefined, it is prone to manipulation.&#8221;</p>
<p>It&#8217;s an astounding thing for a VC to say on the record, of course, and entirely true.</p>

<p>I&#8217;m told that Philips has a new job lined up and that he informed Murdoch of his plans in early January. But when I reached him this afternoon, he declined to comment. <a href="http://paidcontent.org/article/419-jeremy-philips-news-corps-digital-ma-exec-leaving/">PaidContent</a> first reported the move.</p>
<p>Philips is a behind-the-scenes guy (though very easy to find at New York media events) who weighed in on much of Murdoch&#8217;s digital mergers-and-acquisitions work, as well as big-picture strategy like pay walls, etc. I&#8217;d been told repeatedly that he had the ability to launch his own projects within News Corp., though if he did so, I was not aware of it. A recurring rumor mill item had him working on a fabled &#8220;LinkedIn-killer&#8221; for the company.  </p>
<p>News Corp. folks want us to know that Philips was not forced out. But there&#8217;s definitely a changing of the guard at the company, occasioned by the ascension of Rupert&#8217;s son, James Murdoch. </p>
<p>News Corp. (NWS) owns Dow Jones, which owns this Web site.</p>

<p>While in Washington, D.C., last week, one of BoomTown&#8217;s last stops was at the office of Colorado Democratic Congressman Jared Polis on Capitol Hill.</p>
<p>Although I usually try to avoid politicians at all costs, it was terrific to check in with Polis, who was one of the more interesting players in the Web 1.0 scene.</p>
<p>His family&#8211;the Schutzs&#8211;created a pioneering and unusually fast-growing online greeting cards site in 1996, Blue Mountain Arts, inspired by their independent analog company.</p>
<p>In 1999, they sold it to Excite@Home for $780 million, a little less than half in cash, in what turned out to be one of the final bubble deals of that era.</p>
<p>Proof of that: American Greetings (AM) snapped up Blue Mountain Arts for just $35 million in cash in 2001.</p>
<p>By that time, Polis&#8211;who decided to use his mother&#8217;s maiden name&#8211;had involved himself in educational issues in his home state and finally won a seat in Congress in 2008.</p>
<p>Polis, 34, whose entrepreneurial ventures in tech preceded and followed Blue Mountain, talked with me about his first full year in office, which includes a lot less tech focus than you might imagine.</p>

<p>BoomTown went down to Silicon Valley&#8217;s most exclusive country club&#8211;also known as Stanford University&#8211;where Microsoft CEO Steve Ballmer took to the stage today for a <a href="http://kara.allthingsd.com/20090506/microsoft-ceo-ballmer-in-silicon-valley-to-visit-stanford-and-perhaps-yahoo-ceo-bartz/">talk at Memorial Auditorium for the Entrepreneurial Thought Leaders Seminar</a>.</p>
<p><strong>4:32 pm PDT:</strong> Ballmer was pretty much on time, delivering a rousing hello and some good words about being back. He had attended Stanford Business School many moons ago, before dropping out and joining Microsoft (MSFT). Good move, I&#8217;d say.</p>
<p>He offered anyone in the room jobs, if they were smart, and then gave out his email. Although he did leave out the pertinent fact that the software giant just <a href="http://mediamemo.allthingsd.com/20090505/microsoft-starts-the-layoff-machine-again-steve-ballmers-memo-to-the-troops">laid off 3,000 workers earlier this week</a>.</p>
<p>Well, <em>that</em>.</p>

<p>Then, Ballmer launched into his speech, which began with him talking about the &#8220;tough economy.&#8221;</p>
<p>The slide behind him was a picture of a glass half-empty or half-full, depending on your attitude, with the notes:</p>
<p><em>Economic &#8220;Reset&#8221;</p>
<p>Less debt, more innovation and productivity.</p>
<p>Optimistic about the future.</em></p>
<p><strong>4:40 pm:</strong> Ballmer then told his &#8220;entrepreneurial&#8221; story. There was a lovely picture of the young Ballmer with some hair. Not much, but some.</p>
<p>Lots of chatter about old computers ensued. <em>Zzzzzzzz</em>.</p>

<p>The early days of Microsoft were next, including how founder Bill Gates was worried about how Ballmer would bankrupt the nascent company by hiring more staff, a delightful <a href="http://d6.allthingsd.com/20080527/gates_ballmer/">story the pair told at our <strong>D: All Things Digital</strong> conference</a> last year.</p>
<p><strong>4:46 pm:</strong> Then the &#8220;emerging technology trends.&#8221;</p>
<p>Which are, according to Ballmer: many-core processing; screens everywhere; natural UI; all content digital.</p>
<p>Like <strong>All Things Digital</strong>! I always knew Steve and I were soul mates!</p>
<p>Because it is Microsoft, he moved into &#8220;software-powered experiences,&#8221; which means, according to Ballmer&#8217;s slide: a rich client + cloud, spans multiple devices and is persistent and personal.</p>
<p>&#8220;You world needs to be brought together,&#8221; said Ballmer. &#8220;You may not want to manage the cacophony of devices you deal with today.&#8221;</p>
<p>I may not. Or I may. Ballmer, may I?</p>

<p><strong>4:55 pm:</strong> It was not a long or much of a content-rich speech. Ballmer wrapped up with the idea that &#8220;The Time Is Now.&#8221;</p>
<p>He noted that it is a great time for start-ups, with &#8220;all the right ingredients&#8221; that &#8220;dream big.&#8221;</p>
<p>What ingredients? What dreams? Ballmer was not saying much about his secret cooking tips for baking a tech behemoth.</p>
<p><strong>4:57 pm:</strong> Time for questions from the students.</p>
<p>The first was about whether big- or small-company experience is better.</p>
<p>Both, said Ballmer. Depending on the problem. &#8220;You want to blend those things pretty well,&#8221; he said.</p>
<p>It <em>is</em> all about the ingredients! And blending. Also sifting, in my humble opinion.</p>
<p>The next question was about the state of the browser business.</p>
<p>Ballmer said it will get more innovative. We&#8217;re waiting!</p>
<p>The next was about what the main problem typically is with companies that have trouble making it.</p>
<p>&#8220;Too many companies can actually hang on for almost too long because there has been too much money funding these ideas,&#8221; said Ballmer.</p>
<p>Yes, we <em>are</em> soul mates!</p>
<p><strong>5:04 pm:</strong> The next question was about the culture of a company from its start and how Ballmer has shaped Microsoft&#8217;s culture.</p>
<p>&#8220;I would say I have shaped Microsoft culture a lot,&#8221; he said. &#8220;Sometimes for the better, sometimes worse.&#8221;</p>
<p>Ballmer compares himself and Gates to &#8220;parents&#8221; of Microsoft.</p>
<p>That was very Iowa of him.</p>
<p>(As I said: soul mates!)</p>
<p><strong>5:09 pm:</strong> The next question was about how he decided to leave Stanford Business School.</p>
<p>&#8220;They still have a spot for me if I want to go back and finish my MBA,&#8221; Ballmer joked.</p>
<p>But, he noted, it was not much of a risk to leave school.</p>

<p>When Ballmer did waver about going back to school, Gates convinced him to stay. Thank goodness, as he said he would have become an investment banker or a consultant.</p>
<p>The next question was about Google (GOOG), which was not named, I suppose for fear that it would set Ballmer off and there would be chairs a-flying.</p>
<p>&#8220;The No. 1 player [in search] is a <em>lot</em> bigger than us,&#8221; said Ballmer. &#8220;We are like a start-up.&#8221;</p>
<p>Well, a <em>really, really, really rich</em> start-up, which has been sued by the federal government for antitrust violations, and convicted.</p>
<p><strong>5:14 pm:</strong> The next question was about ideas he might have missed.</p>
<p>Ballmer called himself &#8220;a mini-venture capitalist,&#8221; noting that figuring out what investments to make is tough.</p>
<p>He joked about the disastrous Microsoft Bob product. That always gets a laugh.</p>
<p>The next question was about how much attention Microsoft will give to cloud computing.</p>
<p>It gave him the chance to make a pun using the movie, &#8220;Three Men and a Baby,&#8221; noting that the &#8220;future is about three screens and a cloud.&#8221;</p>
<p><em>Ahahahahahahaha!</em> Okay, not at all.</p>
<p>A question was asked about taking risks and tips for dealing with it.</p>
<p>&#8220;Valuable experience is valuable experience,&#8221; said Ballmer.</p>
<p>Say what? Is that a word puzzle? This is starting to feel like &#8220;Angels &#038; Demons.&#8221;</p>

<p>Ballmer advised the students to &#8220;love doing the work that you&#8217;re doing.&#8221;</p>
<p>It is apparently all about the love at Microsoft. Who knew?</p>
<p><strong>5:22 pm:</strong></p>
<p>Two questions about consolidation, which is code for Yahoo (YHOO).</p>
<p>&#8220;I&#8217;m glad we went down the road,&#8221; said Ballmer, waxing nostalgic about the failed takeover attempt.</p>
<p>But he added he still thought a partnership of some sort between the pair is a good idea. &#8220;There may or may not be appropriate discussions,&#8221; said Ballmer.</p>
<p>There may. Or may not. Carol, may Steve?</p>
<p>Then there is some love for competitors, Facebook, even Apple (AAPL) for the iPhone.</p>
<p>Feel the love!</p>
<p><strong>5:25 pm:</strong> The last question is about what he wished he had done if he could do it over.</p>
<p>He would have taken more computer science courses.</p>
<p>We are so <em>not</em> soul mates.</p>
