According to several sources close to the situation, the Facebook board has been meeting early this afternoon at its Silicon Valley HQ to give the go-ahead to a massive initial public offering.

Facebook is expected to file regulatory documents as early as tomorrow morning for what will certainly be one of the most-watched IPOs in tech in recent years.

Sources also noted the filing could happen after markets closed tomorrow, too.

While sources said the filing time could still change even later this week, that seems unlikely, especially given the furor over every detail — including entirely meaningless ones — about the much hyped Facebook offering.

But it’s finally here and will be much scrutinized.

As I previously reported, the offering is expected to be below an overblown valuation number of $100 billion that has been widely reported and the amount being raised is also less than the $10 billion being bandied about.

I would tell you those numbers if I knew, but the offering has been locked down tight by Facebook — much different than blabbier recent IPOs from Internet companies. (Heeelllloooo, Groupon!)

That’s because Facebook management has been determined to conduct an IPO with as little drama as possible and is seeking to minimize a bubble atmosphere around the event.

(I might start liveblogging the IPO countdown right now, just to ramp up the noise and send CNBC into a frenzy.)

The board of Facebook is chaired by co-founder and CEO Mark Zuckerberg, who has been the most insistent about conducting the IPO with more deliberation and care.

One notable difference, for certain, has been Zuckerberg’s patience in growing the business before taking Facebook public. Still, it is important to remember that its history has actually been very short in time — the start-up was launched as thefacebook.com from his dorm room at Harvard University in early 2004.

If you are counting, that is only eight years ago.

If you thought things were going to quiet down with Yahoo now that it has installed new CEO Scott Thompson in place, think again!

That’s because of a very unusual — well, to be fair, unusual for most companies, but not for perpetually storm-tossed Yahoo — confluence of important events about to take place all at once over the next six weeks.

And, like a very dicey game of corporate Jenga, each has the ability to upend and impact the other significantly, either for the good or, well, for the bad.

Here are the four horsemen of the possible Yahapocalypse, all riding into town very soon:

Q4 Results: Yahoo will report its fourth quarter earnings on January 24th, after the markets close. While sources said the company has managed to turn around what was looking like a first-class disaster, it’s still not going to be a pretty picture when it comes to advertising growth, consumer engagement and other key metrics.

Simply put, Yahoo needs to show investors a fast-growing business. Instead, sources said the Q4 results will likely come in at the bottom of the expected range, which should be unimpressive, even though this has been business as usual at Yahoo for some time.

If Google and others have strong reports, of course, it will make the situation worse.

Along with goosing its ad business again, Yahoo needs to spur innovation and intro some cool new products in new arenas to make Silicon Valley and others perk up.

Proxy Fight?: Weak results will give a nice lift to potential efforts by activist investor Daniel Loeb of Third Point — a major Yahoo shareholder — to wage a proxy fight for control of the company. He’s already here in Silicon Valley this week searching for possible board members for an alternate slate of directors.

As I wrote earlier today, the earliest nominations for directors can be submitted is February 24. Loeb then has a month after that to submit a competing roster.

Worse for Yahoo, many of Yahoo’s major investors are mulling backing Loeb if he initiates a battle for control of the company.

There’s no doubt that Loeb is and means to be a thorn in Yahoo’s side — he already made a lot of noise about its consideration of partial investments from private equity firms, due to low share prices — until major changes take place at the company.

And by major, Loeb’s intent seems to be along these baseball lines: Throw the bums out!

Board in Flux: Speaking of the board, it’s not the pretty picture of solidarity as you might think.

Actually, no one in their right mind thinks that. This board is about as dysfunctional as they come. (It’s like that group on “American Horror Story,” minus the bald dwarf in the basement.)

Right now, several sources report, various factions are jockeying over which board members go and which stay. The Wall Street Journal reported last week on a formal search for new board members to replace outgoing ones, but it’s much more complex than just that.

While some departures seem most obvious — longtime board members Vyomesh Joshi, Arthur Kern and Gary Wilson — the really interesting part will be the possible exit of Chairman Roy Bostock.

While it now is more of a when rather than an if, many sources report, how it goes down is the key part of the move. And who will be the chairman then will be the big conundrum — either an internal candidate, such as David Kenny, or a fresh-eyed outsider.

Another question mark: Whether co-founder Jerry Yang could also move along off the board with Bostock. While Internet company founders usually stick on boards, it’s not a given, especially with all the turmoil at Yahoo, some of which is related to Yang.

For now, make no mistake, Bostock is still in charge of the board and Yang is the only real power behind that power, despite the recent influence of director Brad Smith.

But, with all the pressure by shareholders, some sources suggest that it might finally be time for some significant change at the board level, starting with the pair most associated with all its troubles.

Or, um, not.

If there is going to be any action at all, expect it before February 24th — when Loeb can start making real trouble.

Asian Solution: A lot of the above hinges on whether Bostock and Yang can deliver the promise of a deal with its long disgruntled Asian partners, Alibaba Group and SoftBank.

The trio is now engaged on negotiations about a tax-free deal, in which Yahoo would sell back some of its stakes in its Asian properties and get money and other operating assets in return.

While it’s good news that the talks are finally proceeding with some level of normal functionality, it’s still a complex situation and one with a lot of outstanding questions.

Most important: Which operating assets will be bought in the deal to hand over to Yahoo? And also, what will the valuations be?

Sources close to the situation said that the talks remain slow-going and frustrating — “The stop-and-go of all time,” joked one person involved. But they are moving forward, which is no small thing when it comes to these three.

That’s critical for Yahoo, which can ill afford to disappoint shareholders if no lucrative, cash-rich deal happens in Asia. And, it needs to happen before Loeb can act on a proxy fight too, since a successful end to its Asian issues will negate his momentum dramatically.

Oh Yeah, Running the Core Business Stuff: As usual, a full and fraught month for Yahoo and its directors, who have other things to do, I assume.

But not me and not new CEO Thompson. By the way, the former eBay exec will presumably be very busy doing some significant rejiggering of the core Yahoo business in the meantime.

Could that mean a new product direction for Yahoo, for example, around data? Could it mean a passel of new execs? Could it mean layoffs?

Or, could it mean Thompson will finally solve the ultimate sword-in-the-stone question: What is Yahoo?

And that, in the end, will be the real victory.

Yesterday, on WSJ.com’s “Digits” online tech show, host Simon Constable asked me if some parts of my scoop on Apple holding a media-focused event in New York at the end of this month were secretly implying anything.

Simon apparently read “The Da Vinci Code” one too many times! I don’t know from clandestine signals, but here I am talking about the event, along with AllThingsD.com media ace Peter Kafka.

According to sources close to the situation, Apple is planning an important — but not large-scale — event to be held in New York at the end of this month that will focus on a media-related announcement.

Per the usual caveat, the tech giant is well known for moving around their public show-and-tells, so this could certainly change at any moment.

But, for sure, several sources underscored that the event is not related to an upcoming version of the iPad 3, the next iteration of the popular tablet device that many expect to be available in 2012.

Also unlikely, the rollout of Apple’s large-scale rethinking of the interactive television initiative that it has been working on. While the company is expected to launch a new Apple TV product later in 2012, such an event would almost certainly be held in the heart of the industry in Hollywood or at least in Silicon Valley.

That leaves some kind of advertising or even publishing announcement, which might be the case, since Apple SVP of Internet Software and Services Eddy Cue is reportedly involved.

Cue is in charge of a large swath of Apple’s media units, including the iTunes Store, App Store, iBookstore, as well as iAd and its iCloud services.

It’s well known in the ad industry that Apple has been searching for a new head of its mobile advertising unit, since Andy Miller left last summer.

But such an appointment has not been made as yet, said sources.

The last time Cue was in New York for an event, by the way, was nearly a year ago, when Apple helped launch News Corp.’s online magazine, The Daily.

And Apple also recently opened a splashy new retail store in Manhattan’s Grand Central Terminal, and has been refurbishing its flagship glass cube on Fifth Avenue, too.

The holiday-having Apple PR team declined comment, but wished me a “happy, happy new year.”

AllThingsD tech-reviewer kingpin Walt Mossberg also showed off his favorite fun gadgets at the annual Churchill Club event in Silicon Valley earlier this week.

Among his picks: Tangle-resistant ear buds; an Apple iPhone beer-bottle opener and consumption tabulator; a wireless USB drive; and the latest Ultrabooks to compete with the MacBook Air.

Two of the more interesting online media properties are apparently joining up for a year-end online idea festival.

The AOL-owned Huffington Post, and TED, the massive conference organization and online site dedicated to its offerings, will jointly feature 18 of the best onstage speeches from TED’s excellent year-round global events.

The idea-thon will be called “Best of TED 2011: A Countdown of 18 Groundbreaking Ideas to Reshape the World in 2012.” A post on the Huffington Post site noted that it will feature the popular TEDTalks and combine them with “new blog posts written by the people who delivered them, examining how their ideas were impacted by being shared with a global audience.”

Out of a total of 300 possible choices, the number of speeches has been narrowed down to 18, because TEDTalks are limited to no more than 18 minutes. The talks range over a wide array of topic areas, including science, art, music, tech and more.

In an interview today, HuffPost majordomo Arianna Huffington said that the aim was to spur thinking around big problems the world faces.

“We are trying to be people to rethink everything in a super engaging way,” she said. “That is what TED is famous for and we wanted to shed a lot of light on it.”

While not as well known as others, the Chinese company is the world’s second-largest maker of telecommunications and networking gear. You might hear more about it soon, though, since Huawei aims to increase its annual revenue to more than $100 billion per year within the next decade, by expanding its business beyond communications service providers.

Roese is one of the execs charged with making it so by expanding in the U.S. and focusing on research.

The much-respected entertainment exec, who was the longtime president of News Corp. (which owns this Web site), now runs his own production company in Santa Monica, Calif.

Chernin Entertainment has had some big early successes, including the hit movie “Rise of the Planet of the Apes,” and the adorkable television show “New Girl.”

But Chernin has always been much more Internet-curious than the average Hollywood mogul. He was deeply involved in the creation of the Hulu premium video service, and now serves on the board of the Pandora online music site. He’s also been giving the troubled situation at Yahoo a look-see with some private equity firms.

Chernin declined to talk about this deal in an onstage interview with Peter Kafka, but he does discuss the prospects for the old media world in the digital age, and the giant opportunities in Asia:

By the way, Samsung is a key vendor partner of Apple’s, too.

Besides playing educational games, Kibot from Korea Telecom gives parents another pair of eyes, too, with videochat and remote control.

Kibot — available only in South Korea for now — is aimed at children from three to seven years old. It looks like a monkey, whose nose is an RFID reader, stomach is a control panel and ears are the navigational buttons.

Would that my kids were that easy to control.

Up now: Lytro, a groundbreaking camera that uses a new technology called light field photography to create “living pictures” that can be refocused after they are taken, in addition to other cool stuff (see a gyrating Walt Mossberg above).

There is no question that this demo of Lytro was one of the highlights of AsiaD.

We are now posting the full videos from the recent AsiaD conference, which took place in Hong Kong in October.

Over the next two weeks, we’re going to follow the schedule of the actual event. Up now: Andy Lees, president of the Microsoft’s Windows Phone division.

As such — and coming from way behind, compared to smartphone leaders Google with Android, and Apple with iOS, iPhone and iPad — Lees is working to extend Microsoft’s longtime desktop hegemony to mobile.

It’s a great time to watch the full onstage conversation between Lees and AllThingsD’s Ina Fried, since Microsoft is holding a big event in New York on Monday to celebrate the U.S. launch of devices running the new Mango version of Windows Phone 7.

The update, which features Twitter integration, multitasking and other features, has already been available for older devices; new models, with the operating system preloaded, are just hitting the market.

Last weekend, I interviewed former OpenTable and eBay exec Jeff Jordan — who is now a newly minted VC with Andreessen Horowitz — at the student-run Play digital media conference at the Haas School of Business, University of California, Berkeley.

It turned out to be a lively session with the sassy Jordan, who talked about a wide range of topics, from entrepreneurship to running a scaled org to his first venture investments, such as Pinterest.

Luckily, I get to interview Jordan again tomorrow, at Open Mobile Summit in San Francisco, along with eBay’s CEO John Donahoe. The topic will be mobile commerce.

In an interview with Walt Mossberg, the pair covered a wide range of topics, including Yahoo’s current strategic review, its search for a new CEO, the state of its businesses in Asia and its contentious partnerships in the region, and, of course, the definition of what Yahoo is.

According to Yang — who is leading the efforts of the Silicon Valley Internet giant to right itself — Yahoo is a “premier digital media company.”

But why don’t you hear it from him?
