<p>There&#8217;s no question that every venture capitalist within 100 miles of Silicon Valley wanted to squeeze their khaki-clad selves into what had become tech&#8217;s hottest deal of late.</p>
<p>That would be to get a piece of the new round of funding for start-up phenom Pinterest.</p>
<p>But while piles of VCs and other investors tried to work every angle possible to noodge into the action, the iconoclastic CEO and co-founder Ben Silbermann decided to go big and go global by hooking up with a Tokyo-based Internet giant.</p>
<p>Japan&#8217;s Rakuten will <a href="http://allthingsd.com/20120516/exclusive-japans-rakuten-wins-the-heart-of-pinterest-founder-in-funding-race/">invest upwards of $50 million in a $100 million round</a> that values the social bookmarking site at $1.5 billion.</p>
<p>Rakuten is one of the largest online commerce companies in the world, with a flagship site Rakuten Ichiba, among others. It was founded in 1997 and had revenue of $4.7 billion in 2011. </p>
<p>Most important in Pinterest&#8217;s calculation was apparently the link with its CEO Hiroshi Mikitani, whose nickname is Mickey. One the richest men in Japan, Mikitani is one of the best known entrepreneurs there where he&#8217;s been described as &#8220;Richard Branson meets Jeff Bezos.&#8221;</p>

<p>I briefly chatted with Mikitani last night about why he decided on the Pinterest deal, in a conversation where he focused a bit on Rakuten&#8217;s famed &#8220;omotenashi&#8221; or &#8220;empowerment&#8221; philosophy. Simply put, the concept is that &#8212; unlike an Amazon &#8212; Rakuten is a facilitator of commerce, much like its shopping mall metaphor beginnings. The approach is to aid merchants rather than compete with them.</p>
<p>It&#8217;s a little eBay, a little Alibaba, some Etsy and even a little Amazon Web Services mixed in. It&#8217;s also a place that can move retail globally, which is presumably the attraction to it by Pinterest.</p>
<p><strong>ATD:</strong> Why did Pinterest pick you?</p>
<p><strong>Mikitani:</strong> <em>We are not a venture capitalist. We got together and talked about our story and our history.</p>
<p>We agreed that we shared a vision of the future of Internet e-commerce.</em></p>
<p><strong>ATD:</strong> Why make an investment?</p>
<p><strong>Mikitani:</strong> <em>When we started to talk about being involved in the round of investment, we wanted to invest as much as possible. </p>
<p>We were very impressed by their business model and also the management style.</em> </p>
<p><strong>ATD:</strong> What made Pinterest so attractive in comparsion to other similar companies?</p>
<p><em>Everyone is talking about social commerce and best solution to social commerce, but Pinterest really was the first to use graphics that well to connect with people.</p>
<p>Facebook has used connected ways to reach friends, but Pinterest had a totally different approach to using more graphical ways to connect interests.</p>
<p>Rarely have we seen such a powerful media and we were seeing huge traffic coming from Pinterest [to Rakuten sites]. It was much higher than anyone else.</em></p>
<p><strong>ATD:</strong> What do you bring to the table?</p>
<p><strong>Mikitani:</strong> <em>I think there are some things we think we can do with our expertise. Ben and his team have an extremely strong commitment to make their products as attractive as possible.</p>
<p>I did not think we could compete with Pinterest at all. </p>
<p>But we have 40,000 stores in Japan and we can give them access to our customers and do aggregation to engage in everything. And we have sites in many other countries too.</em> </p>
<p><strong>ATD:</strong> How are you going to work together?</p>
<p><strong>Mikitani:</strong> <em>We are not going to stop them from doing dealings with other e-commerce companies. But we can have more constructive input on how to make their site more effective from e-commerce point of view. </p>
<p>We can drive revenue. We have strong experience in mobile. We can combine their apps with our apps. </p>
<p>This is a long-term arrangement and we have a strong committment and attachment to this business. We truly understand their business and respect their management.</em></p>

			<content:encoded><![CDATA[<p>Rakuten, which runs the largest e-commerce site in Japan, is expected to be the lead investor in the much-contested next round of funding for Silicon Valley&#8217;s hottest start-up, Pinterest.</p>
<p>The funding is expected to be announced tomorrow morning.</p>
<p>(<strong>Update:</strong> Rakuten confirmed the deal in a press release, which is below.)</p>

<p>The Tokyo-based Internet giant will invest upwards of $50 million in a $100 million round that values the social bookmarking phenom at $1.5 billion.</p>
<p>There might be other individual investors in the new round, but those were still to be determined tonight by Pinterest co-founder and CEO Ben Silbermann.</p>
<p>(<strong>Correction</strong>: We previously reported it was a $120 million round, but sources said it is $100 million. It&#8217;s possible more could still be added, as we heard conflicting accounts.)</p>
<p>While the latest round of funding for Pinterest has been the most hotly sought of late in tech circles, one source said Silbermann was looking for a global strategic investor and had talked to several large Asian companies.</p>
<p>Said one source on why he settled on Rakuten: &#8220;He just really liked them.&#8221;</p>
<p>The current investors in Pinterest, which is a social collection site where users can &#8220;pin&#8221; their interests via a handsome graphical interface, include Andreessen Horowitz, Bessemer Venture Partners and FirstMark Capital, as well as several well-known angel investors. That group had <a href="http://allthingsd.com/20111007/exclusive-pinterest-set-to-close-a-new-round-with-andreessen-horowitz-valuing-start-up-at-200m/">valued the company at $200 million last October</a>, and are joining the new round pro rata.</p>
<p>Founded in 2008, Pinterest had previously raised a little under $40 million in funding.</p>
<p>It&#8217;s interesting that the latest round was not led by an institutional investor, since everyone and their mother wanted in on the deal. Sources said no new venture capital firms were included in the round and that is the way Pinterest&#8217;s quirky leadership wanted it.</p>
<p>Sources said Silbermann has been concerned with Pinterest&#8217;s global growth as well as fending off international clones, and was looking for a partner with which the start-up could work closely.</p>
<p>&#8220;Ben did not want any more VCs,&#8221; said one source. &#8220;He wanted an investor that moved the company forward.&#8221;</p>

<p>Rakuten will presumably help advise Pinterest on turning their pretty pictures into purchases, as <a href="http://allthingsd.com/20120328/online-shoppers-say-they-buy-things-they-find-on-pinterest/">commerce is already starting to emerge</a> naturally on the site.</p>
<p>It&#8217;s a good choice of partners in that regard. Rakuten is one of the largest e-commerce companies in the world, with a flagship site Rakuten Ichiba. It was founded in 1997 and had revenues of $4.7 billion in 2011. Its CEO is Hiroshi Mikitani, whose nickname is Mickey.</p>

<p>Hiroshi Mikitani, CEO of Rakuten said: &#8220;While some may see e-commerce as a straightforward vending machine-like experience, we believe it is a living process where both retailers and consumers can communicate, discover, and curate to make the experience more entertaining. We see tremendous synergies between Pinterest&#8217;s vision and Rakuten&#8217;s model for e-commerce. Rakuten looks forward to introducing Pinterest to the Japanese market as well as other markets around the world.&#8221;</p>

<p>Rakuten ranks among the top 10 internet companies in the world. Among its numerous online properties, its flagship B2B2C (business-to-business-to-consumer) model e-commerce site Rakuten Ichiba is the largest e-commerce site in Japan and among the world&#8217;s largest by sales. Its global presence has been reinforced through the acquisitions of leading online marketplaces Buy.com (US), Priceminister (France), Ikeda (now Rakuten Brasil), Tradoria (now Rakuten Deutschland) and Play.com (UK), and investments in Ozon.ru and AHA Life. Whereas other marketplaces may compete directly with sellers, Rakuten&#8217;s model seeks to empower merchants to deliver Omotenashi, a Japanese high service mindset, which helps sellers create lasting relationships with customers.</p></blockquote>

<p>&#8220;Importantly, today&#8217;s announcements lay to rest the unfortunate and serious distractions surrounding our senior leadership and the composition of our Board going forward,&#8221; said Levinsohn, who has been head of global media at the Silicon Valley Internet giant, in part. &#8220;In spite of the very bumpy road we&#8217;ve traveled, we are achieving genuine and meaningful successes in the marketplace every day and heading in the right direction.&#8221;</p>
<p>Well, it&#8217;s a direction at least, given the recent controversy after it was revealed that former CEO Scott Thompson had a fake computer science degree on his resume. </p>
<p>Levinsohn was named today as the next leader of Yahoo, which has had a revolving door of CEOs in recent years, in a massive shake-up at and which includes many board changes and also the settlement of a potentially nasty proxy fight with activist shareholder Daniel Loeb.</p>

However, today&#8217;s announcements really boil down to this:  following these changes, a transformation and renewal at the Board level that began in August of last year is now complete.</p>
<p>Of course, these changes will also raise new questions along with those it answers. I invite you to bring those questions to me, or any member of the executive leadership team, and we will answer them as forthrightly and promptly as we can. Please also look for an invite and plan to attend an all-hands meeting we are organizing for Monday afternoon &#8212; we look forward to speaking with you further at that time.</p>
<p>In the meantime, I know there is one thing we should definitely all be doing in light of this news, and that is to focus on the momentum we&#8217;ve created over the last few months.  Many of you have heard me talk about the possibilities we have, and about the opportunities in front of us.  In spite of the very bumpy road we&#8217;ve traveled, we are achieving genuine and meaningful successes in the marketplace every day and heading in the right direction. </p>
<p>You deserve at least as much from your leadership as you give. I take that responsibility very seriously and promise to give you my all while I&#8217;m serving as interim CEO.</p>

<p>Here you go, on what I reported earlier today on Yahoo CEO Scott Thompson stepping down, being replaced by current global media head Ross Levinsohn on an interim basis, the naming of board member Fred Amoroso as chairman and director changes related to the settling of its proxy fight with Third Point&#8217;s Daniel Loeb. The company is confirming the whole thing in an official press release.</p>
<p>The news brings to a close Yahoo&#8217;s latest controversy, involving a fake computer science degree that somehow was on Thompson&#8217;s bio and also in official filings of the Silicon Valley Internet giant.</p>
<p>As you can see, the statements have almost zero to say about Thompson. Sources said that the board reached a settlement with him &#8212; I am trying to find out more, <em>natch</em> &#8212; after more and more problematic issues cropped up in recent days.</p>
<p>But for now, I am going to buy myself some Mother&#8217;s Day chocolates and find my kids:</p>

<p>BOARD ANNOUNCES SETTLEMENT WITH THIRD POINT LLC</p>
<p>Sunnyvale, Calif. &#8212; May 13, 2011 &#8211;</strong> Yahoo! Inc. (NASDAQ: YHOO) today announced that the Board of Directors has named Fred Amoroso as Chairman of the Board of Directors and Ross Levinsohn as interim Chief Executive Officer, effective immediately. The Company also announced that its Board has reached an agreement with Third Point LLC (&#8220;Third Point&#8221;) to settle its pending proxy contest related to the Company&#8217;s 2012 annual meeting of shareholders.</p>
<p>Mr. Amoroso replaces Roy Bostock, who has stepped down from his role as Non-Executive Chairman in order to accelerate the leadership transition for the new Board. Mr. Levinsohn replaces Scott Thompson, former Chief Executive Officer, who has left the Company.</p>
<p>Under the Board&#8217;s settlement agreement with Third Point, three Third Point nominees &#8212; Daniel S. Loeb, Harry J. Wilson, and Michael J. Wolf &#8212; will join the Yahoo! Board, effective May 16, 2012. Mr. Bostock, along with Patti Hart, VJ Joshi, Arthur Kern and Gary Wilson, all of whom previously disclosed their intentions not to stand for re-election, as well as Mr. Thompson, have decided to step down from the Board immediately.</p>
<p>As a part of the settlement agreement, Third Point, which owns an aggregate of 70,545,400 shares, or 5.8% of Yahoo! common stock, has agreed to withdraw its previous Board nominations for consideration at the annual meeting and vote its shares in support of Yahoo!&#8217;s nominees. Yahoo!&#8217;s slate of director nominees for election or re-election at the 2012 annual meeting of stockholders will now include Fred Amoroso, John Hayes, Peter Liguori, Thomas McInerney, Maynard Webb, Sue James, David Kenny, Brad Smith, Daniel S. Loeb, Harry J. Wilson and Michael J. Wolf.</p>
<p>As interim CEO, Mr. Levinsohn will manage the Company&#8217;s day-to-day operations with assistance from Yahoo!&#8217;s existing senior leadership team.</p>
<p>&#8220;The Board is pleased to announce these changes and the settlement with Third Point, and is confident that they will serve the best interests of our shareholders and further accelerate the substantial advances the Company has made operationally and organizationally since last August. The Board believes in the strength of the Company&#8217;s business and assets, and in the opportunities before us, and I am honored to work closely with my fellow directors and Ross to continue to drive Yahoo! forward,&#8221; said Fred Amoroso, Chairman of the Yahoo! <p>Third Point Chief Executive Officer Daniel S. Loeb stated: &#8220;Harry, Michael and I are delighted to join the Yahoo! Board and work collaboratively with our fellow directors to foster a culture of leadership dedicated to innovation, excellence in corporate governance, and responsiveness to users, advertisers and partners. We are confident this Board will benefit from shareholder representation, and we are committed to working with new leadership to unlock Yahoo!&#8217;s significant potential and value.&#8221;</p>
<p>Third Point Director Nominee Jeff Zucker stated: &#8220;I have been supportive of Third Point&#8217;s efforts since Daniel asked me to join the slate. When I became aware of Yahoo!&#8217;s offer of three board seats to Third Point, I approached Daniel and let him know that I would be happy to step aside to quickly facilitate a settlement. I believe that it is in Yahoo!&#8217;s best interests to avoid a prolonged proxy fight and have new board members immediately to help move the company forward. While there is clearly much work to be done, this is the right combination of talented executives to do just that.&#8221;</p></blockquote>

<p>Yahoo&#8217;s embattled CEO Scott Thompson (pictured here) is set to step down from his job at the Silicon Valley Internet giant, in what will be dramatic end to a controversy over a fake computer science degree that he had on his bio, according to multiple sources close to the situation.</p>
<p>The pair will apparently say he is departing for &#8220;personal reasons.&#8221; Sources said that Thompson will be claiming to be leaving due to a serious illness that he recently discovered he had.</p>
<p>But the evolving crisis &#8212; which is just over a week old &#8212; centered on his botched resume and how he handled the thorny issue is the key reason for the abrupt end to his tenure as a CEO.</p>
<p>Thompson&#8217;s likely replacement on an interim basis will be Yahoo&#8217;s global media head <a href="http://pressroom.yahoo.net/pr/ycorp/ross-levinsohn.aspx">Ross Levinsohn</a>, who most recently also ran its Americas unit, including its advertising sales. </p>
<p>In addition to the management upheaval, Yahoo&#8217;s board is closing in on a settlement with the man who discovered Thompson&#8217;s misstep, activist shareholder Daniel Loeb of Third Point, said sources.</p>
<p>The situation could change, since Yahoo&#8217;s full board still has to meet this morning to officially approve the sweeping changes at the long-troubled company.</p>
<p>But, if it is, this development goes a long way toward fixing some of what has been ailing Yahoo recently.</p>

<p>And it&#8217;ll also be a stunning victory for Loeb (pictured here), since the pugnacious hedge fund investor is set to get three board seats from a slate proposed by him as part of a proxy fight aimed at Yahoo. The new Yahoo directors will be media exec Michael Wolf and turnaround specialist Harry Wilson. Loeb&#8217;s fourth selection &#8212; former NBC head Jeff Zucker &#8212; will withdraw.</p>
<p>The five current Yahoo directors &#8212; who were to step down at the company&#8217;s annual meeting this summer &#8212; will leave the board effective immediately, sources said, to make way for the Third Point selections.</p>
<p>Finally, Yahoo&#8217;s recently added director Fred Amoroso will be named chairman of the board. </p>
<p>Amoroso is the director who has been conducting the investigation into the issues raised by Loeb about how the fake academic credentials got in Thompson&#8217;s public bios, as well as in Yahoo&#8217;s regulatory filings, and also the hurried circumstances around his hiring in January.</p>
<p>Those mysteries &#8212; read, <em>screw-ups</em> &#8212; might never be solved now, although Thompson made a convoluted attempt to explain it all in two awkward employee meetings at the end of last week. In those gatherings, according to numerous sources, he blamed a headhunting firm for introducing the mistake when he was being hired for a job at eBay in the mid-2000 timeframe.</p>
<p>That company, Heidrick and Struggles, slapped back last week with an internal memo, noting that Thompson&#8217;s claim was &#8220;verifiably not true.&#8221; Sources said that Heidrick told Yahoo&#8217;s board that it was in possession of a resume that Thompson had apparently submitted showing the inaccurate CS degree on it.</p>
<p>That memo, impugning Thompson&#8217;s credibility, was one of many that piled on to create an impossible situation for the Yahoo board, related to his leadership ability going forward.</p>
<p>Thompson had also previously issued a Yahoo statement, in which he apologized for the &#8220;distraction&#8221; caused by the problematic resume, but not for the mistake itself.</p>
<p>And, initially, Yahoo &#8212; under his direction &#8212; had called the borked resume an &#8220;inadvertent error.&#8221;</p>
<p>Such fumbling to fix the situation was among the many other issues that the board has been considering relating the ability of Thompson to remain in his job. Also of importance was the sinking morale of Yahoo employees, who had largely rejected Thompson&#8217;s excuses in the ResuMess scandal.</p>
<p>Internal message boards at Yahoo lit up all last week, with staffers largely rejecting his explanations. In addition, a number of top execs and engineers approached the board calling for Thompson&#8217;s firing.</p>
<p>While that&#8217;s not precisely what happened here, it&#8217;s close enough to describe Thompson&#8217;s departure as inevitable. </p>

<p>All this change comes in the wake of a massive restructuring he was in the midst of at Yahoo, after 2,000 employee layoffs.</p>
<p>Thompson was pushing forward a vision of adding a much more significant data and commerce element to Yahoo&#8217;s largely ad-based business. </p>
<p>That is likely to be less stressed under media-focused Levinsohn, who will be essentially trying out to be the permanent CEO.</p>
<p>Well known in the media and advertising communities, he has worked at a number of big online efforts over many years. </p>
<p>According to his bio at Yahoo, where he <a href="http://allthingsd.com/20101027/its-now-official-yahoo-hires-ross-levinsohn-to-head-key-americas-unit/">arrived in 2010</a>:</p>
<blockquote class="memo"><p>He previously served as the President of News Corporation&#8217;s Fox Interactive Media, where he was responsible for the day-to-day operations, strategy and acquisitions that helped transformed the company into a leader in digital media. He also held senior management positions with AltaVista, an early pioneer and leader in search, CBS Sportsline where he oversaw all content and development for the top rated sports site, and HBO where he launched and oversaw a unit developing new programming and revenue streams. Levinsohn also was the co-founder and managing director of Fuse Capital, an investment and strategic equity management firm focused on investing in and building digital media and communications companies.  </p>
<p>Levinsohn sits on the board of Freedom Communications and the Bogart Pediatric Cancer Research Program. He holds a Bachelor of Arts in Communications from The American University.</p></blockquote>
<p>So far in my checking, Levinsohn&#8217;s resume is accurate. </p>

			<content:encoded><![CDATA[<p><a href="http://allthingsd.com/files/2012/04/globe.jpg"><img class="alignright size-medium wp-image-199247" title="globe" src="http://allthingsd.com/files/2012/04/globe-285x285.jpg" alt="" width="285" height="285" /></a>A quick summary of Facebook&#8217;s ad business, via its <a href="http://allthingsd.com/20120423/new-s-1-facebooks-yearly-growth-up-45-percent-but-down-six-percent-from-last-quarter/">new SEC filing</a>: More people equals more money.</p>
<p>Essentially, Facebook&#8217;s ad revenues rose at the same rate as its usage numbers: Over the first three months of the years, its monthly active users rose by about a third, and so did its ad revenue.</p>
<p>Duh. Right? Basically. Except there are a couple points worth noting.</p>
<ul>
<li>Facebook says it hasn&#8217;t increased the number of ads it is showing users &#8212; presumably a temptation during the runup to an IPO.</li>
<li>Overall, Facebook&#8217;s price per ad has stayed the same in the last year. But that&#8217;s only if you look at a worldwide average. In the U.S and Canada, the social network says it has raised prices. And in Europe, prices are down because of &#8220;continuing weak economic conditions in that region.&#8221; In Asia and the rest of the world, where Facebook is growing faster, prices are lower to begin with.</li>
<li>Facebook also acknowledged, for the first time, that just like (almost) everybody else in the ad business, it sells more stuff at the end of the year. Ad revenue dropped 8 percent from the last quarter of 2011 to the first quarter of 2012. And it showed a similar drop the year before. (The exception to the seasonal drop? You guessed it: Google&#8217;s Q4 2011 number was just a touch lower than its Q1 2012 total.)</li>

<p>Facebook filed an updated version of its S-1 public offering document today, which included somewhat disappointing first-quarter financials.</p>
<p>In the new filing with the Securities and Exchange Commission, its fourth update for its upcoming public offering, the social networking giant&#8217;s revenue was $1.058 billion, up 46 percent for the year, but down six percent from the previous quarter.</p>
<p>In the first quarter of 2012, Facebook&#8217;s net income was $205 million, which was down from $233 million a year ago. The company attributed the decline to rising costs, including in marketing and in research. </p>
<p>Facebook also said its current share price was $30.89 each, which values the entire company at about $77 billion.</p>
<p>Some investors might worry about the latest results, which show a slowing in Facebook&#8217;s torrid growth. But Facebook said the quarterly decline was due to seasonality &#8212; it was flat in the same period a year ago.</p>
<p>As it noted in the document: </p>
<p>&#8220;We believe that our rates of user and revenue growth will decline over time. For example, our revenue grew 154% from 2009 to 2010, 88% from 2010 to 2011, and 45% from the first quarter of 2011 to the same period in 2012. Historically, our user growth has been a primary driver of growth in our revenue. We expect that our user growth and revenue growth rates will decline as the size of our active user base increases and as we achieve higher market penetration rates.&#8221;</p>
<p>Its audience, though, was still growing strongly: Facebook also said it had 532 million daily active users, up from 372 million a year ago and 483 million in December. Its monthly active users were up from 680 million last year to just over 900 million and up from 845 million from December. </p>
<p>Facebook also added an explicit figure for average revenue per user, which was $1.21, up six percent year over year. It also said the number of full-time employees grew 46 percent from last year to 3,539 at the end of March.</p>
<p>The last update to Facebook&#8217;s regulatory filing for its mid-May IPO was in late March. That one gave investors more information about a <a href="http://allthingsd.com/20120312/breaking-yahoo-sues-facebook-for-patent-infringement/">patent infringement lawsuit waged by Yahoo</a> &#8212; Facebook noted its <a href="http://allthingsd.com/20120403/breaking-facebook-smacks-at-yahoo-with-patent-claims-of-its-own/">counter claim</a> in the newest filing &#8212; and also its motion to dismiss Paul Ceglia&#8217;s legal attempt to garner half of the company. It then included more information about growing engagement by users of the social networking site.</p>
<p>Along with some other minor changes in the new document, Facebook noted, in news that was already known, that it would trade its stock on the Nasdaq market under the ticker symbol &#8220;FB.&#8221; It also said <a href="http://allthingsd.com/20120409/breaking-facebook-to-acquire-instagram-for-1-billion/">it had bought photo-sharing start-up Instagram</a>, another piece of old news, and noted its <a href="http://allthingsd.com/20120423/microsoft-and-facebook-to-announce-550-million-patent-deal/">just-struck patent deal with Microsoft</a>.</p>
<p>One <a href="http://allthingsd.com/20120423/that-1b-for-instagram-that-would-be-23m-shares-of-facebook-and-300m-in-cash-plus-a-200m-termination-fee/">new detail about Instagram</a>: Facebook forked over &#8220;approximately 23 million shares of our common stock and $300 million in cash&#8221; to buy it.</p>
<p>Also, said Facebook, in an interesting new section on its global business:</p>
<p>&#8220;In the first quarter of 2012, 50% of our revenue was generated by users in the United States and Canada, a decrease from 54% of our revenue for the first quarter of 2011, and in 2011, 52% of our revenue was generated by users in the United States and Canada, as compared to 58% in 2010, as we experienced more rapid revenue growth in markets such as Germany, Brazil, Australia, and India.&#8221;</p>

<p>In a move that <a href="http://allthingsd.com/20120403/yahoos-layoffs-tomorrow-morning-of-up-to-2000-will-only-be-the-first-move-of-a-larger-purge-to-come/"><strong>AllThingsD</strong> had previously reported was coming</a>, Yahoo said it had laid off 2,000 employees, or 14 percent of the workforce.</p>
<p>&#8220;Today&#8217;s actions are an important next step toward a bold, new Yahoo! &#8212; smaller, nimbler, more profitable and better equipped to innovate as fast as our customers and our industry require,&#8221; said Yahoo CEO Scott Thompson in a statement. &#8220;Unfortunately, reaching that goal requires the tough decision to eliminate positions.&#8221;</p>
<p>While Yahoo has had periodic layoffs over the years, this one is its most significant in its history, and will also result in another large-scale restructuring of the management organization. More cuts are also likely to follow in the months ahead, due to the reshaping of Yahoo.</p>
<p>The latest employee action is being pushed by Thompson, who joined the Silicon Valley Internet giant in January from eBay&#8217;s PayPal unit. </p>
<p>&#8220;Change is never easy,&#8221; he wrote in an internal email to Yahoo employees (it is below in its entirety), in a well-worn cliché I am dead certain few appreciated hearing today from the top leader.</p>
<p>At an internal meeting with top staff last night, Thompson &#8212; who has gotten what seems to be a well-deserved reputation for chewing folks out at Yahoo &#8212; was more direct with the execs gathered, berating them extensively for not delivering and getting the company to this sorry point.</p>
<p><em>Ouch, Scott!</em> It&#8217;s Easter, so it might be time for some forgiveness. (And no more ranting about my reporting to those inside Yahoo, since I have been 100 percent accurate so far. FYI, will aim for 110 percent next week!)  </p>
<p>Yahoo said it will save about $375 million with the cuts, incurring a $125 to $145 million pretax cash charge for employee severance in its second quarter. Before the cuts, Yahoo had 14,000 staffers and has many thousands more hired as contractors.</p>
<p>The layoffs touch all units of the company, but the hardest hit is the product division, which is headed by Blake Irving, as well as its marketing, research and international units. Yahoo gave no details on the layoffs other than the number.</p>
<p>But the fate of two key parts of the soon-to-be-blown-apart unit &#8212; Yahoo&#8217;s advertising technology businesses, Right Media and APT, and its search business &#8212; is still being contemplated, <a href="http://allthingsd.com/20120314/to-stanch-layoffs-yahoo-has-been-shopping-its-ad-technology-platforms-to-google-microsoft-and-others/">as I have previously reported</a>. Possible scenarios include a sale or a joint venture transaction for both, which employ thousands of Yahoo staffers.</p>
<p>The layoffs tomorrow are not the end of the road in cutting costs. Along with the likely shedding of its ad tech and search businesses, Yahoo leadership is also looking at future cuts as it evaluates current businesses, which could lop even more employees off its roster.</p>
<p>That said, Yahoo will be doubling down in some older and new arenas, so there would also be simultaneous hiring in the months ahead.</p>
<p>As wrenching as they will be today at Yahoo, the layoffs come as no surprise. Thompson had told employees in memos and also in recent meetings that <a href="http://allthingsd.com/20120315/ceo-thompson-tells-yahoos-real-change-is-coming-its-exclusive-internal-memo-time/">&#8220;real change&#8221;</a> was coming to the company.</p>
<p>Along with the trauma of the layoffs, Yahoo is also facing two other tense face-offs externally. In one, activist shareholder Third Point is waging a proxy fight for board seats and <a href="http://allthingsd.com/20120402/third-point-launches-value-yahoo-blog-which-does-not-value-current-leadership/">stepped up the public pressure</a> this week; and Facebook struck back hard at Yahoo&#8217;s patent lawsuit with a <a href="http://allthingsd.com/20120403/breaking-facebook-smacks-at-yahoo-with-patent-claims-of-its-own/">counterclaim of its own</a>.</p>
<p>After the layoffs tomorrow, sources say Yahoo will be announcing a new organization by next week. Thompson, along with outside consultants he has hired from the Boston Consulting Group, are making what appear to be profound changes.</p>
<p>Sources said that Yahoo will most likely be comprised of a global media division, one that encompasses Yahoo&#8217;s consumer products businesses and one focused on global and regional sales. There could also be a small organization of about 50 employees aimed at future innovation.</p>
<p>Americas head Ross Levinsohn is pegged to run the media arm, which will also include its leads/commerce businesses, such as autos; Shashi Seth &#8212; who now heads search and marketplaces &#8212; is likely to run consumer products, which will include Yahoo&#8217;s communications and search businesses.</p>
<p>Yahoo has already been conducting a search for a new worldwide sales head, who will also be boss of the U.S., Asia and Europe, Middle East and Africa sales regions. Rich Riley, who was recently running EMEA, is reportedly the pick for U.S. sales; Rose Tsou, who is running Asia, would presumably stay put; Yahoo is looking for an EMEA sales lead.</p>
<p>Some current operational execs &#8212; such as service engineering and ops head David Dibble, CFO Tim Morse, and top lawyer Mike Callahan &#8212; are likely to continue to operate as before.</p>
<p>One big question mark is how Chief Product Officer Irving fits in the possible new org, in which the new units get control of their product development. Irving has reportedly had several incoming job offers, although it is not clear if he has responded to that interest. </p>
<p>But today, the focus is on the layoffs and letting go all those employees, many of whom have worked at Yahoo for years. Even if it will result in a stronger Yahoo, as Thompson promises, it is still a very sad day in Sunnyvale.</p>

<p>According to sources close to the situation, Yahoo&#8217;s <a href="http://allthingsd.com/20120330/yahoo-layoffs-set-to-begin-next-week-followed-by-restructuring-the-week-after/">massive round of layoffs</a> &#8212; which is likely to impact up to 2,000 employees &#8212; is just the tip of the proverbial iceberg that will hit the storied Silicon Valley Internet giant in the months to come.</p>
<p>Sources said Yahoo is currently planning to announce the cuts in staff in the early morning, just as the markets open. That could change, of course, but the cuts will definitely occur within the next two days.</p>
<p>The layoffs, which will touch all units of the company, are expected to hit hardest in the product division, which is headed by Blake Irving. </p>

<p>Yahoo is preparing to begin layoffs of what could be thousands of employees starting next week, according to multiple sources, and is then expected to announce a new restructuring of the company the week after.</p>
<p>The swirl at the Silicon Valley Internet giant has grown more intense this week, as new CEO Scott Thompson <a href="http://allthingsd.com/20120328/yahoo-geddon-leaders-to-debate-layoffs-asset-sales-search-deals-and-more-today-as-a-major-restructuring-looms/">has brought in top management for a series of meetings</a> both Tuesday and Wednesday to outline the plans.</p>
<p>What has emerged &#8212; although sources noted that Thompson and others communicating the pending changes said nothing was yet set in stone &#8212; is the picture of a drastically slimmed-down organization with a focus on media, advertising and new but unclear &#8220;future&#8221; initiatives.</p>
<p>First the layoffs: Sources said the cuts will be deep and mostly aimed at the product, research and marketing units of Yahoo, which are likely to take place Wednesday. The ultimate goal, said multiple sources, is to cut many thousands from Yahoo&#8217;s staff of close to 14,000 employees, which is actually much larger, due to contract workers not officially in its roster.</p>
<p>The entire cut will not take place at once, said sources, since Thompson and others are still trying to figure out how to dispense with its ad technology org and, potentially, its search business. He has been in discussions with both Microsoft and Google about this, although there are other possibilities, too. </p>
<p>Both these parts of Yahoo together have about 2,500 staffers, whose fate is not yet sorted out.</p>
<p>Also still baking is the new structure, although sources said it is most likely to be comprised of a global media division, one that encompasses Yahoo&#8217;s communications and search businesses, and ones focused on global and also regional sales. There could also be a small organization of about 50 aimed at future innovation.</p>

<p>Americas head Ross Levinsohn is the likeliest exec to run the media arm, while Shashi Seth &#8212; who now heads search and marketplaces &#8212; would be the obvious candidate for the the communications/search one.</p>
<p>Thompson has already been conducting a search for a new worldwide sales head, although one possible internal exec for the job could be Rich Riley, who was recently running Yahoo&#8217;s Europe, Africa and Middle East region.</p>
<p>It is not clear how Chief Product Officer Blake Irving fits in the possible new org, since much of the development could now move to the decentralized units.</p>
<p>Some current operational execs &#8212; such as service engineering and ops head David Dibble, CFO Tim Morse, and top lawyer Mike Callahan &#8212; are likely to continue to operate as before.</p>
<p>Thompson, along with consultants he has hired from the Boston Consulting Group, presented the possible plan in front of Yahoo&#8217;s senior execs on Tuesday. That was followed by more meetings with a wider range of top management yesterday, although Thompson was not as highly specific in these meetings.</p>
<p>In fact, according to a half-dozen sources, Thompson apparently grew somewhat testy in one of the gatherings, when asked if there was a strategy he was going to announce in more detail to the group.</p>
<p>(Dear Scott, these are very talented employees who love the company and who have been through the wringer and it&#8217;s not their fault that leadership has failed them, so it might be a good idea to treat them with as much respect as possible right now.)</p>

<p>Shakil Khan, the well-known head of special projects for the popular Spotify music service, is taking a job with the same title at Path, the fast-growing personal social networking start-up.</p>
<p>Khan will be focusing on growth and international issues, and based out of London but with global duties. Path&#8217;s HQ is in San Francisco.</p>
<p>That&#8217;s important, since Path has been growing strongly outside its initial U.S. market, especially in Asia. In February, Path CEO Dave Morin <a href="http://allthingsd.com/20120203/path-now-has-2m-users-having-doubled-since-it-relaunched-two-months-ago/">announced that it had</a> two million users.</p>
<p>In an interview last night, Khan said he will remain an adviser to Spotify&#8217;s CEO and co-founder Daniel Ek, noting that he is also an investor. </p>
<p>Interestingly, said many sources and also a number of reports, both Path and <a href="http://allthingsd.com/20120329/spotify-keeps-the-free-music-party-going-in-the-u-s/">Spotify</a> are in the midst of large funding rounds with hefty valuations.</p>
<p>In fact, Spotify is being valued at $4 billion, which was not the case when Khan came to the then-fledgling company in 2008. Taking up a job essentially as a kind of fix-it guy for Ek, he worked on a number of important initiatives, from gaining early user traction to hiring its early management to wrangling celebrities to use the service.</p>
<p>Khan said that he decided to leave Spotify, which has recently had a huge spurt of growth due to its recent integration on Facebook, because he has &#8220;always been a start-up guy.&#8221;</p>
<p>&#8220;I loved the days when people used to say, &#8216;What is that, how do you spell it,&#8217;&#8221; he said about Spotify. &#8220;I need those kind of butterflies, and Path is just that kind of amazing product with huge global potential.&#8221;</p>
<p>In an email, Path&#8217;s Morin said: </p>
<p>&#8220;We are beyond delighted that Shak has chosen to join the Path family as we continue our mission to build the first global personal network by helping people journal and share life with family and close friends. Shak brings a unique global perspective and skill set to Path which will help us reach and serve our members and partners across the globe in a uniquely personal way.&#8221;</p>
<p>And Ek, calling in from Sweden (where it is 80 degrees!), said that he was sad to see Khan go, and was also in his debt for his service to Spotify.</p>
<p>&#8220;I am kind of an introvert guy, and Shak is definition of social, so he was the link to the rest of the world in many ways for me and for the company,&#8221; said Ek. &#8220;So where he is going and what he will be doing at Path is perfect.&#8221;</p>

<p>What <em>is</em> Yahoo?</p>
<p>While that has been the perennially unanswered question at the Silicon Valley Internet giant for many years, according to dozens of sources inside and outside the company, Yahoo&#8217;s leadership is now deeply embroiled in an intense &#8212; and sometimes very tense and fast-changing &#8212; debate over a number of critical issues about what is expected to be the most sweeping restructuring in its history.</p>
<p>Top executives at the company are conducting what is likely to be a lively all-day &#8220;offsite&#8221; meeting today (which is actually taking place on Yahoo&#8217;s Sunnyvale campus) to continue to discuss, among other things: How and where the company will make large-scale cuts in staff, which I have previously <a href="http://allthingsd.com/20120305/yahoos-new-ceo-preps-major-restructuring-including-significant-layoffs/">reported were coming</a> and will perhaps be numbering in the thousands; which businesses to sell off and which to keep, including its <a href="http://allthingsd.com/20120314/to-stanch-layoffs-yahoo-has-been-shopping-its-ad-technology-platforms-to-google-microsoft-and-others/">ad tech unit</a>; the correct structure for the reconfigured entity; and who will be left to run it all when it is all settled.</p>
<p>Also up for debate is the best course of a two-pronged effort &#8212; being led primarily by CFO Tim Morse and members of his corporate strategy team &#8212; to renegotiate its search and advertising partnership deal with Microsoft, while also engaging in active discussions with Google about <em>it</em> taking over Yahoo&#8217;s search business. </p>
<p>&#8220;Everything is on the table,&#8221; said one person. &#8220;And anything could be blown up by Scott.&#8221;</p>
<p>The Scott being referenced is new CEO Scott Thompson, who has become something of a whirling dervish since he arrived at Yahoo only three months ago from the top job at eBay&#8217;s PayPal unit.</p>
<p>If shaking up the place &#8212; as he has promised in public and internal statements, including a recent memo in which he wrote that <a href="http://allthingsd.com/20120315/ceo-thompson-tells-yahoos-real-change-is-coming-its-exclusive-internal-memo-time/">&#8220;real change is coming&#8221;</a> &#8212; was his aim, Thompson is certainly doing just that and more.</p>
<p>Along with immediately initiating a massive effort to figure out the best way to restructure the long-troubled and ever-meandering company and all that entails, Thompson has also been meeting players all over Silicon Valley for advice; stopping and then restarting negotiating discussions with Yahoo&#8217;s Asian partners, visiting major advertising clients; and engaging in talks with activist shareholder Dan Loeb about settling a <a href="http://allthingsd.com/20120328/third-points-loeb-to-yahoo-about-board-rejection-illogical-alice-in-wonderland-world/">looming proxy fight</a>, while also <a href="http://allthingsd.com/20120325/yahoo-appoints-three-new-directors-in-a-smack-to-activist-shareholder-like-i-said/">packing the board</a> with allies to help fend off said battle.</p>
<p>And, oh yes, he also took a little time out from his busy schedule to <a href="http://allthingsd.com/20120312/breaking-yahoo-sues-facebook-for-patent-infringement/">sue Yahoo partner Facebook for patent violations</a>.</p>
<p><a href="http://allthingsd.com/20120328/yahoo-geddon-leaders-to-debate-layoffs-asset-sales-search-deals-and-more-today-as-a-major-restructuring-looms/thompson-4-2/" rel="attachment wp-att-190829"><img src="http://allthingsd.com/files/2012/03/thompson-4-380x264.jpg" alt="" title="thompson-4" width="380" height="264" class="alignleft size-medium wp-image-190829" /></a></p>
<p>But the real action is the remaking of Yahoo in his image. To do so, Thompson has been furiously evaluating the entire company, with the <a href="http://allthingsd.com/20120305/yahoos-new-ceo-preps-major-restructuring-including-significant-layoffs/">help of Boston Consulting Group</a> and a small group of execs, especially Morse.</p>
<p>While it is all still undecided, he seems to be leaning toward Yahoo as a drastically slimmed-down entity without a central product group and with a simplified structure that includes global units &#8212; such as media, commerce and sales organizations &#8212; which will again be in charge of the entire development of their offerings. </p>
<p>(I will note, since I have been covering Yahoo since near its founding, this is a structure that has been in place before. In other words, at least for dinosaurs like me, there is nothing new under the sun here.)</p>
<p>The changes being contemplated include, as I have written previously, the possible sale or drastic reconfiguration of its ad technology business, which will effect at least 1,000 employees. Another 1,500 involved in Yahoo&#8217;s search business will also be impacted, depending on talks the company has been having with Microsoft, as well as Google, about better monetization.</p>
<p>Such a structure brings up a lot of questions about how, and by whom, it will be run. To figure it out, Thompson has been evaluating &#8212; sometimes rather brusquely &#8212; his own top managers, as well as looking for new ones outside the company, such as a search for a chief marketing officer and other key positions.</p>
<p>Confused? Perhaps, but not for much longer, said multiple sources, as Thompson moves closer to delivering his answer to the what-Yahoo-is question.</p>
<p>Yahoo PR &#8212; by the way, it will not escape Thompson&#8217;s change machine, either! &#8212; declined comment.</p>

<p>The winner, that is, of Getty Images&#8217; innovative <a href="http://mishmash.gettyimages.com/en/">Mishmash</a> creative challenge, in which anyone can submit a film from one to three minutes long, as long as it was created using Getty Images&#8217; video, music and imagery content.</p>
<p>Harper&#8217;s video, which depicts a classic city barbershop, won the Global Grand Prix title, out of 300 entries worldwide. Winners were also selected for three other global regions.</p>
<p>Here is Harper&#8217;s winning video, set to a poem by Mark Anthony Thomas, which he called &#8220;an ode to a place I grew up.&#8221;</p>

<p>Jason Harper’s entry, In This Shop, which explores the place of a local business in modern day America, was awarded the Global Grand Prix title, which chairman of the jury and R/GA, Chief Creative Officer, Nick Law described as &#8220;beautifully modulated, intimate and simple.&#8221;  Other winners include:</p>

<p>Each of the winning entries cleverly blurred the lines between imagery and video to create works which both impressed and challenged the judges with their creativity, story-telling techniques, slick editing and innovative subject matter. </p>
<p>Andrew Saunders, Senior Vice President, Creative Content, Getty Images said: &#8220;Once again we have had an overwhelmingly positive response to Mishmash, which never fails to produce work that both inspires and surprises us. The high calibre of films really showcases our creative and engaging content and we feel that the shortlisted entries demonstrate the evolution of video and media as a growing and highly engaging communication platform. A huge congratulations to all of our winners.&#8221;</p>
<p>Getty Images received over 300 submissions from creatives in over 50 countries &#8212; an increase of 37 per cent compared with the 2010 competition. </p>
<p>New for 2012, Mishmash entrants could choose to enter one of three categories: short story, music video or video art. Each film, which needed to be between one and three minutes long, was created using Getty Images video, music and imagery content.</p>
<p>The competition, which ran for two months, was judged by 29 of the world&#8217;s leading music, technology and film production professionals and was chaired by R/GA’s, Global Chief Creative Officer, Nick Law. Other judges included:</p>

<p>It began: &#8220;Yahoos: A lot has happened since I last talked to you.&#8221;</p>
<p>You can say that again!</p>
<p>Yesterday, Yahoo CEO Scott Thompson sent out an email to the troops in what appears to be an attempt to soothe the company, which has been under a lot of stress, including more high-level exec departures, board changes and more. More importantly, the Silicon Valley Internet giant is nervously waiting for a restructuring expected to hit within weeks, and also has been unnnerved by Thompson&#8217;s aggressive legal attack on one of its key partners, social networking site Facebook.</p>
<p>Unfortunately, the memo didn&#8217;t say much, except vaguely but definitively referencing that even more tumult was coming.</p>
<p>After noting that he had been making a &#8220;deep dive&#8221; into the company after getting there at the beginning of the year, Thompson said that he was focused on &#8220;what makes Yahoo special and what doesn&#8217;t work.&#8221;</p>
<p>The plan then? To get the company to be &#8220;aggressive and lean forward,&#8221; because &#8220;real change is coming.&#8221;</p>
<p><em>Rut-roh.</em></p>
<p>(In a related move, but not noted in the memo &#8212; which several sources said was linked to all the uncertainty around the expected restructuring and also high costs &#8212; Thompson also cancelled Yahoo&#8217;s annual global sales meeting, which was to be held for about 1,300 advertising staffers in Florida later in the month.)</p>
<p>&#8220;We are moving as fast with real urgency to move back to Yahoo playing offense once again,&#8221; said the Thompson memo, which was read to me by several sources, because of increased worries about the company once again hunting for leakers. </p>
<p>(Apparently, like his predecessor before him did unsuccessfully early in her tenure, Thompson is on a yet another pointless hunt for those who talk to outsiders. Memo to Scott: Yahoo is an online <em>media</em> company and not a pay-for-that-used-iPad-on-eBay outfit and the peeps there <em>like</em> to share.)</p>
<p>Back to the memo action. &#8220;Were are fundamentally rethinking every part of our business and looking at all options to put maximum effort where we can succeed,&#8221; wrote Thompson. &#8220;I&#8217;m putting tons of pressure on my leadership team &#8230; so we can move faster and more deliberately.&#8221;</p>
<p>He added &#8212; and the bolding is his &#8212; &#8220;the changes we make will not be incremental ones. We will make <strong>bold, fundamental</strong> changes to what we do and how we do it.&#8221;</p>
<p>After properly freaking the Yahoo staff out &#8212; with everyone trying to grok exactly what that meant in terms of their jobs &#8212; Thompson then went into three core things the company was going to focus on under his rule (more bolding!):</p>
<p>&#8220;1) Focusing intently on those parts of the business that <strong>have a competitive advantage</strong>.</p>
<p>2) Liberating all of us to <strong>work faster</strong> and make better decisions.</p>
<p>3) Thinking really creatively about how to <strong>build new businesses</strong> that leverage our trusted relationships with users.&#8221;</p>
<p>Those will be applied, wrote Thompson, to five key parts of Yahoo: Its core business (such as the homepage and news); platforms (such as its cloud services and Yahoo Publishing Platform); data (which Thompson said was the &#8220;single most underrated, underappreciated and underused asset, also calling it a &#8220;cornerstone for the next generation&#8221; of Yahoo); international; and an amorphous thing he called &#8220;our future.&#8221;</p>
<p>About that, Thompson said Yahoo would &#8220;go beyond simply protecting our core assets &#8230; we will more than just tweak what we have today &#8230; to <strong>innovate, acquire and disrupt</strong> outside our core.&#8221;</p>
<p>Then, without giving any specifics at all, he noted that it&#8217;s as &#8220;important to know <strong>what</strong> we&#8217;ll do as how,&#8221; before launching into three &#8220;core principles&#8221; for the company, which were all in bold caps (this dude <strong><em>loves</em></strong> punctuating, which I can appreciate!).</p>
<p>They are:</p>
<p>&#8220;<strong>LISTEN, UNDERSTAND AND PUT THE CUSTOMER FIRST.</p>
<p>MOVE WITH SPEED IN EVERYTHING WE DO.</p>
<p>GET STUFF DONE.</strong>&#8221;</p>
<p>(Thompson also underlined &#8220;listen,&#8221; as well as bolding it, in an orgy of key-shifting.)</p>
<p>&#8220;I learned early in my career that innovative concepts without execution are of no value,&#8221; he then said, in a classic business-bromide tone. &#8220;The Yahoo of the future has to be the organization that consistently surprises the world by how much we get done and deliver to our customers.&#8221;</p>
<p>The letter did reference the patent-infringement lawsuit with Facebook at the very end.</p>
<p>&#8220;I want to point out that this lawsuit has one simple purpose: Protecting valuable assets of the company and its shareholders,&#8221; Thompson wrote. &#8220;Others have respected and have licensed our valuable innovations and Facebook must too.&#8221;</p>
<p>Thompson ended by noting that &#8220;my door is open.&#8221; It will be interesting to see who has the guts to walk through it today.</p>

<p>Yahoo&#8217;s massive product unit is readying a major reorganization, which will include a new structure, a move that is being spearheaded by its Chief Product Officer, Blake Irving.</p>
<p>But the ground under Irving, as well as several of the Silicon Valley Internet giant&#8217;s top execs, is about to get shakier too, due to a wide range of changes now being plotted by newly installed CEO Scott Thompson.</p>
<p>While still in the early stages of formulation, sources said Thompson has been mulling bringing in a head of global advertising sales or revenue chief, as well as more top product execs, as he moves to initiate a plan to shake up Yahoo and also put his own stamp on the company.</p>
<p>Layoffs and possible wholesale abandonment of certain businesses Yahoo is currently in are likely to be parts of this larger plan.</p>
<p>Confused yet? So am I, but let&#8217;s sort through all the latest activity.</p>
<p>First, there&#8217;s the Yahoo product redo, which has been in the making for a while, well before Thompson arrived last month. </p>
<p>Under the new plan, which is described as &#8220;an evolution rather than blowing up the place,&#8221; Yahoo&#8217;s famously matrixed product unit could be split into three distinct areas: Monetization, which is expected to be headed by longtime exec Mark Morrissey; platform, with cloud dude Jay Rossiter in charge; and consumer-facing products, possibly in the hands of search kingpin Shashi Seth.</p>
<p>The idea behind the latest setup, presumably, is to spur innovation and make it easier for Yahoo to spit out products more quickly. Its recent Livestand tablet app, for example, was late to the game and continues to struggle to gain any real ground, said sources.</p>
<p>Overall, Yahoo still continues to lag behind other Internet rivals in a number of product arenas, for reasons that Thompson is delving into.</p>
<p>The way products are made got a long look-see this past week, in a day-long meeting that Thompson had with Yahoo&#8217;s top team execs. Thompson reportedly quizzed the group on its plans, and pressed it to look less at short-term features and maintenance than on finding the next great thing.</p>
<p>&#8220;I think it&#8217;s fair to say that Scott is wondering why Yahoo did not come up with innovations like Pinterest and Instagram,&#8221; said one person about hot new start-ups that are in the sweet spot of Yahoo&#8217;s business. &#8220;Or, at the very least, why it did not even try to buy them.&#8221;</p>

<p>That&#8217;s why Thompson, with the help of board members, including David Kenny, has been on the hunt for new talent for Yahoo. That includes a search that is on for a new head of marketing, too. </p>
<p>Thompson has been doing the same kind of assessment with Yahoo&#8217;s media and advertising execs, who include Americas head Ross Levinsohn, as well as Asia&#8217;s Rose Tsou, and Rich Riley, who heads its efforts in Europe, Africa and the Middle East.</p>
<p>Sources said he believes that Yahoo might need a head of global sales or a chief of revenue to better organize and align its key advertising business. Ad revenues now make up a bulk of Yahoo&#8217;s business.</p>
<p>As Thompson has said numerous times publicly since he came on board, he is seeking to diversify that revenue, focusing on new businesses and also goosing non-ad ones already performing well. In Asia, for example, Yahoo has a robust online commerce business in comparison to other regions. </p>
<p>&#8220;Yahoo has to slim down and focus in some ways and bulk up in others,&#8221; said another source.</p>
<p>Of course, all of this might be moot, depending on how <a href="http://allthingsd.com/20120209/ready-to-rumble-or-make-nice-activist-shareholder-daniel-loeb-could-strike-sooner-than-yahoo-thinks/">activist shareholder Daniel Loeb</a>, who is prepping his own frontal attack on making changes at Yahoo, decides to move. According to sources, Loeb is assembling his own slate and trying to garner support from other shareholders, in hopes of further improving the value of his more than five percent stake.</p>
<p>What form that will take is unclear, but it&#8217;s not completely friendly at the moment.</p>
<p>In addition, Yahoo execs and its board are trying to wrap up a deal to sell off parts of its Asian assets in Alibaba Group and Yahoo Japan, part of a massive arrangement that could bring many billions of dollars of assets and cash into the core company that is left. </p>
<p>Which could then make Yahoo more able to compete, and give Thompson a war chest to do so &#8212; <em>or</em> make it an even tastier treat for a wide range of outside investors looking for a deal.</p>

<p>Neil Ashe, who <a href="http://allthingsd.com/20101208/cnets-neil-ashe-stepping-down/">left his job running CBS Interactive</a> in late 2010, has taken a job helming Wal-Mart Stores&#8217; global online commerce unit.</p>
<p>The retail behemoth said that Ashe will become president and CEO of its Global eCommerce division, replacing the retiring Eduardo Castro-Wright. He will operate out of Wal-Mart&#8217;s Silicon Valley office in San Bruno, Calif., but will likely make a lot of trips to the company&#8217;s HQ in Bentonville, Ark. (Ashe does not have the U.S.-based e-commerce business; Walmart.com is run by Joel Anderson, who reports up through the Wal-Mart U.S. stores business.)</p>
<p>In an interview earlier today, Ashe said that he was &#8220;impressed by the company&#8217;s realization that the consumer is changing &#8230; and the commitment to global e-commerce.&#8221;</p>
<p>Noting that Wal-Mart stores see 200 million customers a week, he said the goal was to make the online experience as compelling as the offline one.</p>
<p>&#8220;There has to be almost an indifference between physical stores and e-commerce,&#8221; said Ashe. &#8220;The whole company committed to winning on the Internet.&#8221;</p>
<p>Since he left CBS, Ashe has been advising a variety of Web start-ups, including LivingSocial. Ashe <a href="http://allthingsd.com/20110404/livingsocial-adds-former-cbs-president-neil-ashe-to-board/">joined the board</a> of the Washington, D.C.-based social buying company last spring.</p>
<p>The job at Wal-Mart is a big one, especially given its up-and-down history in the online space. That includes the recent decision to <a href="http://allthingsd.com/20110809/wal-mart-shutters-digital-music-store-you-didnt-know-existed/">stop selling MP3s</a> from its Web site.</p>
<p>It has also stepped up its efforts, including a number of small acquisitions, such as mobile advertising start-up <a href="http://allthingsd.com/20110913/walmart-acquires-social-ad-targeting-start-up-oneriot/">OneRiot</a> and mobile app company <a href="http://allthingsd.com/20120104/wal-mart-acquires-small-mobile-agency-to-beef-up-tech-team/">Small Society</a>.</p>
<p>But it did pay big bucks &#8212; reportedly $300 million &#8212; for social media platform <a href="http://allthingsd.com/20110418/exclusive-wal-mart-paid-300-million-plus-for-kosmix/">Kosmix</a>. </p>
<p>Ashe noted that Wal-Mart is indeed still dwarfed online by online dominator Amazon. &#8220;They are very innovative and strategically adept,&#8221; he said.</p>
<p>With 59 million monthly visitors to its U.S. Web site and an aim to go global, how Ashe navigates Wal-Mart&#8217;s path in the next years will be interesting to watch.</p>

<p>&#8220;We have an understanding of what these customers want, a trusted brand, 200 million weekly shoppers, more than 10,000 stores around the world, and the ability to make significant investments in talent and technology. We also have successful online businesses, including in the U.S., the U.K., Canada and Brazil. With all of this, it is clear that Walmart is the best- positioned retailer to deliver this multi-channel experience to consumers, many of whom are already connected to the world through smart phones and social media.&#8221;</p>
<p>Duke continued, &#8220;With his strong personal leadership skills, financial background and experience in successfully working within a major corporation to lead its Internet division, Neil is the ideal leader to help us build this business. He has led companies through all stages of growth and maturity. He also has a deep understanding of the interactive space and how to attract and convert online customers. Perhaps most importantly, much of Neil&#8217;s professional success has come through close collaboration and shared goals with his peers &#8212; a key attribute as we continue to integrate our online businesses across the company and with our physical stores.&#8221;</p>
<p>&#8220;Walmart is a special company,&#8221; said Ashe. &#8220;Growing up in East Tennessee, I have seen first-hand the difference it can make in the lives of its customers. <p>As president of CBS Interactive, based in San Francisco, Ashe led the interactive content business with operations in the U.S., Europe and China. After leading the successful integration of CNET Networks with CBS, he and his team leveraged existing company assets to ramp up CBS entertainment content distribution online, including making CBS.com the largest television network site in the industry. </p>
<p>Prior to this, Ashe was CEO of CNET Networks, initially best known for providing technology-related information, product reviews and price comparisons through CNET.com. He also oversaw dramatic development in the company’s China division, taking it from a small magazine and events operator to a highly profitable, fast-growing online business. During his tenure, the company&#8217;s value increased from $100 million to $1.8 billion. Ultimately, Ashe led the sale of the company to CBS and became president of CBS Interactive at that time.</p>
<p>Earlier, Ashe founded a company focused on using the Internet to improve K-12 education in the U.S. Prior to this, he was a partner and managing director at private investment firm Crest Communications Holdings and, before that, was an associate at Smith Barney, the investment bank now part of Citigroup. </p>
<p>Ashe has an M.B.A. from the Harvard Business School and a B.S. in Business Administration, with a major in Finance, from Georgetown University. He serves on the boards of LivingSocial, AMC Networks and the Georgetown University Board of Regents.</p>
<p>Over the past year, Walmart has made investments in capabilities and talent as it continues to build Global eCommerce. It has also further strengthened its position through the acquisition of small Internet specialty companies and continues to expand in new markets such as China and Brazil, including a minority stake in Chinese Internet retailer Yihaodian.</p></blockquote>

<p>Through many years of working together, first at eBay and then during the failed California governor&#8217;s race, Meg Whitman has relied heavily on Henry Gomez for communications advice.</p>
<p>Their close working relationship even earned them the mash-up nickname among those at eBay and elsewhere: Menry.</p>
<p>So when she got the CEO job at Hewlett-Packard, it was a bit of a surprise that Gomez &#8212; who has recently been living on the East Coast (see baseball cap above) &#8212; helped out a lot, but was not named to the top PR slot at the tech giant.</p>
<p>No longer, it seems, with Gomez being named EVP and Chief Communications Officer at HP today. </p>
<p>It&#8217;s a big job, given the hard work that Whitman faces reviving the iconic tech company, which has been beset by strategic and business challenges of all kinds, shapes and sizes in recent years.</p>
<p>While it might be seen as an adjunct to the business, the forward-facing parts of HP are in need of a powerful public relations initiative, which is presumably why Whitman wanted one of her most trusted and longtime staffers in the post.</p>
<p>According to HP, Gomez will become a member of the company&#8217;s executive council and report directly to Whitman.</p>
<p>Said HP in its press release, which you can also read below: &#8220;Gomez will be responsible for HP&#8217;s media and industry analyst relations, executive communications, employee communications, government affairs and global social innovation.&#8221;</p>
<p>As in, the voice of Menry is back!</p>

<p>Gomez, 48, comes to HP with 26 years of communications experience. He spent most of the last decade working at eBay, where he served in a variety of roles including senior vice president for Corporate Communications and president of Skype. Gomez played a crucial role in building eBay&#8217;s brand during the critical years following the company&#8217;s initial public offering.</p>
<p>Prior to joining eBay, Gomez was vice president of Corporate Affairs at HBO in New York. He started his communications career at Hill and Knowlton and has worked on a wide array of public relations and marketing communications challenges in numerous industries.</p>
<p>Most recently, Gomez ran his own consulting business, providing communications counsel to clients such as H&#038;R Block. He was on the leadership team of Whitman&#8217;s 2010 campaign for governor of California and has been involved in government and political affairs throughout his career. In 2011, Gomez was appointed to the board of BJ&#8217;s Restaurants, Inc. He is a graduate of Boston College.</p>
<p>&#8220;Henry is an excellent manager and communications executive,&#8221; said Whitman. &#8220;People around the world care deeply about HP, and I believe we have an important obligation to clearly explain where we&#8217;re headed and why. 		<description><![CDATA[TripAdvisor's co-founder and CEO Stephen Kaufer talks to AllThingsD about the media company's prospects for growth now that it has broken off from Expedia and is an independently traded company.]]></description>
			<content:encoded><![CDATA[<p>Stephen Kaufer got the idea for TripAdvisor more than a decade ago, after planning a trip to Mexico and having a difficult time knowing which accommodations his family would enjoy most.</p>
<p><img class="alignright size-medium wp-image-155808" title="tripadvisor_opening bell_stephen Kaufer" src="http://allthingsd.com/files/2011/12/tripadvisor_opening-bell_stephen-Kaufer-380x253.png" alt="" width="380" height="253" />As the father of eight kids &#8212; now all between the ages of 12 and 21 &#8212; he knows a thing or two about the importance of finding the perfect place. (Note: Kaufer delicately calls family trips &#8220;adventures,&#8221; while getaways with his wife are &#8220;vacations.&#8221;)</p>
<p>Since then, TripAdvisor has become the online go-to destination for reviews of hotels from Barbados to bed-and-breakfasts in New York City.</p>
<p>In 2004, Kaufer sold the company to IAC for $210 million, setting off a somewhat complicated operating journey. A year later, TripAdvisor spun out of IAC as part of Expedia. It remained a division within the online travel agency until last month, when it broke off into an independent publicly held company.</p>
<p>Today, the Newton, Mass.-based company has 1,100 employees, attracts more than 50 million unique visitors and has published more than 60 million reviews. It trades on the Nasdaq under the ticker symbol &#8220;TRIP,&#8221; while Expedia continues to trade under the symbol &#8220;EXPE.&#8221;</p>
<p>Kaufer talked to <strong>AllThingsD</strong> about being an independently traded company, and about the media company&#8217;s prospects for growth:</p>
<p><strong>AllThingsD: What is it like to be out from under Expedia&#8217;s wing?</strong></p>
<p><strong>Stephen Kaufer</strong>: There was a joke when we were spun out as part of Expedia from IAC. People asked me, &#8220;What&#8217;s your vision for TripAdvisor?&#8221; I would always say, &#8220;I want to be bigger than Expedia,&#8221; and people&#8217;s response always was, &#8220;That&#8217;s what the little brother might say.&#8221;</p>
<p>A year or two ago, we passed Expedia in comScore metrics, and are still experiencing growth. It&#8217;s a free service that&#8217;s valuable. It&#8217;s worldwide. TripAdvisor is in 21 languages, and three-fourths of the traffic comes from outside of the U.S.</p>
<p><strong>Now that you are out from under Expedia, do you have more flexibility on where you send leads that are generated from people reading reviews on TripAdvisor?</strong></p>
<p>Under Expedia, we had no obligation to send traffic to them &#8230; That never happened, and we were allowed to run independently. But at the end of the day, they [competitors] knew their marketing spend was going into Expedia&#8217;s pocket. That&#8217;s the most exciting thing. We are now completely independent. Expedia now owns no stock, so when I talk to Orbitz or Priceline, these folks can now partner with TripAdvisor without any hint of helping to fuel the competitors.</p>
<p><strong>Why the spinoff now?</strong></p>
<p>It was announced back in April, but basically there was a view that there was a class of investors that liked a pure Internet category leader and a fast-growing media company like TripAdvisor, and there&#8217;s another class that appreciates Expedia, which is in the dominant online travel agency position.</p>
<p>We were blurring the two when they were together. It gives Wall Street the opportunity to invest in either, and each company will find its own set of investors.</p>
<p><strong>Do you think Wall Street is correctly valuing TripAdvisor? (The stock failed to <a href="http://allthingsd.com/20111221/tripadvisor-dips-lower-on-first-day-of-trading/">come roaring out of the gate</a>.)</strong></p>
<p>No. But I&#8217;m not complaining. I think Wall Street, over the next couple of quarters, will appreciate how both companies perform as independent companies. The numbers have been a little hidden because they were jumbled together. &#8230; They&#8217;ve never seen TripAdvisor operate independently. They ask, &#8220;What will you do differently? How will things be the same?&#8221; Watch us, and I think you&#8217;ll like what you see.</p>
<p><strong>Will you grow mostly organically, or through M&amp;A?</strong></p>
<p>We have a good track record on acquisition and product innovation.</p>
<p>The last few acquisitions, you saw a focus on our strategic priorities: A mobile company, a social company, two vacation rental companies and a company in China. Our four key investment areas that we called out are vacation rentals, mobile, social and geographic expansion.</p>
<p><strong>In many ways, TripAdvisor was one of the original social networks, where users shared information on their vacations. Now you see Facebook getting into the space with Facebook Connect and other initiatives, too.</strong></p>
<p>Everyone feels like being able to get travel recommendations from their friends is a natural evolution for getting a better recommendation, period.</p>
<p>There&#8217;s a couple of different angles. Some social travel companies are focused on making planning a group trip easier. No site out there has scale and does that well, and we don&#8217;t do that now. Facebook is a great platform to do it on, and it may be interesting to us in the future.</p>
<p>Our focus is leveraging the friend graph on Facebook and our rich content to give someone the experience of seeing recommendations or ratings from friends.</p>
<p>We love the concept, and we are furiously building up our own product offering to make it more valuable. If it&#8217;s not too early to call someone a leader, we are clearly it, because we have the content and the friend graph. We aren&#8217;t a site that&#8217;s based on Facebook, which is an advantage, because you can do anyting you want to do on the Web or the tablet or mobile.</p>
<p><strong>What about Google moving into travel?</strong></p>
<p>They have a couple of different approaches. They have Google Places, which reviews everything; and they have Google Hotels, which is a hotel finder; and then Google Flights, to help you find the best fare.</p>
<p>With Google Places, they still can&#8217;t seem to generate enough high-quality reviews to be useful. They compete with Yelp and us, and I&#8217;ve yet to be concerned. I was concerned about Google Flights &#8212; a lot &#8212; before they launched, but you cannot book through an online travel agent like Expedia &#8212; only directly through the airlines for now.</p>
<p>It&#8217;s an incomplete product, so I still use TripAdvisor flights, or go to Expedia or Orbitz. They get better results, and maybe aren&#8217;t as fast, but more information is still better.</p>
<p>They say they want to include online travel agents, but the airlines won&#8217;t let them. &#8230; Don&#8217;t mistake my tone for being sympathetic to Google on this one.</p>
<p><strong>What about vacation rentals? HomeAway went public last year.</strong></p>
<p>After HomeAway, there&#8217;s not that much.</p>
<p>We agree it&#8217;s a great market, and it deserves to be online. It helps consumers and there&#8217;s a need to bring a trust element into the equation. Folks who have tried it have liked (renting homes), and a whole lot of people haven&#8217;t tried it, because a hotel is all they&#8217;ve ever tried.</p>
<p>If they are reading hotel reviews, but I see that you are trying to stay seven nights in Orlando, I might say, &#8220;Did you know that you might be able to save money and get a private swimming pool?&#8221; They never would have thought of that as an opportunity, but there&#8217;s lots of great opportunities in Orlando and tons of other cities.</p>
<p>HomeAway dominates the category, but there&#8217;s plenty of room for a second, third and fourth.</p>
<p><strong>I&#8217;m surprised that already three-fourths of your traffic comes from outside the U.S.</strong></p>
<p>Yes, and that portion is growing. We have offices all over the globe, and our biggest investment opportunity is in China. We purchased a metasearch site for air, hotel and train in China. We view international growth as a tailwind to the business.</p>
<p><strong>So what&#8217;s your price target for the stock? It&#8217;s currently trading around $25 a share.</strong></p>
<p>I&#8217;m looking at how I can grow the business over the long term, and that&#8217;s why we are making some of these investments. I might be ahead of it, or other folks ahead of me, but I&#8217;m a nuts-and-bolts operator. I like to build stuff, and getting TripAdvisor to the next level of functionality and awareness is my priority &#8212; not the stock price.</p>

<p>As I <a href="http://allthingsd.com/20120103/exclusive-yahoo-poised-to-name-ceo-with-ebays-paypal-head-as-top-choice/">reported late last night</a>, Yahoo said it had named PayPal President Scott Thompson as its new CEO. The exec is currently in charge of the large eBay online payments unit.</p>
<p>He&#8217;ll start next week, but there are staff conference calls today and also an all-hands meeting on Yahoo&#8217;s main Silicon Valley campus (meet at URLs, troops!) tomorrow.</p>
<p>Yahoo shares are down almost three percent on the news so far, as Wall Street has been hoping for a big sale of some sort and not another turnaround.</p>
<p>Yahoo will be holding a 7 am PT press conference about the move and presumably to swan around Thompson.</p>
<p>(Welcome, Scott! I hope you were informed &#8212; please do not listen to what co-founder Jerry Yang says on this important issue &#8212; that you are supposed to send all internal memos to <em>me</em>! Also, as one of my Twitter followers, Mike Dudas of Google <a href="https://twitter.com/#!/mdudas/status/154552407374835712">just tweeted</a>: &#8220;If Thompson leads companies as well as he grows a moustache, Yahoo made a great CEO choice!!&#8221; I concur.)</p>
<p>A Yahoo PR person confirmed the hire very cordially in a phone call early this morning and the Internet giant also put out a press release.</p>
<p>So did I, of a sort, last night. Given I am too tired to rewrite myself, <a href="http://allthingsd.com/20120103/exclusive-yahoo-poised-to-name-ceo-with-ebays-paypal-head-as-top-choice/">here is what I had reported</a>:</p>
<blockquote class="memo"><p>The company <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">fired its last CEO, Carol Bartz</a>, in September, and Yahoo has been run by the board and also by interim CEO Tim Morse, who had previously been its CFO.</p>
<p>After Bartz&#8217;s ouster, Yahoo said it was looking at a range of strategic options, including the possible sale of all or part of the company. </p>
<p>That was the focus at first, although Yahoo had simultaneously <a href="http://allthingsd.com/20111013/exlcusive-yahoo-hires-heidrick-struggles-for-ceo-search/">hired Heidrick &#038; Struggles</a> to look for a new CEO. </p>
<p>The company attracted <a href="http://allthingsd.com/20111130/yahoo-bidders-come-in-at-16-50-to-17-50-with-plan-to-keep-jerry-yang-staying-on-board/">two partial investment bids from private equity firms</a>, Silver Lake and TPG Capital, but shareholders were unhappy with the low prices of these so-called PIPE &#8212; Private Investment in Public Equity &#8212; arrangements.</p>
<p>Yahoo then moved to try to strike a tax-advantaged deal with its long disgruntled Asian partners, China&#8217;s Alibaba Group and Japan&#8217;s SoftBank, to sell back parts of the large stakes it has long owned in Alibaba and Yahoo! Japan. </p>
<p>Those <a href="http://allthingsd.com/20111223/yahoo-okays-proceeding-with-term-sheet-to-sell-stakes-back-to-asian-partners-while-also-hoping-to-keep-pe-firms-in-fray/">complex negotiations are still ongoing and look promising</a>, which could yield Yahoo billions of dollars in capital to be given to investors, for stock buybacks or to invest in new initiatives.</p>
<p>Since then, the board &#8212; long considered one of the more cloddish in tech &#8212; has turned its attention to hiring a new CEO, in the hopes of trying once again to revive its flagging fortunes.</p>
<p>Thus, it began looking to hire someone with deep tech experience at a large public consumer Internet company in Silicon Valley. </p>
<p>That narrowed the field, with Yahoo looking at a range of choices with expertise in advertising, technology platforms and more. </p>
<p>There is a lot of that on the deep bench that eBay CEO John Donahoe has assembled at the online commerce giant, including Thompson.</p>
<p>Plus, he is a genuine Internet geek.</p>
<p>According to his eBay bio, Thompson became president of PayPal in early 2008, after serving as its CTO in charge of information technology, product development and architecture.</p>
<p>Before eBay, he worked at Inovant, a subsidiary of Visa formed to oversee global technology for the organization. He was also CIO of Barclays Global Investors and has worked at Coopers and Lybrand on information technology. </p>
<p>And here&#8217;s a tasty new wrinkle: Thompson recently <a href="http://www.facebook.com/profile.php?id=609937772&#038;sk=wall">&#8220;liked&#8221; Yahoo on his Facebook page</a>, along with the decidedly more interesting Kickstarter and Splunk.</p></blockquote>

<p>Mozilla is set to announce that it has signed a new three-year agreement for Google to be the default search option in its Firefox browser.</p>
<p>It&#8217;s a critical renewal for the Silicon Valley software maker, since its earlier deal with the search giant has been a major source of revenue to date.</p>
<p>The companies said the specific terms of the commercial agreement are not being released. But, in 2010, Google contributed 84 percent of Mozilla&#8217;s $123 million in revenue.</p>
<p>A previous version of the arrangement had expired at the end of November. Mozilla <a href="http://allthingsd.com/20111205/mozilla-says-google-relationship-in-active-negotiations/">said at the time</a> that it was in &#8220;active negotiations&#8221; with Google. </p>
<p>The relationship has not been without some tension of late. Since the first search royalty deal was signed in 2008, Google&#8217;s own Chrome browser has become a significant competitor. Just last month, Chrome overtook Firefox in global usage for the first time, <a href="http://gs.statcounter.com/press/chrome-overtakes-firefox-globally-for-first-time">according to StatCounter</a>. Both browsers &#8212; software which is used to navigate the Internet &#8212; have about 25 percent market share.</p>
<p>Mozilla also has partnerships with other search providers, including Microsoft&#8217;s Bing, Yahoo, Yandex, Amazon and eBay.</p>

<p>Airbnb, the San Francisco online vacation rentals start-up, said it has hired a key former Yahoo lawyer, Belinda Johnson, as its new general counsel.</p>
<p>The legal issues at Airbnb are both interesting and challenging, all around the new arena of global sharing or, as the company calls it, &#8220;collaborative consumption.&#8221;</p>
<p>Johnson is one of several recent major hires by Airbnb, which has been adding more seasoned execs to its team of late. Other recent key Airbnb hires include Monroe Labouisse as head of trust and safety and customer service, and Vivek Wagle as head of content.</p>
<p>Johnson left Yahoo several months ago as its deputy general counsel, after a long tenure there working on a wide variety of issues. </p>
<p>Among other things, she oversaw legal strategy for Yahoo&#8217;s global products, and worked on deals like its search and advertising alliance with Microsoft. Johnson came to Yahoo from its Web 1.0 acquisition of Broadcast.com, where she had served as general counsel.</p>
<p>She attended both college and law school at the University of Texas.</p>

<p>&#8211; Samuel Beckett, &#8220;Waiting for Godot&#8221;</em></p>
<p>In Internet terms, the <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">removal of Yahoo CEO Carol Bartz</a> happened a dog&#8217;s age ago.</p>
<p>In fact, it was September 6. </p>
<p>Since then, it has felt like a slow slog, especially contrasting the situation with that of another troubled Silicon Valley giant, Hewlett-Packard,<a href="http://allthingsd.com/20110922/exclusive-whitman-expected-to-get-ceo-nod-after-markets-close-and-not-for-the-interim-either/"> which fired its CEO Léo Apotheker and appointed a new one, Meg Whitman</a> on September 22.</p>
<p>Since then, in comparison, the former eBay CEO has been like the Energizer Bunny, making a series of major and often difficult decisions, including: <a href="http://allthingsd.com/20111027/hp-will-keep-pc-division/">Holding onto its PC unit</a>; reaffirming its controversial deal to <a href="http://allthingsd.com/20111206/autonomys-mike-lynch-talks-about-being-hps-speedy-tiger-cub-video/">buy Autonomy</a>; <a href="http://allthingsd.com/20111130/whitman-webos-decision-coming-at-hp-within-two-weeks/">promising a decision</a> on the fate of its webOS unit within the next two weeks; <a href="http://allthingsd.com/20111103/hp-hires-new-evp-from-boeing-names-new-cio/">appointing new execs</a>; and even <a href="http://allthingsd.com/20111206/whoops-hp-just-bought-another-company/">buying a company</a>. </p>
<p>To be fair, Yahoo did acquire <a href="http://allthingsd.com/20111101/yahoo-buys-ad-network-interclick-for-270-million/">advertising start-up Interclick</a>. </p>
<p>Otherwise, still no sale or investment deal. No new CEO. No Asia resolution. And, perhaps most importantly, no clearly articulated strategy going forward. </p>
<p>It&#8217;s not that Yahoo&#8217;s leadership isn&#8217;t working at it. </p>
<p>Some fervently insist to me that there is a &#8220;plan,&#8221; as if there is some clever game of Internet Stratego going on that I cannot possibly grok.</p>
<p><em>Mebbe</em> &#8212; but of this I have no doubt: The Yahoo board has indeed been huffing and puffing away, weighing and measuring, considering and debating. </p>
<p><em>A lot.</em> </p>
<p>Maybe I&#8217;m just too impatient. I am (ask my kids). </p>
<p>Or maybe Yahoo&#8217;s beleaguered employees are, one of whom just wrote me plaintively, &#8220;unreal how they can drag this out,&#8221; in what has become a common refrain up and down the ranks.</p>
<p>Or maybe it&#8217;s the Asian partners, Alibaba Group and SoftBank, who are antsy and have considered a variety of nuclear options in order to get back stakes Yahoo holds in them. Said one: &#8220;The strategy seems to be to frustrate and exhaust us into submission.&#8221;</p>

<p>Or, finally, maybe it&#8217;s the newly frustrated recent bidders for a partial stake in Yahoo, Silver Lake and TPG Capital. Declared one to me after I warned that Yahoo might, in fact, drag the proceedings out longer than you might expect: &#8220;I thought you were kidding.&#8221; </p>
<p>Nope, welcome to the Yahoo waiting game, PE guys! </p>
<p>So, to help us all get through it, here&#8217;s a quick update primer on what&#8217;s what on the various fronts:</p>
<p><strong>Who&#8217;s in Charge Here?</strong></p>
<p>Technically, it is the Yahoo board, which is aided by interim CEO Tim Morse.</p>
<p>First, a word about Morse: By all accounts, he is doing a very good job as temporary head honcho &#8212; calming the troubled company, making swift decisions about daily operating issues and being a generally nice dude to deal with.</p>
<p>&#8220;He&#8217;s Yahoo&#8217;s no-drama Obama, in comparison to what was happening before,&#8221; said one exec, in reference to the more volatile regime under Bartz. </p>
<p>Still, despite his <a href="http://allthingsd.com/20110930/only-one-yahoo-fearless-leader-note-this-week-please-ignore-the-un-ignorable-rumors/">very pleasant all-hands meetings</a>, such as one earlier this week, Morse had previously been Yahoo&#8217;s CFO and not an Internet-savvy visionary to give the company inspiration. No insult intended, but he&#8217;s the accountant guy. </p>
<p>To be fair, he is not meant to be the visionary, but many at the company are yearning for exactly that.</p>
<p>A role that is now being taken up again by co-founder, former CEO and director Jerry Yang, who dozens of employees tell me is <a href="http://allthingsd.com/20110908/return-of-the-jerry-co-founder-yang-back-in-yahoo-spotlight-again-amid-all-new-turmoil-and-tensions-too/">unusually involved in operational details</a> these days for a board member. </p>
<p>I get reports of sightings of him all the livelong day: Jerry in demand-side advertising confab! Jerry chitchatting with entrepreneurs from a possible start-up acquisition! Jerry weighing in on a variety of products. Look, over in the cubicle, <em>it&#8217;s Jerry</em>! </p>
<p>This is seen by Yahoo employees as a good thing and also a bad thing, since it&#8217;s hard to be running your little divisional show at Yahoo with the dude who invented it all looking over your shoulder, even if he means well. People naturally defer to Yang, the 800-pound Web icon in the room.</p>
<p>But, given the overwhelming state of stasis at Yahoo now &#8212; &#8220;No one can do anything until we find out how the story ends,&#8221; said one staffer &#8212; and employees eying the exits, no power at Yahoo really matters but the board.</p>
<p><em>You know</em>, the board that has gotten the company to this moment of crisis and profound ennui, which is its own particularly ironic irony. </p>

<p>To better understand the power dynamics on the board, above is a little chart for you to peruse to give you an idea of which independent board member is running what key committee. </p>
<p>The only truly important one is the Transactions and Strategic Planning committee, which is headed by Intuit President and CEO Brad Smith and includes former Akamai President (and former Yahoo CEO candidate) <a href="http://allthingsd.com/20111108/with-no-yahoo-ceo-pledge-david-kenny-back-in-the-strategic-fray/">David Kenny</a>, top HP exec Vyomesh Joshi and other guy Gary Wilson.</p>
<p>And, in completely visible shadow form, Yang. Multiple sources close to the situation said he has been a key force in the strategery around a possible sale or investment. </p>
<p>This has caused not more than a little tension among board members, but everyone seems to like the much described nicest-man-in-the-room, Smith, and hopes his cool head will prevail.</p>
<p>Another important part of the board is the Nominating and Corporate Governance committee run by Patti Hart, who is energetically and simultaneously &#8212; if pointlessly &#8212; in search of a capable new Yahoo CEO.</p>
<p>Or, as I like to call this mythical person: The Unicorn.</p>
<p><strong>The Deal</strong></p>
<p>As I and many others have previously reported, there are <a href="http://allthingsd.com/20111121/nda-worthy-pe-firms-silver-lake-and-tpg-meet-with-top-yahoo-operating-execs/">bids on the table for partial investments</a> in Yahoo by two very powerful private equity firms, Silver Lake and TPG Capital.</p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/original-4/" rel="attachment wp-att-151448"><img src="http://allthingsd.com/files/2011/12/original1.png" alt="" title="original" width="450" height="300" class="alignright size-full wp-image-151448" /></a></p>
<p>It&#8217;s a PE rumble, with a side of Microsoft financial backing! (I think Silver Lake&#8217;s Egon Durban makes a very nice Riff, while Microsoft&#8217;s Steve Ballmer is the perfect Officer Krupke.)</p>
<p>My fervent wishes for some figurative and dance-accompanied knife-play aside, the bids are essentially the same in general and different in particular. Silver Lake is offering about $16.50 a share, while TPG is dangling a tiny bit more. Silver Lake has power entrepreneur and VC Marc Andreessen on its side, while TPG is trying to get Silicon Valley fave investor and start-up whisperer <a href="http://allthingsd.com/20111201/the-golden-geek-vs-the-start-up-whisperer-in-yahoo-savior-faceoff-not-yet-but-delicious-to-imagine/">Reid Hoffman</a> of Greylock Partners and LinkedIn on its team. Both have ideas on CEOs, strategy and what to do about the Asian assets.</p>
<p>This type of deal could happen suddenly and you&#8217;ll hear about it quick, since the losing side will immediately trash it to the media. </p>
<p>As you might expect, each director has their favorite PE firm, with some not liking Andreessen, some thinking the TPG bid is a little light, some for a whole-company deal and some wanting Yahoo to hire its own CEO and run the place itself.</p>
<p>Of course, the last one shows a disturbing level of denial and should be a nonstarter, given the board&#8217;s abysmal record on CEO choice and its riding of Yahoo to this sad point in its storied history. </p>
<p>Here&#8217;s what to expect on the PE front: A lot of wrangling behind the scenes with frequent leaks to the media about what each side wants and will not yield on. </p>
<p>CEO choice or no CEO choice, that is the question!</p>
<p>Also a big factor are Yahoo&#8217;s major shareholders, few of whom like the partial investment deal, which is known as a PIPE (Private Investment in Public Equity), because of the insiderness of it all and because they prefer a whole-company sale at a higher price. </p>
<p>There is also pressure from activist shareholders like <a href="http://allthingsd.com/20111104/yahoos-activist-shareholder-loeb-now-targeting-jerry-yang/">Daniel Loeb</a> of Third Point, who has attacked Yang and others on the board and is ready to pounce with a proxy fight if Yahoo tries to override shareholders too egregiously. And, of course, the inevitable lawsuits over any arrangement that seems to block a whole-company bid.</p>
<p>That said, such a mega-deal seems unlikely, since it is too pricey and despite a lot of noise that Yahoo&#8217;s Asian partners were ready to strike with a takeover in order to get back Yahoo&#8217;s big stakes in their companies.</p>

<p>That&#8217;s kind of like buying a store to get back the cool pair of shoes you sold, but bankers love to scheme up this stuff. While it certainly could happen, it would be a bear of a deal. </p>
<p>Perhaps more like Yogi Bear, hopelessly angling for a tasty pic-a-nik basket &#8212; but <em>grrrr</em> anyway.</p>
<p>But perhaps the biggest factor in all of this mishegas is <a href="http://allthingsd.com/20111123/for-yahoo-and-me-too-time-is-brain/">time</a>. There is none on a lot of levels, most especially the increasing level of brain drain and drift at Yahoo. After the New Year dawns, this is going to spin right out of control and amount to the biggest internal challenge Yahoo faces.</p>
<p><strong>An Asian Solution</strong></p>
<p>As I and others have reported, Yahoo is <a href="http://allthingsd.com/20111202/wielding-a-sword-of-damocles-yahoos-asian-partners-await-answer-on-yet-another-proposal-to-buy-back-shares/">entertaining yet another proposal</a> to sell all or part of its Asian assets back to the companies, which make up a bulk of its market valuation.</p>
<p>The relationship between Yahoo and its Asian partners has long been fraught, and today the difficulty of reaching an agreement remains a vexing issue. That&#8217;s because it is hard and complex and because no one wants to do what the other side wants.</p>
<p>I am no tax attorney, but it seems as if Yahoo will ultimately come to some deal with China&#8217;s Alibaba and Japan&#8217;s SoftBank, which could include big investors like Russia&#8217;s DST Global. </p>
<p>And, as I reported last week, the Asian partners want to strike a deal with the current board rather than lose leverage with a much cannier new owner.</p>
<p>It&#8217;s a tough decision in all aspects to strike, but would remove the focus on the fact that Yahoo&#8217;s most valuable asset is something it is not running and simply holds due to a good stock trade in years past.</p>
<p>Years past should be the operative thought here, since the Asian assets have nothing to do with what Yahoo needs to do with its core U.S. and global brand.</p>
<p>You know, the thing that allowed them to buy those lucrative Asian assets in the first place?</p>
<p><strong>Strategery</strong></p>
<p>And that&#8217;s the crux of all this, isn&#8217;t it? Yahoo needs a new strategy and fast. </p>
<p>Or it needs to clarify and hone its current strategies around advertising and media and define itself once and for all. While it often touts itself as a premier digital media company, it&#8217;s still not clear exactly what Yahoo is saying by that.</p>

<p>In fact, <em>incredibly</em>, sources told me that the board was still wrangling over the tired issue of what Yahoo is at its most recent meeting &#8212; essentially, is it a products company or a media company? </p>
<p>If I had to listen to that who-am-I-anyway debate again, I think I would scream, given how many important Web trends that Yahoo has whiffed in recent years, many of which were right in its own wheelhouse.</p>
<p>How much damage this has caused to Yahoo&#8217;s core business is a critical one to determine, with many feeling the situation is too far gone to revive it and others confident that this is simply an issue of poor execution. </p>
<p>I am in the middle on this one, but all the indicators of Yahoo&#8217;s business have long been heading in the wrong direction, and results in the next quarter are expected to underline this even more.</p>
<p>Thus, the board&#8217;s navel-gazing at this point is untoward, considering that it is presiding over the possibility of a sale that should not have had to happen in the first place. While it is not quite a fire sale, it&#8217;s no cause for celebration at all the attention, either.</p>
<p>In fact, it&#8217;s also pointless, since &#8212; if this all resolves as it should &#8212; the current Yahoo board will not be the one determining the company&#8217;s future any longer. Remember that: This group should and will be gone for the most part.</p>
<p>Yahoo shareholders and employees can hope, at least.</p>
<p>Then, it will be up to the next group of leaders to make the very hard choices &#8212; including what are likely to be massive layoffs and radical surgery on its offerings &#8212; for what&#8217;s to come next.</p>
<p>In the end, that is all that will matter. Until then, as usual, you&#8217;ll have to sit tight.</p>
