<p>While former Yahoo CEO Scott Thompson fades from the tech scene &#8212; besides <a href="http://allthingsd.com/20120513/exclusive-yahoos-thompson-out-levinsohn-in-board-settlement-with-loeb-nears-completion/">getting jacked</a> from the top job at the Silicon Valley Internet giant, he&#8217;s also just come off two tech boards he had served on &#8212; the investigation over his hiring and how a fake computer science degree got into the company&#8217;s regulatory filings continues.</p>
<p>While the quick-fire controversy burned Thompson, as well as <a href="http://allthingsd.com/20120508/exclusive-yahoo-director-in-charge-of-botched-ceo-vetting-to-step-down-from-board/">now former Yahoo director Patti Hart</a>, the special committee of independent board members is still at work trying to figure out how such a mess was made in the first place.</p>
<p>And, more importantly, who knew what when and told whom.</p>
<p>At the time the <a href="http://allthingsd.com/20120503/yahoos-board-will-review-resume-discrepancy-of-ceo/">committee was announced</a>, Yahoo said it would &#8220;conduct a thorough review of CEO Scott Thompson&#8217;s academic credentials, as well as the facts and circumstances related to the review and disclosure of those credentials in connection with Thompson&#8217;s appointment as CEO.&#8221;</p>
<p>The special committee is chaired by Yahoo&#8217;s new Chairman Fred Amoroso and includes John Hayes and Thomas McInerney, two independent directors who joined the board in April.</p>
<p>Yahoo also hired independent counsel Terry Bird of the law firm Bird, Marella, Boxer, Wolpert, Nessim, Drooks and Licenberg in Los Angeles to handle the inquiry. </p>
<p>The company also noted at the time that &#8220;the special committee and the entire Board appreciate the urgency of the situation and the special committee will therefore conduct the review in an independent, thorough and expeditious manner. The Board intends to make the appropriate disclosures to shareholders promptly upon completion of the review.&#8221;</p>
<p>Gripped by urgency myself, I have grown weary waiting by the phone for some official answers, which sources said will not be forthcoming for some time. </p>
<p>But since I am the most curious of cats &#8212; <em>uh-oh!</em> &#8212; I started dialing around on my own to find out what&#8217;s what.</p>
<p>And, according to sources &#8212; especially since Thompson has settled with Yahoo and will not get severance due to the academic falsehood &#8212; the big focus is now centering on if the company&#8217;s staff screwed up the background check of his academic credentials, thus allowing it to get into its official filings with the Securities and Exchange Commission and also on Yahoo&#8217;s corporate Web site.</p>
<p>When Thompson was hired from eBay, where he was president of its PayPal payments division, the online commerce company had the correct bio information in its SEC filings, although not on its Web site or in its PR materials.</p>
<p>The question is: Did someone from Yahoo simply rely on Web bios and not check eBay filings and did anyone ever re-check Thompson&#8217;s college records? (Note: It took me 15 minutes flat to find out he did not have such a degree at Stonehill College in the Boston area.)</p>
<p>If lazy checking was the case, it spells rank incompetence on the part of staffers, as well as Hart, who headed the search after Yahoo fired its previous CEO Carol Bartz last fall.</p>
<p>A much more troubling line of inquiry taking place is aimed at the possibility that someone at Yahoo <em>did</em> discover the discrepancy in Thompson&#8217;s resume and either did not report it up the chain of command or did and it was either lost or ignored or, <em>well</em>, worse. </p>
<p><a href="http://allthingsd.com/20120522/former-ceo-thompson-might-be-gone-but-investigation-into-resumess-still-a-hot-potato-at-yahoo/imgres-83/" rel="attachment wp-att-210919"><img src="http://allthingsd.com/files/2012/05/imgres2.jpeg" alt="" title="imgres" width="254" height="198" class="alignleft size-full wp-image-210919" /></a></p>
<p>While this certainly ain&#8217;t Watergate, such a situation would be very hard for Yahoo to explain away as easily to shareholders, especially potentially litigious ones. As it is always said, the coverup can often be more damaging than the crime itself.</p>
<p>And, if it is determined by the special committee that certain employees knew of Thompson&#8217;s resume inaccuracy, it will most certainly result in dismissals of Yahoo employees. </p>
<p>The focus on the committee &#8212; which truly cannot sweep this under the rug, if it occurred in this much more serious scenario &#8212; is most obviously the legal department of Yahoo, which is responsible for making certain filings are accurate.</p>
<p>Also under scrutiny is the quickness of the hiring of Thompson.</p>
<p>Among the questions is how much vetting was done and whether adequate questions about him were asked among a variety of possible sources.</p>
<p>When he was picked in January, Thompson was a dark-horse candidate for many, including some Yahoo board members. </p>
<p>In fact, he was not on the initial headhunting lists prepared by outside talent search firm Heidrick &#038; Struggles. </p>
<p>That&#8217;s because Heidrick had placed Thompson at eBay in mid-2000 and could not then recommend him to Yahoo. As it turned out, Thompson took it upon himself to cold email Yahoo board member and Intuit CEO Brad Smith about the job, who then passed Thompson&#8217;s interest to Hart.</p>
<p>Heidrick had no involvement in the checking of Thompson, although he later blamed the firm in a public meeting with Yahoo employees for putting the error in his bio in the first place from when he was hired at eBay. Heidrick quickly called the accusation <a href="http://allthingsd.com/20120511/heidrick-struggles-slaps-back-at-thompsons-yahoo-in-blame-game/">&#8220;verifiably not true&#8221;</a> in a memo to its own employees.</p>
<p>Sources said that meant that the firm had a resume that Thompson had submitted to it that also contained the error. </p>
<p>But the central mystery of how that mistake appeared on his bio will likely remain just that without further explanation from Thompson. </p>
<p>In a radio interview in 2009, he <a href="http://allthingsd.com/20120503/in-2009-interview-yahoo-ceo-does-not-deny-he-has-a-cs-degree-and-calls-himself-an-engineer/">did not correct a specific question</a> about the twin degrees he appeared to have held and seemed to even agree with the show&#8217;s host, Moira Gunn, about them. </p>
<p>Later, she <a href="http://allthingsd.com/20120509/technations-gunn-says-she-and-yahoo-ceo-talked-about-their-cs-degrees-before-2009-show-video-and-audio/">told me in a video interview</a> that Thompson had clearly indicated to her in the prep for that interview that he indeed had a computer science degree.</p>
<p>Still, it is still not clear &#8212; and may never be &#8212; who put the faux computer science credential on his resume in the first place.</p>
<p>So, with all apologies to Winston Churchill: It might remain a riddle wrapped in a mystery inside an enigma.</p>

<p>As I reported earlier today, former Yahoo Scott Thompson left the Silicon Valley Internet giant with no severance.</p>
<p>The reason for the agreement was that the company was claiming &#8220;cause&#8221; for the parting, due to a fake computer science degree on his resume, as well as other issues that were raised from the controversy.</p>
<p>Yahoo said in filing today:</p>
<p>&#8220;Yahoo! and Mr. Thompson agreed to terminate all other agreements between them, including Mr. Thompson&#8217;s offer letter, all outstanding but not fully vested equity awards and Yahoo!&#8217;s other plans and arrangements for the benefit of employees, with no severance compensation.&#8221;</p>
<p>The former president of eBay&#8217;s PayPal payments unit will get &#8220;Make-Whole&#8221; cash bonus and already vested restricted stock units related to him leaving that job in January to become the CEO of Yahoo.</p>
<p>That totals about $7 million. </p>
<p>Here is the pertinent part of its just-filed document:</p>
<blockquote class="memo"><p>Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.</p>
<p>(a) Resignation of Chief Executive Officer</p>
<p>Effective May 12, 2012, Scott Thompson resigned as Yahoo!&#8217;s Chief Executive Officer and President, as a member of the Board, and from all other positions with Yahoo!. Yahoo! entered into a separation agreement, dated May 12, 2012 (the &#8220;Separation Agreement&#8221;), with Mr. Thompson to memorialize the parties&#8217; mutual desire to separate employment. The Separation Agreement provides, among other things:</p>
<p>• Mr. Thompson resigned from his position as Yahoo!&#8217;s Chief Executive Officer and all other positions he had with Yahoo!&#8217;s subsidiaries and affiliates, including as a director of Yahoo!.</p>
<p>• Yahoo! and Mr. Thompson agreed to terminate all other agreements between them, including Mr. Thompson&#8217;s offer letter, all outstanding but not fully vested equity awards and Yahoo!&#8217;s other plans and arrangements for the benefit of employees, with no severance compensation. However, in accordance with the terms of his offer letter, Mr. Thompson retained the make-whole cash bonus previously paid to him under his offer letter and the make-whole restricted stock units that had been granted to him pursuant to his offer letter and that had already vested.</p>
<p>• The parties reiterated their obligations with regard to disparagement under Mr. Thompson&#8217;s offer letter, providing that Mr. Thompson not knowingly disparage Yahoo! or its officers, directors, employees or agents in any manner likely to be harmful to their respective business, business reputation or personal reputation, and that Yahoo! instruct its Chairman, certain employees and executive officers not to knowingly disparage Mr. Thompson in any manner likely to be harmful to his business, business reputation or personal reputation other than in the good-faith performance of their duties to Yahoo! or in connection with their fiduciary duties to Yahoo! and applicable law.</p>
<p>• Yahoo! and Mr. Thompson agreed to a mutual release of claims related to Mr. Thompson&#8217;s employment and other relationships with, and the termination of Mr. Thompson’s employment and other relationships with, Yahoo! and Yahoo!&#8217;s affiliates, provided, that such release by Yahoo! does not apply to any liability arising out of any intentional and wrongful act by Mr. Thompson.</p>
<p>• Certain of Mr. Thompson&#8217;s obligations, such as those in relation to intellectual property and confidentiality, remained in effect.</p>
<p>The foregoing summary of the Separation Agreement does not purport to be complete and is subject to, and qualified in its entirety by, the full text of the Separation Agreement, which is attached as Exhibit 99.02 and incorporated herein by reference.</p></blockquote>
<p>And here is the full separation agreement:</p>
<blockquote class="memo"><p><strong>SEPARATION AGREEMENT</strong></p>
<p>This Separation Agreement (this &#8220;Agreement&#8221;) memorializes the parties&#8217; mutual desire to separate, leading to the termination of employment with Yahoo! Inc. (&#8220;Yahoo!&#8221; or the &#8220;Company&#8221;).</p>
<p>1. Separation. Your last day of work with the Company and your employment termination date was May 12, 2012 (the &#8220;Separation Date&#8221;). To the extent you have not previously done so as of the Separation Date, you hereby resign from your position as the Chief Executive Officer of the Company and from any and all offices you have with the Company&#8217;s subsidiaries and/or affiliates, including the Company&#8217;s Board of Directors or any fiduciary or other committee with respect to any benefit plan of the Company or any of the Company&#8217;s subsidiaries and/or affiliates. You shall execute such additional documents as requested by the Company to evidence the foregoing. After the Separation Date, you shall not represent yourself as being an officer, director or employee of the Company or a fiduciary of any such benefit plan for any purpose.</p>
<p>2. Accrued Amounts. Yahoo! will pay you all Accrued Amounts (as defined below), subject to payroll deductions and required withholdings. You are entitled to these payments regardless of whether or not you sign this Agreement. Accrued Amounts means any accrued but unpaid base salary through date of termination paid in accordance with normal payroll practices, unreimbursed business expenses incurred prior to the date of termination paid in accordance with Company policies, and accrued but unused vacation time through the date of termination due in accordance with Company plans and policies. With respect to reimbursement for business expenses incurred prior to termination of your employment, you agree that, within thirty (30) days following the Separation Date, you will submit your final expense reimbursement statement and required documentation reflecting all business expenses you incurred through the Separation Date, if any, for which you seek reimbursement. For a copy of the Yahoo! expense form, please email payroll-perations@yahoo-inc.com. You should submit completed expense reports and receipts to the Expense Report Department at Yahoo!, 701 First Avenue, Sunnyvale, California 94089.</p>
<p>3. Consideration for this Agreement. Except as provided in Section 9 below, you and Yahoo! mutually agree to terminate any and all other contracts or agreements, including but not limited to the Offer Letter, and rights under all pension, welfare, equity and fringe plans, programs, awards, arrangements, and payroll practices; provided, however, that nothing in the Agreement requires you to repay or return to Yahoo! the Make-Whole Cash Bonus previously paid to you and the Make-Whole Restricted Stock Units that already have vested. Therefore, except as provided in this Agreement, this Separation Agreement supersedes and supplants any and all rights, claims, benefits and defenses you or the Company would otherwise enjoy or be entitled to assert pursuant to your Offer Letter or any other document previously executed relating to your employment with the Company.</p>
<p>4. Tax Matters.</p>
<p>a. Withholding. Yahoo! will withhold required federal, state and local taxes from any and all payments of the Accrued Amounts and make all tax reporting it determines it should make based on this Agreement.</p>
<p>b. Responsibility for Taxes. Other than Yahoo!’s obligation and right to withhold federal, state and local taxes and to pay the employer portion of FICA and FUTA, you will be responsible for any and all taxes, interest, and penalties that may be imposed with respect to the payments previously made or contemplated by this Agreement (including, but not limited to, those imposed under Internal Revenue<br />
Code Section 409A).</p>
<p>5. Health Care Coverage. Nothing in this Agreement affects your right to timely elect and purchase at your own expense healthcare coverage under COBRA as provided by law.</p>
<p>6. Invention and Assignment to Yahoo!. You agree to perform promptly, all acts deemed necessary or desirable by Yahoo! to permit and assist it, at its expense, in obtaining and enforcing the full benefits, enjoyment, rights and title throughout the world in all intellectual property assigned to Yahoo! pursuant to your Employee Confidentiality and Assignment of Inventions Agreement(s) or similar agreement(s) including, but not limited to, disclosing information, executing documents and providing reasonable assistance or cooperation in legal proceedings.</p>
<p>7. Return of Company Property. Promptly after the Separation Date, you agree to return to Yahoo! all hard copy and electronic documents (and all copies thereof) and other property belonging to Yahoo!, its subsidiaries and/or affiliates that you have had in your possession at any time, including, but not limited to, files, notes, notebooks, correspondence, memoranda, agreements, drawings, records, business plans, forecasts, financial information, specifications, computer-recorded information, tangible property (including, but not limited to, computers, PDAs, pagers, telephones, credit cards, entry cards, identification badges and keys), and any materials of any kind that contain or embody any proprietary or confidential information of the Company, its subsidiaries or affiliates (and all reproductions thereof in whole or in part). If you discover after the Separation Date that you have retained any proprietary or confidential information (including, but not limited to, proprietary or confidential information contained in any electronic documents or e-mail systems in your possession or control), you agree immediately upon discovery to send an email to IPQuestionsSeparations@yahoo-inc.com and inform Yahoo! of the nature and location of the proprietary or confidential information that you have retained so that Yahoo! may arrange to remove, recover, and/or collect such information.</p>
<p>8. Ongoing Obligations.</p>
<p>a. Intellectual Property and Proprietary Information. You acknowledge your continuing obligations under your Employee Confidentiality and Assignment of Inventions Agreement(s), the Offer Letter or any other agreement(s) signed thereafter containing restrictive covenants (collectively &#8220;NDAs&#8221;), including your obligation not to use or disclose any confidential or proprietary information of the Company, its subsidiaries or affiliated entities, not to solicit Yahoo! employees and, to the extent permitted by applicable law, not to solicit customers and not to compete with the Company, its subsidiaries or affiliated entities while you are employed, as specified in your NDAs. <p>b. Nondisparagement. You agree, for five years after your employment with the Company terminates, not to knowingly disparage the Company or its officers, directors, employees or agents in any manner likely to be harmful to it or them or its or their business, business reputation or personal reputation. The foregoing shall not be violated by statements that are truthful, complete and made in good faith in required responses to legal process or governmental inquiry. You agree that any breach of this nondisparagement provision shall be a material breach of this Agreement. The Company will instruct its Chairman, the chief Yahoos, and the named executive officers of the Company, other than in the good-faith performance of their duties to the Company or in connection with their fiduciary duties to the Company and applicable law, for a period of five years following your employment has terminated, not to knowingly disparage you in any manner likely to be harmful to you or your business reputation or personal reputation. The foregoing shall not be violated by statements which are truthful, complete, and made in good faith in required response to legal process or governmental inquiry.</p>
<p>9. Release of Claims. In consideration for, and as a condition of the payments and benefits provided to you pursuant to this Agreement, you hereby generally and completely release the Company and its directors, officers, employees, shareholders, partners, agents, attorneys, predecessors, successors, parent and subsidiary entities, insurers, affiliates, and assigns (collectively &#8220;Released Party&#8221;) from any and all claims, liabilities and obligations, both known and unknown, that arise out of or are in any way related to events, acts, conduct, or omissions occurring at any time prior to and including the date you sign this Agreement and which arise out of or are in any way related to your employment or other relationship, or termination of such employment or other relationship, with the Company or any of the Company&#8217;s subsidiaries and/or affiliates, including but not limited to: (1) all claims related to your compensation or benefits from the Company, including wages, salary, bonuses, commissions, vacation pay, expense reimbursements (to the extent permitted by applicable law), severance pay, fringe benefits, stock, stock options, or any other ownership interests in the Company; (2) all claims for breach of contract, wrongful termination, and breach of the implied covenant of good faith and fair dealing; (3) all tort claims, including without limitation claims for fraud, defamation, emotional distress, and discharge in violation of public policy; and (4) all federal, state, and local statutory claims, including without limitation claims for discrimination, harassment, retaliation, attorneys&#8217; fees, or other claims arising under the federal Civil Rights Act of 1964 (as amended), the federal Americans with Disabilities Act of 1990, the federal Age Discrimination in Employment Act of 1967 (as amended) (&#8220;ADEA&#8221;), the federal Worker Adjustment and Retraining Notification Act (as amended) and similar laws in other jurisdictions, the Employee Retirement Income Security Act of 1974 (as amended), the Family and Medical Leave Act of 1993, and the California Fair Employment and Housing Act (as amended) and similar laws in other jurisdictions; provided, however, that nothing herein shall (i) release the Company from any claims arising from or by reason of any breach by the Company of this Agreement; or (ii) interfere with your rights, if any, to indemnification or director’s and officer&#8217;s liability insurance coverage provided to you by any agreement with the Company or any provision or any By-Law of the Company or application of law. To the maximum extent permitted by law, you also promise never directly or indirectly to bring or participate in an action against any Released Party under California Business &#038; Professions Code Section 17200 or under any other unfair competition law of any jurisdiction. If, notwithstanding the above, you are awarded any money or other relief under such a claim, you hereby assign the money or other relief to the Company. Your waiver and release specified in this paragraph do not apply to any rights or claims that may arise after the date you sign this Agreement.</p>
<p>This Agreement includes a release of claims of discrimination or retaliation on the basis of workers&#8217; compensation status, but does not include workers&#8217; compensation claims. Excluded from this Agreement are any claims which by law cannot be waived in a private agreement between employer and employee. You have the right to file a charge with or participate in an investigation conducted by the Equal Employment Opportunity Commission (&#8220;EEOC&#8221;) or any state or local fair employment practices agency, however, you waive any right to any monetary recovery or other relief should the EEOC or any other agency pursue a claim on your behalf. The Company releases you from all claims to the same extent that you release it, and nothing in this Agreement shall be deemed to apply to any liability arising out of any intentional and wrongful act by you.</p>
<p>10. Representations.</p>
<p>a. You acknowledge and agree that you have not been denied any rights including, but not limited to, rights to a leave or reinstatement from a leave under the Family and Medical Leave Act of 1993, the Uniformed Services Employment and Reemployment Rights Act of 1994, or any similar law of any jurisdiction. You represent that your age was not the basis for any Company decision or action affecting you, and acknowledge that the Company relied on that representation in entering into this Agreement.</p>
<p>b. You acknowledge and agree that the benefits provided under this Agreement are in full discharge of any and all liabilities and obligations of the Company and/or any of the Company&#8217;s subsidiaries and/or affiliates to you, monetarily or otherwise, including but not limited to any and all obligations arising under the Offer Letter and any other alleged written or oral employment or consulting agreement, policy, plan or procedure of the Company and/or any alleged understanding or arrangement between you and the Company and/or any of the Company&#8217;s subsidiaries and/or affiliates.</p>
<p>c. You acknowledge and agree that by virtue of the foregoing Release, you have waived any relief available to you (including without limitation, monetary damages, equitable relief and reinstatement) under any of the claims and/or causes of action waived in this Agreement. Therefore, you agree that you will not accept any award or settlement from any source or proceeding (including but not limited to any proceeding brought by any other person or by any government agency) with respect to any claim or right waived in this Agreement.</p>
<p>11. Release of Unknown Claims. You and the Company acknowledge having read and understanding Section 1542 of the California Civil Code: &#8220;A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.&#8221; You and the Company hereby expressly waive and relinquish all rights and benefits under that section and any law of any jurisdiction of similar effect with respect to the release of any unknown or unsuspected claims.</p>
<p>12. Miscellaneous. This Agreement constitutes the complete, final and exclusive embodiment of the entire agreement between you and the Company with regard to this subject matter. It is entered into without reliance on any promise or representation, written or oral, other than those expressly contained herein, and it supersedes any other such promises, warranties or representations. This Agreement may not be modified or amended except in a writing signed by both you and a duly authorized officer of Yahoo!. This Agreement will bind the heirs, personal representatives, successors and assigns of both you and the Company, and inure to the benefit of both you and the Company, their heirs, successors and assigns. If any provision of this Agreement is determined to be invalid or unenforceable, in whole or in part, this determination will not affect any other provision of this Agreement and the provision in question will be modified by the court so as to be rendered enforceable. This Agreement will be deemed to have been entered into and will be construed and enforced in accordance with the laws of California without regard to the principles of conflicts of law.</p>
<p>13. No Admission; Rules of Construction.</p>
<p>a. This Agreement is not intended, and shall not be construed, as an admission that any Released Party has violated any federal, state or local law (statutory or decisional), ordinance or regulation, breached any contract or committed any wrong whatsoever against you.</p>
<p>b. Should any provision of this Agreement require interpretation or construction, it is agreed by the parties that the entity interpreting or construing this Agreement shall not apply a presumption against one party by reason of the rule of construction that a document is to be construed more strictly against the party who prepared the document.</p>
<p>14. Counterparts: This Agreement may be signed in counterparts, each of which shall be an original with the same effect as if the signatures thereto and hereto were upon the same instrument. Delivery of copies of an executed document shall be deemed a valid delivery of an executed Agreement.</p>
<p>If this Agreement is acceptable to you, please sign below on or after the Separation Date and return the original to David Windley at 701 First Avenue, Sunnyvale, California 94089.</p>

<p>Yahoo&#8217;s embattled CEO Scott Thompson (pictured here) is set to step down from his job at the Silicon Valley Internet giant, in what will be dramatic end to a controversy over a fake computer science degree that he had on his bio, according to multiple sources close to the situation.</p>
<p>The pair will apparently say he is departing for &#8220;personal reasons.&#8221; Sources said that Thompson will be claiming to be leaving due to a serious illness that he recently discovered he had.</p>
<p>But the evolving crisis &#8212; which is just over a week old &#8212; centered on his botched resume and how he handled the thorny issue is the key reason for the abrupt end to his tenure as a CEO.</p>
<p>Thompson&#8217;s likely replacement on an interim basis will be Yahoo&#8217;s global media head <a href="http://pressroom.yahoo.net/pr/ycorp/ross-levinsohn.aspx">Ross Levinsohn</a>, who most recently also ran its Americas unit, including its advertising sales. </p>
<p>In addition to the management upheaval, Yahoo&#8217;s board is closing in on a settlement with the man who discovered Thompson&#8217;s misstep, activist shareholder Daniel Loeb of Third Point, said sources.</p>
<p>The situation could change, since Yahoo&#8217;s full board still has to meet this morning to officially approve the sweeping changes at the long-troubled company.</p>
<p>But, if it is, this development goes a long way toward fixing some of what has been ailing Yahoo recently.</p>

<p>And it&#8217;ll also be a stunning victory for Loeb (pictured here), since the pugnacious hedge fund investor is set to get three board seats from a slate proposed by him as part of a proxy fight aimed at Yahoo. The new Yahoo directors will be media exec Michael Wolf and turnaround specialist Harry Wilson. Loeb&#8217;s fourth selection &#8212; former NBC head Jeff Zucker &#8212; will withdraw.</p>
<p>The five current Yahoo directors &#8212; who were to step down at the company&#8217;s annual meeting this summer &#8212; will leave the board effective immediately, sources said, to make way for the Third Point selections.</p>
<p>Finally, Yahoo&#8217;s recently added director Fred Amoroso will be named chairman of the board. </p>
<p>Amoroso is the director who has been conducting the investigation into the issues raised by Loeb about how the fake academic credentials got in Thompson&#8217;s public bios, as well as in Yahoo&#8217;s regulatory filings, and also the hurried circumstances around his hiring in January.</p>
<p>Those mysteries &#8212; read, <em>screw-ups</em> &#8212; might never be solved now, although Thompson made a convoluted attempt to explain it all in two awkward employee meetings at the end of last week. In those gatherings, according to numerous sources, he blamed a headhunting firm for introducing the mistake when he was being hired for a job at eBay in the mid-2000 timeframe.</p>
<p>That company, Heidrick and Struggles, slapped back last week with an internal memo, noting that Thompson&#8217;s claim was &#8220;verifiably not true.&#8221; Sources said that Heidrick told Yahoo&#8217;s board that it was in possession of a resume that Thompson had apparently submitted showing the inaccurate CS degree on it.</p>
<p>That memo, impugning Thompson&#8217;s credibility, was one of many that piled on to create an impossible situation for the Yahoo board, related to his leadership ability going forward.</p>
<p>Thompson had also previously issued a Yahoo statement, in which he apologized for the &#8220;distraction&#8221; caused by the problematic resume, but not for the mistake itself.</p>
<p>And, initially, Yahoo &#8212; under his direction &#8212; had called the borked resume an &#8220;inadvertent error.&#8221;</p>
<p>Such fumbling to fix the situation was among the many other issues that the board has been considering relating the ability of Thompson to remain in his job. Also of importance was the sinking morale of Yahoo employees, who had largely rejected Thompson&#8217;s excuses in the ResuMess scandal.</p>
<p>Internal message boards at Yahoo lit up all last week, with staffers largely rejecting his explanations. In addition, a number of top execs and engineers approached the board calling for Thompson&#8217;s firing.</p>
<p>While that&#8217;s not precisely what happened here, it&#8217;s close enough to describe Thompson&#8217;s departure as inevitable. </p>

<p>All this change comes in the wake of a massive restructuring he was in the midst of at Yahoo, after 2,000 employee layoffs.</p>
<p>Thompson was pushing forward a vision of adding a much more significant data and commerce element to Yahoo&#8217;s largely ad-based business. </p>
<p>That is likely to be less stressed under media-focused Levinsohn, who will be essentially trying out to be the permanent CEO.</p>
<p>Well known in the media and advertising communities, he has worked at a number of big online efforts over many years. </p>
<p>According to his bio at Yahoo, where he <a href="http://allthingsd.com/20101027/its-now-official-yahoo-hires-ross-levinsohn-to-head-key-americas-unit/">arrived in 2010</a>:</p>
<blockquote class="memo"><p>He previously served as the President of News Corporation&#8217;s Fox Interactive Media, where he was responsible for the day-to-day operations, strategy and acquisitions that helped transformed the company into a leader in digital media. He also held senior management positions with AltaVista, an early pioneer and leader in search, CBS Sportsline where he oversaw all content and development for the top rated sports site, and HBO where he launched and oversaw a unit developing new programming and revenue streams. Levinsohn also was the co-founder and managing director of Fuse Capital, an investment and strategic equity management firm focused on investing in and building digital media and communications companies.  </p>
<p>Levinsohn sits on the board of Freedom Communications and the Bogart Pediatric Cancer Research Program. He holds a Bachelor of Arts in Communications from The American University.</p></blockquote>
<p>So far in my checking, Levinsohn&#8217;s resume is accurate. </p>

<p>And <a href="http://allthingsd.com/20120511/is-he-in-or-is-he-out-crunchtime-for-scott-thompson-at-yahoo/">it just gets worse</a> in the controversy over Yahoo CEO Scott Thompson and the circumstances around how a fake computer science degree could get onto his bio.</p>
<p>Heidrick &#038; Struggles is smacking back at him for insinuating that the well-known headhunting firm had messed up his resume.</p>
<p>In <a href="http://allthingsd.com/20120510/not-so-scott-free-yahoos-other-big-shareholder-cap-re-leaning-toward-supporting-loeb-over-thompson-resumess/">meetings with employees</a> to attempt to explain the situation yesterday, multiple sources said that Thompson claimed that a mistake made by a headhunting firm in mid-2000, when he was moving to a job at eBay, was the way the inaccuracy got into his bio.</p>
<p>Thompson did not name the firm, but he was clearly referring to Heidrick &#038; Struggles, which handled that placement. It was also working on the Yahoo CEO search, after the Silicon Valley Internet giant fired its former CEO Carol Bartz last fall.</p>
<p>But, because it had originally placed Thompson at eBay, the firm did not work on his hiring at Yahoo.</p>
<p>So, Heidrick was not going to take Thompson&#8217;s blame for the botched bio. </p>
<p>&#8220;While we were not involved in this placement, there have been both direct and indirect mentions of this relationship in several news articles. Furthermore, if recent media reports are accurate, the CEO of Yahoo! has made potentially damaging allegations about our firm that are simply not true and cannot be allowed to stand in the public record,&#8221; wrote CEO Kevin Kelly to staff. &#8220;The media articles in question have indicated that the Yahoo! CEO told members of his senior staff that, many years ago, a junior member of our firm invented an academic credential for him in the course of preparing standard profile materials. Based on information in our possession, this allegation is verifiably not true and we have notified Yahoo! to that effect.&#8221;</p>
<p>This letter is just another brick in what is looking like an insurmountable wall for Thompson to keep his job at Yahoo. Sources said that the board of Yahoo had been sent a letter from Heidrick on the matter earlier today.</p>
<p>And, let me just say, this latest eruption is simply not good for Thompson&#8217;s chances to remain CEO for much longer. </p>
<p>Yahoo declined to comment, but here is the full letter from Kelly to its staff:</p>

<p>Even as Yahoo&#8217;s board was kibitzing all weekend about how to handle the continuing resume-padding controversy around its recently hired CEO Scott Thompson &#8212; including hiring its own outside crisis communications firm to represent it &#8212; he was working the phones to keep top staff apprised of the evolving situation.</p>
<p>While Thompson told those he spoke to that he was limited in what he could say and blamed a &#8220;personal vendetta&#8221; by an activist shareholder for his troubles, being proactive in this regard is probably a good idea. </p>
<p>That&#8217;s because multiple sources said he said <a href="http://allthingsd.com/20120502/all-of-yahoos-top-execs-gather-today-to-talk-strategery-about-what-stays-and-what-goes/">exactly nothing</a> in various strategy meetings with top employees last week about allegations leveled by Dan Loeb of Third Point, which proved correct, that <a href="http://allthingsd.com/20120503/dan-loeb-alleges-discrepancies-on-yahoo-ceo-scott-thompsons-resume-related-to-computer-science-degree/">Thompson had not gotten a computer science degree in college</a>, as his longtime bio had claimed.</p>
<p>&#8220;It was the gorilla in the room and it was awkward in the extreme,&#8221; said one exec present at the meetings. &#8220;He never brought it up, which was even worse.&#8221;</p>
<p>At this point, it seems unlikely that Thompson can regain the confidence of many at Yahoo &#8212; even though a company spokeswoman said he received a lot of incoming support too, both externally and internally &#8212; until he can render some cogent explanation about how the borked bio got into both Yahoo&#8217;s public site and also its more critical regulatory filings. </p>
<p>Even more mysteriously, how the error was never present in filings with the Securities and Exchange Commission made by eBay, where Thompson led its PayPal payments unit, although his public eBay bio has also been wrong for close to a decade.</p>
<p>And, most of all, how was it that Thompson never caught the mistake himself &#8212; <a href="http://allthingsd.com/20120503/in-2009-interview-yahoo-ceo-does-not-deny-he-has-a-cs-degree-and-calls-himself-an-engineer/">even when directly asked about it</a> &#8212; despite the likelihood of reviewing it multiple times over those many years and ultimately certifying it for Yahoo&#8217;s own SEC filings. </p>

<p>Calling Encyclopedia Brown to solve the Case of the Computer Science Degree That Wasn&#8217;t!</p>
<p>Thompson has given no explanation about the debacle to the bulk of the Yahoo staff at all levels, save for an <a href="http://allthingsd.com/20120504/yahoos-thompson-speaks-asks-employees-to-stay-focused-except-not-on-him-memo/">information-free and terse note to employees</a> on Friday afternoon that essentially asked them to focus on their work instead of his bizarre crisis.</p>
<p>Unfortunately for him, many Yahoos are focusing a lot on Thompson, with message boards at the Silicon Valley Internet chastising their CEO and giving him support that is tepid at best. From interviews I have had with two dozen employees this weekend, to say morale is at an all-time low is perhaps understating the situation. </p>
<p>Here is a short selection of comments that were read to me, for example:</p>
<blockquote class="memo"><p><em>&#8220;Resume padding is one thing, but lying about something that is so easy to check is puzzling.&#8221;</p>
<p>&#8220;There is no reason to let it slide by &#8230; This isn&#8217;t some guy who&#8217;s trying to impress a date &#8230; It&#8217;s sad that we just accept this kind of stuff from corporate heads and politicians.&#8221;</p>
<p>&#8220;Having some document to prove you can do a job is not all that important, lying about it is.&#8221;</em></p></blockquote>
<p>What appears to trouble employees the most in the threads I was read was the nonchalance of the initial Yahoo statement about the issue, which called the addition of a fake degree on Thompson&#8217;s bio an <a href="http://allthingsd.com/20120503/yahoos-response-on-computer-science-resumegate-inadvertent-error/">&#8220;inadvertent error.&#8221;</a></p>
<p>&#8220;From a pure employee perspective, it feels like it is a violation of their principles,&#8221; said one person, reflecting a dozen or more conversations I had this weekend up and down the organization. &#8220;And anyone else would probably be immediately fired for this, even with an explanation.&#8221;</p>
<p>Said another: &#8220;He clearly knew and lied for years; and his handling since exposed has been unacceptable.&#8221;</p>

<p>As I noted above, a company spokeswoman said there was also much support for Thompson (pictured here) within the company, but declined to provide any quotes or details.</p>
<p>Presumably, some answers will be coming from a board investigation aimed at getting to the bottom of the situation, including trying to grok who put the error in the bio in the first place.</p>
<p>My bet: They&#8217;ll try to pin it on a lower-level minion, although that will not fly with a lot of people.</p>
<p>Including me, because whoever typed in the faux degree, its presence there has been too long for Thompson not to be responsible for it.</p>
<p>Flunky error or not, there are important questions about whether Thompson himself provided a bio that contained the inaccuracy to the board when he put himself forth for the job via direct emails to Yahoo director and Intuit CEO Brad Smith.</p>
<p>That line of thought basically boils down to: Can Thompson not <em>read</em>?</p>
<p>More problematic is the fact that the placement did not come via Yahoo&#8217;s headhunter on the CEO search, Heidrick &#038; Struggles, which apparently was not charged with doing a background check on Thompson.</p>
<p>Instead, the director in charge of the search, Patti Hart, sources said, hired another forensic firm, which appears to have missed Thompson&#8217;s erroneous academic record.</p>
<p>The only thing completely clear amidst all the confusion: Hart screwed up by botching an extremely simple part of a vetting she was charged with. That makes her vulnerable, of course, along with other Yahoo board members or staffers closely involved in the talent search.</p>

<p>While Hart (pictured here) is in a much dicier position, Thompson still appears to have initial board backing &#8212; at least for <em>today</em> &#8212; as it&#8217;d be a very tough call to fire yet another CEO so quickly in the middle of several key deals for Yahoo, as well as a proxy fight. </p>
<p>Said one person close to the situation, the board is still considering its &#8220;options,&#8221; in an effort that is being led by independent board member Fred Amoroso.</p>
<p>So, it will be instructive to see how the board will proceed tomorrow &#8212; especially since it is likely that <a href="http://allthingsd.com/20120506/yahoo-should-expect-incoming-lawsuit-lobbed-by-loeb-tomorrow-on-ceo-hiring/">Loeb will lob a lawsuit</a> to try to get more information on the Thompson hiring process.</p>
<p>But it&#8217;s started by hiring its own outside communications firm, Sard Verbinnen, which has handled other crises for Yahoo in the past. </p>
<p>Sard&#8217;s Charles Sipkins &#8212; <em>welcome back, Charlie!</em> &#8212; had no comment about the board&#8217;s next move, except to <a href="http://allthingsd.com/20120503/yahoos-board-will-review-resume-discrepancy-of-ceo/">reiterate its statement from last week</a> that it is looking into the Thompson bio mess and will make appropriate disclosures at some point. </p>
<p>We can&#8217;t hardly wait.</p>

<p>According to sources close to the situation, Yahoo&#8217;s Chief Product Officer <a href="http://pressroom.yahoo.net/pr/ycorp/blake-irving.aspx">Blake Irving</a> has turned in his resignation and it has been accepted by the company.</p>
<p>The process for Irving&#8217;s departure is a bit more formal since he is a top officer at the Silicon Valley Internet giant. But it is perhaps not that surprising, given that a brunt of the <a href="http://allthingsd.com/20120404/its-official-yahoo-lays-off-2000-employees/">2,000 employee layoffs at Yahoo</a> yesterday were in his part of the organization.</p>
<p>Irving has not been at Yahoo this week during those wrenching cuts &#8212; that&#8217;s because the resignation has been in the works for some time.</p>
<p>In fact, in a restructuring to be announced next week, the central product organization at Yahoo he runs was essentially blown up, with the development moving back into media, sales and consumer products units being planned.</p>
<p>In addition, Yahoo&#8217;s new CEO Scott Thompson has been contemplating selling off large parts of the company&#8217;s advertising technology platforms, as well as its search business, also now under Irving.</p>
<p>Irving had largely opposed the strategy that Thompson has been aiming toward, said sources, and also strongly disagreed with laying off so many employees <a href="http://allthingsd.com/20120405/amid-worries-about-strategery-yahoo-ceo-scott-thompson-tries-to-soothe-the-savaged-troops-memo-time/">without a clear plan</a> in place. Many inside and outside Yahoo agree.</p>
<p>He was also apparently concerned about the massive engineering and research talent exodus of late, especially in Yahoo&#8217;s vaunted Labs arm, which suffered major cuts in the layoffs.</p>
<p>The former Microsoft exec has no plans for another job, said sources, but has had a number of offers.</p>
<p>Yahoo confirmed the resignation when I called to ask about Irving&#8217;s goodbye. &#8220;Yahoo wishes him all the success in the future,&#8221; said the spokesperson. </p>
<p>Irving <a href="http://allthingsd.com/20100419/yahoo-confirms-former-microsoft-exec-blake-irving-hired-as-chief-product-officer/">came to Yahoo in mid-2010</a> under former CEO Carol Bartz, who was fired last fall. Under his leadership, the product unit had focused a lot on creating a major publishing platform for Yahoo and other media companies. He debuted its Livestand content app earlier this year. </p>

<p>Shakil Khan, the well-known head of special projects for the popular Spotify music service, is taking a job with the same title at Path, the fast-growing personal social networking start-up.</p>
<p>Khan will be focusing on growth and international issues, and based out of London but with global duties. Path&#8217;s HQ is in San Francisco.</p>
<p>That&#8217;s important, since Path has been growing strongly outside its initial U.S. market, especially in Asia. In February, Path CEO Dave Morin <a href="http://allthingsd.com/20120203/path-now-has-2m-users-having-doubled-since-it-relaunched-two-months-ago/">announced that it had</a> two million users.</p>
<p>In an interview last night, Khan said he will remain an adviser to Spotify&#8217;s CEO and co-founder Daniel Ek, noting that he is also an investor. </p>
<p>Interestingly, said many sources and also a number of reports, both Path and <a href="http://allthingsd.com/20120329/spotify-keeps-the-free-music-party-going-in-the-u-s/">Spotify</a> are in the midst of large funding rounds with hefty valuations.</p>
<p>In fact, Spotify is being valued at $4 billion, which was not the case when Khan came to the then-fledgling company in 2008. Taking up a job essentially as a kind of fix-it guy for Ek, he worked on a number of important initiatives, from gaining early user traction to hiring its early management to wrangling celebrities to use the service.</p>
<p>Khan said that he decided to leave Spotify, which has recently had a huge spurt of growth due to its recent integration on Facebook, because he has &#8220;always been a start-up guy.&#8221;</p>
<p>&#8220;I loved the days when people used to say, &#8216;What is that, how do you spell it,&#8217;&#8221; he said about Spotify. &#8220;I need those kind of butterflies, and Path is just that kind of amazing product with huge global potential.&#8221;</p>
<p>In an email, Path&#8217;s Morin said: </p>
<p>&#8220;We are beyond delighted that Shak has chosen to join the Path family as we continue our mission to build the first global personal network by helping people journal and share life with family and close friends. Shak brings a unique global perspective and skill set to Path which will help us reach and serve our members and partners across the globe in a uniquely personal way.&#8221;</p>
<p>And Ek, calling in from Sweden (where it is 80 degrees!), said that he was sad to see Khan go, and was also in his debt for his service to Spotify.</p>
<p>&#8220;I am kind of an introvert guy, and Shak is definition of social, so he was the link to the rest of the world in many ways for me and for the company,&#8221; said Ek. &#8220;So where he is going and what he will be doing at Path is perfect.&#8221;</p>

<p>According to sources close to the situation, Dow Jones is losing its top online editor.</p>
<p>Kevin Delaney, managing editor of The Journal Online &#8212; or WSJ.com, as it is better known &#8212; is taking a job at the Atlantic Media Company, sources said.</p>
<p>The move is a blow to the Journal&#8217;s online efforts, as Delaney, who got the top job in late 2009, is a well-regarded journalist and editor.</p>
<p>(He is certainly an <strong>AllThingsD.com</strong> fave of those at the Dow Jones mother ship, but he <em>still</em> did not call me back to comment! Thanks a lot, Kevin!)</p>
<p>It has not yet been determined who will succeed him at WSJ.com, sources said. Delaney is not leaving immediately.</p>
<p>Delaney joined the media giant in 1992, was a prominent tech reporter in Silicon Valley, and was also deputy managing editor at WSJ.com.</p>
<p>It&#8217;s not clear what Delaney&#8217;s new position will be at the Washington, D.C.-based Atlantic Media, which is best known for its flagship Atlantic Monthly magazine and also the National Journal. </p>
<p>But sources said his role will be part of a new content initiative the company is undertaking.</p>
<p>The well-known Atlantic has recently transformed itself from a coffee-table, big-think analog offering, which still is published, to focusing more on its online content site.</p>
<p>That includes its sassy Atlantic Wire, which is edited by former Gawker editor Gabriel Snyder. Two stories today, for example, are titled &#8220;Where the &#8216;Crybaby&#8217; Gingrich Meme Came From&#8221; and &#8220;Cain Promises &#8216;Unconventional&#8217; Endorsement, Jokes Ensue.&#8221;</p>
<p>That&#8217;s not your intellectually snotty uncle&#8217;s Atlantic!</p>
<p>I am looking forward to seeing what Delaney is up to soon.</p>

<p>Yahoo actually let me talk with its new CEO Scott Thompson this morning, <a href="http://allthingsd.com/20120104/confirmed-yahoo-names-paypal-head-scoot-thompson-as-new-head/">after the company announced</a> it had hired him as its latest leader.</p>
<p>In an interview, the man who is leaving a job running eBay&#8217;s large and lucrative PayPal online payments unit was affable and &#8212; <em>dare I say it</em> &#8212; seemed very sweet, as well as gung ho on Yahoo&#8217;s prospects going forward.</p>
<p>Joking about how he took the job only because eBay and Yahoo are located close by each other in Silicon Valley and the commute was just as easy, Thompson opened by noting that those working at the online commerce giant have always had a &#8220;keen appreciation for what each other was doing.&#8221;</p>
<p>He said that when he was approached in November about the Yahoo job, although sources said it was just offered this week and took eBay by surprise.</p>
<p>Still, soon after being contacted by Yahoo&#8217;s exec recruiters, Thompson said he began &#8220;exploring in more detail what&#8217;s actually here.&#8221; As he did so, he added, he &#8220;became progressively more fascinated&#8221; that Yahoo had more promise than has been assumed in recent years.</p>
<p>&#8220;Its potential is still enormous, but the dialogue has not been about what the company is,&#8221; Thompson said. &#8220;I want to get this wonderful brand to where it could be again &#8230; so, as a starting point, this is a great starting point.&#8221;</p>
<p>Thompson&#8217;s premise is based on his belief that we are still in the early days of the Internet. And, because he is a Boston native &#8212; making him, of course, an ardent fan of its beloved Red Sox &#8212; he used baseball as a metaphor.</p>
<p>&#8220;It&#8217;s early innings, and there are the next eight innings in front of us,&#8221; he said, noting that he was in the stands with his father when catcher Carlton Fisk hit that famous game-winning home run in the 12th inning of the sixth game of the World Series in 1975.</p>
<p>Note to everyone who is not an obsessive fan like Thompson (and also, I might add, Walt Mossberg): It did take the Red Sox from 1918 to 2004 to actually finally win the Series again, so maybe Yahoo has a chance!</p>
<p>&#8220;This remains a great business, and I have no doubt its best days are ahead of Yahoo,&#8221; said Thompson, in that same hopeful spirit of this-year&#8217;s-gonna-be-the-one.</p>
<p>Thompson noted that he is fully cognizant of the major troubles at the company recently, and had a &#8220;real sense of urgency, but not by moving at breakneck speed, because you just do bad stuff faster.&#8221;</p>
<p>Instead, he said, he hopes to focus Yahoo the same way he did PayPal, by innovating, making commitments and keeping them, and overperforming.</p>
<p>None are easy tasks, and all have stymied Yahoo in the recent past. Thompson said that he thinks it might be because of not focusing equally on both consumers and Yahoo&#8217;s partners and advertisers.</p>
<p>He admitted that his lack of advertising experience was clear &#8212; it could be problematic, because it&#8217;s Yahoo&#8217;s biggest business &#8212; but said, &#8220;I readily admit what I don&#8217;t know, and am ready to learn and rely on Yahoo&#8217;s great team.&#8221;</p>
<p>While he would not go into deep specifics &#8212; Thompson does not start until next week &#8212; he said he planned to get some basic grounding, noting, &#8220;I have no preconceived notions.&#8221;</p>
<p>One thing is clear, said Thompson: &#8220;I can assure you I am going to be completely different.&#8221;</p>
<p>If that means doing what Fisk did, that would certainly be a home run for Yahoo.</p>

<p>It&#8217;s the typically newsless time around Christmas and New Year&#8217;s, but for once there has actually been a lot going on at Yahoo.</p>
<p>Last week, the Silicon Valley Internet giant&#8217;s typically moribund board decided to <a href="http://allthingsd.com/20111223/yahoo-okays-proceeding-with-term-sheet-to-sell-stakes-back-to-asian-partners-while-also-hoping-to-keep-pe-firms-in-fray/">move ahead with negotiations</a> to sell part of its stake in China&#8217;s Alibaba Group, as well as all of its shares in Yahoo Japan.</p>
<p>While that is still not a done deal, it adds clarity to the Yahoo mishegas, as current leaders there seek to turn around the company&#8217;s lagging fortunes.</p>
<p>Now, as Yahoo continues to contemplate a pair of partial investment bids by private equity firms Silver Lake and TPG Capital into 2012, <a href="http://allthingsd.com/20111220/yahoo-intensifies-search-for-ceo-with-hulus-kilar-as-dream-unicorn-candidate/">more focus will be on the selection of a CEO candidate</a> to take over, sources said.</p>
<p>While I have floated some names that have been contemplated &#8212; such as Hulu CEO Jason Kilar, Juniper CEO Kevin Johnson, former aQuantive and Microsoft exec Brian McAndrews, and board member David Kenny &#8212; I have collected some more that seem to be getting the once-over and are being mentioned internally as well as externally.</p>
<p>Sources said that the Nominating and Corporate Governance Committee at Yahoo, which is run by independent director Patti Hart, has been looking for someone with definite public company experience, as well as expertise in large-scale management.</p>
<p>As to talent, candidates seem to be either good at running big platforms, or deeply knowledgeable about advertising and media as well as technology.</p>
<p>Another important criteria, said sources: Someone who is &#8220;collaborative&#8221; and nonconfrontational. As in, not like the former and very pugnacious CEO Carol Bartz, who was fired in September.</p>
<p>Thus, here&#8217;s another trio of candidates to consider, while we wait &#8212; and who knows how long <em>that</em> will be given that the Asian activity could have tired out for a bit this usually slow-moving board:</p>

<p><strong>Chris Liddell</strong>: The former CFO of Microsoft is an interesting name that just popped up recently, and it makes some sense when you think about the possible mindset of the Yahoo board.</p>
<p>Liddell, who has a charming New Zealand accent, did a short stint, from January of 2010 to March of this year, as CFO at General Motors. Recently married to another former Microsoft exec, he has since been living in New York.</p>
<p>He apparently loves living in the Big Apple.</p>
<p>But when he left GM, Liddell made it clear he wanted to go for a top job next. He was among the candidates for a recent search for a CEO of Time Warner&#8217;s Time Inc. (an effort that was run by exec search firm Heidrick &#038; Struggles, which is also conducting the Yahoo hunt).</p>
<p>Known as tough and decisive, he certainly is qualified to deal with complex financial situations, such as the one in which Yahoo now finds itself knee-deep. One knock: Little product or advertising experience.</p>

<p><strong>Laura Desmond</strong>: While certainly a dark horse, Desmond has been queried by Heidrick, said several sources. </p>
<p>She is CEO of Starcom MediaVest Group, a subsidiary of Publicis, one of the largest media planning and buying agencies, making Desmond one of advertising&#8217;s most prominent players.</p>
<p>Well-known in Yahoo&#8217;s key market, she is considered a savvy and smart exec with a wry sense of humor.</p>
<p>I happen to particularly like one line from one of her bios: </p>
<p>&#8220;Ms. Desmond&#8217;s career has been driven by two caveats: Take intelligent risks and learn more from failure than from success.&#8221;</p>
<p>She could learn a lot at Yahoo. (I know, easy jab, but it works!)</p>

<p><strong>David Rosenblatt</strong>: The former DoubleClick CEO, who went on to a big ad job at Google after it paid $3.2 billion for the company, is also a long shot, mostly by his own choosing.</p>
<p>The sharp exec is always on the short list of CEO candidates for a lot of big, splashy online jobs, but he seems to want to swim his own way.</p>
<p>Case in point: He was recently named <a href="http://allthingsd.com/20111103/dibs-obscure-tech-company-nabs-former-doubleclick-ceo-david-rosenblatt/">CEO of New York-based 1stdibs</a>, a relatively obscure online marketplace known among antique dealers and interior designers looking for one-of-a-kind furniture, art and lighting.</p>
<p>Yes, that&#8217;s right: Fancy lamps.</p>
<p>Rosenblatt also serves on the boards at Group Commerce, Twitter and IAC.</p>
<p>All that Internet ad and e-commerce experience is exactly why Rosenblatt would be one of the better choices for CEO of Yahoo. But, for him, I would guess taking such a job is probably in the life&#8217;s-too-short category.</p>

<p>Maybe get something cooking in the whole what-will-Yahoo-do stakes, now that one of Yahoo&#8217;s more active board members is back.</p>
<p>And by &#8220;back,&#8221; I mean that Kenny &#8212; no longer a candidate for CEO &#8212; has no further need to recuse himself from the strategic process in which the Silicon Valley Internet company finds itself.</p>
<p>In an interview with <a href="http://allthingsd.com/20111101/no-yahoo-ceo-job-for-me-says-yahoo-board-member-david-kenny/">Advertising Age</a> last week, Kenny &#8212; the well-regarded online ad exec who recently stepped down as president of network infrastructure giant Akamai &#8212; released an unusual statement:</p>
<blockquote class="memo"><p>As a matter of policy, I do not comment on matters related to Yahoo as a Yahoo director. However, as a personal matter, I want to clarify that I believe Yahoo is a great company with enormous potential, but I am not &#8212; and will not be &#8212; a candidate for the CEO position. I look forward to my continued service on the Yahoo Board of Directors.&#8221;</p></blockquote>
<p>By removing himself from the fray, that means, according to several sources, that Kenny will be diving back into sleeve-rolling duties at Yahoo, as one of its &#8212; how can I put this? &#8212; less <em>comatose</em> board members.</p>
<p>In fact &#8212; until he was sidelined by the obvious conflict of interest inherent in wanting to be CEO, while also directing the fate of Yahoo for shareholder value &#8212; Kenny had been deeply involved in a lot of the changes that had taken place of late, after a long period of board inaction.</p>
<p>That included the ouster of CEO Carol Bartz, who was fired for a number of reasons, including lack of strategic vision. It was relatively new board member Kenny &#8212; he became a <a href="http://allthingsd.com/20110204/exclusive-huffpos-eric-hippeau-stepping-down-from-yahoo-board-as-akamais-david-kenny-steps-in/">director in February</a> &#8212; who led the strategy committee that had asked Bartz for her road map, which she did not deliver to their liking. Obviously.</p>
<p>Because of the swirl around his possible CEO candidacy &#8212; Kenny was a noticeable inside candidate, since he is well known in the Internet advertising world for running and then selling Digitas to the Publicis Groupe for $1.3 billion in 2006 &#8212; he gave up leadership of the committee to Intuit President Brad Smith.</p>
<p>Sources said it is unlikely Kenny will get that top job back, but he remains a member of the transactions committee, which is leading the strategic review of the company.</p>
<p>That&#8217;s the key slot for the independent board members of Yahoo, who must ultimately be the ones to determine what path or offer the company will take.  </p>
<p>One plus: Kenny has close relationships with most of the bidders &#8212; largely private equity firms &#8212; looking at Yahoo, and also is well known among the media and tech companies poking around, too. He also has advertising &#8212; and now tech &#8212; experience, which will be much needed as Yahoo explores its options.</p>
<p>Most importantly, Kenny is an independent director, which will be very important to the process going forward, especially since a lot of the spotlight has fallen on Yahoo co-founder and director Jerry Yang.</p>
<p>Yang &#8212; who has been a bit of a Yahoo lightning rod at times &#8212; has been involved in some of the meetings with those interested, along with interim CEO Tim Morse. The company recently noted that this was at the behest of the board.</p>
<p>While these were only informational meetings so far &#8212; and not negotiations, as some reports have surmised &#8212; Yang&#8217;s involvement will likely have to be more curtailed, at least publicly, especially if any of the deals include using his own large stake in Yahoo.</p>
<p>&#8220;This process has to be above board, since it is so easy for those wanting a better deal to try to cause all kinds of trouble,&#8221; said one source. &#8220;The company is already under attack in that regard.&#8221;</p>
<p>That&#8217;s a reference to a recent salvo by hedge fund activist Dan Loeb, a major Yahoo shareholder who has taken aim at the board and, last week, at Yang. Loeb <a href="http://allthingsd.com/20111104/yahoos-activist-shareholder-loeb-now-targeting-jerry-yang/">essentially accused Yang of double-dealing</a> in the process.</p>
<p>Enter Kenny, along with Smith and &#8212; to an increasingly lesser extent, of late &#8212; Yahoo Chairman Roy Bostock. While there are other independent board members involved, these are the three to watch most closely now.</p>
<p>While some think Kenny still would like to be CEO of Yahoo &#8212; he was also on the short list several years ago when Bartz was hired &#8212; sources said he is more likely to take a job at another consumer Internet company.</p>
<p>While he certainly could slot into a large advertising firm or into the digital division of a big media concern, sources said Kenny is looking to be a CEO. </p>
<p>Just not at Yahoo. </p>
<p>At least for now, since down the road it is unclear what will become of Yahoo and who will run it in years to come.</p>
<p>In fact, it might even be Kenny in the end.</p>

<p>Akamai president David Kenny has stepped down after a year on the job &#8212; and in the midst of <a href="http://allthingsd.com/?s=david+kenny">Yahoo&#8217;s CEO search</a>, where his name has come up as a possible <a href="http://allthingsd.com/20110907/yahoos-next-ceo-maybe-snoop-dogg-ya-digg/">replacement for fired CEO Carol Bartz</a>.</p>
<p>Kenny is also a Yahoo board member &#8212; <a href="http://allthingsd.com/20110204/exclusive-huffpos-eric-hippeau-stepping-down-from-yahoo-board-as-akamais-david-kenny-steps-in/">joining early last year</a> &#8212; and had quickly become one of the major forces in pushing for change at the company in the wake of the troubled Bartz regime.</p>
<p>In a <a href="http://www.akamai.com/html/investor/quarterly_releases/2011/press_102611.html">statement</a> distributed along with Akamai&#8217;s Q3 earnings, Kenny said he wants to &#8220;to return to my first passion of pursuing emerging opportunities on the consumer Internet.&#8221; </p>
<p>You can decide for yourself whether Yahoo represents an &#8220;emerging&#8221; opportunity or something else.</p>
<p>Sources said the departure from the networking company was mutual, although there has been an increasing amount of tension over Kenny&#8217;s involvement on the Yahoo board, which has been working on a massive strategic review.</p>
<p>Kenny, who was the initial leader of the effort, stepped down from that board task and also recused himself from any involvement in the simultaneous search for a new CEO.</p>
<p>Whether he will get the job is not a done deal by any means. He is among several candidates Yahoo has been contemplating pursuing, after only recently <a href="http://allthingsd.com/20111013/exlcusive-yahoo-hires-heidrick-struggles-for-ceo-search/">hiring Heidrick &#038; Struggles</a> for its executive search.</p>
<p>In fact, it&#8217;s not entirely clear Kenny wants to be CEO of Yahoo or if he would want to return to his roots at a consumer advertising agency. Another issue: He currently lives in Boston.</p>
<p>Before coming to Akamai, he was managing partner of VivaKi, the media and digital arm of marketing giant, Publicis Groupe. He came to the French concern after it bought relationship marketing services firm Digitas, which Kenny ran.</p>
<p>All that advertising experience is one of the reasons he is being looked at by Yahoo, which is contemplating doubling down in online advertising platforms and products if it does not sell.</p>
<p>Many assumed that Kenny&#8217;s move to the Web platform company meant that it would become more actively involved in Web media itself. But Akamai didn&#8217;t make any major moves or acquisitions during his tenure.</p>
<p>Meanwhile, back at Akamai, Kenny&#8217;s title will be assumed by CEO Paul Sagan, who had previously served as president as well.</p>

<p>The 12-year Yahoo veteran, who is located in Brazil, is widely respected at the troubled Silicon Valley Internet giant and leads an area that is growing for it.</p>
<p>[<strong>UPDATE:</strong> A Yahoo spokeswoman confirmed the departure of Ribenboim.]</p>
<p>[<strong>UPDATE NO. 2:</strong> Also leaving: Connie Lee Schiefer, the well-regarded Yahoo veteran of more than eight years. She was VP of product management at Yahoo's cloud platform group.]</p>
<p>Sources said that attrition &#8212; already a big problem at Yahoo &#8212; is about to hit the company hard. While the board and its top leaders try to figure out a strategy &#8212; either a sale or <em>whatev</em> &#8212; in the wake of the firing of CEO Carol Bartz, Yahoo has yet to put in place a new plan to hold onto talent.</p>
<p>&#8220;The people walking out the door is about to become a flood, unless management acts,&#8221; said one employee in a common sentiment among people I have interviewed at Yahoo.</p>

<p>Reading them, Yahoos must now be more confused than ever.</p>
<p>To summarize: Yahoo is for sale, sort of. But we&#8217;re taking it slow, because we always like to drag out the uncertainty here at Sunnyvale HQ. Hey, keep working hard and innovating, despite the still-matrixed system. But don&#8217;t fret that your job and career hang in the balance. And have a good weekend!</p>
<p>In the first email, Yahoo Chairman Roy Bostock and co-founders David Filo and Jerry Yang &#8212; also a director &#8212; penned a rambling missive, which finally admitted the company was indeed, as was <a href="http://allthingsd.com/20110914/yahoo-for-sale-big-bidders-circling-including-marc-andreessen-as-board-pressure-mounts/">first reported here</a>, for sale.</p>
<p>Yahoo said hired-gun investment advisor, Allen &#038; Co., was &#8220;fielding inquiries from multiple parties that have already expressed interest in a number of potential options.&#8221;</p>
<p>Not to be a niggler, but didn&#8217;t <a href="http://allthingsd.com/20110907/yang-says-not-for-sale-all-hands-on-yahoos-slippery-deck/">Yang tell the troops at an all-hands meeting</a> recently that Yahoo was <em>not</em> for sale?</p>
<p><em>Details!</em> Thus, said the memo, until the company sorts out all the offers just <em>pouring</em> in &#8212; not so much, but when you&#8217;re selling a house, you put on the dog &#8212; Yahoos had to keep working hard.</p>
<p>Therefore: &#8220;What Yahoo! needs to do better &#8212; and we&#8217;ve talked about this &#8212; is accelerate innovation, reignite inspiration, and give our users what they want now &#8212; great content that is engaging and easy-to-use on any device and provides an experience in which they can participate and contribute. Perhaps most importantly, we need to anticipate what they will want next.&#8221;</p>
<p>You&#8217;ve. Talked. About. This. You mean to try to make cool stuff like every other tech company &#8212; Apple, Facebook, Google &#8212; already does? Mind-blowing.</p>
<p>After a little throat-clearing on its fake search for a new permanent CEO and some media-bashing (yes, this all my fault!), the memo noted that all this fancy <em>strategery</em> is going to take &#8220;months, not weeks.&#8221;</p>
<p>(Is it just me or does it feel as though former <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">CEO Carol Bartz was fired</a> a badillion years ago, instead of just weeks ago? Plus, I actually believe I officially now miss her kooky-but-genuine Friday staff emails.)</p>
<p>The Gang of Three email was followed by one from the incredible shrinking interim CEO Tim Morse, who said Yahoo was not in &#8220;limbo,&#8221; due to all this obvious limboness about the strategy.</p>
<p>&#8220;That means we will not be sitting still over the next few months,&#8221; Morse wrote. &#8220;We are actively making decisions and taking action.&#8221;</p>
<p>In other words, nothing to see here. Except everything.  </p>
<p>Oh, I give up &#8212; just read for yourselves:</p>

<p>In our recent all hands meeting, we talked about the Board&#8217;s strategic review to help return the Company to a path of robust growth and industry-leading innovation. While our teams are working to evaluate the many opportunities by which Yahoo! can continue building on our success, all kinds of people have been &#8212; and will continue &#8212; speculating in the media about where that work is headed, so we thought it best to provide you with some additional context directly from those of us who are closest to it. We don&#8217;t have specific news to share with you today, but we are committed to communicating with you directly from time to time &#8212; especially given the level of external swirl &#8212; so that you know where we are in the process. You can expect periodic updates from us and we encourage you to communicate with us as well.</p>
<p>At the heart of what we are doing is our belief that Yahoo!&#8217;s core strengths are not only relevant to where users are going today, but can serve as a foundation for the next phase of our company’s growth. Consider our strengths: we have 680 million users worldwide. We have nine of the #1 properties in the U.S., and we are a leader in display advertising. Our brand is iconic &#8212; we are not the only ones who bleed purple. By whatever measure you want to use &#8212; engagement, quality of products and services, our value to our advertisers &#8212; we all feel that we have what it takes to succeed. Also, our Asia assets remain one of our top priorities and we continue to work well with the teams there. As you may have seen, Alibaba Group has just announced a liquidity event for its employees that reflects a continued appreciation in its value, and therefore of the value of our stake.</p>
<p>What Yahoo! needs to do better &#8212; and we&#8217;ve talked about this &#8212; is accelerate innovation, reignite inspiration, and give our users what they want now &#8212; great content that is engaging and easy-to-use on any device and provides an experience in which they can participate and contribute. Perhaps most importantly, we need to anticipate what they will want next. That is the path to enhancing the value of Yahoo! for all of its stakeholders, including its users, customers, shareholders, partners and Yahoos everywhere. Our strategic review is designed to help us map out the best way to achieve that.</p>
<p>At this point, we cannot offer many specifics about the Board&#8217;s review; we&#8217;ve just gotten started. You should know that the entire Board and management team are fully aligned and unanimous in their views regarding the scope of this work. Allen &#038; Company was a logical choice to help us in this review, because they have been one of our advisers for some time, and this is familiar territory for them. Achieving success in our sector is intrinsic to what they do for a living, and they will be constructive partners.</p>
<p>Our advisers are working with us to develop ideas that we will pursue proactively. At the same time, they are fielding inquiries from multiple parties that have already expressed interest in a number of potential options. We will take the time we need to select and structure the best approach for the company, its shareholders and employees.</p>
<p>In addition, as we announced previously, the Board has commenced a search for a permanent Chief Executive Officer. That process also continues.</p>
<p>When we have updates that we can share we will do so. There will be plenty of rumors and speculation as different parties try to advance their agendas in the media &#8212; but it is important that we not be distracted by the rumors and speculation.</p>
<p>You are instrumental to the success of our business &#8212; we can&#8217;t do it without you. While we will move with a sense of urgency, this process will take time. Months, not weeks. We know that&#8217;s a lot of potential distraction, but we believe it will be worth the wait. We are forging a path to a next phase of growth for Yahoo! that feels like our best days: fun, full of possibility, and always in search of how to deliver the new thing people want from us. Together, we can write the next great chapter in the Yahoo! story and secure our place as one of those rarities: an internet company that endures.</p>

<p>That being said, while the Board makes this decision, it does not mean we are in limbo. We have to keep Yahoo! moving ahead. And to do that, there are three things I need Yahoos everywhere to focus on:</p>
<p>1.    Speed: Emphasize quick execution and decision-making</p>
<p>2.    Accountability: Do what you say you&#8217;re going to do &#8212; and take ownership for time to market, monetization, user engagement, quality, or whatever metric defines success for your team</p>
<p>3.    Purpose: Rally behind our mission and purpose: creating deeply personal digital experiences.</p>
<p>In the meantime, we will keep you updated as much as we can. And we will earn your trust &#8212; we know we have to.</p>

<p>In a blog it just posted, Groupon said its recently hired COO, Margo Georgiadis, &#8220;has decided to return to Google (her former employer) in a new role as President, Americas.&#8221;</p>
<p>She was only <a href="http://allthingsd.com/20110421/its-official-groupon-has-hired-margo-georgiadis-as-coo/">hired in April</a>, just months before the company filed to go public. Georgiadis was previously VP of Global Sales at Google. </p>
<p>(Interesting way to get a better title at the search giant, Margo!)</p>
<p>Georgiadis was in charge of the company&#8217;s global sales, marketing and operations at the Chicago-based social buying service.</p>
<p>Sources said that the hiring did not gel on either side. </p>
<p>It might not be Georgiadis&#8217; fault. She replaced <a href="http://allthingsd.com/20110322/exclusive-groupon-president-rob-solomon-steps-down/">Rob Solomon</a>, who was in his job for one year.</p>
<p>And here&#8217;s another: PR hire <a href="http://allthingsd.com/20110608/exclusive-former-yahoo-brad-williams-take-over-as-pr-head-honcho-at-groupon/">Brad Williams</a>, a longtime Silicon Valley communications exec, who was there and then gone in what felt like 23 minutes.</p>
<p>It seems Groupon does not like Silicon Valley types or, perhaps, vice versa.</p>
<p>Since its IPO filing, in fact, it feels as if it has been a non-stop circus disaster at Groupon.</p>
<p>That has included immense controversy about its sketchy accounting, huge slugs of venture funding going to its founders and a lot of worries about its growth.  </p>
<p>Today, in a Friday late afternoon dumping of bad news in hopes that no one notices (I <em>do</em>), Groupon also <a href="http://allthingsd.com/20110923/more-groupon-amends-its-s-1-ipo-filing-again-over-accounting-issues/">amended its S-1 public offering filing</a> once again to change revenue metrics and also add a controversial internal letter that CEO and co-founder Andrew Mason sent to employees to counter its many and growing critics.</p>
<p>There appear to be many more shoes dropping soon, said sources, so stay tuned.</p>

<p>Former eBay CEO Meg Whitman is being considered by Hewlett-Packard directors as a possible candidate for CEO, in a move that would replace its current leader Léo Apotheker, according to several sources close to the situation.</p>
<p>The appointment of Whitman &#8212; a longtime and experienced Silicon Valley exec, who joined the board of Hewlett-Packard in January &#8212; to the top job at HP is by no means a done deal, sources said.</p>
<p>But a significant contingent on the board is keen to remove Apotheker after what some directors consider a series of management mishaps.</p>
<p>If it occurs, it would be the second major CEO ouster in a short time &#8212; Yahoo <a href="http://allthingsd.com/20110916/what-was-behind-the-timing-of-yahoo-ceo-carol-bartzs-abrupt-ouster/">recently fired its CEO Carol Bartz due to lackluster performance</a>.</p>
<p>[<strong>UPDATE:</strong> Wall Street seems to like the Apotheker-gone idea, with HP shares spiking almost eight percent on our news, as well as a simultaneous <a href="http://www.bloomberg.com/news/2011-09-21/hp-s-board-is-said-to-weigh-ousting-apotheker-after-less-than-year-as-ceo.html">Bloomberg report</a>. The rise has added almost $3 billion to HP's market valuation.]</p>
<p>In addition, sources said Whitman has been contemplating taking another big exec job, after a 10-year stint at eBay, which was followed by an unsuccessful run as the Republican nominee for governor of California last year. Since then, she has been a <a href="http://allthingsd.com/20110329/meg-whitman-joins-kleiner-perkins-to-try-hand-at-advising-start-ups/">part-time consultant</a> at top venture firm Kleiner Perkins.</p>
<p>Her role there &#8212; which has largely been seen as a temporary one &#8212; has included acting as a strategic adviser to start-ups and evaluating investment opportunities.</p>
<p>Sources said Whitman &#8212; who has also been active with her family foundation &#8212; has shown some interest in talking about taking the HP job. </p>
<p>Turning to Whitman would not be a surprise, given there are few execs in tech experienced enough to run such a large and complex organization as HP. </p>
<p>Still, her expertise has mostly been in the consumer space and she has never run what is largely a hardware company and one with major enterprise clients.</p>
<p>So, if appointed, Whitman would need a lot of help, especially to fix one with as many troubles as HP has seen of late. </p>
<p>That is why the <a href="http://allthingsd.com/20110921/hp-board-meets-after-palm-turmoil-so-whats-the-next-shoe-to-drop/">board has been meeting by phone and in person</a> this week to talk about a range of issues, focused in part on how to spin the company out of its current cycle of bad news and what to do about the situation.</p>
<p>Its most recent spate of trouble was the announcement of <a href="http://allthingsd.com/20110919/layoffs-at-hps-palm-division/">layoffs of hundreds of employees in its Palm division</a>.</p>
<p>This inevitable move to jettison Palm employees came after HP&#8217;s sudden news in August that it was <a href="http://allthingsd.com/20110818/breaking-hp-makes-big-shift-on-webos-exiting-hardware-business/">shuttering its webOS hardware business</a>.</p>
<p>Add to that a proposed class action lawsuit, filed Sept. 13 in the U.S. District Court for Central California, along with another handful of law firms that are launching their own investigations of HP over the move.</p>
<p>In the suit, according to a <a href="http://allthingsd.com/20110916/the-number-of-securities-lawyers-circling-hp-is-growing/">report by Arik Hesseldahl</a>, an &#8220;HP shareholder named Richard Gammel alleged that comments by CEO Léo Apotheker &#8212; concerning the company&#8217;s earnings expectations, the importance of its personal computer business and plans to move ahead with devices running the webOS operating system &#8212; gave a vastly different indication of actions HP took on Aug. 18, when it killed the webOS hardware business and announced plans to spin off the PC business and spend $10 billion to acquire Autonomy.&#8221;</p>
<p>In other words, lots to discuss for HP&#8217;s directors, who have been under siege, essentially, ever since the <a href="http://allthingsd.com/20100806/hp-ceo-resigns/">former CEO Mark Hurd</a> resigned under pressure more than a year ago over a variety of allegations about expense reports related to a sexual harassment inquiry. The board found no evidence to support the sexual harassment claim. </p>
<p>In the wake of that scandal, <a href="http://allthingsd.com/20100930/hp-names-new-ceo-leo-apotheker/">HP appointed Apotheker to take over for Hurd</a>.</p>
<p>It has been a bumpy ride, as HP&#8217;s stock has plummeted almost 43 percent in a year&#8217;s time. By comparison, rival Oracle&#8217;s shares are up more than three percent in the same period, and Apple stock has risen more than 50 percent.</p>
<p>That share decline, given a series of major moves and just as many gaffes, has put Apotheker &#8212; who has been trying to reposition HP largely as an enterprise company &#8212; in the hot seat.</p>
<p>An HP spokeswoman declined to comment. I have several calls in to reach Whitman and have not yet heard back.</p>
<p>More to come, obviously. <p>One of the best lines I ever heard from Facebook COO Sheryl Sandberg &#8212; who has been very <a href="http://allthingsd.com/20110518/facebooks-sheryl-sandberg-on-women-in-workplace-dont-leave-before-you-leave/">vocal about casting light on women&#8217;s challenges</a> in the workplace &#8212; was about her service on the Disney board. </p>
<p>Discussing the depiction of its happy-ending female animated characters, she joked to me that what she always pushed for at meetings were &#8220;princesses <em>with jobs</em>.&#8221; </p>
<p>Sandberg seems to have gotten her wish now, with this upcoming movie from Disney unit Pixar, &#8220;Brave.&#8221;</p>
<p>Incredibly, it&#8217;s the first time in its dozen films that Pixar has a female hero at its center. </p>
<p>It&#8217;s about a red-headed Scottish princess named Merida, who insists on being a warrior &#8212; complete with rocking bow and arrow. </p>

<p>He will have a similar role at Zynga, in charge of areas such as investor relations. As I reported earlier this week, the online gaming company is <a href="http://allthingsd.com/20110524/exclusive-zynga-about-to-file-for-ipo/">poised to file for an IPO</a>, which is expected to value the company at upwards of $20 billion.</p>
<p>Gupta, who has held a number of jobs at Yahoo over many years, played an important part in Yahoo&#8217;s search and online partnership deal with Microsoft.</p>
<p>Previously, Zynga hired Yahoo&#8217;s M&#038;A head, <a href="http://allthingsd.com/20110407/exclusive-yahoo-loses-ma-head-to-zynga">Taylor Barada</a>.</p>

<p>According to an internal memo from Juniper Networks, which you can see below, one of its top tech execs, David Yen (pictured here), is departing immediately.</p>
<p>Sources said Yen is headed to Cisco to run its servers business, but the networking giant has not returned a request for comment.</p>
<p>Yen had most recently been EVP and GM of Juniper&#8217;s fabric and switching technologies unit. He joined Juniper in 2008 as EVP of emerging technologies.</p>
<p>But Yen was better known for his previous 20-year stint at Sun Microsystems. His last job there was running its chip division.</p>
<p>The impetus for Yen&#8217;s departure might have been the formation of the Platform Systems Group, run by Stefan Dyckerhoff, which is prominently mentioned in the memo from Juniper CEO Kevin Johnson. Dyckerhoff was elevated to the job in late January.</p>
<p>Sources said Yen did not get that job and was unhappy with the move.</p>

<p>As part of this transition, David Yen is leaving Juniper effective immediately. David has a desire to return to his roots in servers that he gained during his nearly 20-year career at Sun Microsystems. We appreciate David’s contributions.</p>

<p>According to sources close to the situation, Yahoo has grabbed one of Huffington Post&#8217;s top editors, Jai Singh, to become its editor-in chief.</p>
<p>The move is a big one in the online editorial arena. Before <a href="http://kara.allthingsd.com/20090428/arianna-huffington-talks-about-new-managing-editor-singh">moving to the HuffPo as managing editor in 2009</a>, which is now the key content unit of AOL, Singh ran CNET Networks.</p>
<p><strong>UPDATE:</strong> Yahoo confirmed the hiring in a press release below.</p>
<p>A Huffington Post spokesman said:</p>
<p>&#8220;This is about geography&#8211;Jai made clear his desire to move back to California, where his family is located. He moved from California to work with us and, unfortunately, this job requires his being in the newsroom in New York. We loved working with him, wish him well with his new job, and look forward to staying in touch.&#8221;</p>
<p>Sources said Yahoo sent out an internal memo earlier tonight outlining the move, which is a whole new role at Yahoo. It&#8217;s below&#8211;<em>natch!</em>&#8211;from Yahoo Media head Mickie Rosen.</p>

In comparison, there were approximately 33,000 requests-per-second following the Japan earthquake and today, at press time, peak requests-per-second was 40,000 for content related to the death of Osama bin Laden. Yahoo! also drove approximately 30 million unique users, 27 million video streams and 2.6 million live video streams over the 24-hour period on Friday.</p>

<p>She is currently located in Chicago, where the social buying site is headquartered.</p>
<p>A Google spokesman confirmed the move by Georgiadis, while Groupon&#8211;which specifically denied a query about her appointment that BoomTown made Tuesday&#8211;dithered.</p>
<p>In a statement, her boss, SVP and Chief Business Officer Nikesh Arora said:</p>
<p>&#8220;I&#8217;m grateful for all that Margo has done for our team over the past two years. We will miss her, but we&#8217;re also very excited that she&#8217;s joining a terrific company and a great partner for Google.&#8221;</p>
<p>Besides COO, I will officially bestow the title of &#8220;Chief Cat Wrangler&#8221; on Georgiadis, for the massive organizational job ahead for her at the notoriously chaotic start-up. (As evidenced by <em>Google</em> being the company confirming a major Groupon hire.)</p>
<p>Still, Groupon&#8217;s growth had been stunning. It now has thousands of employees and has already washed out one COO, former Yahoo exec Rob Solomon, whose <a href="http://kara.allthingsd.com/20110322/exclusive-groupon-president-rob-solomon-steps-down/">departure was reported here</a>.</p>
<p>It has also turned down a $6 billion acquisition offer from Google, raised a badillion dollars in venture funding from tech&#8217;s top investors and also is prepping an IPO valuing the company at upwards of $15 billion.</p>
<p><em>Phew!</em></p>
<p>Georgiadis must bring calm to this perfect storm.</p>
<p>Because of her solid resume (see below) and quiet demeanor, I had <a href="http://kara.allthingsd.com/20110329/wanted-groupon-coo-must-like-cat-wrangling-lack-of-spotlight-and-international-travel-post-samwer/">included her in a list of candidates</a> several weeks ago and had queried the social buying company about her specifically this week.</p>
<p>In fact, when I asked for a comment if Georgiadis was hired on Tuesday, a Groupon spokeswoman said: &#8220;This would be news to me. Nothing to announce yet.&#8221;</p>
<p>At the time, Google had the class to simply say &#8220;no comment.&#8221;</p>
<p><a href="http://kara.allthingsd.com/files/2011/03/mason.jpeg"><img src="http://kara.allthingsd.com/files/2011/03/mason-275x196.jpg" alt="" title="mason" width="275" height="196" class="alignleft size-medium wp-image-42122" /></a></p>
<p><em>(Lesson learned!)</em></p>
<p><a href="http://www.chicagobusiness.com/article/20110421/NEWS08/110429964/groupon-hires-coo-from-google">Crain&#8217;s Chicago Business&#8217; John Pletz</a> first posted on Georgiadis&#8217; hiring earlier today.</p>
<p>In any case, Georgiadis is just the kind of candidate that Groupon has been looking for&#8211;a competent and experienced sales and operations exec who would not overshadow its quirky CEO and co-founder Andrew Mason.</p>
<p>As I <a href="http://kara.allthingsd.com/20110329/wanted-groupon-coo-must-like-cat-wrangling-lack-of-spotlight-and-international-travel-post-samwer/">wrote two weeks ago</a>:</p>
<blockquote classs="memo"><p>Lastly, and perhaps most important, the Groupon COO candidate is going to have to accept that the role will not be a CEO-in-waiting, either before or after its inevitable IPO in the next year.</p>
<p>While I have received several tips that co-founder and CEO Andrew Mason might not stay its principal exec, extensive checking with sources inside and outside the company indicate that such a move is highly unlikely.</p>
<p>&#8220;Andrew is beloved to the board, by investors and, most of all, by employees,&#8221; said one source. &#8220;He&#8217;s not going anywhere.&#8221;</p>
<p>Indeed, Mason has a close working relationship with co-founder Brad Keywell, as well as Groupon co-founder and Chairman Eric Lefkofsky.</p>
<p>In fact, despite other business interests, Lefkofsky has been very involved in all key decisions with Mason.</p>
<p>That job, presumably, would fall to the new COO, which Groupon should be hiring sooner rather than later.</p>
<p>&#8220;Groupon needs a world-class COO, who can manage hyper-growth, but also who knows that a No. 2 stays in the background while doing it,&#8221; said another source. &#8220;That&#8217;s a tall order.&#8221;</p></blockquote>
<p>Groupon has looked at a number of top execs, most specificially at former DoubleClick and Google exec David Rosenblatt. Sources said the high-profile exec did not want to play second fiddle to Mason or move to Chicago.</p>
<p>That&#8217;s moot now. Here is Georgiadis&#8217; bio at the Silicon Valley search giant, which shows why Groupon picked her:</p>
<blockquote class="memo"><p>Georgiadis is responsible for driving Google&#8217;s sales operations and strategies across regions, channels and products as well as leading the sales technology teams which enable the successful commercialization of Google’s products (e.g., AdWords, AdSense, display and mobile ads) with advertisers and publishers.</p>
<p>She also leads the company&#8217;s local and commerce businesses, working to extend services like Checkout, Google Places and commerce search to small and large businesses alike.</p>
<p>Before joining Google, Margo was a principal in Synetro Capital LLC, a private investment firm based in Chicago. She also spent five years as the executive vice president of card products and chief marketing officer of Discover Financial Services where she led a radical turnaround of business performance and revitalized its rewards leadership with award-winning new products, customer experience and marketing. Prior to Discover, Margo was a partner at McKinsey and Company for 15 years in London and Chicago. She was a leader in the firm’s marketing and retail practices, and also co-founded and led the customer acquisition and management and retail marketing practices.</p>
<p>She has a bachelor&#8217;s degree in economics from Harvard College and an MBA from Harvard Business School.</p></blockquote>

<p>Greg Coleman, the online advertising sales exec who keeps making bank after bouncing from top Web jobs, has a new one.</p>
<p>The former Yahoo, AOL and Huffington Post sales leader has just taken over as president of Criteo, a &#8220;personalized retargeting&#8221; company&#8211;essentially, it delivers highly targeted ads to consumers.</p>
<p>Coleman said in an interview with BoomTown last night that he will be focused on expanding Criteo&#8217;s U.S. business.</p>
<p>&#8220;Performance advertising is a huge opportunity in a high-growth arena,&#8221; he said. &#8220;I couldn&#8217;t pass it up.&#8221;</p>
<p>While the 300-person company has offices in Silicon Valley and New York, its HQ is in Paris.</p>

<p>So, Coleman (pictured here)&#8211;who has grabbed huge sums of exit cash, first when AOL management changed and then when AOL bought the HuffPo&#8211;now gets to visit the City of Lights all the time.</p>
<p><em>Zut alors!</em> As I have previously written, <a href="http://kara.allthingsd.com/20110207/boomtown-will-have-what-greg-colemans-having-huffpo-ad-sales-head-scores-big-bucks-twice-from-aols-armstrong/">I&#8217;ll have what Coleman&#8217;s having.</a></p>
<p>Toby Coppel, an investor in Criteo who is also on its board, worked with Coleman at Yahoo.</p>
<p>Criteo has raised almost $24 million from Coppel and other investors such as Bessemer Venture Partners and Index Ventures.</p>
<p>Its competitors are other start-ups, such as MyThings.</p>

<p>While Facebook should not be expecting big bouquets of love from its partner and investor Microsoft, at least it&#8217;s not going to be getting <a href="https://kara.allthingsd.com/20110302/exclusive-microsoft-mulls-legally-poking-facebook-over-ad-talent-raid">legal brickbats</a> either.</p>
<p>According to sources close to the situation, the pair have settled a dispute over the Silicon Valley social networking site&#8217;s talent raid of Microsoft&#8217;s head of global ad sales, Carolyn Everson, for a similar job at Facebook.</p>
<p>In fact, Everson has already been at work for a week, sources said, after she agreed not to solicit a small group of advertising clients for a short period of time.</p>
<p>She is also barred from using any strategic information in her new Facebook job that she obtained while at Microsoft, sources said.</p>
<p>This kind of agreement is not uncommon in disputed job shifts and is also a far cry from a more stringent legal outcome, which might have benched her completely for some time.</p>
<p>But Everson is a veteran ad exec, having previously worked at Viacom&#8217;s MTV Networks. Thus, Microsoft could not have barred her from calling on advertisers she had known previous to her short employment there.</p>

<p>Still, the <a href="http://kara.allthingsd.com/20110215/exclusive-facebook-grabs-microsoft-ad-head-everson/">February hiring</a> by Facebook came as a surprise to many at Microsoft, especially since Everson (pictured here) <a href="http://kara.allthingsd.com/20100603/microsoft-u-s-ad-sales-vp-domeniconi-to-depart-while-exec-from-mtv-arrives-to-run-global-online-sales/">had been hired</a> only last June, after a long search. In that time, she had become a high-profile presence at internal and external Microsoft events.</p>
<p>So, it&#8217;s clear the Everson hiring infuriated Microsoft execs, especially since the company regards Facebook as a close partner. Microsoft is a longtime investor too.</p>
<p>&#8220;We&#8217;re no longer angry,&#8221; said one source at Microsoft, about the cooling of tensions, &#8220;as much as disappointed.&#8221;</p>
<p>But key in the weighing of options at Microsoft is the obvious importance of keeping up good relations with Facebook. It is an important partnership, especially for its Bing search business, especially as an advantage over Google.</p>

<p>Well, Wayn must have liked what he saw at the Silicon Valley Internet giant, since he is bouncing there from his job at the Redmond, Wash. software giant to help run local efforts at Yahoo.</p>
<p>[<strong>UPDATING</strong> local roles at Yahoo.]</p>
<p>Wayn will be working for Chief Product Officer Blake Irving  and will be responsible for product management of Yahoo&#8217;s local &#8220;horizontal.&#8221;</p>
<p>He will work closely with whoever Yahoo finds as a replacement for <a href="http://kara.allthingsd.com/20110315/after-ad-changes-yahoo-media-unit-gets-a-management-shakeup/">Matt Idema</a>, a longtime Yahoo exec who shuttled over to Facebook as a director of business operations, working on the local arena.</p>
<p><a href="http://kara.allthingsd.com/20110315/after-ad-changes-yahoo-media-unit-gets-a-management-shakeup/">Luke Beatty</a>, who heads up Yahoo&#8217;s Americas region community and local businesses, including Flickr, Groups, Answers and hundreds of local sites, is doing Idema&#8217;s job for now within Americas head Ross Levinsohn&#8217;s unit.</p>
<p>Local is a hugely hot space right now, with a spate of Web focus from giants like Google and Facebook to powerful start-ups such as Foursquare and Groupon.</p>
<p>Wayn has more recently been working on international for Microsoft&#8217;s MSN portal. The Australian native has also worked at AOL and, interestingly, has an actual medical degree.</p>
<p>In other words: <em>Paging Dr. Local, stat!</em></p>

<p>Of all the many job openings in tech, perhaps the most interesting to watch will be who Groupon selects as its next COO.</p>
<p>The search has been on for a while for the critical hire for the Chicago-based social buying company, well before the recent announcement that it was parting ways with President and COO Rob Solomon.</p>
<p>Among those approached, said sources close to Groupon: Former Doubleclick and Google exec David Rosenblatt.</p>
<p>He&#8217;s not taking the job for a variety of reasons, sources said, but<br />
finding someone to step up for the job will be tough, since it is likely to be one that will require a wide range of talents.</p>
<p>That includes: epic cat-wrangling of thousands of employees in far-flung locations; deep marketing and advertising prowess; high-level technology, product, mobile and e-commerce chops; and international experience.</p>
<p>The last is perhaps the most critical of all, since global growth&#8211;especially in Europe and Asia&#8211;is increasingly becoming Groupon&#8217;s main revenue driver, and the COO will have to pull together a crack team across the world.</p>
<p>That will become even more important after Groupon&#8217;s top international managers&#8211;Germany&#8217;s entrepreneurial Samwer brothers&#8211;move out of active management by the end of this year.</p>
<p><a href="http://kara.allthingsd.com/files/2011/03/samwer.jpeg"><img src="http://kara.allthingsd.com/files/2011/03/samwer.jpeg" alt="" title="samwer" width="255" height="128" class="alignleft size-full wp-image-42119" /></a></p>
<p>While company sources said this has been long planned, the Samwers (pictured here) have been fully involved in Groupon&#8217;s fast trajectory in Europe and elsewhere, since it <a href="http://voices.allthingsd.com/20100517/shopping-site-groupon-buys-germanys-citydeal">bought their Citydeal discounting clone last May</a>.</p>
<p>Thus, sources said, Groupon is looking at a range of candidates with experience abroad, as well as talent in scaling businesses quickly and to huge size.</p>
<p>And that means looking to companies such as Google and Amazon for an exec, where there are quite a few choices.</p>
<p>While BoomTown could not confirm whether Groupon has spoken to any of them, possible COO types are obvious.</p>
<p>At Amazon, some qualified execs include: Sebastian J. Gunningham, SVP of Seller Services; Diego Piacentini, SVP of International Retail; H. Brian Valentine, SVP of Ecommerce Platform; and Jeffrey A. Wilke, SVP of North America Retail.</p>
<p>At Google, there are tons of good candidates that Facebook has not yet raided, including: Stephanie Tilenius, VP of eCommerce; Henrique de Castro, VP of Media and Global Platforms; Dennis Woodside, VP of Americas Operations; and Margo Georgiadis, VP of Global Sales Operations (plus a Chicagoan!).</p>
<p>Other names being raised include Hulu&#8217;s Jason Kilar (unlikely, but I&#8217;d like it), various Microsoft execs and a spate of others.</p>
<p>(I say, let&#8217;s bring in Zynga&#8217;s Owen Van Natta, who was once COO of Facebook, since he&#8217;s missing a big pile of Groupon stock to add to his enviable collection of hot Web 2.0 company shares.)</p>
<p>While there are probably qualified execs outside the tech industry at retail and media outfits, sources said it is likely Groupon will select within the digital ranks.</p>
<p>Lastly, and perhaps most important, the Groupon COO candidate is going to have to accept that the role will not be a CEO-in-waiting, either before or after its inevitable IPO in the next year.</p>

<p>While I have received several tips that Co-founder and CEO Andrew Mason (pictured here) might not stay its principal exec, extensive checking with sources inside and outside the company indicate that such a move is highly unlikely.</p>
<p>&#8220;Andrew is beloved to the board, by investors and, most of all, by employees,&#8221; said one source. &#8220;He&#8217;s not going anywhere.&#8221;</p>
<p>Indeed, Mason has a close working relationship with Co-founder Brad Keywell, as well as Groupon Co-founder and Chairman Eric Lefkofsky.</p>
<p>In fact, despite other business interests, Lefkofsky has been very involved in all key decisions with Mason.</p>
<p>That job, presumably, would fall to the new COO, which Groupon should be hiring sooner rather than later.</p>
<p>&#8220;Groupon needs a world-class COO, who can manage hyper-growth, but also who knows that a No. 2 stays in the background while doing it,&#8221; said another source. &#8220;That&#8217;s a tall order.&#8221;</p>
