<p>You want news out of Scott Thompson? Then you&#8217;d be very disappointed with the Yahoo CEO today. Not surprisingly, the new boss &#8212; who wants us to remember that he&#8217;s really only officially been at work for two weeks &#8212; says it&#8217;s too early to talk about his plans.</p>
<p>But he does have some, he insists. For instance:</p>
<ul>
<li>He has a plan to fix Yahoo&#8217;s big mess in Asia.</li>
<li>And he has a plan to help fix ad sales, which have been in turnaround for nine months and are still declining.</li>
<li>And he has a plan to buy some stuff to &#8220;fill in technology gaps” that will help with all of that.</li>
</ul>
<p>But no details on any of that during the Q4 earnings call. Instead, Thompson repeated what he told Yahoo employees during his first address to them &#8212; Yahoo is both a media and technology company, and people should get their heads around that &#8212; and he laid out some big, pretty obvious ideas:</p>
<ul>
<li>It&#8217;s important to pay attention to users and advertisers.</li>
<li>Yahoo should move fast, etc.</li>
<li>He&#8217;s going to double down on some existing Yahoo projects, and cut others.</li>
</ul>
<p>Got it? Good. More details to come, Thompson says. And yes, for the record: That is a serious Massachusetts accent on the new guy.</p>
<p>&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;</p>
<p>EARLIER</p>
<p>Earlier this month, Yahoo CEO Scott Thompson got on the phone with Wall Street analysts, and <a href="http://allthingsd.com/20120104/liveblogging-the-new-yahoo-ceo-call-you-might-want-to-refrain-from-cussing-scott/">refused to discuss the company or his plans for it in much detail</a>.</p>
<p>Fair enough: <a href="http://allthingsd.com/20120124/yahoos-q4-limps-in-close-to-wall-streets-expectations/">He had just been hired that morning</a>, and had barely met anyone in the company.</p>
<p>So now it&#8217;s been nearly three weeks. Think he&#8217;ll offer much more in the way specifics, in the wake of the company&#8217;s <a href="http://allthingsd.com/20120124/yahoos-q4-limps-in-close-to-wall-streets-expectations/">Q4 earnings report</a>?</p>
<p>Me, neither. But Wall Street will still be hungry for any scraps it can get, whether it&#8217;s an update on the company&#8217;s Asia mess, a hint about future cost-cutting moves, or a general &#8220;here&#8217;s what I think we should be doing&#8221; state-of-the-state.</p>
<p>We will definitely get a chance to hear the Boston accent that seemed to charm everyone so much in early January. Time to see if it&#8217;s still as effective.</p>
<p><strong>4:58 pm</strong>: Greetings! Just doing some finger exercises in advance of the call. Also looking for some Kara Swisher aviator glasses, since La Swish is in transit and cannot cover the call herself. I&#8217;d say I&#8217;ll do my best to channel her as I type, but I don&#8217;t think I could handle that.</p>
<p><strong>5:00 pm</strong>: There&#8217;s time for a quick ticker check: Investors still yawning, and YHOO shares are nearly flat, after-hours. But Apple!</p>
<p><strong>5:01 pm</strong>: And we&#8217;re off. On the call: Thompson and CFO Tim Morse.</p>
<p><strong>5:03 pm</strong>: Thompson: Even though I&#8217;ve been here for three weeks, my official start date was only two weeks ago. Still! I had strong opinions before I arrived, and since then, I&#8217;ve been looking around: Big opportunity here.</p>
<p>Powerful brand, lots of visitors: 702 million globally! Advertisers like us, etc. &#8220;We&#8217;re going to work not just at scale, but with speed.&#8221; &#8220;I feel great about that, but I&#8217;m still very clear that we have a lot of work to do.&#8221;</p>
<p>You want details? Won&#8217;t give &rsquo;em. But I&#8217;ll talk about guiding principles:</p>
<p>For me, I insist &#8220;that we be balanced.&#8221; Have to think about customers, who we are, [something I missed] and how we allocate capital. I&#8217;ll come back to this in a bit.</p>
<p>And before we get to any of that, let&#8217;s talk about Q4 numbers and 2012 projections.</p>
<p>[At this point you can consult the numbers they've already put out]</p>
<p>Let me praise some people. And, &#8220;there&#8217;s no question&#8221; that we can do better. &#8220;And we will.&#8221; Need to get to market faster, monetize better.</p>
<p><strong>5:07 pm</strong>: Here&#8217;s Tim Morse, with some numbers. [Again, you can read most of this, so I'll skip most until he gets to the "color" part.]</p>
<p>Challenging quarter, but I&#8217;m proud of the team. Etc.</p>
<p>And now, some 2011 numbers. [Again, I'll also skip this stuff.]</p>
<p>[Meanwhile, here's Citigroup analyst Mark Mahaney's take, fresh off the grill: "Fundamental trends remain nothing to email home about. The Display Advertising results were a clear negative, and the Search Advertising results continue to remain murky. Stock buybacks are (almost) always good … Scott Thompson has his work cut out for him …"]</p>
<p>Some details on our display missed. We missed by $15m; $10m of that is from Europe and macroeconomic stuff.</p>
<p>We&#8217;re nine months into salesforce revamp. We&#8217;re doing pretty good with that. &#8220;Several major advertisers&#8221; that had bailed or cut back on Yahoo spend have made &#8220;meaningful commitments for 2012.&#8221;</p>
<p>Some search notes. A reminder that we extended Microsoft search deal through 2013.</p>
<p>We&#8217;ll get to 2012 guidance in a minute. But first, a reminder that we&#8217;re still growing visitors and page views. More of that to come. U.S. elections and Olympics will be big for us.</p>
<p>&#8220;In short, we&#8217;ve made progress on many fronts, but that&#8217;s not the whole story.&#8221; Revenue isn&#8217;t growing, and &#8220;we expected better.&#8221;</p>
<p><strong>5:18 pm</strong>: Guidance numbers, which you can also get from the release. But they are &#8220;not reflective&#8221; of our long-term goals. Because we want to grow.</p>
<p>And margins will get better, too.</p>
<p>And yes, we&#8217;re talking about fixing our Asia mess. But we won&#8217;t be able to go into details about that on this call.</p>
<p><strong>5:21 pm</strong>: Back to Thompson. Okay. So here&#8217;s more on that &#8220;balance&#8221; stuff.</p>
<p>First: Customers. Both our users and our advertisers &#8212; we want them both to get real value from us, &#8220;and we will focus equally on both.&#8221;</p>
<p>We have to get people to use us more frequently. And we need advertisers to know we like them, we really like them.</p>
<p><strong>5:22 pm</strong>: Two: &#8220;Balance in who we are.&#8221; We&#8217;re a media company <em>and</em> a tech company. We need to be great about both. &#8220;So we end the debate about which is more important &#8230; we must do both. End of discussion.&#8221;</p>
<p>Three: We gotta grow fast. &#8220;When it comes to making decisions, I make them quickly, and then push to move fast, fast, fast.&#8221;</p>
<p>Four: We gotta balance investment resources for today, tomorrow and long-term. Right allocation of capital is very important. Most resources have to go to &#8220;current core business.&#8221; But a lot also has to go to the products of tomorrow and the next 12 months. And also a &#8220;small but meaningful&#8221; amount into products that won&#8217;t show up for a year or more. We need a vibrant long-term product pipeline, and we have to consider businesses that don&#8217;t look anything like what we&#8217;re doing today.</p>
<p>But need to be very clear &#8212; not about restarting investment cycle. Refocusing, which means there are some things that we&#8217;re going to stop doing [that is, we'll have shutdowns and cuts].</p>
<p>I have some very clear ideas about the specifics of what we&#8217;ll do. But I won&#8217;t tell you about them.</p>
<p>Still, some big ideas: Customer experiences, and data.</p>
<p><strong>5:26 pm</strong>: On customer experience: 702 million users a month. Did I mention that? Yes, I did. I&#8217;ll say it again. &#8220;But the sheer numbers of users will not get us to where we need to be.&#8221; We have to improve their experience while they&#8217;re here: Better interfaces, faster speed, deeper and &#8220;much more relevant content.&#8221;</p>
<p>And we need advertisers to get better results, and spend more money with Yahoo. [Don't do the opposite!]</p>
<p>On to data: We can use data to make the experience better for users &#8212; tweak layout, content, flow of the page and advertisers. &#8220;Nobody has done that yet on the Web.&#8221; &#8220;I know lots of companies talk about using data.&#8221; But we mean it. Crucial for you to understand that data is core to our plans. It &#8220;will be the key component for driving innovation at Yahoo.&#8221;</p>
<p><strong>5:30 pm</strong>: So there&#8217;s some insight for you. Now on to strategic-review update. Roy said on last call that BOD considered a lot of alternatives. &#8220;It&#8217;s important for you to know that the company remains open to anything that&#8217;s good for our shareholders.&#8221; but we&#8217;re &#8220;focusing on what appears most promising.&#8221; &#8220;The work is ongoing, and I won&#8217;t say more about that today,&#8221; but it&#8217;s going to be good for shareholders.</p>
<p>Here&#8217;s the takeaway: There&#8217;s plenty of opportunity here. &#8220;Much bigger than the outside world imagines for us today.&#8221;</p>
<p>I&#8217;m here because we can do more.</p>
<p><strong>5:32 pm</strong>: Alrighty. Q&#038;A time.</p>
<p>Q: Please talk about that Interclick deal. What will they contribute in revenue and earnings? Also, update on revenue per search, please.</p>
<p>Morse: $25M of cost in Q1 from ICLK. $10M in revenue. We expect revenue to ramp throughout the year. As far as RPS increase, Microsoft is doing a nice job, and so are our sales guys.</p>
<p>&#8220;We&#8217;re definitely closing the gap&#8221; when it comes to search. But a reminder that we have a guarantee though March 2013.</p>
<p>Q: On that balance thing: How important will Q&#038;A be here? Big deals in the works? Also, what do you see in macro environment?</p>
<p>Thompson: I think there&#8217;s going to be some stuff that we need that we don&#8217;t have, and so we&#8217;ll probably have to be &#8220;aggressive&#8221; in the market. &#8220;I&#8217;m relatively certain that there will be things that interest us&#8221; to help us &#8220;fill in technology gaps.&#8221;</p>
<p>Morse: Europe wasn&#8217;t great last quarter, and early indications are the same now. Not expecting much change this quarter, anywhere.</p>
<p>Q: How about a dividend? Also, how do your big principles play into display ad turnaround?</p>
<p>Thompson: &#8220;Too early&#8221; to imagine dividends. On turning around display: I&#8217;ve tried to spend a lot of time trying to figure out our problems there. &#8220;We are after that with a very high sense of urgency.&#8221; Number-one priority for now.</p>
<p>Q: Also on display. Any sacred cows going forward? Also, on premium video &#8212; how are your original series performing?</p>
<p>Thompson: Not sure how to interpret that cow question. &#8220;We are understanding and evaluating all options &#8230; personally, I&#8217;m being very aggressive.&#8221;</p>
<p>Morse: Last month, we had nine out of the top 10 original shows in U.S. We don&#8217;t give out revenue and pageview and streaming numbers, but &#8220;assume healthy growth there.&#8221; But more work to be done.</p>
<p>Q: Tim: Please give us more detail on premium display pricing. Scott: You guys made a lot of buzz with that Tom Hanks show announcement. Please discuss economics. Also: Experiment, or prelude to more?</p>
<p>Morse: Like I said, premium display below where we wanted, but it was in the range. And Interclick will make that better.</p>
<p>Thompson: Yeah, that was great buzz at CES. &#8220;It was more than the event itself,&#8221; everyone had nice things to say. &#8220;I was pleasantly surprised.&#8221; Not going to share details on dollars. So far, &#8220;we&#8217;ve had reasonably good success&#8221; with the originals we&#8217;ve done past.</p>
<p>Q: You talked about doing things Yahoo hasn&#8217;t done before. Like what? Also, for Morse: Shouldn&#8217;t he be worried about Yahoo&#8217;s share on mobile devices?</p>
<p>Thompson: Too early for me talk about strategically what we&#8217;re doing. </p>
<p>Morse: On search &#8212; yeah, we want to grow our O&#038;O. In terms of mobile share, it&#8217;s so early right now. &#8220;It&#8217;s very intriguing in terms of how we&#8217;re going to play.&#8221;</p>
<p>But new revenue streams from mobile are even more important than existing ones.</p>
<p>Thompson: Important to point out that &#8220;no winner&#8221; has shown up yet when it comes to mobility. [Really?]</p>
<p>Thompson: Did I mention data? Let me mention it again. We have tons of it. It&#8217;s going to be huge for us. Data and technology can help us predict what users want to do next; it&#8217;s a huge advantage for us.</p>
<p>Q: Carol called this a communications company. Terry Semel called it a media company. And you?</p>
<p>Thompson: I had this all-hands meeting, and I said it again today. There&#8217;s this long-standing debate here. But &#8220;we better be darn good at both. In fact, I think we ought to great.&#8221;</p>
<p>Morse: Discussion of financials. Gap between reporter and subject.</p>
<p>Q: You said you&#8217;d realign around key areas of focus. But what&#8217;s new about that? Are there new verticals? Also, since you&#8217;re talking about investing, how does that jibe with operating margin goals?</p>
<p>Thompson: We&#8217;re working really hard to evaluate options. &#8220;Providing more detail for you today &#8230; is just a little bit premature.&#8221; &#8220;I actually feel a little bit bad&#8221; that I can&#8217;t tell you more.</p>
<p>&#8220;Just a little bit longer, if you will, before we get really specific&#8221; on that.</p>
<p>Morse: Yes, we&#8217;re going to spend money. But we&#8217;re also going to stop those projects, so we can move money around.</p>
<p>Q: On display: Seems like big opportunity to monetize your leftover inventory. Talk about that, please.</p>
<p>Morse: Yep. That&#8217;s one reason why we bought Interclick. (Also, theoretically, the reason for <a href="http://allthingsd.com/20110914/all-for-one-yahoo-aol-microsoft-band-together-for-ad-plan/">this</a>.)</p>
<p>Q: Talk more about Interclick. $10m revenue, $25M costs. But that doesn&#8217;t look like what they were doing before you bought them &#8212; they had $2M EBITDA per quarter. What&#8217;s going on?</p>
<p>Morse: A lot of what they were doing before was related to Yahoo, so we have to eliminate some of that for reporting. Also, we&#8217;re building out so we can do more with that. Also, we have to start amortizing intangibles. Also! &#8220;This is the first quarter, right out the gate.&#8221;</p>
<p>Q: For Scott: You talked about growth before. Can you talk about growth via acquisition, and new business versus growth of existing business? Also, please talk about mobile traffic.</p>
<p>Thompson: I&#8217;ve talked to customers. &#8220;The conversations were fascinating.&#8221; People want us to grow. They also told us &#8220;exactly what we have to do to get more of their spend, today.&#8221; We can do that. We don&#8217;t have to grow solely via M&#038;A. &#8220;The really good news is, the customers are there, they&#8217;re cheering for us.&#8221;</p>
<p>As far as mobile, I haven&#8217;t really seen the data. But I&#8217;m sure it&#8217;s growing really fast. It did at the last business I was at.</p>
<p>Morse: Right.</p>

Ha.</p>
<p>So here&#8217;s the latest (for those just tuning in, we&#8217;ll do backstory later &#8212; who said the inverted triangle was dead?):</p>
<p>TechCrunch&#8217;s Mike Arrington is no longer working for AOL&#8217;s Huffington Post Media Group, but he remains employed by AOL. He&#8217;ll be running his new CrunchFund as part of the company&#8217;s AOL Ventures arm, says Maureen Sullivan, who runs AOL corporate communications.</p>
<p>That&#8217;s consistent with what the company said yesterday, but contradicts what <a href="http://www.businessinsider.com/aol-mike-arrington-not-employed-by-aol-2011-9">AOL HuffingtonPost spokesman Mario Ruiz told the Business Insider this morning</a>. But since Sullivan reports directly to AOL CEO Tim Armstrong, we&#8217;ll take her word on this.</p>
<p>Sullivan also says that Arrington is no longer officially working for TechCrunch, the powerful tech Web site he built, then <a href="http://allthingsd.com/20100928/youve-got-mail-mike-arrington-aol-buys-techcrunch/">sold to AOL last year</a>. That also syncs up with the official line from yesterday. AOL will hire a new managing editor, but Arrington will keep his &#8220;founding editor&#8221; title, and will continue to write for the site, but will need to disclose conflicts of interest when he does so, etc.</p>
<p>Again, no change. So really, the only question is: What kind of influence and input will Arrington have on TechCrunch when he&#8217;s <em>not</em> writing? Here this gets sticky, and it doesn&#8217;t look like it will ever be unsticky.</p>
<p>Sullivan says that Arrington&#8217;s relationship with TechCrunch is &#8220;still to be determined, and it&#8217;s important to make sure that Arianna [Huffington] is super comfortable with that relationship &#8230; I think that everyone is going to be very careful that there isn&#8217;t influence on coverage.&#8221;</p>
<p>Just to be clear about it, Sullivan called me back a while later to reiterate the same points. &#8220;Michael is now a professional investor working for AOL. He will have no editorial control.&#8221;</p>
<p>Hear that, CrunchFund investors? The guy you are handing $20 million to won&#8217;t be able to influence the way TechCrunch interacts with your companies, your investments and your potential investments. Is that what you signed on for?</p>
<p>Now, one last compare and contrast exercise. Here&#8217;s Greylock Partners Reid Hoffman&#8217;s rationale for investing in the CrunchFund, via <a href="http://allthingsd.com/20110902/crunchfund-unethical-ventures-pigpile-partners-no-matter-what-you-call-it-its-business-as-usual-in-silicon-valley/">Kara Swisher&#8217;s story this morning</a>:</p>
<blockquote class="memo"><p>&#8220;Techcrunch will get some real deal flow from entrepreneurs that we would otherwise not see, because they have established a prominent position as the SV/Tech industry information feed. As many tech entrepreneurs read it — both within Silicon Valley and globally — and view the information news feed to be their target for announcing themselves to the world, Crunchfund will have access to deal flow to these diverse and early stage companies. Some of these companies will be the kind of early stage companies with billion-dollar potential that Greylock invests in.”</p></blockquote>
<p>It&#8217;d be great to hear from the principals on this, so I&#8217;ve dutifully pinged Arrington, Huffington and Armstrong. But my hunch is that some of them, at least, will be mum for a bit. More later! I bet!</p>

<p>In 2010, Jobs told Walt and Kara how the iPhone actually grew out of a multitouch display Apple was developing for a tablet. The OS was so promising that Jobs put the tablet on the back burner and used the OS for the iPhone instead.<br />

			<content:encoded><![CDATA[<p>Groupon has faced questions <a href="http://allthingsd.com/20110810/groupon-filing-acsoi-dumped-revenue-and-subs-up-losses-remain/">about its controversial accounting practices</a>, and now it has to respond to questions from members of Congress about its privacy policies.</p>
<p><img class="alignright size-full wp-image-111984" title="agreements-349x285" src="http://allthingsd.com/files/2011/08/agreements-349x285.png" alt="" width="349" height="285" />In July, the largest daily deals company sent an email to subscribers, saying it was changing the way it would use mobile location information. The same month, a congressman wrote to Groupon CEO Andrew Mason asking for more information regarding its data collection techniques, <a href="http://www.reuters.com/article/2011/08/18/us-groupon-mobile-idUSTRE77H66H20110818">Reuters reports</a>.</p>
<p>At the time, Groupon explained to users: &#8220;If you use a Groupon mobile app and you allow sharing through your device, Groupon may collect geo-location information from the device and use it for marketing deals to you.&#8221;</p>
<p><strong>AllThingsD</strong>&rsquo;s Kara Swisher <a href="http://allthingsd.com/20110709/groupon-updates-privacy-rules-including-on-mobile-tracking-and-sharing-of-personal-information/">wrote</a> at the time: &#8220;In other words, if you let them, in order to improve the experience and make the Groupon app more useful, you&#8217;re being tracked.&#8221;</p>
<p>This was about the same time that Apple and Google got into hot water for tracking users on the phone, ostensibly in order to improve location-based services.</p>
<p>Groupon has become accountable for its actions not only because of the size of its business but also because of its announced intention to raise $750 million in a public offering.</p>
<p>In a response to the congressional questions, Groupon&#8217;s general counsel David Schellhase explained that the company is developing technology that will track customers&#8217; locations, even if they don&#8217;t have the Groupon app open on their phones.</p>
<p>The letter was written to the co-chairmen of the House Bipartisan Privacy Caucus &#8212; Joe Barton, a Texas Republican, and Edward Markey, a Massachusetts Democrat &#8212; who made it publicly available today, according to Reuters.</p>
<p>Today, Groupon offers a service called Now that offers deals &#8212; based on a user&#8217;s location &#8212; that can be redeemed immediately. But in order to find the offers, you have to remember to open the app and search for discounts manually.</p>
<p>Schellhase argued in the letter that customers are asking for services, such as push notifications, that would make the process more automatic.</p>
<p>In the letter, Schellhase explained that if it were able to track a user&#8217;s location at all times, Groupon could send a notification to the phone that would appear around lunchtime and alert that person to an offer for a nearby restaurant.</p>
<p>&#8220;In order to choose a relevant deal for the user at the correct time, location information would need to be collected about the user just before noon, even if the Groupon mobile application is not running on the device at that time,&#8221; he explained.</p>
<p>Schellhase added that customers would have to sign up for the service, otherwise Groupon would not collect the data.</p>

These new accounts &#8212; specifically about Apple, venture capital, personnel changes or mobile, to name a few &#8212; allow readers to more closely follow topics and companies they care most about. </p>
<p>We&#8217;ve chosen to keep the main <a href="http://twitter.com/#!/allthingsd"><strong>@AllThingsD</strong></a> account live and real-time, meaning it will still deliver all of our stories within seconds of publishing. </p>
<p>But readers aren&#8217;t always awake when the news they care about breaks, so the new topic- and category-specific accounts are optimized through our partnership with <a href="http://www.socialflow.com/">SocialFlow</a>, a real-time service for social media delivery. </p>
<p>SocialFlow listens for when the followers of a Twitter account are active, and chooses to tweet the posts that are best. Some articles may be held back for a short time, especially those published in off-hours, although we&#8217;ve chosen settings that will keep anything from getting stale and also maximize the relevance of our tweets.  </p>
<p>The system is designed so that readers following our main <strong>@AllThingsD</strong> account can also follow others without being overburdened by additional tweets. </p>
<p>Following multiple accounts just means you&#8217;re more likely to see news that is important to you. </p>
<p>Aside from Twitter, which we know to be popular with our readers, we have also expanded our use of Facebook. </p>
<p>At the main <a href="http://www.facebook.com/allthingsd"><strong>AllThingsD</strong> page</a>, we curate and offer commentary on some of our more topical and consumer-focused stories. 			<content:encoded><![CDATA[<p>Groupon has spent a ton of money attracting new customers to sign up for its daily deals service.</p>
<p><a href="http://allthingsd.com/20110808/groupons-outrageous-marketing-costs-appear-to-be-working/groupon_diner/" rel="attachment wp-att-107292"><img class="alignright size-medium wp-image-107292" title="Groupon_diner" src="http://allthingsd.com/files/2011/08/Groupon_diner-380x285.png" alt="" width="380" height="285" /></a>So much money, in fact, that it wanted to exclude those costs from its financial results &#8212; by some calculations &#8212; in order to downplay the impact to its bottom line.</p>
<p>However, due to regulatory pressure, Groupon is expected to amend its S-1 document to remove those figures from its next filing, coming as soon as this week, <a href="http://allthingsd.com/20110805/exclusive-groupon-will-dump-controversial-ascoi-accounting-in-new-ipo-filing/">according to an exclusive report by <strong>AllThingsD&#8217;s</strong> Kara Swisher</a>.</p>
<p>Setting the controversy aside for a moment, however, it appears that, while expensive, those marketing efforts have done a good job of getting millions of users signed up for Groupon&#8217;s daily deal as quickly as possible.</p>
<p>Groupon has already doubled its subscribers to 115 million this year, up from 50.58 million at the end of last year, <a href="http://www.reuters.com/article/2011/08/06/us-groupon-subscribers-idUSTRE7746I120110806">Reuters</a> reports. That&#8217;s also up 38 percent from just five months ago, when it reported having 83.1 million subscribers at the end of the first quarter.</p>
<p>Groupon is now triple the size of LivingSocial, <a href="http://allthingsd.com/20110727/repeat-of-livingsocials-first-offer-two-years-later-tells-the-tale-of-daily-deals/"> its closest competitor at 40 million subscribers</a>.</p>
<p>Groupon likely paid considerably for those users, if its marketing budget in the first and second quarters was anything like last year&#8217;s.</p>
<p>In 2010, Groupon reported that it lost $413.4 million using standard accounting practices. When it excludes some costs from its calculations &#8212; including online marketing expenses to attract new customers &#8212; it recorded a profit of $60.6 million in 2010.</p>

<p>The News Corp. CEO, along with his son James and former employee Rebekah Brooks, head to British Parliament today to answer questions about the still-mushrooming PhoneGate scandal.</p>
<p>You&#8217;ll be able to watch the event, which begins at 9:30 am Eastern time, on just about any U.S. news channel you&#8217;d like: CNN, MSNBC, C-SPAN and the Current will be broadcasting the hearings. So will Fox News Channel, which &#8212; like this Web site &#8212; is owned by News Corp.</p>
<p>You should also have multiple opportunities to watch the event live via Web video. British broadcaster ITN, for instance, is <a href="https://www.facebook.com/event.php?eid=167740696630081">offering up a live stream via its Facebook page</a>. I believe, but haven&#8217;t confirmed, that <a href="http://www.c-span.org/Live-Video/C-SPAN/">C-SPAN will stream live</a>, too.</p>
<p>And we&#8217;ll be liveblogging the event ourselves, <a href="http://allthingsd.com/20110719/liveblogging-murdoch-son-at-phonegate-hearing-a-lion-in-winter/">courtesy of <strong>AllThingsD</strong>&rsquo;s Kara Swisher</a>. (I&#8217;m biased here, but I&#8217;m quite sure Kara will provide entertaining coverage &#8212; this is a woman <a href="http://www.talkingbiznews.com/?p=25681">who won an award for liveblogging Yahoo earnings calls</a>.)</p>
<p>Meanwhile, some context. You can find plenty of news outlets telling you what&#8217;s at stake for the Murdoch men today, but <a href="http://paidcontent.org/article/419-murdochs-have-a-lot-riding-on-tuesdays-command-performance/">Staci Kramer at paidContent does a concise job</a>. A reminder: This isn&#8217;t a trial, and no matter what the men say, they&#8217;re not going to appease outraged Britons.</p>
<p>So in some ways, today&#8217;s event is most consequential for the way it plays out for News Corp. shareholders. Rupert Murdoch needs to show that his company would be better off if he remains chief executive; James needs to demonstrate that he&#8217;ll still have the ability to run the family company down the line.</p>
<p>A couple more thoughts before the show gets underway:</p>
<ul>
<li><strong>Rupert Murdoch is used to performing in public, but under very different circumstances.</strong> Until recently, Murdoch has used his quarterly earnings calls as an extended public interview, taking questions from both investors and the press. That&#8217;s a rarity for public company CEOs, and has made for some very entertaining moments (at least by the standards of paint-drying earnings calls). But those questions were never really that pointed. And while Murdoch tended to answer the queries with imperial certitude, the stakes were always lowish &#8212; if need be, his investor relations or public relations could usually reel a stray answer in after the fact. Today he&#8217;ll face hostile questions, and will be operating without any kind of net at all.</li>
<li><strong>Rupert Murdoch&#8217;s great love for newspapers is now a liability.</strong> The corporate scandal playbook calls for an embattled chief executive to take responsibility for his company&#8217;s missteps, while explaining they&#8217;re the result of a few bad actors working in isolation. But Murdoch&#8217;s affection for his newspapers, and his hands-on approach to many of them, will make it much harder for him to do that. In the words of <a href="http://nymag.com/daily/intel/2011/07/why_rupert_murdoch.html">New York magazine&#8217;s Gabriel Sherman</a>: &#8220;Rupert will have to demonstrate that, after a lifelong passion for the newsroom, he detached himself from his journalists&#8217; activities. It will be a hard sell.&#8221;</li>

<p><a rel="attachment wp-att-76794" href="http://allthingsd.com/20110523/square-launches-payments-system-that-obsoletes-registers-and-wallets/square_visa-swipe/"><img class="alignright size-medium wp-image-76794" title="square_visa swipe" src="http://allthingsd.com/files/2011/05/square_visa-swipe-179x285.jpg" alt="" width="179" height="285" /></a><a href="https://squareup.com/">Square</a>, the mobile payments provider that is trying to redefine the way consumers spend money and the way merchants charge for it, has secured $100 million in a third round of funding, led by new Square investor Kleiner Perkins Caufield &amp; Byers with participation from Tiger Global Management.</p>
<p>The extraordinarily large round comes at a $1 billion valuation, <a href="http://online.wsj.com/article/SB10001424052702304665904576383813592144744.html">the WSJ reports</a>.</p>
<p>I guess it&#8217;s fitting that a company whose primary business is accepting credit cards can practically print cash.</p>
<p>Only seven months ago, Square <a href="http://allthingsd.com/20110110/square-confirms-27-5-million-in-new-round-of-funding/">raised $27.5 million round</a> in a second round of funding. Now that looks like pocket change.</p>
<p>Since then, the San Francisco-based company has expanded significantly.</p>
<p>It has quickly evolved beyond its original model, which consisted of handing out magnetic swipe readers that allowed users to accept payments via their mobile phones. That business was met with warm reception by small business owners, ranging from individuals at a garage sale to musicians selling CDs at a concert.</p>
<p>Last month, it continued its vision by rolling out an iPad-based solution for small retailers and merchants <a href="http://allthingsd.com/20110523/square-launches-payments-system-that-obsoletes-registers-and-wallets/">who were looking for a way to replace the clunky register on their counter</a>, and also a new way to track inventory and manage a menu.</p>
<p>An accompanying mobile app enables individuals to open a tab at their favorite local merchants, store digital receipts and browse nearby directory and menu listings.</p>
<p>The words that Square&#8217;s CEO Jack Dorsey, who is also the head of product at Twitter, said earlier this month at <strong>D9 </strong>ring more true now than ever.</p>
<p>While on stage, <a href="http://allthingsd.com/20110601/jack-dorsey-of-square-and-twitter-live-at-d9/"><strong>All Things D&#8217;s</strong> Kara Swisher asked Dorsey</a>: &#8220;Want to tell me about your IPO?&#8221;</p>
<p>Dorsey answered: &#8220;Which one?&#8221;</p>
<p>Square might still need every dime it can get <a href="http://allthingsd.com/20110526/who-will-win-at-mobile-payments-google-or-square/">to fend off the competition</a>, which includes Google among many others.</p>
<p>As part of the financing, Mary Meeker, a partner at KPCB, will join the company&#8217;s board.</p>

			<content:encoded><![CDATA[<p>Groupon CEO Andrew Mason made history today as the first speaker at the D conference to ever request that his poster image be based on a recent driver&#8217;s license photo&#8211;goofy grin and all.</p>
<p>As the man who has overseen Groupon&#8217;s wild ride to the top of the daily deals market, Mason is routinely called quirky or funny. And, in one of his finer moments as CEO, his appearance was compared <a href="http://allthingsd.com/20110516/atd-invades-groupons-chicago-hq-video/">to an unmade bed</a>.</p>
<p>His wry sarcasm permeates the company&#8217;s culture, with staff writers crafting charming scrips offering a $20 hair cut for 10 bucks. But his humor has also backfired at times, the best example being its Super Bowl commercials, <a href="http://allthingsd.com/20110211/groupon-defeated-in-super-bowl-ceo-apologizes-pulls-all-tv-commercials/">which landed Groupon in hot water</a>.</p>

<p>Here&#8217;s the liveblog of Mason and Kara Swisher duking it out for who can be the most clever. Swisher <a href="http://allthingsd.com/20110601/exclusive-groupon-books-travel-plans-through-expedia-partnership/">needles Mason about Groupon&#8217;s just-announced travel deal with Expedia</a>, and attempts to cajole him into spilling the beans on the company&#8217;s looming IPO, and why he turned down a $6 billion offer from Google.</p>
<p>Likewise, Mason deflects her questions with elaborate tales that have little to do with anything.</p>
<p>Expect the unexpected. Here we go:</p>
<p><strong>1:24 pm</strong>: We are just waiting for everyone to take the stage, so hold on.</p>
<p>If you missed it, Groupon and Expedia just hours ago announced a partnership for a travel-focused deals service.</p>
<p><strong>1:27 pm</strong>: OK, here we go. Kara just took the stage.</p>
<p>Ooh, a hint. Lots of news coming up, she says.</p>
<p>We are starting off with Andrew Mason, CEO and co-founder of Groupon!</p>
<p><strong>1:28 pm</strong>: Mason gets on stage and has something he really wants to get off his chest. It&#8217;s the Groupon IPO!</p>
<p>Kara: What&#8217;s the date for the filing?</p>
<p>Mason says the news is that they still don&#8217;t have anything to announce.</p>
<p>Kara: That&#8217;s not news!</p>
<p><strong>1:29 pm</strong>: Kara challenges him: I heard it&#8217;s quite soon.</p>
<p>Mason says nothing, but stares comically, head nodding. Gritting his teeth. </p>

<p><strong>1:30 pm</strong>: Let&#8217;s change the subject and talk about the picture!</p>
<p>Kara says she thinks Mason looks like a dork in his driver&#8217;s license photos, and hands him a present. It&#8217;s a 4&#8242;x6&#8242; version of his D9 likeness, suitable for hanging in his office.</p>
<p>Whoa, that&#8217;s really big.</p>
<p>Mason struggles to roll up the massive WSJ-style illustration.</p>

<p><strong>1:31 pm</strong>: Kara wants to get back to business, and says, seriously, let&#8217;s talk about the IPO.</p>
<p>Mason: Seriously? Ok, let me talk about the reasons why generally a company wants to be public.</p>
<p>I run a business, and going public is a way for shareholders to get money. In this day and age, people have a tolerance for companies running over the long term. I don&#8217;t think there&#8217;s any downside to making a decision like that.</p>
<p>In other words, not everything has to be set in stone about the company&#8217;s business before its files. </p>
<p><strong>1:32 pm</strong>: Next question. Kara: Did you ever imagine growing this quickly?</p>
<p>We didn&#8217;t always grow this fast. We launched in December 2008, and once we figured out a playbook for running in one city, we launched in others.</p>
<p>Today, Groupon is in 46 countries and has 8,000 employees. (That&#8217;s probably one employee for every dot in his WSJ illustration.) A year ago, he said they had 1,500.</p>
<p>About half of them are selling, he adds, and most of them are in local markets. In Chicago, there&#8217;s a big call center.</p>
<p>It&#8217;s a very manual business. We&#8217;ve approached relationships with local companies differently than a lot of Silicon Valley companies.</p>
<p><strong>1:34 pm</strong>: Kara: People have tried local a million times and it hasn&#8217;t worked.</p>
<p>Mason: We don&#8217;t have preconceived notions about what local ought to be.</p>
<p>Here come the questions about all the Groupon clones&#8230;.</p>
<p>Mason hates the clones.</p>

<p>Mason explains why he&#8217;s so upset by the clones: We spent two years pivoting before we landed on this model. We are proud of the idea in the way anyone would be if they invented something.</p>
<p>All the clones were drafting everything we were doing. I was  a music major, and with music, we call that plagiarism. But in business it&#8217;s called competition.</p>
<p>I&#8217;m on board now!</p>
<p><strong>1:38 pm</strong>: Now Mason is talking about what haunts him the most about his business. Basically, he&#8217;s scared it doesn&#8217;t grow or evolve fast enough.</p>
<p>Over the course of the year, Groupon has migrated from a sales and marketing company to a technology company with more relevant and personalized deals.</p>
<p>My biggest mistake was waiting to open an office in Silicon Valley. Chicago is a great town, but it doesn&#8217;t have the depth of talent that you guys have.</p>
<p><strong>1:40 pm</strong>: Kara is now addressing Groupon&#8217;s margins, which have been very attractive to date. But with more competitors and partnerships, like Expedia, they may erode over time.</p>
<p>Now Mason is turning it around on Kara, asking her how <em>she</em> thinks Groupon will fail.</p>
<p>(BTW, he interjects that he doesn&#8217;t feel comfortable hanging a big picture of himself in his office.)</p>
<p>And we&#8217;re back to the interview&#8230;</p>
<p>I told you this interview will be all over the place. I hope you are all still keeping track!</p>
<p><strong>1:42 pm</strong>: Now, really seriously, Mason says Groupon will continue to have great margins as long as it is providing a great service to its customers&#8211;which are the merchants.</p>
<p>As long as we deliver good deals to customers and a good ROI to merchants, the margins will be fine.</p>
<p>Now he&#8217;s talking about his two big partnerships: One with Live Nation to provide discounts on events and concerts, and today&#8217;s deal with Expedia.</p>
<p>&#8220;We know better than anyone that the success of our business has to do with our relationship with merchants. The partnerships are an opportunity to bring our brand and curation with their relationships&#8230;We don&#8217;t think we&#8217;d be able to do it by ourselves.&#8221;</p>
<p><strong>1:45 pm</strong>: Kara wants to know about Groupon Now, which is location-based offers that consumers use instantly, and how it&#8217;s different than what Google announced yesterday with Offers.</p>
<p>Mason said it&#8217;s about getting consumers to use Groupons more often, because most of the time they aren&#8217;t using a Groupon when shopping or dining.</p>
<p>It&#8217;s live in San Francisco, New York and Chicago.</p>

<p><strong>1:47 pm</strong>: Mason is now giving a tortured demo. No, sorry, this is <em>not</em> like an Apple keynote.</p>
<p>You hit &#8220;Eat Something&#8221; to find a deal 0.1 miles away. Or, hey, he asks, why not a spontaneous teeth cleaning?</p>
<p>Mason: We have over 1,000 deals running in Chicago right now in order to pull something like this off. We&#8217;ve always existed between gray area between e-commerce and advertising.</p>

<p>People think of it as an alternative to running an ad in the newspaper or on the radio, but this is more like e-commerce.</p>
<p>I love about the product that you can do something when I&#8217;m bored. I haven&#8217;t gotten my teeth cleaned in six years! (Mason may need a check-up today after all his teeth- grinding.)</p>
<p><strong>1:49 pm</strong>: Kara hits him with two questions at once: Is mobile the future? Do you use regular Groupon that much?</p>
<p>No, he doesn&#8217;t buy many Groupons, Mason admits. He&#8217;s a much bigger fan of Groupon Now. &#8220;I don&#8217;t like having to plan ahead, I like to be able to buy something and use it immediately.&#8221;</p>
<p><strong>1:50 pm</strong>: What does he think about Google offers?</p>
<p>Mason: What they really did well is integration with Buzz.</p>
<p>Big laughs from the audience!</p>
<p>But seriously, again without being too revealing, Mason gives standard lines like, &#8220;competition is good for the consumer,&#8221; and &#8220;innovation is good for the space.&#8221;</p>
<p>Kara: Why didn&#8217;t you sell to Google?</p>
<p>Mason quietly stares. Says nothing. More teeth grinding.</p>
<p>Kara doesn&#8217;t give up, and still wants to know the answer. So, she asks: Why didn&#8217;t you sell to Yahoo?</p>
<p>Mason laughs hysterically.</p>
<p>The non-serious, but serious answer: We are happy as an independent company. Any company should be happy being apart of either Google or Yahoo.</p>
<p>Mason has a request for Kara: Stop asking questions he can&#8217;t answer, so he can stop saying bullshit answers.</p>
<p><strong>1:54 pm</strong>: On to something else&#8230;Let&#8217;s talk about other competitors, like LivingSocial, which is a distinct second.</p>
<p>He lists three categories, where he sees competition coming from in the future:</p>
<p>1. Straight-up clones.<br />
2. Sleeping giants.<br />
3. The ones out of left field.</p>
<p>He says he has to remain focused: &#8220;As along as we make a product that people love more than anything else, we&#8217;ll be successful.&#8221;</p>
<p><strong>1:55 pm</strong>: Groupon is very aggressive on international expansion.</p>
<p>Kara asks about China in particular. </p>
<p>We are doing a joint venture with Tencent, we have a Chinese management team running it. We&#8217;ve only been there for a few months, so there&#8217;s lots of challenges. The big challenge is that there&#8217;s a lot of competition already in China. There&#8217;s one called Groupon. <em>Really</em>, it&#8217;s called Groupon.</p>
<p><strong>1:57 pm</strong>: Will Groupon return to TV commercials after the Super Bowl missteps?</p>
<p>Mason said it was a big misunderstanding. </p>
<p>With the Super Bowl commercials, we tried to have a sense of humor. Part of our purpose is to make life less boring for people. That&#8217;s what we do with the deals, and what we like to do with the write-ups, and that&#8217;s what we tried to do with the commercials.</p>
<p>For us, we though who would seriously believe we would trivialize a cause like this? We gave ourselves too much credit. People believe corporations are more evil than I thought.</p>
<p><strong>2:00 pm</strong>: A question from the audience: How big is the local market?</p>
<p>Mason says that globally, local commerce is a $12 or $14 trillion market. &#8220;If we get 10 percent of that, we&#8217;ll be very happy.&#8221;</p>
<p>Mason declines to comment on what percentage Groupon actually has of that.</p>
<p><strong>2:01 pm</strong>: Next question from a guy in the crowd says he finds Mason to be a &#8220;very charming guy.&#8221;</p>
<p>Despite his non-answers, I guess the death stare is winning people over, eh?</p>
<p><strong>2:03 pm</strong>: Next a loyal Groupon user from the audience asks about &#8220;Groupon burnout&#8221; because he often pays for vouchers that he doesn&#8217;t get around to using before they expire.</p>
<p>Mason: We hate it when Groupons expire because it does create burnout. He says they don&#8217;t see any signs of it.</p>
<p><strong>2:05 pm</strong>: Kara builds on that theme asking about all the stories in the paper about merchants who are overwhelmed and burned by Groupon.</p>
<p>Mason said it&#8217;s like sexual predators on social networks. Those stories are part of the discovery process of a new industry, but there&#8217;s a disproportionate number of stories compared to reality.</p>
<p>&#8220;We have a huge team vetting the offers. We only feature great businesses, and that&#8217;s why Groupon has been successful. It&#8217;s the biggest differentiator,&#8221; he said.</p>
<p>Kara says in many ways, Groupon has been a bank for these businesses because they get all the cash upfront from the offers.</p>
<p>Mason: We don&#8217;t like that as a reason to use Groupon, so we started doling the money out over time.</p>
<p><strong>2:08 pm</strong>: Kara asks next about the wall of magazines that Mason has in the waiting room of his office. They are all of failed companies, like Friendster and Myspace.</p>
<p>Why?</p>
<p>Mason: When I think about the companies that have occupied our space, we are in right now&#8230;Companies lose focus on the customer, and they are too celebratory. I want to make sure we have a culture, and that we are still hungry. It&#8217;s supposed to be a reminder to our employees. I don&#8217;t want them to think they are part of a hip company. We still have to fight every day for our bread.</p>

			<content:encoded><![CDATA[<p>Groupon is celebrating the launch of its new real-time deals service by discounting hundreds of deals in its hometown of Chicago to $1 for a 24-hour period on Friday.</p>
<p><img class="alignright size-medium wp-image-5574" title="grouponnow" src="http://emoney.allthingsd.com/files/2011/05/grouponnow1-153x300.png" alt="" width="153" height="300" />The dollar menu will be the company&#8217;s largest promotion to date and will span hundreds of products and services across thousands of merchants.</p>
<p>The purpose of the promotion is to draw attention to the company&#8217;s new Groupon Now service, which allows people to find instant deals to restaurants and other services based on their location.</p>
<p>Groupon&#8217;s next biggest rival, LivingSocial, launched a similar service called LivingSocial Instant last month <a href="http://emoney.allthingsd.com/20110413/livingsocial-offers-dollar-menu-for-limited-time-in-its-hometown/">with a similar promotion in its hometown of Washington, D.C.</a> Within a three-hour lunch period, LivingSocial <a href="http://emoney.allthingsd.com/20110415/livingsocial-sold-27000-meals-in-three-hours-to-promote-real-time-offers/">said it sold 27,000 $1 vouchers</a>.</p>
<p>Given that Groupon&#8217;s promotion will last for 24 hours and span many more product categories than meals, you&#8217;d expect the numbers to be even higher.</p>
<p>The deal will kick off at 6 am CT tomorrow, and the vouchers will be good only for that day. Users can download the Groupon mobile application, or enter a zip code on the Groupon Now landing page to browse offers. On the site, there&#8217;s a variety of categories, including &#8220;Eat Something,&#8221; &#8220;Have Fun,&#8221; &#8220;Go Shopping,&#8221; &#8220;Exercise,&#8221; &#8220;See a Show,&#8221; &#8220;Get Pampered&#8221; and more.</p>
<p>Presumably Groupon is footing the bill for this promotion and isn&#8217;t expecting retailers and restaurant owners to take the financial hit.</p>
<p>Groupon VP for Mobile Partnerships Michael Shim said <a href="http://emoney.allthingsd.com/20110516/groupon-sees-half-of-all-sales-coming-from-mobile-in-two-years/">at an event on Monday that</a> he expects the service, which went live in Chicago last week, to be a huge source of future offerings. Already, he said, they have had more than 1,000 merchants sign up to offer real-time deals.</p>
<p>“Mobile is huge for Groupon,&#8221; he said. &#8220;I believe we could see us doing 50 percent of deals sold/purchased in the next couple of years.&#8221;</p>
<p>Before the real-time service launched, <a href="http://kara.allthingsd.com/20110324/groupons-andrew-mason-talks-about-no-not-exec-shakeup-but-groupon-now/">Groupon&#8217;s CEO Andrew Mason told <strong>All Things D&#8217;s</strong> Kara Swisher</a>: “Until now, no one has had the assets to fix a merchant problem that was viciously subject to a chicken-and-egg situation.”</p>
<p>The expectation with instant deals is that merchants and restaurant owners will be able to better manage the flow of patrons, and invite them in for a discount when business is slow, rather than doing a traditional daily deal that attracts visitors at all times of the day and week, no matter what the merchant&#8217;s level of need might be.</p>

<p>Software giant Microsoft soundly beat Wall Street expectations in its third-quarter earnings released after the market closed today.</p>
<p>Microsoft said it had revenue of $16.43 billion for the quarter ended Mar. 31, 2011, which was up 13 percent from a year ago. Net income was $5.23 billion, or 61 cents per share, a rise of 31 percent and 36 percent, respectively.</p>
<p>Investors were expecting the Redmond, Wash. tech company to have profits of 56 cents per share, up 45 cents per share in the same quarter last year. Revenue was expected to come in at $16.2 billion.</p>
<p>As usual, Microsoft beating of expectations still has not helped its lackluster stock, which is down almost 14 percent year over year.</p>
<p>Its shares are currently down more than two percent in after-hours trading, to $26.09.</p>
<p>That&#8217;s due to worries about PC market growth, in the wake of an explosion of tablet and smartphone devices from competitors such as Apple and Google.</p>
<p>Most of Microsoft&#8217;s divisions were up in terms of revenue, especially its Xbox, Kinect and Office businesses. That offsetted slowing PC growth, Microsoft said, as well as a 4.5 percent drop in revenue in its flagship Windows and Windows Live division.</p>

<p>Would it surprise you to know that BoomTown doesn&#8217;t really care anymore if TechCrunch editor Michael Arrington sidelines as a blogger while he makes investments in tech companies his tech news site covers?</p>
<p>In a post yesterday, titled <a href="http://techcrunch.com/2011/04/27/an-update-to-my-investment-policy/">&#8220;An Update to My Investment Policy,&#8221;</a> Arrington made his seemingly cogent arguments that plenty of disclosure made it all &#8220;fine,&#8221; took one of his typical look-at-me swipes at anyone who dared to question this logic (apparently, we&#8217;re crappy &#8220;direct&#8221; competitors, so we haters have no standing to comment!) and presumably went on his merry investing way.</p>
<p>While I was first irked&#8211;because it was an appalling show to many of us cranky standards-insisting whiners&#8211;I soon realized Arrington had made a good argument about who he is and, frankly, who he has always been.</p>
<p>In other words, it&#8217;s a kind of there-he-goes-again thing, vaguely icky but hardly surprising and completely genuine.</p>
<p>Meanwhile, his new boss, AOL content head Arianna Huffington, pointed me to his post in an email.</p>
<p>When I asked her for an on-the-record comment, as usual, she politely and quickly complied, writing in support of Arrington:</p>
<p>&#8220;TechCrunch is committed to transparency. Michael has written about the guidelines he follows&#8211;that he rarely writes about companies in which he is an investor, and that, when he does, he clearly discloses this information. The same rules apply when TechCrunch’s writers cover these companies.&#8221;</p>
<p><em>Hold the phone.</em></p>
<p>Because while I kind of understand where Arrington is coming from, what I don&#8217;t understand is how this kind of convenient and on-the-fly rule-making can govern a much larger company whose strongly and repeatedly stated goal by Huffington herself is to create quality journalism.</p>
<p>Since I believed Huffington&#8211;whom I like very much as an Internet figure and as a friend&#8211;I was confused at what the rules for the whole of AOL content were now.</p>
<p>That&#8217;s why I sent her a long new list of questions to answer, which are:</p>
<blockquote class="memo"><p>1) What are, if any, the ethical guidelines about making investments for the editorial staff at HuffPo media group properties?</p>
<p>2) Since Arrington now seems to have permission to do so from you, can other editors at AOL properties do the same&#8211;that is, make very adjacent investments to what their site covers, as long as they disclose it? For example, can an editor who runs the entertainment site make investments in entertainment companies she/he has coverage responsibility over? (By the way, did you give him permission to make these investments? Did he ask?)</p>
<p>3) Is there anyone who polices what is fair coverage of competitors&#8211;i.e. companies competing with companies your editors invest in?</p>
<p>4) If an editor makes investments in a company and someone who works for them writes about that company, does that editor have to recuse himself from the story? Is that even possible?</p>
<p>5) Since you just fired someone for what you called an ethical breach&#8211;asking freelancers to work for free and also seemingly defending an attempt to curry favor with an advertiser/client&#8211;why is this not an ethical breach?</p></blockquote>
<p>I had a lot more questions, still unanswered by Huffington, but you can see where this is going.</p>
<p>Simply put, does AOL, which is touting itself as a 21st-century media company, need to have 21st-century rules of the road? Or perhaps not so much?</p>
<p><strong>UPDATE:</strong> Now, it is a real clown circus at AOL, with the company declaring that editorial personnel cannot make investments, <em>except Arrington</em>!</p>
<p>&#8220;As a rule, in order to avoid conflicts of interests, AOL Huffington Post Media Group editors, writers, and reporters may not have a financial interest in a company or industry that they regularly cover,&#8221; AOL said in a statement to <a href="http://www.businessinsider.com/aol-says-reporters-are-not-allowed-to-invest-in-companies-they-cover-except-michael-arrington-2011-4#ixzz1KqjAqGPL">Business Insider today</a>, even though I nicely asked for a comment on the issue yesterday. &#8220;Arrington operates from a unique position.&#8221;</p>
<p><em>And how!</em> Where do I get such a faboo ethical hall pass from Content Principal Huffington?</p>
<p>I suppose I should go all slouching-towards-Bethlehem here,  and wring my hands over this unusual ruling, but what&#8217;s the use?</p>
<p>As you might have read: &#8220;The best lack all conviction, while the worst are full of passionate intensity.&#8221;</p>
<p>How did this all start, especially since I feel like this ridiculous tempest in a Silicon Valley teapot over Arrington&#8217;s investment-making might actually be my fault a little bit?</p>
<p>Here&#8217;s why:</p>
<p>On Tuesday night around 10 pm (just when I start getting revved up), I wrote a testy email to Arrington&#8217;s bosses at AOL&#8211;Huffington and CEO Tim Armstrong&#8211;as well as the Internet portal&#8217;s sharp PR head, asking for a response about what seemed to me to be a glaring conflict of interest at TechCrunch related to new investment activity by Arrington and the site&#8217;s coverage of those particular companies he had invested in.</p>
<p>It was all disclosed, of course, but it still felt, as I said, <em>icky</em>.</p>
<p>And, given the recent and loudly stated goal of promoting quality journalism by Huffington&#8211;including the recent dismissal of AOL&#8217;s Moviefone site editor over what the company considered ethical lapses&#8211;it seemed pertinent to ask.</p>
<p>Mostly because I don&#8217;t think they actually knew much&#8211;if at all&#8211;about Arrington&#8217;s increasing investing action. Armstrong said as much in an email to me, and Huffington assured me they were going to check it out tout de suite.</p>
<p>But rather than the answer I was waiting on, up popped Arrington&#8217;s missive yesterday, which I assume came after his bosses asked for some info on this.</p>
<p>In it, he explained his controversial decision to go back into investing again, in what is clearly a more significant manner.</p>
<p>It was a practice he had abandoned years earlier, apparently after being pecked by detractors for it.</p>
<p><em>But, dear readers, no more! Let Arrington be Arrington!</em></p>
<p>And that seems to be a talented blogger with a flare for the dramatic, with a clearly sharply-honed news nose and sassy writing skills, but a scribe who much prefers to be a <em>playah</em> than just an observer and chronicler of that play.</p>
<p>And, after more reflection, I thought: Well, maybe it is a better idea for Arrington to go play with all the boys in Silicon Valley, which would probably be more fun than taking flack for lack of traditional journalistic ethics he never ascribed to in the first place.</p>

<p>I once jokingly <a href="http://kara.allthingsd.com/20081218/techcrunchs-yertle-the-turtle-tantrum-over-news-embargoes">nicknamed Arrington Yertle the Turtle</a> after the Dr. Seuss book on one dubious king of one small pond in Sala-Ma-Sond, after he went particularly nuts on the topic of news-embargo breaking.</p>
<p>That diatribe on how he saw news rules&#8211;which is to say, there aren&#8217;t any that bind him&#8211;was vintage Arrington, too. And, after reading his latest post, I suddenly realized that it&#8217;s pointless to give a turtle a hard time for not being a fish.</p>
<p>But Huffington is another story. She has put herself in word and deed right into the center of the debate on where news is going on the Web, especially after <a href="http://kara.allthingsd.com/20110206/youve-got-arianna-aol-buys-huffington-post-for-315-million-in-cash">AOL paid $315 million for her Huffington Post</a> news and opinion site.</p>
<p>Huffington has certainly taken a lot of hits over the years as the HuffPo has grown, some deserved, but she has clearly led an impressive effort.</p>
<p>In fact, I think the cute-kitten and celebrity-loving angle played up by her detractors to dismiss her is silliness, because she and the Huffington Post are clearly more than that and are obviously having a major impact on the future direction of content in the digital age.</p>
<p>But that power she has sought also gives her a responsibility to say exactly what that means on a real and granular and consistent level, beyond the platitudes of wanting to make great journalism that she declares all the time now.</p>
<p>In other words, very specifically: What does Arianna Huffington stand for in regards to journalism? What are her rules and standards and codes? And, perhaps more importantly, what does she <em>not</em> stand up for?</p>
<p>These are questions I hope Huffington&#8211;who is really good at smacking back at criticism, too (See: the <a href="http://mediamemo.allthingsd.com/20110310/arianna-huffington-to-bill-keller-who-you-calling-oxpecker">New York Times&#8217; Bill Keller</a>)&#8211;will address in one of her patented blog-xplosions and many times over, too.</p>

<p>In short, besides signing the <a href="http://www.dowjones.com/codeconduct.asp">Dow Jones Code of Conduct</a>&#8211;standard at The Wall Street Journal and other DJ publications&#8211;all our editorial staff is required to also pen their own in-plain-English personal and detailed account of disclosures that are pertinent to their job.</p>

<p>My <strong>ATD</strong> disclosure is probably the most detailed of all of them, since I gay-married Megan Smith a dozen years ago. She later became a VP at Google, which I cover from time to time, especially related to other companies I focus on more, such as Yahoo.</p>
<p>Most of the time, if you care to read my posts on Google, I am probably tougher and snarkier than not, mostly because I know the search giant from its earliest days.</p>
<p>And, even though I once wrote extensively for the Journal about Google since its founding and before Megan arrived there, I thought it wise to lay it all out in detailed detail.</p>
<p>(By the way, if you want to try to tweak me by asking what News Corp.-owned Fox News&#8217; ethics rules are, I don&#8217;t know, as <strong>ATD</strong> belongs to Dow Jones, which has had them forever. I will say, though, that Roger Ailes often freaks me out.)</p>
<p>In any case, as Arrington preaches, the more disclosure the better, and perhaps I should say even more so here, given the current swirl, by noting explicitly that I garner exactly <em>no</em> financial benefits from my relationship with Megan.</p>
<p>That might seem odd, because she certainly earns more. But I don&#8217;t know how much nor do I ask, since we have separate bank accounts and she always pays up&#8211;well, <em>almost</em> always&#8211;when half the bills are due. While it sounds painfully un-romantic, we only spend overall what each of us can afford equally in an exact 50-50 split.</p>

<p>In addition, I also legally signed away all rights to inheritance&#8211;although I had no such marriage rights in the first place, being gay&#8211;of Megan&#8217;s assets, which are in a trust for her relatives and our sons (for when they are too old to have any fun).</p>
<p>More to the point, I believe this makes me the only person to marry an exec at a hot Silicon Valley company with no prospect of any gold-digging.</p>
<p>Thus, I clearly would make the worst investor <em>ever</em>&#8211;not that I ever invest in tech or plan to while I am a reporter covering the sector.</p>
<p>Thank god, I suppose, that Michael Arrington is there to take up the slack.</p>

<p>April showers bring&#8230;well, a bad month for the still-young stock of online content maker Demand Media.</p>
<p>After a successful IPO in January, shares of the Santa Monica, Calif., company had stayed largely in the mid-$20 range, including a high of $27.38.</p>
<p>That is, until this month, when gloom in the form of algorithm changes at Google&#8211;with the seemingly dulcet code name of &#8220;Panda&#8221; and designed to weed out poorly made content&#8211;appeared to hit SEO-heavy Demand hard.</p>
<p>At first, the updates by the search giant seemed not to effect Demand as much as other sites. But more recent tweaks have caused <a href="http://kara.allthingsd.com/20110417/demand-media-about-google-algo-impact-move-on-nothing-to-see-here">traffic to its flagship site, eHow.com, to be much more negatively impacted</a>.</p>
<p>And&#8211;presumably due to its search advertising-heavy business model&#8211;that worry then caused the stock to plummet from above $24 in the beginning of April to yesterday&#8217;s close of just above $15.</p>
<p>Since Demand went public, its shares are now down almost 34 percent.</p>

<p>Of course, this might all be needless panic on the part of Wall Street investors, but the drop has been all too real.</p>
<p>Not surprisingly, Demand acknowledged the dip, but also countered some third-party reports that were more dire.</p>
<p>It tried to staunch that worry on April 18, with a press release and blog post by its Media and Operations EVP Larry Fitzgibbon, which read in part:</p>
<blockquote class="memo"><p>&#8230;Google recently made significant search algorithm changes in an update dubbed Panda that has rolled out in various capacities from late February thru mid-April. With respect to Panda’s mid-April update, some of our properties saw Google search referrals move up while other properties, including our largest property eHow.com, saw these referrals go down.</p>
<p>As I said in my prior post, we generally do not comment or speculate on changes by major search engines, as these changes can happen nearly daily. However, recent third-party reports attempting to estimate the impact to our search driven traffic, including one projecting a 2/3rds decline in eHow.com traffic, are so significantly overstated that we decided to comment. As discussed in our press release issued today, we currently expect that in Q2 2011 our owned and operated Content &#038; Media properties will generate year-over-year page view growth comparable to or greater than the year-over-year page view growth reported for Q2 2010. We have also reaffirmed our calendar year 2011 financial guidance in this press release.</p></blockquote>
<p>That&#8217;s why it will be interesting to see what Demand execs will say on its first-quarter earnings call next Thursday, May 5, to explain how it will cope with Panda and&#8211;more importantly&#8211;what it plans to do to minimize the <em>skadoosh</em> impact on its business and share price.</p>

<p>While there, I also interviewed <a href="http://kara.allthingsd.com/20110426/aols-hyperactive-ceo-tim-armstrong-talks-about-whats-next/">AOL CEO Tim Armstrong</a>, who was visiting from New York, about his dogged efforts to focus the long-struggling company on premium content and advertising. So far, Wall Street investors are not biting, knocking AOL stock down 29 percent year over year.</p>

<p>AOL CEO Tim Armstrong has certainly had a very busy year, from the continued massive restructuring of the troubled Internet portal to ziggy-zaggy strategic shifts in content and advertising to a series of frenetic acquisitions, capped by the <a href="http://kara.allthingsd.com/20110206/youve-got-arianna-aol-buys-huffington-post-for-315-million-in-cash">$315 million purchase of the Huffington Post</a> earlier this year.</p>
<p>Also, let&#8217;s not forget all those fabulous appearances with the mediagenic Arianna Huffington.</p>
<p>So, it was nice to get Armstrong to calm down for a minute&#8211;before he headed off for an off-site in Half Moon Bay, Calif., with his senior staff&#8211;and talk about how AOL plans to digest all those things.</p>
<p>That&#8217;s especially important, since Wall Street is still wondering about that, too. A lot, in fact, with AOL shares down 29 percent year over year, which is not exactly a shining endorsement  by investors of Armstrong&#8217;s tenure.</p>
<p>Presumably, he&#8217;ll be explaining it all when the company reports its first-quarter earnings in a week, on May 4.</p>

<p>We&#8217;ve done a lot of onstage interviews at our <strong>D: All Things Digital</strong> conferences with the leaders of tech.</p>
<p>That includes Apple CEO <a href="http://d8.allthingsd.com/20100601/steve-jobs-session">Steve Jobs</a> and Google smartphone kingpin <a href="http://mobilized.allthingsd.com/20101206/googles-andy-rubin-dives-into-android">Andy Rubin</a>, both of whom are now dealing with the fallout over a series of reports that iOS and Android smartphones regularly transmit their locations back to both companies.</p>
<p>The privacy implications are obvious.</p>
<p>As <a href="http://mobilized.allthingsd.com/20110422/google-of-course-our-location-based-services-require-your-location-info/">Mobilized&#8217;s Ina Fried wrote last week</a>:</p>
<blockquote class="memo"><p>Questions about what location-based information Android makes use of followed reports that Apple&#8217;s iPhone and 3G-equipped iPads are storing a history of location information in an unencrypted database on the device. The Wall Street Journal on Thursday noted that both Android and Apple devices are sending certain location information back to the companies.</p>
<p>In addition to that issue, there are separate issues over the length of time such information is stored, both on the device and by Apple and Google. The iPhone (and 3G-equipped iPads) appear to be storing a long-term directory of where a device has been and keeping that information in an unencrypted database. Google keeps a small cache of such information, to allow mapping and search to work even if a device temporarily loses GPS signal. However, it doesn&#8217;t keep a long-term record on the device.</p></blockquote>
<p>That&#8217;s why we cut this video of Jobs and Rubin talking about privacy, specifically and respectively at the eighth <strong>D: All Things Digital</strong> last summer and at <strong>D: Dive Into Mobile</strong> in December.</p>
<p>&#8220;We take privacy extremely seriously,&#8221; said Jobs, who addressed the smartphone location data issue in particular. &#8220;A lot of people in [Silicon] Valley think we&#8217;re old-fashioned about this.&#8221;</p>
<p>And I pressed Rubin on Android being a &#8220;probe in your pocket,&#8221; and he said its mobile open source operating system did not collect data, although Google services did.</p>
<p>&#8220;I think this is a trust and verify,&#8221; Rubin noted.</p>
<p>Both Jobs and Rubin make some pretty strong privacy-related statements in these videos, so it will be interesting to see how it all shakes out:</p>
