<p>Let&#8217;s be clear on the much-awaited Asian deal that Yahoo and its Asian partners have been working on: While it is certainly still moving forward, once signed, it will not actually officially close until next year.</p>
<p>Yes, that&#8217;s right &#8212; <em>2013</em>!</p>
<p>Still, what everyone and his investor is waiting for is the splashy announcement of the agreement, which involves the Silicon Valley Internet giant, China&#8217;s Alibaba Group and SoftBank, a large shareholder in Yahoo Japan.</p>
<p>Yahoo leadership has been hoping that could happen before Feb. 24, an <a href="http://allthingsd.com/20120109/come-west-daniel-loeb-a-silicon-valley-visit-as-as-yahoos-activist-shareholder-mulls-proxy-fight/">important date after which activist shareholder Daniel Loeb</a> could begin to mount a proxy fight against the current board.</p>
<p>And while the definitive agreement &#8212; involving the sale of Yahoo&#8217;s 33 percent stake in Alibaba and 35 percent stake in Yahoo Japan &#8212; has been moving back and forth among the dealmakers, one source said its completion might take a little longer than that, perhaps even into mid-March.</p>
<p>&#8220;It is one of the most complicated cross-border transactions in a long time,&#8221; said one person close to the situation. &#8220;It&#8217;s three different languages, three time zones and three companies that have not always seen eye to eye.&#8221;</p>
<p>It&#8217;s not that the companies don&#8217;t have the top talent on the effort. For Yahoo, it is CFO Tim Morse (who most recently also warmed the CEO seat, until Scott Thompson&#8217;s recent appointment); for Alibaba, it&#8217;s CEO Jack Ma and CFO Joe Tsai; and, for SoftBank, it is top man Masa Son and his top man Ron Fisher.</p>
<p>To make things even more complex, at the same time as the negotiating is going on, the trio also has to pay mind to how the Internal Revenue Service in the U.S. is going to view the whole deal. </p>

<p>As you can see here from a <a href="http://online.wsj.com/article/SB10001424052970204331304577143121744990212.html">Wall Street Journal chart</a>, it&#8217;s a pretty complicated &#8220;cash-rich split-off&#8221; to avoid taxes.</p>
<p>While the IRS cannot take an application for a <a href="http://en.wikipedia.org/wiki/Private_letter_ruling">&#8220;private letter ruling&#8221;</a> until it has an actual agreement in hand, and will not issue one on a hypothetical transaction, the agreement still must be crafted so it is most likely to pass muster.</p>
<p>And only then can anyone move on to the many billions of dollars that Yahoo will instruct Alibaba and SoftBank to pay or contribute in kind for the asset part of the arrangement.</p>
<p>As the Journal noted, in more clarity than I ever could: &#8220;A key part of satisfying tax-code requirements is that the company shedding its shares get assets, not just cash, in exchange for them. Cash can&#8217;t account for more than two-thirds of the transferred value, tax rules say. This restriction was adopted in 2005 to limit misuse of the provision.&#8221;</p>
<p>While Yahoo&#8217;s execs have met about the various possibilities, it is more considering now than anything else.</p>
<p>And although a lot of names have been bandied about &#8212; Weather Channel, WebMD, as well as Glam Media and even Digg &#8212; the more likely direction Yahoo will go in will be different, according to many sources.</p>
<p>First, said sources, the key criteria for the purchase will be to diversify revenue streams, a theme Thompson sounded in his <a href="http://allthingsd.com/20120124/so-new-yahoo-ceo-scott-thompson-how-bad-is-it/">first earnings report</a> recently. That could mean more online commerce, perhaps, rather than advertising or media assets.</p>
<p>Second, said sources, international properties might be more valuable to Yahoo than owning more U.S.-based ones, which opens up a range of interesting possibilities.</p>
<p>This could even include some already held by Alibaba, for example, such as garnering a big stake in its publicly-traded Alibaba.com. Technically, via Alibaba, Yahoo already owns some of the e-commerce giant, but not directly. Another possibility is to get back the Yahoo China business, also now owned by Alibaba. </p>
<p>Third, U.S. companies that Yahoo might look at could be unusual and even bold. Two names brought up in recent internal meetings, for example, were Netflix (before its stock revived) and Yelp (which is prepping for an IPO, and which Yahoo once tried to buy already).</p>
<p>And if things were not already needlessly complex in fixing its Asia problem, expect a change in the Yahoo board composition, too, as early as this week. </p>
<p>As I previously reported, at least <a href="http://allthingsd.com/20120117/sources-four-more-board-members-will-be-following-yang-out-the-door/">four directors are expected to move on</a>. More to the point, there will also be replacements announced at the same time.</p>
<p>To stave off Loeb and even give him a perceptible win, sources said the company is considering announcing the changes sooner than later, with the hope that fresh new members will placate other shareholders.</p>
<p>Lastly, with Thompson starting to take the reins after a month there, I would also expect he&#8217;ll weigh in on some significant restructuring (his word, not mine!) at Yahoo soon enough, too.</p>
<p>Complicated? Sure is! Perplexing even? And how! But until Asian and board resolutions, the real work of fixing Yahoo can&#8217;t really begin.</p>

<p>According to sources close to the situation, Yahoo has instituted a hiring freeze across the company and is considering a reduction in force in support units of the company. </p>
<p>While the details of any layoffs &#8212; which are expected to be small and selective for now &#8212; are still being worked out, sources said that the stricture not to fill hundreds of open positions is the first step toward significant cost-cutting initiatives across the Silicon Valley Internet giant, in the wake of what it expects to be another weak quarterly report next week and a looming proxy fight.</p>
<p>Yahoo reports its fourth quarter earnings Tuesday. While the company has managed to improve the results in the last part of the quarter, sources said they will still show continued weakness in its key businesses and consumer usage.</p>
<p>That&#8217;s as competitors such as Google and Facebook have been showing significant growth, especially in the display advertising market.</p>
<p>Thus, <a href="http://allthingsd.com/20120104/confirmed-yahoo-names-paypal-head-scott-thompson-as-new-head/">new Yahoo CEO Scott Thompson</a> appears to be zeroing in on costs and managing for margins, said multiple sources, much as his predecessor Carol Bartz did at the start of her tenure.</p>
<p>But many think Yahoo needs even more drastic changes, including massive cuts in staff and also product arenas, to give the company new life.</p>
<p>That includes shifts in leadership at the top levels too. In a major move this week, co-founder <a href="http://allthingsd.com/20120117/jerry-yangs-decision-to-leave-yahoo-was-his-own-even-if-it-was-inevitable/">Jerry Yang stepped down</a> from the company&#8217;s board and all roles there. More <a href="http://allthingsd.com/20120117/sources-four-more-board-members-will-be-following-yang-out-the-door/">directors are expected to leave</a> soon, too.</p>
<p>That will likely come after <a href="http://allthingsd.com/20120109/yahapocalypse-now-q4-results-proxy-fight-board-hijinks-and-asia-solution-combine-for-busy-month-for-yahoo/">negotiations to sell part of its lucrative stakes</a> in both the Alibaba Group and Yahoo Japan are successfully completed.</p>
<p>While not a certainty, Yahoo&#8217;s board hopes that will happen sometime before <a href="http://allthingsd.com/20120109/come-west-daniel-loeb-a-silicon-valley-visit-as-as-yahoos-activist-shareholder-mulls-proxy-fight/">activist shareholder Daniel Loeb initiates a proxy battle</a> against the company in the coming month. </p>
<p>Sound complex? </p>
<p>It is, and also troubling to Yahoo&#8217;s long beleaguered rank and file, who have been <a href="http://allthingsd.com/20120110/yahoo-employees-fear-layoffs-as-thompson-brings-new-vision/">worried about more layoffs</a>.</p>
<p>The Yahoo troops have been under intense pressure and have suffered from ongoing attrition. Just yesterday, for example, Yahoo lost one of its top advertising execs, <a href="http://allthingsd.com/20120118/yahoo-loses-top-sales-exec-to-amazon/">Seth Dallaire</a>, to Amazon.</p>
<p>The company can ill afford such departures of key talent, even as it seeks to pare employee numbers in other parts of its business.</p>
<p>At the end of its last quarter, Yahoo reported that it had 13,700 staffers, down from 14,100 in the previous year. </p>
<p>Yahoo, of course, declined comment. </p>

<p>Yahoo shareholders felt a little giddier earlier this week, when it seemed as if the company had finally decided to make a deal with its Asian partners.</p>
<p>But the happiest crew might end up being the Silicon Valley Internet giant&#8217;s outside counsel, Skadden Arps &#8212; and especially <a href="http://www.skadden.com/index.cfm?contentID=45&#038;bioID=1514">Leif King</a>, the fantastically named legal eagle who has been advising Yahoo on the deal.</p>
<p>That&#8217;s because today the Yahoo board approved continuing the negotiations to come to a final agreement over the stake, sources said, which should take six to eight weeks.</p>
<p>It&#8217;ll surely be happy holidays for billable hours!</p>
<p>As costly as the legal bills will be, if it all goes well, an Asian solution will mean one major problem solved, with a possible pile of cash and new assets coming in to Yahoo. </p>
<p>To get there, the company signed a term sheet earlier this week with Japan&#8217;s SoftBank to sell back all its holdings there, and with China&#8217;s Alibaba Group to sell off more than half its stake (moving from a 40 percent stake to a 15 percent one).</p>
<p>The deal values Yahoo&#8217;s total shares in both companies at about $17 billion.</p>
<p>While it gets a pretty accounting name &#8212; &#8220;cash-rich split &#8220;&#8211; the vehicle to unwind it all is essentially a complex tax dodge finally cooked up by the trio, in which cash, new assets and stock will be moved around until everyone gets what they want (except the U.S. government).</p>
<p>I would explain it &#8212; but I am on vacation, and would rather drink eggnog and sleep &#8212; so here is <a href="http://online.wsj.com/article/SB10001424052970204552304577116733621100176.html#ixzz1hOAcfLSg">The Wall Street Journal&#8217;s version</a>, which I like because it sounds like Alibaba and SoftBank are giving Yahoo a hugely loaded Starbucks card for Christmas:</p>
<p>&#8220;As envisioned in the scenario, Alibaba would create a subsidiary into which it would put several billion dollars of cash, plus an operating asset that Yahoo wants to buy using additional cash from Alibaba, almost like giving Yahoo a prepaid card for an asset of its choice, the people said.&#8221;</p>
<p>Everyone is hoping there will not be any hiccups in the deal, which has been spearheaded by Yahoo board member and Intuit CEO Brad Smith, and Jerry Yang, who is also the company&#8217;s co-founder and a major shareholder.</p>
<p>Alibaba CEO Jack Ma and CFO Joe Tsai, both co-founders of that company, were the point men for the Chinese company. And for SoftBank, it was its founder and CEO Masa Son and his main U.S. exec, Ron Fisher.</p>
<p>Now, said sources, Yahoo&#8217;s board is hoping to still keep the bids from a pair of private equity firms &#8212; Silver Lake and TPG Capital &#8212; alive.</p>
<p>While initially the focus on the action, the PE bidding for partial Yahoo stakes has recently been sidelined by the Asian deal.</p>
<p>Now, sources said, Yahoo is hoping the new infusion of cash and assets will allow it fend off shareholder unrest &#8212; <em>stock buybacks and dividends, anyone </em> &#8212; to solicit higher prices from the firms to make strategic investments.</p>
<p>Yahoo had considered the initial bids too low, as did some very pissed-off activist shareholders.</p>
<p>Still, it&#8217;s not clear if those firms will jack their offers now, although sources said Silver Lake is still interested in some sort of deal that would give it influence over remaking Yahoo.</p>
<p>Silver Lake and others think the long-troubled company could be revived with some effort, and become a much more lucrative Web property. </p>
<p>But those negotiations might run into roadblocks over who gets to pick leadership for the company. Yahoo has <a href="http://allthingsd.com/20111220/yahoo-intensifies-search-for-ceo-with-hulus-kilar-as-dream-unicorn-candidate/">accelerated its efforts to hire a new CEO</a>, after firing Carol Bartz in September. </p>
<p>The PE firms, who would buy a large stake in Yahoo, also have wanted some level of control, including CEO and board approval, in order to be able to make massive changes at the company to turn it around.</p>
<p>Wall Street seems to like the Asian part of the deal, at least, since it shows some sort of forward momentum at Yahoo, and from its often-lugubrious board. </p>
<p>Shares are up almost 7 percent in the last few days, although they are not popping as they might be, given that new valuations based on a successful Asian deal put the stock at a much higher price.</p>
<p>In other words, investors like what they see, but are watching and waiting for more.</p>

<p>In Internet terms, the <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">removal of Yahoo CEO Carol Bartz</a> happened a dog&#8217;s age ago.</p>
<p>In fact, it was September 6. </p>
<p>Since then, it has felt like a slow slog, especially contrasting the situation with that of another troubled Silicon Valley giant, Hewlett-Packard,<a href="http://allthingsd.com/20110922/exclusive-whitman-expected-to-get-ceo-nod-after-markets-close-and-not-for-the-interim-either/"> which fired its CEO Léo Apotheker and appointed a new one, Meg Whitman</a> on September 22.</p>
<p>Since then, in comparison, the former eBay CEO has been like the Energizer Bunny, making a series of major and often difficult decisions, including: <a href="http://allthingsd.com/20111027/hp-will-keep-pc-division/">Holding onto its PC unit</a>; reaffirming its controversial deal to <a href="http://allthingsd.com/20111206/autonomys-mike-lynch-talks-about-being-hps-speedy-tiger-cub-video/">buy Autonomy</a>; <a href="http://allthingsd.com/20111130/whitman-webos-decision-coming-at-hp-within-two-weeks/">promising a decision</a> on the fate of its webOS unit within the next two weeks; <a href="http://allthingsd.com/20111103/hp-hires-new-evp-from-boeing-names-new-cio/">appointing new execs</a>; and even <a href="http://allthingsd.com/20111206/whoops-hp-just-bought-another-company/">buying a company</a>. </p>
<p>To be fair, Yahoo did acquire <a href="http://allthingsd.com/20111101/yahoo-buys-ad-network-interclick-for-270-million/">advertising start-up Interclick</a>. </p>
<p>Otherwise, still no sale or investment deal. No new CEO. No Asia resolution. And, perhaps most importantly, no clearly articulated strategy going forward. </p>
<p>It&#8217;s not that Yahoo&#8217;s leadership isn&#8217;t working at it. </p>
<p>Some fervently insist to me that there is a &#8220;plan,&#8221; as if there is some clever game of Internet Stratego going on that I cannot possibly grok.</p>
<p><em>Mebbe</em> &#8212; but of this I have no doubt: The Yahoo board has indeed been huffing and puffing away, weighing and measuring, considering and debating. </p>
<p><em>A lot.</em> </p>
<p>Maybe I&#8217;m just too impatient. I am (ask my kids). </p>
<p>Or maybe Yahoo&#8217;s beleaguered employees are, one of whom just wrote me plaintively, &#8220;unreal how they can drag this out,&#8221; in what has become a common refrain up and down the ranks.</p>
<p>Or maybe it&#8217;s the Asian partners, Alibaba Group and SoftBank, who are antsy and have considered a variety of nuclear options in order to get back stakes Yahoo holds in them. Said one: &#8220;The strategy seems to be to frustrate and exhaust us into submission.&#8221;</p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/61c8onc-rol/" rel="attachment wp-att-151430"><img src="http://allthingsd.com/files/2011/12/61C8OnC-RoL.png" alt="" title="61C8OnC-RoL" width="300" height="300" class="alignleft size-full wp-image-151430" /></a></p>
<p>Or, finally, maybe it&#8217;s the newly frustrated recent bidders for a partial stake in Yahoo, Silver Lake and TPG Capital. Declared one to me after I warned that Yahoo might, in fact, drag the proceedings out longer than you might expect: &#8220;I thought you were kidding.&#8221; </p>
<p>Nope, welcome to the Yahoo waiting game, PE guys! </p>
<p>So, to help us all get through it, here&#8217;s a quick update primer on what&#8217;s what on the various fronts:</p>
<p><strong>Who&#8217;s in Charge Here?</strong></p>
<p>Technically, it is the Yahoo board, which is aided by interim CEO Tim Morse.</p>
<p>First, a word about Morse: By all accounts, he is doing a very good job as temporary head honcho &#8212; calming the troubled company, making swift decisions about daily operating issues and being a generally nice dude to deal with.</p>
<p>&#8220;He&#8217;s Yahoo&#8217;s no-drama Obama, in comparison to what was happening before,&#8221; said one exec, in reference to the more volatile regime under Bartz. </p>
<p>Still, despite his <a href="http://allthingsd.com/20110930/only-one-yahoo-fearless-leader-note-this-week-please-ignore-the-un-ignorable-rumors/">very pleasant all-hands meetings</a>, such as one earlier this week, Morse had previously been Yahoo&#8217;s CFO and not an Internet-savvy visionary to give the company inspiration. No insult intended, but he&#8217;s the accountant guy. </p>
<p>To be fair, he is not meant to be the visionary, but many at the company are yearning for exactly that.</p>
<p>A role that is now being taken up again by co-founder, former CEO and director Jerry Yang, who dozens of employees tell me is <a href="http://allthingsd.com/20110908/return-of-the-jerry-co-founder-yang-back-in-yahoo-spotlight-again-amid-all-new-turmoil-and-tensions-too/">unusually involved in operational details</a> these days for a board member. </p>
<p>I get reports of sightings of him all the livelong day: Jerry in demand-side advertising confab! Jerry chitchatting with entrepreneurs from a possible start-up acquisition! Jerry weighing in on a variety of products. Look, over in the cubicle, <em>it&#8217;s Jerry</em>! </p>
<p>This is seen by Yahoo employees as a good thing and also a bad thing, since it&#8217;s hard to be running your little divisional show at Yahoo with the dude who invented it all looking over your shoulder, even if he means well. People naturally defer to Yang, the 800-pound Web icon in the room.</p>
<p>But, given the overwhelming state of stasis at Yahoo now &#8212; &#8220;No one can do anything until we find out how the story ends,&#8221; said one staffer &#8212; and employees eying the exits, no power at Yahoo really matters but the board.</p>
<p><em>You know</em>, the board that has gotten the company to this moment of crisis and profound ennui, which is its own particularly ironic irony. </p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/yahoocomm/" rel="attachment wp-att-151330"><img src="http://allthingsd.com/files/2011/12/yahoocomm-640x408.png" alt="" title="yahoocomm" width="640" height="408" class="aligncenter size-large wp-image-151330" /></a></p>
<p>To better understand the power dynamics on the board, above is a little chart for you to peruse to give you an idea of which independent board member is running what key committee. </p>
<p>The only truly important one is the Transactions and Strategic Planning committee, which is headed by Intuit President and CEO Brad Smith and includes former Akamai President (and former Yahoo CEO candidate) <a href="http://allthingsd.com/20111108/with-no-yahoo-ceo-pledge-david-kenny-back-in-the-strategic-fray/">David Kenny</a>, top HP exec Vyomesh Joshi and other guy Gary Wilson.</p>
<p>And, in completely visible shadow form, Yang. Multiple sources close to the situation said he has been a key force in the strategery around a possible sale or investment. </p>
<p>This has caused not more than a little tension among board members, but everyone seems to like the much described nicest-man-in-the-room, Smith, and hopes his cool head will prevail.</p>
<p>Another important part of the board is the Nominating and Corporate Governance committee run by Patti Hart, who is energetically and simultaneously &#8212; if pointlessly &#8212; in search of a capable new Yahoo CEO.</p>
<p>Or, as I like to call this mythical person: The Unicorn.</p>
<p><strong>The Deal</strong></p>
<p>As I and many others have previously reported, there are <a href="http://allthingsd.com/20111121/nda-worthy-pe-firms-silver-lake-and-tpg-meet-with-top-yahoo-operating-execs/">bids on the table for partial investments</a> in Yahoo by two very powerful private equity firms, Silver Lake and TPG Capital.</p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/original-4/" rel="attachment wp-att-151448"><img src="http://allthingsd.com/files/2011/12/original1.png" alt="" title="original" width="450" height="300" class="alignright size-full wp-image-151448" /></a></p>
<p>It&#8217;s a PE rumble, with a side of Microsoft financial backing! (I think Silver Lake&#8217;s Egon Durban makes a very nice Riff, while Microsoft&#8217;s Steve Ballmer is the perfect Officer Krupke.)</p>
<p>My fervent wishes for some figurative and dance-accompanied knife-play aside, the bids are essentially the same in general and different in particular. Silver Lake is offering about $16.50 a share, while TPG is dangling a tiny bit more. Silver Lake has power entrepreneur and VC Marc Andreessen on its side, while TPG is trying to get Silicon Valley fave investor and start-up whisperer <a href="http://allthingsd.com/20111201/the-golden-geek-vs-the-start-up-whisperer-in-yahoo-savior-faceoff-not-yet-but-delicious-to-imagine/">Reid Hoffman</a> of Greylock Partners and LinkedIn on its team. Both have ideas on CEOs, strategy and what to do about the Asian assets.</p>
<p>This type of deal could happen suddenly and you&#8217;ll hear about it quick, since the losing side will immediately trash it to the media. </p>
<p>As you might expect, each director has their favorite PE firm, with some not liking Andreessen, some thinking the TPG bid is a little light, some for a whole-company deal and some wanting Yahoo to hire its own CEO and run the place itself.</p>
<p>Of course, the last one shows a disturbing level of denial and should be a nonstarter, given the board&#8217;s abysmal record on CEO choice and its riding of Yahoo to this sad point in its storied history. </p>
<p>Here&#8217;s what to expect on the PE front: A lot of wrangling behind the scenes with frequent leaks to the media about what each side wants and will not yield on. </p>
<p>CEO choice or no CEO choice, that is the question!</p>
<p>Also a big factor are Yahoo&#8217;s major shareholders, few of whom like the partial investment deal, which is known as a PIPE (Private Investment in Public Equity), because of the insiderness of it all and because they prefer a whole-company sale at a higher price. </p>
<p>There is also pressure from activist shareholders like <a href="http://allthingsd.com/20111104/yahoos-activist-shareholder-loeb-now-targeting-jerry-yang/">Daniel Loeb</a> of Third Point, who has attacked Yang and others on the board and is ready to pounce with a proxy fight if Yahoo tries to override shareholders too egregiously. And, of course, the inevitable lawsuits over any arrangement that seems to block a whole-company bid.</p>
<p>That said, such a mega-deal seems unlikely, since it is too pricey and despite a lot of noise that Yahoo&#8217;s Asian partners were ready to strike with a takeover in order to get back Yahoo&#8217;s big stakes in their companies.</p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/yogi-bear-show-02/" rel="attachment wp-att-151459"><img src="http://allthingsd.com/files/2011/12/yogi-bear-show-02-248x285.png" alt="" title="yogi-bear-show-02" width="248" height="285" class="alignleft size-medium wp-image-151459" /></a></p>
<p>That&#8217;s kind of like buying a store to get back the cool pair of shoes you sold, but bankers love to scheme up this stuff. While it certainly could happen, it would be a bear of a deal. </p>
<p>Perhaps more like Yogi Bear, hopelessly angling for a tasty pic-a-nik basket &#8212; but <em>grrrr</em> anyway.</p>
<p>But perhaps the biggest factor in all of this mishegas is <a href="http://allthingsd.com/20111123/for-yahoo-and-me-too-time-is-brain/">time</a>. There is none on a lot of levels, most especially the increasing level of brain drain and drift at Yahoo. After the New Year dawns, this is going to spin right out of control and amount to the biggest internal challenge Yahoo faces.</p>
<p><strong>An Asian Solution</strong></p>
<p>As I and others have reported, Yahoo is <a href="http://allthingsd.com/20111202/wielding-a-sword-of-damocles-yahoos-asian-partners-await-answer-on-yet-another-proposal-to-buy-back-shares/">entertaining yet another proposal</a> to sell all or part of its Asian assets back to the companies, which make up a bulk of its market valuation.</p>
<p>The relationship between Yahoo and its Asian partners has long been fraught, and today the difficulty of reaching an agreement remains a vexing issue. That&#8217;s because it is hard and complex and because no one wants to do what the other side wants.</p>
<p>I am no tax attorney, but it seems as if Yahoo will ultimately come to some deal with China&#8217;s Alibaba and Japan&#8217;s SoftBank, which could include big investors like Russia&#8217;s DST Global. </p>
<p>And, as I reported last week, the Asian partners want to strike a deal with the current board rather than lose leverage with a much cannier new owner.</p>
<p>It&#8217;s a tough decision in all aspects to strike, but would remove the focus on the fact that Yahoo&#8217;s most valuable asset is something it is not running and simply holds due to a good stock trade in years past.</p>
<p>Years past should be the operative thought here, since the Asian assets have nothing to do with what Yahoo needs to do with its core U.S. and global brand.</p>
<p>You know, the thing that allowed them to buy those lucrative Asian assets in the first place?</p>
<p><strong>Strategery</strong></p>
<p>And that&#8217;s the crux of all this, isn&#8217;t it? Yahoo needs a new strategy and fast. </p>
<p>Or it needs to clarify and hone its current strategies around advertising and media and define itself once and for all. While it often touts itself as a premier digital media company, it&#8217;s still not clear exactly what Yahoo is saying by that.</p>

<p>In fact, <em>incredibly</em>, sources told me that the board was still wrangling over the tired issue of what Yahoo is at its most recent meeting &#8212; essentially, is it a products company or a media company? </p>
<p>If I had to listen to that who-am-I-anyway debate again, I think I would scream, given how many important Web trends that Yahoo has whiffed in recent years, many of which were right in its own wheelhouse.</p>
<p>How much damage this has caused to Yahoo&#8217;s core business is a critical one to determine, with many feeling the situation is too far gone to revive it and others confident that this is simply an issue of poor execution. </p>
<p>I am in the middle on this one, but all the indicators of Yahoo&#8217;s business have long been heading in the wrong direction, and results in the next quarter are expected to underline this even more.</p>
<p>Thus, the board&#8217;s navel-gazing at this point is untoward, considering that it is presiding over the possibility of a sale that should not have had to happen in the first place. While it is not quite a fire sale, it&#8217;s no cause for celebration at all the attention, either.</p>
<p>In fact, it&#8217;s also pointless, since &#8212; if this all resolves as it should &#8212; the current Yahoo board will not be the one determining the company&#8217;s future any longer. Remember that: This group should and will be gone for the most part.</p>
<p>Yahoo shareholders and employees can hope, at least.</p>
<p>Then, it will be up to the next group of leaders to make the very hard choices &#8212; including what are likely to be massive layoffs and radical surgery on its offerings &#8212; for what&#8217;s to come next.</p>
<p>In the end, that is all that will matter. Until then, as usual, you&#8217;ll have to sit tight.</p>

<p>Last night, Yahoo&#8217;s board gathered for a pre-meeting dinner, a precursor to a day-long meeting today to weigh several bids from private equity firms to buy part of the Silicon Valley Internet giant, including Silver Lake and TPG Capital.</p>
<p>Among the thorniest of issues will be the low price that the firms want to pay for a 19.9 percent stake in the company. Silver Lake has offered $16.50 and TPG a dollar more. </p>
<p>In the past year, Yahoo share prices have seen a low of $11.09 and a high of almost $19. It closed yesterday at $15.70 &#8212; a price that is mostly due to sale rumors &#8212; making the offers not much of a gain on current market valuation.</p>
<p>The transaction type being contemplated is called a PIPE &#8212; or a Private Investment in Public Equity &#8212; with the investment below 20 percent, which allows Yahoo to avoid a shareholder vote on the issue.</p>
<p>While the Yahoo board had hoped for bids above $20, they are not expected to be forthcoming, considering the weakness in its business over recent years and the difficulty of returning it to health and growth. </p>
<p>Results in its upcoming quarter, for example, are expected to be weak again, with trouble in its advertising business, largely due to uncertainty around the business.</p>
<p>The low price, along with the attempt to bypass shareholder approval, is sure to infuriate Yahoo&#8217;s major investors, given they have watched the value of their stakes wilt over the years under current board management.</p>
<p>In the last five years, due to continually muddled leadership and the missing of key Internet trends, Yahoo shares have dropped 44 percent in value, which compares with huge gains from companies like Amazon and others.</p>
<p>Major Yahoo stakeholders are already irked by the PIPE idea itself, which could transfer power to private equity firms at preferential terms.</p>
<p>Another possible bone of contention will be the preservation of at least some parts of Yahoo&#8217;s current board.</p>
<p>Under a plan by Silver Lake, for example, it would get three board seats, as well as another one for a CEO of its choosing. Another seat will go to Yahoo co-founder and current board member Jerry Yang. There will be six independent board members, but it is not clear if they would be new or include some current directors.</p>
<p>One of the Silver Lake choices would be well-known Silicon Valley legend <a href="http://allthingsd.com/20111128/yahoo-will-marc-or-wont-he/">Marc Andreessen</a>, who is now a powerful VC. The appeal of Andreessen is important to some major shareholders who have turned sour on Yang.</p>
<p>Who will be CEO of the rejiggered entity will also be discussed at the meeting. Sources said Silver Lake and TPG have definite candidates in mind and Yahoo has also been conducting an official search.</p>
<p>In other words, there&#8217;s a lot on the plate of Yahoo&#8217;s board today, which also needs to revisit continued proposals from its Asian partners &#8212; China&#8217;s Alibaba Group and SoftBank of Japan &#8212; to sell back its stakes in Alibaba and Yahoo Japan in various tax-free schemes. </p>
<p>Sources said Yahoo &#8212; which has thus far rejected such efforts &#8212; might now consider selling a part of their shares back, up to half. This would allow the company to give a cash dividend to its disgruntled shareholders. </p>
<p>If thwarted, as has been previously reported <em>ad nauseum</em>, Alibaba and SoftBank are considering their own bid with the help of other U.S. private equity firms, such as <a href="http://allthingsd.com/20111111/alibaba-and-softbank-meet-with-blackstone-as-promised-yahoo-investment-effort-proceeds/">Blackstone</a>.</p>
<p>Other PE firms &#8212; especially ones who have not signed Yahoo&#8217;s non-disclosure agreement related to any deal &#8212; are also hanging under the hoop, so to speak, to see what happens. At least one firm hopes the Yahoo board will reject the low-priced partial bids, leaving the court wide open again. </p>
<p>&#8220;It&#8217;s still anyone&#8217;s game,&#8221; said one possible bidder.</p>
<p>Except for Yahoo&#8217;s put-upon employees and shareholders, this is anything but fun. More on <em>that</em> soon.</p>

<p>As bidders ready their offers for all or parts of Yahoo this week, a lot of the eyes for one of the more aggressive ones will likely be on well-known Silicon Valley entrepreneur and powerful VC Marc Andreessen.</p>
<p>That&#8217;s because he&#8217;s deciding whether or not to play a significant role &#8212; as a key board member and even possibly as chairman &#8212; in an effort by private equity firm Silver Lake to buy part of the troubled Internet giant and attempt a dramatic reversal of its waning fortunes.</p>
<p>Andreessen, who now runs the Andreessen Horowitz venture firm with Ben Horowitz, has visited Yahoo execs, as <a href="http://allthingsd.com/20111121/nda-worthy-pe-firms-silver-lake-and-tpg-meet-with-top-yahoo-operating-execs/">I reported last week</a>, part of a weighing of whether to deeply enmesh himself in turning around the iconic Web property. </p>
<p>He has been, as <a href="http://allthingsd.com/20110914/yahoo-for-sale-big-bidders-circling-including-marc-andreessen-as-board-pressure-mounts/">was also reported several months ago</a>, allied with Silver Lake on a Yahoo effort since September and worked with the firm on its purchase and then <a href="http://allthingsd.com/20110510/irony-alert-marc-andreessen-talks-about-microsoft-forking-over-8-5b-for-skype/">sale of Internet communications service Skype</a>.</p>
<p>For Andreessen &#8212; who serves on the board of Hewlett-Packard and has a lot on his plate running a major venture firm with investments at key companies throughout the tech sector &#8212; the decision to join with Silver Lake is a tough one, given that the possibility of failure is not unheard of.</p>
<p>&#8220;The question is whether Yahoo can be a growth company again,&#8221; said one person close to the situation. &#8220;And that is still unclear.&#8221;</p>
<p>In meetings with Yahoo execs, several sources noted that Andreessen was unusually blunt about the problems Yahoo faces and its mistakes in the past. They noted as well his reticence over the amount of work required to make a difference.</p>
<p>&#8220;He seemed very negative on the idea of whether anyone had what it took to turn it around,&#8221; said one exec.</p>
<p>Another factor: Possible friction with Yahoo co-founder and Andreessen friend Jerry Yang. The pair have discussed the issue on friendly terms. &#8220;Marc would not do this without Jerry being okay with it,&#8221; said one source.</p>
<p>That&#8217;s because observers expect the entrance of the Netscape co-founder &#8212; who has enormous clout with engineering talent across Silicon Valley, which Yahoo dearly needs &#8212; to overshadow and even minimize Yang&#8217;s involvement.</p>
<p>One thing is clear: Major shareholders, who are wary of any deal that would keep the current regime in place at Yahoo, told me in multiple interviews last week that the only way they would accept a partial investment by a private equity firm &#8212; called a PIPE &#8212; would be if there was new leadership in any deal.</p>
<p>And the first name mentioned by almost every Yahoo investor as a key get? Marc Andreessen.</p>
<p>Andreessen declined to comment on any of the 53 emails I sent him asking to.</p>

<p>While wandering around Yahoo&#8217;s campus in Sunnyvale, Calif. &#8212; where I had several fingers pointed at me, although it&#8217;s not polite to do so &#8212; for its annual <a href="http://allthingsd.com/20111102/liveblogging-yahoos-product-runway-are-you-in-or-out/">Product Runway</a> event last week, I got to spend a few minutes with its Chief Product Officer Blake Irving.</p>
<p>Irving, as you will see here, remains an upbeat and even jaunty figure at the troubled Silicon Valley Internet giant &#8212; even though his job has been made a quantum level more difficult by the swirl around the possible sale of Yahoo and its leadership morass. </p>
<p>Add to that major <a href="http://allthingsd.com/20111026/no-to-yess-yahoo-employee-satisfaction-survey-shows-morale-morass/">attrition and morale issues</a>, especially in its product engineering staff, at the very same time Yahoo needs to prove that it can launch innovative products to keep up with the Googles, Facebooks and others. </p>
<p>That&#8217;s Irving&#8217;s thankless job, which was why he was touting a number of products last week, including Yahoo&#8217;s Livestand news reader that was finally released to the public.</p>
<p>Here he is talking about that and more in an interview with me, including the fact that he will not be bidding for Yahoo (I <em>had</em> to ask!):</p>

<p>I have called Yahoo the Hamlet of the Internet many times, for its seemingly endless ruminating on what it should do and what it should be. </p>
<p>And that is true on a lot of fronts &#8212; from its strategic direction to rejiggering its advertising business to finding solid leadership to whether or not it will sell itself and how to a variety of bidders.</p>
<p>It&#8217;s no small irony then that perhaps it&#8217;s only easy move right now and the one most likely to happen soon &#8212; and which could temporarily assuage its always restless shareholders &#8212; is to finally settle a long and arduous effort to sell its Japanese assets.</p>
<p>Sources close to the situation said that the deal &#8212; as has been reported &#8212; is the closest to a deal compared to any other that Yahoo is contemplating. </p>
<p>Sale or outside investment discussions remain mired, while similar share sale discussions with its Chinese partner, Alibaba Group, remain a constant roundelay of dashed deals.</p>
<p>It has not always been thus recently between Yahoo and Yahoo Japan. Just over a year ago, the company <a href="http://allthingsd.com/20100726/yahoo-japan-confirms-google-switch-for-both-paid-and-algo-search/">shifted its paid and algorithmic search</a> from Yahoo to Google, raising tensions between the companies. </p>
<p>Now, though, Japan has become the easy one. </p>
<p>In actuality, striking an actual deal is not and has been a task is on that Yahoo has been working on for many years, trying to figure out the best tax-free way to shed its 35 percent stake.</p>
<p>It makes sense, since the asset is no longer a strategic plus it once was.</p>
<p>It also frees up a lot of cash. As of September 30th, according to Yahoo, the pre-tax value of its Yahoo Japan stake was worth $6.4 billion. Presumably, Yahoo would either use the money to bolster its business or, more likely, give its shareholders some kind of dividend.</p>
<p>In such a deal, Yahoo&#8217;s longtime Japanese partner &#8212; and one of its very first investors &#8212; SoftBank would buy out Yahoo&#8217;s stake. </p>
<p>That&#8217;s the simple way of putting a deal that only an accountant can grok. But one plus is that if Yahoo does pull it off, it would be rid the company of one complication too many. </p>
<p>That said, any Japanese asset sale could also be impossible without a larger settlement of Yahoo&#8217;s globally connected issues &#8212; or, as I like to call it, the hairball.</p>
<p>And SoftBank, which already owns a lot of Yahoo Japan would certainly need more than just cash &#8212; perhaps more of Alibaba than it already owns &#8212; to be enticed to buy even more.</p>
<p>Also, for all intents and purpose, SoftBank is the only buyer of Yahoo&#8217;s Japan asset, so there&#8217;s that issue.</p>
<p>But if it could show some progress in some part of its hopelessly complicated world, for Yahoo, that is always a good thing.</p>

<p>It should probably come as no surprise to the board and top managers of Yahoo that the just-released annual poll of its workers &#8212; called the Yahoo Employee Satisfaction Survey &#8212; paints a picture of a deeply demoralized workplace. </p>
<p>Apparently, Yahoos can&#8217;t get no satisfaction.</p>
<p>The YESS questions went out to employees the week that the company fired CEO Carol Bartz, with most of the responses gathered in the ensuing weeks. </p>
<p>One major drop &#8212; not much of a shockeroo &#8212; was the employee assessment of senior leadership, under the question of whether &#8220;Yahoo is an effectively managed well-run organization.&#8221; That dropped 11 percent from last year. </p>
<p>Also troubling, according to numerous sources who have recounted the results to me, was that 19 percent of employees said they planned to leave the company within less than a year, in case a better opportunity arises.</p>
<p>(I like to call that the <em>anywhere-but-here</em> question.)</p>
<p>This is a large figure for any tech company for such a survey, which is commonly done throughout the industry. Typically, those numbers are around 10 percent, according to several human resources execs I queried, although Yahoo&#8217;s chart noted that the industry benchmark was 14 percent.</p>
<p>In any case, this YESS is Yahoo&#8217;s highest percentage of negatives for departure intent in several years.</p>
<p>Worse, it is higher in the product unit, where most of Yahoo&#8217;s engineers work and which is key to any technology company&#8217;s viability. Intent not to stay is 21 percent in the division.</p>
<p>On the plus side, numbers for manager effectiveness, teamwork and accountability did grow year over year in the product unit.</p>
<p>YESS documents sentiments I have been hearing widely and ever louder anecdotally from a plethora of mid-level managers at the Silicon Valley Internet giant. </p>
<p>Most are worried that they cannot hold onto critical employees as Yahoo is conducting a <a href="http://allthingsd.com/20110914/yahoo-for-sale-big-bidders-circling-including-marc-andreessen-as-board-pressure-mounts/">major strategic review</a> of its businesses, either to sell it or make sweeping changes.</p>
<p>The uncertainty has put its employees on edge and there has been a spike in attrition throughout the company. </p>
<p>And worry. At a <a href="http://allthingsd.com/20111006/yahoos-interim-ceo-in-internal-meeting-time-is-a-constraint-also-blame-the-media/">recent meeting with its staff</a>, interim CEO Tim Morse was buffeted with questions about the fate of employee stock options and other similar issues.</p>
<p>Despite all the turmoil, Yahoo has surprisingly not yet put an overall new plan into place for retention, although it has given some employees more money and other benefits.</p>
<p>&#8220;Can a company collapse from attrition?&#8221; one exec joked to me recently.</p>
<p>Yes, it can, which has to be of prime concern to the board of Yahoo, as it seeks to right itself. I cannot stress enough how many talented and committed employees remain at the company, desperately hoping for some effective leadership to finally take hold.</p>
<p>Because for all the swirl of what will happen to the whole company, one truism of technology innovation in Silicon Valley remains, if you want to survive: It&#8217;s still all about the talent.</p>
<p>[<strong>UPDATE:</strong> Here are some more YESS stats, according to sources:</p>
<p>"Yahoo is innovative": 42 percent agree, 27 percent neutral, 31 percent disagree.</p>
<p>"Yahoo anticipates changing customer needs and wants": 33 percent agree, 37 percent disagree, five points worse than the previous year.</p>
<p>But here is the hopeful kicker: 79 percent feel proud to say they work for Yahoo.] </p>

<p>A range of major players interested in acquiring all or a large piece of Yahoo have been prepping possible bids and have been in touch with the Internet giant&#8217;s board over the last several days.</p>
<p>While <a href="http://allthingsd.com/tag/yahoo/">Yahoo</a> has publicly said it was not for sale, according to numerous sources both inside and outside the company, it has been receptive to the interest and its Chairman Roy Bostock and Co-founder Jerry Yang have spoken to several.</p>
<p>Among the possible players: Silicon Valley venture firm Andreessen Horowitz, which is working with private equity firm Silver Lake, in a deal that also might include Russia&#8217;s DST Global and Yahoo&#8217;s Japanese partner Masa Son; former News Corp. exec Peter Chernin, who is partnered with Providence Equity Partners; and the possibility that Yahoo&#8217;s Chinese partner, Alibaba Group, might consider entering the fray in what could be a reverse merger of sorts.</p>
<p>Also being rung up by some of the parties: Microsoft &#8212; Yahoo&#8217;s advertising and search partner &#8212; which is being seen as a possibly moneybags in any deal.</p>
<p>The movement among these investors is against a backdrop of increasing pressure for Yahoo&#8217;s board, after it fired CEO <a href="http://allthingsd.com/tag/carol-bartz/">Carol Bartz</a> last week. In the wake of the dramatic move, shareholders have upped criticism of Bostock and the board and have been looking hard for alternatives.</p>
<p>Today, that included <a href="http://allthingsd.com/20110913/as-yahoo-board-meets-tomorrow-investors-ready-thumbscrews/">hedge fund investor Daniel Loeb</a> of Third Point, which has a 5.1 percent stake in Yahoo. In a filing this morning, he said he might increase that amount, and described a <a href="http://allthingsd.com/20110914/dan-loeb-yahoo-chairman-hung-up-on-me/">testy hour-long phone call</a> he had earlier this week with Bostock that ended abruptly with a hang-up from Yahoo.</p>
<p>Sources said Loeb called Bostock a &#8220;fool,&#8221; among other not-so-nice names, on the call and asked for Yang&#8217;s help in dumping him.</p>
<p>This comes as exactly no surprise, given his previously strong letter in which Loeb called for Bostock&#8217;s ouster.</p>
<p>Loeb has been calling out Bostock &#8212; who is also on the boards of Morgan Stanley and Delta Airlines &#8212; for a series of gaffes at Yahoo since he became chairman in 2008 (he&#8217;s been on the board since 2003).</p>
<p>Those have included: Yahoo&#8217;s bungled effort to stave off a takeover by Microsoft several years ago; the too-long enthusiasm for Bartz, who was hired in early 2009 and fired last week; sitting unusually still as competitors such as Facebook, Google and more have out-innovated and outgrown Yahoo; and, of course, the falling knife of a stock, which has dropped precipitously since Bostock has been in charge of the board.</p>
<p>As Loeb <a href="http://allthingsd.com/20110908/activist-yahoo-shareholder-takes-aim-at-board/">wrote in a letter</a> he sent to the company last week:</p>
<p>&#8220;It is time that certain members of this Board were held accountable for its past failures and their individual roles. Accordingly, we insist that Mr. Bostock, who championed Ms. Bartz&#8217;s hiring and led the charge against the Microsoft deal, promptly resign from the Board.&#8221;</p>
<p>Loeb is likely to add to that later today at a high-profile investor conference in New York, where the colorful but tough-talking investor is sure to add more logs to the fire.</p>
<p>But it not only him. Other major shareholders of Yahoo are also in touch with possible outside buyers, seeking a change at the long-troubled company, after its shares have remained in the doldrums, its attrition rate of employees has spiked and its product pipeline has slowed to drip.</p>
<p>This has all been taking place &#8212; of course &#8212; during one of tech biggest and most innovative booms, in which Yahoo competitors have grown strongly.</p>
<p>Enter Marc Andreessen, the well-known entrepreneur who has transformed himself into one of Silicon Valley&#8217;s most powerful venture capitalists.</p>
<p>He and his partner Ben Horowitz recently pulled off another similar deal &#8212; with Silver Lake &#8212; to take control of a <a href="http://allthingsd.com/20110510/done-deal-microsoft-to-buy-skype-for-8-5-billion-in-cash/">then-troubled Skype</a>. They later flipped it to Microsoft for a large return.</p>
<p>Sources familiar with the situation said the pair have become increasingly intrigued by the situation at Yahoo and believe that its assets and brand are still strong, despite its management turmoil in recent years.</p>
<p>One problem is the huge cost of almost any kind of takeover and also the complexity, given much of Yahoo&#8217;s $18.5 billion valuation is due to its Asian assets. </p>
<p>The sale of those shares, as well as the selling off of some of Yahoo&#8217;s less core properties, makes for a very complicated situation for anyone.</p>
<p>Said one person looking at the company: &#8220;It is one of the more massive hairballs around.&#8221;</p>
<p>That is a common sentiment among many of those looking at Yahoo, which has hired Allen &#038; Co. to manage the process.</p>
<p>Also of worry is a bid that would include too many players. Yahoo has long been plagued by indecisiveness on the part of its execs and, mostly, its board.</p>
<p>But one thing all the possible buyers of Yahoo, as well as an increasing number of its shareholders, agree on: The Yahoo board needs a major shake-up.</p>
<p>As Loeb wrote last week, which many I interviewed also echoed: </p>
<p>&#8220;This letter details our principled demands for sweeping changes in both the Board of Directors (the &#8220;Board&#8221;) and Company leadership, and outlines the hidden value of Yahoo, which has been severely damaged &#8212; but not irreparably &#8212; by poor management and governance.&#8221;</p>

<p>Adam Lashinsky, Fortune magazine&#8217;s high-profile Silicon Valley reporter, will be penning a book titled &#8220;Inside Apple: How America&#8217;s Most Admired &#8212; and Secretive &#8212; Company Really Works.&#8221;</p>
<p>An expansion of a well-read article that Lashinsky wrote for the publication earlier this year, the book will be available on Jan. 18, 2012 from Business Plus, an imprint of Hachette Book Group.</p>
<p>Lashinsky&#8217;s will be the second Apple tome to be coming out that will shed more light inside the workings of Silicon Valley&#8217;s most iconic company. </p>
<p>In November, former Time Inc. writer and editor Walter Isaacson&#8217;s much anticipated biography about Apple CEO and co-founder Steve Jobs will be released by Simon &#038; Schuster.</p>
<p>&#8220;<a href="http://allthingsd.com/20110815/new-jobs-bio-cover-is-all-apple-with-pub-date-of-november/">Steve Jobs</a>&#8221; has been written with cooperation from Jobs, who has not done so in the past.</p>
<p>Lashinsky said in an interview today he did not garner Jobs&#8217;s help on the book, but did manage to get a deep inside look at the company.</p>
<p>&#8220;Doing an unauthorized book is harder,&#8221; said Lashinsky. &#8220;But what you get is well-reported information, which is outside the message Apple wants to deliver, and there is so much good stuff, this company is worth far more than an article.&#8221;</p>
<p>Lashinsky has been a longtime reporter in tech, including covering Apple, a company that is notoriously secretive and difficult to report about.</p>
<p>Still, Lashinsky has written a lot about the maker of the groundbreaking Mac, iPod, iPhone and iPad devices, including a piece in 2008 about <a href="http://allthingsd.com/20110824/steve-jobs-resigns-as-ceo-of-apple/">recently installed CEO Tim Cook</a>, titled &#8220;The Genius Behind Steve: Could the Operations Whiz Run The Company Someday?&#8221;</p>
<p>Inside Apple will be more about the entire company, which has vaulted from near death only 15 years ago to become one of the most highly valued companies in tech and, in fact, globally.</p>
<p>The publisher promises a lot of insidery facts, including, &#8220;how Apple creates killer products, forges intense bonds with consumers, and gets what it wants from suppliers &#8230; the lessons about leadership, product design and marketing are universal, and they should appeal to anyone hoping to bring some of that Apple magic to their own company, career or creative endeavor.&#8221;</p>
<p>Lashinsky said these are important lessons for others to explore.</p>
<p>&#8220;So much of what Apple does stands decades of business teaching on its head, because they just don&#8217;t do things the way other companies do,&#8221; he said. &#8220;The rest of the business world might want to pay attention.&#8221;</p>
<p>Indeed, they should.</p>

<p>Yahoo turned in another <a href="http://allthingsd.com/20110719/yahoo-revenues-down-again-in-2q-and-microsoft-search-deal-gets-blame/">weak performance in the second quarter</a>, with yet another decline in revenue. </p>
<p>This time it was five percent, compared to last quarter&#8217;s six percent. In other words, at least things are looking up as they go down!</p>
<p>While earnings per share rose smartly, Wall Street is still looking for strong sales growth from the Silicon Valley Internet giant, which seems unable to provide it.</p>
<p>Blamed most this time for the revenue fall: Yahoo&#8217;s changes in its display sales operations in the key Americas region, reasons for which were largely unspecified in the initial company press release. (You can see the damage in this <a href="http://allthingsd.com/20110719/not-so-chart-tastic-picture-of-yahoos-2q-display-disaster/">slide deck from the company here</a>.)</p>
<p>Maybe Yahoo CEO Carol Bartz will explain it all in its upcoming conference call with analysts (or she could try the <a href="http://allthingsd.com/20110719/liveblogging-murdoch-son-at-phonegate-hearing-a-lion-in-winter/">I-don&#8217;t-know approach taken by News Corp. CEO Rupert Murdoch</a> in PhoneGate hearings in Britain earlier today!).</p>
<p><strong>2 pm PT:</strong> It starts with the usual regulatory blah-blah, which I always enjoy.</p>
<p>Bartz gets right into it, opening with the key <a href="http://allthingsd.com/20110714/the-good-the-bad-and-the-time-consuming-yahoo-pushes-to-settle-alibaba-dispute-before-earnings-but-dont-hold-your-breath/">problems with China&#8217;s Alibaba Group</a>, as well as its display and search revenue weaknesses.</p>
<p>The fight with Alibaba is over its Alipay payments unit, which was spun out of the Chinese company without Yahoo&#8217;s say-so. Yahoo is a big shareholder.</p>
<p>Bartz says that the company was working on a settlement night and day.</p>
<p>But she quickly gets onto how display did not perform as expected in its key Americas arena. &#8220;Obviously, I am not happy,&#8221; she said.</p>
<p><a href="http://allthingsd.com/20110719/liveblogging-yahoo-q2-earnings-call-whos-to-blame-for-the-revenue-rout/unknown-2/" rel="attachment wp-att-100200"><img src="http://allthingsd.com/files/2011/07/Unknown1.png" alt="" title="Unknown" width="215" height="234" class="alignleft size-full wp-image-100200" /></a></p>
<p><em>Obvi!</em> Neither are shareholders, Carol.</p>
<p>She says it was not about new competitive development. It was not about the economy. It was not about engagement. </p>
<p>So what <em>was</em> it? Changes in its sales leadership and organization, says Bartz, which has included talent walking out the door in droves.</p>
<p>A lot more than Yahoo expected, but no surprise to anyone who has been paying any attention to the brain drain at the company.</p>
<p>Bartz promises a new approach to sales, part of its endless turnaround, which is beginning to feel like a digital version of &#8220;Waiting for Godot.&#8221;</p>
<p>Search revenue, though, says Bartz, was better than expected.</p>
<p><strong>2:11 pm:</strong> CFO Tim Morse is on now, running through the numbers and the display shortfall in the Americas region. </p>
<p>&#8220;We simply did not have appropriate coverage,&#8221; says Morse, noting consumer products, tech and autos as weak spots in the advertising market.</p>
<p>Thank goodness, then, for the guarantees from search revenue in the Microsoft partnership deal. </p>
<p>More numbers and then it is back to Bartz to talk about search, which is going better than the last quarter, when it was the culprit for the revenue decline.</p>
<p>She says that Microsoft and Yahoo were working together to improve the issues.</p>
<p>&#8220;We&#8217;d like to be further down the road,&#8221; says Bartz about the goal of search revenue per search growth, as well as settling all the other problems, such as the Asian issues. </p>

<p>And, by further, I am presuming she means actual forward movement, which is what roads are actually for.</p>
<p><strong>2:27 pm:</strong> Q&#038;A time, the part of our program where Wall Street analysts do not ask the questions that need asking (and where I win fancy journalism awards for pointing this delta out!).</p>
<p>Therefore, Bartz is first thanked for providing &#8220;color&#8221; about the display disaster and is not asked about more specifics of the disaster itself.</p>
<p>The second question still does not get to it either, but she does note Yahoo&#8217;s sales force has to sell beyond &#8220;Gee, we&#8217;re big&#8221; and come up with better ad solutions.</p>
<p>&#8220;The issue is we did not have enough sales people in front of the big clients,&#8221; says Bartz. </p>
<p>That&#8217;s because all those former Yahoos are now working at Groupon, LivingSocial, Facebook and on down the line and now in front of big clients for those hotter companies.</p>
<p><strong>2:34 pm:</strong> Question about its Asian assets. Yahoo&#8217;s talks with Yahoo! Japan and Alibaba are separate, says Bartz, although I would add that they have non-movement in common. </p>
<p>And also a question about <a href="http://allthingsd.com/20110718/with-yet-another-flat-quarter-expected-does-yahoo-need-a-hail-mary-hulu-acquisition/">Yahoo&#8217;s interest in the acquisition</a> of the Hulu premium online video service.</p>
<p>Bartz winks verbally and says nothing, which translates into: Of course, it is interested.</p>
<p>More on the reasons for the display fall-off, which Bartz makes clear is not due to big competitive threats, but internal issues. </p>
<p>Maybe she&#8217;s saving big competitive threats as the reason for a revenue decline in the third quarter!</p>

<p>I look forward to the quarter I get the finger pointed at me for causing revenue to fall, due to my snarky posts. </p>
<p>Now, we are into softball questions about improvements in engagement. It&#8217;s up, but no one asks why Yahoo is still not doing anything very cutting edge in product innovation compared to competitors.</p>
<p>I believe Google has <a href="http://allthingsd.com/20110715/by-the-numbers-google-the-biggest-social-network-launch-ever/">launched at least 14 new social networks</a> since this Sunday, along with its <a href="http://allthingsd.com/20110714/google-beats-q2-expectations/">strong quarterly performance</a> last week. And Apple, well, <a href="http://allthingsd.com/20110719/monster-earnings-from-apple/">blew away its quarter today</a> as it is about to <a href="http://allthingsd.com/20110714/new-macbook-airs-coming-next-week-not-this-week/">release more cool new stuff</a> later this week.</p>
<p>And that might be the crux of the issue for Yahoo, which might not solve its woes by throwing a more focused sales army at the issue.</p>
<p>That&#8217;s because Yahoo&#8217;s products are simply not nearly has social as Facebook or even Google right now, which might be the true problem as old customers move on to new advertising solutions.</p>
<p>Whatever the reason, Yahoo clearly needs a refresh of its ad products and how it sells them, especially in its fast-growing mobile, video and communications products.</p>
<p>Bartz talks about getting better expertise, a tighter regional focus and other issues of going to market, which is perhaps something she might have realized many, many quarters ago. </p>
<p>After all, she&#8217;s been in charge for a while, and these issues are not new. </p>

<p>In fact, in an earlier quarter, Bartz was <a href="http://allthingsd.com/20110420/yahoos-focuses-on-tentpole-events-with-new-head/">stressing &#8220;tentpole&#8221; events</a> and anchor media properties and the power of the size of Yahoo as a selling point. </p>
<p>This <a href="http://allthingsd.com/20110419/yahoos-first-quarter-earnings-the-revenue-drought-continues-due-to-search-fall-off/">was in April</a>, in fact, in the <a href="http://allthingsd.com/20110419/liveblogging-yahoos-1q-earnings-call-get-me-to-funky-town/">first quarter of this year</a>.</p>
<p>As I wrote then: </p>
<p>&#8220;CEO Carol Bartz excited was the Silicon Valley Internet giant&#8217;s traffic gusher for big tentpole events such as the Super Bowl and the Oscars. In fact, Bartz practically sounded like a gushy &#8220;Entertainment Tonight&#8221; flunky when talking to Wall Street analysts about Yahoo&#8217;s Oscar news, games and other offerings. She proudly noted the site&#8217;s efforts generated more than a billion pages views.&#8221;</p>
<p>Now big is out! <em>Moving on!</em></p>
<p>The last question is another about Yahoo&#8217;s talks with its Asian partners.</p>
<p>&#8220;It&#8217;s complex,&#8221; says Bartz.</p>

<p>One of the results of Yahoo&#8217;s <a href="http://kara.allthingsd.com/20110419/yahoos-first-quarter-earnings-the-revenue-drought-continues-due-to-search-fall-off/">weak earnings report</a> earlier this week has been the renewal of chatter about possible changes in its leadership and even ownership.</p>
<p>And continued investor discomfort with its troubled stock price&#8211;Yahoo shares are down 7.25 percent year over year and an astonishing 49 percent on a five-year basis&#8211;and the level of renewed grumbling by major institutional shareholders is causing some key players to go back to their PowerPoints to reevaluate various options.</p>
<p>(By way of contrast, Google is down about 4.5 percent year over year&#8211;largely due to last week&#8217;s earnings release with higher than expected expenses&#8211;but still up more than 20 percent for the five years.)</p>
<p>As many might recall, last year Yahoo was under scrutiny by a number of interested parties&#8211;from big media companies to other digital players to private equity firms&#8211;considering a <a href="http://kara.allthingsd.com/20100930/could-aol-buy-yahoo-could-news-corp-takeover-2-0-with-a-little-help-from-the-chinas-alibaba">number of takeover scenarios</a>.</p>
<p>Most of them were just talk and no action resulted, but that did not mean that interest went away.</p>
<p>The truth is, they are still out there and ruminating&#8211;this time with what sources describe as a much more amenable Yahoo board, with several of its key members willing to entertain any legitimate offers or ideas to improve the Silicon Valley search giant&#8217;s prospects.</p>
<p>In the last go-round, by contrast, Yahoo&#8217;s top execs&#8211;including CEO Carol Bartz&#8211;denied any interest in the swirl of rumors related to a variety of ideas.</p>
<p>That&#8217;s definitely changed&#8211;at least at the board level&#8211;so here are three very credible scenarios of what could happen:</p>
<p><strong>Peetie, Peetie, Yahoo-Sweetie</strong></p>
<p>Late last year, BoomTown wrote a post about the interest that former News Corp. COO and President Peter Chernin&#8211;who now owns his own entertainment production company&#8211;had in the situation at Yahoo.</p>
<p><a href="http://kara.allthingsd.com/files/2011/04/157844079_c3j8p-M-2.jpeg"><img src="http://kara.allthingsd.com/files/2011/04/157844079_c3j8p-M-2-200x300.jpg" alt="" title="157844079_c3j8p-M-2" width="200" height="300" class="alignleft size-medium wp-image-43020" /></a></p>
<p>As I <a href="http://kara.allthingsd.com/20101117/enter-the-chernin-former-news-corp-president-and-coo-in-yahoo-what-if-mix">wrote in November</a>:</p>
<blockquote class="memo"><p>But multiple sources from a variety of sides said that Chernin, a well-liked and deeply experienced media and entertainment exec, has been contacted by a number of private equity firms and other investors about his interest in becoming involved should any of the various and sundry scenarios around the Internet giant pan out.</p>
<p>And Chernin, many sources said, has expressed a definite interest in the situation, perhaps because he was deeply involved in a previous deal when running News Corp.</p>
<p>At the time, it involved combining the media giant&#8217;s Myspace social networking site with Yahoo and also Microsoft&#8217;s portal MSN and creating a new company, code-named &#8220;TrafficCo.&#8221;</p></blockquote>
<p>Indeed, that interest remains for Chernin, who has also been an increasingly active investor, including in the digital sector. He is an angel funder of the hot social media app start-up Flipboard, and also just joined the board of the popular Pandora music service.</p>
<p>The most likely possible scenarios have him joining with deep-pocketed partners, including Providence Equity Partners and, yes, Microsoft, as well as investment banks or advisory firms, such as Morgan Stanley and Code Advisors.</p>
<p>The approach being considered&#8211;which would only be done in a friendly way, with the cooperation of Yahoo&#8217;s board&#8211;would center on making a large enough investment in its shares, allowing the group to take control of the management and the board, putting Chernin in as chairman and maybe CEO (or with a new CEO&#8211;see next section).</p>
<p>If Microsoft were involved&#8211;and Chernin has strong ties there&#8211;such a scenario might include folding all its online properties into Yahoo and renegotiating its rocky search partnership, too.</p>
<p>This is an idea that intrigues a lot of people&#8211;including current Yahoo board chairman Roy Bostock, co-founder Jerry Yang and other board members&#8211;who have indicated recently to several investors and dealmakers a willingness to listen to credible player such as Chernin.</p>
<p>But, in this scenario, it would be up to Chernin and his partners to make a prosposal, said sources, and he might decide that the complexity of getting the power to make big changes at Yahoo is too big to tackle.</p>
<p>In addition, Chernin remains a successful Hollywood player, with several major television and movie projects in the works, as well as big investment possibilities in Asia.</p>
<p>&#8220;Does he want the headache of Yahoo at this point in his career?&#8221; asked one person, among many Chernin has talked to recently about becoming involved in the company. &#8220;Would you?&#8221;</p>
<p>Maybe so, if it would provide a big financial windfall. Many think an exec with a reputation like Chernin&#8217;s could easily begin to move Yahoo&#8217;s moribund stock upward quickly.</p>
<p><strong>ABC (Anybody But Carol)</strong></p>
<p>Here&#8217;s one truth: Yahoo CEO Carol Bartz does not get proper credit for a number of moves she has made since coming to the company two years ago, including cleaning up the messy corporate structure, de-complexifying garbled systems, cutting costs and bringing its far-flung operations into line.</p>
<p><a href="http://kara.allthingsd.com/files/2011/04/547702043_HQzHZ-M-1.jpeg"><img src="http://kara.allthingsd.com/files/2011/04/547702043_HQzHZ-M-1-199x300.jpg" alt="" title="547702043_HQzHZ-M-1" width="199" height="300" class="alignright size-medium wp-image-43021" /></a></p>
<p>Yahoo&#8217;s stock is certainly doing better than when she arrived in early January of 2009, when it was in the $12 range compared to its current $16 price point.</p>
<p>But here&#8217;s another: That stock price now includes more than $10 in solid assets&#8211;cash and Yahoo&#8217;s much more valuable stakes in China&#8217;s Alibaba Group and Yahoo! Japan&#8211;leaving very little true share appreciation.</p>
<p>And here are more truths: Bartz&#8217;s inability to get revenues growing, innovations flowing, promising start-ups acquired and&#8211;most importantly&#8211;to stop the continual exodus of talent out the door of Yahoo has made her tenure shakier than ever.</p>
<p>Add to that making its relationships with Asian partners more tense, almost no traction in key mobile, video and social arenas, a record of loud public declarations that have fallen flat and serious troubles in Yahoo&#8217;s search and online partnership with Microsoft&#8211;a deal Bartz struck and is charged with managing&#8211;recently highlighted in Yahoo&#8217;s earnings earlier this week.</p>
<p>As <a href="http://blogs.forbes.com/ericjackson/2011/04/20/to-unlock-yahoos-value-bartz-should-take-a-hike/">shareholder activist Eric Jackson</a>, who has long agitated for change at Yahoo, wrote this week in a post:</p>
<p>&#8220;The truth is that investors are fed up with Bartz. Their enmity towards Bartz is palpable when you talk to them. Bartz talked a big game coming into the job and she hasn&#8217;t delivered. It&#8217;s that simple.&#8221;</p>
<p>Well, not that simple and maybe not fair, but it&#8217;s also clear that no one thinks Bartz will be re-upped when her contract is up in 18 months.</p>
<p>Thus, it&#8217;s no surprise that ideas of other possible leaders of Yahoo are being contemplated now.</p>
<p>Here&#8217;s the short list I have made of my choices: Akamai President and Yahoo board member <a href="http://kara.allthingsd.com/20110204/exclusive-huffpos-eric-hippeau-stepping-down-from-yahoo-board-as-akamais-david-kenny-steps-in">David Kenny</a>; former Microsoft exec and current Juniper Networks CEO Kevin Johnson; former AOL CEO and current News Corp. digital head Jon Miller; and Nikesh Arora, current Chief Business Officer and sales head at Google.</p>
<p>There are plenty more to pick from, of course, and any could be installed in conjunction with an effort such as Chernin&#8217;s.</p>
<p><strong>AOL Under the Hoop</strong></p>
<p>No good Yahoo scenario plotting can be contemplated without including AOL and its flashy CEO Tim Armstrong.</p>

<p>Armstrong has made no secret of wanting to get ahold of Yahoo properties to apply the strategy he has been trying at AOL to get it moving again.</p>
<p>Which is: To become the premiere digital media company.</p>
<p>Which is actually Yahoo&#8217;s new motto&#8211;although arguably, in word and deed, Armstrong has been much more active in pushing the concept and narrative.</p>
<p>That includes his incessant acquisitions of all kinds of online media properties, including the big fish&#8211;the <a href="http://kara.allthingsd.com/20110206/youve-got-arianna-aol-buys-huffington-post-for-315-million-in-cash/">$315 million purchase of the Huffington Post</a> and the coronation of its even-flashier co-founder Arianna Huffington as content chief.</p>
<p>Armstrong has certainly not been averse to the idea of a Yahoo-AOL hookup with him at the top, and has been actively talking to anyone interested in such a deal.</p>
<p>And things could get a lot more interesting if AOL linked with a bigger strategic partner, such as News Corp. or Disney or even Google, Armstrong&#8217;s former stomping grounds.</p>
<p>Still, wishing does not make it so, especially with a much smaller and weaker set of assets than Yahoo and a still poor record on goosing its advertising sales.</p>
<p>AOL&#8217;s stock is down 30 percent year over year, as investors still worry about Armstrong&#8217;s ability to turn the company around, which kind of puts him in the same situation as Bartz.</p>
<p>&#8220;AOL is waiting under the hoop for whatever happens, which is a good place to be,&#8221; said one person close to the situation. &#8220;Why not?&#8221;</p>
<p>Why not, indeed&#8211;so, let the games begin.</p>

<p>BoomTown scrambled the <strong>All Things Digital</strong> jet (aka, United Airlines, Seat 7A) late last night to get up to Microsoft&#8217;s big event for its online advertising clients today.</p>
<p>Called &#8220;Imagine 2011: Marketing Leadership Summit&#8221; and held at its Redmond, Wa. HQ, the two-day gathering is designed to wow peeps by trotting out a spate of <em>strategery</em> concepts those who buy advertising on Microsoft&#8217;s various digital offerings from its Bing search service to MSN to Xbox to Windows Phone 7.</p>
<p>Some program topics: &#8220;Elsewhere USA,&#8221; &#8220;Teens Hanging Out, Messing Around, and Geeking Out&#8221; and &#8220;Audience Buying Goes Real-Time: True or False?&#8221;</p>
<p>Presumably the goal of all this heavy-duty thinkery is to get these marketers to buy more ads from Microsoft by warning them about being left behind on the platform as the train chugs inevitably off to the digital future.</p>
<p>And just in case that doesn&#8217;t work, there will be a free concert tonight featuring the hipster band Train for the Imagine 2011 attendees at Microsoft Co-founder Paul Allen&#8217;s Experience Music Project venue to open those ad wallets.</p>
<p>Hey, Geek Mister: Stop sending all those digital marketing bucks to Google and Facebook and give them to us!</p>

<p>Before a panoply of various social, design and anthropology experts pontificated, Microsoft CEO Steve Ballmer kicked off the day with his patented loud and lovable Ed McMahon act, complete with the booming catchphrases.</p>
<p><em>Hey-Yo!</em></p>
<p>&#8220;You have to move forward or die!&#8221; (About the Web.)</p>
<p>&#8220;If you wanna get big, you have to think big!&#8221; (About the Windows 7 Phone smartphone deal with Nokia.)</p>
<p>I love the U.S. government, I don&#8217;t want to give it a hard time.&#8221; (About its crappy Web site, not the antitrust conviction thing.)</p>
<p>Ballmer outlined some key trends, which are not new to anyone paying attention over the last five years: Location; social; pervasive displays; ubiquitous connectivity; computers everywhere; cloud; data; and natural user interaction</p>
<p>He also joked about how there were 10 fake Steve Ballmers on Facebook, all using Steve Ballmer photos. <em>Imagine that!</em></p>
<p>You&#8217;d think Microsoft&#8217;s badillion-dollar investment in the social networking site would get you a verified account!</p>

<p>Status: <em>Monkey boy mad!</em></p>
<p>Actually, pissed off is more related to the fact that the person who conceived and organized the Imagine 2011 event was former global ad sales head Carolyn Everson.</p>
<p>But, she <a href="http://kara.allthingsd.com/20110215/exclusive-facebook-grabs-microsoft-ad-head-everson">left the company</a> in mid-February after only six months, for essentially the same job at Microsoft partner Facebook.</p>
<p>Since then Microsoft and Facebook have been wrangling over the talent raid, including Microsoft even considering <a href="http://kara.allthingsd.com/20110302/exclusive-microsoft-mulls-legally-poking-facebook-over-ad-talent-raid/">legal action to block the move</a>.</p>
<p>Nonetheless, the show must go on and it did in a pretty classy way.</p>
<p>But not without another road bump in today&#8217;s action&#8211;the news that Microsoft&#8217;s own marketing head, longtime company veteran <a href="http://kara.allthingsd.com/20110330/awkward-as-microsoft-marketing-event-opens-its-longtime-marketing-head-announces-retirement/">Mich Mathews</a>, was leaving the software giant later this year.</p>
<p>The departure had the halls buzzing about what happened and who will be taking over the big job with a $1 billion marketing budget.</p>
<p>Maybe some external CMO sitting right there in the audience or perhaps some internal Microsoft candidate such as Yusuf Mehdi or Capossela?</p>
<p>I suppose it&#8217;s time for some strategery <em>stat</em>!</p>

<p>Timing is everything and, sometimes, very awkward.</p>
<p>Today at its Redmond, Wash., campus, Microsoft is hosting a splashy online &#8220;marketing leadership summit&#8221; titled &#8220;Imagine 2011&#8243;&#8211;a gathering of top marketing execs from across the globe, most of whom are advertising clients of its online division.</p>
<p>Also today: Its longtime head of global marketing, Mich Mathews, announced her departure&#8211;to the surprise of many Microsoft execs here, in fact&#8211;via a <a href="http://adage.com/article/digital/microsoft-top-marketer-mich-mathews-exit/149638/">report in Ad Age</a>.</p>
<p>In the article, she said she had told execs at Microsoft just last night.</p>
<p>Mathews, who is probably Microsoft&#8217;s top woman executive, has been at the software giant for a dog&#8217;s age&#8211;22 years. (BoomTown met the sharp-witted and often pointed exec in the early 1990s, when she was in charge of the PR operations for the company.)</p>
<p>As SVP of Microsoft&#8217;s Central Marketing Group, Mathews oversees a $1 billion budget for Microsoft products such as Windows, Xbox , Window Phone 7 and its Bing search service.</p>
<p>While Microsoft will be conducting a global search for a replacement, several sources said the most obvious internal candidate for the job is Yusuf Mehdi, who is SVP for its Online Audience Business.</p>
<p>He leads global product management, strategic partnerships, business development and U.S. marketing execution for the unit.</p>
<p>Another strong internal possibility: Chris Capossela, who just left his job as SVP of the Microsoft Business division for unspecified duties around social initiatives. He had a similar job to Mehdi&#8217;s, with key marketing duties.</p>
<p>Attendees at the Imagine event were buzzing about the Mathews news, taking some focus off the program, which included an opening speech by CEO Steve Ballmer.</p>
<p>Ballmer did not mention Mathews onstage, which was a by-the-book overview of its online ad offerings.</p>
<p>Another sticky situation for Microsoft: The Imagine event was organized by another top woman exec at Microsoft, global ad sales head Carolyn Everson.</p>
<p>But, she <a href="http://kara.allthingsd.com/20110215/exclusive-facebook-grabs-microsoft-ad-head-everson">left the company</a> in mid-February after only six months, for essentially the same job at Microsoft partner Facebook.</p>

<p>Microsoft&#8211;furious over a recent talent grab of its top advertising exec by Facebook&#8211;has been considering a wide range of options, including legal action to block the move, according to sources close to the situation.</p>
<p>Lawyer at both companies have been in back-and-forth talks in recent days after the hiring of Microsoft&#8217;s global ad sales head Carolyn Everson by the Silicon Valley social networking powerhouse to be its VP of global sales.</p>
<p>Among the more likely solutions being discussed: Barring Everson&#8211;a longtime ad sales exec who came to Microsoft from MTV Networks&#8211;from using any strategic information she learned at the company and also from contacting certain ad clients on behalf of Facebook for a certain period of time.</p>
<p>While a legal action to stop her from actually taking the position is the most serious option, it is certainly not without precedent for Microsoft. The company recently <a href="http://newenterprise.allthingsd.com/20110223/judge-says-former-microsoft-exec-cant-work-for-salesforce-for-now/">got a temporary restraining order</a> to block one of its top government relations execs, Matt Miszewski, from working at Salesforce.com, pointing to non-compete and confidentiality contracts.</p>
<p>Whatever happens, it is clear the Everson hiring has infuriated Microsoft execs, especially CEO Steve Ballmer, since the company regards Facebook as a close partner. Microsoft is also a longtime investor in Facebook.</p>
<p>While considering a temporary restraining order against Everson in this kind of situation&#8211;since it is essentially the same job&#8211;is standard operating procedure for any company, several sources said tensions are higher than usual.</p>
<p>&#8220;This is just tone deaf on Facebook&#8217;s part not to think this would not be a problem,&#8221; said one person.</p>
<p>One particularly irksome aspect&#8211;top Facebook execs did not call Ballmer before news of the appointment leaked out to assuage the situation.</p>
<p>Facebook COO Sheryl Sandberg did release a statement when <a href="http://kara.allthingsd.com/20110215/exclusive-facebook-grabs-microsoft-ad-head-everson">BoomTown broke news of the move</a> in mid-February, in an attempt to make nice.</p>
<p>&#8220;Microsoft was one of our earliest partners and is still one of our most valued,&#8221; she said, in part. &#8220;We look forward to continuing to expand our relationship with them.&#8221;</p>
<p>Her dulcet words have apparently not worked.</p>

<p>In fact, the talent raid came as a surprise to many at Microsoft, especially since Everson (pictured here) had been hired in June after a long search and had become a high-profile presence at internal and external Microsoft events.</p>
<p>That included organizing the splashy &#8220;Imagine 2011, Microsoft Advertising&#8217;s Marketing Leadership Summit.&#8221; The event is set to take place at the end of March at the software giant&#8217;s Redmond, Wa. HQ and will include an evening concert by the band Train.</p>
<p>Now she will be doing such things for Facebook, where Everson will be replacing longtime and well-regarded ad exec <a href="http://kara.allthingsd.com/20101026/exclusive-facebooks-longtime-ad-sales-head-mike-murphy-to-depart-company/">Mike Murphy</a>, who left the Palo Alto, Calif., company last fall. She will report to former Googler David Fischer, VP of Advertising and Global Operations.</p>
<p>Having a top exec who is amenable to and well known by Madison Avenue is key for Facebook as it ramps up its business, in anticipation of an IPO next year.</p>
<p>Despite being private, Facebook has recently been valued at between $50 and $60 billion by investors, who have been eagerly buying up shares of the company on secondary markets.</p>
<p>Under Murphy and Fischer, ad sales have been doing well already. Facebook&#8217;s share of online display advertising has more than quadrupled, from about three percent to almost 14 percent of the nearly $9 billion U.S. market, according to a recent survey.</p>
<p>In growing so quickly, Facebook has grabbed ad revenue&#8211;reportedly $2 billion last year–from old online powerhouses, especially Yahoo, Microsoft and AOL, and is also in a big fight with Google over premium ad sales.</p>
<p>Facebook&#8217;s surging usage and engagement are the reasons for the increased interest from advertisers, as well as its global growth in both market share and mindshare of consumers.</p>
<p>The opportunity at Facebook is clearly a big&#8211;and probably irresistible&#8211;move for the dynamic Everson, who has mostly worked in the mainstream media for much of her career.</p>
<p>Still, while movement of execs among top tech companies is not uncommon, there has been a lot less from Microsoft to Facebook.</p>
<p>Instead, Facebook has been most aggressive in its efforts to attract talent from Google.</p>

<p>No longer. In fact, the week before Facebook grabbed Everson, it also hired an up-and-coming exec, <a href="http://www.linkedin.com/pub/chris-daniels/0/a2/17a">Chris Daniels</a>, GM of Bing Mobile Product Management, to be its director of business development.</p>
<p>Still, there is some hiring war history between the companies. In late 2008, Microsoft&#8217;s Ballmer managed to <a href="https://kara.allthingsd.com/20081204/microsoft-confirms-qi-lu-hired-as-digital-chief-mcandrews-out">lure former Yahoo exec Qi Lu</a> to run its Online Services Division, several sources at both companies said, after he had told Facebook he would work there as its engineering lead. Lu had also been heavily recruited by Google.</p>
<p>Eventually, that was water under the bridge, which is what Facebook is hoping will happen with Microsoft over Everson.</p>
<p>Also important in the weighing of options at Microsoft is the obvious importance of keeping up good relations with Facebook. It is an important partnership, especially for its Bing search business, as an advantage over Google.</p>
<p>&#8220;Everyone is hoping to resolve this amicably,&#8221; said one person close to the situation. &#8220;There has been some damage to the relationship for sure, but the question is whether Microsoft wants to do something that would escalate that damage.&#8221;</p>
<p>Not surprisingly, both Facebook and Microsoft declined to comment on the fracas.</p>

			<content:encoded><![CDATA[<p><img title="Screen shot 2011-02-15 at 12.58.32 PM" src="http://mobilized.allthingsd.com/files/2011/02/Screen-shot-2011-02-15-at-12.58.32-PM-275x188.png" alt="" width="150" height="102 class=" />Stephen Elop knows there are plenty of investors and employees who are none too happy with his plan to phase out its homegrown Symbian operating system in favor of an approach that focuses on <a href="http://mobilized.allthingsd.com/20110210/nokia-microsoft-ballmer-and-elops-letter-announcing-the-deal/">phones that are built on top of Microsoft&#8217;s software</a>.</p>
<p>Financial markets have sent Nokia shares lower, workers have been up in arms and earlier on Tuesday a group of young Nokia investors <a href=" http://nokiaplanb.com/2011/02/14/an-open-letter-to-nokia-shareholders-and-institutional-investors/">posted an open letter</a> on the Web calling for the Nokia chief executive to rethink his plans and instead opt for a &#8220;Plan B&#8221; that would have Nokia maintain ownership of the software layer of its phones.</p>
<p>But Elop said he is not surprised there has been some negative reaction. Elop noted that he has had months to <a href="http://mobilized.allthingsd.com/20110210/exclusive-nokias-stephen-elop-talks-about-how-he-made-his-big-os-decision/">weigh all the options</a> and <a href="http://mobilized.allthingsd.com/20110211/nokias-stephen-elop-talks-to-mobilized-about-the-big-microsoft-deal-video/">grow comfortable with the Windows Phone-led strategy</a>, while others are still digesting it.</p>
<p>&#8220;There is both an intellectual journey and an emotional journey through which we all need to go,&#8221; Elop told Mobilized during a chat on the sidelines of the Mobile World Congress event in Barcelona. &#8220;I&#8217;ve had four and a half months to go through the journey.&#8221;</p>
<p>As for workers walking off the job last Friday, Elop also seemed to take that in stride. &#8220;To the extent that workers need time to go through that emotional journey, that&#8217;s something I completely understand.&#8221;</p>
<p>While Elop said the main reason he went with Windows Phone was the opportunity for sustainable differentiation, he noted that <a href="http://voices.allthingsd.com/20110213/nokia-says-it-will-get-billions-from-microsoft/">the billions of dollars from Microsoft</a> doesn&#8217;t hurt.</p>
<p>Elop said that the value of the deal reflects not just the standard business terms, but also the fact that Nokia was a &#8220;swing vote&#8221; in the mobile market and  could have gone to Google and Android.</p>
<p>&#8220;That, by itself, has substantial value,&#8221; Elop said. &#8220;In addition to revenue streams one would normally calculate into a deal, there is a clear recognition of a special value that we are providing for which we are receiving compensation&#8211;value, money, however you want to describe it&#8211;measured in the &#8216;B&#8217;s not &#8216;M&#8217;s.&#8221;</p>
<p>The revenue, which was euphemistically referred to <a href="http://mobilized.allthingsd.com/20110211/live-from-nokias-investor-meeting-does-the-new-strategy-add-up/">during last week&#8217;s investor event</a> as &#8220;marketing support&#8221; will show up over the life of the deal, Elop said, and allow the company to invest more or flow through to its bottom line.</p>
<p>&#8220;To be clear it&#8217;s not about the money,&#8221; Elop said. &#8220;If we can be no different than anybody else, then at end of the day margins erode.&#8221;</p>
<p>Elop also noted that Nokia is committing fully to Windows Phone, where as Microsoft&#8217;s other partners are largely doing products for Google&#8217;s operating system as well.</p>
<p>&#8220;Some of the other OEMs do their best work for Android right now,&#8221; he said.</p>
<p>Although Nokia hasn&#8217;t committed to releasing a Windows Phone this year, Smart Devices head Jo Harlow said onstage at Nokia&#8217;s press conference that she is feeling the heat to do so.</p>
<p>Elop clarified where that heat was coming from. &#8220;From me,&#8221; he said. &#8220;From me.&#8221;</p>
<p><strong>Update</strong>: Asked for comment on the Plan B letter, Nokia offered a brief statement.</p>
<p>&#8220;We are aware of the letter being posted, but have not been directly contacted,&#8221; the company said. &#8220;Nokia’s new strategy has full approval of the Board of Directors and the Nokia Leadership Team, and our focus now is on the execution of this new strategy.&#8221;</p>

<p><strong>12:05 pm</strong>: Okay, things are getting going as Elop takes the stage (the same one as the earlier press conference.</p>
<p><strong>12:06 pm</strong>: Elop is reviewing things. Lots of talk of both challenges and gems. If you read his memo, or anything else he&#8217;s said recently, you have heard this.</p>
<p>Battle of devices to war of ecosystems, etc. Mobilized has this part memorized.</p>
<p><strong>12:09 pm</strong>: Smartphone strategy is just one piece.</p>
<p>Reviewing the three alternatives that Elop considered&#8211;MeeGo, Android or some partnership with Microsoft.</p>
<p>As for Google, Elop says it is the case there are some advantages for that approach.</p>
<p>&#8220;There&#8217;s something happening there. There&#8217;s no denying that.&#8221;</p>
<p>However, Elop says the company was worried it would be late and be just one of many, and was not sure how it could leverage assets like its Navteq location-based services.</p>
<p>&#8220;Our sense was differentiation could be a pretty big challenge,&#8221; Elop says. &#8220;The risk for commoditization would increase dramatically.&#8221;</p>
<p>Feels profit would have eventually moved to Google, with handsets becoming a commodity.</p>
<p>&#8220;It felt a little bit like giving up and not enough like fighting back,&#8221; Elop says.</p>
<p><strong>12:12 pm</strong>: As for Microsoft, Elop says both companies are bringing something to the table.</p>
<p>As expected, Elop is characterizing this as more strategic than just taking a license to Windows Phone. Talking about Nokia services like mapping, local advertising and other things that Nokia can bring to the table.</p>
<p>&#8220;It&#8217;s far more interesting than a simple licensing deal,&#8221; Elop says. This was the only strategy that makes it a three horse race with Google and Apple.</p>
<p>Elop says he is convinced that Nokia will be able to differentiate within the Windows Phone ecosystem on a sustainable basis.</p>
<p><strong>12:15 pm</strong>: There were some challenges and potential disadvantages, he acknowledges. </p>
<p>Top among these is the fact that Windows Phone 7 is new on the market. </p>
<p>&#8220;It&#8217;s early,&#8221; he says. &#8220;Will it succeed?&#8221;</p>
<p><strong>12:17 pm</strong>: Also, there is the issue of being locked in or a lack of control. Elop does not disclose terms but says the company has flexibility and &#8220;substantial control&#8221; over the future of the ecosystem.</p>
<p>&#8220;This is not your mother&#8217;s OEM deal with Microsoft,&#8221; Elop says.</p>
<p><strong>12:17 pm</strong>: Elop says the deal is at the &#8220;term sheet&#8221; stage, noting that the companies have yet to sign the &#8220;definitive agreement.&#8221;</p>
<p><strong>12:18 pm</strong>: Already the engineers are working through, and Elop says this deal will allow Nokia to move far faster than it has in recent years.</p>
<p><strong>12:18 pm</strong>: He&#8217;s also making the cost-saving argument, saying Nokia can focus its investment, which he acknowledges hasn&#8217;t been getting the return it should.</p>
<p>Elop earlier acknowledged that the company expects significant cost savings from the move as well as substantial workforce reductions.</p>
<p>&#8220;Bottom line: Products that are more competitive,&#8221; he says.</p>
<p><strong>12:22 pm</strong>: Operators are excited by a third viable option, Elop says.</p>
<p>&#8220;A two-horse race is not a satisfactory [situation] for operators,&#8221; Elop says.</p>
<p>Elop says that Microsoft-Nokia will be operator-friendly, as compared with Google and Apple.</p>

<p>Elop talks about Windows Phone as offering differentiation form Apple and Google, but also insisting that Nokia has the assets and business terms it needs to stand out from other Windows Phones. He focuses on camera technologies and &#8220;unique relationship.&#8221;</p>
<p>Stresses again that this is not a standard handset maker agreement. But he also says that just because Nokia can change lots of things within Windows Phone, doesn&#8217;t mean it should.</p>
<p>Nokia, he says, must &#8220;resist the temptation to customize just for the sake of customization.&#8221;</p>
<p><strong>12:27 pm</strong>: Now talking about Symbian. For those that missed it, Elop reiterates this is a transition strategy, but adds that the company still expects to sell 150 million more Symbian devices before that transition is complete.</p>
<p><strong>12:29 pm</strong>: Strategy is more than just smartphones. He wants the company to be a leading force in connecting the next billion people to the Internet via phones in emerging markets. &#8220;The market for feature phones is pushing down the price curve and that is an opportunity for Nokia.&#8221;</p>
<p>Nokia will do incremental work in that area&#8211;things like Nokia Money for people that don&#8217;t have a bank account or telephone. Another, Nokia Life Tools, helps connect, say, farmers to market information.</p>
<p>This area is still a target for innovation, he says, but it also faces competition from Chinese-made phones based on MediaTek chipsets.</p>
<p>Elop says that the company must also plan for the future so that it can be disruptive down the road. &#8220;As they say in Finland, it is time to shoot ahead of the duck,&#8221; he says.</p>
<p>That&#8217;s where MeeGo comes in&#8211;the mobile version of Linux that until recently was seen as Nokia&#8217;s future. Nokia said that team will ship a phone later this year and then see where the future is headed.</p>
<p><strong>12:35 pm</strong>: Want to point out <a href="http://www.nytimes.com/2011/02/10/technology/10tech.html?_r=2&#038;pagewanted=all">this New York Times article</a> that said both Google and Microsoft were offering hundreds of millions of dollars in engineering and marketing support in order to woo Nokia.</p>
<p><strong>12:36 pm</strong>: Elop now talking about cost cuts, including significant job reductions.</p>
<p>&#8220;We are not announcing how many and in what country,&#8221; Elop says, but adds that the company wants to move quickly on that front.</p>
<p>He says that he has made changes to the business to ensure speed, including leadership structure changes aimed at ensuring accountability. &#8220;If things go well today, I&#8217;ll be the CEO.&#8221;</p>
<p>Of note, the two of the three business unit leaders are women&#8211;Mary McDowell, who will lead lower-end phones, and Jo Harlow, who will head the smartphone business.</p>
<p><strong>12:40 pm</strong>: Nokia looking for a new leader for its services and developer division. The acting head is Tero Ojanpera, but he will soon be looking for other opportunities within Nokia, Elop says.</p>
<p>Also of note, Louise Pentland, who is head of the legal and intellectual property unit, is being elevated to the top leadership team.</p>
<p>&#8220;We have one of the strongest patent portfolios out there&#8221; he says, adding that he would encourage all players to take a license to said patents. (hear that, Apple?)</p>
<p>New leader of North American sales unit to be named in coming days.</p>
<p>&#8220;We are creating a different industry,&#8221; Elop says in closing his introductory remarks.</p>
<p><strong>12:44 pm</strong>: Elop Brings on CFO Timo Ihamuotila to go through the numbers.</p>
<p><strong>12:46 pm</strong>: Ihamuotila acknowledged Nokia didn&#8217;t meet the targets it had set out to achieve at its last financial analyst day.</p>
<p>&#8220;Our execution did not cut it.&#8221; he says.</p>
<p><strong>12:49 pm</strong>: Ah, Now on to the good stuff. CFO talking financial impact from Microsoft deal. Says should be good over the long term. </p>
<p>Slide shows royalty payments to Microsoft causing lower gross margins, but says sales and marketing support from Microsoft should lower operating expenses.</p>
<p>&#8220;We will receive substantial go-to market support from Microsoft,&#8221; he says, without giving numbers.</p>
<p><strong>12:52 pm</strong>: Ihamuotila talking now about the company&#8217;s long-term targets for devices and services period &#8220;after the transition period.&#8221;</p>
<p>Device sales to grow faster than the market, with operating margins of 10 percent or more&#8211;but this is only after the transition period, which the company has said could last this year and next.</p>
<p>Significant uncertainties in this period.</p>
<p>Ihamuotila shows a slide showing Symbian sales slowly giving way to Windows Phone with lower-end mobile phones remaining about half of sales.</p>
<p><strong>12:57 pm</strong>: Ihamuotila shows chart of how it expects to cut R&#038;D with the company investing less in services, more in entry-level phones and far less on MeeGo, though still some. The investment in Symbian will be replaced by a far lower investment in Windows Phone R&#038;D. Overall, R&#038;D should be a fraction of what it was.</p>
<p><strong>1:02 pm</strong>: Over long term, Ihamuotila says that the Microsoft deal should help significantly boost the company&#8217;s Navteq navigation business.</p>
<p>&#8220;We think this new strategy is the best way to maximize long-term value, both to our shareholders and to other stakeholders,&#8221; Ihamuotila says.</p>
<p>On to Q&#038;A for financial analysts.</p>
<p><strong>1:03 pm</strong>: Question on how Nokia will keep employees motivated, something else and when to expect the first Windows Phone.</p>
<p>&#8220;Thanks for the one question&#8221; Elop quips, before addressing them in turn.</p>
<p>Elop says that the key is on focused innovation so they see the fresh opportunities (at least for the ones who don&#8217;t get cut by the large workforce reductions also promised).</p>
<p>He also pointed to his sharply worded memo, which he said was designed to convey the message that &#8220;Here is the truth, we&#8217;re making decisions and we&#8217;re moving forward.&#8221;</p>
<p>Won&#8217;t give date on first Windows Phone, but says again that the move will allow a substantially faster pace than the company was on with Symbian.</p>
<p><strong>1:07 pm</strong>: Elop is asked about some of the challenges with Microsoft and Nokia each responsible for different pieces of software and services, as opposed to Google and Apple, where things are more integrated.</p>
<p>&#8220;We wanted to drive operational simplicity,&#8221; Elop says, adding that the companies talked about other arrangements, though not a full-on acquisition. The companies, Elop says, decided not to go with the operational complexity of a joint venture.</p>
<p><strong>1:10 pm</strong>: Elop says Nokia has opportunities to differentiate from other Windows Phone devices, but adds it is in Nokia&#8217;s interest for there to be other strong handset players supporting Windows Phone.</p>
<p>&#8220;We&#8217;ve got to make Windows Phone successful,&#8221; he says.</p>
<p>Nokia&#8217;s mapping technology, he says, will benefit rivals like Samsung and HTC. &#8220;We&#8217;re willing to make those trades,&#8221; Elop says.</p>
<p><strong>1:11 pm</strong>: Elop is asked why he feels comfortable with a &#8220;bet the farm&#8221; strategy on Microsoft, a company he clearly knows well.</p>
<p>Elop points out that it was harder to see how Microsoft would rapidly be successful without someone like Nokia.</p>
<p>&#8220;But this is now different,&#8221; he says, adding that this is now an ecosystem that Microsoft and Nokia are jointly helping to build.</p>
<p>Mapping and local advertising were not part of the ecosystem before the Nokia-Microsoft partnership.</p>
<p>As for impact of the transition, it&#8217;s hard to say, Elop says. Symbian is strong in some places where Apple and Google are present today.</p>
<p><strong>1:14 pm</strong>: Asked whether Nokia will remain profitable during the transition.  &#8220;It&#8217;s hard to say financially, and I am not going to provide any further specific guidance.&#8221;</p>
<p><strong>1:17 pm</strong>: Elop won&#8217;t say when the first Windows Phone will ship, but lots and lots by next year at various price points.</p>
<p>&#8220;We&#8217;ll be shipping in volume in 2012,&#8221; he says.</p>
<p><strong>1:20 pm</strong>: Another two-parter! 1) Why will Symbian be supported if it is transitioning away? 2) Why does Nokia think it will be able to have double-digit operating margins using someone else&#8217;s platform?</p>
<p>Elop: They recognize Symbian is key to Nokia being able to transition, but he agrees that consumers will have to want the Symbian phones Nokia builds. CFO also notes that less than half of Symbian phones are sold through carriers.</p>
<p>As for question on margins, CFO says the company has opportunities for higher margins around services and advertising.</p>
<p><strong>1:23 pm</strong>: Asked about how the company is confident Windows Phone can get to lower prices, Elop says that was a key consideration, down to which chipsets will be supported, etc.</p>
<p>Between the two companies there was a lot of work to get a high degree of confidence.</p>
<p>&#8220;That was a critical evaluation,&#8221; he says.</p>
<p>That said, Elop agrees there is a smartphone market below Windows Phone that Nokia will manage with an evolution of today&#8217;s Series 30 and Series 40 operating systems.</p>
<p><strong>1:31 pm</strong>: Elop: Some of the hardware designs that would have run MeeGo or Symbian will be repurposed for Windows Phone. Some devices may come out with similar models for both Windows Phone and Symbian.</p>
<p><strong>1:32 pm</strong>: Question again on who pays whom in Microsoft-Nokia. Is there a lump payment from Microsoft?</p>
<p>Elop doesn&#8217;t answer and instead refers to slide that shows opportunities on both sides. Saying value going both ways. As for Microsoft&#8217;s payments, &#8220;That is a significant part of the conversation,&#8221; Elop says.</p>
<p><strong>1:35 pm</strong>: Two good questions: Can Windows Phone be put on any current devices? What happens to QT development layer that Nokia bought and had sought to unify developer approach?</p>
<p>Elop: It&#8217;s not as simple as plugging in and downloading on to current phones, though some technologies can be repurposed.</p>
<p>QT continues to be the development for Symbian and lone MeeGo device. Also could have a role on low-end devices.</p>
<p>However, Elop says, &#8220;We are not proposing a QT on Windows Phone&#8221; approach. Adding another development environment could fork the ecosystem, which is not good for Nokia or Windows Phone, he says. Development environment for Windows Phone will be Silverlight and XNA&#8211;Microsoft&#8217;s current tools.</p>
<p><strong>1:38 pm</strong>: Asked about branding, he says in some cases you will see both Microsoft and Nokia brands. Examples could include Nokia Search powered by Bing or Bing maps powered by Nokia, though he says those are examples and not final choices.</p>
<p><strong>1:39 pm</strong>: Asking about tablets, questioner points out that Nokia had an early lead in tablets, but Apple &#8220;stole the show.&#8221;</p>
<p>&#8220;We are not announcing today a specific tablet strategy,&#8221; he reiterates, saying that Microsoft creates opportunities.</p>
<p>Elop notes that there are rumors of Windows Phone and Windows that could power tablets.</p>
<p>&#8220;We could do that,&#8221; he says. &#8220;We might do that.&#8221;</p>
<p>Also an opportunity for Nokia to step back into the game using its own software.</p>
<p><strong>1:41 pm</strong>: Elop  wrapping up.</p>
<p>&#8220;We have set a new course for Nokia,&#8221; he says, adding that despite what has been written, Nokia is still an incredibly powerful company, though perhaps not in North America. &#8220;Today we are diving forward&#8221; he says. &#8220;We have a strong partner in Microsoft who is incented as are we in making this successful.&#8221;</p>
<p>Investor guy closes by reminding there were forward-looking statements. He&#8217;s still going as people leave the room.</p>

<p>While he won&#8217;t officially take over as CEO of Google until April, the recent full-frontal slapfest on Microsoft&#8217;s Bing search engine for <a href="http://kara.allthingsd.com/20110201/beyond-the-search-box-the-white-pleather-honeypot-smackdown/">shoplifting results from the search giant</a> was so Larry Page in tone and temperament that it brought back memories from many years ago when I covered Google more closely.</p>
<p>Like the time in 2004 when he railed on the investment banking system as Google considered its IPO. Or, a meeting in 2005 when Page aggressively argued minutiae about the size of Google&#8217;s index size after Yahoo claimed its data trove was bigger.</p>
<p>And my ears are still ringing from a Googleplex lunch we had in the midst of his ire over a <a href="http://news.cnet.com/Google-balances-privacy,-reach/2100-1032_3-5787483.html">2005 story on CNET</a> that chronicled a lot of personal information about CEO Eric Schmidt, trying to show how much data was easily available on Google.</p>
<p>Page thought it best to be on the offensive and attack the report as a privacy violation, while I took the position that it was accurate and fair game and you don&#8217;t argue with the press and win.</p>
<p>It&#8217;s unlikely Page remembers any of this, but I do because I kept notes as part of my ongoing assessment of his characteristics as an Internet leader.</p>
<p>In fact, after our first interview in 2001, my notes on the encounter had this one line underlined and in all caps:</p>

<p><strong>LARRY PAGE=BILL GATES.</strong></p>
<p>It was not meant as an insult, but I can tell you I never wrote such a note about Page&#8217;s co-founder, the jokey and affable Sergey Brin.</p>
<p>Even then, Gates had a fearsome reputation as a manically competitive exec, a cutting manner to those not as smart as he clearly is and a reputation as a very tough and often eviscerating boss. (And all that was also my experience whenever I was interviewing him.)</p>
<p>While much wonkier, friendlier and more of a sensitive new-aged male, Page, it seemed to me, had the exact same obvious drive and aggression as Gates.</p>
<p>I stopped covering Google as closely years later&#8211;for personal reasons (see disclosure above)&#8211;and, thus, largely fell out of regular touch with Page.</p>
<p>But in reading the <a href="http://googleblog.blogspot.com/2011/02/microsofts-bing-uses-google-search.html">tough quotes and later blog post by Amit Singhal</a>&#8211;quite possibly the sweetest dude at Google&#8211;accusing Bing of cheating, it felt like he was channeling Page&#8217;s very clear and nerdily indignant voice again.</p>
<p>In a nutshell: We have data to prove Microsoft&#8217;s stealing. Look at our detailed proof from our complex sting. We are outraged by this violation of geek code. <em>Don&#8217;t you lay people get it?!?</em></p>
<p>I would wager that we&#8217;re about to see a lot more of this pugnacious, in-your-face tone from Google under Page&#8217;s leadership, which could have far-reaching implications for the company.</p>
<p>While I have no idea if it was his decision to let loose the dogs of algo-war on Microsoft, many with knowledge of how Google manages its public persona observed to me this week that this was just the kind of popping off that the outgoing Schmidt often tried to mitigate and soften.</p>
<p>But such bravado will play well with Google&#8217;s elite and pampered engineering corps in Silicon Valley.</p>

<p>And, in any case, PR considerations have never really been the point for Page, who cares not for how it might come off in the media (which he largely disdains anyway).</p>
<p>Which is to say like a temper tantrum of a very smart and very gifted child, who is probably largely right, but should not be quite so exercised given the level of violation.</p>
<p>No matter, since Page likely still lives and breathes data and algorithms and the Spock-like application of information.</p>
<p>It&#8217;s the rest of us who are illogical.</p>

<p><img class="alignright size-medium wp-image-2563" title="larry_page" src="http://networkeffect.allthingsd.com/files/2011/01/larry_page-e1295595799184.jpg" alt="" width="154" height="153" /></p>
<p>There are many other Fortune 500 CEOs in the same boat, and they certainly have plenty else to do with their time than post Facebook photos from Davos.</p>
<p>But non-Twittering CEOs are likely a dying breed, as transparency and authenticity in corporate communications come into vogue, and the younger generations move up through the ranks.</p>
<p>Google&#8217;s entire executive leadership is particularly anti-social for an Internet company, although unlike Page, Eric Schmidt, its CEO of the last 10 years, had the gumption to at least <a href="http://twitter.com/ericschmidt">try Twitter</a> and post updates every couple of weeks.</p>
<p>That their bosses decline to participate in what many see as the future of the Web is <a href="http://networkeffect.allthingsd.com/20101119/the-landscape-around-googles-hiring-binge/">particularly grating for some young Google employees</a>.</p>
<p>While the company circles around launching its own fully fledged social strategy, many Googlers feel that accountability for &#8220;getting social&#8221; starts at the top by leaders using the products themselves, rather than outright ignoring them.</p>
<p>Certainly, Page is incredibly private in all sorts of situations, both online and off. Here&#8217;s a memorable section from Ken Auletta&#8217;s book &#8220;Googled&#8221;:</p>
<blockquote><p>&#8220;Larry Page is aggressively disdainful of marketing and public relations. In early 2008, Page instructed Google&#8217;s public relations department, which consisted of 130 people, that he would only give them a total of eight hours of his time that year for press conferences, speeches or interviews.&#8221;</p></blockquote>
<p>That doesn&#8217;t seem like an approach that will go over well now that Page will be CEO of a company of Google&#8217;s stature, although perhaps he could save some time by crafting short tweets in lieu of full speeches.</p>
<p>While Page seems to be ignoring the social Web&#8217;s existence (he <a href="http://www.businessinsider.com/sergey-brins-first-job-getting-google-social-figured-out-2011-1">said</a> Thursday he thinks it&#8217;s at the &#8220;very very early stages,&#8221; ceding comment on the topic to his co-founder Sergey Brin), the category has already had a significant competitive effect on Google.</p>
<p>The company <a href="http://mediamemo.allthingsd.com/20110120/live-google-explains-why-larry-page-is-ceo/">says social is not yet negatively impacting its search business</a>, but there are other ways it is creeping in: Through a significant talent drain to companies like Facebook, and a tarnishing of the company&#8217;s position as a tech leader.</p>
<p>In a way, part of the reason Page took control seems to be in response to the rise of Facebook, although there are clearly many other factors at play).</p>
<p>That&#8217;s because Page has now reinstated himself in a sacred position in Silicon Valley: The founder CEO.</p>
<p>One of the most impactful things the social Web has done is raised a new founder CEO to the tip-top of the tech industry: Mark Zuckerberg.</p>
<p>And, according to sources, the rise of Zuckerberg has been especially hard for Google co-founders Larry Page and Sergey Brin to watch.</p>
<p>Zuckerberg was also just <a href="http://networkeffect.allthingsd.com/20101215/glassy-eyed-zuckerberg-is-time-person-of-the-year/">named Time Magazine&#8217;s Person of the Year</a>, an honor Page and Brin have never received.</p>
<p>And his company also just arranged a deal to raise money at a $50 billion valuation, making his own stake worth <a href="http://networkeffect.allthingsd.com/20110102/by-the-numbers-goldman-sachs-buddies-up-with-facebook/">$15 billion</a>, which happens to be the approximate net worth of each Page and Brin.</p>
<p>(As for Zuckerberg&#8217;s social media presence, he obviously uses Facebook quite actively, and also has a bare-bones <a href="http://www.linkedin.com/pub/mark-zuckerberg/0/835/a34">LinkedIn profile</a> and a <a href="http://twitter.com/finkd">Twitter account</a> that hasn&#8217;t been updated in more than a year. And, like Page, he would not be considered a social butterfly in real life.)</p>
<p>So now Page has returned to presumably make Google innovative again with the passion of a founder. But with 10 years elapsed since he last had the job, he may want to go out and do a little personal market research on this whole social thing.</p>

<p>    * Starting from April 4, Larry Page, Google Co-Founder, will take charge of Google&#8217;s day-to-day operations as Chief Executive Officer.<br />
    * Sergey Brin, Google Co-Founder, will devote his energy to strategic projects, in particular working on new products.<br />
    * Eric Schmidt will assume the role of Executive Chairman, focusing externally on deals, partnerships, customers and broader business relationships, government outreach and technology thought leadership&#8211;all of which are increasingly important given Google&#8217;s global reach. Internally, he will continue to act as an advisor to Larry and Sergey.</p>
<p>Here&#8217;s the full text of Schmidt&#8217;s statement explaining the move:</p>
<blockquote class="memo"><p>When I joined Google in 2001 I never imagined—even in my wildest dreams—that we would get as far, as fast as we have today. Search has quite literally changed people’s lives—increasing the collective sum of the world’s knowledge and revolutionizing advertising in the process. And our emerging businesses—display, Android, YouTube and Chrome—are on fire. Of course, like any successful organization we’ve had our fair share of good luck, but the entire team—now over 24,000 Googlers globally—deserves most of the credit.</p>
<p>And as our results today show, the outlook is bright. But as Google has grown, managing the business has become more complicated. So Larry, Sergey and I have been talking for a long time how best to simplify our management structure and speed up decision making—and over the holidays we decided now was the right moment to make some changes to the way we are structured.</p>
<p>For the last 10 years, we have all been equally involved in making decisions. This triumvirate approach has real benefits in terms of shared wisdom, and we will continue to discuss the big decisions among the three of us. But we have also agreed to clarify our individual roles so there’s clear responsibility and accountability at the top of the company.</p>
<p>Larry will now lead product development and technology strategy, his greatest strengths, and starting from April 4 he will take charge of our day-to-day operations as Google’s Chief Executive Officer. In this new role I know he will merge Google’s technology and business vision brilliantly. I am enormously proud of my last decade as CEO, and I am certain that the next 10 years under Larry will be even better! Larry, in my clear opinion, is ready to lead.</p>
<p>Sergey has decided to devote his time and energy to strategic projects, in particular working on new products. His title will be Co-Founder. He’s an innovator and entrepreneur to the core, and this role suits him perfectly.</p>
<p>As Executive Chairman, I will focus wherever I can add the greatest value: externally, on the deals, partnerships, customers and broader business relationships, government outreach and technology thought leadership that are increasingly important given Google’s global reach; and internally as an advisor to Larry and Sergey.</p>
<p>We are confident that this focus will serve Google and our users well in the future. Larry, Sergey and I have worked exceptionally closely together for over a decade—and we anticipate working together for a long time to come. As friends, co-workers and computer scientists we have a lot in common, most important of all a profound belief in the potential for technology to make the world a better place. We love Google—our people, our products and most of all the opportunity we have to improve the lives of millions of people around the world.</p></blockquote>

There are strong arguments on both sides. On the one hand, Nokia has put an awful lot of money and effort into Symbian^3 and MeeGo, the mobile operating systems with which it hopes to regain high-end leadership in the industry. On the other, the person who defined that strategy, former CEO Olli-Pekka Kallasvuo, was ousted last September after an ugly 70 percent decline in Nokia&#8217;s market value.</p>
<p>Should Stephen Elop, Nokia&#8217;s new CEO, continue executing the strategy established by his ousted predecessor, strengthening it by improving execution and operating costs? Or should he map out an entirely new strategy, perhaps one based on a third-party operating system. Canaccord Genuity analyst T. Michael Walkley favors the latter, suggesting Nokia make the jump to Android or Windows Phone 7. And interestingly, he feels WP7 is the better option of the two.</p>
<p>Why?</p>
<p>Well, for one thing, Elop is a Microsoft veteran. He seems to have left the company on good terms and presumably still has close ties to it. For another, Microsoft and Nokia are a better cultural fit than Google and Nokia. And finally, the two companies need each other to succeed in the mobile market long term.</p>
<p>&#8220;We believe Microsoft needs more support from a leading device OEM to compete with Android longer term and Nokia likely needs to adopt a new high-end smartphone strategy to stem smartphone share losses,&#8221; Walkley says. &#8220;Further, Microsoft could create a differentiated tablet strategy with stronger enterprise support and Nokia could clearly benefit with a tablet and smartphone combined strategy that is offered by competitors&#8230;.We believe the combination of Microsoft’s marketing muscle and software expertise with WP7 and Nokia’s global brand, distribution and scale advantages could drive solid sales of WP7-based devices worldwide. Additionally, it would provide Nokia a much-needed re-entry into the North American market, where its market share has stagnated at low-single-digit levels for multiple years.&#8221;</p>
<p>In other words, a Nokia-Microsoft alliance could bolster the WP7 ecosystem to the point where WP7 becomes a third dominant mobile OS alongside Android and iOS.</p>
<p>That would suit Microsoft&#8211;which has been struggling with mobile for years&#8211;just fine. But what about Nokia, which still makes quite a bit of money selling feature phones in the BRIC countries?</p>

The company&#8217;s shares dropped some 6.5 percent this morning as the market mulled Jobs&#8217;s health issues and the potential timing of his return to the company. But how long they stay that way is up for debate. Consensus seems to be they&#8217;ll come under short-term pressure and then gradually resume trading on results. Fueling that view, Apple&#8217;s history as an innovator and <a href="http://digitaldaily.allthingsd.com/20110104/deutsche-bank-joins-the-running-of-the-apple-bulls/">the blowout quarter it&#8217;s expected to report this afternoon</a>.</p>
<p>&#8220;Apple&#8217;s stock could face headwinds for several weeks as the media feeds on a yet-to-be-determined mix of speculation and disclosures about Jobs&#8217; future role at Apple,&#8221; Oppenheimer analyst Yair Reiner said in a note to clients today. &#8220;At the same time, Apple&#8217;s investors will theorize and worry about what Jobs&#8217; status will mean for future innovation at Apple. But this worry stage will likely run out of fuel relatively quickly, because convincing evidence of how Jobs&#8217; presence or absence is impacting Apple&#8217;s fundamentals won&#8217;t present itself for years. Lacking evidence, investors will shortly go back to trading AAPL&#8217;s stock based on measurable fundamental performance.&#8221;</p>
<p>J.P. Morgan&#8217;s Mark Moskowitz was similarly optimistic. &#8220;While not knowing the details behind the current medical leave, we point out that Mr. Jobs has demonstrated a great resolve to improve his health previously, emboldened by the attitude and philosophy that helped him lead Apple’s remarkable rise over the past decade,&#8221; he writes. &#8220;In our view, Mr. Jobs and his team have made Apple become the primal force in shaping consumers&#8217; technology-driven &#8216;way of life.&#8217; While the competition is increasing in the areas of smartphones and tablets, we do not expect Apple&#8217;s technology and user experience leadership to fade.&#8221;</p>

			<content:encoded><![CDATA[<p><img src="http://digitaldaily.allthingsd.com/files/2011/01/SteveandTim-380x253.jpg" alt="" title="SteveandTim" width="380" height="253" class="aligncenter size-Medium380 wp-image-55876" />It&#8217;s been said that Steve Jobs is Apple&#8217;s greatest asset and its greatest risk. And there&#8217;s no better illustration of that dictum than recent history.</p>
<p>The last time Jobs went on medical leave, in January of 2009, <a href="http://digitaldaily.allthingsd.com/20090114/aapl-sauce-2/">Apple shares tanked, falling some eight percent to $78.50</a>. But in the months that followed, they rose more than 50 percent, despite continued concerns over his health. By the end of June, Jobs was back at work. By September <a href="http://digitaldaily.allthingsd.com/20090909/live-from-apples-lets-rock-event-10-am-pdt/">he was appearing onstage at Apple events</a>.</p>
<p>Then came <a href="http://digitaldaily.allthingsd.com/20100127/apple-special-event-live-blog/">the iPad</a>. And the iPhone 4. By October of 2010 <a href="http://digitaldaily.allthingsd.com/20101013/apple-shares-top-300/">the company&#8217;s shares had risen above $300 for the first time ever</a>. And today they stand at $348.48.</p>
<p>In the end, Apple really didn&#8217;t miss a beat the last time Jobs stepped away to focus on his health, despite all the hysterical speculation that it might. And it&#8217;s not likely to this time, either &#8212; regardless of the open-ended nature of his leave and what some folks are describing as a &#8220;less optimistic&#8221; tone in his message to employees.</p>
<p>&#8220;Steve Jobs&#8217;s third medical leave raises the possibility, however remote, that he may not return to Apple,&#8221; Needham analyst Charlie Wolf told me this morning. &#8220;Jobs&#8217;s absence should have no measurable impact on Apple&#8217;s financial performance for several years, if ever. It took John Sculley, arguably one of the worst managers in the country&#8217;s history, three years to erase Jobs&#8217;s legacy in the 1980s. Today, starting with Tim Cook, Apple has one of the deepest and strongest managerial benches in this country. Tim Cook has matured into one of the leading managers in this country (see video below).  However, no one can replace Steve Jobs, arguably the leading innovator in the past century, beginning with the Mac, then the iPod, iPhone and iPad in the past decade. What Apple loses in Jobs&#8217;s absence is the opportunity and ability to disrupt and redefine still other industries.&#8221;</p>
<p>Charlie&#8217;s point is a good one, though I disagree that Apple risks losing its ability to disrupt and redefine in Jobs&#8217;s absence. I think that Jobs baked those things into the company, its culture and executive leadership long ago. In fact, one could argue that it&#8217;s Apple, not the iPhone or iPad, that is Jobs&#8217;s masterpiece product, a company designed to set the bar for the industry, regardless of whether it&#8217;s him leading its day-to-day operations or not.</p>

<p>There had indeed been rumors about Steve Jobs&#8217;s health, after he didn&#8217;t show up at the Apple iPhone launch on Verizon Wireless in New York last week, as was expected.</p>
<p>And then they flared again, when the event to show off News Corp.&#8217;s new Apple iPad-only newspaper, the Daily, was postponed due to issues related to its subscription system.</p>
<p>This pair of non-Jobs events had caused a low-grade rumble in Silicon Valley that perhaps tech&#8217;s most iconic, gifted and charismatic CEO could be sick again.</p>
<p>In fact, I got a dozen calls last week from people asking me if I knew if anything was wrong, which I did not.</p>
<p>And while the tech echo chamber usually puts two and two together and comes up with three, this time all that gossip turned out to be quite correct.</p>
<p>Jobs is once again ill enough to have to take time off from his leadership role, which he called a <a href="http://mediamemo.allthingsd.com/20110117/citing-health-steve-jobs-steps-away-from-apple-again/">&#8220;medical leave of absence&#8221;</a> in an email to his staff released today.</p>
<p>So now, once again, the intense debate will begin about exactly what is happening with Jobs&#8217;s health, how much Apple should reveal and how much it will likely not, and how that is so very awful, because the people deserve to know.</p>
<p>In fact, we&#8211;the media and Wall Street and Apple users&#8211;already know plenty enough, which is: Jobs has had a persistent and very serious illness he has been fighting successfully for many years now.</p>
<p>But his outlook, from the moment he found out about his particular form of pancreatic cancer, has never been really good.</p>
<p>More to the point, his ability to bounce back several times has been both heartening and more than a little miraculous.</p>
<p>But, remember this: Both times he has taken time off for health reasons, Jobs has come back with fierce and game-changing innovation.</p>
<p>The iPhone came out after his first big bout with his illness, the iPad after the second.</p>
<p>Today, it&#8217;s happened a third time and I suspect much of what will be written about his diagnosis will be sheer speculation and only a little bit will be accurate reporting.</p>
<p>I am guessing this time too that Jobs will be as tight-lipped as ever about what he&#8217;s going through, which could be a wide range of medical issues, some more serious than others.</p>
<p>And that, I think, should be what everyone should let him do, because the public Steve Jobs has given his large audience more than enough since he got back after the last time he was sick.</p>
<p>Today, he said in the email: &#8220;I love Apple so much and hope to be back as soon as I can. In the meantime, my family and I would deeply appreciate respect for our privacy.&#8221;</p>
<p>I, for one, think he deserves exactly that and much more.</p>
<p>But, if you can&#8217;t get enough of him, until he hopefully recovers, will you settle for this <a href="http://kara.allthingsd.com/20100607/full-d8-video-apple-ceo-steve-jobs/">tremendous onstage interview he gave to Walt Mossberg and me last year</a> at the eighth<strong> D: All Things Digital</strong> conference?</p>
