<p>Mozilla is set to announce that it has signed a new three-year agreement for Google to be the default search option in its Firefox browser.</p>
<p>It&#8217;s a critical renewal for the Silicon Valley software maker, since its earlier deal with the search giant has been a major source of revenue to date.</p>
<p>The companies said the specific terms of the commercial agreement are not being released. But, in 2010, Google contributed 84 percent of Mozilla&#8217;s $123 million in revenue.</p>
<p>A previous version of the arrangement had expired at the end of November. Mozilla <a href="http://allthingsd.com/20111205/mozilla-says-google-relationship-in-active-negotiations/">said at the time</a> that it was in &#8220;active negotiations&#8221; with Google. </p>
<p>The relationship has not been without some tension of late. Since the first search royalty deal was signed in 2008, Google&#8217;s own Chrome browser has become a significant competitor. Just last month, Chrome overtook Firefox in global usage for the first time, <a href="http://gs.statcounter.com/press/chrome-overtakes-firefox-globally-for-first-time">according to StatCounter</a>. Both browsers &#8212; software which is used to navigate the Internet &#8212; have about 25 percent market share.</p>
<p>Mozilla also has partnerships with other search providers, including Microsoft&#8217;s Bing, Yahoo, Yandex, Amazon and eBay.</p>

<p>According to sources close to the situation, neither CEO Mark Pincus nor one of its principal venture shareholders, Kleiner Perkins, will be selling any shares in its upcoming initial public offering. </p>
<p>While big investors often divest stock in IPOs, not all do. It is a carefully watched number by investors, who are always wary of insiders who unload a lot of shares in an offering.</p>
<p>But such activity by the fast-growing San Francisco online gaming company will be watched carefully since Pincus has <a href="http://dealbook.nytimes.com/2011/11/27/zyngas-tough-culture-risks-a-talent-drain/">recently been painted</a> in a number of press reports as the greedy Mr. Potter of Silicon Valley.</p>
<p>Among the allegations is that he runs a poisonously tough culture that tracks its employees&#8217; output and performance via elaborate data models that require extraordinary amounts of work, along with nefarious list-making of who&#8217;s naughty and who&#8217;s not.</p>
<p>That big-brother behavior has reportedly included taking away high-ranking jobs and the sweet stock options that go along with them from those execs found wanting.</p>
<p>While there is no doubt Pincus is a hard-charging personality, his defenders note that it&#8217;s due to a belief that life at Zynga is a meritocracy and that his practices are not any more heavy-handed than those at other firms.</p>
<p>Indeed, Pincus has a lot of competition in the tough-guy tech CEO category from longtime legends such as Microsoft&#8217;s Bill Gates, who set the gold standard for mean, as well as Amazon&#8217;s Jeff Bezos and now Google CEO Larry Page. </p>
<p>Pincus does not even rate in this pantheon, which is more typical of tech companies than anyone would care to admit or, to be fair, care to care about. With big benefits, vast wealth and much latitude, many in tech don&#8217;t mind the grueling work schedules. </p>
<p>After all, it&#8217;s not exactly ditch-digging, now is it?</p>
<p>In any case, sources said the coverage has hit Zynga staff hard, as well as Pincus, who has not responded due to the IPO&#8217;s quiet period. That&#8217;s in contrast to Groupon, the daily-deals site whose own rough process was rife with highly negative stories about the company&#8217;s prospects.</p>
<p>While those media accounts were more aimed at the business itself and less personal, Groupon CEO Andrew Mason vociferously defended the company in a controversial letter that was then leaked and published (<a href="http://allthingsd.com/20110825/exclusive-groupons-mason-tells-troops-in-feisty-internal-memo-it-looks-good/">to me and by me!</a>). </p>
<p>Pincus will doubtlessly have a lot to say to investors who ask about the company&#8217;s culture and its possible negative impact on attrition, as some stories have charged. </p>
<p>His decision not to sell, sources said, was inspired by Zynga investor and close friend Reid Hoffman, who has sold very little of the stock of LinkedIn, where he serves as chairman.</p>
<p>The action all begins next week, according to <a href="http://finance.fortune.cnn.com/2011/11/29/zyngas-ipo-roadshow-begins-monday/">multiple reports</a>, when Zynga takes its show on the road in preparation for an IPO that is expected to value the company at $15 to $20 billion and will take place before the new year.</p>
<p>It will debut under the ZNGA ticker on the Nasdaq market.</p>
<p>While some have been worried about Zynga&#8217;s future growth, its past performance has been a lot stronger than other Internet offerings. In the first nine months of the year, the company posted $828.9 million in revenue, double the amount from a year ago, with net income of $30.7 million.</p>
<p>Pincus&#8217;s holding onto shares will be seen as a plus, of course, although he has sold a large amount of stock in Zynga&#8217;s history.</p>
<p>According to its S-1 filing:</p>
<p>&#8220;From our inception in October 2007 to date, Mr. Pincus, our Chief Executive Officer, Chief Product Officer and the Chairman of our Board of Directors, has purchased an aggregate of 149,197,328 shares of our common stock. To date, Mr. Pincus has sold an aggregate of 43,629,310 shares of our common stock at prices ranging from $0.42 to $13.96.&#8221;</p>
<p>Pincus now holds 91.4 million of Class B shares, 16 percent of the total, as well as 20.5 million of Class C shares, 38 percent of that group. Kleiner holds 65.2 million shares, or 11.2 percent, of Class B shares. </p>
<p>Other big Zynga owners, who might or might not sell at the IPO, include Institutional Venture Partners, Union Square Ventures, Foundry Venture Capital and Avalon Ventures. </p>

<p>I hate to use a personal story to make a professional point &#8212; but when I was in the hospital recently, after <a href="http://allthingsd.com/20111019/what-not-to-do-in-hong-kong-trust-me-on-this-one/">suffering from a mini-stroke</a>, I got an important piece of health advice that, oddly enough, applies perfectly to Yahoo, the Silicon Valley Internet icon I cover very closely.</p>
<p>I know, <em>I know</em>, but listen up &#8230;</p>
<p>When I was close to going home, one of my doctors told me I had to make sure I paid attention to any signs that might indicate a recurrence. The issue around any possible future ischemic attack taking place, he said, is speed in getting critical care once any unusual symptoms become apparent, such as numbness, tingling, confusion and cognitive difficulty.</p>
<p>That&#8217;s because every second of delay translates to increased damage to cerebral cells that could badly impact speech, movement and worse.</p>
<p>&#8220;Remember,&#8221; the doctor intoned with great and very appropriate gravity. &#8220;<em>Time is brain</em>.&#8221;</p>
<p>Yes, indeed it is &#8212; for me, and also very much so for Yahoo these days.</p>
<p>Leaving aside my own mortality, one of the most important issues going forward for Yahoo&#8217;s long-hoped-for revival will be how quickly the company moves in the next month, in what has so far been a <a href="http://allthingsd.com/20111031/yahoo-shares-melt-as-rumors-conflict-with-other-rumors/">lugubrious and rumor-heavy process</a> to figure out its strategic plan in the wake of the <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">firing of CEO Carol Bartz</a> in early September.</p>
<p>That means &#8212; going into a major holiday season &#8212; Yahoo has about 30 working days to make what has to be a complex and multiparty deal. It is likely to include private equity firms, big companies, Asian partners, investment bankers, major shareholders and scrutiny from the media, in an effort that is approximately akin to herding cats.</p>
<p>This from a board that has often moved with snail-like reflexes in the midst of much more minors crises, and has shown a talent for disaster.</p>
<p>So, while speed is sometimes the enemy of reason, in this case, it is now more necessary than ever before.</p>
<p>There are three key reasons why Yahoo&#8217;s leaders have to perform quickly now, each of which could spell even more turmoil for the long-troubled company, if botched.</p>
<p>The first is the possibility &#8212; actually, the probability &#8212; of a proxy fight that might begin informally just after the new year. </p>
<p>That&#8217;s when you could start hearing from someone like activist shareholder Daniel Loeb of Third Point &#8212; who has been vocal about ousting Yahoo board members, including co-founder Jerry Yang. Yahoo directors are fully aware that he is eyeing this ugly option, which will include readying an alternate slate of directors.</p>
<p>According to a Yahoo spokeswoman, the earliest nominations for directors can be submitted is February 24 for those &#8220;shareholder proposals not intended for inclusion in proxy materials and for nomination of director candidates.&#8221; </p>
<p>But while there is a formal process, you will hear it coming long before that, unless Yahoo gives Loeb board seats to quiet him down &#8212; which is unlikely but possible. </p>
<p>Such a noisy fight is not one Yahoo can afford to have, and it has already shown some cloddish sensibilities in its response to a <a href="http://allthingsd.com/20111104/yahoos-activist-shareholder-loeb-now-targeting-jerry-yang/">recent letter by Loeb</a> &#8212; who has many more shares than Yang, and should still be accorded a certain amount of respect, no matter what he says.</p>
<p>Given how badly the last Yahoo shareholder tussle with Carl Icahn went, another proxy battle could be deadly, and might drag on through the first half of 2012. In his Yahoo tussle, Icahn ultimately got three seats on the Yahoo board, but eventually went away with everyone the poorer.</p>
<p>Second, Yahoo will report its fourth-quarter earnings in late January, which will likely continue to show weakness in key sectors of its business. While interim CEO Tim Morse is doing a laudable job given the shaky circumstances, drops in advertising revenue growth, engagement and search are not anything Yahoo can keep making excuses for.</p>
<p>While it is likely the company&#8217;s beleaguered operating execs will pull out the stops to make the numbers look better &#8212; a new game I like to play is &#8220;how many homepage ads can they jam in there at the quarter&#8217;s end?&#8221; &#8212; it&#8217;s no panacea for the kinds of dramatic and even drastic changes that new ownership will have to make, sooner than later.</p>
<p>And, speaking of beleaguered, perhaps the most important reason that Yahoo has to get the lead out and clarify its situation is due to one consistent thing about the company: Talent attrition and employee fatigue. </p>
<p>Speaking to one exec after another in recent weeks, it is dead clear that Yahoo is increasingly hard-pressed to hold on to the best of its current employees, or to attract any terrific new ones.</p>
<p>The impact on product innovation, morale and more is obvious.</p>
<p>One exec who has long been one of the more cheerleader types for Yahoo &#8212; often calling me out in the past for being too negative on the company&#8217;s prospects &#8212; has recently turned weary, cynical and even depressed about the future &#8212; so much so that I now find myself bucking up the worker. </p>
<p>&#8220;You can&#8217;t hire anyone, since you can&#8217;t tell them honestly who their bosses might be in three months,&#8221; said the staffer. &#8220;And you can&#8217;t look anyone who works for you now in the eye and tell them it will turn out right in the end, either, given the track record so far.&#8221;</p>
<p>Indeed. And, more than any other factor that could hurt Yahoo in the competitive tech sector, brain drain is what will always get you in the end.</p>

<p>In a <a href="http://allthingsd.com/20111117/hasta-la-vista-stock-options-heres-the-zynga-sec-filing/">new filing with the Securities and Exchange Commission</a> concerning its upcoming IPO, Zynga is expected to unveil two key management and board changes at the online gaming phenom:</p>
<p>Chief Business Officer Owen Van Natta &#8212; who came to the San Francisco-based start-up several years ago to help CEO Mark Pincus grow it and develop it &#8212; will step down from his job and become a strategic adviser focusing on major partnerships. He&#8217;ll still remain board member at Zynga, but will give up millions of pre-IPO shares by moving out of his operational role.</p>
<p>And director and venture investor Brad Feld will leave the the board, which VCs sometime do as companies move to a public offering and add members with more specific business experience. </p>
<p>In his place, longtime entrepreneur and investor Sunil Paul, who founded a company called FreeLoader with Pincus many moons ago, will join the board.</p>
<p>Zynga confirmed the changes to me in a statement by Pincus: </p>
<p>&#8220;Owen is a valuable business partner. He&#8217;s made great contributions to Zynga and continues to be an important part of our team.&#8221;</p>
<p>Sources said the changes related to Van Natta around are not part of a recent controversy around a <a href="http://online.wsj.com/article/SB10001424052970204621904577018373223480802.html">Wall Street Journal story</a> about clawing back of some share options grants of early Zynga employees who had become less involved in the company. While the company cannot actually take back already vested shares owned by those staffers, the article has put a lot of scrutiny on Zynga and raised questions about how to cope with the kind of hyper-growth some Internet firms experience.</p>
<p>That&#8217;s certainly been the kind of rocket ride Zynga has been on, as it has grown from a small social gaming company on Facebook to a high-profile public company.</p>
<p>Zynga is in the final stages of its IPO process, answering questions from the SEC that are typical. If all goes well, Zynga execs are expected to go on a road show after the Thanksgiving and go public by the end of the year at a market valuation of close to $20 billion.</p>
<p>That was different from when Van Natta officially <a href="http://allthingsd.com/20100813/zyngas-newest-deal-snagging-myspace-facebook-vet-owen-van-natta/">got to Zynga in the spring of last year</a> &#8212; after a rocky experience running the doomed Myspace. At the time, he told me at the time that planned to be focused on scaling the business and did not consider himself a long-term operating executive.</p>
<p>Since then, he has helped Pincus hire a series of experienced gaming execs, including a chief operating officer, a chief marketing officer and others.</p>
<p>Zynga was Van Natta&#8217;s third high-profile Web company in recent years. He was a top early exec for Mark Zuckerberg at Facebook until <a href="http://kara.allthingsd.com/20080219/owen-van-natta-to-leave-facebook/">early 2008</a>, and in 2009 he took over News Corp.&#8217;s (NWS) <a href="http://kara.allthingsd.com/20090422/former-facebook-exec-van-natta-set-to-take-over-at-myspace-as-founder-dewolfe-steps-down/">MySpace</a>, a job that <a href="http://kara.allthingsd.com/20100210/myspace-ceo-van-natta-was-fired-by-news-corp-digital-head-miller-in-late-afternoon-meeting/">lasted less than a year</a>. </p>
<p>Early in his career, Van Natta was also was a top strategy, marketing and deal exec for Amazon, which bought an early social networking start-up called PlanetAll that he worked at.</p>
<p>It will now be interesting to see what Van Natta does next, but it is unlikely he will take a permanent position. He is a longtime angel investor in Silicon Valley, including in hot start-ups such as Asana and still holds a significant stake in Facebook. </p>
<p>But, in moving out of his job at Zynga, he will be giving up many millions of shares of a rich trove he was given when he arrived at the company. That said, Van Natta already owns millions of accelerated vested shares and will get another large grant as a board member.</p>
<p>Translation: Don&#8217;t cry for Mr. Van Natta, Silicon Valley &#8212; he made $42 million last year from Zynga shares alone.</p>

<p>Do sale rumors make a troubled asset more attractive? Yes &#8212; except when more rumors (that those sales rumors might not be true) appear.</p>
<p>Welcome to just another day in the life of Yahoo, which saw its <a href="http://www.google.com/finance?client=ob&#038;q=NASDAQ:YHOO">shares drop</a> more than 5.5 percent today. Its stock declined almost a dollar to close at $15.64, after it was reported by various news orgs that Yahoo might be leaning toward no sale and a shareholder dividend, and toward taking control of its own sale of its lucrative Asian assets.</p>
<p>That was counter to the news &#8212; from a number of the very same outlets &#8212; touting a variety of ever more elaborate and sometimes breathless sale scenarios last week, featuring various configurations of <a href="http://allthingsd.com/20111005/not-so-much-on-a-microsoft-bid-for-yahoo-theyre-crazy-but-not-that-crazy/">Microsoft</a>, Google and private equity firms like <a href="http://allthingsd.com/20110914/yahoo-for-sale-big-bidders-circling-including-marc-andreessen-as-board-pressure-mounts/">Silver Lake</a> and others.</p>
<p>Silver Lake, in fact, appears to be the most aggressive in the possible bidding for all or parts of Yahoo, and has been noodling such a deal most intently, and for a long time now.</p>
<p>It makes sense, given that Silver Lake was successful in a vaguely similar deal that ultimately saved the Internet telephony service <a href="http://allthingsd.com/20110510/done-deal-microsoft-to-buy-skype-for-8-5-billion-in-cash/">Skype</a>, which it eventually peddled at a high price to Microsoft.</p>
<p>In fact, according to several sources, Yahoo director and co-founder Jerry Yang &#8212; also a former CEO of the company, who appears to have seized the ball firmly in the strategy game &#8212; met with Silver Lake today for an unspecified little chitchat.</p>
<p>That said, one source told me, &#8220;what is deeply uncertain is whether Silver Lake will do something at all.&#8221;</p>
<p>This is par for the course in this everything-but-the-kitchen-sink drama. Because &#8212; although it makes for a boring post, and the back and forth throat-clearing before an actual event might be entertaining &#8212; so far, not very much is actually happening as yet at Yahoo, with regard to its <a href="http://allthingsd.com/20111019/yahoos-jerry-yang-there-are-plenty-of-options-beyond-sale/?refcat=asiad">variety of options</a>.</p>
<p>Of course, this could change in an hour. Or tomorrow, or the next day. Most of all, it&#8217;s clear that Yahoo&#8217;s board has to move in some significant way before the end of the year.</p>
<p>So, yes, the Silicon Valley Internet giant is <a href="http://dealbook.nytimes.com/2011/10/27/as-yahoo-bleeds-purple-a-push-for-a-deal/?nl=business&#038;emc=dlbkpma1">doing all the sales-oriented stuff</a> it should do with its coterie of pricey bankers (presumably being paid by the hour). </p>
<p>Yes, it has recently hired a <a href="http://allthingsd.com/20111013/exlcusive-yahoo-hires-heidrick-struggles-for-ceo-search/">talent-search firm</a>, which is eyeing the landscape to find a willing CEO. (Even more adviser costs!)</p>
<p>And, yes, it is still <a href="http://online.wsj.com/article_email/SB10001424052970203554104577002153070740324-lMyQjAxMTAxMDIwNzEyNDcyWj.html">wrangling with its Asian partners</a> &#8212; Alibaba Group and SoftBank &#8212; over how to do a tax-free transaction (you&#8217;d think from all the sweating over it that this deal was harder to solve than the European debt crisis).</p>
<p>And, on schedule, activist shareholders &#8212; like hedge-fund agitator Dan Loeb of Third Point &#8212; should be attacking again soon, until a deal is done.</p>
<p>But according to many sources both inside and outside Yahoo, what&#8217;s happening is pretty much business as usual for this Hamlet of a company, which is lugubriously debating and weighing and pondering its fate.</p>
<p>I suppose it should, given the importance of it all, except it is a conundrum that has been going on for far too long at Yahoo, and under a number of different leaders. </p>
<p>In other words, it&#8217;s like &#8220;As the World Turns,&#8221; except with some new characters and a whole lot more amnesia.</p>
<p>But the slowness of a very real process is also causing deep frustration with all those dealing with Yahoo now &#8212; including possible bidders, and definitely its Asian partners. </p>
<p>Their gripes &#8212; which are louder than in most deals &#8212; are not surprising: They refuse to sign a <a href="http://www.reuters.com/article/2011/10/27/us-yahoo-idUSTRE79Q7R920111027">too-onerous NDA</a> to look at Yahoo&#8217;s books; there&#8217;s an irksome tone of indecision on the part of the company&#8217;s board; and, as always, the incessant leaks about all of this and more are making it worse.</p>
<p>One bidder has likened the company to a &#8220;melting iceberg that has a lot less time than the planet has to put its house in order.&#8221;</p>
<p>Another bemoaned the variety of trial balloons being floated, and noted that no movement was what Yahoo seems to do best.  </p>
<p>That&#8217;s not exactly true, of course, so expect to see more leaks about plots and plans and meetings.</p>
<p>But no matter what you hear, keep in mind that having Yahoo&#8217;s fate being spun about like a top on a daily basis on Wall Street and in the media is not good for the company itself &#8212; or for its employees and shareholders.</p>
<p>Since it makes me dizzy &#8212; even though I like a good scoop as much as the next reporter &#8212; that&#8217;s the reason I have largely stuck to reporting about the actual internal turmoil inside Yahoo, from <a href="http://allthingsd.com/20111026/no-to-yess-yahoo-employee-satisfaction-survey-shows-morale-morass/">poor employee morale</a> to various <a href="http://allthingsd.com/20111026/exclusive-like-marketing-yahoos-customer-advocacy-org-gets-sliced-and-diced-this-week/">staff rejiggerings</a> to more <a href="http://allthingsd.com/20111021/former-yahoo-online-privacy-guru-heads-to-google/"> relentless brain drain</a>.</p>
<p>Because while everyone fiddles, Yahoo&#8217;s real prospects of maintaining its core business melt a little bit more every day.</p>
<p>Yahoo is on its third CEO in four years, it has lost advertising momentum to Google and Facebook, its engagement levels are dangerously slowing, its social and mobile strategies are unclear and even its powerful email product is under siege.</p>
<p>And in the end, it is only these things that will matter to whoever runs the company in the end.</p>

<p>It should probably come as no surprise to the board and top managers of Yahoo that the just-released annual poll of its workers &#8212; called the Yahoo Employee Satisfaction Survey &#8212; paints a picture of a deeply demoralized workplace. </p>
<p>Apparently, Yahoos can&#8217;t get no satisfaction.</p>
<p>The YESS questions went out to employees the week that the company fired CEO Carol Bartz, with most of the responses gathered in the ensuing weeks. </p>
<p>One major drop &#8212; not much of a shockeroo &#8212; was the employee assessment of senior leadership, under the question of whether &#8220;Yahoo is an effectively managed well-run organization.&#8221; That dropped 11 percent from last year. </p>
<p>Also troubling, according to numerous sources who have recounted the results to me, was that 19 percent of employees said they planned to leave the company within less than a year, in case a better opportunity arises.</p>
<p>(I like to call that the <em>anywhere-but-here</em> question.)</p>
<p>This is a large figure for any tech company for such a survey, which is commonly done throughout the industry. Typically, those numbers are around 10 percent, according to several human resources execs I queried, although Yahoo&#8217;s chart noted that the industry benchmark was 14 percent.</p>
<p>In any case, this YESS is Yahoo&#8217;s highest percentage of negatives for departure intent in several years.</p>
<p>Worse, it is higher in the product unit, where most of Yahoo&#8217;s engineers work and which is key to any technology company&#8217;s viability. Intent not to stay is 21 percent in the division.</p>
<p>On the plus side, numbers for manager effectiveness, teamwork and accountability did grow year over year in the product unit.</p>
<p>YESS documents sentiments I have been hearing widely and ever louder anecdotally from a plethora of mid-level managers at the Silicon Valley Internet giant. </p>
<p>Most are worried that they cannot hold onto critical employees as Yahoo is conducting a <a href="http://allthingsd.com/20110914/yahoo-for-sale-big-bidders-circling-including-marc-andreessen-as-board-pressure-mounts/">major strategic review</a> of its businesses, either to sell it or make sweeping changes.</p>
<p>The uncertainty has put its employees on edge and there has been a spike in attrition throughout the company. </p>
<p>And worry. At a <a href="http://allthingsd.com/20111006/yahoos-interim-ceo-in-internal-meeting-time-is-a-constraint-also-blame-the-media/">recent meeting with its staff</a>, interim CEO Tim Morse was buffeted with questions about the fate of employee stock options and other similar issues.</p>
<p>Despite all the turmoil, Yahoo has surprisingly not yet put an overall new plan into place for retention, although it has given some employees more money and other benefits.</p>
<p>&#8220;Can a company collapse from attrition?&#8221; one exec joked to me recently.</p>
<p>Yes, it can, which has to be of prime concern to the board of Yahoo, as it seeks to right itself. I cannot stress enough how many talented and committed employees remain at the company, desperately hoping for some effective leadership to finally take hold.</p>
<p>Because for all the swirl of what will happen to the whole company, one truism of technology innovation in Silicon Valley remains, if you want to survive: It&#8217;s still all about the talent.</p>
<p>[<strong>UPDATE:</strong> Here are some more YESS stats, according to sources:</p>
<p>"Yahoo is innovative": 42 percent agree, 27 percent neutral, 31 percent disagree.</p>
<p>"Yahoo anticipates changing customer needs and wants": 33 percent agree, 37 percent disagree, five points worse than the previous year.</p>
<p>But here is the hopeful kicker: 79 percent feel proud to say they work for Yahoo.] </p>

<p>Yahoo is preparing to hire investment bankers and other strategic advisory firms, said sources close to the Silicon Valley Internet giant, as it seeks to figure out what to do next at the company.</p>
<p>The board of Yahoo, which ousted its CEO Carol Bartz today in a unanimous decision, is exploring a range of possible strategies to turn around its moribund growth, including possible acquisitions, shedding units, bringing in new investment partners and even taking the company private or selling it.</p>
<p>A sale is the least likely of options, said sources close to the situation, but &#8212; given today&#8217;s news &#8212; Yahoo might attract a lot of attention from investors seeking to take advantage of the company&#8217;s powerful but troubled assets.</p>
<p>&#8220;It is all on the table,&#8221; said one source close to the company.</p>
<p>Independent board member David Kenny, president of Akamai, is heading the strategic options committee in charge of managing the process, sources said.</p>
<p>No adviser has been selected yet, but sources said Yahoo is likely to hire Allen &#038; Co., which advises many tech and media firms. It is currently advising AOL, for example.</p>
<p>Other candidates would likely be the typical panoply of choices, including big investment banks like JPMorgan Chase, Goldman Sachs and Morgan Stanley, and smaller boutique firms such as Qatalyst Group and Code Advisors.</p>
<p>Sources said whoever is hired will be charged first with doing an extensive review of the company that is more intensive than has been done before.</p>
<p>&#8220;There is a potential for enormous growth that the company has not been capitalizing on and should,&#8221; said another source. &#8220;The board needs to get this company on a trajectory for growth.&#8221;</p>
<p>Indeed, it does, as it has not under the leadership of Bartz. Revenue growth has stalled and product innovation has lagged.</p>
<p>The company will also be conducting a search for a CEO, which will be difficult because any new top exec will want to be part of such a companywide review.</p>
<p>Yahoo&#8217;s choice of an executive search firm has also not been determined, but is likely to be one of the big companies that specialize in the arena.</p>
<p>One thing is certain, said multiple sources: Yahoo will continue to focus itself as what it has previously called a &#8220;premier digital media company.&#8221;</p>
<p>What that means now, of course, will be determined in the months ahead.</p>

			<content:encoded><![CDATA[<p>I have largely stayed away from opining about the he-said-he-said over what or what not Skype employees were told about the treatment of their stock options.</p>
<p>Some employees are alleging they were duped via complicated legalese and double-talk in employment contracts about how their shares would be handled upon termination or voluntary departure from the Internet telephony giant. </p>
<p>That matters, since Skype was recently <a href="http://allthingsd.com/20110510/done-deal-microsoft-to-buy-skype-for-8-5-billion-in-cash/">sold to Microsoft for $8.5 billion</a>, well above previous valuations. Thus, those who were, as a Skype PR person said, not in it to win it, <em>um</em>, lost.</p>
<p>Dramatic stuff, to be sure. But, even with all the fervor around the employment contract issue, the handwringing about what it means for compensation issues in Silicon Valley and a whole big dose of how private equity companies (in this case, a firm that had bought Skype called Silver Lake) are evil, it&#8217;s struck me as little more than an insider read-the-legally-obtuse-contract dispute.</p>
<p>And, although I love <a href="http://blogs.reuters.com/felix-salmon/2011/06/27/skypes-evil-ways-cont/">Reuters&#8217; Felix Salmon&#8217;s</a> epic tsk-tsking posts, that&#8217;s why I like to see real documents as proof of what people knew and when.</p>
<p>Apparently, a lot and rather clearly from this PowerPoint that was given to employees of Skype as of December 2009 as part of its changing ownership, after Silver Lake and other investors bought it from eBay.</p>
<p>While it&#8217;s not proof of what employees got it &#8212; typically, it is standard HR policy to hand this stuff out to everyone &#8212; and who read it (no accounting for slaggards!), it is pretty clear on what happens upon leaving Skype, either by a firing or quitting.</p>

<p>On the eighth slide, as you can see above, it says, in part:</p>
<blockquote class="memo"><p>&#8220;Good Leaver&#8221;: someone who gets fired without &#8220;Cause&#8221;</p>
<p>* Gets the fair-market value of their currently vested options</p>
<p>&#8220;Bad Leaver&#8221;: someone who resigns, or is fired for &#8220;Cause&#8221;</p>
<p>* Skype buys back their options at the lower of fair-market value or strike price</p>
<p>* This provision lapses post-IPO</p></blockquote>
<p>It seems pretty buyer-beware clear, but check it out for yourself:</p>

<p>One of the results of Yahoo&#8217;s <a href="http://kara.allthingsd.com/20110419/yahoos-first-quarter-earnings-the-revenue-drought-continues-due-to-search-fall-off/">weak earnings report</a> earlier this week has been the renewal of chatter about possible changes in its leadership and even ownership.</p>
<p>And continued investor discomfort with its troubled stock price&#8211;Yahoo shares are down 7.25 percent year over year and an astonishing 49 percent on a five-year basis&#8211;and the level of renewed grumbling by major institutional shareholders is causing some key players to go back to their PowerPoints to reevaluate various options.</p>
<p>(By way of contrast, Google is down about 4.5 percent year over year&#8211;largely due to last week&#8217;s earnings release with higher than expected expenses&#8211;but still up more than 20 percent for the five years.)</p>
<p>As many might recall, last year Yahoo was under scrutiny by a number of interested parties&#8211;from big media companies to other digital players to private equity firms&#8211;considering a <a href="http://kara.allthingsd.com/20100930/could-aol-buy-yahoo-could-news-corp-takeover-2-0-with-a-little-help-from-the-chinas-alibaba">number of takeover scenarios</a>.</p>
<p>Most of them were just talk and no action resulted, but that did not mean that interest went away.</p>
<p>The truth is, they are still out there and ruminating&#8211;this time with what sources describe as a much more amenable Yahoo board, with several of its key members willing to entertain any legitimate offers or ideas to improve the Silicon Valley search giant&#8217;s prospects.</p>
<p>In the last go-round, by contrast, Yahoo&#8217;s top execs&#8211;including CEO Carol Bartz&#8211;denied any interest in the swirl of rumors related to a variety of ideas.</p>
<p>That&#8217;s definitely changed&#8211;at least at the board level&#8211;so here are three very credible scenarios of what could happen:</p>
<p><strong>Peetie, Peetie, Yahoo-Sweetie</strong></p>
<p>Late last year, BoomTown wrote a post about the interest that former News Corp. COO and President Peter Chernin&#8211;who now owns his own entertainment production company&#8211;had in the situation at Yahoo.</p>
<p><a href="http://kara.allthingsd.com/files/2011/04/157844079_c3j8p-M-2.jpeg"><img src="http://kara.allthingsd.com/files/2011/04/157844079_c3j8p-M-2-200x300.jpg" alt="" title="157844079_c3j8p-M-2" width="200" height="300" class="alignleft size-medium wp-image-43020" /></a></p>
<p>As I <a href="http://kara.allthingsd.com/20101117/enter-the-chernin-former-news-corp-president-and-coo-in-yahoo-what-if-mix">wrote in November</a>:</p>
<blockquote class="memo"><p>But multiple sources from a variety of sides said that Chernin, a well-liked and deeply experienced media and entertainment exec, has been contacted by a number of private equity firms and other investors about his interest in becoming involved should any of the various and sundry scenarios around the Internet giant pan out.</p>
<p>And Chernin, many sources said, has expressed a definite interest in the situation, perhaps because he was deeply involved in a previous deal when running News Corp.</p>
<p>At the time, it involved combining the media giant&#8217;s Myspace social networking site with Yahoo and also Microsoft&#8217;s portal MSN and creating a new company, code-named &#8220;TrafficCo.&#8221;</p></blockquote>
<p>Indeed, that interest remains for Chernin, who has also been an increasingly active investor, including in the digital sector. He is an angel funder of the hot social media app start-up Flipboard, and also just joined the board of the popular Pandora music service.</p>
<p>The most likely possible scenarios have him joining with deep-pocketed partners, including Providence Equity Partners and, yes, Microsoft, as well as investment banks or advisory firms, such as Morgan Stanley and Code Advisors.</p>
<p>The approach being considered&#8211;which would only be done in a friendly way, with the cooperation of Yahoo&#8217;s board&#8211;would center on making a large enough investment in its shares, allowing the group to take control of the management and the board, putting Chernin in as chairman and maybe CEO (or with a new CEO&#8211;see next section).</p>
<p>If Microsoft were involved&#8211;and Chernin has strong ties there&#8211;such a scenario might include folding all its online properties into Yahoo and renegotiating its rocky search partnership, too.</p>
<p>This is an idea that intrigues a lot of people&#8211;including current Yahoo board chairman Roy Bostock, co-founder Jerry Yang and other board members&#8211;who have indicated recently to several investors and dealmakers a willingness to listen to credible player such as Chernin.</p>
<p>But, in this scenario, it would be up to Chernin and his partners to make a prosposal, said sources, and he might decide that the complexity of getting the power to make big changes at Yahoo is too big to tackle.</p>
<p>In addition, Chernin remains a successful Hollywood player, with several major television and movie projects in the works, as well as big investment possibilities in Asia.</p>
<p>&#8220;Does he want the headache of Yahoo at this point in his career?&#8221; asked one person, among many Chernin has talked to recently about becoming involved in the company. &#8220;Would you?&#8221;</p>
<p>Maybe so, if it would provide a big financial windfall. Many think an exec with a reputation like Chernin&#8217;s could easily begin to move Yahoo&#8217;s moribund stock upward quickly.</p>
<p><strong>ABC (Anybody But Carol)</strong></p>
<p>Here&#8217;s one truth: Yahoo CEO Carol Bartz does not get proper credit for a number of moves she has made since coming to the company two years ago, including cleaning up the messy corporate structure, de-complexifying garbled systems, cutting costs and bringing its far-flung operations into line.</p>

<p>Yahoo&#8217;s stock is certainly doing better than when she arrived in early January of 2009, when it was in the $12 range compared to its current $16 price point.</p>
<p>But here&#8217;s another: That stock price now includes more than $10 in solid assets&#8211;cash and Yahoo&#8217;s much more valuable stakes in China&#8217;s Alibaba Group and Yahoo! Japan&#8211;leaving very little true share appreciation.</p>
<p>And here are more truths: Bartz&#8217;s inability to get revenues growing, innovations flowing, promising start-ups acquired and&#8211;most importantly&#8211;to stop the continual exodus of talent out the door of Yahoo has made her tenure shakier than ever.</p>
<p>Add to that making its relationships with Asian partners more tense, almost no traction in key mobile, video and social arenas, a record of loud public declarations that have fallen flat and serious troubles in Yahoo&#8217;s search and online partnership with Microsoft&#8211;a deal Bartz struck and is charged with managing&#8211;recently highlighted in Yahoo&#8217;s earnings earlier this week.</p>
<p>As <a href="http://blogs.forbes.com/ericjackson/2011/04/20/to-unlock-yahoos-value-bartz-should-take-a-hike/">shareholder activist Eric Jackson</a>, who has long agitated for change at Yahoo, wrote this week in a post:</p>
<p>&#8220;The truth is that investors are fed up with Bartz. Their enmity towards Bartz is palpable when you talk to them. Bartz talked a big game coming into the job and she hasn&#8217;t delivered. It&#8217;s that simple.&#8221;</p>
<p>Well, not that simple and maybe not fair, but it&#8217;s also clear that no one thinks Bartz will be re-upped when her contract is up in 18 months.</p>
<p>Thus, it&#8217;s no surprise that ideas of other possible leaders of Yahoo are being contemplated now.</p>
<p>Here&#8217;s the short list I have made of my choices: Akamai President and Yahoo board member <a href="http://kara.allthingsd.com/20110204/exclusive-huffpos-eric-hippeau-stepping-down-from-yahoo-board-as-akamais-david-kenny-steps-in">David Kenny</a>; former Microsoft exec and current Juniper Networks CEO Kevin Johnson; former AOL CEO and current News Corp. digital head Jon Miller; and Nikesh Arora, current Chief Business Officer and sales head at Google.</p>
<p>There are plenty more to pick from, of course, and any could be installed in conjunction with an effort such as Chernin&#8217;s.</p>
<p><strong>AOL Under the Hoop</strong></p>
<p>No good Yahoo scenario plotting can be contemplated without including AOL and its flashy CEO Tim Armstrong.</p>

<p>Armstrong has made no secret of wanting to get ahold of Yahoo properties to apply the strategy he has been trying at AOL to get it moving again.</p>
<p>Which is: To become the premiere digital media company.</p>
<p>Which is actually Yahoo&#8217;s new motto&#8211;although arguably, in word and deed, Armstrong has been much more active in pushing the concept and narrative.</p>
<p>That includes his incessant acquisitions of all kinds of online media properties, including the big fish&#8211;the <a href="http://kara.allthingsd.com/20110206/youve-got-arianna-aol-buys-huffington-post-for-315-million-in-cash/">$315 million purchase of the Huffington Post</a> and the coronation of its even-flashier co-founder Arianna Huffington as content chief.</p>
<p>Armstrong has certainly not been averse to the idea of a Yahoo-AOL hookup with him at the top, and has been actively talking to anyone interested in such a deal.</p>
<p>And things could get a lot more interesting if AOL linked with a bigger strategic partner, such as News Corp. or Disney or even Google, Armstrong&#8217;s former stomping grounds.</p>
<p>Still, wishing does not make it so, especially with a much smaller and weaker set of assets than Yahoo and a still poor record on goosing its advertising sales.</p>
<p>AOL&#8217;s stock is down 30 percent year over year, as investors still worry about Armstrong&#8217;s ability to turn the company around, which kind of puts him in the same situation as Bartz.</p>
<p>&#8220;AOL is waiting under the hoop for whatever happens, which is a good place to be,&#8221; said one person close to the situation. &#8220;Why not?&#8221;</p>
<p>Why not, indeed&#8211;so, let the games begin.</p>

<p>Microsoft&#8211;furious over a recent talent grab of its top advertising exec by Facebook&#8211;has been considering a wide range of options, including legal action to block the move, according to sources close to the situation.</p>
<p>Lawyer at both companies have been in back-and-forth talks in recent days after the hiring of Microsoft&#8217;s global ad sales head Carolyn Everson by the Silicon Valley social networking powerhouse to be its VP of global sales.</p>
<p>Among the more likely solutions being discussed: Barring Everson&#8211;a longtime ad sales exec who came to Microsoft from MTV Networks&#8211;from using any strategic information she learned at the company and also from contacting certain ad clients on behalf of Facebook for a certain period of time.</p>
<p>While a legal action to stop her from actually taking the position is the most serious option, it is certainly not without precedent for Microsoft. The company recently <a href="http://newenterprise.allthingsd.com/20110223/judge-says-former-microsoft-exec-cant-work-for-salesforce-for-now/">got a temporary restraining order</a> to block one of its top government relations execs, Matt Miszewski, from working at Salesforce.com, pointing to non-compete and confidentiality contracts.</p>
<p>Whatever happens, it is clear the Everson hiring has infuriated Microsoft execs, especially CEO Steve Ballmer, since the company regards Facebook as a close partner. Microsoft is also a longtime investor in Facebook.</p>
<p>While considering a temporary restraining order against Everson in this kind of situation&#8211;since it is essentially the same job&#8211;is standard operating procedure for any company, several sources said tensions are higher than usual.</p>
<p>&#8220;This is just tone deaf on Facebook&#8217;s part not to think this would not be a problem,&#8221; said one person.</p>
<p>One particularly irksome aspect&#8211;top Facebook execs did not call Ballmer before news of the appointment leaked out to assuage the situation.</p>
<p>Facebook COO Sheryl Sandberg did release a statement when <a href="http://kara.allthingsd.com/20110215/exclusive-facebook-grabs-microsoft-ad-head-everson">BoomTown broke news of the move</a> in mid-February, in an attempt to make nice.</p>
<p>&#8220;Microsoft was one of our earliest partners and is still one of our most valued,&#8221; she said, in part. &#8220;We look forward to continuing to expand our relationship with them.&#8221;</p>
<p>Her dulcet words have apparently not worked.</p>

<p>In fact, the talent raid came as a surprise to many at Microsoft, especially since Everson (pictured here) had been hired in June after a long search and had become a high-profile presence at internal and external Microsoft events.</p>
<p>That included organizing the splashy &#8220;Imagine 2011, Microsoft Advertising&#8217;s Marketing Leadership Summit.&#8221; The event is set to take place at the end of March at the software giant&#8217;s Redmond, Wa. HQ and will include an evening concert by the band Train.</p>
<p>Now she will be doing such things for Facebook, where Everson will be replacing longtime and well-regarded ad exec <a href="http://kara.allthingsd.com/20101026/exclusive-facebooks-longtime-ad-sales-head-mike-murphy-to-depart-company/">Mike Murphy</a>, who left the Palo Alto, Calif., company last fall. She will report to former Googler David Fischer, VP of Advertising and Global Operations.</p>
<p>Having a top exec who is amenable to and well known by Madison Avenue is key for Facebook as it ramps up its business, in anticipation of an IPO next year.</p>
<p>Despite being private, Facebook has recently been valued at between $50 and $60 billion by investors, who have been eagerly buying up shares of the company on secondary markets.</p>
<p>Under Murphy and Fischer, ad sales have been doing well already. Facebook&#8217;s share of online display advertising has more than quadrupled, from about three percent to almost 14 percent of the nearly $9 billion U.S. market, according to a recent survey.</p>
<p>In growing so quickly, Facebook has grabbed ad revenue&#8211;reportedly $2 billion last year–from old online powerhouses, especially Yahoo, Microsoft and AOL, and is also in a big fight with Google over premium ad sales.</p>
<p>Facebook&#8217;s surging usage and engagement are the reasons for the increased interest from advertisers, as well as its global growth in both market share and mindshare of consumers.</p>
<p>The opportunity at Facebook is clearly a big&#8211;and probably irresistible&#8211;move for the dynamic Everson, who has mostly worked in the mainstream media for much of her career.</p>
<p>Still, while movement of execs among top tech companies is not uncommon, there has been a lot less from Microsoft to Facebook.</p>
<p>Instead, Facebook has been most aggressive in its efforts to attract talent from Google.</p>

<p>No longer. In fact, the week before Facebook grabbed Everson, it also hired an up-and-coming exec, <a href="http://www.linkedin.com/pub/chris-daniels/0/a2/17a">Chris Daniels</a>, GM of Bing Mobile Product Management, to be its director of business development.</p>
<p>Still, there is some hiring war history between the companies. In late 2008, Microsoft&#8217;s Ballmer managed to <a href="https://kara.allthingsd.com/20081204/microsoft-confirms-qi-lu-hired-as-digital-chief-mcandrews-out">lure former Yahoo exec Qi Lu</a> to run its Online Services Division, several sources at both companies said, after he had told Facebook he would work there as its engineering lead. Lu had also been heavily recruited by Google.</p>
<p>Eventually, that was water under the bridge, which is what Facebook is hoping will happen with Microsoft over Everson.</p>
<p>Also important in the weighing of options at Microsoft is the obvious importance of keeping up good relations with Facebook. It is an important partnership, especially for its Bing search business, as an advantage over Google.</p>
<p>&#8220;Everyone is hoping to resolve this amicably,&#8221; said one person close to the situation. &#8220;There has been some damage to the relationship for sure, but the question is whether Microsoft wants to do something that would escalate that damage.&#8221;</p>
<p>Not surprisingly, both Facebook and Microsoft declined to comment on the fracas.</p>

<p>Here&#8217;s what&#8217;s happening at Myspace, the troubled social networking site owned by News Corp.:</p>
<p>It&#8217;s for sale, as has been widely reported, along with that intent being <a href="http://mediamemo.allthingsd.com/20110202/live-news-corp-talks-about-the-daily-myspace-and-earnings/">declared recently by top company execs</a>.</p>
<p>It&#8217;s hired Allen &#038; Co. to sort out potential buyers and other options, as has also been reported.</p>
<p>It&#8217;s hardly begun the process and is pretty much at square one, which means making lists, sorting out inquiries both crazy and valid and lining up its proverbial ducks for Myspace.</p>
<p>What it&#8217;s <em>not</em> doing is taking bids via press release, as happened in a decidedly odd fashion last week when MocoSpace, a Boston-based mobile social networking site, issued one.</p>
<p>Titled &#8220;MocoSpace Reveals Itself As Interested Party to Potentially Acquire Myspace,&#8221; the look-at-me attempt to suck up some attention from the media was riveting and appalling at the same time.</p>
<p>&#8220;MocoSpace, the largest entertainment destination on the mobile Internet, is today announcing their interest in acquiring Myspace from News Corp.,&#8221; read the press release.</p>
<p>And, of course, in the email from its PR rep: &#8220;Their CEO [Justin Siegel] is revealing their interest and is available to chat with you to discuss why.&#8221;</p>
<p><a href="http://kara.allthingsd.com/files/2011/02/myspace_logo_new_645_normal.jpeg"><img src="http://kara.allthingsd.com/files/2011/02/myspace_logo_new_645_normal-275x154.jpg" alt="" title="myspace_logo_new_645_normal" width="275" height="154" class="alignleft size-medium wp-image-40559" /></a></p>
<p>While an amusing tactic, <strong>All Things Digital</strong> declined the generous offer.</p>
<p>Soon enough came another PR entreaty: &#8220;Wanted to provide the update that today Newscorp contacted MocoSpace and they are now in conversation.&#8221;</p>
<p><em>Oh, really?</em> So, BoomTown phoned some sources there close to the situation and found them very perplexed at that characterization.</p>
<p>One source laughed at the gumption behind the MocoSpace press release, although added that the company was very much wanting to dispose of Myspace in the best possible way.</p>
<p>&#8220;No legitimate offers ignored,&#8221; said the source, who said a sale was more likely than bringing in new investors to recapitalize it. &#8220;But nothing has happened yet.&#8221;</p>
<p>Another source noted that the company had only sent an acknowledgement to MocoSpace, as it did for anyone who expressed any interest.</p>
<p>MocoSpace was kind enough to send me these emails, including one from News Corp. deal exec Jack Kennedy, which was entirely rote and referred Siegel to Allen &#038; Co. &#8220;to fill you in w/respect to how the process may develop.&#8221;</p>
<p>Added another source: &#8220;Nobody at this point that can be considered &#8216;in conversation.&#8217;&#8221;</p>
<p><em>Oops!</em><br />

<p>Thus, more email spin from MocoSpace PR: &#8220;We never said that Newscorp contacted MocoSpace first. After MocoSpace released their statement, Justin Siegel did receive an email from Newscorp.&#8221;</p>
<p>And: &#8220;It seems that you may have misunderstood my email when I said they were &#8216;in conversation.&#8217; I simply meant that after MocoSpace made their intention public, Newscorp did contact them&#8211;hence &#8216;in conversation.&#8217;</p>
<p>And: &#8220;I did not mean to imply that they were in any sort of negotiating conversation&#8211;if that is something that you took from the email, it was an assumption, and I am sorry for any confusion in the wording there.&#8221;</p>
<p>How ever could I be confused after all this mishegas?</p>
<p>Finally, Siegel weighed in via email, noting in part:</p>
<p>&#8220;It&#8217;s been brought to my attention that there&#8217;s some confusion and frustration&#8230;.In addition, I&#8217;d like to clarify that this was/is not a publicity stunt. We made our interest in MySpace public. The interest it&#8217;s generated is surprising. To every person I&#8217;ve spoken to directly, I&#8217;ve made it clear that I&#8217;ve had no direct conversation with either MySpace or Newscorp regarding the sale.&#8221;</p>
<p>Like I said, no sale. Yet.</p>

<p>According to numerous sources with knowledge of the situation, Demand Media will finally launch its public offering later next week, after it completes its road show for investors.</p>
<p>Once it has its IPO, which is being led by Goldman Sachs and Morgan Stanley, Demand will trade as DMD on the New York Stock Exchange.</p>
<p>Just over a week ago, the online publisher <a href="http://kara.allthingsd.com/20110112/demand-media-clears-sec-and-prices-ipo">cleared regulatory scrutiny</a> and made an amended filing with the Securities and Exchange Commission, which priced its shares from $14 to $16 each.</p>
<p>If the offering is successful with investors, Demand could sell up to 8.625 million shares and, if it prices at the top of the range, it could be worth about $1.3 billion and raise $138 million.</p>
<p>That includes 4.5 million shares from the company, three million shares from existing shareholders and another 1.125 shares that its underwriters have an option to sell.</p>
<p>Demand will net $58.1 million, if the IPO price is $15.00 per share, which it said it will use for “investments in content, international expansion, working capital, product development, sales and marketing activities, general and administrative matters and capital expenditures.”</p>
<p>So, until co-founder and CEO Richard Rosenblatt rings the bell in New York next week and can talk all about the company again&#8211;it is in a quiet period&#8211;here&#8217;s an <a href="http://kara.allthingsd.com/20080709/demand-medias-richard-rosenblatt-speaks-and-says-hes-not-for-sale-to-yahoo-for-now">interview video BoomTown did with him</a> almost three years ago at Demand&#8217;s Santa Monica, Calif., then-HQ:</p>

<p class="mailbox-question"><em> I have a 3GS iPhone. Is there a way to connect it to the Internet cable found in hotel and motel rooms?</em></p>
<p class="mailbox-a">A:</p>
<p>Not that I know of. But you can do this indirectly by creating your own Wi-Fi network from the wired connection in the room. There are two ways to do this.</p>
<p>One possibility is to carry a small portable router. These are small devices that plug into the wired connection and propagate a Wi-Fi signal in the hotel room that the iPhone (or other devices, like laptops and tablets) can use. A second option is to plug a laptop into the physical connection and use it as a Wi-Fi base station by setting up what&#8217;s called an &#8220;ad hoc&#8221; or computer-to-computer Wi-Fi connection. Steps for doing this, which can be a bit techie, differ depending on whether you use a PC or Mac.</p>
<p class="mailbox-q">Q:</p>
<p class="mailbox-question"><em> I have been struggling with a hard drive space shortage for at least a year. I have deleted duplicate emails. I have deleted videos and word files and put them on a stand alone hard drive. Do you have any other suggestions? </em></p>
<p class="mailbox-a">A:</p>
<p> If you don&#8217;t want to, or can&#8217;t, replace your laptop, and don&#8217;t want to be tethered to your external hard disk, you might look into buying a new, larger, internal hard disk. </p>
<p>Many stores and consultants can sell and install larger hard disks, and even transfer the data from your old one.</p>
<p class="mailbox-q">Q:</p>
<p class="mailbox-question"><em> I have thousands of photos on my computer and external hard drives. I&#8217;m in the process of trying to organize them on one hard drive and noticed that there are many duplicates between the different devices. Is there one program that you recommend that reliably detects and allows the removal of duplicate files?</em></p>
<p class="mailbox-a">A:</p>
<p> You might try using Google&#8217;s Picasa to sweep the drives, locate the photos, and display them. </p>
<p>The program has a feature that can avoid importing duplicates. Once imported, if there are still duplicates, Picasa offers methods to hide or actually delete them from your disk. Information on this is at <a href="http://bit.ly/8YKTzy">http://bit.ly/8YKTzy</a>.</p>

<p>At a very first glance, some of the new rules imposed by the feds might seem like they require the new company to offer up programming to any online player that wants to pay up.</p>
<p>And technically, they do. But the <a href="http://newenterprise.allthingsd.com/20110118/u-s-approves-comcast%e2%80%99s-acquisition-of-nbcu-but-with-conditions/">new rules</a> have plenty of conditions and limits. So the bottom line is you&#8217;re not much more likely to get access to &#8220;30 Rock&#8221; via YouTube, or CNBC via iTunes, then you were before.</p>
<p>The new FCC and DOJ rules do give, say, Google the ability to buy access to some of NBC U shows or channels. But it would require Comcast&#8217;s competitors to do the same thing, first.</p>
<p>That is: Unless the people who are reluctant to put their stuff online because they don&#8217;t want to upset Comcast go ahead and put their stuff online, Comcast doesn&#8217;t have to, either. So it&#8217;s theoretically possible, but not probable.</p>
<p>And if it happens, it will happen haltingly. If Viacom sells someone online access to its MTV lineup of reality shows, that might require Comcast to offer up its reality show lineup on Bravo. But it wouldn&#8217;t entitle an online outlet to the police procedurals on USA.</p>
<p>The government also gives the option to, say, Netflix, to set up shop as another cable operator, and buy access to <em>all</em> of NBC Universal&#8217;s programming. But it would have to buy <em>all</em> of it&#8211;just like Time Warner Cable and Cablevision do when they make a carriage deal for NBC U&#8217;s shows.</p>
<p>And again, Comcast wouldn&#8217;t have to do that unless its peers did. Which means that if Netflix really wanted to set up shop as a direct competitor of the cable guys, it can do so. But it would have to operate exactly like the cable guys, just like the satellite guys did when they entered the market a couple of decades ago.</p>
<p>So if Netflix, or Apple or whoever really wants to offer a full suite of cable programming, at cable prices, it could. But that would be very, very expensive: Analyst <a href="http://www.btigresearch.com/2011/01/18/what-exactly-did-brian-roberts-agree-to-here-is-the-question-you-need-answered/">Rich Greenfield</a> estimates that the bill for NBC U&#8217;s programming alone would run a new entrant $1 billion a year.</p>
<p>Just as, or even more, important, is that those kind of bundled, take-it-or-leave-it deals are exactly the kind of thing that the cord-cutting crowd complains about.</p>
<p>They don&#8217;t want to have to pay for USA <em>and</em> Bravo <em>and</em> Syfy <em>and</em> MSNBC&#8211;they want to pick and choose channels, or shows. And pay a lot less.</p>
<p>&#8220;I don&#8217;t think cord-cutting was a major focus&#8221; of negotiations, Comcast EVP David Cohen said during a press conference this afternoon. And that may be true!</p>
<p>But the net result reads very much as if Comcast wanted to make sure the government didn&#8217;t force it to break its business model. And if that was the case, it got what it wanted.</p>

<p>In its <a href="http://www.sec.gov/Archives/edgar/data/1365038/000104746911000109/a2201506zs-1a.htm">amended prospectus</a>, Demand said:</p>

<p>Demand Media is offering 4,500,000 of the shares to be sold in the offering. The selling stockholders identified in this prospectus are offering an additional 3,000,000 shares. Demand Media will not receive any of the proceeds from the sale of the shares being sold by the selling stockholders.</p>
<p>Prior to this offering, there has been no public market for the common stock. It is currently estimated that the initial public offering price per share will be between $14.00 and $16.00.</p>
<p>The common stock of Demand Media has been approved for listing on the New York Stock Exchange under the symbol &#8220;DMD.&#8221;</p></blockquote>
<p>Demand&#8217;s road to an IPO has been relatively quick.</p>
<p>One bump came last month, <a href="http://kara.allthingsd.com/20101223/demand-medias-ipo-which-wont-happen-until-after-the-new-year-now-depends-on-how-it-accounts-for-content/">as BoomTown reported</a> after the Santa Monica, Calif. company had to satisfy government regulatory questions over the way it recognizes costs of creating content.</p>
<p>Currently, using a concept of &#8220;long-lived&#8221; content, Demand has been amortizing those expenses over five years, since it says it continues to generate revenue on that material over that much time. Most publisher recognize costs immediately.</p>
<p>That&#8217;s different from many companies in the publishing business, which typically account for costs of creating content immediately as they are incurred or over a much shorter time period.</p>
<p>Demand has determined that its content has a more evergreen nature, compared to more topical&#8211;and perishable, from a revenue point of view&#8211;material produced by others.</p>
<p>Obviously, since this accounting treatment results in more attractive financial results, the longer expense period is of great interest to many other online content creators&#8211;such as AOL and Yahoo&#8211;which are watching the Demand IPO closely.</p>
<p>While the SEC did not ask Demand to make changes to its accounting practices, the amended S-1 is more detailed about them.</p>
<p>To be allowed to expense over five years, Demand said, the company has to use a sophisticated algorithmic platform&#8211;which other content creators do not have&#8211;to provide proof of &#8220;probable economic benefits&#8221; from that content over that time.</p>
<p>Since Demand has long claimed that it has a new and innovative approach to content creation, it is making the case to investors that it needs to have the correct accounting for that approach.</p>
<p>Said Demand in its amended filing:</p>
<p>&#8220;In determining whether content embodies probable future economic benefit required for asset capitalization, management has reviewed, and intends to regularly review the operating performance of content published.&#8221;</p>
<p>But, it warned:</p>
<p>&#8220;Changes from the five year useful life we currently use to amortize our capitalized content would have a significant impact on our financial statements. For example, if underlying assumptions were to change such that our estimate of the weighted average useful life of our media content was higher by one year from January 1, 2010, our net loss would decrease by approximately $1.6 million for the nine months ended September 30, 2010, and would increase by approximately $2.4 million should the weighted average useful life be reduced by one year.&#8221;</p>
<p>The practice has passed government scrutiny and now investors will decide what they think of this and the entire business of Demand.</p>
<p>Demand execs will now go on a road show for the offering, which is being led by Goldman Sachs and Morgan Stanley.</p>

<p>While the news has been be out there for a month, Miramax officially confirmed this morning that former News Corp. exec Mike Lang was named CEO of the Hollywood movie company.</p>
<p>What will be interesting about that for digital content players will be to see exactly what the man who was deeply involved in deals to buy the Myspace social networking site and also create the Hulu premium video service will do with Miramax&#8217;s rich trove of more than 700 award-winning films, including &#8220;Shakespeare in Love&#8221; and &#8220;Pulp Fiction,&#8221; in its movie library.</p>
<p>Lang left his post as EVP of business development and strategy at Fox Entertainment, including its film studio, broadcast network, sports and cable channel, earlier this year.</p>
<p>BoomTown spoke to him last night about his new job, which came after he advised the group that finally won Miramax&#8211;Filmyard Holdings.</p>
<p>&#8220;We are trying to take this company to the next level by exploring not only our traditional options, but our digital ones,&#8221; he said.</p>
<p>Miramax will not be aggressive in making new movies, but in taking advantage of the sequel rights it has to a number of hits, as well as the existing movies, which include four of the last 15 Best Picture Oscar winners.</p>
<p>&#8220;Our strategy is still emerging, but we want to exploit our assets in a variety of ways,&#8221; said Lang, who noted that could include everything from subscription deals with online video services, such as Netflix and Amazon, to digital content lockers in the cloud.</p>
<p>&#8220;We want people to be able to access our content across multiple medias,&#8221; he said. &#8220;We&#8217;ll take any payment, of course, but we also have to be smart about how we do these things.&#8221;</p>
<p>Lang, who has always had a foot in both worlds, said he thinks that digital media could develop similarly to the way traditional media has.</p>
<p>&#8220;There is no reason to think that digital will not emulate older media, with different windows in which subscribers watch content,&#8221; he said.</p>
<p>But, said Lang, he also thinks there is still life in physical media, such as Blu-ray players.</p>
<p>Since the deal just closed with former Miramax owner Disney, there are no employees yet for the Santa Monica, Calif.-based company.</p>
<p>But once he staffs up, Langs said he hopes to present a different picture of Hollywood to the digerati than the more typical wary hostility.</p>
<p>&#8220;Our goal really is we want to send a signal that we are a different company,&#8221; said Lang. &#8220;Not only about digital, but in being an innovative company.&#8221;</p>

<p>Lang, 45, most recently served as a consultant to Filmyard in its acquisition of Miramax. Prior to that, he was EVP, Business Development and Strategy at Fox Entertainment, responsible for strategic initiatives across News Corp.’s entertainment assets, including Fox’s film studio, broadcast network, sports and cable channels. Lang played key roles in the acquisition of MySpace and the formation of the MySpace Music joint venture, and he led the creation of Hulu, with major broadcast partners. In addition, Lang was involved in Fox’s mobile, digital and video game initiatives. He joined Fox in 2004.</p>
<p>Prior to Fox, Lang served as a consultant on media-related investments. In the late &#8217;90s, he was a founding executive of Z.com. Lang began his career at The Walt Disney Company in Strategic Planning. Lang earned his MBA with high distinction at Harvard Business School and he holds a Bachelor of Arts degree from Claremont McKenna College.</p></blockquote>

Love Web video? Netflix should have something for you shortly: At the Web 2.0 conference yesterday, CEO Reed Hastings said a streaming-only option for U.S. subscribers should be available &#8220;<a href="http://www.pcmag.com/article2/0,2817,2372920,00.asp">shortly</a>.&#8221;</p>
<p>It&#8217;s the third time this fall the company has <a href="http://mediamemo.allthingsd.com/20101020/netflix-earnings-revenue-in-line-and-an-eps-beat/">talked up a Web-only service</a>. And <a href="http://mediamemo.allthingsd.com/20100923/netflix-may-let-you-drop-the-disc-for-the-web/?mod=ATD_rss&amp;mod=ATD_sphere">each time it does so</a> it excites some of you who&#8230; really like the idea of not using DVDs.</p>
<p>The rest of you? You may be underwhelmed.</p>
<p>The big caveat here is we don&#8217;t know what Netflix plans to offer. But my hunch is the company won&#8217;t be able to offer a streaming-only option at a significant discount to its most popular $8.99-a-month plan, which also lets you stream unlimited video&#8211;<em>and</em> allows you to check out any DVD you want.</p>
<p>Note that:</p>
<ul>
<li>The <a href="http://mediamemo.allthingsd.com/20100719/netflix-goes-abroad-but-not-too-far-streaming-service-coming-to-canada/">streaming-only service the company launched in Canada</a> this year costs $7.99 a month.</li>
<li>Netflix has been testing the same service, at the same price, in the U.S. this fall.</li>
<li>Even though the Netflix streaming-only option only offers about 20 percent of the catalog available on its traditional DVD rental service, the company is paying big money for that catalog. Netflix has already racked up a $1.2 billion digital content bill, <a href="http://mediamemo.allthingsd.com/20101027/those-bits-arent-free-netflix-could-be-racking-up-a-2-billion-content-tab/">which could grow to $2 billion</a> next year.</li>
</ul>
<p>Netflix has also been testing out a price <em>increase</em> for its $8.99  streaming + disc plan, to <a href="http://www.engadget.com/2010/10/23/netflix-testing-7-99-and-8-99-streaming-only-plans-in-us-right/">$9.99 a month</a>. Perhaps that&#8217;s to make the $7.99 option appear that much more attractive ($7.99 also happens to be the new price for Netflix competitor <a href="http://mediamemo.allthingsd.com/20101117/hulu-plus-cuts-its-price-after-all-by-2/">Hulu Plus</a>).</p>
<p>And perhaps $7.99 will be just fine for people who don&#8217;t want to deal with discs and envelopes and mailboxes, and want instant video whenever they want it. Even if they can&#8217;t get everything they want.</p>
<p>In any case, this could all be moot. While I haven&#8217;t seen any reports of a streaming-only option priced below $7.99, Netflix has said it has run &#8220;many&#8221; tests. So perhaps it has a trick up its sleeve.</p>
<p>For giggles, I asked Netflix PR guy Steve Swasey what he could tell me. His response: &#8220;Stay tuned!&#8221;</p>
<p>Fair enough. I assume that &#8220;shortly&#8221; means &#8220;in time for the Christmas shopping season, when people start buying shiny new TVs and gadgets that work well with Netflix streaming.&#8221; And that kicks off on Black Friday&#8211;just eight days away.</p>

<p>For the past 18 months, mobile payments start-up Zong has had the enviable prime spot on Facebook Credits as its sole option for users wanting to use their cell phone number to buy virtual goods for social gaming and other services.</p>
<p>But, according to multiple sources, that&#8217;s about to change later this week, when the social networking giant starts A/B testing its rival, Boku, as an alternate payment method to Zong.</p>
<p>The face-off on Facebook to allow consumers to charge virtual purchases to their wireless bills is just another point of conflict, among many, between the two top Silicon Valley mobile payments companies.</p>
<p>Both have received <a href="http://mediamemo.allthingsd.com/20100119/another-big-bet-on-mobile-payments-boku-raises-25-million">large amounts of venture funding</a> from prominent investors&#8211;$38 million for San Francisco&#8217;s Boku and $15 million for Menlo Park, Calif.-based Zong.</p>
<p>And there has been acquisition attention as well from big companies&#8211;such as Apple, Google and more&#8211;who are mightily interested in the fast-growing space of late.</p>
<p>Sources close to Facebook said the move to include both on its king-making platform is a natural one for the company, giving its users a range of options in the mobile payments area.</p>
<p>One person noted that Facebook execs told both Zong and Boku that it was important to enable people to buy Facebook Credits via whatever means they choose.</p>
<p>The plan is to use both for a while, said another source, gauging how users like them, although it was not considered &#8220;a horse race between them&#8221; by Facebook.</p>
<p>Nonetheless, that&#8217;s just what both Zong and Boku think it will turn into on Facebook.</p>
<p>&#8220;It is all about performance,&#8221; said one person with knowledge of Boku&#8217;s strategy. &#8220;Facebook is testing the landscape, especially outside the U.S.&#8221;</p>
<p>Indeed, mobile payments are currently much more important internationally than in the U.S. market, although that is changing fast, especially as smartphone usage booms.</p>
<p>Zong CEO David Marcus, in an interview with BoomTown today at the Open Mobile Summit in San Francisco, said that competition was inevitable.</p>
<p>&#8220;Every single large-scale mobile process needs to have a backup, especially as mobile payments reach the scale everyone expects it to,&#8221; he said. &#8220;But we are confident that we have the best product for the Facebook platform.&#8221;</p>
<p>Performance and distribution will be much on the minds of potential acquirers, in much the same way Apple and Google snapped up mobile advertising companies <a href="http://kara.allthingsd.com/20100104/exclusive-apple-to-buy-quattro-wireless-for-275-million">Quattro Wireless</a> and <a href="http://kara.allthingsd.com/20091109/google-acquires-admob-for-750-million-in-stock-the-press-release">AdMob</a>, respectively.</p>
<p>Most expect both Zong and Boku to eventually be bought, although both companies have said they intend to remain independent.</p>
<p>Selling out might also have its downside&#8211;if, for example, Boku were bought by Google for its Android mobile operating system, it would quickly become less attractive for the search giant&#8217;s growing archrival Facebook to feature it.</p>
<p>The same goes for Apple, since it also has its own agenda with the iPhone.</p>
<p>But there are other possible buyers, such as Amazon, eBay&#8217;s PayPal and a spate of credit card companies.</p>
<p>Whatever happens, the new battle on Facebook will surely be an interesting one to watch.</p>

<p>There&#8217;s no question that mobile is the way an increasing number of payments are made for a variety of virtual goods.</p>
<p>Recently, BoomTown visited San Francisco-based <a href="http://kara.allthingsd.com/20100726/the-boku-founders-talk-about-mobile-payments-competitors-and-more">Boku</a>, one of the players in the race to win in this competitive space.</p>
<p>And, earlier this week, I motored on down to Menlo Park, Calif., to visit <a href="http://www.zong.com/">Zong</a>.</p>
<p>While I would like to know why these services require such odd names, it&#8217;s clear Zong is good enough for Facebook to make it the mobile payment option for its Facebook Credits.</p>
<p>Zong is a spin-off from a company called Echovox, based in Switzerland. Zong garnered $15 million in funding from Matrix Partners earlier this year.</p>
<p>That investment was made by Dana Stalder, who was the former exec of PayPal, the pioneering online payment company that was bought by eBay.</p>
<p>Still, even with help, Zong has a complex business to run, which requires maintaining relationships with wireless companies around the world.</p>
<p>Sort of like herding cats, I would imagine.</p>

<p>Yahoo&#8217;s CEO Carol Bartz has been under pressure of late, due to everything from executive turmoil to flat revenue to lack of vision to, perhaps most importantly, a flaccid stock price.</p>
<p>And, as of yesterday, you can add excessive pay to the pile.</p>
<p>That&#8217;s because Bartz just topped the list of 25 overpaid CEOs, which is done annually by proxy adviser Glass, Lewis &#038; Co.</p>
<p>A dubious distinction, to say the least.</p>
<p>The San Francisco-based firm pointed to the $39 million Bartz garnered last year from Yahoo (YHOO), which&#8211;to be fair&#8211;includes both salary and options she has not yet sold.</p>
<p>Still, the huge sum also recently put her atop Fortune magazine&#8217;s list of highest-paid women.</p>
<p>Glass Lewis, of course, was using Yahoo&#8217;s top exec to make a point:</p>
<p>&#8220;Bartz represents a problem we find at many other firms with poor pay-for-performance grades: excessive compensation awarded to executives to encourage them to join or remain with a company.&#8221;</p>
<p>Indeed, this big number&#8211;however loaded with options based on some level of performance&#8211;is one that is sure to draw shareholder ire, due to the fact that the well-paid Bartz is simply not delivering what had been hoped for when she was brought on to shake up Yahoo.</p>
<p>It will be interesting to see if the board of Yahoo&#8211;hands down the weakest and most mistake-prone in Silicon Valley&#8211;will act in the same way the Microsoft (MSFT) board did with CEO Steve Ballmer.</p>
<p>Although a small thing, especially given how wealthy Ballmer is, the company pointed to the ill-fated venture that was the Kin phone and the slow response to the Apple (AAPL) iPad juggernaut, when giving him only <a href="http://voices.allthingsd.com/20101001/ballmers-bonus-half-cash-half-surplus-kins">half his maximum bonus</a> recently.</p>
<p>This was despite record revenues at Microsoft, yet still a tiny but encouraging sign that the board has the courage to say: Not good enough.</p>
<p>Will Yahoo&#8217;s mousy board members manage to squeak out any such message to Bartz in the months ahead?</p>
<p>Having seen them in action for many years of stumbles now, which has been like watching someone throw himself continually down a flight of stairs, here&#8217;s my educated guess: No.</p>

<p>Disclaimer: my business partner, Marc Andreessen, is on the board of directors of Hewlett-Packard (HPQ). I note that I have no inside information, and this blog post is based purely on published material. In 2007, I sold Opsware, the company that I founded and ran to Hewlett-Packard for $1.6B. I worked at Hewlett-Packard from 2007 to 2008 as an executive in the software business.</p>
<p>Recently, my old company Hewlett-Packard has been in the news&#8211;and not in a good way. I&#8217;ve been watching the coverage from the sidelines up to this point, but felt increasingly compelled to join the conversation and share my point of view. So here goes.</p>
<p>After firing their CEO, Mark Hurd, the HP board has been accused of everything from incompetence to being prudes. The criticism comes from credible, important journalists and bloggers such as Joe Nocera from the New York Times (NYT), prominent economics blogger Felix Salmon, and former GE (GE) CEO <a href="http://digitaldaily.allthingsd.com/20101005/jack-welch-slams-hp-board">Jack Welch</a>. In addition, HP competitor <a href="http://kara.allthingsd.com/20100920/when-larry-ellison-met-marc-andreessen-plus-mark-hurd-returns-some-dough">Larry Ellison</a> lambasted the board and even went so far as to hire Mark Hurd to be President of Oracle (ORCL).</p>
<p>So why in the world did the HP board fire such a high performing CEO? Don&#8217;t they care about profits and shareholder value? Aren&#8217;t those the most important things? Who cares about his personal shenanigans? Did Mark and his marketing contractor even have sex?</p>
<p>While I am pretty sure that there is much more going on behind the scenes than has been broadly reported, as there often is, let&#8217;s look at what has been reported:</p>
<p>* Mark Hurd falsified expense reports.</p>
<p>* The false expense reports are related to a contractor named Jodie Fisher, a former softcore porn movie actress and Playboy model with no relevant marketing experience, who HP was paying up to $5,000 per marketing event.</p>
<p>* At the time of his departure from HP, Hurd issued a public statement saying that he&#8217;d violated HP&#8217;s Standards of Business Conduct:</p>
<blockquote class="memo"><p>&#8220;As the investigation progressed, I realized there were instances in which I did not live up to the standards and principles of trust, respect and integrity that I have espoused at HP and which have guided me throughout my career. After a number of discussions with members of the board, I will move aside and the board will search for new leadership. This is a painful decision for me to make after five years at HP, but I believe it would be difficult for me to continue as an effective leader at HP and I believe this is the only decision the board and I could make at this time. I want to stress that this in no way reflects on the operating performance or financial integrity of HP.&#8221;</p></blockquote>
<p>Let&#8217;s start with the issue of falsifying expense reports. This factor has been largely dismissed in the press with characterizations like this from Joe Nocera of the New York Times:</p>
<blockquote class="memo"><p>&#8220;When pressed, H.P. said that Mr. Hurd had fudged some expense reports.&#8221;</p></blockquote>
<p>Nocera goes on to argue that there must have been an alternate motivation to dismiss Hurd, because clearly no CEO would be fired simply for &#8220;fudging&#8221; an expense report.</p>
<p>When I first read of the expense report issue, my reaction was the opposite of Nocera&#8217;s. If the Chief Executive Officer of a public company falsifies any official financial statement, he must be fired. In my mind, this is non-negotiable. We are not talking about a low-level employee tossing an extra receipt into his expense report. We are talking about a public company CEO who is paid tens of millions of dollars a year and is responsible for the integrity of the company&#8217;s financial statements fraudulently reporting his own expenses. Why is this a problem?</p>
<p>Every person who invests in Hewlett-Packard does so on the basis of HP&#8217;s financial statements. Every pension fund, every retiree, every charitable organization, every employee who joins and is compensated via stock options. When they do so, they trust that the statements are true and that the numbers are accurate. The person they trust to ensure accuracy is the CEO.</p>
<p>If the Chief Executive is willing to compromise the integrity of the company&#8217;s financials for any reason, then it is impossible to trust any statement. Every day, there are many potential reasons to falsify financial statements. Here are four examples:</p>
<p>* If you miss the quarter, shareholders will lose money.</p>
<p>* If revenues aren&#8217;t high enough, you&#8217;ll be forced to lay-off hard working, valued employees.</p>
<p>* If you grow slower than a competitor, you may jeopardize your job.</p>
<p>* A shareholder that you&#8217;ve been having an illicit affair with doesn&#8217;t want the stock price to go down and threatens to tell your wife.</p>
<p>If a CEO is prone to compromise for any reason, he will have every reason. This time it was his expense report. Next time will it be a marginal accrued liability? A deal that came in at 12:01 am on the last day of the quarter? This is a slippery slope that a public board simply cannot tolerate.</p>
<p>What reason was so powerful that it caused Mark Hurd to break his ethical standard, falsify an official financial statement, mislead the board, and ultimately be fired? It seems that this was done to cover up a &#8220;close personal relationship&#8221; with a woman named Jodie Fisher, who later accused him of sexual harassment, then subsequently withdrew her claim after Hurd personally paid Fisher a large sum of money.</p>
<p>Who is Jodie Fisher? According to press reports, Fisher is a former Playboy model, reality show contestant, and softcore porn movie actress with no work history relevant to her job with HP. She was hired by Hewlett-Packard and paid up to $5,000 per meeting to meet with Fortune 50 CEOs.</p>
<p>The mainstream press has reported these facts as mundane, ordinary, and hardly worth concern. I disagree. HP employs over 300,000 people. Every single one of HP&#8217;s employees is keenly interested in the qualities, skill sets, and behaviors that HP values most. Financial compensation and access to the CEO are the most important ways that HP communicates what it values to its employees. Jodie Fisher had more access to the CEO and was paid more than 99.9% of HP&#8217;s workforce, despite having no traditional qualifications.</p>
<p>It’s important to note that this was not Hurd paying for his personal extracurricular activity out of his own pocket. This was the Hewlett-Packard Corporation paying a softcore porn movie star with no relevant work experience more than it pays Harvard graduates with 20 years of industry experience. This was the company spitting in the face of the people who worked hard and sacrificed every day to help the company win in the market. It was completely and categorically unacceptable.</p>
<p>Finally, Hurd admitted in a press release to violating the company&#8217;s standards of ethics and integrity. So what? Why do companies have standards and ethics anyway? Shouldn&#8217;t they just be concerned with profits? Do we want choir boys or shareholder value?</p>
<p>There are many who take the view that business is singular in purpose&#8211;to increase shareholder value. They further take the position that constraining that purpose in any way is inefficient and counterproductive. The mainstream press seems to have broadly adopted this position in its attacks on HP. The Wall Street Journal Op Ed page even complained that businesses were being held to an unfair standard when compared to politicians.</p>
<p>I do not subscribe to this view. Running our companies with no moral or ethical standards is bad for society, bad for the country, and ultimately leads to criminal behavior.</p>
<p>Companies should not merely be thought of as money generating machines. Business can represent human society at its best. A business is a group of people working together to deliver value to the world and improve people&#8217;s lives. When done ethically, business quite literally changes the world for the better. However, if the dark side of human motivation is not mitigated with standards and ethics, business can destroy.</p>
<p>We saw this unfold at Enron, a company that was, in its time, celebrated for its impressive profits. Underneath the profits was a culture designed from the ground up to completely ignore any ethical standard including a dazzling display of ethically questionable sexual activity among its executives. These activities, such as promoting secretaries to executive positions in exchange for sexual favors, parallel Hurd&#8217;s behavior with Jodie Fisher. In Enron&#8217;s case, the bad behavior bled over into first line employees who conspired to create blackouts in California in the name of profits and in the absence of ethics. Ultimately, Enron imploded in a swirl of criminal behavior that bankrupted the company, but not before destroying tens of thousands of peoples&#8217; life savings and damaging millions of innocent victims. After the fact, the press bemoaned the culture that lead to the destruction. However, the same reporters instantly forgot the cause as they cavalierly dismissed Hurd&#8217;s ethical breach.</p>
<p>In closing, I point out the impressive courage of the HP board of directors to ignore popular opinion and do the right thing. It is not an easy thing to fire a popular, highly successful CEO. It&#8217;s even more difficult when you know that you will be roundly criticized for tolerating that same CEO’s failure to develop internal successors. Despite those factors, Hewlett-Packard&#8217;s board of directors stood tall and protected the company, its shareholders and all of us from a dark and destructive journey. As a member of the business community and as a citizen, I am extremely proud of and grateful for their actions.</p>

<p>Correcting yet another too-early rumor, sources tell BoomTown that&#8211;as has been previously reported many times in many places&#8211;Microsoft and Apple are in long-term talks about adding the Bing search service as a prominent option on the iPhone and <em>not</em> as a replacement of Google.</p>
<p>Currently, Google (GOOG) is the default search on the popular mobile device, although you can easily go into its settings and switch the search option to Yahoo (YHOO). Few consumers do, though.</p>
<p>Microsoft (MSFT) has been angling to be added to the search options for a long time, but has wanted to do so in a way that makes the choice more visible.</p>
<p>And it is probably a good idea to give users of the iPhone more choice in a wide range of services.</p>
<p>But, whether Apple would make Microsoft&#8217;s Bing the default or whether it would simply allow iPhone users more of a choice among search services is unclear.</p>
<p>In addition, Microsoft wants to make its Bing mapping more integrated with the Apple (AAPL) iPhone.</p>
<p>&#8220;Being an option is what&#8217;s on the table,&#8221; said one source briefed on the talks. &#8220;That&#8217;s all for now, although who knows where it could lead?&#8221;</p>
<p>But, cautioned several sources, talks are not complete, even though the software giant is eager to be able to announce such a deal at <a href="http://digitaldaily.allthingsd.com/20100524/steve-jobs-to-keynote-apples-wwdc-conference">Apple&#8217;s upcoming developers</a> conference on June 7.</p>
<p>Microsoft execs have been nervous about completing such a deal, especially because Apple is notoriously secretive and is known to end talks due to leaks.</p>
<p>That said, relations between Apple and Google have become increasingly tense, as their product offerings&#8211;especially in the mobile arena&#8211;have become competitive.</p>
<p>Google was one of Apple&#8217;s principal partners on the iPhone upon its launch and its services are prominent on the device.</p>
<p>But, as the device has evolved, sources say Apple has been considering a number of search options, as well as mapping, for the iPhone.</p>
<p>Google execs have been anticipating this, of course, especially as the search giant has pushed development of its Android mobile operating system.</p>
<p>In fact, a recent developers conference that Google had in San Francisco, its top execs spent a lot of time <a href="http://kara.allthingsd.com/20100521/viral-video-googles-laughable-but-not-funny-apple-tantrum">publicly attacking Apple</a>.</p>
<p>Thus, it is likely that its top-level placement on the iPhone and other Apple products will diminish.</p>
<p>While being an option is not the same as completely replacing Google, it would give Bing a well-known platform to show off its technology to consumers.</p>
<p>Microsoft would like to hip-check Google off of the iPhone, of course.</p>
<p>But like rumors that it would pay News Corp. (NWS) to &#8220;de-index&#8221; its content from Google and display it prominently on Bing, the notion is premature.</p>
