<p>Earlier today, Yahoo&#8217;s persistent thorn, activist shareholder Dan Loeb of Third Point poison-<a href="http://allthingsd.com/20120504/loeb-demands-yahoo-board-fire-ceo-by-monday-over-false-resume/">penned another letter to the board</a> of the Silicon Valley Internet company, demanding that Yahoo fire its new CEO Scott Thompson, as well as director Patti Hart, over bizarre inaccuracies related to their academic achievements.</p>
<p>&#8220;Permitting Mr. Thompson and Ms. Hart to stay with the Company after apparently violating the Code of Ethics sends a message to all Yahoo! employees that a different set of rules applies at the top,&#8221; Loeb wrote.&#8221;[Yahoo must] terminate Mr. Thompson for cause immediately given his demonstrable unsuitability to remain Chief Executive Officer and a director of Yahoo! and accept the resignation of Ms. Hart for similar reasons.&#8221;</p>
<p>And while many across the blogosphere &#8212; including some <a href="http://www.businessinsider.com/the-smartest-people-in-tech-are-ridiculing-scott-thompson-and-yahoo-2012-5?op=1 ">very clever tweets</a> &#8212; called for his head tout de suite, that&#8217;s just not going to happen.</p>
<p>At least for <em>now</em>, at this early point in a <a href="http://allthingsd.com/20120503/dan-loeb-alleges-discrepancies-on-yahoo-ceo-scott-thompsons-resume-related-to-computer-science-degree/">controversy over Yahoo filing legal documents that misrepresented Thompson&#8217;s long-ago degree</a> from Stonehill College.</p>
<p><a href="http://allthingsd.com/20120505/they-shoot-yahoo-ceos-dont-they-but-not-without-a-really-smoking-gun-and-a-much-stronger-board/220px-rubiks_cube-1/" rel="attachment wp-att-204007"><img src="http://allthingsd.com/files/2012/05/220px-Rubiks_cube-1.png" alt="" title="220px-Rubik&#039;s_cube-1" width="220" height="229" class="alignleft size-full wp-image-204007" /></a> </p>
<p>In a nutshell: Thompson does not have a computer science degree, as he had maintained he did in public bios for almost a decade, a falsehood that mysteriously seeped into documents Yahoo filed with the Securities and Exchange Commission.</p>
<p>That&#8217;s bad news for Yahoo, for sure, on many levels, but moving against Thompson at this moment is not likely to be the answer &#8212; for the short term, at least.</p>
<p>That&#8217;s due to many reasons, that I like to think of it as three hopelessly complex puzzles that need solving pronto.</p>
<p><strong>The What-Did-Yahoo-Know-and-When-Did-It-Know-It Question</strong></p>
<p>There is no question the first thing Yahoo&#8217;s board needs to do is a <a href="http://allthingsd.com/20120503/yahoos-board-will-review-resume-discrepancy-of-ceo/">thorough investigation</a> to determine how a borked bio could proliferate so widely and for so long.</p>
<p>Most importantly, Yahoo will have to reveal if Thompson actually gave them this incorrect information, as he aggressively lobbied for the then-open CEO job. </p>
<p>As I had previously reported several times, Thompson cold-emailed a Yahoo director &#8212; Intuit CEO Brad Smith, as it turns out &#8212; despite not being on the list of potential candidates. Thompson was then shuttled over to Hart, who was running the vetting process with the help of headhunting firm Heidrick &#038; Struggles, and hired within weeks.</p>
<p>Oddly, sources said Thompson never filled out the required informational papers for the job, nor did Heidrick conduct the normal background check on him. Instead, another forensic firm Yahoo hired did the work.</p>
<p><a href="http://allthingsd.com/20120505/they-shoot-yahoo-ceos-dont-they-but-not-without-a-really-smoking-gun-and-a-much-stronger-board/stage_curtains/" rel="attachment wp-att-204012"><img src="http://allthingsd.com/files/2012/05/stage_curtains.jpeg" alt="" title="stage_curtains" width="407" height="296" class="alignright size-full wp-image-204012" /></a></p>
<p>If it turns out Thompson gave any of them the bad bio info, it would be quick curtains for him. </p>
<p>But if Yahoo&#8217;s board members obtained his info on their own, the next key query would be how no one at Yahoo &#8212; especially its legal and compliance staffers, as well as outside help &#8212; managed to catch the problem during the vetting of Thompson.</p>
<p>Here are some good questions to start with: </p>
<p>Who put a faux computer science degree on Thompson&#8217;s bio in the first place, why and when did it happen? </p>
<p>Where did Yahoo get the inaccurate information? </p>
<p>Who was in charge of checking Thompson&#8217;s academic record for Yahoo? </p>
<p>And, who checked the work of the checkers? </p>
<p>The problem is made more complicated, because correct information was easily available in the SEC filings of eBay for years, since Thompson was head of its PayPal payments unit.</p>
<p>While the resume information was indeed wrong on eBay&#8217;s Web site and on numerous bios of Thompson for years, how did eBay legally get it right while Yahoo did not?</p>
<p>That calls into question the expertise of the company, its directors and those they hired to make sure execs were completely on the up and up, a task they clearly failed at.</p>
<p>If rank incompetence is the reason, which it looks like it might be, expect certain board members and other Yahoo staffers to go, along with anyone who helped in the Thompson vetting, or lack thereof.</p>
<p>Unless, of course, the gang-that-couldn&#8217;t-shoot-straight actually did shoot straight and some one at Yahoo found out about the educational discrepancy before the new CEO was announced, but declined to fix it.</p>
<p><a href="http://allthingsd.com/20120505/they-shoot-yahoo-ceos-dont-they-but-not-without-a-really-smoking-gun-and-a-much-stronger-board/the-hunger-games-430x323/" rel="attachment wp-att-204019"><img src="http://allthingsd.com/files/2012/05/The-Hunger-Games-430x323.jpeg" alt="" title="The-Hunger-Games-430x323" width="430" height="323" class="alignleft size-full wp-image-204019" /></a></p>
<p>While sinister, such a scenario is not entirely implausible, given how much pressure Yahoo was under at the time to hire a CEO quickly, due to Loeb and his looming proxy fight.</p>
<p>If any evidence were to surface that this was so, it is curtains all around, which would rain the kind of disaster down on Yahoo&#8217;s Sunnyvale HQ that would make Loeb&#8217;s attacks look like a Nerf battle. Instead, it would be &#8220;The Hunger Games&#8221; &#8212; except that no one survives.</p>
<p><strong>The Chaos-in-Sunnyvale Conundrum</strong></p>
<p>Which brings us to the profound implications of Yahoo jacking its second CEO within six months.</p>
<p>While it&#8217;s easy to yell &#8220;Fire the CEO&#8221; on a crowded Twitter, it&#8217;s simply not so easy in practice.</p>
<p>How long did it take Yahoo&#8217;s lugubrious board to figure out Carol Bartz needed to go? A &#8230; long &#8230; time. (And, she <em>had</em> a CS degree!)</p>
<p>More to the point, Thompson &#8212; and his not-so-merry band of consultants from Boston Consulting Group and, this week, McKinsey &#038; Company &#8212; has only just completed a massive <a href="http://allthingsd.com/20120404/its-official-yahoo-lays-off-2000-employees/">layoff of 2,000 employees</a> and a jarring <a href="http://allthingsd.com/20120410/its-official-yahoo-reorgs-itself-just-like-we-said-memo-time/">restructuring</a> of management.</p>
<p>He&#8217;s also in the early stages of rolling out a new and decidedly still-squishy strategic plan to  top execs (also just this week), along with working on some other key initiatives.</p>
<p><a href="http://allthingsd.com/20120505/they-shoot-yahoo-ceos-dont-they-but-not-without-a-really-smoking-gun-and-a-much-stronger-board/mr-busy-web/" rel="attachment wp-att-204024"><img src="http://allthingsd.com/files/2012/05/mr-busy-web.jpeg" alt="" title="mr-busy-web" width="330" height="301" class="alignright size-full wp-image-204024" /></a></p>
<p>That includes renegotiating its search partnership with Microsoft; noodling around on a possible deal with Google; contemplating the sale of a variety of assets; and &#8212; <em>oh, yes</em> &#8212; trying to take on social networking Godzilla Facebook over patent infringement.</p>
<p>Busy much?</p>
<p>But, most importantly, Thompson is now the umpteenth Yahoo CEO to be working on the never-ending talks with its Asian partners over selling back a piece of the company&#8217;s lucrative stake to them. </p>
<p>While Yahoo CFO Tim Morse and head lawyer Mike Callahan are the point men on the deal, the lack of CEO would be an issue in the now-proceeding again talks. </p>
<p>This is a sale that must &#8212; and I underscore <em>must</em> &#8212; get done and soon, giving Yahoo much-needed breathing room and a whole lot of cash to fork over to increasingly disgruntled shareholders.</p>
<p>So, expect Yahoo to try to milk that deal for all it&#8217;s worth in the coming week, in order to give the appearance, at least, of positive forward momentum.</p>
<p>And, like it or not, Thompson has to play a key role in it getting done. </p>
<p>Thus, the likelihood of wait-and-see over point-and-shoot on Thompson is higher than you might think.</p>
<p>That&#8217;s especially true given four members of the board are leaving within six weeks and have either or are in the process of being replaced by new members. </p>
<p>Then, Thompson will be their problem to solve.</p>
<p>Again, no small thing, since the old crew &#8212; led by feckless Chairman Roy Bostock &#8212; is not likely to want to end its appalling tenure with yet another disaster. </p>
<p>Such a move would further tarnish the legacy of its outgoing directors, although I am not sure how it could be any more sullied, given their consistent record of one bad decision after the next. </p>

<p>What do I <em>really</em> think? I think this cursed board will maintain its 100 percent score of doing the wrong thing at the right time. </p>
<p>It could be a different case with the new directors, of course, who all seem pretty sharp and not as easily impressed by a record of failure. </p>
<p>They will surely be monitoring Thompson carefully, as will employees, who have taken to internal message boards with a rage not seen in a while over the resume debacle. </p>
<p>Their morale might be one uncertainty impacting Thompson&#8217;s fate. If a lot of key employees continue to bolt Yahoo or those remaining more loudly express their disdain for the bio antics, the new directors might listen.</p>
<p><strong>The Whatever-Loeb-Says-We-Won&#8217;t-Do-Till-Later Head-Scratcher</strong></p>
<p>Which brings us back to Loeb, whose noisy campaign to grab seats on the Yahoo board has certainly hit home this week. </p>
<p>And, though Yahoo likes to ding him a lot, since he started his campaign of terribly entertaining investor terror, a lot of what he&#8217;s been calling for has happened. </p>
<p>That includes a major flushing of the board &#8212; with five longtime members, including co-founder Jerry Yang, going, going and gone.</p>
<p>In addition, Loeb brought pressure to slow down some questionable deals, from Yahoo&#8217;s PIPE dream to a tax-free spinoff in Asia in a deal only an accountant could love. </p>
<p>He&#8217;s also &#8212; though they try to deny it &#8212; got the Yahoo directors in the dangerous habit of reacting to him, rather than playing their own game. </p>
<p>While the Yahoo board has resisted any deal with Loeb (pictured here), blaming him for rejecting their kind offers of settlement, it is he who is setting the tone more than Yahoo.</p>
<p>And that tone is of alarm and trouble and chaos at Yahoo. </p>

<p>That&#8217;s not going to work to convince other Yahoo investors to back his cause &#8212; in fact, Loeb has a decidedly uphill battle to win his proxy challenge &#8212; he has still scored a direct win with the bio relevations.</p>
<p>So far, though, Loeb has not sunk Yahoo&#8217;s battleship, so it is unlikely the board will acquiesce to <a href="http://allthingsd.com/20120504/loeb-demands-yahoo-board-fire-ceo-by-monday-over-false-resume/">his latest demand of Thompson being fired by noon</a> on Monday. </p>
<p>Maybe it will eventually, or maybe it will just scold Thompson or maybe it will do nothing at all. </p>
<p>All that is an unknown &#8212; a riddle, wrapped in a mystery, inside an enigma, with a lot of managerial incompetence thrown in. And that, most of all, is the sad definition of today&#8217;s Yahoo.</p>

<p>Yahoo beat Wall Street estimates in its first-quarter earnings report today, with revenue of $1.08 billion and earnings of 23 cents. That&#8217;s a gain of 28 percent from a year ago in net earnings and 38 percent per diluted share. </p>
<p>Analysts had been expecting Yahoo to report revenue of $1.06 billion and earnings of 17 cents a share. But, as <a href="http://allthingsd.com/20120417/despite-all-the-sturm-und-drang-yahoo-will-likely-beat-this-quarter-its-the-next-step-thats-a-doozie/">I reported earlier today</a>, sources had indicated that the results would be on the upside.</p>
<p>Still, revenue was only up year over year by 1 percent &#8212; not exactly a great achievement, given exploding growth across the Internet industry. The real drag was the Europe, Middle East and Africa regions, whose revenue was down 9 percent &#8212; which Yahoo attributed to the weak economy there &#8212; with its &#8220;contribution&#8221; down 27 percent. That region has been run by Rich Riley, who is now Yahoo&#8217;s sales lead in the U.S.</p>
<p>One interesting note: While display revenue was down, search revenue was up. And unique visitors to Yahoo were up 7 percent, which was lower growth than in previous quarters. The reason was declines in search and communications, with media up strongly.</p>
<p>Now, investors are hoping to get more clarity from new CEO Scott Thompson in a call at 2 pm PT about the overall strategy for the troubled Silicon Valley Internet giant, which just restructured its management again and also had layoffs of 2,000 employees.</p>
<p>Thompson has yet to articulate a specific plan beyond the broad strokes of media, commerce and data/platforms as Yahoo&#8217;s aim. </p>
<p>But there is a lot more to deal with and in detail, including figuring out its troubled advertising search partnership with Microsoft, the talks around selling off parts of the company&#8217;s lucrative Asian assets, Yahoo&#8217;s patent lawsuit against Facebook, how Yahoo is going to deal with activist shareholder Third Point&#8217;s possible proxy challenge and whether more layoffs beyond recent firings will be needed.</p>
<p>&#8220;In the first quarter, Yahoo!&#8217;s results came in at the high end of our guidance range and beat consensus on revenue and profits,&#8221; Thompson said in a statement. &#8220;We also made changes to resize the organization and establish a new leadership structure to quickly deliver the best user and advertiser experiences at scale.&#8221; </p>

<p>Yahoo CEO Scott Thompson, who has developed a tough-talk reputation within Yahoo of late, went all sweet &#8212; well, less crabby, I guess &#8212; the day after the <a href="http://allthingsd.com/20120404/its-official-yahoo-lays-off-2000-employees/">layoffs in which 2,000 employees were fired</a>.</p>
<p>After dressing down top execs the night before the cuts by telling them the bad situation was due to their poor performance as leaders, his internal letter to the troops was also a bit cut-and-dried, with the not-very-sympathetic admonishment, &#8220;change is never easy.&#8221;</p>
<p>Not exactly what someone who just got their pink slip &#8212; or saw a close colleague get axed &#8212; likes to hear!</p>
<p>Today, Thompson opted to go with the softer side of Scott, in an internal memo I obtained titled &#8220;time to move forward.&#8221; It includes a promise to deliver a real strategic plan next week at an &#8220;All Hands&#8221; meeting. (I have <a href="http://allthingsd.com/20120403/yahoos-layoffs-tomorrow-morning-of-up-to-2000-will-only-be-the-first-move-of-a-larger-purge-to-come/">previously reported</a> that he was rolling out a new structure next week.)</p>
<p>Yahoo&#8217;s activist shareholder Third Point admonished Thompson yesterday for not having such a plan in place before making such widespread layoffs, which shed 14 percent of the workforce from the Silicon Valley Internet giant.</p>
<p>&#8220;While this action was unfortunately necessary and widely expected, Third Point, Yahoo!&#8217;s largest outside shareholder, is disappointed that this round of cuts occurred before CEO Scott Thompson has articulated his strategic plan for the Company,&#8221; it wrote in a letter (embedded below). &#8220;Shareholders deserve a management team and board who have a vision and strategic plan.&#8221;</p>
<p>Internally, there was also a lot of grumbling over the lack of a vision before the layoffs and worries that Thompson does not have a clear path for Yahoo. </p>
<p>&#8220;It&#8217;s like going into war and killing a big chunk of troops right before, without a plan in place about how to win,&#8221; said one person, in a common sentiment I heard from employees. &#8220;Everyone left feels shell-shocked and with no direction.&#8221;</p>
<p>In recent meetings about various options, including selling off a variety of Yahoo&#8217;s businesses, the former president of eBay&#8217;s PayPal payments unit has focused on a range of ideas, especially adding more commerce and data to the mix.</p>
<p>Apparently, all will be revealed next week, in what Thompson called &#8220;comprehensive plans for Yahoo!&#8217;s future.&#8221;</p>
<p>Thompson also did a little cheerleading:</p>
<p>&#8220;We can do this. We will do this! One thing I&#8217;ve heard repeatedly since I got here is that everyone wants to win again&#8230;I have seen big turnarounds before, and this company has the foundation, the spirit, the backbone, and the creativity to get it done,&#8221; he wrote. &#8220;Personally, I can&#8217;t wait to get moving.&#8221;</p>
<p>That&#8217;s good, because shareholders and employees have been waiting a long time for any forward momentum at Yahoo.</p>

That said, I also know many of you still have a lot of questions about where we&#8217;re headed and how fast we can get there. I shared a few thoughts in my note earlier this week and you&#8217;ll hear more at our All Hands next week.</p>
<p>We deliberately separated this week&#8217;s employee action from next week&#8217;s discussion of our strategy. The reason was simple: we felt it was only fair and respectful to those who are leaving and transitioning to take care of each of them before turning to our future. </p>
<p>Starting next week we will begin looking forward and our All Hands is just the beginning. You&#8217;ll be hearing a lot more from me and other leaders about our comprehensive plans for Yahoo!&#8217;s future. The immediate next step for all of us is to get clear on our goals, and then take action and move. </p>
<p>There&#8217;s a lot to do and that’s why I can&#8217;t stress enough that we all need to focus on getting stuff done. Getting stuff done is short hand for eliminating bureaucracy and barriers so we can all innovate as fast as our customers and the industry require. That&#8217;s pretty fast. </p>
<p>Our users want fun, informative, engaging experiences on all screens that they feel were designed just for them. Advertisers want it to be much easier to work with us and they want measurable ROI on their spending. We can do all that. But we won&#8217;t win by talking about the opportunity. We&#8217;ll win by putting our customers first, creating high-quality experiences, and iterating on them quickly. Great user and advertiser experiences are what will ignite excitement around our brand and get us growing again.</p>

<p>Yahoo is preparing to begin layoffs of what could be thousands of employees starting next week, according to multiple sources, and is then expected to announce a new restructuring of the company the week after.</p>
<p>The swirl at the Silicon Valley Internet giant has grown more intense this week, as new CEO Scott Thompson <a href="http://allthingsd.com/20120328/yahoo-geddon-leaders-to-debate-layoffs-asset-sales-search-deals-and-more-today-as-a-major-restructuring-looms/">has brought in top management for a series of meetings</a> both Tuesday and Wednesday to outline the plans.</p>
<p>What has emerged &#8212; although sources noted that Thompson and others communicating the pending changes said nothing was yet set in stone &#8212; is the picture of a drastically slimmed-down organization with a focus on media, advertising and new but unclear &#8220;future&#8221; initiatives.</p>
<p>First the layoffs: Sources said the cuts will be deep and mostly aimed at the product, research and marketing units of Yahoo, which are likely to take place Wednesday. The ultimate goal, said multiple sources, is to cut many thousands from Yahoo&#8217;s staff of close to 14,000 employees, which is actually much larger, due to contract workers not officially in its roster.</p>
<p>The entire cut will not take place at once, said sources, since Thompson and others are still trying to figure out how to dispense with its ad technology org and, potentially, its search business. He has been in discussions with both Microsoft and Google about this, although there are other possibilities, too. </p>
<p>Both these parts of Yahoo together have about 2,500 staffers, whose fate is not yet sorted out.</p>
<p>Also still baking is the new structure, although sources said it is most likely to be comprised of a global media division, one that encompasses Yahoo&#8217;s communications and search businesses, and ones focused on global and also regional sales. There could also be a small organization of about 50 aimed at future innovation.</p>

<p>Americas head Ross Levinsohn is the likeliest exec to run the media arm, while Shashi Seth &#8212; who now heads search and marketplaces &#8212; would be the obvious candidate for the the communications/search one.</p>
<p>Thompson has already been conducting a search for a new worldwide sales head, although one possible internal exec for the job could be Rich Riley, who was recently running Yahoo&#8217;s Europe, Africa and Middle East region.</p>
<p>It is not clear how Chief Product Officer Blake Irving fits in the possible new org, since much of the development could now move to the decentralized units.</p>
<p>Some current operational execs &#8212; such as service engineering and ops head David Dibble, CFO Tim Morse, and top lawyer Mike Callahan &#8212; are likely to continue to operate as before.</p>
<p>Thompson, along with consultants he has hired from the Boston Consulting Group, presented the possible plan in front of Yahoo&#8217;s senior execs on Tuesday. That was followed by more meetings with a wider range of top management yesterday, although Thompson was not as highly specific in these meetings.</p>
<p>In fact, according to a half-dozen sources, Thompson apparently grew somewhat testy in one of the gatherings, when asked if there was a strategy he was going to announce in more detail to the group.</p>
<p>(Dear Scott, these are very talented employees who love the company and who have been through the wringer and it&#8217;s not their fault that leadership has failed them, so it might be a good idea to treat them with as much respect as possible right now.)</p>

<p>In an effort to minimize the impact of <a href="http://allthingsd.com/20120305/yahoos-new-ceo-preps-major-restructuring-including-significant-layoffs/">massive layoffs</a> that Yahoo&#8217;s top management has been planning, according to sources close to the situation, one of the latest ideas to save costs and presumably jobs by new CEO Scott Thompson is to sell off much of its advertising technology platform, including Right Media.</p>
<p>And among the possible buyers Thompson has been targeting in recent visits: Google and Microsoft, as well as Silver Lake, the private equity firm that had once been talking to the Silicon Valley Internet giant about making a large investment in the company.</p>
<p>(That <a href="http://allthingsd.com/20120126/yahoo-ceo-meets-with-pe-firms-pipe-might-be-dead-but-what-else-is-there/">particular deal</a> has gone south, but there is always yet another scheme on the horizon at Yahoo!)</p>
<p>The concept behind such a sale, according to several sources inside and outside the company, is to turn a cost center into a revenue source, with Yahoo essentially outsourcing a business that was a cornerstone of its strategy. A negotiable number of employees affiliated with those units would then move over to the new owner.</p>
<p>The most ideal plan, said sources, would be to sell Yahoo&#8217;s whole advertising technology &#8220;stack,&#8221; including the Right Media Exchange, a marketplace for advertisers, publishers and ad networks to trade online ads. Yahoo bought it for $700 million in 2007. </p>
<p>According to info on the company&#8217;s site, it has &#8220;300,000 active global buyers and sellers and more than 11 billion daily transactions.&#8221;</p>
<p><a href="http://allthingsd.com/20120314/to-stanch-layoffs-yahoo-has-been-shopping-its-ad-technology-platforms-to-google-microsoft-and-others/yahoo-apt-logo1/" rel="attachment wp-att-186088"><img src="http://allthingsd.com/files/2012/03/yahoo-apt-logo1.jpg" alt="" title="yahoo-apt-logo1" width="300" height="151" class="alignleft size-full wp-image-186088" /></a></p>
<p>Also part of the possible package is APT, a system Yahoo has built to make buying and selling online advertising easier. In addition, Yahoo&#8217;s technologies for display-ad serving have been mentioned as a possibility for sale.</p>
<p>It&#8217;s unclear what the potential sale means for the new ad strategy that U.S. boss Ross Levinsohn and his lieutenant Jim Heckman have been pursuing since last summer. That plan included its own <a href="http://allthingsd.com/20111101/yahoo-buys-ad-network-interclick-for-270-million/">acquisition of ad network Interclick</a> and an attempt to sync up with rivals AOL and Microsoft in an effort to fend off Google and some third-party players, like ad networks.</p>
<p>But the reason for contemplating much a major move &#8212; which has been considered before, but never has been seriously offered &#8212; are obvious: While Yahoo once dominated this arena, it has steadily lost ground, especially to Google. The search giant has made almost all of its money in search-related ads, but has been moving aggressively via its DoubleClick and other ad-serving entities into higher-level ads.</p>
<p>Microsoft has also been trying to compete, as has AOL, but it&#8217;s getting to be an expensive race, and one where Yahoo would have to make major investments to once again gain momentum. Building up this business again had been the aim of co-founder Jerry Yang, who wanted to go big in the arena in a number of ways before he left the company earlier this year.</p>
<p>But those days seem to be over at Yahoo.</p>
<p>&#8220;A lot of what has happened so far under Scott [Thompson] has been trying to find more revenue anywhere it can be generated, and get out of businesses that are not growing,&#8221; said one person. &#8220;Right now, it&#8217;s a lot about what we shouldn&#8217;t do rather than what we should.&#8221;</p>
<p>That has meant visits to see both Google and Microsoft about possible deals by Thompson, with the involvement of CFO Tim Morse and Chief Product Officer Blake Irving. </p>

<p>Thompson (pictured here) has also recently been talking to Silver Lake about the ad-platform sale, in a deal that might include the Andreessen Horowitz venture fund. This would be a different kind of transaction, said sources, in which a separate company would be formed, with Yahoo owning a piece and contracting with the new entity to provide ad technology.</p>
<p>All this activity is related to the layoffs in the works of perhaps thousands of employees, which were to have been communicated to the company this week. </p>
<p>Sources said those have been delayed for some weeks for several reasons, including whether to consider more deeply if certain larger business units can be spun off, sold or somehow transformed. (To be clear: Major layoffs are still being planned, but now might take place in two parts, said sources, in what is a quickly changing and volatile atmosphere at Yahoo.)</p>
<p>Another area being looked at, said sources, is Yahoo&#8217;s search advertising partnership with Microsoft, which has not been as successful as had been expected. While Yahoo has been working with the software giant about improving the results, Thompson has apparently been contemplating other possibilities, including working with Google (calling all regulators!) and/or laying off up to 900 employees who work on the company&#8217;s search offering.</p>
<p>Any of these moves could, of course, cause a firestorm of controversy, which Thompson appears to not worry much about. He was the driving force in Yahoo&#8217;s <a href="http://allthingsd.com/20120312/breaking-yahoo-sues-facebook-for-patent-infringement/">patent lawsuit against Facebook</a> earlier this week, which is largely attracting a negative reaction across the tech landscape. </p>
<p>A number of prominent voices have spoken out against the legal action, including well-known VC Fred Wilson, who yesterday penned a poisonous blog post, titled &#8220;<a href="http://www.avc.com/a_vc/2012/03/yahoo-crosses-the-line.html">Yahoo Crosses the Line</a>.&#8221; </p>
<p>It ends thusly: &#8220;I am not writing this in defense of Facebook. They can and will defend themselves. I am writing this in outrage at Yahoo! I used to care about that company for some reason. No more. They are dead to me. Dead and gone. I hate them now.&#8221;</p>

<p><em>Double ouch!</em></p>
<p>All I can say is that Thompson certainly has a lot of gumption. That has actually been his M.O. from the start, said several sources, with the former president of eBay&#8217;s PayPal payments unit and dark horse cold-emailing his way into the Yahoo CEO job. </p>
<p>True story: He had not been among its list of possible candidates &#8212; largely because he had been placed in his job at eBay many moons ago by Heidrick &#038; Struggles, which was conducting the Yahoo CEO search, and that&#8217;s a talent acquisition no-no to poach someone you placed. </p>
<p>That did not stop Thompson, who thought he might be good for the job and reached out directly to board members at the end of the selection effort, which then led to the search committee and soon enough to the job in what was a very quick vetting and secretive (although <a href="http://allthingsd.com/20120103/exclusive-yahoo-poised-to-name-ceo-with-ebays-paypal-head-as-top-choice/">not secretive <em>enough</em></a>!) hiring process. </p>
<p>Since then, Thompson has been on a tear, from working on a restructuring to trying to assuage activist shareholder Dan Loeb to helping put the kibosh on its Asian stake sale talks to suing Facebook. And now this sale effort, too. </p>
<p>If the peripatetic Thompson &#8212; who might need a dose of Ritalin before this thing is over &#8212; wanted to get noticed by the tech powers that be: Mission accomplished!</p>
<p>&#8220;He&#8217;s definitely someone who appears to have decided on shooting the moon with a lot of these actions,&#8221; said one person close to the situation, referring to the move in the card game of Hearts, which is a risky gambit to capture every penalty card worth 26 points in order to win. &#8220;I just hope no one loses an eye in the process.&#8221;</p>
<p>(That would be triple ouch, by the way.)</p>

<p>Among U.S. carriers, AT&#038;T Inc. is leading the charge. Its latest scuffle came on Friday, a day after the country&#8217;s second-largest wireless company said its 17 million customers who subscribed to unlimited-data plans will see much slower speeds if they exceed a new monthly usage cap.</p>

<p>But the ground under Irving, as well as several of the Silicon Valley Internet giant&#8217;s top execs, is about to get shakier too, due to a wide range of changes now being plotted by newly installed CEO Scott Thompson.</p>
<p>While still in the early stages of formulation, sources said Thompson has been mulling bringing in a head of global advertising sales or revenue chief, as well as more top product execs, as he moves to initiate a plan to shake up Yahoo and also put his own stamp on the company.</p>
<p>Layoffs and possible wholesale abandonment of certain businesses Yahoo is currently in are likely to be parts of this larger plan.</p>
<p>Confused yet? So am I, but let&#8217;s sort through all the latest activity.</p>
<p>First, there&#8217;s the Yahoo product redo, which has been in the making for a while, well before Thompson arrived last month. </p>
<p>Under the new plan, which is described as &#8220;an evolution rather than blowing up the place,&#8221; Yahoo&#8217;s famously matrixed product unit could be split into three distinct areas: Monetization, which is expected to be headed by longtime exec Mark Morrissey; platform, with cloud dude Jay Rossiter in charge; and consumer-facing products, possibly in the hands of search kingpin Shashi Seth.</p>
<p>The idea behind the latest setup, presumably, is to spur innovation and make it easier for Yahoo to spit out products more quickly. Its recent Livestand tablet app, for example, was late to the game and continues to struggle to gain any real ground, said sources.</p>
<p>Overall, Yahoo still continues to lag behind other Internet rivals in a number of product arenas, for reasons that Thompson is delving into.</p>
<p>The way products are made got a long look-see this past week, in a day-long meeting that Thompson had with Yahoo&#8217;s top team execs. Thompson reportedly quizzed the group on its plans, and pressed it to look less at short-term features and maintenance than on finding the next great thing.</p>
<p>&#8220;I think it&#8217;s fair to say that Scott is wondering why Yahoo did not come up with innovations like Pinterest and Instagram,&#8221; said one person about hot new start-ups that are in the sweet spot of Yahoo&#8217;s business. &#8220;Or, at the very least, why it did not even try to buy them.&#8221;</p>

<p>That&#8217;s why Thompson, with the help of board members, including David Kenny, has been on the hunt for new talent for Yahoo. That includes a search that is on for a new head of marketing, too. </p>
<p>Thompson has been doing the same kind of assessment with Yahoo&#8217;s media and advertising execs, who include Americas head Ross Levinsohn, as well as Asia&#8217;s Rose Tsou, and Rich Riley, who heads its efforts in Europe, Africa and the Middle East.</p>
<p>Sources said he believes that Yahoo might need a head of global sales or a chief of revenue to better organize and align its key advertising business. Ad revenues now make up a bulk of Yahoo&#8217;s business.</p>
<p>As Thompson has said numerous times publicly since he came on board, he is seeking to diversify that revenue, focusing on new businesses and also goosing non-ad ones already performing well. In Asia, for example, Yahoo has a robust online commerce business in comparison to other regions. </p>
<p>&#8220;Yahoo has to slim down and focus in some ways and bulk up in others,&#8221; said another source.</p>
<p>Of course, all of this might be moot, depending on how <a href="http://allthingsd.com/20120209/ready-to-rumble-or-make-nice-activist-shareholder-daniel-loeb-could-strike-sooner-than-yahoo-thinks/">activist shareholder Daniel Loeb</a>, who is prepping his own frontal attack on making changes at Yahoo, decides to move. According to sources, Loeb is assembling his own slate and trying to garner support from other shareholders, in hopes of further improving the value of his more than five percent stake.</p>
<p>What form that will take is unclear, but it&#8217;s not completely friendly at the moment.</p>
<p>In addition, Yahoo execs and its board are trying to wrap up a deal to sell off parts of its Asian assets in Alibaba Group and Yahoo Japan, part of a massive arrangement that could bring many billions of dollars of assets and cash into the core company that is left. </p>
<p>Which could then make Yahoo more able to compete, and give Thompson a war chest to do so &#8212; <em>or</em> make it an even tastier treat for a wide range of outside investors looking for a deal.</p>
<p>Like I said: Confused yet?</p>
<p>A Yahoo spokeswoman declined to comment.</p>

<p>In Internet terms, the <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">removal of Yahoo CEO Carol Bartz</a> happened a dog&#8217;s age ago.</p>
<p>In fact, it was September 6. </p>
<p>Since then, it has felt like a slow slog, especially contrasting the situation with that of another troubled Silicon Valley giant, Hewlett-Packard,<a href="http://allthingsd.com/20110922/exclusive-whitman-expected-to-get-ceo-nod-after-markets-close-and-not-for-the-interim-either/"> which fired its CEO Léo Apotheker and appointed a new one, Meg Whitman</a> on September 22.</p>
<p>Since then, in comparison, the former eBay CEO has been like the Energizer Bunny, making a series of major and often difficult decisions, including: <a href="http://allthingsd.com/20111027/hp-will-keep-pc-division/">Holding onto its PC unit</a>; reaffirming its controversial deal to <a href="http://allthingsd.com/20111206/autonomys-mike-lynch-talks-about-being-hps-speedy-tiger-cub-video/">buy Autonomy</a>; <a href="http://allthingsd.com/20111130/whitman-webos-decision-coming-at-hp-within-two-weeks/">promising a decision</a> on the fate of its webOS unit within the next two weeks; <a href="http://allthingsd.com/20111103/hp-hires-new-evp-from-boeing-names-new-cio/">appointing new execs</a>; and even <a href="http://allthingsd.com/20111206/whoops-hp-just-bought-another-company/">buying a company</a>. </p>
<p>To be fair, Yahoo did acquire <a href="http://allthingsd.com/20111101/yahoo-buys-ad-network-interclick-for-270-million/">advertising start-up Interclick</a>. </p>
<p>Otherwise, still no sale or investment deal. No new CEO. No Asia resolution. And, perhaps most importantly, no clearly articulated strategy going forward. </p>
<p>It&#8217;s not that Yahoo&#8217;s leadership isn&#8217;t working at it. </p>
<p>Some fervently insist to me that there is a &#8220;plan,&#8221; as if there is some clever game of Internet Stratego going on that I cannot possibly grok.</p>
<p><em>Mebbe</em> &#8212; but of this I have no doubt: The Yahoo board has indeed been huffing and puffing away, weighing and measuring, considering and debating. </p>
<p><em>A lot.</em> </p>
<p>Maybe I&#8217;m just too impatient. I am (ask my kids). </p>
<p>Or maybe Yahoo&#8217;s beleaguered employees are, one of whom just wrote me plaintively, &#8220;unreal how they can drag this out,&#8221; in what has become a common refrain up and down the ranks.</p>
<p>Or maybe it&#8217;s the Asian partners, Alibaba Group and SoftBank, who are antsy and have considered a variety of nuclear options in order to get back stakes Yahoo holds in them. Said one: &#8220;The strategy seems to be to frustrate and exhaust us into submission.&#8221;</p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/61c8onc-rol/" rel="attachment wp-att-151430"><img src="http://allthingsd.com/files/2011/12/61C8OnC-RoL.png" alt="" title="61C8OnC-RoL" width="300" height="300" class="alignleft size-full wp-image-151430" /></a></p>
<p>Or, finally, maybe it&#8217;s the newly frustrated recent bidders for a partial stake in Yahoo, Silver Lake and TPG Capital. Declared one to me after I warned that Yahoo might, in fact, drag the proceedings out longer than you might expect: &#8220;I thought you were kidding.&#8221; </p>
<p>Nope, welcome to the Yahoo waiting game, PE guys! </p>
<p>So, to help us all get through it, here&#8217;s a quick update primer on what&#8217;s what on the various fronts:</p>
<p><strong>Who&#8217;s in Charge Here?</strong></p>
<p>Technically, it is the Yahoo board, which is aided by interim CEO Tim Morse.</p>
<p>First, a word about Morse: By all accounts, he is doing a very good job as temporary head honcho &#8212; calming the troubled company, making swift decisions about daily operating issues and being a generally nice dude to deal with.</p>
<p>&#8220;He&#8217;s Yahoo&#8217;s no-drama Obama, in comparison to what was happening before,&#8221; said one exec, in reference to the more volatile regime under Bartz. </p>
<p>Still, despite his <a href="http://allthingsd.com/20110930/only-one-yahoo-fearless-leader-note-this-week-please-ignore-the-un-ignorable-rumors/">very pleasant all-hands meetings</a>, such as one earlier this week, Morse had previously been Yahoo&#8217;s CFO and not an Internet-savvy visionary to give the company inspiration. No insult intended, but he&#8217;s the accountant guy. </p>
<p>To be fair, he is not meant to be the visionary, but many at the company are yearning for exactly that.</p>
<p>A role that is now being taken up again by co-founder, former CEO and director Jerry Yang, who dozens of employees tell me is <a href="http://allthingsd.com/20110908/return-of-the-jerry-co-founder-yang-back-in-yahoo-spotlight-again-amid-all-new-turmoil-and-tensions-too/">unusually involved in operational details</a> these days for a board member. </p>
<p>I get reports of sightings of him all the livelong day: Jerry in demand-side advertising confab! Jerry chitchatting with entrepreneurs from a possible start-up acquisition! Jerry weighing in on a variety of products. Look, over in the cubicle, <em>it&#8217;s Jerry</em>! </p>
<p>This is seen by Yahoo employees as a good thing and also a bad thing, since it&#8217;s hard to be running your little divisional show at Yahoo with the dude who invented it all looking over your shoulder, even if he means well. People naturally defer to Yang, the 800-pound Web icon in the room.</p>
<p>But, given the overwhelming state of stasis at Yahoo now &#8212; &#8220;No one can do anything until we find out how the story ends,&#8221; said one staffer &#8212; and employees eying the exits, no power at Yahoo really matters but the board.</p>
<p><em>You know</em>, the board that has gotten the company to this moment of crisis and profound ennui, which is its own particularly ironic irony. </p>

<p>To better understand the power dynamics on the board, above is a little chart for you to peruse to give you an idea of which independent board member is running what key committee. </p>
<p>The only truly important one is the Transactions and Strategic Planning committee, which is headed by Intuit President and CEO Brad Smith and includes former Akamai President (and former Yahoo CEO candidate) <a href="http://allthingsd.com/20111108/with-no-yahoo-ceo-pledge-david-kenny-back-in-the-strategic-fray/">David Kenny</a>, top HP exec Vyomesh Joshi and other guy Gary Wilson.</p>
<p>And, in completely visible shadow form, Yang. Multiple sources close to the situation said he has been a key force in the strategery around a possible sale or investment. </p>
<p>This has caused not more than a little tension among board members, but everyone seems to like the much described nicest-man-in-the-room, Smith, and hopes his cool head will prevail.</p>
<p>Another important part of the board is the Nominating and Corporate Governance committee run by Patti Hart, who is energetically and simultaneously &#8212; if pointlessly &#8212; in search of a capable new Yahoo CEO.</p>
<p>Or, as I like to call this mythical person: The Unicorn.</p>
<p><strong>The Deal</strong></p>
<p>As I and many others have previously reported, there are <a href="http://allthingsd.com/20111121/nda-worthy-pe-firms-silver-lake-and-tpg-meet-with-top-yahoo-operating-execs/">bids on the table for partial investments</a> in Yahoo by two very powerful private equity firms, Silver Lake and TPG Capital.</p>
<p><a href="http://allthingsd.com/20111207/three-months-after-bartzs-firing-its-hurry-up-and-wait-at-yahoo-a-big-honking-update/original-4/" rel="attachment wp-att-151448"><img src="http://allthingsd.com/files/2011/12/original1.png" alt="" title="original" width="450" height="300" class="alignright size-full wp-image-151448" /></a></p>
<p>It&#8217;s a PE rumble, with a side of Microsoft financial backing! (I think Silver Lake&#8217;s Egon Durban makes a very nice Riff, while Microsoft&#8217;s Steve Ballmer is the perfect Officer Krupke.)</p>
<p>My fervent wishes for some figurative and dance-accompanied knife-play aside, the bids are essentially the same in general and different in particular. Silver Lake is offering about $16.50 a share, while TPG is dangling a tiny bit more. Silver Lake has power entrepreneur and VC Marc Andreessen on its side, while TPG is trying to get Silicon Valley fave investor and start-up whisperer <a href="http://allthingsd.com/20111201/the-golden-geek-vs-the-start-up-whisperer-in-yahoo-savior-faceoff-not-yet-but-delicious-to-imagine/">Reid Hoffman</a> of Greylock Partners and LinkedIn on its team. Both have ideas on CEOs, strategy and what to do about the Asian assets.</p>
<p>This type of deal could happen suddenly and you&#8217;ll hear about it quick, since the losing side will immediately trash it to the media. </p>
<p>As you might expect, each director has their favorite PE firm, with some not liking Andreessen, some thinking the TPG bid is a little light, some for a whole-company deal and some wanting Yahoo to hire its own CEO and run the place itself.</p>
<p>Of course, the last one shows a disturbing level of denial and should be a nonstarter, given the board&#8217;s abysmal record on CEO choice and its riding of Yahoo to this sad point in its storied history. </p>
<p>Here&#8217;s what to expect on the PE front: A lot of wrangling behind the scenes with frequent leaks to the media about what each side wants and will not yield on. </p>
<p>CEO choice or no CEO choice, that is the question!</p>
<p>Also a big factor are Yahoo&#8217;s major shareholders, few of whom like the partial investment deal, which is known as a PIPE (Private Investment in Public Equity), because of the insiderness of it all and because they prefer a whole-company sale at a higher price. </p>
<p>There is also pressure from activist shareholders like <a href="http://allthingsd.com/20111104/yahoos-activist-shareholder-loeb-now-targeting-jerry-yang/">Daniel Loeb</a> of Third Point, who has attacked Yang and others on the board and is ready to pounce with a proxy fight if Yahoo tries to override shareholders too egregiously. And, of course, the inevitable lawsuits over any arrangement that seems to block a whole-company bid.</p>
<p>That said, such a mega-deal seems unlikely, since it is too pricey and despite a lot of noise that Yahoo&#8217;s Asian partners were ready to strike with a takeover in order to get back Yahoo&#8217;s big stakes in their companies.</p>

<p>That&#8217;s kind of like buying a store to get back the cool pair of shoes you sold, but bankers love to scheme up this stuff. While it certainly could happen, it would be a bear of a deal. </p>
<p>Perhaps more like Yogi Bear, hopelessly angling for a tasty pic-a-nik basket &#8212; but <em>grrrr</em> anyway.</p>
<p>But perhaps the biggest factor in all of this mishegas is <a href="http://allthingsd.com/20111123/for-yahoo-and-me-too-time-is-brain/">time</a>. There is none on a lot of levels, most especially the increasing level of brain drain and drift at Yahoo. After the New Year dawns, this is going to spin right out of control and amount to the biggest internal challenge Yahoo faces.</p>
<p><strong>An Asian Solution</strong></p>
<p>As I and others have reported, Yahoo is <a href="http://allthingsd.com/20111202/wielding-a-sword-of-damocles-yahoos-asian-partners-await-answer-on-yet-another-proposal-to-buy-back-shares/">entertaining yet another proposal</a> to sell all or part of its Asian assets back to the companies, which make up a bulk of its market valuation.</p>
<p>The relationship between Yahoo and its Asian partners has long been fraught, and today the difficulty of reaching an agreement remains a vexing issue. That&#8217;s because it is hard and complex and because no one wants to do what the other side wants.</p>
<p>I am no tax attorney, but it seems as if Yahoo will ultimately come to some deal with China&#8217;s Alibaba and Japan&#8217;s SoftBank, which could include big investors like Russia&#8217;s DST Global. </p>
<p>And, as I reported last week, the Asian partners want to strike a deal with the current board rather than lose leverage with a much cannier new owner.</p>
<p>It&#8217;s a tough decision in all aspects to strike, but would remove the focus on the fact that Yahoo&#8217;s most valuable asset is something it is not running and simply holds due to a good stock trade in years past.</p>
<p>Years past should be the operative thought here, since the Asian assets have nothing to do with what Yahoo needs to do with its core U.S. and global brand.</p>
<p>You know, the thing that allowed them to buy those lucrative Asian assets in the first place?</p>
<p><strong>Strategery</strong></p>
<p>And that&#8217;s the crux of all this, isn&#8217;t it? Yahoo needs a new strategy and fast. </p>
<p>Or it needs to clarify and hone its current strategies around advertising and media and define itself once and for all. While it often touts itself as a premier digital media company, it&#8217;s still not clear exactly what Yahoo is saying by that.</p>

<p>In fact, <em>incredibly</em>, sources told me that the board was still wrangling over the tired issue of what Yahoo is at its most recent meeting &#8212; essentially, is it a products company or a media company? </p>
<p>If I had to listen to that who-am-I-anyway debate again, I think I would scream, given how many important Web trends that Yahoo has whiffed in recent years, many of which were right in its own wheelhouse.</p>
<p>How much damage this has caused to Yahoo&#8217;s core business is a critical one to determine, with many feeling the situation is too far gone to revive it and others confident that this is simply an issue of poor execution. </p>
<p>I am in the middle on this one, but all the indicators of Yahoo&#8217;s business have long been heading in the wrong direction, and results in the next quarter are expected to underline this even more.</p>
<p>Thus, the board&#8217;s navel-gazing at this point is untoward, considering that it is presiding over the possibility of a sale that should not have had to happen in the first place. While it is not quite a fire sale, it&#8217;s no cause for celebration at all the attention, either.</p>
<p>In fact, it&#8217;s also pointless, since &#8212; if this all resolves as it should &#8212; the current Yahoo board will not be the one determining the company&#8217;s future any longer. Remember that: This group should and will be gone for the most part.</p>
<p>Yahoo shareholders and employees can hope, at least.</p>
<p>Then, it will be up to the next group of leaders to make the very hard choices &#8212; including what are likely to be massive layoffs and radical surgery on its offerings &#8212; for what&#8217;s to come next.</p>
<p>In the end, that is all that will matter. Until then, as usual, you&#8217;ll have to sit tight.</p>

<p>According to sources close to the situation, Guilherme Ribenboim, VP and managing director of Latin America and U.S. Hispanic markets, has left Yahoo for another job at a start-up.</p>
<p>The 12-year Yahoo veteran, who is located in Brazil, is widely respected at the troubled Silicon Valley Internet giant and leads an area that is growing for it.</p>
<p>[<strong>UPDATE:</strong> A Yahoo spokeswoman confirmed the departure of Ribenboim.]</p>
<p>[<strong>UPDATE NO. 2:</strong> Also leaving: Connie Lee Schiefer, the well-regarded Yahoo veteran of more than eight years. She was VP of product management at Yahoo's cloud platform group.]</p>
<p>Sources said that attrition &#8212; already a big problem at Yahoo &#8212; is about to hit the company hard. While the board and its top leaders try to figure out a strategy &#8212; either a sale or <em>whatev</em> &#8212; in the wake of the firing of CEO Carol Bartz, Yahoo has yet to put in place a new plan to hold onto talent.</p>
<p>&#8220;The people walking out the door is about to become a flood, unless management acts,&#8221; said one employee in a common sentiment among people I have interviewed at Yahoo.</p>

<p>At a prequel for the many VPs of Yahoo to the all-hands meeting for all 13,500 employees of the Silicon Valley Internet giant that is taking place at 11 am, Yahoo co-founder, director and former CEO Jerry Yang told the group the company was &#8220;not for sale.&#8221;</p>
<p>Even though, of course, it was hiring advisory firms, <a href="http://allthingsd.com/20110906/bring-in-the-suits-yahoo-hiring-strategic-advisers-to-plot-next-moves/">such as Allen &#038; Co.</a>, to explore strategic options. Many justifiably feel &#8220;for sale&#8221; is just what Yahoo is.</p>
<p>Instead, Yang reassured the troops that it was business as usual at the company, in spite of the <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">abrupt firing of its current CEO Carol Bartz</a> yesterday.</p>
<p>One attendee emailed me: &#8220;<em>Really?</em>&#8220;</p>
<p>Yang told the group that the aim was to grow revenue and profit, but did not put forth a specific plan as yet. He also said the search was on for a new CEO.</p>
<p>Meanwhile, interim CEO Tim Morse spoke only at the end of the meeting, for the last 10 minutes.</p>
<p>Morse continued to be Yang&#8217;s sidekick at the all-hands meeting later, in which they reiterated their no-sale motto.</p>
<p>Still, the troops were restless and the event included a lot of pointed questions from employees about the ouster of Bartz and how that was going to get the company growing again.</p>
<p>One employee asked the board to give Bartz&#8217;s $10 million severance package to charity, to much applause.</p>
<p>Another query was about the shift on Bartz by Yahoo&#8217;s Chairman Roy Bostock, who <a href="http://allthingsd.com/20110623/yahoo-board-backs-bartz/">praised her performance </a>earlier this summer at the annual meeting.</p>
<p>How, asked the employee, did Yahoo go from full support of Bartz to fired? The basic answer from Yang: Things change!</p>
<p>Another employee asked about the <a href="http://allthingsd.com/20110906/google-goes-big-with-its-hulu-bid/">bid to buy the Hulu</a> premium video service. Americas head Ross Levinsohn&#8217;s answer: Yahoo did not need it to win.</p>
<p>Both Levinsohn and product head Blake Irving stressed how big Yahoo still is, although Yahoo&#8217;s kind of big today might not mean better.</p>
<p>Employees &#8212; I love them for channelling exactly what I would have asked &#8212; pressed Morse on when the <em>strategery</em> would be done this time. A few months, he said.</p>
<p>But perhaps the toughest query was about how did the board fire the CEO without first having a plan in place, which the questioning employee noted had further worsened trust issues with Yahoo leadership.</p>
<p>It got the biggest applause. </p>
<p>Trust us, said Yang.</p>
<p>That&#8217;s a big ask for beleaguered Yahoo staffers these days.</p>
<p>Meanwhile, Yahoo filed a new-less 8-K regulatory filing today about the Bartz firing. </p>
<p>In it, Yahoo wrote: &#8220;No new compensatory or severance arrangements were entered into in connection with these leadership changes. Ms. Bartz will receive severance benefits<br />
for termination without cause as provided in her employment and equity award agreements.&#8221;</p>

<p>One area of medical care that has gotten little attention online has been &#8212; <em>wait for it</em> &#8212; dental care.</p>
<p>But before you click away from this story to avoid thoughts of root canals, it&#8217;s the well-funded premise behind the latest start-up from longtime online exec Jake Winebaum.</p>
<p>The former Disney digital exec who parlayed Business.com into a $350 million sale several years ago is now at work on Brighter, a dentist discounting service.</p>
<p>Winebaum, noting about half of Americans pay for more than $100 billion in dental costs annually out of their own pockets, said Brighter is aimed at getting consumers a price break for mostly routine work, such as cleanings, crowns and fillings, by negotiating discounts from 25,000 dentists.</p>
<p>These 20 to 30 percent discounts are supplemented by reviews from Yelp and you can also buy the $79 annual plan that gives you even more benefits.</p>
<p>There are a few phone-based services that do this, but this &#8220;Groupon for Teeth&#8221; is yet another niche in the online buying arena.</p>
<p>Here&#8217;s Winebaum &#8212; who has gotten $5 million for Brighter from Mayfield &#8212; talking about it all:</p>

<p>That&#8217;s the theory put forth today by Bernstein analyst Toni Sacconaghi, who believes Apple&#8217;s market-share aspirations for the iPhone are a lot like those for its iPod business. Sacconaghi sees an iPhone Nano or Mini as an inevitability, one that would dramatically expand Apple’s addressable market.</p>
<p>&#8220;We are surprised that Apple hasn&#8217;t moved sooner to introduce a lower priced offering that could help secure a more dominant installed base,&#8221; Sacconaghi said in a note to clients today. &#8220;After all, the smartphone world is a platform war, where first mover advantage and scale matters. The dual facts that (1) iPhone has not been available at several very important global carriers and that (2) it carries a very high price point have contributed to creating an opportunity for Android that has been successfully exploited. Particularly with Android now outselling iOS, the imperative for Apple to expand its installed base has never been higher.&#8221;</p>
<p>A scaled-down version of the iPhone with a cheaper data plan&#8211;or one that required no data plan at all&#8211;is one very obvious way of doing that. Roll out a device like that with a street price that falls somewhere between $149 and $199, says Sacconaghi, bring it those carriers that don&#8217;t yet offer the iPhone, and mass-market adoption will follow. Serious mass-market adoption.</p>
<p>&#8220;It is difficult to estimate the size of a market for a product that we don&#8217;t yet know the form-factor or timing for. But as a rough guide, we estimate that at an end-user price of $150-$200 and no data plan contract, Apple could address potentially all of the remaining smartphone segment, the non-smartphone postpaid segment, and about 15 percent of the non-smartphone prepaid segment. This would amount to an incremental 700M+ units and $90 billion in revenue in terms of market opportunity; even if Apple succeeded in capturing just 5 percent of these incremental units, it would add $12+ billion in revenues and $4.50+ in EPS.&#8221;</p>

June 30, according to a memo sent to publishers earlier this year.  &#8220;For existing apps already in the App Store, we are providing a grace period to bring your app into compliance with this guideline,&#8221; it reads. &#8220;To ensure your app remains on the App Store, please submit an update that uses the In App Purchase API for purchasing content, by June 30, 2011.&#8221;</p>
<p>That leaves legacy apps like Hulu Plus, Netflix, Amazon, Rhapsody and others a little over four months to implement an in-app purchasing mechanism&#8211;assuming they can come to terms with the thought of handing Apple a 30 percent cut on subscriptions.</p>
<p>Reached for comment, Hulu declined to give one. Netflix and the others haven&#8217;t yet responded to our requests.</p>

			<content:encoded><![CDATA[<p><img src="http://newenterprise.allthingsd.com/files/2011/02/51LNAObshFL._SL500_AA300_-275x275.jpg" alt="" title="51LNAObshFL._SL500_AA300_" width="275" height="275" class="alignright size-medium wp-image-3243" />Last week President Obama <a href="http://newenterprise.allthingsd.com/20110210/obamas-wireless-broadband-plan-98-percent-or-bust/">outlined a plan</a> to auction off a big swath of wireless spectrum currently in the hands of TV broadcasters for over-the-air programming that could be repurposed toward creating a national wireless broadband network. The president said the auctions would raise about $28 billion, which would be enough to cover the costs of the $19 billion network he&#8217;d like to build, with the remainder going toward deficit reduction.</p>
<p>Today the the CTIA, the wireless industry trade organization, got behind the president&#8217;s plan in a big way, and suggested that the proposed spectrum auctions could bring in billions of dollars more than the president said. Using data from 13 prior spectrum auctions as a model, the organization today released the findings of a study conducted in partnership with the Consumer Electronics Association saying that an auction of 120 MHz worth of spectrum could produce revenue in the range of $36 billion to $48 billion.</p>
<p>The study also found that only in the top 30 markets in the continental United States will TV stations actually have to exit certain spectrum ranges to clear up sufficient spectrum for wireless broadband. In most cases, TV broadcasters will probably be satisfied with incentive auctions that give them some portion of the proceeds raised from the auctions. In a few cases it will be trickier, and the study suggests a few options like channel-sharing and repacking. Broadcasters outside the top 30 markets should not have to give up any spectrum, the study says.</p>
<p>The point of the study, CTIA president Steve Largent told me, is to help nudge Congress toward passing a law that will allow the Federal Communications Commission to hold incentive auctions that can help spur TV broadcasters who currently have the licenses for the spectrum. So far, broadcasters have signaled that they&#8217;re not yet entirely willing to go along with this plan. &#8220;We think this can be relatively painless for the broadcasters, but it&#8217;s still going to take a lot of work at Congress and at the FCC to get it done,&#8221; Largent said.</p>
<p>That the wireless industry would be getting behind Obama&#8217;s plan is no surprise given their exploding spectrum needs for data services, so there is a bit of a grain-of-salt element to the study&#8217;s findings. However it&#8217;s also a solid signal that the wireless carriers are willing to bring serious cash to bear for spectrum, which is, generally speaking, good news for all concerned.</p>
<p>Broadcasters are understandably taking a cautious line. In a statement issued last week in response to Obama&#8217;s speech in Michigan, Dennis Wharton, executive vice president of the National Association of Broadcasters said, &#8220;Let&#8217;s not forget that broadcasters returned more than a quarter of TV station spectrum to the government less than two years ago, and that much of that spectrum has not yet been deployed. NAB is not against the President&#8217;s plan. We will work to ensure that incentive auctions remain truly voluntary, and that broadcasters who don&#8217;t volunteer to return spectrum&#8211;and the millions of viewers that we serve&#8211;are held harmless.&#8221;</p>

Truly suit your needs? Because if it doesn&#8217;t, you&#8217;re potentially wasting hundreds of dollars.  According to a yearlong BillShrink survey of more than 230,000  wireless users, people waste an average of $336 annually by miscalculating their voice and data needs. And in doing so, they unnecessarily hand an estimated $79 million to their carriers.</p>
<p>A few key findings from<a href="http://www.billshrink.com/blog/10973/cell-phone-plans-comparison-2/"> the survey</a>:</p>
<ul>
<li> People estimate they need 711 wireless anytime minutes per month, but in truth they need quite a bit less. BillShrink found 651 minutes to be the average.</li>
<li> The average person uses 1,555 text messages per month, yet most consumers believe they use 2,566. (1,555 per-month is the <em>average</em>!?!)</li>
<li> People assume they need 54MB of data per month, yet most need 81MB. Ironically, most tiered carrier plans start at 150MB.</li>
</ul>
<p>What&#8217;s driving these disparities? Consumers&#8217; skewed perception of their wireless needs, obviously. But the carriers are to blame too. Their tiered pricing plans might offer more choice, but they also make it tougher to assess our voice, text and data needs, and make it quite a bit easier to overpay for them.<br />

			<content:encoded><![CDATA[<p>Although it doesn&#8217;t go on sale for another couple of weeks, potential customers for the Verizon iPhone now have nearly all the details they need to decide if the phone is right for them.<br />
That wasn&#8217;t the case when Verizon introduced the phone in New York a fortnight ago.<br />

The company <a href="http://mobilized.allthingsd.com/20110111/verizon-iphone-the-basics/">said how much the device would cost</a> ($199 or $299, depending on capacity, with a new two-year contract), but was cagey about other details, such as monthly service costs.</p>
<p>We now know, though, that <a href="http://mobilized.allthingsd.com/20110125/verizon-earnings-fall-short-as-company-confirms-30-unlimited-data-plan-for-iphone/">the company will offer a $30 unlimited data plan for the iPhone</a>, similar to that offered for other 3G smartphones, although it still plans to move away from unlimited plans, so there is no telling how long the plan will last. Verizon also said it will charge the same price for the hotspot feature ($20 for 2GB) that it charges for most other smartphones that can act as a wireless hotspot. The hotspot feature is the main distinguishing characteristic of the Verizon iPhone, which in most other respects resembles its AT&#038;T sibling. Even more details on service plan pricing were <a href="http://www.macrumors.com/2011/01/26/verizon-iphone-listings-go-live-on-apples-site/">briefly available on Apple&#8217;s site</a>, for those that want to check out voice plans and text messaging rates.</p>
<p>Verizon has also <a href="http://support.vzw.com/faqs/iphone/iphone_faq.html">outlined its policies</a>, including who is eligible for an upgrade and what its exchange policy will be for recently purchased devices. </p>
<p>There are still a few unknowns, such as the voice quality of the phone and how Verizon&#8217;s well-regarded network will hold up amid the crush of new iPhones hitting the network. And it likely will be a crush. Some analysts have predicted the company could sell 11 million iPhones out of the gate, something that the company on Tuesday&#8217;s earnings conference call <a href="http://www.businessinsider.com/verizon-11-million-iphones-2011-1">said was a reasonable forecast</a>.</p>

<p><a href="http://www.engadget.com/2011/01/24/verizon-tweaking-low-end-data-plans-using-3g-distinction-to-u/">A data-service pricing document leaked to Engadget</a> suggests Verizon has scrapped its $15-for-150MB plan, leaving a mandatory $30-per-month unlimited data plan as the sole option for &#8220;feature phones and 3G smartphones&#8221; like the iPhone. Note the specificity of that designation&#8211;it excludes upcoming LTE handsets, which will presumably debut with higher, tiered data-pricing plans.</p>
<p>Meanwhile, rival AT&#038;T continues to offer the iPhone with <a href="http://www.att.com/shop/wireless/plans/data-plans.jsp">two capped data plans</a>&#8211;200MB for $15 a month, and 2GB for $25.</p>

			<content:encoded><![CDATA[<p><img src="http://newenterprise.allthingsd.com/files/2010/12/markhurd1.jpg" alt="" title="markhurd1" width="200" height="155" class="alignright size-full wp-image-964" />Hewlett-Packard&#8217;s proposed plan to revist the circumstances that led to the departure of former CEO Mark Hurd can proceed, a federal judge in San Jose, Calif., ruled today.</p>
<p>It&#8217;s the latest development in a shareholder lawsuit against HP in which the plaintiffs have alleged that HP&#8217;s board of directors let Hurd walk out the door with too much money when he resigned following accusations of sexual harassment by a onetime contractor. They&#8217;re seeking an order that would require Hurd to disgorge the payments he received as his severance deal.</p>
<p>The judge, James Ware, ignored Hurd&#8217;s argument that he deserves to see documents relating to the matter that so far HP has refused to share, though the ruling doesn&#8217;t address whether he&#8217;ll ultimately get to see them or not. Hurd had objected to a new investigation, saying he would agree to it only if he were to get copies of the initial demand letter from shareholders that led to the lawsuit, as well as related documents that are under seal in a <a href="http://newenterprise.allthingsd.com/20101228/mark-hurd-really-wants-to-keep-the-jodie-fisher-letter-private/">separate shareholder case</a> on the same issue that&#8217;s before the Delaware Court of Chancery. Ware scheduled a hearing on March 20 to hear an update on the investigation.</p>
<p>Hurd resigned from HP in August after accusations about sexual harassment arose from Jodie Fisher, a onetime actress and former HP contractor. He was found not to have violated HP&#8217;s sexual harassment policy, but was found to have violated HP&#8217;s expense-reporting policy. After leaving HP, he went on to become <a href="http://digitaldaily.allthingsd.com/20100906/mark-hurd-named-co-president-of-oracle/">co-president of Oracle</a>, after Oracle CEO Larry Ellison <a href="http://kara.allthingsd.com/20100809/he-said-she-said-and-could-this-get-any-better-larry-ellison-said/">criticized HP&#8217;s board of directors</a> for its handling of the incident.</p>

			<content:encoded><![CDATA[<p><img src="http://digitaldaily.allthingsd.com/files/2011/01/whatATTworry.jpg" alt="" title="whatATTworry" width="380" height="372" class="aligncenter size-full wp-image-55508" />Another question to ponder on the eve of the iPhone&#8217;s debut on Verizon: Now that its archrival has the device on which it once had an exclusive, a device that has done <a href="http://digitaldaily.allthingsd.com/20090723/att-thank-god-for-vitamin-i/">so much for its bottom line</a>, how will AT&#038;T respond?</p>
<p>Or, rather, how has it been responding? Because it&#8217;s clear the company has been preparing for this moment for some time. Last year, it accelerated upgrade eligibility for iPhone customers, making it easier for them to get the iPhone 4 when Apple released it. And it locked them all into two-year contracts in the process. And then, last week, it drastically reduced the price of the iPhone 3GS, halving it to $49 from $99.</p>
<p>Presumably, AT&#038;T could follow this with additional pricing promotions that could further limit iPhone subscriber defections to Verizon, though at this point one could argue that it&#8217;s as well prepared for its loss of iPhone exclusivity as it will ever be.</p>
<p>Why? Two big  reasons:</p>
<ol>
<li>According to Piper Jaffray analyst Christopher Larsen, nearly 80 percent of AT&#038;T iPhone users are currently on family or corporate plans, which makes switching to a new carrier a difficult proposition.</li>
<li>Approximately 75 percent of them still have at least a year left on their contracts.</li>
</ol>
<p>And there&#8217;s a third wild-card reason as well: How Verizon&#8217;s network fares after a big influx of data-heavy iPhone subscribers. That&#8217;s tough to predict, but two analysts I&#8217;ve spoken with said they expect Verizon to suffer some network growing pains, though not as <a href="http://digitaldaily.allthingsd.com/20091118/time-to-cut-att-some-slack-iphone-users/">bad as the ones suffered by AT&#038;T</a>. Ultimately, Verizon is starting off with a better network, and  CDMA is said to be a more spectrally efficient standard than UMTS.</p>
<p>So will there be some AT&#038;T subscribers who switch to Verizon when it begins selling the iPhone? Certainly. But they may not be nearly as large in number as you might think.</p>
<p>&#8220;AT&#038;T has done everything it can,&#8221; Needham and Co. analyst Charlie Wolf told me this morning.  &#8220;The company locked in a lot of iPhone owners by waiving early termination fees last summer. It&#8217;s moved aggressively to add a bunch of BlackBerrys and Android phones. And it should be remembered that AT&#038;T will continue to sell the iPhone. So I doubt that the loss of subscribers to Verizon will be that large.  But it could be material as it pertains to the  bragging rights between AT&#038;T and Verizon. &#8220;</p>

And when it does, it will halt once and for all the near-pathological Verizon iPhone speculation that preceded it.</p>
<p>But only because those who speculated about the existence of a Verizon iPhone have been struck by a new monomania: Speculating about first-year Verizon iPhone sales numbers.</p>
<p> Indeed, the sales estimates are already rolling out, with the consensus so far hovering between nine million and 12 milion.</p>
<p>&#8220;Some think 10 million is possible in the calendar year,&#8221; Wedge Partners analyst Brian Blair told me. &#8220;And I think it&#8217;s a reasonable assumption&#8211;not just because of what we&#8217;ve seen on AT&#038;T but because you have three years of pent-up demand from users who are loyal to the Verizon network because of its coverage and reliability.&#8221;</p>
<p>Gleacher &#038; Co. analyst Brian Marshall agrees, though he&#8217;s betting on sales hitting the top end of the range I mentioned.</p>
<p>&#8220;The iPhone on Verizon will sell 12 million units in calendar 2011 assuming there&#8217;s a ramp-up similar to the one AT&#038;T experienced in 2007-2008 (i.e., 5 percent penetration of the postpaid subscriber base within five quarters of launch),&#8221; he told me, adding that AT&#038;T will see a material decline in its iPhone sales as a result.</p>
<p>Taking a more conservative view of the iPhone&#8217;s prospects on Verizon is Piper Jaffray analyst Gene Munster, who expects Verizon to activate roughly 25 million smartphones in calendar 2011, of which nine million will be iPhones.</p>
<p>Barclays Capital analyst James Ratcliffe too is betting on that nine-million figure, and of those he expects approximately 500,000 to one million to be purchased by AT&#038;T switchers. Said Ratcliffe, &#8220;We don’t believe that the addition of a Verizon iPhone will be a seismic event in the wireless competitive environment, although we do expect it to result in a modest spike in AT&#038;T churn, as customers who love their iPhones but have become unhappy with AT&#038;T’s network take advantage of the alternative.&#8221;</p>

<p>Here&#8217;s one way: By offering it with a wireless service plan free of the data caps used by AT&#038;T.</p>
<p>Sources close to Verizon tell me the carrier will offer the iPhone with an unlimited data plan (presumably the same $30 unlimited plan it offers for other smartphones)&#8211;though they wouldn&#8217;t say for how long. That should distinguish it a bit more from the iPhone on AT&#038;T, which requires a capped plan for data service.</p>
<p>Not that such differences worry AT&#038;T any. &#8220;We think customers will prefer AT&#038;T&#8217;s faster speeds and better functionality over a CDMA network device,&#8221; a spokesperson told me. And he has a point. AT&#038;T&#8217;s UMTS network allows the use of data and voice simultaneously. Verizon&#8217;s CMDA network doesn&#8217;t&#8211;at least not yet. So, initially, Verizon iPhone users won&#8217;t be able to use the Web or check email while on a call&#8211;something AT&#038;T iPhone users have long been able to do.</p>
<p><strong>All Things D</strong> <a href="http://digitaldaily.allthingsd.com/20110107/the-verizon-iphone-cometh-verizon-announces-jan-11-event/">reported Friday</a> that the special event Verizon is holding in New York Tuesday will be the carrier&#8217;s long-rumored iPhone announcement.</p>

What if there were a subscription service that let you listen to any music you wanted, whenever you wanted?</p>
<p>Oh. That&#8217;s right. There are plenty of those already (Rhapsody, Napster, MOG, Rdio, Thumbplay, Spotify, etc.), though none of them have ever really broken through in a mainstream way.</p>
<p>Still, here&#8217;s one more: &#8220;Music Unlimited&#8221; from Sony, which launches in the U.K. and Ireland today, and is supposed to go worldwide next year.</p>
<p>In short, it appears to be like every other subscription service on the market, only much more limited.</p>
<p>That&#8217;s because while Sony gives customers access to some six million songs, via cloud-based streaming, it doesn&#8217;t allow them to take their music with them, on their phones.</p>
<p>That&#8217;s supposed to change eventually, but even when it does, Sony isn&#8217;t promising you&#8217;ll be able to listen to your tunes on an iPhone. A press release simply says the service &#8220;will also become available on a wide range of Sony&#8217;s portable devices, as well as on [Google's] Android-based mobile devices.&#8221;</p>
<p>And to be clear, it&#8217;s not as if Sony is giving this stuff away: It wants the same 10 pounds a month for its &#8221;Premium&#8221; plan that Spotify charges its U.K. customers. And again, to beat this into the ground: Spotify lets you listen to whatever you want on your phone&#8211;that&#8217;s pretty much the whole point of these things.</p>

Personally, I think you&#8217;re better off looking at pictures of <a href="http://www.pocketcalculatorshow.com/walkman/sony/">vintage Walkmans</a>.</p>

<p>Since then, Sprint has stemmed the losses, mostly by beefing up its customer service and by investing in the prepaid sector to attract a wider audience during the economic downturn. Going forward, Sprint looks to its 4G strategy for growth through its ownership stake in WiMax-provider Clearwire. Next up, Hesse joins Walt Mossberg onstage.</p>
<p><strong>3:45 pm</strong>: Walt welcomes Dan Hesse to the stage. You can&#8217;t have mobile without networks, says Walt. You&#8217;ve led the way on 4G; tell us about it.</p>
<p><strong>3:46 pm</strong>: Dan: We are getting San Francisco up soon, and will have 120 million POPs by the end of the year, or about a third of the country.</p>
<p>He explains what 4G is: 3G for was email and Web pages, but 4G is for multimedia and video.</p>
<p>The best analogy is that 4G is the wide open freeway vs. an interstate that provides the same speeds, but you have to stop along the way.</p>
<p><strong>3:48 pm</strong>: Walt: Why are you using WiMax when the two other carriers are using LTE?</p>
<p>Hesse: Back in 2008, we wanted to be first, and WiMax was available right now. (Lots to do with TDD, and other technical mumbo jumbo). Technically, there&#8217;s no difference. I can&#8217;t deny that LTE will be a bigger ecosystem, but we couldn&#8217;t wait. We thought the market was ready.</p>
<p>With the success of the iPhone, we thought it was ready now.</p>
<p>Walt: How much leadership did it give you?</p>
<p>Hesse: Well, it made Verizon move a lot faster&#8230;.In 2010, we&#8217;ll have 120 million POPs, and the EVO and Epic (two 4G phones) have been really successful.</p>
<p>Walt: How successful?</p>
<p>Hesse: If you were to go to Clearwire&#8217;s wholesale numbers, you should think of Sprint&#8217;s lion&#8217;s share of the wholesale numbers.</p>
<p>Walt: Was it worth the investment?</p>
<p>Hesse: I think so.</p>
<p><strong>3:53 pm</strong>: Hesse: 4G is one element of many.</p>
<p>Walt: You like Consumer Reports, unlike the guy here earlier [AT&#038;T's Glenn Lurie].</p>
<p>Hesse: Sprint is the fastest growing brand of postpaid in the U.S.&#8211;not the Nextel brand, where we&#8217;ve been losing subscribers.</p>
<p><strong>3:55 pm</strong>: Walt: Are you going to get the iPhone?</p>
<p>Hesse: Can&#8217;t say.</p>
<p>Walt: Would you like the iPhone?</p>
<p>Hesse: Under the right conditions, yes, I would. It&#8217;s a wonderful phone.</p>

<p><strong>3:56 pm</strong>: Backing up a bit, Walt now asks about an industry trend toward tiered pricing for data plans, where the more you use, the more you pay.</p>
<p>Sprint hasn&#8217;t yet limited users&#8217; traffic.</p>
<p>Hesse: Customers will pay a premium for simplicity. Even if it&#8217;s not in their best economic interest, they will go with the unlimited plan. We were the first to come out with truly unlimited text, voice and data with the Simply Everything plan.</p>
<p><strong>3:59 pm</strong>: Walt: Are you not going to do tiered pricing?</p>
<p>Hesse: So far, we aren&#8217;t, he says, which gets a round of applause from the audience. But Sprint did up the cost of the unlimited plans of the most capable devices on the network.</p>
<p><strong>4:00 pm</strong>: Walt: Unlimited means unlimited or doesn&#8217;t it?</p>
<p>Hesse: No, it doesn&#8217;t. What if they have the SlingBox streaming 24&#215;7?</p>
<p><strong>4:01 pm</strong>: Hesse: The trend is toward one plan for all of your devices, like tablets, phones, PCs, etc.</p>
<p>Walt: Are you going to offer plans for all those devices?</p>
<p>Hesse: We are thinking about it. That&#8217;s the next step to simplicity. Three years ago, it was about one device.</p>
<p><strong>4:02 pm</strong>: Walt: People aren&#8217;t counting minutes, now they are counting megabytes and things people don&#8217;t understand.</p>
<p>Hesse: Something has to give; what&#8217;s going to be the form? Do you have meters, do you have tiers, do you increase the price of the unlimited plans?</p>
<p>Another option is to have a lot more spectrum available to add capacity at a lower cost.</p>
<p>Walt: Are you talking about taking away the spectrum that the elderly use to watch their TV?</p>
<p>Hesse: If more spectrum is available, you can use more frequencies, which is a lot less expensive than splitting cell sites and putting in more towers.</p>

<p>Walt: There&#8217;s some confusion about Clearwire. They are opening stores and selling laptops and modems. You own most of that company, and they are building your WiMax network. Why are they competing with you?</p>
<p>Hesse: I have a wholesale business that resells minutes to Leap, so it&#8217;s the same thing.</p>
<p><strong>4:06 pm</strong>: Walt&#8217;s giving Hesse grief about the structure of the Clearwire deal. Despite Sprint owning roughly 54 percent of the company, Sprint doesn&#8217;t control the board.</p>
<p>Walt: Who did that deal?</p>
<p>Hesse: Two thumbs pointing at himself [me]. When you have this many owners of the company, we can&#8217;t agree.</p>
<p><strong>4:08 pm</strong>: Walt: What&#8217;s the value of 4G?</p>
<p>Hesse: The experience is really fast, and we offer unlimited plans on 4G. There&#8217;s a five-gigabyte cap on 3G, but 4G is completely unlimited.</p>
<p>Walt&#8217;s curious if 4G is really life-changing and transformative. Sprint&#8217;s beating the other guys by 2x, not 10x or 20x.</p>
<p>Hesse: My son showed me his speed test on his EVO at home, and it was over 8 mbps, so it depends.</p>

<p><strong>4:11 pm</strong>: Questions from the audience. The Seattle Times&#8217; Brier Dudley asks about the potential deal between Clearwire and T-Mobile, which may be falling apart because of Clearwire&#8217;s recent $1 billion in debt that it has raised.</p>
<p>Hesse deflects the question despite several reports to the contrary, by saying he didn&#8217;t know anything about that.</p>
<p>Another audience question: What&#8217;s your stance on network neutrality?</p>
<p>Hesse: The FCC has come out with a proposal, and we are very supportive of it.</p>

Love Web video? Netflix should have something for you shortly: At the Web 2.0 conference yesterday, CEO Reed Hastings said a streaming-only option for U.S. subscribers should be available &#8220;<a href="http://www.pcmag.com/article2/0,2817,2372920,00.asp">shortly</a>.&#8221;</p>
<p>It&#8217;s the third time this fall the company has <a href="http://mediamemo.allthingsd.com/20101020/netflix-earnings-revenue-in-line-and-an-eps-beat/">talked up a Web-only service</a>. And <a href="http://mediamemo.allthingsd.com/20100923/netflix-may-let-you-drop-the-disc-for-the-web/?mod=ATD_rss&amp;mod=ATD_sphere">each time it does so</a> it excites some of you who&#8230; really like the idea of not using DVDs.</p>
<p>The rest of you? You may be underwhelmed.</p>
<p>The big caveat here is we don&#8217;t know what Netflix plans to offer. But my hunch is the company won&#8217;t be able to offer a streaming-only option at a significant discount to its most popular $8.99-a-month plan, which also lets you stream unlimited video&#8211;<em>and</em> allows you to check out any DVD you want.</p>
<p>Note that:</p>
<ul>
<li>The <a href="http://mediamemo.allthingsd.com/20100719/netflix-goes-abroad-but-not-too-far-streaming-service-coming-to-canada/">streaming-only service the company launched in Canada</a> this year costs $7.99 a month.</li>
<li>Netflix has been testing the same service, at the same price, in the U.S. this fall.</li>
<li>Even though the Netflix streaming-only option only offers about 20 percent of the catalog available on its traditional DVD rental service, the company is paying big money for that catalog. Netflix has already racked up a $1.2 billion digital content bill, <a href="http://mediamemo.allthingsd.com/20101027/those-bits-arent-free-netflix-could-be-racking-up-a-2-billion-content-tab/">which could grow to $2 billion</a> next year.</li>
</ul>
<p>Netflix has also been testing out a price <em>increase</em> for its $8.99  streaming + disc plan, to <a href="http://www.engadget.com/2010/10/23/netflix-testing-7-99-and-8-99-streaming-only-plans-in-us-right/">$9.99 a month</a>. Perhaps that&#8217;s to make the $7.99 option appear that much more attractive ($7.99 also happens to be the new price for Netflix competitor <a href="http://mediamemo.allthingsd.com/20101117/hulu-plus-cuts-its-price-after-all-by-2/">Hulu Plus</a>).</p>
<p>And perhaps $7.99 will be just fine for people who don&#8217;t want to deal with discs and envelopes and mailboxes, and want instant video whenever they want it. Even if they can&#8217;t get everything they want.</p>
<p>In any case, this could all be moot. While I haven&#8217;t seen any reports of a streaming-only option priced below $7.99, Netflix has said it has run &#8220;many&#8221; tests. So perhaps it has a trick up its sleeve.</p>
<p>For giggles, I asked Netflix PR guy Steve Swasey what he could tell me. His response: &#8220;Stay tuned!&#8221;</p>
<p>Fair enough. I assume that &#8220;shortly&#8221; means &#8220;in time for the Christmas shopping season, when people start buying shiny new TVs and gadgets that work well with Netflix streaming.&#8221; And that kicks off on Black Friday&#8211;just eight days away.</p>

<p>Sprint will sell the device for $399.99 in exchange for a two-year commitment to a data service plan. Sprint will begin selling the Galaxy Tab on Nov. 14, three days after Verizon Wireless.</p>
<p>Verizon Wireless said last week it would sell the device for $599.99, but offered a prepaid data plan without the requirement for a contract.</p>
<p>For any mobile product, getting the proper marketing and subsidy support from a carrier is crucial to a successful launch. A subsidized device can dull much of the sticker shock that comes from seeing the actual retail prices. Carriers are willing to offer a discount because they can lock customers into multi-year service agreements.</p>
<p>Verizon Wireless&#8217;s decision to sell the product without a subsidy had some industry analysts speculating that it wouldn&#8217;t fare well against the iPad, which the carrier also plans to sell for as little as $629.99.</p>
