<p>While former Yahoo CEO Scott Thompson fades from the tech scene &#8212; besides <a href="http://allthingsd.com/20120513/exclusive-yahoos-thompson-out-levinsohn-in-board-settlement-with-loeb-nears-completion/">getting jacked</a> from the top job at the Silicon Valley Internet giant, he&#8217;s also just come off two tech boards he had served on &#8212; the investigation over his hiring and how a fake computer science degree got into the company&#8217;s regulatory filings continues.</p>
<p>While the quick-fire controversy burned Thompson, as well as <a href="http://allthingsd.com/20120508/exclusive-yahoo-director-in-charge-of-botched-ceo-vetting-to-step-down-from-board/">now former Yahoo director Patti Hart</a>, the special committee of independent board members is still at work trying to figure out how such a mess was made in the first place.</p>
<p>And, more importantly, who knew what when and told whom.</p>
<p>At the time the <a href="http://allthingsd.com/20120503/yahoos-board-will-review-resume-discrepancy-of-ceo/">committee was announced</a>, Yahoo said it would &#8220;conduct a thorough review of CEO Scott Thompson&#8217;s academic credentials, as well as the facts and circumstances related to the review and disclosure of those credentials in connection with Thompson&#8217;s appointment as CEO.&#8221;</p>
<p>The special committee is chaired by Yahoo&#8217;s new Chairman Fred Amoroso and includes John Hayes and Thomas McInerney, two independent directors who joined the board in April.</p>
<p>Yahoo also hired independent counsel Terry Bird of the law firm Bird, Marella, Boxer, Wolpert, Nessim, Drooks and Licenberg in Los Angeles to handle the inquiry. </p>
<p>The company also noted at the time that &#8220;the special committee and the entire Board appreciate the urgency of the situation and the special committee will therefore conduct the review in an independent, thorough and expeditious manner. The Board intends to make the appropriate disclosures to shareholders promptly upon completion of the review.&#8221;</p>
<p>Gripped by urgency myself, I have grown weary waiting by the phone for some official answers, which sources said will not be forthcoming for some time. </p>
<p>But since I am the most curious of cats &#8212; <em>uh-oh!</em> &#8212; I started dialing around on my own to find out what&#8217;s what.</p>
<p>And, according to sources &#8212; especially since Thompson has settled with Yahoo and will not get severance due to the academic falsehood &#8212; the big focus is now centering on if the company&#8217;s staff screwed up the background check of his academic credentials, thus allowing it to get into its official filings with the Securities and Exchange Commission and also on Yahoo&#8217;s corporate Web site.</p>
<p>When Thompson was hired from eBay, where he was president of its PayPal payments division, the online commerce company had the correct bio information in its SEC filings, although not on its Web site or in its PR materials.</p>
<p>The question is: Did someone from Yahoo simply rely on Web bios and not check eBay filings and did anyone ever re-check Thompson&#8217;s college records? (Note: It took me 15 minutes flat to find out he did not have such a degree at Stonehill College in the Boston area.)</p>
<p>If lazy checking was the case, it spells rank incompetence on the part of staffers, as well as Hart, who headed the search after Yahoo fired its previous CEO Carol Bartz last fall.</p>
<p>A much more troubling line of inquiry taking place is aimed at the possibility that someone at Yahoo <em>did</em> discover the discrepancy in Thompson&#8217;s resume and either did not report it up the chain of command or did and it was either lost or ignored or, <em>well</em>, worse. </p>
<p><a href="http://allthingsd.com/20120522/former-ceo-thompson-might-be-gone-but-investigation-into-resumess-still-a-hot-potato-at-yahoo/imgres-83/" rel="attachment wp-att-210919"><img src="http://allthingsd.com/files/2012/05/imgres2.jpeg" alt="" title="imgres" width="254" height="198" class="alignleft size-full wp-image-210919" /></a></p>
<p>While this certainly ain&#8217;t Watergate, such a situation would be very hard for Yahoo to explain away as easily to shareholders, especially potentially litigious ones. As it is always said, the coverup can often be more damaging than the crime itself.</p>
<p>And, if it is determined by the special committee that certain employees knew of Thompson&#8217;s resume inaccuracy, it will most certainly result in dismissals of Yahoo employees. </p>
<p>The focus on the committee &#8212; which truly cannot sweep this under the rug, if it occurred in this much more serious scenario &#8212; is most obviously the legal department of Yahoo, which is responsible for making certain filings are accurate.</p>
<p>Also under scrutiny is the quickness of the hiring of Thompson.</p>
<p>Among the questions is how much vetting was done and whether adequate questions about him were asked among a variety of possible sources.</p>
<p>When he was picked in January, Thompson was a dark-horse candidate for many, including some Yahoo board members. </p>
<p>In fact, he was not on the initial headhunting lists prepared by outside talent search firm Heidrick &#038; Struggles. </p>
<p>That&#8217;s because Heidrick had placed Thompson at eBay in mid-2000 and could not then recommend him to Yahoo. As it turned out, Thompson took it upon himself to cold email Yahoo board member and Intuit CEO Brad Smith about the job, who then passed Thompson&#8217;s interest to Hart.</p>
<p>Heidrick had no involvement in the checking of Thompson, although he later blamed the firm in a public meeting with Yahoo employees for putting the error in his bio in the first place from when he was hired at eBay. Heidrick quickly called the accusation <a href="http://allthingsd.com/20120511/heidrick-struggles-slaps-back-at-thompsons-yahoo-in-blame-game/">&#8220;verifiably not true&#8221;</a> in a memo to its own employees.</p>
<p>Sources said that meant that the firm had a resume that Thompson had submitted to it that also contained the error. </p>
<p>But the central mystery of how that mistake appeared on his bio will likely remain just that without further explanation from Thompson. </p>
<p>In a radio interview in 2009, he <a href="http://allthingsd.com/20120503/in-2009-interview-yahoo-ceo-does-not-deny-he-has-a-cs-degree-and-calls-himself-an-engineer/">did not correct a specific question</a> about the twin degrees he appeared to have held and seemed to even agree with the show&#8217;s host, Moira Gunn, about them. </p>
<p>Later, she <a href="http://allthingsd.com/20120509/technations-gunn-says-she-and-yahoo-ceo-talked-about-their-cs-degrees-before-2009-show-video-and-audio/">told me in a video interview</a> that Thompson had clearly indicated to her in the prep for that interview that he indeed had a computer science degree.</p>
<p>Still, it is still not clear &#8212; and may never be &#8212; who put the faux computer science credential on his resume in the first place.</p>
<p>So, with all apologies to Winston Churchill: It might remain a riddle wrapped in a mystery inside an enigma.</p>

<p>When last we tuned in to the ongoing drama that is the patent-infringement lawsuit that Yahoo aimed at Facebook, Yahoo had a CEO &#8212; Scott Thompson &#8212; who was full steam ahead in pressing the controversial legal action.</p>
<p>Now, multiple sources said, the Silicon Valley Internet giant has got a new one &#8212; interim CEO Ross Levinsohn &#8212; who is <a href="http://allthingsd.com/20120513/will-thompsons-ouster-mean-a-yahoofacebook-patent-settlement/">already reaching out</a> to top execs at the social networking giant in hopes of finding a settlement.</p>
<p>Still, until peace reigns in the digital kingdom, the legal wrangling grinds on and, today, Facebook has answered Yahoo&#8217;s <a href="http://allthingsd.com/20120427/we-cant-all-get-along-yahoo-files-more-patent-claim-against-facebook/">most recent claim of &#8220;inequitable conduct&#8221; because of false statement</a> by moving to dismiss it.</p>
<p>Yahoo had called many of Facebook&#8217;s counterclaims &#8212; using some of its own newly obtained patents &#8212; &#8220;tainted,&#8221; and said Facebook&#8217;s actions were &#8220;retaliatory.&#8221;</p>
<p>Not so, answered Facebook lawyers today, claiming that Yahoo did not do its homework, and also that Yahoo had &#8220;no coherent theory or facts suggesting deceptive intent.&#8221;</p>
<p>Among other issues, Facebook alleges in the claim that Yahoo did not check if Facebook had filed an inventor affidavit with the Patent Office, related to two of the patents. Except, <em>um</em>, it did.</p>
<p>&#8220;Yahoo claims that two of the ten patents Facebook asserts are unenforceable due to inequitable conduct. But all of these allegations are unsupportable and/or deficient,&#8221; said the Facebook filing, which is embedded below. &#8220;First, Yahoo claims these patents do not list Joseph Liauw as an inventor and that there is no sworn statement by Mr. Liauw in the Patent Office records explaining his omission. Yahoo&#8217;s claim is demonstrably false. Yahoo made this allegation without actually reviewing the publically available Patent Office records, because these records include the exact sworn statement from Mr. Liauw Yahoo claims is missing.&#8221;</p>
<p>What? <em>Yahoo not good at checking?</em> Hmm &#8230; that sounds familiar!</p>
<p>It&#8217;s interesting that Facebook struck on the eve of its IPO on Friday, perhaps making it clear to investors that it was not going to pay up big bucks to Yahoo in what it clearly considers a patent shakedown.</p>
<p>I have a call into Yahoo PR for a comment, but have not heard back as yet.</p>
<p>Here is the latest filing, which is getting more legally confusing by the millisecond (I am now totally glad I decided not to go to law school, so <em>make it stop</em>, Ross!):</p>

<p>As <a href="http://allthingsd.com/20120509/place-your-bets-will-loeb-drop-another-bomb-on-yahoo-at-vegas-confab-later-today/">expected</a>, activist shareholder Daniel Loeb of Third Point released a new letter on the bio controversy he set off at Yahoo, again calling for the firing of its CEO, Scott Thompson.</p>
<p>&#8220;It seems farcical to us that the Board will most likely spend more time deliberating over whether Mr. Thompson should be fired than it did properly vetting whether he should have been hired,&#8221; read the letter in part. &#8220;The necessary investigation into whether certain senior executives and Board Members knew of Mr. Thompson&#8217;s deceptions before hiring him should not delay decisive action over his ethical breaches.&#8221;</p>
<p>Loeb, who is waging a proxy fight with Yahoo over board seats he wants, also offered to work with the Yahoo board to find a new CEO if it accepted his slate of directors. In the interim, he suggested Yahoo put either CFO Tim Morse or media head Ross Levinsohn in the job. Morse had taken that position temporarily after Yahoo fired its last CEO Carol Bartz last fall.</p>
<p>Confused yet?</p>
<p>Loeb set off a management crisis there last week with the revelation that Thompson had added a fake computer science degree to his bio. </p>
<p>The first casualty came yesterday with the <a href="http://allthingsd.com/20120508/exclusive-yahoo-director-in-charge-of-botched-ceo-vetting-to-step-down-from-board/">stepping down of Yahoo director Patti Hart</a>, who was charged with vetting Thompson for the job.</p>
<p>The Yahoo board also announced yesterday that it would be conducting a probe of the circumstances around the hiring, as well as how the faux academic credentials got in Thompson&#8217;s bio and also the company&#8217;s regulatory filings.</p>
<p>The new letter was a reaction to <a href="http://allthingsd.com/20120507/ceo-apologizes-to-yahoos-but-will-the-mea-culpa-work-without-an-explanation-for-the-borked-bio-memo/">Thompson&#8217;s apology on Monday</a> for the borked bio becoming a &#8220;distraction&#8221; (but not, oddly, for the mistake itself). Loeb had previously called for Thompson&#8217;s firing over the bio fibbing.</p>
<p>Loeb will be appearing at an investor conference in Las Vegas later today, where he will surely be asked about the situation.</p>
<p>In related news, eBay CEO John Donahoe, Thompson&#8217;s former boss, lent words of support, but also underscored that the online commerce company&#8217;s legal filings of his bio were always correct, even if its Web site and other PR documents handed out were not. Thompson came to Yahoo from a stint as president of eBay&#8217;s PayPal payments unit.</p>
<p>As <a href="http://www.bloomberg.com/news/2012-05-09/filings-made-when-ebay-hired-thompson-accurate-ceo-donahoe-says.html">reported by Bloomberg</a>, Donahoe said: </p>
<p>&#8220;When Scott was hired at EBay Inc., all of EBay&#8217;s filings had the accurate information. Some of EBay&#8217;s PR materials had that bio. Our legal filings were taken care of by our legal department. Some of the PR materials had that info,&#8221; he said while in Tokyo of the correct bio versus the incorrect one.</p>
<p>Donahoe added: &#8220;I think Scott Thompson did a great job at PayPal. I think he&#8217;s a very talented leader and I believe he can help Yahoo. I hope they get through this and he can continue to do the very challenging job he&#8217;s got of helping to turn Yahoo around. I&#8217;m Scott&#8217;s biggest fan.&#8221;</p>
<p>This has been the first public support of Thompson by a prominent Internet figure, which might help lagging morale at the company.</p>

<p>On March 25, 2009, Yahoo CEO Scott Thompson &#8212; when he was then president of PayPal &#8212; appeared on the <a href="http://itc.conversationsnetwork.org/shows/detail4058.html#">TechNation radio show</a> to talk about the revival of the eBay payments unit.</p>
<p>At the end of the largely charming interview, Moira Gunn asked him a direct question about his college degrees, specifically noting they were in accounting <em>and</em> computer science. </p>
<p>&#8220;Your bachelor&#8217;s degree is in accounting and computer science. Now, from both of those, I mean that&#8217;s, that&#8217;s pretty obvious that&#8217;s PayPal,&#8221; said Gunn. &#8220;What are the most important things you learned?&#8221;</p>
<p>&#8220;Yeah,&#8221; begins Thompson, failing to correct her at all on the fact that he does not actually have a computer science degree &#8212; only one in accounting. </p>
<p>He then went even further, touting his early tech training at Stonehill College, near Boston, which did not offer a computer science degree at the time he went there, from 1975 to 1979.</p>
<p>&#8220;And that&#8217;s really the background that I have, and it started back in my college days, and I think that&#8217;s really the wonderful part of being an engineer is you think that way,&#8221; said Thompson.</p>
<p>In the most generous interpretation, it&#8217;s not quite clear whether Thompson was saying &#8220;Yeah&#8221; to her statement of his academic credentials, or if he was not actually listening.</p>
<p>But it&#8217;s a careless oversight on his part not to have corrected her about the degrees, which could also be said about a computer science degree being present on his bio for more than a half-dozen years at eBay and later at Yahoo without some notice by him. </p>
<p>Because while Thompson has had a long career as a tech exec, as well as a stint as a CIO, academically speaking, a computer science degree did not happen in his college days nor did he graduate as an engineer.</p>
<p>That became apparent earlier today, when Yahoo confirmed that it included inaccurate information about Thompson&#8217;s academic background on its Web site and in its regulatory filings.</p>
<p>The admission came after activist shareholder Dan Loeb of Third Point correctly <a href="http://allthingsd.com/20120503/dan-loeb-alleges-discrepancies-on-yahoo-ceo-scott-thompsons-resume-related-to-computer-science-degree/">asserted that Thompson&#8217;s resume was overstated related to his education</a>.</p>
<p>Yahoo called the inclusion of the computer science degree on his bio an <a href="http://allthingsd.com/20120503/yahoos-response-on-computer-science-resumegate-inadvertent-error/">&#8220;inadvertent error,&#8221;</a> but gave no other explanation as yet. Tonight, the <a href="http://allthingsd.com/20120503/yahoos-board-will-review-resume-discrepancy-of-ceo/">Yahoo board said it was reviewing the matter</a> and would then make appropriate disclosures afterward. </p>
<p>While it is entirely possible that Thompson did not correctly grok what Gunn was saying, it seems pretty clear that he implied his college background was in tech and he was an engineer.</p>
<p>It is true that Thompson did take some computer science classes at Stonehill. And it is entirely possible that he thinks of himself as an engineer by work training and not by college degree.</p>
<p>I am awaiting comment from Yahoo PR, which has its hands full today (welcome to the circus, Amanda!).</p>

<p>And that&#8217;s really it, you&#8217;re trained to pull apart very complex things and think about okay, how can I do this or how can I do that or how can I make it better?</p>
<p>And that&#8217;s really the background that I have and it started back in my college days, and I think that&#8217;s really the wonderful part of being an engineer is you think that way.</p></blockquote>

<p>Pires, who is currently senior director of communications and brand at PayPal, worked with new Yahoo CEO Scott Thompson for many years when he ran the popular payments service. Sources at Yahoo said she would begin April 16, taking up the position of SVP of global communications that has been held by Eric Brown. He&#8217;ll apparently be leaving the company. </p>
<p>The well-regarded Pires comes to Yahoo at a particularly dicey time, having just announced the firing of 2,000 employees today with more to come, along with an expected restructuring next week. The Silicon Valley Internet giant is also facing a noisy proxy fight with activist shareholder Third Point and is contemplating the sale of big parts of its business. (And then there&#8217;s <em>me</em>, so I&#8217;ll pay for lunch, Amanda!)</p>

<p>Stricker, who is director of global communications and public affairs at the search giant, will be VP of communications at Twitter. I wrote him about the new job this morning without a response until tonight, after he <a href="https://twitter.com/#!/gabrielstricker/status/187725823690813440">tweeted</a> the new job. The affable Stricker will start in a few weeks at the social communications service, where his big challenges will be explaining how Twitter is making bank and when the heck it is going public. </p>

<p>What <em>is</em> Yahoo?</p>
<p>While that has been the perennially unanswered question at the Silicon Valley Internet giant for many years, according to dozens of sources inside and outside the company, Yahoo&#8217;s leadership is now deeply embroiled in an intense &#8212; and sometimes very tense and fast-changing &#8212; debate over a number of critical issues about what is expected to be the most sweeping restructuring in its history.</p>
<p>Top executives at the company are conducting what is likely to be a lively all-day &#8220;offsite&#8221; meeting today (which is actually taking place on Yahoo&#8217;s Sunnyvale campus) to continue to discuss, among other things: How and where the company will make large-scale cuts in staff, which I have previously <a href="http://allthingsd.com/20120305/yahoos-new-ceo-preps-major-restructuring-including-significant-layoffs/">reported were coming</a> and will perhaps be numbering in the thousands; which businesses to sell off and which to keep, including its <a href="http://allthingsd.com/20120314/to-stanch-layoffs-yahoo-has-been-shopping-its-ad-technology-platforms-to-google-microsoft-and-others/">ad tech unit</a>; the correct structure for the reconfigured entity; and who will be left to run it all when it is all settled.</p>
<p>Also up for debate is the best course of a two-pronged effort &#8212; being led primarily by CFO Tim Morse and members of his corporate strategy team &#8212; to renegotiate its search and advertising partnership deal with Microsoft, while also engaging in active discussions with Google about <em>it</em> taking over Yahoo&#8217;s search business. </p>
<p>&#8220;Everything is on the table,&#8221; said one person. &#8220;And anything could be blown up by Scott.&#8221;</p>
<p>The Scott being referenced is new CEO Scott Thompson, who has become something of a whirling dervish since he arrived at Yahoo only three months ago from the top job at eBay&#8217;s PayPal unit.</p>
<p>If shaking up the place &#8212; as he has promised in public and internal statements, including a recent memo in which he wrote that <a href="http://allthingsd.com/20120315/ceo-thompson-tells-yahoos-real-change-is-coming-its-exclusive-internal-memo-time/">&#8220;real change is coming&#8221;</a> &#8212; was his aim, Thompson is certainly doing just that and more.</p>
<p>Along with immediately initiating a massive effort to figure out the best way to restructure the long-troubled and ever-meandering company and all that entails, Thompson has also been meeting players all over Silicon Valley for advice; stopping and then restarting negotiating discussions with Yahoo&#8217;s Asian partners, visiting major advertising clients; and engaging in talks with activist shareholder Dan Loeb about settling a <a href="http://allthingsd.com/20120328/third-points-loeb-to-yahoo-about-board-rejection-illogical-alice-in-wonderland-world/">looming proxy fight</a>, while also <a href="http://allthingsd.com/20120325/yahoo-appoints-three-new-directors-in-a-smack-to-activist-shareholder-like-i-said/">packing the board</a> with allies to help fend off said battle.</p>
<p>And, oh yes, he also took a little time out from his busy schedule to <a href="http://allthingsd.com/20120312/breaking-yahoo-sues-facebook-for-patent-infringement/">sue Yahoo partner Facebook for patent violations</a>.</p>
<p><a href="http://allthingsd.com/20120328/yahoo-geddon-leaders-to-debate-layoffs-asset-sales-search-deals-and-more-today-as-a-major-restructuring-looms/thompson-4-2/" rel="attachment wp-att-190829"><img src="http://allthingsd.com/files/2012/03/thompson-4-380x264.jpg" alt="" title="thompson-4" width="380" height="264" class="alignleft size-medium wp-image-190829" /></a></p>
<p>But the real action is the remaking of Yahoo in his image. To do so, Thompson has been furiously evaluating the entire company, with the <a href="http://allthingsd.com/20120305/yahoos-new-ceo-preps-major-restructuring-including-significant-layoffs/">help of Boston Consulting Group</a> and a small group of execs, especially Morse.</p>
<p>While it is all still undecided, he seems to be leaning toward Yahoo as a drastically slimmed-down entity without a central product group and with a simplified structure that includes global units &#8212; such as media, commerce and sales organizations &#8212; which will again be in charge of the entire development of their offerings. </p>
<p>(I will note, since I have been covering Yahoo since near its founding, this is a structure that has been in place before. In other words, at least for dinosaurs like me, there is nothing new under the sun here.)</p>
<p>The changes being contemplated include, as I have written previously, the possible sale or drastic reconfiguration of its ad technology business, which will effect at least 1,000 employees. Another 1,500 involved in Yahoo&#8217;s search business will also be impacted, depending on talks the company has been having with Microsoft, as well as Google, about better monetization.</p>
<p>Such a structure brings up a lot of questions about how, and by whom, it will be run. To figure it out, Thompson has been evaluating &#8212; sometimes rather brusquely &#8212; his own top managers, as well as looking for new ones outside the company, such as a search for a chief marketing officer and other key positions.</p>
<p>Confused? Perhaps, but not for much longer, said multiple sources, as Thompson moves closer to delivering his answer to the what-Yahoo-is question.</p>
<p>Yahoo PR &#8212; by the way, it will not escape Thompson&#8217;s change machine, either! &#8212; declined comment.</p>

<p>In what is either the boldest gamble of its history or the most boneheaded, Yahoo has filed a massive patent infringement lawsuit against Facebook.</p>
<p>The attack by the Silicon Valley Internet icon against perhaps the most powerful consumer social networking site today &#8212; also based in tech&#8217;s heartland and also an important partner of Yahoo &#8212; is sure to be a controversial one, pitting Yahoo against a company that has surpassed it handily in recent years in regards to popularity among consumers.</p>
<p>&#8220;Facebook&#8217;s entire social network model, which allows users to create profiles for and connect with, among other things, persons and businesses, is based on Yahoo&#8217;s patented social networking technology,&#8221; Yahoo&#8217;s lawsuit reads, in part. </p>
<p>That includes, Yahoo alleges, Facebook&#8217;s popular News Feed, advertising methods, privacy settings and more. The company adds that Facebook has been &#8220;free riding&#8221; on Yahoo&#8217;s intellectual property and that royalty payments alone will not suffice.</p>
<p>So what does Yahoo want for this alleged free ride? Triple damages and to enjoin Facebook from operating by using said patents.</p>
<p>The <a href="http://allthingsd.com/20120312/worst-but-first-yahoo-uses-words-of-facebooks-zuckerberg-to-poke-him-in-patent-lawsuit/">19-page lawsuit over 10 patents</a> &#8212; related to advertising, privacy, customization, messaging and social networking &#8212; comes as Yahoo is seeking to right itself under new CEO Scott Thompson.</p>
<p>Multiple sources said he is primarily driving this new aggressiveness from Yahoo. </p>
<p>Since Yahoo told the New York Times that it was considering such a move last week, the issue has been <a href="http://allthingsd.com/20120228/so-its-the-kodak-strategy-for-yahoo-the-last-refuge-of-the-vaguely-patented/">widely debated within the company</a>, with many top techies there opposed to it, due to the company&#8217;s longstanding ethos of using patents for defense rather than offense. </p>
<p>Thus, the decision to move was closely held, sources said, with only Thompson and legal chief Michael Callahan largely working on it.</p>
<p>Still, patent lawsuits have become ever more prevalent among tech companies, as they seek to battle for advantage in a rapidly changing competitive landscape. Apple, Google, Microsoft and others are involved in several legal actions, although they are largely related to mobile technology.</p>
<p>Yahoo&#8217;s lawsuit is the most prominent in the social networking arena, a sector that has seen a huge explosion of late. Its timing could not be worse for Facebook, since it is in a quiet period for its upcoming IPO, which is expected to value the company at close to $100 billion. </p>
<p>Yahoo has done this kind of thing before, of course, having wrangled with Google until right before it went public in 2004 over search patents from its Overture acquisition. The pair settled 10 days before the Google IPO, with Yahoo getting several million more shares of that stock.</p>
<p>Yahoo is shaking Facebook down for much more here and with much higher stakes for both companies. If successful, Yahoo could seriously damage Facebook&#8217;s initial public offering; if not, Yahoo will cement its growing reputation as a company with nothing to lose, whose value is built not on its current business, but on non-operating assets. </p>
<p>More importantly, at least initially, the move did nothing to boost Yahoo&#8217;s moribund shares &#8212; the stock was down about one percent to $14.49 in after-hours trading.</p>

<p>Said Yahoo, in its statement: </p>
<p>&#8220;Yahoo! has invested substantial resources in research and development through the years, which has resulted in numerous patented inventions of technology that other companies have licensed. These technologies are the foundation of our business that engages over 700 million monthly unique visitors and represent the spirit of innovation upon which Yahoo! is built. Unfortunately, the matter with Facebook remains unresolved and we are compelled to seek redress in federal court. We are confident that we will prevail.&#8221;</p>
<p>Facebook, obviously, disagrees, and also threw in a jab about the lack of discussions over the issue between the pair:</p>
<p>&#8220;We&#8217;re disappointed that Yahoo, a longtime business partner of Facebook and a company that has substantially benefited from its association with Facebook, has decided to resort to litigation. Once again, we learned of Yahoo&#8217;s decision simultaneously with the media. We will defend ourselves vigorously against these puzzling actions.&#8221;</p>
<p>I&#8217;ll admit to also being puzzled about the <em>strategery</em> here, but I am sure there will be much more to come.</p>

<p>That would be Yahoo &#8212; the perpetual 98-pound weakling of the Internet these days &#8212; threatening powerful Facebook, which had cleanly bested it by attracting hordes of users with a plethora of popular products and services.</p>
<p>Yahoo has already lost its audience to Facebook, which was most recently followed by its frittering away a commanding lead in display advertising, too.</p>
<p>That would also be the Yahoo whose most recent success in improving its increasingly tenuous connections with customers was, in fact, by deeply integrating Facebook&#8217;s social hooks into its Web properties.</p>
<p>That would be the Yahoo which has failed time and again to innovate its own offerings so drastically over the years that it has now apparently decided that its first and best strategic move under Thompson’s rule is a shakedown.</p>
<p>Such a cynical move on rights Yahoo has long held seems more a play for the cheap seats of Wall Street, given that the company needs to look like it is doing everything it can to turn things around right now as it faces a proxy challenge.</p>
<p>First, it ended difficult talks with its Asian partners, Alibaba Group and SoftBank, over selling back lucrative stakes there.</p>
<p>Now, according to sources, Yahoo&#8217;s Thompson has actually been trying to make very nice with activist shareholder Daniel Loeb of Third Point &#8212; on-the-down-low chitchats that might have played a part of this latest unusual move.</p>
<p>At least Kodak had a good excuse. The once iconic camera company had recently been trying to take advantage of its trove of patents as a way to stave off declaring bankruptcy.</p>
<p>That didn&#8217;t work for Kodak, and it will also not work for Yahoo, whose only real option is to try to innovate its way out of the mess it has landed itself in.</p>
<p>You know, with good ideas.</p>
<p>Instead, the company&#8217;s leadership has opted for a road that could rain down trouble and paint Yahoo as a company bereft of talent to win any other way.</p>
<p>And while a range of intellectual property lawsuits have broken out all over the digital sector, involving Apple, Microsoft, Google and many others, such a strategy for Yahoo could be dangerous if it fails in its legal effort to take advantage of its 1,000-plus patents, including those related to search and advertising.</p>
<p>Others &#8212; including such tech luminaries as LinkedIn&#8217;s Reid Hoffman, who co-owns the seminal Six Degrees patent for constructing a networking database and system &#8212; hold a number of critical social networking patents, too, so who knows where this thing will go.</p>
<p>Nonetheless, Yahoo has decided to emulate those companies with one of the few valuable assets it might have, waging its little war, right as Facebook is in the midst of its initial public offering period.</p>
<p>Yahoo has done this before, of course, having wrangled with Google until right before it went public in 2004 over search patents from its Overture acquisition. The pair settled 10 days before the Google IPO, with Yahoo getting several million more shares of that stock (which it then, of course, sold too soon).</p>
<p>That certainly could happen here, with Yahoo managing to grab a chunk of Facebook&#8217;s pre-IPO stock.<br />
That would mean that Yahoo’s most valuable asset would be those shares, as well as its stake in Asian companies it bought a while back for a bargain and now makes up a bulk of the company&#8217;s valuation.</p>
<p>As to Yahoo&#8217;s core business &#8212; investors consider it almost entirely worthless.</p>
<p>And let&#8217;s not forget: Facebook could also sue right back, which it very well might do. Or, perhaps, cut off agreeable ties that have aided Yahoo in recent years.</p>
<p>In other words, in poking Facebook, Yahoo might now learn what it is really like to be de-friended.</p></blockquote>

<p>Okay, okay, we get it: Morgan Stanley got the coveted left-hand lead position on Facebook&#8217;s blockbuster IPO filing. Goldman Sachs is there, too, but in the third-place, always-a-bridesmaid spo,t and is crying big salty tears about the injustice of it all.</p>
<p>It&#8217;s hard to feel badly for overpaid investment bankers, and focusing on them is kind of like endlessly discussing the lawyers who processed your mortgage, when the focus should be on the house you&#8217;re buying.</p>
<p>Does anyone except a few Richie Rich ZIP Codes in Manhattan care about this one deet of the initial public offering of the social networking giant? </p>
<p>Nope, but there is so little real news ahead of the IPO filing expected today that this is what we are chomping on this morning, as everyone awaits the big doc drop at the Securities and Exchange Commission.</p>
<p>Sources said it is <a href="http://allthingsd.com/20120201/go-the-fk-back-to-sleep-silicon-valley-facebook-ipo-likely-to-file-later-today-at-earliest/">likely to come this afternoon</a> rather than this morning, though. And, perish the thought, all that dotting of I&#8217;s and crossing of T&#8217;s could delay it to tomorrow, even (unlikely, but mebbe!).</p>
<p><em>Sigh.</em></p>
<p>Tidbit: Facebook was actually founded the first Wednesday in February of 2004 in an undergraduate dorm room at Harvard University, like today but eight years later. </p>
<p>Thus, here&#8217;s a boring Facebook history timeline chart to look at:</p>

<p>What up? The <a href="http://allthingsd.com/20120131/facebook-board-meeting-today-for-final-ipo-okays/">board met</a>, the spinmeisters are at the ready and, most of all, Silicon Valley is stoked to make some more arrogant badillionaires. </p>
<p>Now, hopefully, we&#8217;ll get the real news about Facebook.</p>
<p>Namely, who&#8217;s getting the big dough in this much-anticipated Web 2.0 gambit? Co-founder and CEO and Hoodie Commander Mark Zuckerberg <em>fer sure</em>, but who else?</p>
<p>Plus all the juicy financials from Facebook, along with stats in usage, growth and just how much the company sticks it to its gaming serf &#8212; <em>oops</em>, partner &#8212; Zynga and others for the privilege of being on its all-powerful platform.</p>
<p>Me? I pay nada, like other Facebook users, for being able to show off pictures of my vacations and decline friendships from PR people I like, but still &#8230; well, you know.</p>
<p>Here is another Facebook financial chart that will <em>not</em> knock your socks off unless you are an accountant:</p>

AOL, if you recall, used to be Facebook and now is, um, not. </p>
<p>Note to Zuckerberg: Be nice to people on your way up, since you&#8217;ll meet them again on the way down.</p>
<p><strong>4:46 am PT:</strong> I check the SEC site and get zip. Click, click, clickety-click over to find out the latest on Demi Moore and her fake-pot debacle.</p>
<p>Who knew there was <a href="http://en.wikipedia.org/wiki/Synthetic_cannabis">synthetic cannabis</a> and it is called K2 or Spice? Not me! According to Wikipedia: &#8220;It seems likely that synthetic cannabis can precipitate psychosis and in some cases it is prolonged.&#8221;</p>
<p>I decide to blame Ashton Kutcher and then wonder if he is an investor in Facebook via BFF-to-errant-celebrities-who-like-tech Ron Conway, also a Facebook investor.</p>
<p>Note to self: <em>Call Ashton!</em> That dude plays village idiots all the time, but I am not fooled by Mr. Pretty Face.</p>
<p><strong>4:47 am PT:</strong> I consider email bombing Yahoo&#8217;s Jerry Yang, who is <a href="http://allthingsd.com/20120119/jerry-yangs-short-goodbye-the-official-letter/">probably not so busy right now</a>, and asking him what he thinks about the Demi Moore crisis and also Facebook&#8217;s IPO.  </p>
<p>Remember when Yahoo was king of Silicon Valley and Yang posed in that purple VW on the cover of that magazine? Better still, remember when Yahoo was going to buy Facebook for just over $1 billion and then borked it?</p>
<p>Just sayin&#8217;, Mark &#8212; so, <em>keep it reals</em>!</p>
<p><strong>4:48 am PT:</strong> I consider going out for doughnuts &#8212; and not because of any real weed need. I just would like me some glazed and sprinkled sugar treats right about now. Then, I could post the pictures of them on my Facebook page.</p>

<p>So when she got the CEO job at Hewlett-Packard, it was a bit of a surprise that Gomez &#8212; who has recently been living on the East Coast (see baseball cap above) &#8212; helped out a lot, but was not named to the top PR slot at the tech giant.</p>
<p>No longer, it seems, with Gomez being named EVP and Chief Communications Officer at HP today. </p>
<p>It&#8217;s a big job, given the hard work that Whitman faces reviving the iconic tech company, which has been beset by strategic and business challenges of all kinds, shapes and sizes in recent years.</p>
<p>While it might be seen as an adjunct to the business, the forward-facing parts of HP are in need of a powerful public relations initiative, which is presumably why Whitman wanted one of her most trusted and longtime staffers in the post.</p>
<p>According to HP, Gomez will become a member of the company&#8217;s executive council and report directly to Whitman.</p>
<p>Said HP in its press release, which you can also read below: &#8220;Gomez will be responsible for HP&#8217;s media and industry analyst relations, executive communications, employee communications, government affairs and global social innovation.&#8221;</p>

Gomez played a crucial role in building eBay&#8217;s brand during the critical years following the company&#8217;s initial public offering.</p>
<p>Prior to joining eBay, Gomez was vice president of Corporate Affairs at HBO in New York. He started his communications career at Hill and Knowlton and has worked on a wide array of public relations and marketing communications challenges in numerous industries.</p>
<p>Most recently, Gomez ran his own consulting business, providing communications counsel to clients such as H&#038;R Block. He was on the leadership team of Whitman&#8217;s 2010 campaign for governor of California and has been involved in government and political affairs throughout his career. In 2011, Gomez was appointed to the board of BJ&#8217;s Restaurants, Inc. He is a graduate of Boston College.</p>

<p>It&#8217;s 2012 and it&#8217;s time for a brand news obsession for me besides the mishegas of Yahoo &#8212; and the winner is: Facebook&#8217;s upcoming IPO.</p>
<p>Thus, I shall endeavor to scoop all deets great and small about the social networking site&#8217;s moving on up to a deluxe public company in the Wall Street sky, which is expected in the spring of this year.</p>
<p>From bankers battling for purchase to who&#8217;s selling what to the delightful back and forth with regulators to Google&#8217;s lobbing the inevitable screaming meanies at its rival during Facebook&#8217;s quiet period, this is going to be a good one. </p>
<p>And CEO and Co-founder Mark Zuckerberg &#8212; and his hoodie &#8212; are back in the brightest of spotlights!  </p>
<p>Speaking of the need for PR, one of the unsung but critical parts of any company&#8217;s public offering process is the hiring of an outside communications firm to handle the deluge of media, rumors and other breathless attention Facebook is sure to get.</p>
<p>It&#8217;s a highly specific job, given the reporters a company will be dealing with &#8212; in this case, sharp-elbowed Wall Street reporters &#8212; are usually different than the ones the Silicon Valley start-up has mostly dealt with (the geeks!).</p>
<p>And the expected winner of that thankless job is likely to go to the Brunswick Group, which describes itself as an &#8220;international corporate communications partnership that helps businesses and other organizations address critical communications challenges.&#8221;</p>
<p>In other words: Will be putting out the endless wildfires sure to rage around tech&#8217;s hottest IPO since Google.</p>
<p>Brunswick is among a small group of high-powered strategic communications firms that compete for such high-profile IPO jobs, as well as mergers and acquisitions and other corporate battling.</p>
<p>Others include Sard Verbinnen &#038; Co. (it has worked for Groupon board and Alibaba Group); Joele Frank, Wilkinson Brimmer Katcher (it has toiled for Hewlett-Packard) and Kekst and Company (now cat-wrangling the Yahoo drama).</p>
<p>It&#8217;s probably not a surprise that Brunswick won the deal, since it has worked with Facebook in the past, including on  its <a href="http://allthingsd.com/20110106/even-if-it-had-500-shareholders-today-facebook-doesnt-have-to-disclose-financials-until-spring-of-2012/">controversial private offering with Goldman Sachs</a> a year ago.</p>
<p>No surprise, everyone declined comment.</p>
<p>Thus, let the Hunger, <em>oops</em>, PR games begin!</p>

<p>As I <a href="http://allthingsd.com/20120103/exclusive-yahoo-poised-to-name-ceo-with-ebays-paypal-head-as-top-choice/">reported late last night</a>, Yahoo said it had named PayPal President Scott Thompson as its new CEO. The exec is currently in charge of the large eBay online payments unit.</p>
<p>He&#8217;ll start next week, but there are staff conference calls today and also an all-hands meeting on Yahoo&#8217;s main Silicon Valley campus (meet at URLs, troops!) tomorrow.</p>
<p>Yahoo shares are down almost three percent on the news so far, as Wall Street has been hoping for a big sale of some sort and not another turnaround.</p>
<p>Yahoo will be holding a 7 am PT press conference about the move and presumably to swan around Thompson.</p>
<p>(Welcome, Scott! I hope you were informed &#8212; please do not listen to what co-founder Jerry Yang says on this important issue &#8212; that you are supposed to send all internal memos to <em>me</em>! Also, as one of my Twitter followers, Mike Dudas of Google <a href="https://twitter.com/#!/mdudas/status/154552407374835712">just tweeted</a>: &#8220;If Thompson leads companies as well as he grows a moustache, Yahoo made a great CEO choice!!&#8221; I concur.)</p>
<p>A Yahoo PR person confirmed the hire very cordially in a phone call early this morning and the Internet giant also put out a press release.</p>
<p>So did I, of a sort, last night. Given I am too tired to rewrite myself, <a href="http://allthingsd.com/20120103/exclusive-yahoo-poised-to-name-ceo-with-ebays-paypal-head-as-top-choice/">here is what I had reported</a>:</p>
<blockquote class="memo"><p>The company <a href="http://allthingsd.com/20110906/exclusive-carol-bartz-out-at-yahoo-cfo-interim-ceo/">fired its last CEO, Carol Bartz</a>, in September, and Yahoo has been run by the board and also by interim CEO Tim Morse, who had previously been its CFO.</p>
<p>After Bartz&#8217;s ouster, Yahoo said it was looking at a range of strategic options, including the possible sale of all or part of the company. </p>
<p>That was the focus at first, although Yahoo had simultaneously <a href="http://allthingsd.com/20111013/exlcusive-yahoo-hires-heidrick-struggles-for-ceo-search/">hired Heidrick &#038; Struggles</a> to look for a new CEO. </p>
<p>The company attracted <a href="http://allthingsd.com/20111130/yahoo-bidders-come-in-at-16-50-to-17-50-with-plan-to-keep-jerry-yang-staying-on-board/">two partial investment bids from private equity firms</a>, Silver Lake and TPG Capital, but shareholders were unhappy with the low prices of these so-called PIPE &#8212; Private Investment in Public Equity &#8212; arrangements.</p>
<p>Yahoo then moved to try to strike a tax-advantaged deal with its long disgruntled Asian partners, China&#8217;s Alibaba Group and Japan&#8217;s SoftBank, to sell back parts of the large stakes it has long owned in Alibaba and Yahoo! Japan. </p>
<p>Those <a href="http://allthingsd.com/20111223/yahoo-okays-proceeding-with-term-sheet-to-sell-stakes-back-to-asian-partners-while-also-hoping-to-keep-pe-firms-in-fray/">complex negotiations are still ongoing and look promising</a>, which could yield Yahoo billions of dollars in capital to be given to investors, for stock buybacks or to invest in new initiatives.</p>
<p>Since then, the board &#8212; long considered one of the more cloddish in tech &#8212; has turned its attention to hiring a new CEO, in the hopes of trying once again to revive its flagging fortunes.</p>
<p>Thus, it began looking to hire someone with deep tech experience at a large public consumer Internet company in Silicon Valley. </p>
<p>That narrowed the field, with Yahoo looking at a range of choices with expertise in advertising, technology platforms and more. </p>
<p>There is a lot of that on the deep bench that eBay CEO John Donahoe has assembled at the online commerce giant, including Thompson.</p>
<p>Plus, he is a genuine Internet geek.</p>
<p>According to his eBay bio, Thompson became president of PayPal in early 2008, after serving as its CTO in charge of information technology, product development and architecture.</p>
<p>Before eBay, he worked at Inovant, a subsidiary of Visa formed to oversee global technology for the organization. He was also CIO of Barclays Global Investors and has worked at Coopers and Lybrand on information technology. </p>
<p>And here&#8217;s a tasty new wrinkle: Thompson recently <a href="http://www.facebook.com/profile.php?id=609937772&#038;sk=wall">&#8220;liked&#8221; Yahoo on his Facebook page</a>, along with the decidedly more interesting Kickstarter and Splunk.</p></blockquote>
<p>Again, Scott, thanks for the Facebook tip &#8212; I knew the social networking site could come in handy!</p>

<p>According to sources close to the situation, Apple is planning an important &#8212; but not large-scale &#8212; event to be held in New York at the end of this month that will focus on a media-related announcement. </p>
<p>Per the usual caveat, the tech giant is well known for moving around their public show-and-tells, so this could certainly change at any moment.</p>
<p>But, for sure, several sources underscored that the event is not related to an <a href="http://allthingsd.com/20111223/2012-ipad-roadmap-dont-expect-a-7-incher/">upcoming version of the iPad 3</a>, the next iteration of the popular tablet device that many expect to be available in 2012.</p>
<p>Also unlikely, the rollout of Apple&#8217;s large-scale rethinking of the <a href="http://allthingsd.com/20111227/supply-chain-chatter-has-two-apple-tvs-targeted-for-midyear-launch/">interactive television initiative</a> that it has been working on. While the company is expected to launch a new Apple TV product later in 2012, such an event would almost certainly be held in the heart of the industry in Hollywood or at least in Silicon Valley.</p>
<p>That leaves some kind of advertising or even publishing announcement, which might be the case, since Apple SVP of Internet Software and Services Eddy Cue is reportedly involved. </p>
<p>Cue is in charge of a large swath of Apple&#8217;s media units, including the iTunes Store, App Store, iBookstore, as well as iAd and its iCloud services.</p>
<p>It&#8217;s well known in the ad industry that Apple has been searching for a new head of its mobile advertising unit, since <a href="http://allthingsd.com/20110817/apples-mobile-ad-head-andy-miller-departs-for-highand-capital/">Andy Miller</a> left last summer.</p>
<p>But such an appointment has not been made as yet, said sources.</p>
<p>The last time Cue was in New York for an event, by the way, was nearly a year ago, when Apple helped launch News Corp.&#8217;s online magazine, <a href="http://allthingsd.com/20110202/live-from-the-dailys-debut/">The Daily</a>.</p>
<p>And Apple also recently opened a splashy new retail store in <a href="http://allthingsd.com/20110817/apples-mobile-ad-head-andy-miller-departs-for-highand-capital/">Manhattan&#8217;s Grand Central Terminal</a>, and has been refurbishing its flagship glass cube on Fifth Avenue, too.</p>
<p>The holiday-having Apple PR team declined comment, but wished me a &#8220;happy, happy new year.&#8221;</p>

<p>The move to beef up communications expertise at the prominent Silicon Valley venture firm continues: Sequoia Capital has hired Andrew Kovacs, a well-regarded senior manager from Google, for a new job to help its portfolio companies with public relations and other related issues, sources said.</p>
<p>Google&#8217;s top flack Rachel Whetstone told staff about the move this past week, sources said, which will take place in mid-January.</p>
<p>Kovacs (pictured here, looking <em>very</em> GQ), who has been at the search giant for five years, has most recently headed PR for its apps unit. </p>
<p>His appointment comes after competing firms, including <a href="http://allthingsd.com/20100614/outcasts-wennmachers-joins-andreessen-horowitz-as-partner/">Andreessen Horowitz</a> and <a href="http://allthingsd.com/20110415/like-andreessen-horowitz-kleiner-hires-marketing-partner-for-silicon-valley-vc-firm/">Kleiner Perkins</a>, bolstered talent to the comms areas of their firms, in order to better service the companies they invest in.</p>
<p>This is especially important to early-stage start-ups and their often young entrepreneurs, who usually have little experience with the media or with marketing. But such expertise is increasingly important in the crowded and ever-noisier tech sector, as companies try to rise above the fray.</p>
<p>Sequoia already has a longtime marketing partner, Mark Dempster, to whom Kovacs will be reporting, serving the firm&#8217;s companies in the U.S. and Israel. Kovacs will not be working on PR for Sequoia itself.</p>
<p>Some of Sequoia&#8217;s better-known start-ups include Dropbox, Tumblr and Eventbrite.</p>

			<content:encoded><![CDATA[<p>Here is a tutorial for public relations professionals: Some of you think that sending pitches with the subject line IN ALL CAPS is a good idea. Others send out mass emails that begin &#8220;Item?&#8221; Most of you send pitches about things I will never, ever care about.</p>
<p>All terrible ideas. This is how you do it: You commission a statue of the late Steve Jobs, and you dedicate it during the oh-so-slow week before Christmas.</p>
<p>Boom. So here you go, Graphisoft. I have no idea what you do &#8212; the fact that you &#8220;ignited the <a href="http://en.wikipedia.org/wiki/Building_Information_Modeling" target="_blank">BIM</a> revolution with <a href="http://www.graphisoft.com/products/archicad/" target="_blank">ArchiCAD®</a>, the industry first BIM software for architects&#8221; means nothing to me. I also have no idea if Steve Jobs really did support your company back in 1984 with cash and computers, as your <a href="http://www.prnewswire.com/news-releases/steve-jobs-statue-unveiled-in-budapest-136000973.html">press release</a> states.</p>
<p>But you did supply me with a picture of the statue in front of your Budapest headquarters, and I&#8217;m happy to republish it here. And I won&#8217;t complain about the quality or the dimensions of the shot. Thanks!</p>

<p>And it was not only the shrieking monkey part. I also liked the nail-gun incident and the flaming robo-vac.</p>

<p>Memo to Flipboard, as well as Pulse, CNN&#8217;s Zite and AOL&#8217;s Editions: You might want to make some room in the already-crowded news and social reader space, because you&#8217;re about to get some bigfoot company.</p>
<p>Next Wednesday, according to sources close to the situation, Yahoo will finally officially unveil its offering, called <a href="http://allthingsd.com/20110210/yahoos-got-a-digital-newstand/">Livestand</a>.</p>
<p>And perhaps as early as next week or in the weeks soon after, Google will also weigh in with its version of the genre &#8212; <a href="http://allthingsd.com/20110915/its-called-google-propeller-and-its-aimed-at-flipboard-and-facebook-too/">code-named Propeller</a> &#8212; which also might be the product&#8217;s name. Another moniker under strong consideration: Currents.</p>
<p>As I have previously reported, Google Propeller is an HTML5 reader for the Apple iPad and Android &#8212; essentially a souped-up version of similar apps such as Flipboard, <a href="http://allthingsd.com/20110802/aol-finally-ready-with-editions-its-ipad-magazine/">AOL&#8217;s Editions</a>, Zite (which was just <a href="http://allthingsd.com/20110830/zite-sold-to-cnn-for-just-over-20-million/">bought by Time Warner&#8217;s CNN</a>) and <a href="http://allthingsd.com/20110616/pulse-gets-quicker-with-9m-in-funding/">Pulse</a>. </p>
<p>All these apps are part of the drastically changing habits of media consumers, helping users better navigate numerous social and media feeds &#8212; such as Facebook and Twitter, as well as news sites and more &#8212; using handsome interfaces and touch technologies on tablet devices.</p>
<p>Flipboard, the most prominent and elegant of these offerings, is now available only on the Apple iPad. </p>
<p>Flipboard&#8217;s traction among elite users, along with its high-level design ethos and strong reviews, is why Google tried to buy the well-funded company last year, sources said.</p>
<p>But Flipboard &#8212; which is backed by some of tech&#8217;s biggest venture players, who have invested <a href="http://allthingsd.com/20110414/exclusive-flipboard-confirms-50-million-funding-at-200-million-valuation/">more than $60 million at a $200 million valuation</a> &#8212; declined the kind offer.</p>
<p>At the time, sources said, Google told Flipboard execs that if it did not buy the start-up, it planned to do a version of its own.</p>
<p>Hence, after I heard about the product earlier this year, I dubbed it the <em>Flipinator</em>.</p>

<p>According to sources, Propeller will launch with a plethora of media partners, as well as integration into the Google+ social network. The aim of the search giant is to offer media companies easy tools for publishing content on these devices, as well as a better path to monetization.</p>
<p>That is essentially the same plan at Yahoo, which has been working on Livestand with hopes of it being a product that will woo publishers into tight collaboration with the Silicon Valley Internet giant.</p>
<p><a href="http://www.yadvertisingblog.com/blog/2011/02/16/video-demo-livestand-from-yahoo/">Livestand was announced</a> by Yahoo&#8217;s now-fired CEO Carol Bartz in February, at a speech at the World Mobile Congress in Spain.</p>
<p>At the time, Bartz demoed a magazinelike platform that would allow publishers to put up content easily and give users the ability to personalize their selections based on search history and interests.</p>
<p>Bartz called it &#8220;content in context.&#8221; (You can see the demo video below.)</p>
<p>But while Bartz promised the product within three months, development has been slowed by its complex technologies, bugs and the need to sign on publishers. </p>
<p>Yahoo&#8217;s Chief Product Officer Blake Irving is pushing the product hard as a way for the company to reinvigorate its media products.</p>
<p>It&#8217;s not clear how many publishers Yahoo will have at launch, and neither are the distribution plans, beyond flacking it from the Web site and being present in app stores.</p>
<p>Google, on the other hand, has its Android platform to push out Propeller, although it all must work as well on Apple&#8217;s iPad, which is the dominant tablet on the market.</p>
<p>But just because both Yahoo and Google are big companies is by no means a guarantee of success &#8212; think Yahoo 360 or Google Wave or Buzz &#8212; and their lateness might be a hindrance.</p>
<p>And, in fact, other news reader apps are much further along. The leader, Flipboard, has already had four million downloads and 50 partnerships with leading publishers.</p>
<p>It also has started to introduce rich advertising products and, perhaps most importantly, has tight social integration with Twitter and Facebook.</p>
<p>There will be social elements on both Yahoo&#8217;s Livestand and Google&#8217;s Propeller. But news reading will be stressed more, making them more like Pulse, a tiny but highly innovative start-up.</p>
<p>Each of the existing apps will presumably compete by adding on more features. Pulse recently added <a href="http://blog.pulse.me/your-news-everywhere-sync-sources-to-your-pul-0">cross-platform, cross-device syncing</a>, while Flipboard is close to unveiling <a href="http://allthingsd.com/20110421/pre-200-million-valuation-flipboards-mike-mccue-at-sxsw-the-full-onstage-video/">an iPhone version</a> it has said it was working on.</p>
<p>Yahoo and Google PR declined comment.</p>

<p><a href="http://corp.aol.com/2010/05/12/jared-grusd2/">Jared Grusd</a>, AOL&#8217;s SVP of business development and chief of strategy, is leaving the New York Internet giant to work at Spotify, according to sources close to the situation. </p>
<p>At AOL, according to his bio, Grusd &#8220;oversees the organization responsible for all domestic and international strategic partnerships and commercial alliances for AOL and each of its operating units. He is also responsible for identifying and evaluating new corporate strategies and opportunities for the company.&#8221;</p>
<p>The marathon fiend and former Google exec &#8212; who held top legal-deal jobs there &#8212; also serves on AOL&#8217;s Executive Management Team.</p>
<p>It is not clear what the well-respected Grusd will be doing at the online music service, which has been expanding its executive ranks as it has moved aggressively into the U.S. market. But sources said it was a high-level position in New York.</p>
<p>Spotify <a href="http://allthingsd.com/20111007/spotify-lands-a-biz-dev-guy-clear-channels-gerrit-meier/">recently hired former Clear Channel exec Gerrit Meier</a> as GM of distribution and partnerships, reporting to U.S. head Ken Parks. </p>
<p>Spotify also just scooped up former AOL sales head <a href="http://allthingsd.com/20110915/aols-old-ad-boss-lands-at-spotify/">Jeff Levick</a> &#8212; another Google alum &#8212; as its chief advertising officer.</p>
<p>The departure of Grusd further thins out the exec ranks at AOL, which is still mired in a turnaround under the leadership of CEO Tim Armstrong (yes, he too is a former Googler!).</p>
<p>I lobbed a query into AOL PR for comment, and am awaiting news of my news.</p>

<p>As happened last week to its centralized marketing division, Yahoo has broken up its Customer Advocacy organization, with its staff distributed to the various regions and the product unit of the Silicon Valley Internet giant.</p>
<p>Customer Advocacy has been led by EVP <a href="http://pressroom.yahoo.net/pr/ycorp/jeff-russakow.aspx">Jeff Russakow</a>, whose fate is now similarly unclear as it is for <a href="http://allthingsd.com/20111021/exclusive-yahoo-overhauls-marketing-unit-the-internal-memo/">CMO Elisa Steele</a>, whose division was diced up to the regions last week. </p>
<p>Both execs &#8212; who were hired by fired CEO Carol Bartz &#8212; plan to remain at the company until at least January, sources said.</p>
<p>Russakow, according to his Yahoo bio, has had &#8220;global responsibility for all of Yahoo!&#8217;s customer support functions, including audience, small business, ad operations, and search network quality.&#8221; He came to Yahoo from previous jobs at Symantec and Adobe.</p>
<p>Interim CEO Tim Morse sent a memo to employees about the change, noting Russakow is looking for his next opportunity, using much the same language as Steele used in her internal email. </p>
<p>The moves are interesting, given Yahoo&#8217;s current effort to find a new strategy, which includes a possible sale of all or parts of the company. But there is also a strong sentiment within the company to reorganize around strengthening its advertising platform and products.</p>
<p>I have a call into Yahoo PR for comment (but let&#8217;s assume I am accurate about this, shall we?).</p>

<p>Dag Kittlaus &#8212; the co-founder and CEO of the company that created the Siri voice control feature, which Apple launched to <a href="http://allthingsd.com/20111011/the-iphone-finds-its-voice/">much acclaim</a> recently &#8212; has left the company, according to sources.</p>
<p>There were several reasons for the departure, which was amicable and has been planned for a while, sources said. They included Kittlaus&#8217;s family being in Chicago, a desire to take time off and an interest in brainstorming new entrepreneurial ideas.</p>
<p>Kittlaus has led the speech recognition efforts for Apple since <a href="http://allthingsd.com/20100428/apple-snags-siri/">Apple bought Siri in April of 2010</a>. He had been Siri&#8217;s CEO since 2007. Before that, the Norwegian-born Kittlaus was an Entrepreneur in Residence at the Stanford Research Institute and had also worked at Motorola.</p>
<p>Kittlaus apparently left just after the launch of the iPhone 4S, in which Siri&#8217;s speech recognition technology was the highlight, but sources said other key execs from Siri are expected to remain at Apple.</p>
<p>I have queried Apple PR and am waiting for a response.</p>

<p>At <strong>AllThingsD</strong>, we love Liz Gannes too, but not quite as endearing-creepily as Steve Clausnitzer of <a href="http://hubski.com/">Hubski</a>, a &#8220;thoughtful&#8221; social aggregation site, does.</p>
<p>Like a lot of start-ups, he wants our fantastic social reporter to check out his site and possibly write about it. But, unlike others, to entice Liz Clausnitzer has penned a little ditty that he posted on YouTube. </p>
<p>You need to watch it to experience the full oddball effort (although we all agree on her very lovely smile)&#8211; but <em>mission accomplished</em> on us noticing you, Steve!</p>
<p>I can make no promises that Liz will cover Hubski, of course.</p>

<p>In a blog it just posted, Groupon said its recently hired COO, Margo Georgiadis, &#8220;has decided to return to Google (her former employer) in a new role as President, Americas.&#8221;</p>
<p>She was only <a href="http://allthingsd.com/20110421/its-official-groupon-has-hired-margo-georgiadis-as-coo/">hired in April</a>, just months before the company filed to go public. Georgiadis was previously VP of Global Sales at Google. </p>
<p>(Interesting way to get a better title at the search giant, Margo!)</p>
<p>Georgiadis was in charge of the company&#8217;s global sales, marketing and operations at the Chicago-based social buying service.</p>
<p>Sources said that the hiring did not gel on either side. </p>
<p>It might not be Georgiadis&#8217; fault. She replaced <a href="http://allthingsd.com/20110322/exclusive-groupon-president-rob-solomon-steps-down/">Rob Solomon</a>, who was in his job for one year.</p>
<p>And here&#8217;s another: PR hire <a href="http://allthingsd.com/20110608/exclusive-former-yahoo-brad-williams-take-over-as-pr-head-honcho-at-groupon/">Brad Williams</a>, a longtime Silicon Valley communications exec, who was there and then gone in what felt like 23 minutes.</p>
<p>It seems Groupon does not like Silicon Valley types or, perhaps, vice versa.</p>
<p>Since its IPO filing, in fact, it feels as if it has been a non-stop circus disaster at Groupon.</p>
<p>That has included immense controversy about its sketchy accounting, huge slugs of venture funding going to its founders and a lot of worries about its growth.  </p>
<p>Today, in a Friday late afternoon dumping of bad news in hopes that no one notices (I <em>do</em>), Groupon also <a href="http://allthingsd.com/20110923/more-groupon-amends-its-s-1-ipo-filing-again-over-accounting-issues/">amended its S-1 public offering filing</a> once again to change revenue metrics and also add a controversial internal letter that CEO and co-founder Andrew Mason sent to employees to counter its many and growing critics.</p>
<p>There appear to be many more shoes dropping soon, said sources, so stay tuned.</p>
<p>Until then, here&#8217;s the <a href="http://www.groupon.com/blog/cities/update-on-the-groupon-team/">whole and very terse &#8212; for Mason &#8212; post</a>:</p>

<p>Well-known Silicon Valley entrepreneur Blake Krikorian has joined the board of Amazon, according to several sources close to the situation.</p>
<p>Krikorian &#8212; who is considered one of tech&#8217;s most savvy execs with regard to video and media distribution &#8212; co-founded <a href="http://allthingsd.com/20070925/slinging-the-cash/">Sling Media</a>, the maker of the innovative video device Slingbox, in 2004.</p>
<p>(He <a href="http://photos.allthingsd.com/D2">demoed it</a> at the second <strong>D: All Things Digital</strong> conference in 2004.)</p>
<p>It was sold in 2007 to EchoStar Communications for $380 million. After a short stint there, Krikorian left and has since been working on a variety of projects and making various investments.</p>
<p>Those include some promising start-ups, such as Lytro, Kno, Clipboard, Chirply and Tasty Labs. Another company he invested in, Clicker, was sold to CBS earlier this year.</p>
<p>He has also been a sought-after exec &#8212; sources said he had offers over the last year from Google and also Zynga.</p>
<p>Amazon certainly could use a director such as Krikorian as it seeks to enter the media distribution space more aggressively. It is about to launch a Kindle tablet, for example, and also is a major bidder for the Hulu premium video service.</p>
<p>It has been rumored that Amazon will soon offer an interactive television device, too.</p>
<p>Krikorian certainly has much experience in the arena. One of his first jobs was at the fabled General Magic, which pioneered the creation of one of the first interactive mobile products before the Internet.</p>
<p>He also started a mobile computing unit for Philips Electronics, as well as working in adjacent arenas at other firms.</p>
<p>The University of California at Los Angeles graduate has a degree in mechanical engineering.</p>
<p>Other directors on Amazon&#8217;s eight-person board, besides CEO and founder Jeff Bezos, include Kleiner Perkins&#8217;s Bing Gordon and Hewlett-Packard&#8217;s Jon Rubinstein.</p>
<p>Krikorian, who declined to comment, will be its ninth member.</p>

<p>After Google&#8217;s legal head David Drummond let forth with a <a href="http://allthingsd.com/20110803/google-rails-against-anti-android-patent-cabal/">blog post about how Microsoft and Apple had formed an evil patent cabal</a> against the search giant, the software giant&#8217;s PR head Frank Shaw was not having any of it.</p>
<p>In his post, Drummond had claimed the pair ganged up on Google and had not offered to partner over key former Novell patents, in an attempt to stop the growth of its Android mobile operating system.</p>
<p>Except not, according to an email that Shaw posted on Twitter from Google&#8217;s legal counsel Kent Walker to Microsoft&#8217;s legal head Brad Smith.</p>
<p><a href="http://twitter.com/#!/fxshaw/status/98932077327691776/photo/1">Tweeted Shaw</a>: &#8220;Free advice for David Drummond – next time check with Kent Walker before you blog. :)&#8221;</p>
<p>It was followed by the image of the email, in which Walker seemed to turn down an offer of a partnership over the patents. &#8220;After talking with people here, it sounds as though for various reasons a joint bid wouldn&#8217;t be advisable for us on this one.&#8221;</p>
<p>Smith also piled on on Twitter, noting: &#8220;Google says we bought Novell patents to keep them from Google. Really? We asked them to bid jointly with us. They said no.&#8221;</p>
