<p>The <a href="http://online.wsj.com/article/SB10001424052748703730804576313932659388852.html#ixzz1LukLsDR6">Wall Street Journal reported earlier tonight</a> that Microsoft&#8211;in what would be its most aggressive acquisition in the digital space&#8211;was zeroing in on buying Skype for $8.5 billion all in with an assumption of the Luxembourg-based company&#8217;s debt.</p>
<p>Sources told BoomTown tonight that the deal for the online telephony and video communications giant is actually done and will be announced early tomorrow morning.</p>
<p>The purchase&#8211;which has been spearheaded in closely held negotiations by Microsoft CEO Steve Ballmer, with an assist from Business Division CFO Amy Hood and top dealmaker Charles Songhurst&#8211;is a bold move for the software giant and its biggest acquisition in more than three decades.</p>
<p>The big price will give Microsoft&#8211;which has struggled in its online efforts and has lost billions of dollars for its work&#8211;a big brand name on the Web.</p>
<p>With Skype, which has been aggressively expanding, Microsoft will continue to lose money in its Internet efforts. Skype lost $7 million on revenue of $860 million. Operating profits, which Skype preferred to highlight, were $264 million.</p>
<p>And&#8211;let us not forget&#8211;Skype&#8217;s debt is $686 million. Silver lining: That&#8217;s slightly less than Microsoft&#8217;s Online Services division losses in its most recent quarter!</p>
<p>But, sources said, the concept is bigger than just money, including getting access to Skype&#8217;s 663 million registered users.</p>
<p>Skype, which had been <a href="http://mediamemo.allthingsd.com/20100809/big-tech-ipo-of-the-day-skype-tries-to-dial-up-100-million">headed bumpily toward an IPO</a> until now, will apparently be integrated into Microsoft&#8217;s Windows Live and other online communications efforts in both the consumer and enterprise arenas, sources said.</p>
<p>Think Kinect connecting.</p>
<p>Skype has had a big-company owner before&#8211;eBay Inc. paid $2.6 billion in cash and stock for it in 2005, as a way for the auction site&#8217;s buyers and sellers to communicate.</p>
<p>A <a href="http://digitaldaily.allthingsd.com/20091106/skype-soap-opera-finally-cancelled/">70 percent stake in Skype was sold in 2009</a> to investors such as Silver Lake Partners, Andreessen Horowitz, and the Canada Pension Plan Investment Board. It then valued Skype at $2.75 billion.</p>
<p>So, obviously, the deal is a big win for them. In addition, at the time they made their investments, Skype was a <a href="http://kara.allthingsd.com/20091103/volpi-and-index-ventures-out-of-skype-deal-the-lawsuit-happy-founder-twins-in/">huge legal mess with lawsuits flying</a>.</p>
<p>Skype has since gotten cleaned up enough to attract Microsoft.</p>
<p>Other suitors have looked at Skype, including Google, although acquisition interest by Facebook was very much overblown, said several sources.</p>
<p>Interestingly, Microsoft&#8217;s new smartphone partner Nokia also held meetings with Skype&#8217;s CEO Tony Bates, a former Cisco exec who <a href="http://digitaldaily.allthingsd.com/20101004/skypes-new-ceo-ciscos-tony-bates">arrived at the company last fall</a>.</p>
<p>Interest in Skype by Microsoft was first reported by <a href="http://gigaom.com/2011/05/08/more-skype-rumors-big-news-soon-microsoft-in-the-mix/">GigaOm&#8217;s Om Malik</a> on Sunday.</p>

<p>In an interesting social enterprise move, popular social networking collaboration tool Seesmic is taking a $4 million investment from Salesforce.com, as well as from Softbank.</p>
<p>The San Francisco-based Seesmic has one of the top desktop and also mobile applications for monitoring a consumer&#8217;s various feeds from Twitter, Facebook and more.</p>
<p>So far, Seesmic has received $16 million in total funding. Other investors include Atomico, Omidyar Network and Wellington Partners.</p>
<p>Moving beyond a consumer app, where it has one million registered users, Seesmic has also worked closely with Salesforce.com on integrating its Chatter social enterprise network offering.</p>
<p>Deeper integration with Chatter and bridging more social communications with its customers is coming, said Seemsic founder and CEO Lo&iuml;c Le Meur.</p>
<p>&#8220;It becomes an amazing internal dashboard if you are a manager,&#8221; said Le Meur in an interview with BoomTown this morning. &#8220;It has everything we have built for consumers, but internally.&#8221;</p>
<p>There are many such apps and software-based services being developed to inject social into the enterprise, including Yammer, Socialcast and Jive.</p>
<p>It will also be interesting to see if the investment is a prelude to an acquisition by Salesforce.com, to further bolster its own efforts in socializing the workplace.</p>

			<content:encoded><![CDATA[<p>Expense and travel management company Concur today announced it would buy travel planning start-up <a href="http://www.tripit.com/press/2010/08/tripit-offers-new-way-for-companies-to-help-traveling-employees/">TripIt</a> in a deal worth as much as $120 million, including $82 million in cash, stock and restricted stock units up front.</p>
<p><img class="alignright size-thumbnail wp-image-2351" title="TripIt" src="http://networkeffect.allthingsd.com/files/2011/01/TripIt-150x150.png" alt="" width="150" height="150" />TripIt is one of an emerging group of services that help users format travel information for easy mobile consumption. That might sound simple, but it can be incredibly useful. A user emails any travel itinerary from 1,000 different airlines and other travel sites to plans@tripit.com from a registered email account, and it can be saved to a mobile app and sent to a calendar. Once downloaded to a specific device, it can be accessed offline. If you&#8217;ve ever heard of <a href="http://www.instapaper.com/">Instapaper</a>, it&#8217;s kind of like that for travel planning.</p>
<p>In a phone interview, TripIt CEO Gregg Brockway said that as TripIt moved into small-business services from the consumer market, and the publicly traded Concur began offering products for small- and medium-size businesses in addition to enterprise companies, the two realized they had a common opportunity around &#8220;unmanaged travel.&#8221; By <a href="http://www.supplymanagement.com/news/2011/unmanaged-travel-spend-costs-businesses-15-billion/">some estimates</a>, unmanaged travel&#8211;where employees book their own trips and expense them, rather than using a company travel agent and preferred providers&#8211;is half the business travel market.</p>
<p>TripIt, which says it has &#8220;millions&#8221; of consumer users and 15,000-20,000 corporate customers, offers many of its tools for free, with premium services like flight-tracking alerts available for $49 per year and a business-oriented offering starting at $399 per year. The company will stay intact in its San Francisco office following the acquisition, which is expected to close next quarter.</p>
<p>Brockway said users of the consumer TripIt product can rest assured it will continue to be free and available.</p>
<p>TripIt had raised $13.1 million from investors such as Azure Capital Partners and O’Reilly AlphaTech Ventures.</p>

<p>Twitter recently added former Netscape exec Peter Currie to the board, as BoomTown <a href="http://kara.allthingsd.com/20101201/silicon-valley-go-to-guy-peter-currie-to-join-twitter-board">previously reported</a>.</p>
<p>A Twitter spokesman confirmed the funding and the board appointments, but declined further comment.</p>
<p>The moves are big ones for Twitter, which is moving fast to upgrade its management and business model under CEO Dick Costolo, who just <a href="http://blog.twitter.com/2010/12/stocking-stuffer.html">posted a blog</a> (see below) on the new funding and directors, titled &#8220;Meaningful Growth (although it was first curiously called, &#8220;Stocking Stuffers,&#8221; and was much funnier).</p>
<p>But, indeed, a big slug of cash will surely help the start-up&#8217;s expansion efforts and essentially declares it is not for sale to bigger companies such as Google (quite yet, that is).</p>
<p>As I <a href="http://kara.allthingsd.com/20101206/russias-dst-out-of-twitter-funding-race-as-kleiner-poised-to-take-the-deal/">reported last week</a>, Kleiner partner John Doerr has been pushing hard to fund Twitter, beating out Russia&#8217;s DST Global.</p>
<p>Kleiner is the only new investor in the latest round, which brings its funding total to $360 million since it was founded about five years ago.</p>
<p>The storied Silicon Valley venture firm, which has been aggressively moving into the Web 2.0 space of late, put in $150 million, with the remaining $50 million coming from existing investors.</p>
<p>Past investors include Benchmark Capital, Union Square Ventures, Spark Capital and several other venture firms and angel investors.</p>
<p>Adding Currie, McCue and Rosenblatt are very strong choices for the board. Currie has deep financial and IPO experience, McCue is a well-connected and innovative entrepreneur and Rosenblatt brings much-needed online advertising heft.</p>
<p>As it happens, <a href="http://kara.allthingsd.com/20101215/dces-what-happens-to-twitters-dick-costolo-in-vegas-stays-on-atd/">Costolo will appear at our D@CES</a> event in January, where I am interviewing him and we can talk about all the changes.</p>
<p>(Thank goodness the funding is done, since I was worried about all those awkward pauses.)</p>

<p>Seems Apple is closely following the timeline Jobs laid out for the store last month. Hopefully that means we&#8217;ll see the store itself go live  &#8220;within 90 days,&#8221; just as Jobs promised.</p>

<p>Actually, according to sources close to the situation, Facebook and Skype are poised to announce a significant and wide-ranging partnership that will include integration of SMS, voice chat and Facebook Connect.</p>
<p>The move by the pair&#8211;which have tested small contact importer integrations before&#8211;is a natural one for the social networking giant, which is aiming to be the central communications and messaging platform for its users, across a range of media.</p>
<p>Facebook&#8217;s goal, according to sources: To mesh communications and community more tightly together and add more tools to allow users to do so.</p>
<p>Since it was not going to create an Internet telephony service of its own&#8211;kind of like <em>not</em> creating a mobile operating system&#8211;Facebook has apparently turned to the Web&#8217;s Internet telephony leader.</p>
<p>Interestingly, Facebook has previously tested a video chat product.</p>
<p>Skype had 124 million people using it at least once a month and 560 million registered users, which will be bolstered by the 500 million Facebook users who will now be able to use it more seamlessly within Skype.</p>
<p>That will include allowing users to SMS and call Facebook friends from Skype, which will now deploy Facebook Connect.</p>
<p>And also do video chat using Facebook in Skype, which you can see below, in a very odd screenshot sent to me by a source&#8211;Walt Mossberg&#8217;s code name is not Daniel Matthews and I am not Allison Brown. (Click on the image to make it larger.)</p>

<p>This all will be available in Skype&#8217;s newest version, 5.0, which emerges from beta in a few weeks.</p>
<p>This is a big win for the Luxembourg-based Skype, which is <a href="http://mediamemo.allthingsd.com/20100809/big-tech-ipo-of-the-day-skype-tries-to-dial-up-100-million">currently readying a public offering</a>.</p>
<p>While it now dominates the online calling space, it needs to be present where users are now moving, such as Facebook.</p>
<p>And for Facebook, this is also helpful to its international push, making it more appealing globally since Skype is much more popular outside the U.S.</p>
<p>It will be interesting to see if both cross-integrate into their popular mobile apps too.</p>
<p>Facebook has been doing a lot of integrations with other communications services, such as a massive upcoming one with Yahoo (YHOO) and also one with Microsoft (MSFT).</p>
<p>Skype is also increasing its partnerships. Today, for example, it will announce a deal with Avaya, which makes office phones and related software aimed at businesses.</p>
<p>The pair called it a &#8220;strategic unified communications and collaboration partnership,&#8221; and is centered on business and personal videoconferencing.</p>

<p>Earlier this week, I headed down to Mountain View, Calif., to the downtown HQ of Polyvore&#8211;the unusually named start-up aimed at the inner stylist in everyone&#8211;to talk about the economics of fashion online.</p>
<p>The odd name is a combination that roughly means the devouring of many or much&#8211;which at Polyvore translates into leopard prints, kitten heels or the rubber clothes of Lady Gaga.</p>
<p>The registered site, with six million unique monthly visitors, allows users to &#8220;mix &#038; match products from your favorite stores&#8221; into fashion &#8220;sets&#8221; on any topic, concept or&#8211;in BoomTown&#8217;s taste-challenged case&#8211;fleece and Pumas.</p>
<p>You can use any soft-goods image from any Web site to do this, also adding music or other visual elements. Polyvore has already branched out into interior design and other arenas.</p>
<p>In February, to up the ante, the innovative fashion and shopping social network <a href="http://kara.allthingsd.com/20100222/former-google-exec-singh-cassidy-becomes-ceo-of-fashion-start-up-polyvore">hired Sukhinder Singh Cassidy</a>, former president of Asia-Pacific and Latin American operations for Google (GOOG).</p>
<p>At the time, Singh Cassidy said she was attracted to the viral, technological and global nature of the site, which was co-founded in 2007 by Pasha Sadri, the creator of Yahoo (YHOO) Pipes.</p>
<p>Polyvore has garnered $8.1 million in funding from Benchmark Capital, <a href="http://kara.allthingsd.com/20100216/the-start-up-whisperer-michael-dearing-is-the-hottest-angel-investor-youve-never-heard-of">Harrison Metal</a> and Matrix Partners.</p>
<p>Whether it can turn into a big money-making business&#8211;it currently has a mixed revenue plan of advertising and sponsorship and also sales lead generation&#8211;will be interesting to see.</p>
<p>But it is clear from the 20 million sets created so far, there is a passion to fashion that is easily tapped online.</p>
