Interview: Keith Rabois Talks About Sexual Harassment Claim, Becoming a "Distraction" at Square and What's Next

Sitting in front of a spectacular view of San Francisco at his home this afternoon, former Square COO Keith Rabois looks spent.

He is just recovering from a bout of pneumonia, which would be bad enough, but it’s clear from his tense and unusually — for him — disheveled appearance that the sexual harassment claim made by a current male employee at the San Francisco payments startup has taken its toll on the typically hard-charging exec who is not known for suffering fools.

But, now, given a judgement he made to continue in a personal and physical relationship with that unnamed junior staffer after he was hired at Square, Rabois feels both foolish and also angry.

“At the end of the day, this is personally embarrassing to me, because when anyone’s life is exposed to a public forum, it creates quite a damaging situation,” said Rabois. “As we looked at it, it was going to become a distraction that was going to hurt the company.”

It appears as if he wanted to stay — he shrugs when directly asked about it, though he will not say so explicitly. But, Rabois finally agreed with Square’s top management, including CEO and founder Jack Dorsey, that is was better that he leave.

“It was very clear once this outrageous demand was made, instead of building great products, it would be all about that,” he said.

That said, after an internal investigation, the company is backing him in the expected filing of a lawsuit from the employee, who has threatened a panoply of explosive allegations against him and the company that Rabois said again are a “fiction.”

He declined to show me any texts or emails between the two, but did recount the relationship in a blog post on Tumblr earlier today.

Richard Curiale, outside counsel for Square and also Rabois, said that the company had been approached about two weeks ago by New York lawyer Steven Berger, claiming the company knew of and did nothing to stop sexual harassment by Rabois and demanding a multi-million dollar settlement.

Curiale said he found no evidence in his investigation so far of anything except a “welcome” relationship that ended. He had even agreed to make Rabois available for a deposition with Berger, but the offer was refused.

I have an email into Berger for comment, which has thus far been unanswered. But Square has said it will fight any lawsuit filed and is currently supporting Rabois.

“I have not as yet found any conduct that is illegal and therefore there is no adverse relationship between Keith and Square,” said Curiale. “We don’t pay for claims that have no merit to them, because it amounts to extortion.”

Perhaps so, but it also amounts to a very juicy story — the second such major blowup in Silicon Valley in a year. The other — now a lawsuit alleging gender discrimination and retaliation, and a countersuit — between the well-known venture capital firm, Kleiner Perkins, and former partner Ellen Pao, is ongoing.

The particulars of the Rabois situation, per his side of the story, which he claims is supported by much evidence, is of a social and physical relationship with a man he met several years ago.

While he would not call their relationship dating, it was close and personal, including taking this man out with him to social events.

The problem came when he recommended this man for a job at Square and he was hired. The company was much smaller then, about 30 people, but as it grew Rabois insists he had no direct oversight of the employee and also did not treat him differently from others he managed at the company.

Rabois claims he gave him advice, as he did other employees, but neither helped or hindered the man in his efforts to advance.

The man and Rabois were still seeing each other socially until December, when the relationship cooled.

And then came the lawsuit threat two weeks ago, which Rabois said “stunned” him.

Square says that it was not aware of the personal relationship until the threat of the lawsuit; the employee has never made any complaints about Rabois to management.

Spokesman Ricardo Reyes said that “what we have here at most is bad judgement and we will defend ourselves.”

In this Rabois agrees, as he fields emails of support from his wide range of friends and colleagues in tech, where he is well known as an entrepreneur and angel investor.

“I have several good ideas of what I want to do next,” he said.

Keith Rabois's Long Statement on Personal Relationship With Square Employee, Sexual Harassment Claim That "Feels Like a Shakedown"

I am meeting with former COO Keith Rabois right now about the developing situation at Square, which involves a sexual harassment claim from a male employee still at the payments company.

The issue was first reported in The Wall Street Journal, just as Rabois posted his own account on the situation.

I’ll have more in a bit, but here is a pretty stunning statement he just gave me that also just published on his Tumblr blog, describing a personal relationship with an employee that went badly awry.

Rabois resigned yesterday as COO of the high-profile and heavily funded San Francisco startup:

The past few days have been the toughest, saddest, most frightening, and emotionally draining of my life. They have deeply affected me, both personally and professionally.

In May 2010, I met someone via mutual friends. With increasing frequency, we hung out, drank wine, and I helped prepare him for interviews with tech startups. As our friendship deepened, we spent more time together, and our relationship became physical. We regularly worked out at the gym, occasionally hung out at my home, and exchanged intimate, personal information, as people in similar relationships often do.

Several months after our relationship began, I recommended that he interview at Square. He went through the interview process and was ultimately hired. I did not interview him. I had no impact on his potential success at the company. At no point did he ever report directly to me, and I have seen his work product less than a handful of times.

Last week, a New York-based attorney threatened Square and myself with a lawsuit. I am told this lawsuit would allege that the relationship was not consensual, and would go on to accuse me of some pretty horrible things. I was told that only a payment of millions of dollars will make this go away, and that my career, my reputation, and my livelihood will be threatened if Square and I don’t pay up.

I realize that continuing any physical relationship after he began working at Square was poor judgment on my part. But let me be unequivocal with the facts: (1) The relationship was welcome. (2) Square did not know of the relationship before a lawsuit was threatened; it came as a complete surprise to the company. (3) He never received nor was denied any reward or benefits based on our relationship. And (4), I did not do the horrendous things I am told I may be accused of. While I have certainly made mistakes, this threat feels like a shakedown, and I will defend myself to the full extent of the law.

I decided to resign from Square so my colleagues could continue to do great work without the distraction that a lawsuit would most certainly bring. I deeply regret that I let my personal and professional lives to become intertwined, and I apologize to my colleagues and friends (at Square and elsewhere) who I’ve let down, and who will bear the brunt of some of the unnecessary, negative attention this situation will likely bring.

I am already working on something new and hope to announce that in February.

We took these allegations very seriously and we immediately launched a full investigation to ascertain the facts. While we have not found evidence to support any claims, Keith exercised poor judgment that ultimately undermined his ability to remain an effective leader at Square. We accepted his resignation.”

Square COO Keith Rabois Departs Company

In a major exec departure, Square COO Keith Rabois will be leaving the San Francisco payments company.

Square gave no other information about the sudden management change, but sources said disagreements between Rabois and CEO and founder Jack Dorsey were part of the reason for his exit.

It’s not clear if there were more serious issues between them, or whether the parting was related to a specific business problem. But the departure of the No. 2 exec is significant, so definitely more to come on what happened.

In a statement about the move, Rabois only said:

It is amazing what Square has accomplished since August of 2010. When I joined, there were 17 engineers all reporting flatly to Jack. The local coffee shop served as our interview room. Leading our amazing crew has been the most rewarding professional journey of my life. I am forever grateful to Jack, for his confidence in me and to each and every member of the team for allowing me to learn from them.

But every day matters. And it is better at this point for me to be doing something different every day.

As a result, I’ve decided to resign from Square. I am very excited about what lies ahead for the company. Square could not be better poised for greatness.

I will have more to share about my next opportunity soon.

Said Square’s Dorsey:

Today I accepted Keith’s resignation from Square. When he joined, we had fewer than 30 employees and under 1000 active merchants. Today, over 3 million individuals and businesses are able to accept credit cards with Square, processing over $10 billion annually. We couldn’t have done it without him and we wish him well in his next opportunity.

Square CFO Sarah Friar will become acting COO, Square said. It’s an unusual move to put an exec without a lot of deep operational experience in the second-most-important slot at Square, though the former Goldman Sachs analyst and Salesforce.com finance exec is clearly familiar with the heart of the company’s business.

The change in top management comes at a time of fast growth for the three-year-old Square, which completed a $200 million funding round in the fall that valued the company at $3.2 billion. At the time, the company said it had more than 400 employees and would grow by 100 more by year’s end.

Square is best known for allowing a range of small businesses, such as taxicab drivers, to accept credit and debit cards using their mobile phones. But it has also branched out into other mobile payments areas.

Besides his stint at Square, Rabois is a well-known angel investor in Silicon Valley, and serves on several boards, including Yelp’s. He has worked at many startups, too, including PayPal (acquired by eBay) and Slide (acquired by Google).

Zynga Loses the Deal Guy Behind the Snoop Dogg Marketing Stunt

After three-and-a-half years at Zynga, Jonathan Flesher, VP of business development, has left the social games company, the latest in a string of resignations.

According to sources familiar with the move, Flesher’s last day was Nov. 9. He could not be reached for comment, but sources said he left for a mix of reasons. While increased family time was part of it, he’s also looking for new challenges and opportunities. A Zynga spokesperson did not immediately return calls seeking comment.

While at Zynga, Flesher worked on a number of partnerships, including deals with Yahoo, Google+, MSN and AOL. He also worked on securing celebrity deals with ~~Lady Gaga~~ and Snoop Dogg for in-game integrations or marketing stunts. Just recently, he inked an exclusive partnership with bwin.party, a real-money gaming operator in the U.K.

To be sure, much of Flesher’s role was behind the scenes, but clearly over the years he’s contributed meaningfully to both revenue and marketing efforts. He reported to Barry Cottle, who recently took over as chief revenue officer.

Flesher’s departure further depletes the ranks at the struggling company. The highest-profile recent exits have been those of CFO Dave Wehner and treasurer Mike Gupta. But over the last several months, a much wider swath of employees have decided to leave. Additionally, Zynga made the decision in October to trim five percent of its workforce involuntarily.

Over the past few months, Zynga has watched its stock price tank to single digits as it has failed to come up with a new hit game. At the same time, it is having to pivot from making games for Facebook to building games for smartphones and tablets. During the transition period, some employees are simply making the decision not to stick around and to seek opportunities elsewhere.

Correction: The original version of this story incorrectly stated that Flesher was directly responsible for Zynga’s partnership with Lady Gaga. Another member of his team was directly responsible for that deal.

Dow Jones President Todd Larsen Resigns

The president of Dow Jones & Co., Todd Larsen, resigned Tuesday after more than two years on the job and 13 years at the company.

Dow Jones is the unit of News Corp. that publishes The Wall Street Journal.

No reason was given for his departure, and no replacement was named.

Exclusive: Yahoo's Chief Product Officer Blake Irving Resigns

According to sources close to the situation, Yahoo’s Chief Product Officer Blake Irving has turned in his resignation and it has been accepted by the company.

The process for Irving’s departure is a bit more formal since he is a top officer at the Silicon Valley Internet giant. But it is perhaps not that surprising, given that a brunt of the 2,000 employee layoffs at Yahoo yesterday were in his part of the organization.

Irving has not been at Yahoo this week during those wrenching cuts — that’s because the resignation has been in the works for some time.

In fact, in a restructuring to be announced next week, the central product organization at Yahoo he runs was essentially blown up, with the development moving back into media, sales and consumer products units being planned.

In addition, Yahoo’s new CEO Scott Thompson has been contemplating selling off large parts of the company’s advertising technology platforms, as well as its search business, also now under Irving.

Irving had largely opposed the strategy that Thompson has been aiming toward, said sources, and also strongly disagreed with laying off so many employees without a clear plan in place. Many inside and outside Yahoo agree.

He was also apparently concerned about the massive engineering and research talent exodus of late, especially in Yahoo’s vaunted Labs arm, which suffered major cuts in the layoffs.

The former Microsoft exec has no plans for another job, said sources, but has had a number of offers.

Yahoo confirmed the resignation when I called to ask about Irving’s goodbye. “Yahoo wishes him all the success in the future,” said the spokesperson.

Irving came to Yahoo in mid-2010 under former CEO Carol Bartz, who was fired last fall. Under his leadership, the product unit had focused a lot on creating a major publishing platform for Yahoo and other media companies. He debuted its Livestand content app earlier this year.

Outgoing Yahoo Chairman Roy Bostock's Farewell Letter (And Other Stuff)

Earlier today, I had reported that Yahoo Chairman Roy Bostock was stepping down.

He is, and the full letter he just released saying so is below.

Bostock did not say in the missive who will be Yahoo chairman in his place. Intuit CEO Brad Smith has a full-time job, and the newly installed Weather Channel CEO David Kenny does, too. Among the current directors, that would leave Sue James, Patti Hart and newly installed Yahoo CEO Scott Thompson — or one of Yahoo’s new board members.

In the letter, Bostock outlined the departures of four board members and the addition of five more directors (two of which were just named); did a little back-patting of his recent efforts to turn Yahoo around (after presiding over the board that got the Silicon Valley Internet giant into this mess); noted that the Asian talks to sell Yahoo’s stakes there are proceeding (it’s coming!); gave Thompson a thumbs-up (go, Scott!); and delivered kudos to Jerry Yang, the co-founder who left only weeks ago.

“Working with Jerry was always a delight,” wrote Bostock.

(Me, not so much, I would guess! Bygones?)

All kidding aside, Bostock has been the subject of a lot of criticism about Yahoo’s troubles, both deserved and undeserved, most especially for the non-sale to Microsoft several years ago. Many, including activist shareholder Daniel Loeb most recently, have called for his resignation.

It has not been an easy job, to be sure, so it must be a bit of a relief for the longtime advertising exec, who serves on other prominent boards, to finally pull away from the Yahoo black hole.

So, who’s next?

One interesting line in the letter, which everyone already knew, was that none of the various bids from outside investors have passed muster.

Wrote Bostock: “We have engaged with potential investors and reviewed proposals concerning an equity investment in the Company, although at this time there have not been any proposals which have been deemed by the Committee to be attractive to our shareholders.”

SUNNYVALE, Calif., February 7, 2012 – Yahoo! Inc (NASDAQ: YHOO), the premier digital media company, today released the following shareholder update from its Chairman Roy Bostock.
February 7, 2012

Dear Fellow Shareholders:

I write today to update you on the actions the Yahoo! board has taken, and the actions it is pursuing, to increase shareholder value and position the Company for growth. These actions result from a process I initiated about six months ago in a special meeting of the independent directors in which we analyzed the reasons why Yahoo! was not meeting either our own expectations or those of our shareholders.

The board decided then to move aggressively on three fronts to position Yahoo! for future success: one, we initiated a search for a new Chief Executive Officer with a vision and set of skills to lead Yahoo! into the future; two, we undertook a comprehensive strategic and structural review of the business; and three, we decided to assess the composition of the Company’s board of directors relative to its ability to enhance the prospects for Yahoo!’s future success. We have made progress on all three fronts.

First, and most importantly, we have appointed Scott Thompson as CEO to lead our company. Scott is a capable and dynamic leader who brings the experience and expertise the Company needs to achieve robust growth and success in the marketplace. Over the coming months and years, Scott will lead an outstanding team of Yahoos to deliver engaging user experiences driven by innovative products.

Second, we have made significant progress on the comprehensive strategic review which is overseen by the board’s Transactions and Strategic Planning Committee, chaired by director Brad Smith, the CEO of Intuit. The Committee’s guiding principle has been to assess alternatives which would increase value for all Yahoo! shareholders, and the Committee has been open to any transaction or initiative that would serve this objective.

As part of this review, we have pursued a wide range of discussions with potential partners. We have engaged with potential investors and reviewed proposals concerning an equity investment in the Company, although at this time there have not been any proposals which have been deemed by the Committee to be attractive to our shareholders. We are also in active discussions with our partners in Asia regarding the possibility of restructuring our holdings in Alibaba Group and Yahoo! Japan. The complexity and unique nature of these transactions is significant. While we continue to devote significant resources to these discussions, we are not in a position at this time to provide further detail or to provide assurance that any transaction will be achieved.

Finally, the board has concluded that in order to accelerate the Company’s transformation, the combination of a new Chief Executive Officer with an enhanced team of independent directors would provide Yahoo! with the expertise and perspectives necessary to drive innovation and growth going forward. Therefore, Mr. Joshi, Mr. Kern, Mr. Wilson and I have volunteered not to stand for re-election at the next shareholders’ meeting.

Furthermore, the board today elected two highly qualified independent directors, Alfred Amoroso and Maynard Webb, Jr. Mr. Amoroso served as President and CEO of Rovi Corporation until December 2011 and, among other positions, had previously served as the President, CEO and Vice Chairman of META Group, Inc., the President and CEO of CrossWorlds Software, Inc. and as a member of the world-wide management committee of IBM Corporation. Mr. Webb, the Chairman of LiveOps, Inc., served as that company’s CEO until July 2011. Prior to that, Mr. Webb was Chief Operating Officer of eBay and Senior Vice President and Chief Information Officer for Gateway, Inc., in addition to management, leadership and board positions at several other companies spanning his 30-year career.

The board continues its search for additional independent directors. This search is being led by director Patti Hart, CEO of International Game Technology, Inc., who chairs our Nominating and Corporate Governance Committee. We anticipate announcing additional directors to round out the board as soon as this process concludes.

Separately, as previously announced, Jerry Yang has resigned from the board of directors and other positions within the Company to pursue his many interests outside of Yahoo!. Working with Jerry was always a delight. He is a visionary and a pioneer who contributed enormously to Yahoo! since he co-founded the Company in 1995. He will be missed. The board thanks him deeply for his service and commitment to the Company.

Thus, following this year’s Annual Meeting a majority of Yahoo!’s directors will be new to the board this year, and all directors will have joined the board since 2010. We believe that this reconfigured board, with a fresh set of perspectives and diverse set of skills, will enable the Company to move forward even more aggressively.

It has always been a privilege for me to serve as Chairman of Yahoo!. The employees of Yahoo! remain the heart, soul, and future of the company. And with Scott Thompson leading them, they are the reason why I believe Yahoo! will create significant shareholder value over the coming years.

In September, this board moved proactively and decisively to improve the performance of the Company for the benefit of its shareholders. These actions could not have been accomplished without the support and active participation of each director on the board. For that, I thank them. Expedia President Scott Durchslag Resigns Suddenly

Closely following the spinoff of TripAdvisor from Expedia last month, Scott Durchslag has officially stepped down today as worldwide president of Expedia.

We confirmed his resignation with a spokesperson, but it was first reported by Geekwire’s John Cook this morning.

The spokesperson did not provide a reason for Durchslag’s departure, adding that the role would now be filled by Expedia’s CEO, Dara Khosrowshahi.

Before Durchslag’s 14-month stint at Expedia, he was the COO at Skype and a corporate VP at Motorola. As seen in the photo on the right, Durchslag attended the D conference in Rancho Palos Verdes, Calif., last June to announce a travel partnership with Groupon before Groupon’s CEO Andrew Mason was interviewed on stage.

Expedia’s stock was trading down about 1 percent, or 40 cents, today to $28.91 a share.

Déjà Vu: Activist Yahoo Shareholder Takes Aim at Board

And so it begins again for Yahoo.

When shareholders attack, that is.

In a filing with the Securities and Exchange Commission, Third Point LLC, a large shareholder of Yahoo, called for a new board.

The multi-billion dollar hedge fund now owns 5.1 percent of the Silicon Valley Internet giant, making it the third largest shareholder.

“This letter details our principled demands for sweeping changes in both the Board of Directors (the “Board”) and Company leadership, and outlines the hidden value of Yahoo, which has been severely damaged — but not irreparably — by poor management and governance,” said Third Point CEO Daniel Loeb in a letter to Yahoo Chairman Roy Bostock.

Loeb outlines the damage, including the botched takeover fight with Microsoft and its hiring of the now ousted CEO Carol Bartz.

He calls for Bostock’s departure too from the board, as well as others:

“It is time that certain members of this Board were held accountable for its past failures and their individual roles. Accordingly, we insist that Mr. Bostock, who championed Ms. Bartz’s hiring and led the charge against the Microsoft deal, promptly resign from the Board. We also demand that fellow Directors Arthur Kern and Vyomesh Joshi, who have stood by silently during these last five years of woeful performance, join Mr. Bostock in resignation. Finally, we can only assume that Director Susan James, the President of Tri-Valley Animal Rescue, will also resign, given her close relationship with Ms. Bartz. If she does not do so voluntarily, the Board should request her resignation as well.”

The last time Yahoo had a big shareholder fight — with well-known investor Carl Icahn — there was much damage all around, especially to its share price.

Successor Faces Tough Job at Apple

Steve Jobs is legendary for a relentless, driving style that has helped him disrupt more industries than any other chief executive of his generation.

The question now: Is his successor, Tim Cook, aggressive enough to muscle Apple into new turf like TV and publishing where the company hasn’t yet established a dominant foothold?

The real test for Mr. Cook will come when he is no longer benefiting from Mr. Jobs’s triumphs and must conquer new markets on his own. Executives in media companies, for instance, are reluctant to give up control of their products and fear Apple will end up eating away at their profits. Mr. Cook must win them over.

Apple Stock Falls After Jobs Announcement

Apple’s stock is getting hit hard in after-hours trading following the announcement that CEO Steve Jobs has resigned.

Jobs, who will become chairman, is handing over the day-to-day operations to former COO Tim Cook, who has deftly operated the company in Jobs’s absence before.

Still, investors are clearly uneasy with the top-level change, even though it has been a possibility for some time.

At one point, shares traded down $20.19, or 5.37 percent, to $355.99. That translates roughly to $18.5 billion in market value.

Investors, who recently pushed Apple shares high enough for the phone and computer-maker to overtake Exxon Mobil as the world’s most valuable company, obviously places overwhelming value on Jobs.

The stock had recently been trading higher on the expectation that the iPhone 5 would launch in October.

This is not the first time that Jobs’s sudden departure has shaken investors’ nerves.

Back in January 2009, shares dropped as much as 10 percent, or roughly $6 billion in market value, when the news broke that the CEO was taking a medical leave of absence.

At the time, AllThingsD’s John Paczkowski called investors wusses. “Yes, Jobs’s sensibility pervades Apple’s culture and its products, but that culture and those products are not tethered to his health or day-to-day presence at the company. And Apple’s deep executive bench is more than capable of running it — and running it well — in his absence. … Apple will endure — with or without Steve Jobs.”

In Steve Jobs’s letter of resignation to the Apple board and its community, the visionary leader offers no reasons for his departure.

He explains: “I have always said if there ever came a day when I could no longer meet my duties and expectations as Apple’s CEO, I would be the first to let you know. Unfortunately, that day has come.”

Jobs’s resignation was announced just moments ago.

I hereby resign as CEO of Apple. I would like to serve, if the Board sees fit, as Chairman of the Board, director and Apple employee.

As far as my successor goes, I strongly recommend that we execute our succession plan and name Tim Cook as CEO of Apple.

I believe Apple’s brightest and most innovative days are ahead of it. And I look forward to watching and contributing to its success in a new role.

I have made some of the best friends of my life at Apple, and I thank you all for the many years of being able to work alongside you.

With HP's Raising of the World's Biggest White Flag, Will Jon Rubinstein and Todd Bradley Surrender Too?

It wasn’t until dinner this past Sunday night that CEO Léo Apotheker told Todd Bradley, the head of its Personal Systems Group, that he was about to push key parts of Bradley’s huge unit off the cliff.

That included stopping selling hardware — smartphones and TouchPad tablets — based on the webOS it acquired from Palm last year, a $1.2 billion deal that Bradley played a big part in.

In addition, HP said it was considering spinning out its PC business and would “explore options to optimize the value of webOS software going forward.”

But, until a few days ago, several sources close to the situation said, Bradley knew nothing of these plans and neither did webOS’s key driver of late, former Palm CEO Jon Rubinstein.

This surprising lack of disclosure by HP to two of its key execs begs the question: Will they stay or will they go now?

According to sources, staying put is the plan for both for now, although it depends on what such a spinoff will look like.

It’s clear at this point that Bradley — who was once the CEO of Palm himself and was once considered the most likely successor to former CEO Mark Hurd, before Hurd’s sudden resignation last year — is the leading CEO candidate of its spun-out independent PC company if that’s what HP decides to do.

But it’s not a lock, either. And, apparently, Bradley has not been locked in with regards to a spinoff either and would likely have a lot of offers from tech companies in Silicon Valley to choose from if he wanted.

“Who will they get if Bradley goes at this point, if they want to spin it off?” said one person at the company.

But, added another: “Bradley is in the catbird seat if he wants to be and it’s his to lose.”

That depends, of course, on what his is.

Questions include:

Will that new company include any of the consumer part of the printer business — a huge cash cow — if HP is indeed leaving the arena?

Will webOS go with the new set-up, so that it can take advantage of the patents and licensing income?

Will HP continue to be the brand name on the devices this computer company spinoff would make?

These are just a few of the issues in a deal of untold complexity. But perhaps the most obvious one is who would get custody of Rubinstein?

To begin: Bradley is a big fan and would certainly want him around if there were a spinoff, said several sources.

But to do what?

Rubinstein, a well-known tech exec, had been leading the webOS efforts for HP, but was recently moved upstairs to a larger but fuzzy role, to run product development and innovation for the PSG unit. He has been reporting to Bradley.

At the time, the move was seen by many as the first step out the door by Rubinstein, with one person joking that “he’d much rather be at his Mexican beach house than HP.”

Among the disgruntlements: Several sources said Rubinstein felt that TouchPad wasn’t ready to ship and that Apotheker has reneged on a public promise not to until the tablet was “perfect.”

That ire is no surprise, since the device was then subject to tough criticism, including by AllThingsD’s Walt Mossberg, who noted in his review:

“… In my view, despite its attractive and different user interface, this first version is simply no match for the iPad. It suffers from poor battery life, a paucity of apps and other deficits.”

In addition, unlike others there, Rubinstein has been more of a product guy and not an HP lifer. That begs the question of whether he’d like to sign up to another big company stint, even if he had more control.

“He’s been to that party before, and the reality is that he is not a career big company person,” said one person.

One important note: Rubinstein was unable to make webOS work when Palm was already a standalone independent company. And, although a new HP spinoff would be huge and better funded, it is still very much an uphill and competitive battle on the computer, smartphone and tablet fronts.

In addition, keeping a competitive operating system going is also a costly bear of an issue.

“It’s a cyclical, high-velocity business and there are other huge players from Apple and Google in smartphones and tablets to Lenovo and Dell in PCs,” said another source. “There might be a lot of great products in the pipeline for webOS, but it will not be easy to make them a success.”

That said, noted another person who knows Rubinstein well, “he really cares about webOS and does not want to see it go away.”

That might be true, although that is just what might happen if HP decides to sell it off to someone else or makes the spinoff a difficult endeavor.

In that case, it’s an offer Bradley and Rubinstein can refuse.

AMD Hires Its New CIO Away From Hewlett-Packard

Executives from Hewlett-Packard certainly seem to be in demand from other companies these days, and prospective poachers are clearly having better luck in their recruiting than others. On the same day that reports emerged that chipmaker Intel had unsuccessfully courted Todd Bradley, head of HP’s $41 billion personal systems group for a job that might have led to his being tapped as Paul Otellini’s successor, now we learn that Intel rival Advanced Micro Devices has hired its new CIO away from HP.

His name is Michael Wolfe. He’s 52 and has worked for HP for five years, most recently as VP for Information Technology. This will be his second go as a CIO. Before his stint at HP, he spent 24 years at Motorola’s Semiconductor Unit and was CIO during the period it was spun out to become Freescale Semiconductor.

His new boss, AMD’s interim CEO Thomas Seifert, had high praise. “Mike has effectively led IT transformations constantly focusing on reducing operating costs and significantly improving business innovation,” he said in a statement. “His considerable talent and experience will help AMD to continue strengthening our IT infrastructure and streamline our business based on our own products and platforms.”

This hiring is taking place against the backdrop of the complicated, difficult search for a new CEO at AMD following the surprise resignation of Dirk Meyer in January. COO Robert Rivet soon followed.

AMD shares haven’t moved much since then, and it has been the subject of recurring problematic buyout rumors. Today the shares closed at $8.55, unchanged from the prior session, and that’s up only a nickel from where it was at the start of the year. Shares fell five cents in after-hours trading. Investors seem to consider AMD a company in a holding pattern until there’s some resolution in the corner office.

Another Yahoo SVP Departs–This Time, Techie Cheryl Ainoa

Yahoo is losing another longtime senior exec, this time Cheryl Ainoa (pictured here), who has been SVP of the company’s Global Service Engineering unit.

Ainoa, who was one of Yahoo’s top women executives, announced her resignation to her team earlier this week. She is apparently departing for a job at another Silicon Valley tech company.

As described for a recent “Girl Geek Dinner” at Yahoo, where she spoke on the topic of “Innovation at Scale,” Ainoa’s job was to lead “the teams that manage all Yahoo! applications in production worldwide–ensuring scalable, highly available and high performing experiences for every Y! user.”

Ainoa is a longtime Yahoo veteran and also has worked at other companies such as Broderbund Software, Genealogy.com and Healtheon/WebMD.

Earlier this week, another longtime Yahoo–VP of North American Field Sales Mitch Spolan–left for the top advertising job at social buying site, LivingSocial.

Yahoo declined to comment.

Judge: HP Can Re-Investigate Hurd Departure

Hewlett-Packard’s proposed plan to revist the circumstances that led to the departure of former CEO Mark Hurd can proceed, a federal judge in San Jose, Calif., ruled today.

It’s the latest development in a shareholder lawsuit against HP in which the plaintiffs have alleged that HP’s board of directors let Hurd walk out the door with too much money when he resigned following accusations of sexual harassment by a onetime contractor. They’re seeking an order that would require Hurd to disgorge the payments he received as his severance deal.

The judge, James Ware, ignored Hurd’s argument that he deserves to see documents relating to the matter that so far HP has refused to share, though the ruling doesn’t address whether he’ll ultimately get to see them or not. Hurd had objected to a new investigation, saying he would agree to it only if he were to get copies of the initial demand letter from shareholders that led to the lawsuit, as well as related documents that are under seal in a separate shareholder case on the same issue that’s before the Delaware Court of Chancery. Ware scheduled a hearing on March 20 to hear an update on the investigation.

Hurd resigned from HP in August after accusations about sexual harassment arose from Jodie Fisher, a onetime actress and former HP contractor. He was found not to have violated HP’s sexual harassment policy, but was found to have violated HP’s expense-reporting policy. After leaving HP, he went on to become co-president of Oracle, after Oracle CEO Larry Ellison criticized HP’s board of directors for its handling of the incident.

HP Plans Another Probe Into Hurd Departure

Hewlett-Packard will hire outside lawyers to run a new, independent investigation into the circumstances that led to the resignation of former CEO Mark Hurd, Bloomberg is reporting, citing court filings.

Word of a new probe comes in response to a shareholder lawsuit in federal court in California claiming that HP paid Hurd too much in severance when he left. In the meantime, both HP and the shareholders suing have asked the judge to put the case on hold until the investigation is complete.

Hurd says he wants to see a copy of the shareholder demand that led to the lawsuit, and will oppose the delay in the case until that happens. HP says that as a subject of the inquiry, Hurd isn’t entitled to see any of the documents in question.

In the Delaware case, Hurd’s lawyers argued that the original letters from Jodie Fisher, a onetime actress and a former HP contractor who accused Hurd of sexual harassment, shouldn’t be made public.

Hurd, you’ll recall, went on to become co-president of Oracle, after Oracle CEO Larry Ellison raked HP’s board over the coals for its handling of the incident. Ellison wasn’t alone, as former General Electric CEO Jack Welch later piled on.

Replacing Dirk Meyer at AMD Will Be No Easy Task

The sudden and unexpected resignation of Advanced Micro Devices CEO Dirk Meyer yesterday has left some issues in its wake.

First, the departure has jarred the confidence of investors who have pushed the value AMD stock up by more than 57 percent since September. Shares are down by more than 8 percent today.

Second there’s the problem of hiring a replacement for Meyer, who had been on the job only a little more than two years. I’ve been talking to people both inside AMD and longtime AMD watchers outside of the company and practically all of them have been having trouble coming up with a short list of potential candidates.

For one thing, I’m hearing from people familiar with the thinking of those involved in the hiring process that there’s a strong preference for an external candidate.

Among the criteria are someone with a proven record of running large technology companies, and one with some charisma who can get the marketplace excited about AMD again. While Meyer deserves credit for getting AMD back on relatively stable footing following the divestiture of its manufacturing operations–now GlobalFoundries — and his predecessor, Hector Ruiz, gets the credit for doing the heavy lifting of getting the complicated transaction related to that split, neither could be described as charismatic.

Historically, AMD knows what it’s like to have a charismatic CEO. Jerry Sanders who founded the company and ran it from 1969 until 2002, possessed plenty of it, and some of the more colorful anecdotes about Silicon Valley history concern him. The board wants someone who’s both capable and cool at the same time. Someone who can represent the company well to the outside world, bring an air of stability and competence and elaborate a vision that will move the company forward. That’s a tall order for a company like AMD, whose fundamental strategic problem can be summed up in a single phrase: Competing with Intel is brutal, no matter what you do.

The list of potential candidates isn’t obvious by any stretch. Still in my conversations today, a few names came up, some more idealistic than realistic. One internal candidate who will probably get courtesy consideration I’m told is Rick Bergman, senior vice president and general manager for AMD’s products group. He oversees both the graphics and microprocessor operations and came to AMD in 2006 as a senior executive at ATI, the graphics chip company that AMD acquired for $5.4 billion in 2006. His résumé includes time at Texas Instruments and IBM. He’s described by those who know him as hard-driven and competitive and a capable well-respected manager, though at the end of the day not likely to get the nod.

Another name that has come up is that of Pat Gelsinger, not necessarily because he’d be a candidate for the job, but more as an example of the kind of person AMD would like to hire. Gelsinger was Intel’s CTO from 2001 to 2005 and was senior corporate vice president for the Digital Enterprise Group until 2009, when he suddenly jumped to EMC as president, COO and apparent successor-in-waiting to CEO Joe Tucci.

Finally there’s Michael Capellas, whose name invariably comes up whenever a significant CEO slot comes open. He’s currently running Acadia, a private cloud computing joint venture between Cisco Systems and EMC with investments from Intel and VMWare. Capellas was the CEO of Compaq Computer when Hewlett-Packard acquired it in 2002, then went on to helm MCI and engineered its turnaround and sale to Verizon in 2006. His next stop was the payment giant First Data after it was taken private in a leveraged buyout by the private equity fund Kohlberg Kravis Roberts. He was considered for the CEO job at Hewlett-Packard, before Léo Apotheker was named, but was said not to be interested. He’s got the tech and management chops and has a proven record for getting troubled companies on solid footing. It’s unclear if he would be interested.

Whoever they pick, they may want to do it quickly. AMD has a tough road ahead of it, and uncertainty at the top certainly isn’t going to help.

RIM Earnings Top Estimates (But Will the Street be Impressed?)

Research In Motion posted earnings on Thursday that topped analysts’ estimates, though revenue was generally as expected.

The BlackBerry maker said it earned $911 million, or $1.74 per share, on revenue of $5.5 billion.

On average, analysts had said to expect around $5.4 billion in revenue and earnings around $1.64 or $1.65 a share.

However, shares of RIM initially slipped more than a dollar after the report, but then rebounded to levels above where they ended regular trading. Shares changed hands recently at $61.15, up $1.91, or more than 3 percent.

Looking forward, RIM said it expects revenue for the current quarter, which runs through February, to be between $5.5 billion and $5.7 billion, with similar margins to the just-ended quarter. Earnings are seen in the range of $1.74 to $1.80 per share.

The report and conference call are being closely watched, both because of all the competitive challenges facing RIM as well as the fact this is the last quarter the company plans to give out certain financial information.

For the just-ended quarter, RIM said it shipped 14.2 million BlackBerrys, up 40 percent from a year earlier. It said it added approximately 5.1 million net new subscribers in the quarter, bringing its base to more than 55 million. Both figures are among those RIM plans to stop sharing after this quarter.

The company also said that one of its directors, Jim Estill, has resigned “due to a business conflict” after 13 years on the board. Co-CEOs Jim Balsillie and Mike Lazaridis will serve as co-chairmen with John Richardson remaining as lead independent director.

RIM’s conference call starts at 2 pm PT and Mobilized will have live coverage. One thing to watch will be whether the company expects an impact at Verizon from the expected arrival of the iPhone. Motorola warned last week that it expects to see its shipments to Verizon take a hit.

Dell Mobile Boss Bails

Ron Garriques, president of Dell’s communication solutions group and the guy who led the company’s recent forays into the smartphone and tablet spaces, has resigned. His last day is Jan. 28, 2011, though he’s been retained as a consultant for the remainder of the year.

So why is Garriques, whom Dell recruited from Motorola in 2007 and subsequently tapped to run the company’s communications products division, leaving? Evidently that division’s being shuttered and rolled into other units. Seems new devices like the Streak–Dell’s Android tablet–and smartphones like the Aero and Venue Pro aren’t quite performing the way Dell had hoped. Said Dell spokesman David Frink, “He made a decision to look at other opportunities as we integrate the former communications solutions group into our core operating structure.”

Garriques leaves Dell with a $1.44 million severance payment and a promise of $6.3 million for future consulting services.

HP Ex-Contractor Alleged Mark Hurd Shared Inside Info With Her

A former Hewlett-Packard Co. contractor alleged in June that Mark Hurd, then the company’s chief executive, leaked to her details of the company’s plan to acquire Electronic Data Systems Corp. more than a month before the $13.9 billion deal was made public, according to people familiar with the situation.
The claim came in a letter to Mr. Hurd in which the contractor, Jodie Fisher, accused the CEO of sexually harassing her at HP events between 2007 and 2009, these people said.
An HP investigation into Ms. Fisher’s various allegations led to Mr. Hurd’s resignation from the Palo Alto, Calif., company in August.
HP disclosed the sexual-harassment allegation in the press release announcing Mr. Hurd’s resignation. HP hasn’t disclosed publicly the allegation that Mr. Hurd leaked plans of the EDS deal.

Meet the Yahoo Board: Something Old, Something New–But Will They Do Something?

With all the noisy swirl around Yahoo of late–from its executive turmoil to its flat growth to its dashed partnerships in Asia to its brash CEO–its board has been unusually quiet of late.

Comatose, some might say.

In fact, many do say exactly that, pointing to the trauma of their disastrous performance when they fended off a hostile takeover attempt by Microsoft (MSFT) for above $30 a share as the cause.

Since then, the stock price of Yahoo (YHOO) has been mired in the low teens.

That is, until yesterday, when even more rumors of new plots emerged in the media, with private equity firms, media companies, Web rivals, big shareholders, Wall Street and others all machinating about trying to grab all or some of the Internet giant.

Now, it will be interesting to see if its directors will shake themselves out of their typical comfort zone of inactivity to actually do their job.

Which, as former GE (GE) star exec Jack Welch–in a recent smackdown of a spate of controversial moves by the Hewlett-Packard (HPQ) board–said in a recent interview, is to “pick the CEO, help them shape strategy, make them feel good about themselves, and, if the CEO isn’t doing a good job, to ‘get them the hell out of there.’”

According to sources close to the situation, the Yahoo directors are in a quandary, even as they are on the receiving end of a flood of suggestions and demands from big investors, ranging from merging with AOL (AOL) to aligning with News Corp. (NWS) to selling off the company’s lucrative Asian assets to replacing CEO Carol Bartz.

You get the idea.

But that might not happen as quickly as some want. Sources said that while the eight-person board has some strong personalities on it, there is no one who has emerged as a powerful leader, aside from Bartz.

Yahoo has recently tried to attract two execs who might be able to go toe-to-toe with her–OpenTable (OPEN) CEO Jeff Jordan and Akamai (AKAM) President David Kenny–but was turned down by both.

Neither apparently wanted the headache of dealing with Yahoo’s struggles.

The same goes for some on Yahoo’s board.

Said one person who had spoken to a few board members recently: “Each of them tells me, ‘I’m only one person and I can’t act alone.’”

Indeed not, which is why you have a board. Stone soup, people!

In any case, it is high time to put the spotlight on the Yahoo directors, which I have done in the past in other crisis moments.

Here’s a rundown, with their photos from Yahoo’s shareholder Web site, along with some BoomTown analysis:

Carol Bartz, CEO:

We all know her, the tough-talking longtime Silicon Valley software exec who was brought in to clean up Dodge in the wake of the rocky tenure of former CEO and co-founder Jerry Yang. She is under pressure here for not doing that well enough, of course, despite a very, very big compensation package.

Still, with an aggressive personality and a wimpish board, she might be able to stave off any challenges to her power.

Roy Bostock, Chairman:

The longtime airline board member and advertising exec has been at the top of the Yahoo board since 2008 and on it since 2003.

Which is why I called for his resignation after Yang and former Yahoo President Sue Decker gracefully stepped down, after their management was called into question.

Bostock was right there with them, making all those decisions, which turned out to be disastrous in hindsight. Still, he does not seem to be much for the honorably-falling-on-your-sword thing.

In fact, sources said he has been making the rounds of investors recently trying to gauge the mood. Memo to Roy: It’s bad.

Eric Hippeau

Now the CEO of the Huffington Post, the longtime Web investor and publisher has a lot of online experience and should be one of the leaders on the Yahoo board. Hippeau has certainly been a director long enough to be one–since 1996, as an early investor in the company.

He’s also known as a super-nice guy in Internet circles, which means he is no head-smacker. Too bad.

One idea floated to me by an investor: Yahoo could buy the upstart online media darling and install him as CEO. Pretty please, because the entrance of the fab stylings of Arianna Huffington into this mess would send me into the stratosphere of reporting nirvana.

Vyomesh Joshi

Also a very endearing dude, the top HP exec was one of those on the short list for CEO of the tech giant recently. He runs its gigantically profitable printing and imaging business.

He’s been a Yahoo director since 2005 and should be a key decision maker, since he is an experienced operator. He’s not been, unfortunately.

Arthur Kern

Also a lifer, also having been on the Yahoo board since 1996, the investor and radio exec has also worked in marketing at Digitas.

Among the board members, he seems to be the quietest of the bunch, so I am not sure what to say about him except that he has very white teeth.

Gary Wilson

Another investor–in private equity, he has been on the board of airline companies (what is with this plane stuff on the Yahoo board?), as well as a top financial exec at Disney (DIS) and Marriott (MAR).

Again, a nice résumé, and he should be a leader. He was definitely more involved in the Microsoft situation than others.

Since then? Meh.

Sue James

The accountant. Retired from Ernst & Young. Used to work for Bartz, as lead partner for audit work for Autodesk (ADSK). Joined the Yahoo board early this year.

Probably just figuring out that this whole thing might not be adding up.

Patti Hart

Also new, since June. Worked in the digital video business, and is now the CEO of a “global provider of electronic game equipment and systems products.”

Say what?

Okay, I will go with it, as I am liking that Bartz has brought on two women to the board, which has mostly been stacked full with men.

Brad Smith

The president and CEO of Intuit (INTU), the financial management software powerhouse, also joined in June. This guy should be able to shake the trees, right?

But he is probably still trying to learn everyone’s name. Brad, not to put too much pressure, but everyone is counting on you.

Jerry Yang

Last, but certainly not least, the man who is ultimately the power player here.

The Internet pioneer and industry legend checked out of Yahoo for a bit after he stepped down in early 2009–time to tee off!

But many sources said he has been back at Yahoo for a while–glad-handing advertisers, meeting with entrepreneurs, sussing out trends, piping up in strategy meetings and doing the behind-the-scenes thing that he does so well.

Reports vary on how much he likes Bartz–he expresses support for her to some, but seems to have soured on her to others.

Who knows with the endearingly prickly Yang, whom I have been covering for a dog’s age and who should return my emails once in a while, like in old times when I stalked him.

Dinner is optional, but I will pay this time (see video below of our last semi-enjoyable meal).

Still, here is what I know for sure: Yahoo is Yang’s creation and legacy, and he’s the one who has to make sure that it survives and thrives.

For all the uncertainty surrounding Yahoo once again, that much is true.

Exclusive: Major Meltdown at Yahoo as More Top Execs to Depart, Including U.S. Head Hilary Schneider

The executive turmoil at the very top of Yahoo continues, with the company poised to announce the resignations of three top execs, including U.S. head Hilary Schneider (pictured here), according to sources close to the situation.

The other execs also leaving, which Yahoo (YHOO) is planning on revealing Friday: U.S. Audience head David Ko and, as BoomTown previously reported, VP of Media Jimmy Pitaro.

While some at Yahoo are trying to spin it as an ouster, sources close to the situation said that Schneider–who presides over media and advertising sales at Yahoo–has wanted to leave the company for a while, but was convinced to stay on by CEO Carol Bartz.

Schneider will, in fact, stay at Yahoo while it searches for her replacement. Heidrick & Struggles had already been headhunting candidates for her job in recent weeks.

Why Ko, who works directly for Schneider, is leaving now is uncertain, although sources said a lot of product control over properties under him is being moved over to Chief Product Officer Blake Irving.

Irving was hired several months ago by Bartz, and he has brought in many former colleagues from Microsoft (MSFT) to top product jobs at the company. And he’s appeared to have won the latest corporate power play too.

This entire mess–and that’s precisely what it is–calls into question the tenure of Bartz, a tough-talking, cost-cutting exec who was brought in to clean up Yahoo after the maelstrom around the failed takeover attempt by Microsoft several years ago.

She replaced co-founder Jerry Yang and came in with guns blazing and styling herself as an agent of change.

Except not too much as changed–except for finally striking a search technology deal with Microsoft–as the exodus of talent from Yahoo increases, advertising revenue growth is anemic, innovation is stalled, metrics are weak and the stock remains moribund.

In addition, Bartz’s frequent shoot-from-the-hip remarks appear to have alienated a number of partners, most recently in Asia.

This week, according to sources, some board members had an emergency meeting at Yahoo’s Sunnyvale, Calif., HQ to try to figure out how to deal with the burgeoning management issue.

Some speculate that they will hire a second-in-command to Bartz, who might be able to take over for her when her contract is up in 18 months.

Yahoo declined to comment.

Microsoft Loses Another Windows Veteran

High-level Microsoft departures are becoming a regular event. Last month, Windows senior VP Bill Veghte said he is leaving the company after 20 years. This month, it’s Mike Nash, corporate VP for Windows Platform Strategy, who has tendered his resignation.

Nash spent 19 years at Microsoft (MSFT), where he led development of Windows NT, Windows 2000 and, more infamously, helped manage fallout from the “Vista Capable” fiasco. He was among the more prominent public faces of Windows over the years, so it’s odd to see him stepping down so suddenly.

“We can confirm that Mike Nash is leaving Microsoft in a couple weeks,” Microsoft said in a statement. “In his 19 years, Mike made an impact in number of key roles at the company. We appreciate his service and wish him well.”

It’s not yet clear why Nash is leaving or where he’s headed, though Mary Jo Foley says he may soon surface on the Kindle team at Amazon (AMZN).
