Recently, BoomTown reported that Flixster–the popular social movie site whose brands include the Rotten Tomatoes premium reviews site–was in early acquisition discussions with several suitors.

Now, said sources, Warner Bros. appears to be the frontrunner in various talks to buy the entertainment site, while Internet giant Yahoo has dropped out due to price concerns.

The reason for interest from the Time Warner-owned studio, said sources, is due to a spate of recent digital efforts, including its expansion of a movie rental experiment on Facebook.

As MediaMemo’s Peter Kafka wrote last night:

<blockquote class="memo>
Earlier this month, Time Warner’s studio started letting Facebook users watch “The Dark Knight” on the social network for $3. Now it has added five more movies, and is asking more money for three recent releases: It will cost you 40 Facebook Credits–the equivalent of $4–to rent “Inception,” “Life As We Know It” and “Yogi Bear” on the site. The first two “Harry Potter” movies, however, are at the original price.

Flixster has a strong presence on the Silicon Valley social networking giant, which could make it a good vehicle to attract people to the movie rental effort, as well as a popular mobile app.

Interestingly, Rotten Tomatoes was once owned outright by another traditional media giant: News Corp.

It is now only a minority shareholder, after trading Rotten Tomatoes for a 20 percent stake in the combined entity a little over a year ago.

News Corp., which owns 20th Century Fox Studios, is not bidding for Flixster, several sources said.

The price being discussed for the San Francisco-based start-up is between $60 million and $90 million.

Any acquisition negotiations could always fail, of course. In fact, Flixster held advanced discussions in late 2007 with IAC/InterActiveCorp.

Flixster trades all kinds of recommendations, ratings and news and even posts user-generated movie reviews on its Web site and via widgets on social networking sites, mostly on Facebook, and on mobile devices.

Co-founded in 2006 by CEO Joe Greenstein and CTO Saran Chari, Flixster has raised $7 million in venture funding from Lightspeed Venture Partners and Pinnacle Ventures, as well as garnering angel investments, such as from Silicon Valley entrepreneur and LinkedIn founder Reid Hoffman.

The combination with Rotten Tomatoes and its more robust Web presence made a lot of sense. It features mostly premium content, including professional reviews, trailer videos and news.

The site is famous for its clever fresh and rotten tomato rating system for movies.

I have not received a response from emails sent to Flixster and Warner Bros. requesting comment.

Flixster–the popular social movie site whose brands include the Rotten Tomatoes premium reviews site, as well as BuddyTV–is in early acquisition talks with several suitors, including Yahoo, said sources close to the situation.

The price being discussed for the San Francisco-based start-up is between $60 million and $90 million, said several sources, in talks that are “substantive.”

Nonetheless, any acquisition negotiations could always fail. In fact, Flixster held advanced discussions in late 2007 with IAC/InterActiveCorp.

Along with Yahoo, which is interested in bringing in a strong team to bolster the entertainment offerings of the Silicon Valley Internet portal, sources said several media giants are also eyeing Flixster in order to strengthen their ties to entertainment consumers. Likely candidates in this regard include Disney and Warner Bros.

Interestingly, one of Flixster’s big shareholders is News Corp., which traded its Rotten Tomatoes unit for a 20 percent stake in the combined entity a little over a year ago.

But its minority stake gives News Corp. little influence over Flixster’s fate, although its IGN gaming unit head Roy Bahat is on the Flixster board. News Corp.–which has been shedding Web properties, such as its current effort to sell MySpace–is not bidding for Flixster.

But the interest in the site by Yahoo and others is obvious.

Flixster has attracted a huge online audience, which trades all kinds of recommendations, ratings, news and even post user-generated movie reviews on the Web site and via widgets on social networking sites, mostly on Facebook. Its recent mobile app efforts have been successful.

Co-founded in 2006 by CEO Joe Greenstein and CTO Saran Chari, Flixster has raised $7 million in funding from Lightspeed Venture Partners and Pinnacle Ventures, as well as garnering angel investments, such as from Silicon Valley entrepreneur and LinkedIn founder Reid Hoffman.

The combination with Rotten Tomatoes and its more robust Web presence made a lot of sense. It features mostly premium content, including professional reviews, trailer videos and news.

The site is famous for its clever fresh and rotten tomato rating system for movies.

A Yahoo spokeswoman declined to comment and I have not received a response from emails sent to Greenstein.

Until he does, here’s my video interview with Greenstein, Chari and COO Steve Polsky, in which they talked about the deal to combine Flixster with Rotten Tomatoes:

It’s not all departures!

Yahoo is hiring former News Corp. and Disney online exec Mickie Rosen (pictured here) to run its Audience unit, which includes the Silicon Valley Internet giant’s powerful content sites, sources said.

Starting next week, Rosen will report to Americas head Ross Levinsohn, who has worked with her before, at both News Corp. and Fuse Capital.

Her new title is SVP of the Yahoo Media Network, which is apparently a rebranding of Audience.

Previous to this job, Rosen was CEO of Tecca, a price-checking service Fuse created in partnership with Best Buy.

It’s likely she will remain based in the Los Angeles area, where Yahoo has a large office in Santa Monica, Calif.

The move is Levinsohn’s first management rejiggering since he took over last year, and there is likely to be more to come.

Rosen, who has also worked at the Fandango online movie ticketing site, will replace interim audience head Raymond Stern, who will be–as before–running partnerships and business development, as well as Yahoo’s listings business.

Rosen’s new job had actually been that of former Audience head David Ko, as well as former Media VP Jimmy Pitaro.

Ko left Yahoo and is now heading mobile games at Zynga, while Pitaro is a top digital exec at Disney.

More to come from Levinsohn, but here is Rosen’s bio from the Fuse Web site:

News Corp. said on Wednesday that it had sold its Fox Mobile Group unit to Jesta Group, an investor firm. The deal closed today, the parties said, but terms were not disclosed.

The mobile entertainment unit, which includes Jamster, Mobizzo and mobile video service BitBop, will be renamed and become a part of Jesta Mobile Holdings.

“We believe that mobile entertainment is an important emerging market and we are excited about this acquisition and the opportunities for growth it presents,” said Jesta President Jason Aintabi in a statement. “FMG’s unique 10-year history in mobile entertainment services; its stature as a trusted partner with carriers and device manufacturers; and its many successful consumer brands give it a clear advantage in this rapidly developing sector.”

BoomTown’s Kara Swisher reported earlier this year that News Corp. had been looking for a buyer for the unit. Fox Mobile Group, which also saw job cuts earlier this year, is made up largely of properties acquired from VeriSign for more than $300 million. (It was a two-stage deal, with News Corp. acquiring a stake in 2006 and buying the remaining part back in 2008.) The company had also launched the BitBop mobile video service earlier this year.

The deal is the latest in a series of online divestitures for News Corp., which has sold a number of properties, including movie review site Rotten Tomatoes.

(Disclosure: All Things Digital is owned by News Corp.)

The online television guide Clicker today launched its own social recommendation system called Clicker Predict, which utilizes “more than 50 explicit and implicit behaviors of individuals, their friends, and even kindred spirits in determining what someone will like to watch.”

With the launch of Clicker Predict, Clicker became the latest site to join Facebook’s Instant Personalization program, which customizes an outside site based on information a user and the users’ Facebook friends have submitted to Facebook or the site itself. This can happen the very first time a user visits a site–so if you’re new to Clicker, but are currently logged in through your browser to Facebook, Clicker can instantly make recommendations about what you should watch.

The experience of visiting a new site that already knows who you are can be a bit unnerving, which is why Facebook is rolling out Instant Personalization slowly and carefully. It’s one of the company’s more aggressive products on the privacy front. Other partners include Rotten Tomatoes, Yelp and Pandora.

San Francisco-based Clicker indexes more than one million shows and movies available on the Web.

Please see the disclosure about Facebook in my ethics statement.

The Facebook movie is finally here, the reviews are in and–no surprise–the critics are raving.

After all, it was done by Hollywood pros director David Fincher and writer Aaron Sorkin, who have apparently transformed the appalling badly penned and very fictional book “Accidental Billionaires: The Founding of Facebook A Tale of Sex, Money, Genius and Betrayal” by Ben Mezrich into some bit of cinematic art.

But that’s not BoomTown talking, so here is a rundown of five reviews by top critics, as collected by the terrific Rotten Tomaties site (you can click on the links below for the full reviews):

Kenneth Turan, Los Angeles Times:

“Smartly written by Aaron Sorkin, directed to within an inch of its life by David Fincher and anchored by a perfectly pitched performance by Jesse Eisenberg, ‘The Social Network’ is a barn-burner of a tale that unfolds at a splendid clip.”

Owen Glelbermann, Entertainment Weekly:

“‘The Social Network’ has everything you want in a thriller for the brain: Huge doses of ego and duplicity, corporate backstabbing, and some very layered performances.”

Joe Morgenstern, The Wall Street Journal:

“This account of Facebook’s founder, and of the website’s explosive growth, quickly lifts you to a state of exhilaration, and pretty much keeps you there for two hours.”

Bob Mondello, NPR:

“‘The Social Network’ is terrific entertainment–an unlikely thriller that makes business ethics, class distinctions and intellectual-property arguments sexy.”

Joe Neumaier, New York Daily News:

“Weeks after seeing it, moments from it will haunt you.”

Hauntingly sexy is simply not the Facebook CEO Mark Zuckerberg that I know or what most think of the powerful social networking site, but it seems to go on and on like that in the reviews, with every critic using the film to wax poetic about life in the digital age.

(Personally, I find all my life lessons in “The Terminator” series, but no one seems to grok my profound insight here.)

On Rotten Tomatoes, which you can see above, the movie got a 97 percent critics rating, although only an 81 percent audience vote. Still, only Ben Affleck’s “The Town” is as close.

In other words, Mark, even if it is trashing you as a person, what you represent seems to have inspired analog ecstasy and movie magic.

And for most film critics, it seems, a very happy ending.

I will be seeing “The Social Network” later today at a special screening in Silicon Valley, sponsored by Eastwick Communications, which will be followed by a panel discussion titled: “Trust, Privacy, and Ethics in the Facebook Age.”

I am the moderator, and the interviewees include M. Ryan Calo, director of the Consumer Privacy Project at Stanford Law School; Matt Cohler, one of Facebook’s earliest execs (where he remains a special advisor) and now a VC at Benchmark Capital; FutureWorks’ Brian Solis; and ReputationDefender CEO Michael Fertik.

Video TK, natch, although I am going more for wobbly, rather than exhilarating.

I certainly could not do much better than another genius version by Next Media Animation from Taiwan. While only in CGI, there is bathroom sex, beatings, peepholes and–say what?–a gay love triangle.

Really and truly–enjoy:

It looks like the iPad isn’t Steve Jobs’s only hit these days.

As it turns out, the hottest movie this summer–and one of the season’s few big successes–looks like it might be “Toy Story 3.”

The third in the innovative flagship film franchise, it was made by the Pixar Animation Studios unit of Disney (DIS). While he did not actually craft this film, as he does his “magical” devices, guess who is Disney’s largest individual shareholder, with a seven percent stake?

Yes, the Apple (AAPL) CEO.

While a string of prominent movie sequels is getting panned and performing weakly at the movie box office, “Toy Story 3” is garnering near-perfect reviews, as well as piles of money.

The animated flagship film–being shown in 3-D, as are all movies it seems like now–was No. 1. in North America this past weekend, hauling in just over $110 million in its debut. It is now at $141 million, picking up another $43.4 million internationally.

No wonder: It got a 98 percent rating on the Rotten Tomatoes movie review site, which is pretty unprecedented.

(Ironically, the free iPhone app for “Toy Story 3” is getting really poor feedback at the iTunes store.)

But the accolades for the movie are much deserved–BoomTown took the kids last night, and we were all blown away by its humor and heart, as well as terrific animation.

Also the tear-jerking, but happy, ending.

That kind of quality has been pretty typical for Pixar, which Jobs bought from movie icon George Lucas in 1986 for $10 million and sold to Disney in 2006 for $7.4 billion.

That deal left Jobs as Disney’s largest individual shareholder and one of its directors.

He’s also making bank, with Disney shares up 46 percent compared with a year ago.

Of course, that’s nothing compared with Apple stock, which has spiked 94 percent since last year.

Which is what Hollywood would definitely call a very happy ending.

Until you see the movie, here’s an interesting video about the new characters in “Toy Story 3”:

Beliefnet, the spirituality site bought by News Corp. in late 2007, is being shopped around for sale, according to several sources.

Sources said that the media giant is also considering selling off Berlin-based Jamba/Jamster, a mobile content provider now called Fox Mobile Group. News Corp. (NWS) paid $187.5 million to VeriSign (VRSN) for a 51 percent stake in Jamba in 2006 and bought the rest in 2008.

Founded by Steve Waldman and Robert Nylen in 1999, Beliefnet is a social networking site focused on religious, spiritual and faith-based issues, with $7 million in venture funding from Softbank Capital, as well as an initial angel investor round.

While its users skew Christian, the site offers blogs, news and other services related to Islam, Judaism and many other faiths, in addition to Christianity.

Its motto: “Our mission is to help people like you find, and walk, a spiritual path that will bring comfort, hope, clarity, strength, and happiness.”

The site was bought for an undisclosed sum by News Corp.’s Fox Entertainment Group as part of the Fox Digital Media unit. The digital strategy was to distribute some of its religious-based content on Beliefnet.

News Corp. has recently sold off some of the digital purchases it had made several years ago, such as its Rotten Tomatoes site to Flixster in a stock-trading deal.

Interestingly, Beliefnet’s Waldman is now senior adviser on the future of media and information technology to Federal Communications Commission Chairman Julius Genachowski.

Jamba was founded by Germany’s Samwer Brothers. On its Web site, News Corp. said it eventually bought it out entirely and “aligned the company’s business strengths with the global market opportunities in mobile entertainment, enabling it to underline its leadership in mobile content distribution, licensing and production as well as offering its customer a broad and up-to-date portfolio of mobile entertainment content further on.”

A News Corp. spokeswoman declined to comment on either Beliefnet or Jamba.

Amazon caved to Macmillan's demands on e-book pricing, and now the online retailer is set to give News Corp.'s HarperCollins a new deal too, says Rupert Murdoch. Meanwhile, don't hold your breath waiting for Conan O'Brien on Fox.

Two interesting nuggets from a wide-ranging earnings call today:

News Corp. CEO Rupert Murdoch tried to lower expectations that his Fox broadcast network would hire Conan O’Brien.

Murdoch hinted that his book publishing unit is in line to get a new deal on e-books from Amazon, just as Macmillan has demanded (as will other publishers).

On the second point, here’s my on-the-fly transcription and paraphrasing of Murdoch’s comments about Amazon (AMZN), Apple (AAPL) and e-book pricing. It’s one of the most candid descriptions you’ll hear from a top executive about Big Media’s reluctance to embrace digital distribution at the expense of its existing system and revenue:

“We don’t like the Amazon model of $9.99….We think it really devalues books and hurts all the retailers of hardcover books. We’re not against electronic books; on the contrary, we like them very much” because they cost us less to distribute, “but we want some room to maneuver.” The Apple deal…“does allow some flexibility and higher prices” though e-books will still be lower than print versions. And now Amazon is willing to sit down with us again and renegotiate.

UPDATE: Here’s a more complete transcript from Seeking Alpha:

We don’t like the Amazon model of selling everything at $9.99. They don’t pay us that. They pay us the full wholesale price of $14 or whatever we charge. We think it really devalues books and it hurts all the retailers of the hard cover books. We are not against [inaudible] books. On the contrary we like them very much indeed. It is low cost to us and so on. But we want some room to maneuver in it. Amazon, sorry Apple in its agreement with us which has not been disclosed in detail does allow for a variety of slightly higher prices.

There will be prices very much less than the printed copies of books but still will not be fixed in a way that Amazon has been doing it. It appears that Amazon is now ready to sit down with us again and renegotiate pricing.

Again, it’s impossible to stress how scarring the music labels’ experience has been for Big Media. And they’re determined not to repeat the experience. Their takeaway, though, seems to be that they can stave off digital distribution by keeping prices high and inventory relatively scarce. Hard to believe consumers are going to go for that.

Earlier

A first glimpse at News Corp.’s fourth-quarter earnings (which, due to the company’s weird fiscal calendar, is technically the company’s Q2 for 2010): Pretty good. And much better than a year ago (thankfully). After factoring out one-time charges, the company posted earnings of 25 cents on revenue of $8.7 billion.

The Street was looking for earnings of 20 cents on revenue of $8.23 billion, and analysts were also hoping the company would boost its earnings forecast, due in part to a bump from the ginormous success of “Avatar.” No word on guidance in the earnings release, though.

I’ll pick through the release for other worthwhile nuggets for the next few minutes. And then the real show begins at 4:30 Eastern, when the company’s earnings call–easily the most entertaining one in its peer group due to the censor-free presence of CEO Rupert Murdoch–begins. We’ll be looking for commentary on his battle/negotiation with Google (GOOG), upcoming content deals with Apple and the iPad, his thoughts on paid content in general, a dash of political commentary or two, and an update on the turnaround effort at MySpace.

From the release: A pretty nice quarter at most of the conglomerate’s divisions, including the previously battered broadcast TV and newspaper groups. News Corp. says print revenue at The Wall Street Journal was up five percent and ads on the Journal’s digital network were up 17 percent.

MySpace and the company’s other digital properties, shuffled into the “other” category, don’t get much of a mention, but don’t seem to have done much, not surprisingly.

But News Corp does mention that digital media earnings were down $32 million compared with a year ago, “principally due to lower search and advertising revenue.” And the company lost $29 million on “digital media dispositions”–i.e., the fire sale/giveaways of properties like Rotten Tomatoes and Photobucket.

Here’s the breakdown by segment (click table to enlarge):

Movies: Revenue up due to decent DVD sales (no MGM problem here). Also high costs due to “Avatar,” but big profits from the movie will be coming in during the next couple quarters.

Broadcast TV: Local ads are improving; the telecom, fast food, finance categories are all improving.

Cable: Revenue is up 18 percent. Affiliate revenue is up 21 percent (more money for Fox News subs), and there was a “single-digit” boost in ad dollars.

Newspapers: Journal dollars are up, operating costs down. Ad revenue got better as the quarter progressed.

Books: Revenue up, expenses down.

“Other”/MySpace: Digital media revenue down, but cost-cutting helped trim losses.

News Corp. is boosting its dividend by 25 percent.

Guidance: The company’s operating income growth rate is expected to grow from single digits to the high teens. Better than anticipated: Film group, TV and cable. But revenue goals for digital media, including MySpace, will take longer than anticipated.

Murdoch sings the praises of content. [I will not argue with him, for now]. “Avatar” is awesome, he says, a “harbinger of fundamental change in the industry.” Also really good: “Alvin and the Chipmunks.” Fun to hear Rupe say “Alvin and the Chipmunks.”

WSJ is the No.1 paper in U.S. in terms of circulation, influence, quality. WSJ.com is a “digital model for newspapers around the world.”

Fox News Channel’s audience is both “loyal and lucrative.” Roger Ailes is doing an “admirable job” [translation: Bite me, Michael Wolff--the author of a recent Murdoch biography].

Last year, Murdoch says, News Corp.’s pay-to-play ideas sounded nutty, but now “the content clan has gathered around our ideas.” Consumers must pay and will pay “to be entertained and informed.” All those awesome new gadgets being made in China and sold at the Consumer Electronics Show need content or they’re worthless. Content, content, content. Get it? Content, content, content.

Murdoch says he’ll be wringing more dollars from cable operators. And “when it comes to online news, we’ll be changing that model too,” adding that News Corp. is in “substantive conversations with device makers on developing subscription models” to deliver content. And don’t forget about 3-D!

Not performing well but “long-term growth drivers”: Sky Italia satellite service. Also Sky Deutschland. And MySpace is “not yet where we want it.” In the last quarter, however, MySpace “started to see signs of traffic stabilization.”

Shout-outs for Chase Carey and other managers (but not by name).

Q&A

Question: How big a deal is retransmission consent in coming years? $40 million a month? $100 million a month?

Chase Carey: No numbers, but it’s going to be a “transforming event.” We have two of top 10 distributors done, more coming. It’s a three- or four-year process to knock these deals out.

Q: Does this fix the broadcast model?

Carey: “Yes, I guess you could say simplistically, it fixes it.”

Q: What’s the timing on an “Avatar” DVD, and what about a sequel? Also, how do TV ads look this year?

Murdoch: For “Avatar,” we think about 60 percent of profits will be in the next six months. Which means the DVD will be coming “as soon as possible,” but the movie will stay in cinemas for a while because we’re doing huge dollars in theaters still. Sequel? “Very early talks about it. Jim has ideas for one. We haven’t come to any agreement with him….Being Jim Cameron, I wouldn’t hold your breath for an early one.” Asked about the economics of a future release (“Will you keep the same revenue split?”), Rupe sort of rumbles and growls and sort of doesn’t have much to say. “Ask anybody; it is very easy to drop a $100 million in a hurry on a film, and we’d like to lay off some of the risk.”

Carey: TV trends for this year are “positive.”

Murdoch: TV stations will be up 18 or 19 percent, but last year was terrible. We’re still down compared with two years ago. Hard to see more than a quarter in advance. In newspapers, it’s hard to see more than a few weeks.

[Missed a question on Sky Italia here.]

Q: What are growth prospects for cable networks? They’ve been driven a lot recently by new subscriber fees. How much longer can you get those boosts?

Murdoch: Overall, “we think we have great potential for growth. Quite a long way to go yet.” Look at how NBCU’s USA is growing.

Carey: In the U.S., we’re moving to “quality over quantity”–we can wring more out of foreign exchange, etc. Fox News is only getting more powerful; it has “great upside.”

Q: Regarding newspapers, what growth came from organic increase versus currency fluctuations?

The majority is from foreign exchange.

Q: Does your guidance assume that the “Avatar” DVD is coming in the next two quarters?

Murdoch: “Yes, but it won’t be 3-D” [which I don't think the analyst was asking about].

Q: Back to retransmission consent: You’ve been getting more and more money from cable guys. Why can’t you get $4 or $5 per subscription for Fox broadcast subs?

Murdoch: “We’re modest people.”

Carey: Hyuk, hyuk. Real answer: It takes time. “We try to approach this constructively. We’ve built businesses with [cable guys], we’ve built valuable cable channels” [translation: patience!]. We want to extract more without killing the cable guys.

Murdoch: That said, we’re asking for the same thing [for broadcast channels] that the cable networks are getting, which “certainly won’t kill the cable companies.”

Q: Please talk about value of film libraries (i.e., MGM). They’re generating big operating profits for cable now. How long will this last?

Murdoch: Regarding the MGM auction, “you can count us out of that one altogether” because others will pay more than we’re willing. And we’re not pursuing the Miramax catalog at all.

Carey: A film library by itself, without new stuff coming through, is a “depreciating asset.”

Q: On guidance: You say the ad market getting better, etc., but it sounds like you’re saying Ebidta growth is slowing.

Murdoch: “We honestly do not have any visibility about the last quarter.”

Q: On books/e-books/Apple, what’s going on with that?

Murdoch: We don’t like the Amazon model of $9.99….We think it really devalues books and hurts all the retailers of hardcover books. We’re not against electronic books; on the contrary, we like them very much, lower costs to us, but we want some room to maneuver. The Apple deal does allow “some flexibility and higher prices” though e-books will still be lower than print. And now Amazon is willing to sit down with us again.

Press Q&A

Q: What’s up with plans to charge for newspapers on the Web?

Murdoch: “Not ready to announce yet [long pause]. We won’t be ready yet to make an announcement.” A “lot of talks with a lot of people.” There will be more to say within the next two months, Murdoch adds.

Q: Are you still going to fall $100 million short on the Google deal?

Murdoch: Yes. People using social networks don’t use search a great deal. Facebook has seen this, too. It’s “really too early to make confident predictions…but from going down, we’re beginning to go up.”

Q: Can we get some details about Time Warner Cable (TWC) deal?

Nope.

What about Conan O’Brien on late night?

Murdoch: If the programming people can show us we can do it and make a profit on it, we’ll do it in a flash. I’m sure there have been conversations with Conan, but “if you mean real negotiations, no.”

[Missed two questions here.]

Q: Another late-night question: If you do go into negotiations with Conan, how do you placate your affiliates?

Murdoch: It’s a different deal than NBC. They screwed up 10 pm, which reduced the lead-in to local news. Our affiliates run syndicated programming at 11:30, though, so it will take time to adjust there.

Call ended. This one seemed short to me.

More or less redundant disclosure: News Corp. (NWS) owns this Web site.

Last week, right after Flixster announced it had acquired Rotten Tomatoes from News Corp. (NWS) in exchange for a stake in the combined pair, BoomTown visited its HQ in San Francisco.

Bringing together the social movie site with one that provides premium movie reviews, said Flixster execs, will make the site a must for both consumers and advertisers.

At least that’s the hope.

Here’s my video interview with Flixster co-founder and CEO Joe Greenstein, co-founder and CTO Saran Chari and COO Steve Polsky in which they talk about the deal and where the companies are headed (mobile? television?):

Here's the Flixster/MySpace deal Kara Swisher sussed out on Christmas Eve: News Corp. is handing over its Rotten Tomatoes movie review site, previously owned by its IGN unit, to the movie-centric social network and will get an equity stake in the combined company.

Here’s the Flixster/MySpace deal Kara Swisher sussed out on Christmas Eve: News Corp. is handing over its Rotten Tomatoes movie review site, previously owned by its IGN unit, to the movie-centric social network and will get an equity stake in the combined company.

MySpace COO Michael Jones approves, which is good, since the Flixster/Rotten Tomatoes combo is supposed to link directly into MySpace.

This is part of News Corp.’s (NWS) turnaround/shape-up strategy for MySpace and the rest of its digital portfolio, which looked very valuable just a few years ago and is now in need of an overhaul. The media company is shedding noncore assets while trying to turn MySpace into a hub for entertainment that you share with your pals. Expect to see more announcements and product rollouts in the coming weeks.

From Swisher’s 12/24 story:

Several sources noted that this deal being contemplated is typical of the overall strategy at News Corp., which has been targeting digital units that are not an obvious fit inside the company any longer for sale or other disposition.

In fact, the deal is not unlike one News Corp. did recently, flipping photo-sharing Photobucket into mobile photo service Ontela, with the media giant holding a large equity position in the the new entity.

The possibility of linking MySpace and the combined social movie site is interesting and yet another signal of one of the new strategies of MySpace: “Playing on other platforms,” as one source described it.

For example, MySpace recently announced it was adding its data stream to real-time search results on Google (GOOG).

And, it seems dead obvious that MySpace is likely to adopt Facebook Connect sooner than later, perhaps beginning with a smaller implementation early next year.

Disclosure: News Corp. owns this Web site.

Here’s the official press release:

Flixster Inc. Acquires Rotten Tomatoes
From IGN Entertainment

Combination of Top Brands Creates a Leader in the? Online Movie Space, Reaching 30 Million Monthly Moviegoers; IGN to Receive Equity Stake in Flixster

SAN FRANCISCO (January 4, 2010)–Flixster Inc., producer of the world’s largest online movie community at www.Flixster.com, today announced that it has acquired Rotten Tomatoes from IGN Entertainment. IGN, a division of News Corporation, will receive a minority equity stake in Flixster as part of the acquisition. Financial terms of the transaction were not disclosed.

The combination of Flixster and Rotten Tomatoes reaches a huge global movie audience of an estimated 30 million monthly visitors worldwide across multiple platforms: on the Internet, through web-based social networks, and via mobile apps for the iPhone, Blackberry and Android devices.

Both Flixster and Rotten Tomatoes will continue to be available to movie fans as individual properties. Together, Flixster and Rotten Tomatoes give movie audiences an unprecedented total picture of movie trends and opinions, combining half a million reviews from leading critics with 2.3 billion user ratings and reviews.

“To use movie terminology, we think this is a blockbuster double-bill,” said Joe Greenstein, co-founder and CEO of Flixster. “It’s a huge step forward in our goal of connecting users to their own personalized world of movies on any platform they choose. We can’t think of a better pairing for movie fans and our technology partners.”

Flixster’s president and COO Steve Polsky added, “Rotten Tomatoes has built a fantastically well-known brand that moviegoers trust when making their decisions. Combined with Flixster’s social networking and word-of-mouth, we’re creating the leading movie destination on the Internet.”

“Joining Rotten Tomatoes with Flixster creates a company that can dominate the online movie category,” said Roy Bahat, president of IGN Entertainment, who will join Flixster’s board of directors as an observer. “This also enables IGN to focus on serving the male 18-to-34 audience–especially videogamers–and the advertisers looking to reach them.”

Flixster already operates the leading embedded movie applications on Facebook, MySpace, Bebo, iGoogle, and for the iPhone, Android devices, Blackberry and Palm Pre. Together, Flixster and Rotten Tomatoes will be the most comprehensive, one-stop movie-information provider for both end users and technology partners, including: a database of more than 250,000 movies; 2.3 billion user reviews; 500,000 critic reviews; more than 20,000 trailers and videos; the well-known Tomatometer™ and Flixster Scores; unique movie news and editorial content; category-leading social-networking features; localized movie showtime information; theater maps; and online ticketing.

Prior to the acquisition, Flixster and Rotten Tomatoes partnered in several areas, including a recent deal that syndicates critic reviews from Rotten Tomatoes to Flixster’s online movie community, both on the Web and via Flixster’s mobile apps.

Since its inception in early 2006, Flixster has rapidly become the Web’s largest community for movie fans, with more than 20 million monthly users.

As the web’s leading aggregator of reviews from top movie critics, Rotten Tomatoes offers the most comprehensive guide to movies, and its Tomatometer™ rating-based on the published opinions of hundreds of film critics–is a trusted measurement of movie quality for millions of moviegoers. The site has also seen tremendous year-over year growth, with its monthly unique user base rising on average nearly 40 percent in each of the past five months compared to the same months in 2008.

The deal follows a series of moves by IGN Entertainment to refocus its efforts on building out its suite of game-related and men’s-lifestyle offerings. The company recently launched Game On, a videogames-dedicated portal on MSN, and its network of sites currently reaches the most concentrated audience of males 18 to 34 and technology influencers on the Web today.

You’d never believe it, you never would know, that Christmas had come, at least not by the snow. All the geeks in the Valley were typing away, forced to take a short breather on this year’s Christmas day. So read on for info, this update, dear friends, as Christmas is over and a new year begins.

In time for Christmas, in technology news, Walt opened his column on product reviews. It seems, I am told, that holiday travel, with two screaming children can make brains unravel. So what could one bring, on a holiday trek, to keep little ones smiling and not cause a wreck? In a guest post by Nick–Wingfield’s his name–we saw Apple’s iTouch, the best in the game. He talked PSPs, and Nintendo DS’s, but versatile and thin, iPod touch got the yesses.

At Mossberg Solution, Katie was typing, a fresh new post to help holiday griping. For if through your window, this holiday season, a new Mac has drifted, you might have a reason. The keyboard is different, and programs won’t close, all those whoosits and whatzits, no one really knows. But Katie was there, she did not take a rest, to show you the way to make your new Mac the best. Remember to “Quit,” on that Mac she said, ’cause those little red x’s won’t put the program to bed. And one final thought, if it doesn’t seem rude, Katie recommended a new attitude. You see, on the Mac, once they’ve been detected, to remove those hard drives, they must first be “ejected.”

It was all about BoomTown, this week in the news, as Kara looked at upcoming interviews. She’s worked much too hard and now they’ve said yes, but the lineup is set for our CES. With Hastings and Rubin and Rubinstien all, we’ll get their big scoops at the big techie ball. If tech shows are cold, with their gadgets galore, Kara posted a post about what’s in store. She traveled to Twitter and talked with Biz Stone, who thinked up some thoughts on how tweeting has grown. He pensively pondered, and stroked his cute chin. Some thoughts on the future, he gave with a grin. Kara was waving goodbye, flying off to the sand, to spend time with her family, mai-tai in hand. But before she got buckled and the jet engines roared, she solved a small mystery while climbing aboard. It seems, oh you see, that she’d gotten some news, about MySpace, Flixster and movie reviews. The two have been talking, oh talking some talk, with Rotten Tomatoes along for the walk. So she boarded the jet, all shiny and tall, waving goodbye to BoomTown for some vacation, if small.

At MediaMemo HQ, it was Peter this week, opening the media door and taking a peek. Over at TMZ, they are all talking sports, it seems they are thinking, a new venture of sorts. The connection makes sense, though the idea is small. They might thank Tiger Woods for starting it all. And just when you thought you’d bought all your gifts, Peter covered that thing that’s on every geek’s lists. It seems to Peter, that maybe, perhaps, the new Apple (AAPL) tablet would need big tablet-sized apps. That’s just what he found, when looking this week; some big app developers had given a tweak. They’ve made everything bigger, for what we don’t know, but whatever it is, the screen sure did grow. Peter covered it all, including abuse. There were gremlins, not elves, about, on the loose. While most new tech start-ups were shopping for backers, the biggest of bigs were snorched on by hackers. Amazon (AMZN), Wal-Mart (WMT), and more in the cloud, got hit by bad geeks, doing things not allowed. They recovered it quickly, and locked up their gate, making sure all your packages still wouldn’t be late.

So as you relax, and come down from the Yule, whether frozen at home or splayed out by a pool, Weekend Update is here, as is AllThingsD, to keep you informed when you’ve got places to be. Please leave us your comments, thoughts, queries and questions. We’d even adore your most helpful suggestions. And enjoy those around you, this holiday season. It’s friends, family and loved ones that give our lives reason.

About 10 days ago, there was a post in this column about interest by News Corp. and its MySpace unit in Flixster, the popular social networking site for movies.

In the post, titled “MySpace and News Corp. Eye Flixster (But for What?),” I wrote:

Whether this is an acquisition or more of a larger partnership deal with News Corp. digital entertainment sites is unclear. Several sources said a purchase was a possibility, while others talked about a more complex deal that did not necessarily mean a purchase.

Sources said any such deal is not imminent, but that News Corp. (NWS) itself has been conducting extensive due diligence on the San Francisco-based Flixster, part of a plan to combine it with Rotten Tomatoes, another News Corp.-owned site run by its IGN Entertainment division.

Well, BoomTown did more gumshoeing and it is indeed shaping up to be a very complex deal, according to many sources I spoke with, centered on Rotten Tomatoes merging with Flixster in exchange for a stake in the combined independent company by News Corp.

Flixster has attracted a huge audience–upward of 50 million–which trades all kinds of recommendations, ratings, news and even post user-generated movie reviews on the Web site and via widgets on social networking sites, mostly on Facebook.

Founded in 2006 by CEO Joe Greenstein and CTO Saran Chari, Flixster has raised $7 million in funding from Lightspeed Venture Partners and Pinnacle Ventures, as well as garnering an angel investment from Silicon Valley entrepreneur and LinkedIn founder Reid Hoffman.

Rotten Tomatoes features mostly premium content, including professional reviews, trailer videos and news. It has a community feature in beta, so it would be a nice fit with Flixster.

In addition, in a separate but related deal, the resulting company could have its social, user-generated and premium content threaded throughout MySpace, which is in the midst of transforming itself from a social networking site into a social media site for music and other kinds of entertainment.

Focusing less on Facebook, which has long surpassed the once high-flying MySpace as the top-of-mind social network, MySpace is likely to value the massive cross-distribution for its much richer media content.

But that’s not all for MySpace, said several sources, all of whom noted that the site will be rolling out a range of significant design and other feature initiatives over the next 45 to 60 days.

These are all aimed by its new managers at juicing MySpace’s prospects, which have declined over the last several years, as have both revenue and engagement with consumers.

“This is not a rocket-ship ride to the moon,” said one person with knowledge of the situation. “It’s building again step by step.”

A Flixster spokesman declined to comment, as did News Corp. I am awaiting a call back from MySpace’s spokeswoman, but she is stuck in a security line at the airport.

Happy holidays, anyway, Dani!

(Full disclosure: News Corp. owns Dow Jones, which owns this site.)

[UPDATED]

Now that the digital equivalent of a super-vac, MySpace CEO Owen Van Natta, has sucked up some decent music start-ups–Imeem and iLike–for a song, to bolster the social networking site’s efforts to expand into an entertainment portal, what’s next?

According to several sources, the News Corp. (NWS) unit has turned its omnivorous attentions to Flixster, the popular social networking site for movies.

Whether this is an acquisition or more of a larger partnership deal with News Corp. digital entertainment sites is unclear. Several sources said a purchase was a possibility, while others talked about a more complex deal that did not necessarily mean a purchase.

Sources said any such deal is not imminent, but that News Corp. itself has been conducting extensive due diligence on the San Francisco-based Flixster, part of a plan to combine it with Rotten Tomatoes, another News Corp.-owned site run by its IGN Entertainment division.

Rotten Tomatoes features mostly premium content, including professional reviews, trailer videos and news. It has community feature that is just in beta, so it would be a nice fit with Flixster.

A MySpace spokeswoman declined to comment at the moment.

In 2007, the start-up was close to being acquired by IAC/InteractiveCorp (IACI) for $100 million, several sources said. But the deal went south when CEO Barry Diller changed his mind at the last minute.

Flixster has attracted a huge audience–upward of 50 million–who trade all kinds of recommendations, ratings, news and even post user-generated movie reviews on its Web site and via widgets on social networking sites, mostly on Facebook.

While Amazon (AMZN) unit IMDb (Internet Movie Database) is still larger in terms of traffic, the more innovative Flixster has been growing much faster and is more social, which makes it attractive to MySpace, sources said.

More important is the mobile growth. Flixster is the No. 1 movie app on Apple’s (AAPL) iPhone and leads on other smartphones too.

(Full disclosure: News Corp. owns Dow Jones, which owns this site.)

Yesterday, a source told me that Flixster, the fast-growing social network for movie lovers, was back in talks to be bought by Barry Diller’s InterActiveCorp.

Those IAC-Flixster rumors flew about a month ago and were entirely true.

But no deal, it seems. IAC has apparently found the price too high, according to other sources. But, said these sources, others are still in the game.

So if an acquisition deal does happen, two intelligent guesses to the possible winner for the company with 39.5 million user home pages, more than 1 billion user-generated movie ratings and a sassy motto of “Stop Watching Bad Movies”?

Blockbuster or News Corp.

(Sources said Viacom’s MTV unit gave Flixster a look too, but also thought the price too high.)

The former because the video-rental chain has been mightily trying to break into all kinds of Web markets to give it a place to sell online. Blockbuster has been struggling of late, because of its costly battles with Web sites like Netflix and the growth of video-on-demand and movie downloads via the Internet and cable. Its online subscribership is only 3.1 million.

And the latter, because such a site tucks in nicely with some of the media giant’s properties like MySpace and Rotten Tomatoes, as well as its numerous movie and television arms. (FYI, News Corp. is in the process of acquiring Dow Jones, which is the owner of this site.)

The price? I will wager $150 million in cash that had been previously bandied about, although IAC’s offer was likely much lower than that.

Pricey, yes, since Flixster only has 17 employees and was created less than two years ago. It received $2 million in funding in February from Lightspeed Venture Partners.

But its vibrant Web site is booming and is now one of the largest movie sites on the Internet. Flixster is also one of the more popular widgets on Facebook, with more than 800,000 active daily users.

While Amazon-owned IMDb (Internet Movie Database) is larger in terms of traffic, Flixster is growing much faster.

On the site, users have profiles typical of most general social networks, with a laser-focus on movies, actors, directors and movie quizzes and news. Flixster also has video content, both professional and user-generated and relies heavily on user reviews.
