Google is in talks to acquire Meebo, according to two sources close to the situation.

The price for the company would be about $100 million, according to one of the sources.

Meebo's latest product promises to help users cut through information overload.

Meebo CEO Seth Sternberg did not reply to requests for comment. A Google spokeswoman gave me the standard “We can’t comment on rumor or speculation” response.

Mountain View, Calif.-based Meebo has been around since 2005, when it was founded by Sternberg, Sandy Jen (who is CTO), and Elaine Wherry (now an advisor), who met at Stanford.

The company has dedicated the past seven years to all sorts of different social products and customers. First it was a Web-based instant message client (that’s still live as Meebo Messenger). Then it launched the Meebo Bar for publishers to add a persistent social sharing and advertising overlay on their sites. Currently, Meebo’s homepage is pushing a tool for users to “create an interest profile to get new and timely information about the things that matter to you.”

Meebo has raised quite a bit of funding over that time — more than $60 million, including a $25 million Series D round led by Khosla Ventures in 2010. Its other backers include Sequoia Capital and Draper Fisher Jurvetson.

Meebo has nearly completed a $25 million round of funding led by Khosla Ventures, with Khosla partner Gideon Yu becoming a board observer. This is the Web-sharing toolmaker’s Series D round, and will be announced by Khosla in a speech at the Web 2.0 Summit in San Francisco this afternoon. Existing backers such as Sequoia Capital and Draper Fisher Jurvetson are also participating in the round, which brings Meebo to total funding of more than $60 million.

Vinod Khosla said in a phone interview that he was particularly interested in Meebo’s plans to make Web sites social through its Meebo Bar, which will soon include ways for users to virtually “check-in” to Web sites. And secondly, he was impressed by the company’s success with brand advertisers.

“I think very few things are so broad that they reach most of the users on the Internet and this is one of those,” Khosla said. (Meebo currently reaches 180 million uniques, double what it had a year ago, so it’s not quite at “most” of the Internet, but it’s growing fast.)

Meebo CEO Seth Sternberg said 87 percent of the company’s advertisers in 2009 returned in 2010, on average doubling their budgets. He said the Meebo Bar has a 1 percent click-through rate.

That relatively high effectiveness is in part because the Meebo Bar is always visible on the pages of its 8,000-plus publisher partners. Sternberg said that by the time users click on the ad, they’ve often spent a good amount of time on the page, so it’s not just an errant click–they’re actually interested in the brand.

The average Meebo user spends 60 seconds with an ad, longer than the canonical television commercial.

Sternberg said Meebo preferred a smaller venture round to the jumbo later-stage deals companies like Yelp, Facebook and Groupon have taken, because he doesn’t want to significantly change the culture of his company. $25 million is the same amount Meebo raised the last time it took funding, in spring 2008.

Meebo on Tuesday plans to announce an update to its popular Meebo Bar (which is used on this Web site, and many others, to make it easier for users to share content). The goal is to help users discover new Web sites (kind of like StumbleUpon) and become loyal to them by using a check-in system (kind of like a virtual Foursquare).

Starting tomorrow, users who want to participate can download a new browser extension called the Meebo MiniBar. Starting in December, Web sites can add check-ins through embeddable buttons and the Meebo Bar itself (which counts 8,000 publisher users, with a combined 180 million uniques). Brands such as Macy’s, Sprint and L’Oréal Professionnel have already committed to participate.

To check in on Meebo, a user will need to have a Meebo account. The idea is for people to be motivated to share in order to become VIPs on the sites they visit often (another extension of the Foursquare metaphor). Users can also subscribe to feeds of people who like similar Web sites so they can find new places to visit.

This is not a new idea–if you take the pitch and replace the term “checking in” with “social bookmarking” you’ll find a pile of (mostly discarded) companies. More specifically, back when OneRiot was called Me.dium it launched just such an extension in 2006, and the current start-up Badgeville makes a white-label loyalty platform for publishers. And Facebook, of course, has its “like” system of allowing users to subscribe to Web sites and brands.

As we have with every change to features and functionality on All Things Digital, today we are writing to give you details about a new Meebo toolbar on this site.

It appears at the very bottom of each page on our site.

The first thing you need to know: You can get rid of it whenever you like.

But we think you will like it, because it enhances our site’s navigation, highlights fresh content and provides instant-messaging functionality, all in one place.

Such as:

– Share Page: Drag the page–or individual page items, such as a headline or image–into social tools or chat tools to share with friends and colleagues

– News: The most recent headlines from BoomTown, MediaMemo and Digital Daily, as well as select headlines from The Wall Street Journal, MarketWatch and Barron’s

– Reviews: The latest product reviews and analysis from Walt Mossberg and Katherine Boehret

– Hot Topics: Links to our aggregated coverage of recent product launches and timely issues

– Twitter: An “uber feed” that combines all our tweets

Per our All Things Digital Privacy Policy, any toolbar usage information will be shared with Meebo solely for the purpose of using this service or for targeting advertising on the toolbar.

Meebo may use cookies to target these toolbar ads; for more information please read Meebo’s Privacy Policy.

If you want to use a chat tool, you’ll be asked to log in with a user name and password. Again, please see Meebo’s Privacy Policy regarding collection and storage of your IM passwords.

And as I said at the start, if you prefer not to use the Meebo service, click the down arrow at the far right of the toolbar to hide the unit. If you change your mind, click that arrow and the toolbar will reappear.

In addition, below is a video interview I did with Meebo founder and CEO Seth Sternberg about the toolbar addition, as well as his company’s new XAuth announcement.

XAuth is an open authentication effort, which includes Meebo and partners Google (GOOG), Yahoo (YHOO), Microsoft (MSFT), MySpace, JanRain, Disqus and Gigya. As described on its Web site:

XAuth is an open platform for extending authenticated user services across the web.

Participating services generate a browser token for each of their users. Publishers can then recognize when site visitors are logged in to those online services and present them with meaningful, relevant options.

Users can choose to authenticate directly from the publisher site and use the service to share, interact with friends, or participate in the site’s community. The XAuth Token can be anything, so services have the flexibility to define whatever level of access they choose.

Here’s the video with Sternberg:

<param name="flashvars" value="videoGUID=63042AB0-DD3D-4A0B-BDD5-3ACBBA79B145&playerid=4001&plyMediaEnabled=1&configURL=http://m.wsj.net/video-players/&autoStart=false" base="http://s.wsj.net/media/swf/"name="microflashPlayer">
[ See post to watch video ]

Last month, Facebook forced Web-based chat service Meebo to cut itself off from the social network. But now that Meebo has agreed to use the new Facebook Connect service, all is forgiven.

Yesterday, during a panel discussion on advertising and social networks at the OnMedia NYC conference, I said that Meebo, the Web-based chat aggregator, was in a “tiff” with Facebook. Not true, said Chief Revenue Officer Carter Brokaw–even though Facebook had forced Meebo to unplug itself from the social network, the two sides were working together and were about to patch things up.

Brokaw had pretty good info. Meebo users are now able to work with Facebook accounts again. Here’s CEO Seth Sternberg’s message to his users:

Good news!

Facebook Chat is back.

In my last blog post (linked), I told you we were removing Facebook for a little while in order to incorporate a new way of connecting to their network.

After some hard work from the folks here at Meebo and help from a whole host of people at Facebook, we now have Facebook back in Meebo.

Plus, Meebo is now the first launch partner of the ‘alpha’ version of the Facebook Connect + Chat integration. That’s pretty cool.

The method for connecting is slightly different than the other networks on Meebo, but it works basically the same way. You can login to Facebook from the front page or, if you have a Meebo account, login with your Meebo username and add Facebook as a network account from inside Meebo.

Thanks for your patience while we were getting Facebook up and running again.

We hope this helps you keep in touch with all your Facebook friends!”

Then you’re going to need to play by Facebook’s rules.

Last week Mark Zuckberg’s company sued Power.com, a social network aggregator, because the company allowed Facebook users to plug into the site without actually visiting Facebook itself. Today, instant-messaging aggregator Meebo is unplugging itself from Facebook.

No idea if legal threats were brought up in this case, but the parallel seems pretty clear: Facebook will offer outside sites access to its user base, but only on its own terms.

In both cases, Facebook wanted the would-be partner sites to use its recently launched Facebook Connect service. Last week, Power.com founder Steve Vacahni told me that he and Facebook had “resolved” their issues, and that Facebook’s lawyers had told him the suit would be dropped shortly. But as far as I know Facebook has yet to withdraw its complaint.

Which has probably served as an effective warning for Meebo CEO Seth Sternberg, who sent out this memo to his users tonight:

Hi Meebo,

Got some bad news. :(

As a bunch of you already know (because you’ve been using it), we recently added Facebook Chat into Meebo.

We have been speaking to the Facebook team, and it turns out, they’d like us to connect to their network in a different way. In the interim, they asked us take Facebook off Meebo, and we said ‘okay.’

However, we were glad to hear that the Facebook team was genuinely excited to see their network on Meebo, especially since they already have plans to open Facebook Chat. They also committed resources from their Chat and Facebook Connect teams to do extra work with us to get Facebook Chat back on Meebo ‘really, really soon.’

Work began this week, so stay tuned. We expect some all nighters on both sides!

Seth

P.S. Meebo grew in December. We reached close to 45 million people, a new record, including 2.5 million via Meebo Community IM. So it’s not all bad news… :)”

Update — here’s comment from Facebook:

We are excited to be working with Meebo to implement Facebook Chat using Facebook Connect. Their current integration was launched without meeting the policies we have in place to assure the trust users have established on Facebook is maintained when they interact with their Facebook friends around the Web.

We announced our plans to open Facebook Chat to third-party Websites in 2008 and are working closely with Meebo to create a great experience for Facebook users that use their service.

Last night, dressed in my kindergarten soccer-coach best (sneaks, sweats and athletic socks–glam!), I ventured over to the Tenderloin district of San Francisco to attend VentureBeat‘s party in honor of the launch of its new digital media blog.

Held at the Ambassador club on Geary Street, it was as if 1999 had never ended, and the huge crowd was partying like it was, well, 1999.

Shoulder to shoulder–or, in my puny case, shoulder to stomach–entrepreneurs, PR folks and a healthy smattering of press jammed into the venue, chattering about valuations, venture deals and other vacuous topics of Web 2.0.

Attendees included Mashable’s Pete Cashmore, Craigslist’s Jim Buckmaster, blogger Dan Gillmor and Microsoft-man-in-Silicon-Valley Dan’l Lewin (who gave us bupkis info about the deal, as you can see in the video).

Also in the video, in order, Meebo Co-Founder Seth Sternberg (fresh from a big funding); VentureBeat’s new editor of its digital media blog, Eric Eldon; Lewin; Gillmor; Valleywag’s Owen Thomas; and, finally, VentureBeat Editor and Founder Matt Marshall.

Last week, I visited Meebo, the Web-based instant messaging company, at their headquarters on Castro Street in Mountain View, Calif.

Why? Well, like a lot of Web 2.0 companies, because it's a hot and hyped little start-up with a fast-growing audience for its--wait for it!--widgets!

But Meebo makes actually useful widgets, such as its flagship unified instant messaging offering. Thus, in an endless sea of useless and juvenile apps, that immediately makes BoomTown happy and interested.

Last week, I visited Meebo, the Web-based instant messaging company, at their headquarters on Castro Street in Mountain View, Calif.

Why? Well, like a lot of Web 2.0 companies, because it’s a hot and hyped little start-up with a fast-growing audience for its–wait for it!–widgets!

But Meebo makes actually useful widgets, such as its flagship unified instant-messaging offering. Thus, in an endless sea of useless and juvenile apps, that immediately makes BoomTown happy and interested.

And, backed by Sequoia Capital and Draper Fisher Jurvetson, it also has a solid team, although it is one still in search of a much more solid business plan.

Which is: Advertising, of course! (Which is: Web 2.0′s possibly dubious mantra of mantras! Presumably, if you say it enough times, it will come true!)

How hot and hyped Meebo is was in evidence, when this article in VentureBeat posted yesterday claimed that the company was raising $25 million to $30 million at a valuation of $250 million.

Meebo’s last $12.5 million round valued the company at an already kooky $60 million to $70 million. The company was started in 2005.

Ouch, my head hurts from the bubble atmosphere that persists in Silicon Valley, even as our economy is tanking and the Fed can barely prop it up. But I was already in pain at the $850 million that AOL forked over for the very-nice-but-very-not-worth-$850-million Bebo, so please pardon my deep and unfulfilled need for sanity.

Still, it is hard not to like what Meebo is doing, which is a million times more useful than some widget makers. Basically, it solves the interoperability problem in instant messaging, by allowing a user to chat across the most popular sites–AIM, Google (GOOG) Talk, Yahoo (YHOO) Messenger and Microsoft’s (MSFT) chat service.

It also offers chat rooms to sites across the Web, branded as Meebo Rooms, like the one below on Meebo’s valuation, with lots of cool features, such as the ability to play videos that are embedded in them.

These products have attracted tens of millions of unique monthly users, trading over 100 million messages a day, although–as I said–it is not clear how money will be made providing this useful service.

Meebo, like a lot of similar companies, has struck some interesting ad partnerships, including with record companies, but–no matter what anyone says–it is obviously too soon to tell how effectively it will perform.

Luckily, in this video, two of Meebo’s founders–Seth Sternberg and Sandy Jen (the other is Elaine Wherry, who is not in this video)–as well as recently hired CNET vet Martin Green, who is handling business development, explain it all for you!

Here’s the video:
