<p>The good: The satellite radio company posted <a href="http://investor.siriusxm.com/releasedetail.cfm?ReleaseID=619590">one of its strongest third quarters ever</a>, reporting $104 million in net income, or 2 cents a share, on revenue of $763 million &#8212; up 6 percent from last year. And that was a penny better than Wall Street predictions.</p>
<p>The bad: Sirius added just 334,000 new subscribers in the third quarter, well below analyst&#8217;s expectations of as many as 400,000. </p>
<p>So, a significant shortfall. That said, it doesn&#8217;t seem to have caused Sirius to alter its subscriber guidance at all. During the last quarter, it raised it to 1.6 million net adds, and during a conference call Tuesday, CEO Mel Karmazin said that forecast still holds.</p>
<p>&#8220;We&#8217;ve added 1.16 million new net subscribers so far this year compared to 1.09 million in the first 9 months of 2010, a 6 percent increase over last year,&#8221; Karmazin said. &#8220;And our second quarter &#8212; on our second quarter earnings call, we raised our subscriber guidance for the year to 1.6 million net adds, which we expect to meet. This means, we anticipate adding about 440,000 net subscribers in the fourth quarter, up about 34 percent from subscriber growth in the fourth quarter of 2010.&#8221;</p>
<p>In other words, subscribership remains at an all-time high and the growth trend is strong enough that Karmazin feels the company can still hit its target.</p>

			<content:encoded><![CDATA[<p><a href="http://allthingsd.com/files/2011/07/spotify-logo380.png"><img class="alignright size-full wp-image-97853" title="spotify-logo380" src="http://allthingsd.com/files/2011/07/spotify-logo380.png" alt="" width="380" height="285" /></a>That <a href="http://allthingsd.com/20110715/why-a-free-ticket-to-spotify-is-worth-3/">Spotify invitation you scored</a> may be <a href="http://allthingsd.com/20110714/google-and-spotify-are-so-great-you-cant-use-them/?refcat=social">a little less rare than you thought</a>. The streaming music service has already signed up 1.4 million U.S. users for its free trial, according to a source familiar with the company&#8217;s operations.</p>
<p>At least as important: Spotify now has 175,000 <em>paying</em> U.S. subscribers, less than a month after it <a href="http://allthingsd.com/20110713/today-spotify-comes-to-america-finally/">finally opened its doors in America</a>, says the same source. Last week <a href="http://www.billboard.biz/bbbiz/industry/digital-and-mobile/business-matters-spotify-already-has-at-1005306762.story">Billboard</a> cited a source who pegged Spotify&#8217;s U.S. user total at &#8220;at least one million.&#8221;</p>
<p>That&#8217;s a conversion rate &#8212; crucial to both Spotify&#8217;s business plans and to the big music labels &#8212; of 12.5 percent. Not quite as good as <a href="http://allthingsd.com/20110307/spotify-toots-its-own-horn-one-million-paying-subscribers/">the 15 percent rate that Spotify reported in its home base of Europe</a> last spring.</p>
<p>On the other hand, Amercian users have <em>less</em> incentive to pay for Spotify than Europeans do &#8212; during the company&#8217;s six-month launch phase, the U.S. version of the free service gives users more music than the European one does. The main reason to upgrade to paid is to get access on iPhones and Android handsets, for $10 a month.</p>
<p>In any case, it&#8217;s still hard to gauge what the numbers mean &#8212; it&#8217;s very early, and there has been a lot of hype.</p>
<p>Still, for context: Spotify reports that it has 1.6 million paid subscribers in Europe. And last month <a href="http://www.billboard.biz/bbbiz/industry/branding/hey-spotify-rhapsody-tops-800-000-subscribers-1005270862.story">Rhapsody</a>, the biggest digital music subscription service in the U.S., said it had 800,000 paid subscribers. (<a href="http://allthingsd.com/20110802/sirius-xm-is-finally-free-to-raise-prices/">Sirius XM has 21 million subscribers</a>, but the satellite radio service isn&#8217;t an apples-to-apples analog with Spotify et al; closer to a pear.)</p>
<p>Meanwhile, Rdio, a U.S.-based Spotify competitor hoping to capitalize on Spotify&#8217;s wave of publicity &#8212; or at least not get drowned by it &#8212; has made an interesting move: It is going to <a href="http://www.billboard.biz/bbbiz/industry/digital-and-mobile/rdio-tests-apple-subscription-rules-with-1005305142.story">continue marketing its service via Apple&#8217;s iTunes, while raising its prices</a> &#8212; for customers who sign up via its mobile apps &#8212; from $10 to $15 a month in order to comply with <a href="http://allthingsd.com/20110609/steve-jobs-blinks-apple-backs-down-on-app-subscription-rules/">Apple&#8217;s new subscription rules and fees</a>.</p>
<p>Most other subscription services &#8212; including Spotify and Rhapsody &#8212; have gone the other route, by <a href="http://allthingsd.com/20110620/hulu-plays-along-with-apples-new-rules-whos-next/">taking down subscription links from their Apple apps</a>, but keeping their pricing intact.</p>

Now, just three months later, <a href="http://www.huffingtonpost.com/2011/03/22/howard-stern-sues-boss_n_839188.html">he&#8217;s suing the new company</a>, claiming it bilked him out of the performance-based stock awards promised to him by the old one.</p>
<p>&#8220;When Sirius needed Stern, it promised him a share in any success that the company achieved,&#8221; the suit reads. &#8220;But now that Sirius has conquered its chief competitor and acquired more than 20 million subscribers, it has reneged on its commitment to Stern, unilaterally deciding that it has paid him enough.&#8221;</p>
<p>According to the suit, Sirius did give Stern his initial stock award after he signed on in January 2006, but it failed to pay him out on any others even though it &#8220;exceeded its own internal estimates by more than 2 million subscribers&#8221; each year for the remainder of the original contract.</p>
<p>&#8220;Stern enabled Sirius to surpass its internal subscriber targets by more than 2 million subscribers in 2006 and in 2007,&#8221; the suit alleges. &#8220;Because of this success and the revenue that it brought into the company, [Stern] was entitled to receive the performance-based stock awards Sirius promised [him].&#8221;</p>
<p>So Sirius is stiffing Stern. Not a particularly wise move given the latter&#8217;s irascibility and reach of his daily radio show.  If there&#8217;s a PR battle to be fought here, Sirius will likely lose it first thing tomorrow morning when Stern&#8217;s back on the air again.</p>
<p>Reached for comment, Sirius claimed to have met its obligations to Stern. &#8220;SIRIUS XM just signed a contract through 2015 with Howard Stern, and he is a valued part of our company,&#8221; spokesman Patrick Reilly told me. &#8220;We were thus surprised and disappointed by the subsequent legal action initiated by his production company and agent.  We have met all of our obligations under the terms of our 2004 agreement with Howard, his agent and production company.&#8221;</p>

Shares of the satellite-radio operator slid nearly 8 percent this morning, after <a href="http://investor.sirius.com/releasedetail.cfm?ReleaseID=550111">it posted an unexpected loss.</a></p>
<p>Analysts had been calling for Sirius to break even in its fourth quarter on revenue of $740 million. Instead it reported a loss of $81.4 million, or two cents a share, on revenue of $735.9 million. The reason for the miss: An increase in operating expenses and $85.4 million in debt-extinguishment losses.</p>
<p>Unfortunate. Still, the company&#8217;s latest financials weren&#8217;t without some good news. Sirius added 328,789 new subscribers in the fourth quarter, up from 257,028 in the fourth quarter of 2009. And it ended 2010 with 20.2 million subscribers, 8 percent more than the 18.8 million it claimed at the end of 2009, and well above its target of 20.1 million.</p>

Power and Associates</a> suggests an increase in consumer demand for new cars. And for Sirius that means continued subscriber growth&#8211;perhaps even significant subscriber growth.</p>
<p>The company&#8217;s satellite radio service is pre-installed in about 60 percent of cars sold in the United States, and historically its take rate has been upward of 44 percent. So when J.D Power says that light-vehicle sales for January will hit 794,500 units, 14 percent higher than January 2010, that&#8217;s good news for Sirius. Even better is this: The research firm is raising its retail sales forecast for the entire year. Not by much&#8211;just to 10.5 million units from 10.4 million units.</p>
<p>But the trend is upward, and J.D. Power and Associates&#8217; Jeff Schuster says there&#8217;s room for even more upside. &#8220;Optimism is increasing for the auto industry following a stronger outlook for the economy,&#8221; he explained. &#8220;GDP growth is expected to be in the 3 percent to 3.2 percent range for 2011. As the macro drivers continue to improve and credit availability increases, further upside potential remains.&#8221;</p>
<p>In other words, 2011 is shaping up to be a good year for Sirius XM.</p>

Posting <a href="http://finance.yahoo.com/news/SIRIUS-XM-Radio-Reports-Third-prnews-1508953015.html?x=0&#038;.v=1">third-quarter earnings</a> this morning, the company reported a profit of 2 cents a share, besting analyst estimates for a break-even quarter. Revenue rose to $717.5 million from $618.7 million. Sirius ended the quarter with 19.8 million subscribers, thanks to the net addition of 334,727 subscribers, more than triple the  102,295 it gained in the quarter a year earlier.  “Today, we are stronger than ever,” CEO Mel Karmazin said during a call with analysts. &#8220;We are in a position to soon surpass 20 million subscribers.&#8221; </p>
<p>That should be an easy thing to pull off, particularly if the company manages to renew its deal with Howard Stern, whose contract expires at the end of the year. But it hasn&#8217;t done that yet, according to Karmazin. “We had hoped that prior to this call we would have an update on the status of Howard Stern with Sirius XM,” he said this morning. “We do not have any update today, other than to say discussions continue.&#8221;</p>

<p>That’s what Sirius XM Satellite Radio (SIRI) CEO Mel Karmazin had to say during the company’s second-quarter earnings call this morning, and he had good reason to say it. With the winds of an improving economy and increasing auto sales at its back, <a href="http://investor.sirius.com/releasedetail.cfm?ReleaseID=496253">the company turned in another decent financial performance</a>, posting a profit of $15.3 million, breaking even on a per-share basis, compared with a year-earlier loss of $159.6 million, or four cents a share. Revenue rose 18 percent to $699.8 million.</p>
<p>Analysts had expected the company to break even on revenue of $690 million.</p>
<p>Sirius added 583,249 subscribers in the second quarter, ending it with some 19.5 million&#8211;up 6 percent over last year and a record high.  </p>

<p>Just about this time a year ago, Sirius XM Radio was up a certain creek with nary a paddle in sight. Its shares were trading at around 35 cents, it was hemorrhaging money, and anemic car sales had just led it to post its first-ever decline in net subscriber additions. The company ended its June 2009 quarter with 18.6 million subscribers&#8211;up 3.5 percent from a year earlier but down 404,000 subscribers from the preceding quarter. And though it added 1,338,961 new customers, <i><a href="http://digitaldaily.allthingsd.com/files/2009/05/sirisubs.jpg">Sirius lost 1,743,383</a>.</i> </p>
<p>Which makes the satellite-radio operator&#8217;s announcement of <a href="http://investor.sirius.com/releasedetail.cfm?ReleaseID=485479">a nice spike in subscribership</a> today all the more sweet.</p>
<p>Sirius (SIRI) said this morning that it added 583,000 net subscribers in the second quarter, bringing total subscribership to 19,524,448&#8211;a new record. And with that as a backdrop, the company raised its forecast for net subscriber additions for the third time, boosting this year&#8217;s projected growth to 1.1 million subscribers from 750,000.</p>
<p>&#8220;Our subscriber results mark the best quarter of gross additions, deactivations and net additions since the merger of Sirius and XM in July 2008,” CEO Mel Karmazin said in a statement. “The strong execution in both adding subscribers and retaining them resulted in our record-high 19.5 million subscriber milestone, despite continued economic uncertainty. The further improvement in our guidance reflects the attractiveness of satellite radio but maintains a cautious outlook for continued improvement in the economy.&#8221;</p>

Today, Sirius shares are trading at $1.15, up nearly 7.5 percent on news of an improved full-year outlook. </p>
<p>The recovery in consumer spending and auto sales is evidently giving Sirius (SIRI) quite a lift, enough for it to boost projected new subscriptions to approximately 750,000 from about 500,000, its revenue to $2.75 billion and its profit to $575 million. </p>
<p>Quite a change from last year, when the company seemed headed toward almost certain bankruptcy. Its shares are up some 75 percent this year.</p>

			<content:encoded><![CDATA[<p><img src="http://digitaldaily.allthingsd.com/files/2009/11/sirius-150x150.png" alt="sirius-150x150" width="150" height="150" class="alignright size-full wp-image-28263" /> Sirius XM Radio’s latest quarter turned out to be a decent one for the satellite radio operator. <a href="http://investor.sirius.com/releasedetail.cfm?ReleaseID=466135">Posting first-quarter earnings</a> before market open today, the company reported a profit of $41.6 million, or one cent per share, compared with a year-earlier loss of $52.6 million, or seven cents a share. Revenue rose 13 percent to $663.8 million. </p>
<p>Analysts polled by Thomson Reuters had expected the company to break even on revenue of $671 million. Sirius added 171,441 net subscribers during the period and reiterated its view that it expects to add more than 500,000 subscribers this year.</p>
<p>With quarterly net subscriber additions of 171,441, Sirius (SIRI) ended March with 18,944,199 subscribers. Quite an improvement over the year-ago quarter, when it lost 404,422 subscribers. </p>
<p>&#8220;Continued positive subscriber growth, double-digit growth in revenue, and a sharp focus on costs resulted in the highest quarterly adjusted operating income in the company&#8217;s history,&#8221; Sirius CEO Mel Karmazin said in a statement. &#8220;The continuing recovery of the automotive sector and expanding signs of increased consumer spending are encouraging signs for the company&#8217;s growth prospects.&#8221;</p>
<p>Still more good news for the company, which <a href="http://digitaldaily.allthingsd.com/20100427/run-blue-dog-run-sirius-avoids-delisting/">last week avoided delisting from Nasdaq</a>. That said, at $1.14, Sirius shares are trading down 7.32 percent this morning. Evidently, the revenue miss didn&#8217;t go over too well with investors.</p>

<p>As of market close today, the company’s shares have traded above $1 for 10 straight days, putting it back in compliance with NASDAQ’s minimum bid requirement</a>. As a result, the NASDAQ Listing Qualifications Panel hearing Sirius was to attend Thursday has been canceled and the company is no longer in danger of being booted to the Pink Sheets &#8212; <a href="http://digitaldaily.allthingsd.com/20100318/sirius-well-just-put-this-delisting-notice-in-the-circular-file/">not that it ever was, really</a>.</p>
<p>More good news for Sirius whose shares were trading at a new 52-week high of $1.20 yesterday.</p>

Having given up the <a href="http://digitaldaily.allthingsd.com/20100217/sirius-back-above-a-buck/">gains that pushed its shares past $1</a> and failed to close over that threshold for 10 straight days by March 15, Sirius XM invited a delisting notice. And Wednesday afternoon, <a href="http://investor.sirius.com/releasedetail.cfm?ReleaseID=453023">Nasdaq gave it one</a>, warning that the company&#8217;s shares have fallen out of compliance with its minimum bid requirement of $1 and that Sirius (SIRI) is in danger of being kicked to the Pink Sheets.</p>
<p>An ominous threat, but one not likely to be carried out. Sirius said back in February that it would appeal such a delisting notice and seek an extension from Nasdaq, and that&#8217;s exactly what the company is doing. </p>
<p>In a press release announcing the notice, Sirius said it will request a hearing before a Nasdaq Listing Qualifications Panel and petition it for a continued listing pending its return to compliance <a href="http://satwaves.com/blog/2010/03/15/sirius-xm-delisting-not-a-prayer/">(SatWaves has a good overview of how this will play out)</a>. And the company seems quite confident it will get the hearing.</p>
<p>&#8220;SIRIUS XM is one of the most liquid securities on The NASDAQ Global Select Market,&#8221; Sirius CEO Mel Karmazin said in a statement. &#8220;We have a large investor base consisting of both individual and prominent institutional stockholders; and our equity capitalization is greater than approximately 92 percent of the companies listed on The NASDAQ Global Select Market. We are committed to remaining listed on The NASDAQ Global Select Market.&#8221;</p>
<p>Frankly, with over 3.7 billion shares outstanding, there&#8217;s little reason to fear Sirius will be booted from Nasdaq. And if you do harbor such fears, consider this: A few days ago <a href="http://www.marketwatch.com/story/quarterly-changes-to-the-nasdaq-q-50-index-2010-03-12">the exchange added Sirius to its Nasdaq Q-50 Index</a>, which, according to the release announcing it, &#8220;is designed to track the performance of the 50 securities that are next in line to replace the securities currently included in the NASDAQ-100 Index.&#8221; If Nasdaq were truly preparing to delist Sirius, why would it bother adding the company to the Q-50?</p>

Shares of the satellite radio company rose above $1 this morning, the first time they crossed that threshold since September 2008. As I write this, Sirius shares are trading at $1.07, up 11.46 percent for the day. </p>
<p>Why? Well, sentiment about the company and its prospects are clearly improving now that it has its finances in order. The unexpected increase in subscriber growth the company recently reported is obviously helping as well. Also presumably fueling the rally is <a href="http://digitaldaily.allthingsd.com/20100203/karmazin-paley-center/">increasing confidence that Howard Stern will stick with Sirius</a>, rather than <a href="http://digitaldaily.allthingsd.com/20100121/stern-empty-threats/">bail for terrestrial radio</a> when his contract expires next year. Beyond that, I’m not entirely sure.</p>
<p>In any event, it seems there’s no longer a need for a reverse stock split to push Sirius above the $1 per share minimum for Nasdaq trading.</p>

Given Stern’s obvious affinity for the permissiveness of satellite, it seems unlikely that he’d ever give it up to return to &#8220;regular&#8221; radio, but would he decamp for Internet radio? </p>
<p>At a roundtable event this morning at The Paley Center for Media, Sirius (SIRI) CEO Mel Karmazin was asked that very question. Does he worry about Stern leaving for an outfit&#8211;like Pandora&#8211;looking to avail itself of the same &#8220;Stern Effect&#8221; that spiked Sirius’s subscriber rolls?</p>
<p>Karmazin acknowledged that while it’s a possibility, he&#8217;s dubious. &#8220;I think it&#8217;s great to be content today,&#8221; he said. &#8220;In this world of fragmentation, great content prevails. Howard Stern is great content. Howard would be sought after by anyone. He’s a great talent. Having said that, we would like him to stay with us and we are optimistic that he will continue to do so.&#8221;</p>
<p>It’s worth noting that Karmazin, while he does view Internet radio as a competitor, doesn’t seem too worried by it. &#8220;There are a lot of choices for audio content,&#8221; he remarked. &#8220;And obviously, the Internet is one of them. But the question is who’s going to the the largest player? And I think that’s our spot to lose. I believe we will be the most profitable of audio content choices.&#8221;</p>

Either you accept the fact that there’s a lot of competition out there, or you don’t&#8230;.But I do think this thing is going to drag out like it did for us. So far there are only two congressional hearings on Comcast/NBC. We had four&#8211;there were fewer for the Exxon Valdez.</p>
<p><strong> On In-Car Internet and the Apple iPod:</strong><br />
I think the Internet will absolutely be in the car and we think it will be a good competitor. You know we’ve been competing with iPods for a long time. And we look at how sat radio performs in the vehicles where people have the ability to put an iPod jack in and we don’t see much of a difference. We believe them to be complementary.</p>

<p>Stern said today that he has been approached by several &#8220;regular&#8221; radio execs about returning to his original turf when his five-year $500 million contract with Sirius XM (SIRI) expires. </p>
<p>&#8220;I actually have an offer,&#8221; <a href="http://www.thewrap.com/ind-column/howard-stern-return-terrestrial-radio-13320">Stern said, according to a report on The Wrap</a>. &#8220;Well, not a bona fide offer, but people have been making them.&#8221;</p>
<p>Stern’s remarks today follow a public call-and-response negotiation with Sirius CEO Mel Karmazin that began last fall. &#8220;It will start with Howard feeling that he is working too hard and doing too many shows and not making enough money,&#8221; <a href="http://blogs.reuters.com/summits/2009/11/30/sirius-ceo-karmazin-limbers-up-for-the-howard-stern-dance/">Karmazin told attendees of the Reuters Media Summit in November</a>. &#8220;Our side would say, &#8216;We want you to do more, and get less money.&#8217; The hope would be that we would come out with Howard staying with our service.&#8221;</p>
<p>Stern, of course, is angling for the exact opposite. &#8220;I don&#8217;t think I&#8217;m going to be re-signing. I know exactly what I want to do here,&#8221;<a href="http://online.wsj.com/article/SB10001424052748704825504574584022873284710.html"> he said last year, referring to a less busy schedule</a>. &#8220;And I don&#8217;t know if it would interest [Sirius.]&#8220;</p>
<p>Given the size of Stern&#8217;s audience and the availability of much of Sirius&#8217;s other content on the Internet, my guess is that it would.</p>

			<content:encoded><![CDATA[<p>Installing a multiroom stereo system can involve drilling holes in walls, running wires throughout the house and spending a lot of money. And after all that, the stereo still won&#8217;t have access to as much music as your computer. This week, I tested an alternative to the traditional stereo system that lets you control digitally delivered music in multiple rooms without spending a lot of money.</p>

<p>I tested Sonos Inc.&#8217;s $399 ZonePlayer S5 (<a href="http://Sonos.com/S5">Sonos.com/S5</a>), an all-in-one system that plays music off of your Windows PC or Mac, including music files on the computer, content from Internet radio sites Pandora and Last.fm, local radio stations, Sirius Internet radio, Napster and Rhapsody. The S5 plugs directly into your router and a wall outlet, and a simple software program installs on your computer, working as a desktop remote control. It can work in concert with other S5s or other Sonos products to create a multiroom system around your house. And a free iPhone or iPod Touch app facilitates full remote control of multiple systems.</p>
<p>Since 2005, Sonos has offered high-end audio systems that permit people to listen to their digital music in multiple rooms on stereo systems with straightforward setups and simple remote controls. But its past products were relatively costly and required users to provide an existing stereo setup, powered speakers or a device (like a Bose Wave Radio) that allowed adding components via an auxiliary line-in. </p>
<h5 class="subhed">Streamlined Setup</h5>
<p>The ZonePlayer S5 is Sonos&#8217;s first product that works right out of the box and doesn&#8217;t require additional pieces. It took me very little time to set up and, once set up, sounded great. Music fans will want to know that it has five speakers powered by five dedicated digital amplifiers, two tweeters, two midrange drivers and a subwoofer. Discreet buttons on the top of the S5 can be pressed to mute, raise or lower volume.</p>

<p>Sonos&#8217;s $99 ZoneBridge accessory frees the ZonePlayer S5 from being wired to a router. Most people will need to buy one of these because they don&#8217;t have their routers set up in the same rooms where they want to keep their ZonePlayer S5s. The ZoneBridge is what it sounds like: It can bridge a connection between your home network and one or multiple ZonePlayer S5s—or other Sonos products. There&#8217;s no limit to the number of Sonos products that can work with one ZoneBridge.</p>
<p>Last year, Sonos created a free app for Apple&#8217;s (AAPL) iPhone and iPod Touch that, as of a recent release last month, works just like the standalone $349 Sonos Controller 200, a touch-screen remote control. Using either the free app or the Sonos Controller, people can control music on multiple ZonePlayers and on other Sonos devices. For example, from my iPod Touch, I can mute one ZonePlayer and crank up the volume on another; I can skim through and play a list of Billboard Chart hits from Napster or listen to one of my personalized stations on Pandora.</p>
<p>If you&#8217;re like me, you don&#8217;t like bothering with plugs as you move electronics around your house. Even though the ZonePlayer S5 has a built-in handle and can easily be moved around (it weighs only about nine pounds), it will need its AC adapter cord wherever it goes. And the ZonePlayer S5 doesn&#8217;t have a dedicated iPod dock. Sure, you could buy a cord to plug an iPod into the auxiliary port on the back of the ZonePlayer, but that&#8217;s not the same as a dock. </p>
<h5 class="subhed">Competition Report</h5>
<p>Competitors, such as Bose Corp.&#8217;s $270 SoundDock Series II, work as speakers and iPod docks. The Bose can&#8217;t sync with other SoundDocks, as Sonos products are made to do, nor can it wirelessly play music from the hard drive of a nearby Windows PC or Mac. But as long as an iPod Touch or iPhone is loaded with free apps from Pandora or Last.fm, it can be placed in the SoundDock to play Internet radio through this system. And Bose&#8217;s $360 SoundDock Portable works plugged in or for over three hours on rechargeable batteries, making it easier to move around the house. </p>
<p>It took me less than 10 minutes to set up two ZonePlayer S5s, one ZoneBridge and a Sonos Controller 200 remote control in three different rooms. The ZoneBridge is just 1½ inches tall and its surface measures about the area of a piece of toast. It plugs directly into a router so the S5s can work anywhere within the Wi-Fi network, though they still must each be plugged into a power outlet.</p>
<p>I installed Sonos&#8217;s setup software, which came on a disc with the ZonePlayer S5, on a Dell (DELL) XPS One running Windows 7. When prompted, I followed on-screen instructions that explained how to press a button on each ZonePlayer S5, the ZoneBridge and the remote to wirelessly link them to my system. An indicator light on the S5 and ZoneBridge changed from blinking to solid to signify the connection.</p>
<h5 class="subhed">Listen Up</h5>
<p>Free 30-day trials of Sirius Internet Radio, Napster and Rhapsody come with the ZonePlayer S5, and the software is smart enough to set everything up in one step so users can start listening without first filling out any forms (like email address, name etc.). If users don&#8217;t have accounts with Internet radio sites Pandora and Last.fm, they must go to those sites to create accounts online. </p>
<p>I entered my Pandora Internet radio user name and password on the computer, and my saved radio stations appeared on the computer screen. These personalized stations also showed up on the Sonos Controller&#8217;s colorful touch screen, as well as in the Sonos Controller app on the iPhone. And Pandora&#8217;s thumbs-up and thumbs-down buttons also work on these portable remotes, so my musical preferences were saved in my account as I selected each to indicate whether or not I liked a song.</p>
<p>I played all sorts of content from the Web directly on my ZonePlayer S5s: hip-hop from Jay-Z, Ella Fitzgerald jazz, classical Christmas songs sung by the York Minster Choir, my local NPR station and tracks from Shakira&#8217;s new &#8220;She Wolf&#8221; album. I also listened to music from my computer&#8217;s hard drive.</p>
<p>The Sonos ZonePlayer S5 lets you build a stereo system that can be wirelessly spread around with help from the company&#8217;s $99 ZoneBridge. And, as is the case with all Sonos products, the setup process is fantastically simple.  Now that the iPhone and iPod Touch can use a free remote-control app that works just as well as the Sonos Controller 200, these players are even more accessible.</p>

I just renewed my contract. It&#8217;s exactly what I want.&#8221;</p>
<p>Exactly what he wants, except maybe for that perennially-under-a-dollar share price&#8211;though according to Karmazin, that’s going to change. &#8220;I think today, you&#8217;ll start to see quarter after quarter of growth,&#8221; he said. &#8220;You&#8217;ll see us making free cash flow. You&#8217;ll see us with&#8230;over $2.5 billion of revenue. We&#8217;ll start to make money, and we&#8217;ll start to keep investing in content. And I think our future will be great.&#8221;</p>

Sadly, the same cannot be said for its subscribership. Reporting third-quarter earnings this morning, the company posted a loss of $149.1 million, or four cents a share on revenue that rose to $629.6 million from $612.8 million. Quite a bit better than its year-earlier loss of $4.88 billion, or $1.93 a share. </p>
<p>Absent one-time charges, the company broke even for the quarter. Analysts had been expecting a two-cent loss on revenue of $609 million. </p>
<p>Good news, but it was tempered with a bit of bad. Because Sirius&#8217;s (SIRI) subscriber growth is slowing. The company ended the quarter with 18.5 million total subscribers. That&#8217;s up 103,000 from the second quarter, but down 2.1 percent from a year earlier.  </p>
<p>&#8220;We are very pleased with what we accomplished during the third quarter, especially when considering the macroeconomic issues affecting consumers and the auto industry,&#8221; Sirius CEO Mel Karmazin said in a statement. </p>
<p>&#8220;We managed to grow revenue, grow ARPU, reduce operating costs, increase adjusted income from operations significantly, and refinance higher cost debt,&#8221; Karmazin added. &#8220;We look forward to continuing this performance. We grew subscribers and improved churn in the quarter, and we are well positioned to take advantage of an economic rebound. We expect to grow subscribers, revenue, and cash flow next year regardless of the magnitude of any recovery.&#8221;</p>

<p>So the question now is: Will Sirius now move ahead with the reverse split its stockholders approved back in May?</p>

			<content:encoded><![CDATA[<p>The <a href="http://digitaldaily.allthingsd.com/20090820/sirius-building-iphone-dock/">rumors</a> were true.  At an invitation-only media event in New York City this morning, Sirius XM (SIRI) debuted the first-ever radio dock for the iPhone and iPod touch.</p>
<p>Dubbed SkyDock, the $119.99 peripheral uses iPhone OS 3&#8242;s support for third-party hardware to transform Apple (AAPL) handsets into full-fledged satellite radios. Designed to run off a car’s cigarette power adapter, the SkyDock charges your iPhone while you listen to it. It works in concert with the Sirius/XM iPhone app and supports the ability to tag songs for download from iTunes.  Better yet, it gives users access to all XM and&#8221;The Best of SIRIUS&#8221; channels, even those the company infamously excludes from its online feed, <a href="http://digitaldaily.allthingsd.com/20090618/qotd-153/">like Howard Stern, MLB Play-by-Play and NFL Play-by-Play</a>.</p>
<p>A wise move for Sirius and one that will no doubt go over quite well with folks who are interested in listening to its programming, but unwilling to pay for a full sat-radio upgrade to do so. No word yet on a firm release date. The device has, however, been granted preliminary approval by <a href="https://fjallfoss.fcc.gov/oetcf/eas/reports/ViewExhibitReport.cfm?mode=Exhibits&#038;RequestTimeout=500&#038;calledFromFrame=N&#038;application_id=463007&#038;fcc_id=%27RS2XVSAP1V1%27">the FCC which is still evaluating it</a>.</p>

According to an employee training document, the company plans to pass on to subscribers the cost of <a href="http://xmradio.mediaroom.com/index.php?s=press_releases&#038;item=1543"> increased performance royalty rates for satellite radio instituted by the Copyright Royalty Board in 2007</a>. Sources say the increase will amount to about $1.98 per month when it is implemented on July 29. Users with multiple radios will pay about half that. Sirius is billing the additional cost as a sort of tax, and insists it is not increasing its base subscription price. Sirius XM failed to respond to multiple requests for comment. <b>US Music Royalty Fee Overview </b><br />
As an ongoing part of our business, SIRIUS XM must pay copyright music royalties to music companies and music publishers. These royalties have risen dramatically over the past few years, as a result of decisions of the Copyright Royalty Board (CRB). SIRIUS XM has tried to keep these fees as low as possible but in the end, the company has very limited influence over these payments. The FCC decision approving the merger between SIRIUS and XM allows the company to pass through to Subscribers any federally mandated increases in music royalties that we must pay, since March 20, 2007. The FCC decision allows us to pass through this fee increase to our Subscribers and the company has chosen to do this with the U.S. Music Royalty Fee.</p>
<p>The US Music Royalty Fee will be applied to all music subscriptions that SIRIUS XM offers. The fee will be implemented on July 29th, 2009. The existing Subscriber base will receive this fee on their first billing after this date. The fee will be applied to all satellite plans with music content on a Monthly, Quarterly, Semi-Annual and all Annual Savings Plans. Lifetime Subscribers, who have purchased prior to July 29th, will never receive the US Music Royalty Fee. Since the online products are not satellite based they will not incur the U.S. Music Royalty Fee. Once the fee is introduced on July 29th, any new activation or conversion will include the fee. As we go through this training, you will gain a better understanding of how this fee is applied and how to explain it to the Subscribers. We will be going through different scenarios so you can understand why we are passing this fee onto our Subscribers, how to diffuse irate Subscribers, and how the Subscriber can truly benefit by adding longer term plans.</p>

<p><strong>What is this US Music Royalty Fee? </strong><br />
Unlike land based radio, both SIRIUS and XM are required to pay copyright music royalties to recording artists, musicians and recording companies who hold copyrights to lyrics and music.</p>
<p><strong>Why are you increasing your price? </strong><br />
We are not increasing our base price which will remain at $12.95/month for most Subscribers.</p>
<p><strong>Why are you charging me this fee? </strong><br />
US Music Royalty rights were established by Congress and are a product of the copyright ACT, the copyright royalty board which sets the rates SIRIUS XM must pay the music industry has increased the rates dramatically. Unfortunately we can no longer absorb these increased costs.</p>
<p><strong>Who makes up the Copyright Royalty Board (CRB)? </strong><br />
The Copyright Royalty Board consists of three Copyright Royalty Judges who determine rates and terms for copyright statutory licenses and make determinations on distribution of statutory license royalties collected by the United States Copyright Office of the Library of Congress. The Board, made up of three permanent copyright royalty judges, was created under the Copyright Royalty and Distribution Reform Act of 2004, These administrative judges are appointed by the Librarian of Congress</p>
<p><strong>Why does it cost so much? </strong><br />
The Copyright Royalty Board which sets the rates SIRIUS XM must pay the music industry have increased the rates dramatically. Unfortunately the Company can no longer absorb these increased costs and must pass them on to subscribers as a US Music Royalty Fee. Is there any way to avoid this charge? Absolutely, for our Subscribers who previously purchased a long term plan, we will continue to absorb these costs until the next renewal date. If you renew and extend your current subscription before July 29, 2009 we will continue to absorb these increased royalty costs until your next renewal date. I can tell you about some our great savings plans.</p>
<p><strong>FCC Ruling stated you can&#8217;t raise your price, why are you doing it? </strong><br />
This fee is consistent with our commitment not to raise the base price of specific service plans for three years after the merger. The FCC did however permit us to add this fee to our price beginning July 29, 2009.</p>
<p><strong>How does this relate to the March Increase? </strong><br />
It is unrelated; the US Music Royalty Fee is to recover royalty cost increases that are outside of the control of SIRIUS XM.</p>
<p><strong>I just locked in for MRD, why are you increasing it again? </strong><br />
If you purchased a multi-month plan to lock in a lower price or to retain free streaming, the US Music Royalty Fee will not affect you until the next renewal date for the Plan you purchased.</p>
<p><strong>Who gets the money? </strong><br />
The US Music Royalty Fee will be used to offset payments from SIRIUS XM to the music industry.</p>
<p><strong>Do you foresee any changes in the fee? </strong><br />
The Copyright Royalty Board sets the fees that SIRIUS XM is required to pay. The fee is expected to increase by one half percent per year through 2012.</p>
<p><strong>Why did you decide to charge a US Music Royalty Fee rather than adding the increase to the subscription fee? </strong><br />
The FCC order requires that we detail the royalty increase for our Subscribers.</p>
<p><strong>Why is the US MRF taxed? </strong><br />
Under applicable tax regulations, it has been determined that the US MRF is a taxable charge.</p>
<p><strong>I only listen to news and talk radio, so why should I be charged the US MRF? </strong><br />
I understand, however, it would be impossible to calculate the US Music Royalty Fee based on individual listening patterns of our Subscribers.</p>
<p><strong>You recently increased the price of my second radio by $2.00. Now you are adding a US MRF of $.97. Isn&#8217;t this too much? </strong><br />
The discounted second radio price of $8.99 is still a 30% savings over our standard fee. The addition of a US Music Royalty Fee is necessary due to the dramatic increase in royalties that we have been forced to pay the music industry.</p>
<p><strong>Was I paying this fee previously as part of my subscription price and now am I paying for it separately? </strong><br />
Until July 29, 2009 the FCC required SIRIUS XM to pay the royalty increases, however the order provided the ability for us to pass along these royalty cost increases beginning July 29, 2009.</p>
<p><strong>If I have an A La Carte subscription am I only paying the fee on the music channels? </strong><br />
That&#8217;s a great question, SIRIUS -XM is obligated to pay the US Music Royalty Fee based on the content available in packages, unfortunately we are not able to customize the fee for individual Subscribers.</p>
<p><strong>Is there a way to reduce this cost&#8211;can I switch my subscription package to mostly music </strong><br />
You may switch to a mostly music package, which will save you $.45 a month in US Music Royalty Fees, but if you do that, you will be giving up over xx channels (different for SIRIUS and XM) of great programming. However, let me tell you about some of our great savings plan which will allow you to delay the US Music Royalty Fee for the term of that plan.</p>
<p><strong>I have an online radio subscription; do I pay a royalty fee on that? </strong><br />
No, the music royalties associated with satellite delivery and internet delivery of music content are different. The royalties associated with internet listening is absorbed in the subscription price.</p>
<p><strong>I have 2 subscriptions a Best of and a SIRIUS Everything why is the fee the same on both subscriptions?</strong></p>
<p>The US Music Royalty Fee is based on music; the channels included in the Best of portion of your package do not include large amounts of music, so no US Music Royalty fee is due on that portion of your subscription.</p></blockquote>
