			<content:encoded><![CDATA[<p>Microsoft is planning a massive software update on Tuesday for the Xbox, beginning the game console&#8217;s transformation into an entertainment hub for the whole family.</p>

<p>The free update will allow users to control the console using their voice and gestures, or even their Windows Phone (if they have one).</p>
<p>In addition, Microsoft will begin to add more than 40 content providers to the console to increase the catalog of live and streamed TV, movies and music.</p>
<p>Microsoft has announced nearly all of these details previously, including some of its content partners, so today&#8217;s announcement serves as a reminder now that the final product is ready to go.</p>
<p>Last week, I met up with Michael Suraci, Xbox&#8217;s director of marketing, to get a preview of the updates.</p>
<p>According to Suraci, Kinect, the motion sensor that launched last year, is a central part of the update. When it was introduced, it seemed that all it was good for was dance games, but clearly Microsoft had much bigger plans for the camera and the microphone.</p>
<p>Now users can speak naturally to the Xbox, which tears down a number of barriers to family members in the household that weren&#8217;t comfortable with the clunky controller. If Microsoft pulls it off, it could teach people that televisions are meant to be talked to, just as Apple has taught people that screens are meant to be touched.</p>
<p>An unknown subset of the nearly 60 million Xbox owners worldwide that have purchased Kinect will be able to use all the new features in the update.</p>
<p>But everyone will have access to many of the updates.</p>
<p>One major improvement is in navigation. For example, the old interface required the user to decide which category they wanted to go into. For example, games, video or music. Then, they had to choose the application, like Netflix, ESPN or Zune.</p>

<p>In the new user interface, the person can search across all of the categories and apps.</p>

<p>As Suraci demonstrates in the video, a user can say: &#8220;Xbox: Bing, &#8216;Fast and the Furious.&#8217;&#8221;</p>
<p>The results show all of the content that matches that criteria across games, music, video and other categories. The style of the user interface will be recognizable to anyone using a Windows Phone. The format will also be carried over to the upcoming Windows 8 update.</p>
<p>During Suraci&#8217;s demonstration, the software got confused a couple of times, but still, searching by voice will be much faster than typing in a string of words, letter-by-letter, using the controller to scroll through the alphabet.</p>
<p>Going forward, the Xbox could replace the need for a second set-top box in the household, but as Peter Kafka has mentioned before, <a href="http://allthingsd.com/20111004/microsoft-puts-more-tv-in-your-xbox-as-long-as-you-keep-paying-for-cable/">it&#8217;s not a service for customers looking to cut the cord</a>. In order to stream live TV, or watch movies, you&#8217;ll either have to pay for a subscription &#8212; like Verizon FiOS or Comcast&#8217;s Xfinity &#8212; or pay a la carte.</p>
<p>On Tuesday&#8217;s launch, the amount of content that will be available in the U.S. will be somewhat disappointing. But later in December and in early 2012, you will start to see integrations with Verizon FiOS, YouTube, HBO GO and Xfinity On Demand, TMZ, UFC, Wal-Mart&#8217;s Vudu service and others.</p>

			<content:encoded><![CDATA[<p>Thanks to the popularity of Facebook, it&#8217;s easy to assume that all social networks are designed primarily to connect friends with one another. But many of these networks—think Twitter, Yelp and  LinkedIn—aren&#8217;t focused on that. Instead, they provide information from strangers, business contacts and group postings on a variety of topics. Myspace is now also shifting in this direction after Facebook decisively overtook it as the most popular social network.</p>
<p>Last month, the company rolled out a revamped version of Myspace, which is owned by News Corp., publisher of the Wall Street Journal. I&#8217;ve been testing it to see what has changed and if it&#8217;s worth using. Its interface is cleaner than the old version of Myspace and I found it easy to navigate. It&#8217;s also inviting for non-members or people who&#8217;ve long-since given up on Myspace. But I can&#8217;t definitely say I like it enough to add it to my large list of social networks.</p>

<p>Step one of this site&#8217;s rehab was a new focus. Myspace (<a href="http://myspace.com">myspace.com</a>) was redesigned to serve as a source of information about entertainment. People who use it can follow five categories—TV, music, movies, celebrities and comedy—that include more than 100,000 topics. News about these topics comes from  sites all over the Web and is arranged on users&#8217; home pages to show loads of information at a glance. A Discovery tab at the top of the page shows content related to trends on Myspace makes suggestions based on a user&#8217;s preferences and taste. A spokesman said the Myspace topics can be expanded, but for now, if you&#8217;re fonder of, say, books, theater or hard news, Myspace won&#8217;t be a good fit. </p>
<p>Step two for Myspace included making nice with its old competitor. It now works with Facebook Connect to pull in people&#8217;s Facebook &#8220;likes&#8221; and interests, which automatically generate customized Myspace pages for new users. </p>
<p>The final step of the Myspace redesign was its emphasis on music. The site still contains one of the largest Web music catalogs that plays full versions of songs for anyone who visits Myspace. New versions of band profile pages look more organized. And all artists with band profiles will have ReverbNation&#8217;s FanReach email product integrated into their profile to help them create targeted email campaigns for fans.</p>
<p>Was Myspace&#8217;s rehabilitation worth the effort? I&#8217;ve been using it for a week and it has taught me a lot more than I knew about things I care about. I had no idea that one of my favorite TV shows, TNT&#8217;s &#8220;The Closer,&#8221; recently said that 2011 would be its last season. Nor did I know that Anthony Bourdain blogs about his role as a judge on &#8220;Top Chef Masters.&#8221; These items and others appeared on my Home page after I performed the process that the Myspace site refers to as a Facebook Mashup.</p>
<p>The Facebook Mashup does a few things automatically for you, in addition to generating a Myspace page filled with topic-related news. A playlist is created in the Music section of your page that contains artists whom you &#8220;like&#8221; on Facebook (or whom you indicated while setting up an account). And the Videos section of the Myspace page will reflect your tastes in a list of Followed Channels related to your Facebook preferences.</p>
<p>The Home page can be seen in one of three views—List, Grid or Play—and icons at the top of the screen let users toggle among  these views. My favorite was Grid View in the Full Grid View format, visible by clicking a small box at the top of the page. </p>
<p>Some of the content displayed on my Home page was mixed up. For example, a tile representing the story about Mr. Bourdain&#8217;s blog (originally posted on <a href="http://Celebrifi.com">Celebrifi.com</a>) displayed with it a photo of actor Tom Cruise, who wasn&#8217;t mentioned in that post. Another Tom, Tom Colicchio, chef and a &#8220;Top Chef Masters&#8221; judge, was mentioned in the post, but that doesn&#8217;t explain the mix-up. </p>
<p>Anything that falls into the 100,000 plus topics of Myspace&#8217;s realm can be found via a search box in the top right corner of the page, but this box is confusingly labeled, &#8220;Search People.&#8221; Though Myspace still allows users to search for and friend one another, the label on this search box is puzzling, given the greater reach of the site. </p>
<p>You can watch video content from <a href="http://Hulu.com">Hulu.com</a> (of which News Corp. is part owner) without jumping to a new page. And videos also come from other sources like TMZ and the NFL.</p>
<p>Users can earn recognition badges—icons that show up on their page—for their involvement on Myspace, and can become curators of topics, awarded on the basis of users&#8217; involvement and how much other people respond to their activity. </p>
<p>This week, a Myspace mobile app was launched in Apple&#8217;s App Store, and an Android app is due out next year.</p>
<p>Myspace successfully reinvented itself in a way that could very well get people using it again, but Facebook&#8217;s more personalized social network may be more valuable than a rich library of entertainment content.</p>

Sure, says Wetpaint CEO Ben Elowitz. His pitch: We&#8217;ll build a better mousetrap&#8211;one that covers every flickering detail about the likes of &#8220;Glee&#8221; and &#8220;The Jersey Shore&#8221;&#8211;using &#8220;data and science.&#8221;</p>
<p>Until now, Elowitz has been in the business of helping other publishers build sites with wiki-based tools. But now he&#8217;s opening up his own shop at <a href="http://wetpaint.com/">Wetpaint.com</a>, which should be working by the time you read this. (If not&#8211;take a look at the sample screenshot at the bottom of this post.)</p>
<p>Elowitz is presenting Wetpaint as a sort of upscale, thinkier version of content factories like Demand Media. Like Demand, Wetpaint uses technology to help it figure out which stories to assign&#8211;in Wetpaint&#8217;s case, via an &#8220;ingestion engine&#8221; that is supposed to crawl the Web looking for spiking stories on discussion boards, Twitter, Facebook, etc.</p>
<p>The difference is that Demand is primarily interested in finding lots and lots of stories that will appeal to a relatively small group of searchers, which is how it ends up with search bait like <a href="http://www.youtube.com/watch?v=ZDFTifCyPcA">&#8220;How to Donate a Used Car in Dallas.&#8221;</a></p>
<p>But Wetpaint is trying to create a destination site for a large number of eyeballs, and says it will use its tech to get them more of what they want, produced by a core group of 10 editorial employees and a freelance squad of 20.</p>
<p>&#8220;We don&#8217;t care about Google,&#8221; Elowitz says. &#8220;We&#8217;re not trying to get long-tail, we&#8217;re not trying to get search traffic.&#8221;</p>
<p>Okay. So that&#8217;s a bit of hyperbole&#8211;Elowitz would like some Google (GOOG) juice as much as the next publisher, which is one of the reasons he&#8217;s using the existing Wetpaint name for his site.</p>
<p>But he&#8217;s clearly set on exploiting social networks, too. He says Wetpaint.com, via its focus on Facebook-friendly TV shows, has already garnered 500,000 fans on the social network.</p>
<p>Elowitz is also positioning himself as a competitor of pop/gossip Web sites published by old media brands, specifically Time Warner&#8217;s (TWX) People, TMZ and Entertainment Weekly sites. But the people who read that stuff online don&#8217;t limit themselves to a handful of brands, which is why big Web players like Microsoft (MSFT) and Yahoo (YHOO) are there, too.</p>
<p>Add in freelance upstarts like Perez Hilton and millions more you&#8217;ve never heard of, and it&#8217;s a very, very crowded field. Elowitz will need a very clever tech team to make this work.</p>

<p>You’d never believe it, you never would know, that Christmas had come, at least not by the snow. All the geeks in the Valley were typing away, forced to take a short breather on this year’s Christmas day. So read on for info, this update, dear friends, as Christmas is over and a new year begins. </p>
<p>In time for Christmas, in technology news, Walt opened his column on product reviews. It seems, I am told, that holiday travel, with two screaming children can make brains unravel. So what could one bring, on a holiday trek, to keep little ones smiling and not cause a wreck? <a href="http://ptech.allthingsd.com/20091223/gadgets-to-bring-holiday-cheer-to-little-travelers/">In a guest post by Nick&#8211;Wingfield’s his name&#8211;we saw Apple&#8217;s iTouch, the best in the game.</a> He talked PSPs, and Nintendo DS&#8217;s, but versatile and thin, iPod touch got the yesses. </p>
<p>At Mossberg Solution, Katie was typing, a fresh new post to help holiday griping. For if through your window, this holiday season, a new Mac has drifted, you might have a reason. The keyboard is different, and programs won&#8217;t close, all those whoosits and whatzits, no one really knows. <a href="http://solution.allthingsd.com/20091222/opening-a-window-on-the-mac/">But Katie was there, she did not take a rest, to show you the way to make your new Mac the best</a>. Remember to &#8220;Quit,&#8221; on that Mac she said, &#8217;cause those little red x’s won’t put the program to bed. And one final thought, if it doesn’t seem rude, Katie recommended a new attitude. You see, on the Mac, once they’ve been detected, to remove those hard drives, they must first be &#8220;ejected.&#8221; </p>
<p>It was all about BoomTown, this week in the news, as Kara looked at upcoming interviews. She’s worked much too hard and now they’ve said yes, but <a href="http://kara.allthingsd.com/20091221/d-all-things-digital-ces-live-streaming-interviews-with-hastings-netflix-rubinstein-palm-and-rubin-google/">the lineup is set for our CES.</a> With Hastings and Rubin and Rubinstien all, we’ll get their big scoops at the big techie ball. If tech shows are cold, with their gadgets galore, Kara posted a post about what’s in store. <a href="http://kara.allthingsd.com/20091222/twitters-biz-stone-looks-back-at-2009-and-forward-to-2010-were-now-an-information-network-people/">She traveled to Twitter and talked with Biz Stone, who thinked up some thoughts on how tweeting has grown.</a> He pensively pondered, and stroked his cute chin. Some thoughts on the future, he gave with a grin. Kara was waving goodbye, flying off to the sand, to spend time with her family, mai-tai in hand. But before she got buckled and the jet engines roared, she solved a small mystery while climbing aboard. It seems, oh you see, that she’d gotten some news,<a href="http://kara.allthingsd.com/20091224/the-flixsterrotten-tomatoesmyspace-mystery-solved-a-christmas-miracle/"> about MySpace, Flixster and movie reviews.</a> The two have been talking, oh talking some talk, with Rotten Tomatoes along for the walk. So she boarded the jet, all shiny and tall, waving goodbye to BoomTown for some vacation, if small. </p>
<p>At MediaMemo HQ, it was Peter this week, opening the media door and taking a peek. <a href="http://mediamemo.allthingsd.com/20091223/tmz-sports-why-not/">Over at TMZ, they are all talking sports</a>, it seems they are thinking, a new venture of sorts. The connection makes sense, though the idea is small. They might thank Tiger Woods for starting it all. And just when you thought you’d bought all your gifts, Peter covered that thing that’s on every geek’s lists. It seems to Peter, that maybe, perhaps, <a href="http://mediamemo.allthingsd.com/20091223/time-finally-for-the-tablet-apple-developers-super-sizing-their-apps-for-january-event/">the new Apple (AAPL) tablet would need big tablet-sized apps.</a> That’s just what he found, when looking this week; some big app developers had given a tweak. They’ve made everything bigger, for what we don’t know, but whatever it is, the screen sure did grow. Peter covered it all, including abuse. There were gremlins, not elves, about, on the loose. While most new tech start-ups were shopping for backers, the biggest of bigs were snorched on by hackers.<a href="http://mediamemo.allthingsd.com/20091224/hackers-bring-holiday-headaches-to-amazon-wal-mart/"> Amazon (AMZN), Wal-Mart (WMT), and more in the cloud, got hit by bad geeks</a>, doing things not allowed. They recovered it quickly, and locked up their gate, making sure all your packages still wouldn’t be late. </p>

<p>Seems likely, according to <a href="http://sportsbybrooks.com/hide-the-baby-mamas-tmzsportscom-is-coming-27456">recent</a> <a href="http://paidcontent.org/article/419-tmz-registers-sports-gossip-domain-but-plays-coy-about-plans/">reports</a>. And it makes plenty of sense.</p>
<p>For starters, it&#8217;s what the Time Warner (TWX) gossip powerhouse is already doing. See: <a href="http://www.tmz.com/category/tiger-woods/">Tiger Woods</a>, of course. Or more recently, coverage of NFL player <a href="http://www.tmz.com/tag/chris+henry/">Chris Henry&#8217;s</a> death.</p>
<p>It&#8217;s also something that Harvey Levin&#8217;s operation is uniquely suited to do. Blogs like <a href="http://sportsbybrooks.com/">Sports By Brooks</a> and Gawker Media&#8217;s <a href="http://deadspin.com/">Deadspin</a> are excellent repositories for R-rated commentary on sports and periodically <a href="http://deadspin.com/5332801/the-devil-is-still-in-josh-hamilton-update/gallery/">break a story</a> themselves. But in general, they either don&#8217;t or can&#8217;t spend the resources on the grim digging and scooping that TMZ specializes in.</p>
<p>And the conventional media outlets, which depend on the sports leagues for access and/or licensing rights, are loath to dip too deeply into this stuff. They are also likely worried about spooking advertisers, but that doesn&#8217;t seem to be an issue for TMZ&#8217;s existing product.</p>
<p>My only request: If there&#8217;s a companion TV show, can we please dump the &#8220;Harvey Levin and his producers sit around the news room and kibbitz&#8221; conceit? Don&#8217;t like that one bit.</p>

<p>With all the potholes and traffic, the jostling cut off the connection several times, which was deeply annoying, since I need to be jacked into the matrix 24/7.</p>
<p>Now comes news that Ford (F) will make the next generation of its Sync-enabled vehicles into Wi-Fi hotspots, allowing you to connect to the Internet everywhere much more seamlessly in a moving car. They will be available next year.</p>
<p>Oh, joy! Now, I can monitor celeb disasters constantly on TMZ, continue to not confirm friend requests on Facebook and obsessively Gowalla myself while moving at 80 miles per hour, which should freak some people out.</p>
<p>While there are lots of in-car wireless solutions, such as MiFi, this one seems like it could be one of the easier ones, allowing you to use any USB modem to connect to the automobile, which then provides access to anyone in it with a password (yes, you can stop that snotty BMW next to you in traffic on 101 from stealing your signal).</p>
<p>Ford&#8217;s Sync cars are a lot like many other digitally souped-up ones, with lots of data, voice-operated info and hands-free calling, but this is a welcome new innovation.</p>
<p>Here is a video by Ford showing the system, in which one kid in the backseat is using an Apple (AAPL) laptop and one a Microsoft (MSFT) PC:</p>

<p>Inserting an owner&#8217;s compatible USB mobile broadband modem&#8211;sometimes called an &#8220;air card&#8221;&#8211; into SYNC’s USB port will produce a secure wireless connection that will be broadcast throughout the vehicle, allowing passengers with WiFi-enabled mobile devices to access the Internet anywhere the broadband modem receives connectivity.</p>
<p>&#8220;While you&#8217;re driving to grandma&#8217;s house, your spouse can be finishing the holiday shopping and the kids can be chatting with friends and updating their Facebook profiles,&#8221; said Mark Fields, Ford president of The Americas. &#8220;And you&#8217;re not paying for yet another mobile subscription or piece of hardware because Ford will let you use technology you already have.&#8221;</p>
<p>Studies by the Consumer Electronics Association show that as many as 77 million adults make up the so-called technology enthusiast drivers population, more than half of whom express the desire for a connected communications and information system in their vehicles. Even among the general population, more than one third of Americans would be interested in the ability to check email and access Web sites in their vehicles.</p>
<p><strong>Upgradeable and secure</strong></p>
<p>The USB port provided by SYNC lets owners leverage a variety of devices, including the mobile broadband modem. And through simple software updates, SYNC can be adapted to connect with the latest devices.</p>
<p>&#8220;The speeds with which technology is evolving, particularly on the wireless front, makes obsolescence a real problem,&#8221; said Doug VanDagens, director of Ford&#8217;s Connected Services Solutions Organization. &#8220;We&#8217;ve solved that problem by making SYNC work with just about any technology you plug into it. By leveraging a user&#8217;s existing hardware, which can be upgraded independent of SYNC, we&#8217;ve helped ensure &#8216;forward compatibility&#8217; with whatever connectivity technology comes next.&#8221;</p>
<p>The SYNC WiFi capability is a simple solution for bringing internet into the vehicle, versus competitive systems on the market. Being factory-installed, the hardware is seamlessly integrated into the vehicle, whereas competitor&#8217;s systems are dealer-installed and require a bulky bolt-in receiver and transmitter that take up cabin space. Also, competitive systems cost approximately $500 for equipment and installation, not to mention the monthly subscription fee.</p>
<p>&#8220;Using SYNC with existing mobile devices helps Ford provide the most value, the most flexibility and the most convenience for owners,&#8221; said Fields. &#8220;Constant connectivity is becoming a routine part of our customers&#8217; lives, and we&#8217;re making existing technology more accessible without adding costs: That&#8217;s the kind of value Ford drivers have learned to expect.&#8221;</p>
<p>Using the SYNC WiFi system, a signal will be broadcast throughout the vehicle. Default security is set to WiFi Protected Access 2 (WPA2), requiring users to enter a randomly chosen password to connect to the Internet. When SYNC sees a new WiFi device for the first time, the driver must specifically allow that device to connect, preventing unauthorized users from &#8220;piggybacking&#8221; on the SYNC-provided signal.</p></blockquote>

<p>One of the louder critics, in fact,  has been Rupert Murdoch, chairman and CEO of News Corp. (NWS), who has been loaded for bear in regard to Google (GOOG), leveling a series of high-profile verbal attacks on the company.</p>
<p>Last week, Murdoch <a href="http://online.wsj.com/article/SB10001424052748704107104574570191223415268.html">published his own piece in The Journal</a>, which he owns (along with this Web site), on the topic of the wrenching changes in the news business and in which he never mentioned Google by name.</p>
<p>But the company was there anyway, so, in the interests of equal opportunity balloon-pricking, I must also render Murdoch&#8217;s post through my decoding machine, because it&#8217;s only sporting!</p>
<p>His op-ed, The Journal noted, &#8220;has been adapted from his Dec. 1 remarks before the Federal Trade Commission&#8217;s workshop on journalism and the Internet.&#8221;</p>
<p><strong>What Murdoch wrote:</strong> <em><strong>Journalism and Freedom</p>
<p>Government assistance is a greater threat to the press than any new technology.</p>

<p>And, unlike Eric Schmidt, I didn&#8217;t need to be called Emperor Palpatine to scare people. Plain old &#8220;Rupe&#8221; works just fine to give most people the shakes.</p>
<p><strong>What Murdoch wrote:</strong> <em>We are at a time when many news enterprises are shutting down or scaling back. No doubt you will hear some tell you that journalism is in dire shape, and the triumph of digital is to blame.</p>
<p>My message is just the opposite. The future of journalism is more promising than ever&#8211;limited only by editors and producers unwilling to fight for their readers and viewers, or government using its heavy hand either to overregulate or subsidize us.</em></p>

<p><strong>Translation:</strong> Please try to ignore the salient fact that it was actually Rupert Murdoch&#8211;<em>me!</em>&#8211;who has been loudly clanging the bell of late about how Google is laying waste to journalism, much as Sean Hannity did to that poor Alan Colmes nightly for a dozen years.</p>
<p>Also, please ignore that I am saying my message is just the opposite, because&#8211;really&#8211;I hate government more than I hate Google, so this makes perfect sense if you really think about it.</p>
<p>But don&#8217;t think about it, mate!</p>
<p><strong>Murdoch wrote:</strong> <em>From the beginning, newspapers have prospered for one reason: The trust that comes from representing their readers&#8217; interests and giving them the news that&#8217;s important to them. That means covering the communities where they live, exposing government or business corruption, and standing up to the rich and powerful.</p>
<p>Technology now allows us to do this on a much greater scale. That means we have the means to reach billions of people who until now have had no honest or independent sources of the information they need to rise in society, hold their governments accountable, and pursue their needs and dreams.</p>
<p>Does this mean we are all going to succeed? Of course not. Some newspapers and news organizations will not adapt to the digital realities of our day&#8211;and they will fail. We should not blame technology for these failures. The future of journalism belongs to the bold, and the companies that prosper will be those that find new and better ways to meet the needs of their viewers, listeners, and readers.</em></p>

<p><strong>What Murdoch wrote:</strong> <em>First, media companies need to give people the news they want. I can&#8217;t tell you how many papers I have visited where they have a wall of journalism prizes&#8211;and a rapidly declining circulation. This tells me the editors are producing news for themselves&#8211;instead of news that is relevant to their customers. A news organization&#8217;s most important asset is the trust it has with its readers, a bond that reflects the readers&#8217; confidence that editors are looking out for their needs and interests.</em></p>

<p><strong>What Murdoch wrote:</strong> <em>At News Corp., we have been working for two years on a project that would use a portion of our broadcast spectrum to bring our TV offerings&#8211;and maybe even our newspaper content&#8211;to mobile devices. Today&#8217;s news consumers do not want to be chained to a box in their homes or offices to get their favorite news and entertainment&#8211;and our plan includes the needs of the next wave of TV viewing by going mobile.</p>
<p>The same is true with newspapers. More and more, our readers are using different technologies to access our papers during different parts of the day. For example, they might read some of their Wall Street Journal on their BlackBerries while commuting into the office, read it on the computer when they arrive, and read it on a larger and clearer e-reader wherever they may be.</em></p>
<p><strong>Translation:</strong> Teri: Tell Jon Miller to get on a plane stat and start chit-chatting with those Asian manufacturers asap. I am not going to let Amazon (AMZN) head Jeff Bezos guffaw me into oblivion with his Kindle or have &#8220;American Idol&#8221; get hijacked by Apple (AAPL) or have those Google (GOOG) twins shine me on, even as they are developing some magic mobile phone.</p>
<p><strong>What Murdoch wrote:</strong> <em>My second point follows from my first: Quality content is not free. In the future, good journalism will depend on the ability of a news organization to attract customers by providing news and information they are willing to pay for.</p>
<p>The old business model based mainly on advertising is dead. Let&#8217;s face it: A business model that relies primarily on online advertising cannot sustain newspapers over the long term. The reason is simple arithmetic. Though online advertising is increasing, that increase is only a fraction of what is being lost with print advertising.</p>
<p>That&#8217;s not going to change, even in a boom. The reason is that the old model was founded on quasimonopolies, such as classified advertising, which has been decimated by new and cheaper competitors such as Craigslist, Monster.com, and so on.</em></p>

<p>And, frankly, the old media have been lending out Bessie to every Web site that comes looking for a gallon, free of charge, in abject fear that no one likes milk anymore.</p>
<p>In the good old days, when we were the only beverage around&#8211;I like to call it a &#8220;quasi<em>MOO</em>nopoly&#8221;&#8211;we could set any price we wanted.</p>
<p>Now, unfortunately, everybody&#8217;s got milk.</p>
<p><strong>What Murdoch wrote:</strong> <em>In the new business model, we will be charging consumers for the news we provide on our Internet sites. The critics say people won&#8217;t pay. I believe they will, but only if we give them something of good and useful value. Our customers are smart enough to know that you don&#8217;t get something for nothing.</em></p>
<p><strong>Translation:</strong> People will pay, once we de-index our sites from Google and they can&#8217;t get their daily dose of the New York Post&#8217;s Page Six for free. Where else will they get the latest online tidbits on the Tiger Woods scandal, for example?</p>

<p>Okay, from everywhere. But Page Six names at least 46 percent more mistresses than TMZ, and that&#8217;s worth something.</p>
<p><strong>What Murdoch wrote:</strong> <em>That goes for some of our friends online too. And yet there are those who think they have a right to take our news content and use it for their own purposes without contributing a penny to its production. Some rewrite, at times without attribution, the news stories of expensive and distinguished journalists who invested days, weeks or even months in their stories&#8211;all under the tattered veil of &#8220;fair use.&#8221;</p>
<p>These people are not investing in journalism. They are feeding off the hard-earned efforts and investments of others. And their almost wholesale misappropriation of our stories is not &#8220;fair use.&#8221; To be impolite, it&#8217;s theft.</p>
<p>Right now, content creators bear all the costs, while aggregators enjoy many of the benefits. In the long term, this is untenable. We are open to different pay models. But the principle is clear: To paraphrase a famous economist, there&#8217;s no such thing as a free news story, and we are going to ensure that we get a fair but modest price for the value we provide.</em></p>
<p><strong>Translation:</strong> By &#8220;friends,&#8221; I mean &#8220;sworn enemies,&#8221; also known as &#8220;Google.&#8221; (Until it meets with me to do a deal and then it is &#8220;friends&#8221; again.)</p>
<p>By &#8220;tattered veil of &#8216;fair use,&#8217;&#8221; I mean &#8220;the law I am going to get gutted by my 1,473 lobbyists in Washington, D.C.&#8221;</p>

<p>By &#8220;to be impolite, it&#8217;s theft,&#8221; I mean &#8220;to be impolite, it&#8217;s theft by Larry and Sergey.&#8221; (Until they meet with me to do a deal and fork over the moolah, and then it will be a &#8220;business arrangement.&#8221;)</p>
<p>By &#8220;there&#8217;s no such thing as a free news story,&#8221; I mean &#8220;I hope to trick those Google-obsessed Bing boys at Microsoft (MSFT) into paying me that boatload of money they aren&#8217;t sending Carol Bartz of Yahoo (YHOO).&#8221;</p>
<p><strong>What Murdoch wrote:</strong> <em>Finally, a few words about government. In the last two or three decades, we have seen the emergence of new platforms and opportunities that no one could have predicted&#8211;from social networking sites and iPhones and BlackBerries, to Internet sites for newspapers, radio and television. And we are only at the beginning.</p>
<p>The government has a role here. Unfortunately, too many of the mechanisms government uses to regulate the news and information business in this new century are based on 20th-century assumptions and business models. If we are really concerned about the survival of newspapers and other journalistic enterprises, the best thing government can do is to get rid of the arbitrary and contradictory regulations that actually prevent people from investing in these businesses.</p>
<p>One example of outdated thinking is the FCC&#8217;s cross-ownership rule that prevents people from owning, say, a television station and a newspaper in the same market. Many of these rules were written when competition was limited because of the huge up-front costs. If you are a newspaper today, your competition is not necessarily the TV station in the same city. It can be a Web site on the other side of the world, or even an icon on someone&#8217;s cell phone.</p>
<p>These developments mean increased competition, and that is good for consumers. But just as businesses are adapting to new realities, the government needs to adapt too. In this new and more globally competitive news world, restricting cross-ownership between television and newspapers makes as little sense as would banning newspapers from having Web sites.</em></p>

<p><strong>Translation:</strong> Oh, I do not like Silicon Valley, but I dislike government even more!</p>
<p>And now that Google is its bogeyman instead of me, I really hope to finally be able to gut all those annoying cross-ownership rules that prevented me from owning the entire media landscape of every major city in America.</p>
<p>This must be done immediately, because those icons on people&#8217;s cellphones&#8211;especially that dangerous iFart app&#8211;are poised for attack!</p>
<p><strong>What Murdoch wrote:</strong> <em>In my view, the growing drumbeat for government assistance for newspapers is as alarming as overregulation. One idea gaining in popularity is providing taxpayer funds for journalists. Or giving newspapers &#8220;nonprofit&#8221; status&#8211;in exchange, of course, for papers giving up their right to endorse political candidates. The most damning problem with government &#8220;help&#8221; is what we saw with the bailout of the U.S. auto industry: Help props up those who are producing things that customers do not want.</p>
<p>The prospect of the U.S. government becoming directly involved in commercial journalism ought to be chilling for anyone who cares about freedom of speech. The Founding Fathers knew that the key to independence was to allow enterprises to prosper and serve as a counterweight to government power. It is precisely because newspapers make profits and do not depend on the government for their livelihood that they have the resources and wherewithal to hold the government accountable.</em></p>

<p><strong>What Murdoch wrote:</strong> <em>When the representatives of 13 former British colonies established a new order for the ages, they built it on a sturdy foundation: a free and informed citizenry. They understood that an informed citizenry requires news that is independent from government. That is one reason they put the First Amendment first.</em></p>

<p><strong>Translation:</strong> Believe me, if we could push a button and get rid of the whole Internet, News Corp. and Time Warner (TWX) and Viacom (VIA) and CBS (CBS) and the whole lot of us old media players would.</p>
<p>Barring that, whether the newspaper of the future is delivered with electrons or dead trees is ultimately not that important.</p>
<p>What is most important is that the news industry shake down big piles of dough from those Silicon Valley moneybags&#8211;whether they be Google or that Mark Zuckerberg kid, whenever Facebook goes public, or those Twitter dudes (if they figure out a way to make any money outside of fund raising)&#8211;in order to remain free, independent&#8211;and competitive.</p>
<p>It is, after all, the American way.</p>

			<content:encoded><![CDATA[<p>Got a great story, but don&#8217;t want to write it yourself? Drop Nick Denton a line: The Gawker Media boss says he&#8217;s going to start opening up his checkbook occasionally for people with amazing tales and pictures he can publish.</p>
<p>Denton disclosed his new policy, which isn&#8217;t really a new policy but a revival of an old policy, in an interview yesterday with <a href="http://www.niemanlab.org/2009/07/with-ad-revenue-up-35-gawker-media-returns-to-pageview-bonuses-and-plans-checkbook-journalism/">Nieman Journalism Lab</a>. He&#8217;s tried this a couple of times before: Last year he <a href="http://gawker.com/5003135/750-for-every-1000-views">experimented</a> with paying readers $7.50 for every 1,000 page views they generated via submissions. And in 2007, he offered a bounty of $10,000 for anyone who could land an &#8220;unretouched&#8221; version of an image that ended up on the cover of a women&#8217;s magazine, and paid out for <a href="http://jezebel.com/gossip/photoshop-of-horrors/heres-our-winner-redbook-shatters-our-faith-in-well-not-publishing-but-maybe-god-278919.php">this shot of Faith Hill</a>.</p>
<p>I followed up with Denton this morning and he told me that he hasn&#8217;t fleshed out his plans yet&#8211;they&#8217;re &#8220;half-baked&#8221; right now&#8211;but they&#8217;re likely to be of the Faith Hill variety: Payouts to winner of contests, sweepstakes, etc.</p>
<p>Paying for tips, interviews and exclusives is standard practice outside of the U.S. The U.K.&#8217;s Daily Telegraph, for instance, paid a source that helped it break the <a href="http://news.bbc.co.uk/2/hi/uk_news/politics/7840678.stm">expense account scandal</a> that&#8217;s been roiling that country&#8217;s Parliament.</p>
<p>But it&#8217;s supposed to be verboten for &#8220;respectable&#8221; American media, though that self-imposed standard has been eroding for some time. It&#8217;s increasingly common, for instance, for TV news operations to pay big <a href="http://www.reuters.com/article/entertainmentNews/idUSN2141996420070622">&#8220;licensing fees&#8221;</a> to sought-after interview subjects, purportedly for access to family photos and videos.</p>
<p>Paying for tips is also old hat for newspaper <a href="http://www.nypost.com/seven/02152008/business/the_tar_treatment_97793.htm">tabloids</a>. And TMZ, Time Warner&#8217;s (TWX) gossip powerhouse, has made it well-known that it will pay for tips. It&#8217;s a very good bet that the Web site has been writing many checks during the past couple weeks of the Michael Jackson frenzy.</p>
<p>Ultimately, Denton says, he&#8217;d like emulate the TMZ model. &#8220;I&#8217;d love to have their reputation&#8211;as the place you go if you want to make a buck.&#8221; Dream big!</p>

<p>Noted the TMZ celebrity news site:</p>
<p>&#8220;During last night&#8217;s &#8217;20/20&#8242; Michael Jackson special, Walters showcased footage shot by an ABC producer sitting next to her at the memorial. The video captures Katherine Jackson and Michael&#8217;s kids two rows in front of Barbara watching the service&#8211;despite the fact that tickets to the event clearly state &#8216;no camera/video/recording.&#8217;&#8221;</p>
<p>While readers of this blog know I am all for annoying execs with the Flip treatment, pointing and shooting at what is essentially a funeral service, given how much video was available already of those kids (already being sadly overexposed, but that&#8217;s another issue): <em>Yuk</em>.</p>

<p>Located on Sunset Boulevard&#8211;<em>natch!</em>&#8211;TMZ is the celebrity news Web site that actually broke the news of Jackson&#8217;s death, before any other media outlet.</p>
<p>And it has pretty much led the coverage as the sad story has unfolded&#8211;and continues to.</p>
<p>In fact, TMZ&#8211;which stands for the &#8220;30-mile zone&#8221; of Hollywood and also has a  television show&#8211;is one of the great content sites on the Internet.</p>
<p>It uses a nice blend of text, video, audio and a laser focus on intense reporting on its topic to yield a whole new kind of media that is Web-born and -bred.</p>
<p>As I always note: Levin covers the tribulations of celebrities, like Britney Spears, as if they were the Iraq war.</p>
<p>TMZ, which will soon undergo a refresh of its design, is owned by Time Warner (TWX). It was launched in 2005 jointly by its Telepictures and AOL units.</p>

Is the Internet ready for the coming traffic jam?</p>
<p>I&#8217;m betting it is. Jackson was a global icon and his funeral will purportedly be a star-studded affair. But I just don&#8217;t think this will compare to the two events that have already tested the Web&#8217;s capacity this year alone: Barack Obama&#8217;s inauguration and news of Jackson&#8217;s death.</p>
<p>Recall that Obama&#8217;s first speech as president managed to <a href="http://mediamemo.allthingsd.com/20090121/how-to-slow-google-get-barack-obama-to-speak/">get most people to stop using Google</a> (GOOG)&#8211;voluntarily. And Jackson&#8217;s death was a news event that pretty much everyone wanted to hear more about, at least for a couple seconds.</p>
<p>But on the Web at least, Jackson was <a href="http://www.businessinsider.com/michael-jackson-is-dead-online-too-2009-7">old news by last week</a>. And my hunch is that anyone who truly wants to watch today&#8217;s event will do so on a TV.</p>
<p>But if do you want to watch it on your laptop, try one of these outlets:</p>

Here&#8217;s the flip side, now being promoted by those same Web sites: <em>Look at all of our Michael Jackson traffic!</em></p>
<p>I&#8217;ve seen stories touting big traffic spikes at Time Warner&#8217;s (TWX) TMZ, which broke the story; Wikipedia, which apparently was flooded with Wikipedians squabbling over the details of Jackson&#8217;s demise; and Gawker, which lives for this sort of thing. At some point, the man-bites-dog story will be a site that doesn&#8217;t report a huge spike in Jackson traffic.</p>
<p>In any case, here&#8217;s the latest one I&#8217;ve seen: Yahoo (YHOO) boasting that Jackson&#8217;s demise has been its good fortune. Here are the data, per Yahoo PR:</p>
<blockquote class="memo"><p>Yahoo! News:<br />
· Yahoo! News set a record in unique visitors with 16.4 million UV’s in a day. Our previous record was on election day when we had 15.1 million visitors.<br />
· Yahoo! News had 4 million visitors come to the site between 3-4 pm, setting an hourly record.<br />
· Yahoo! News recorded 175 million page views yesterday, our 4th highest day after the Inauguration and Hurricane Ike.</p>
<p>Front Page:<br />
· On our front page, the story <a href="http://news.yahoo.com/s/nm/20090625/en_nm/us_jackson_3">&#8220;Michael Jackson rushed to hospital&#8221;</a> was the highest clicking story in our history. It generated a whopping 800,000 clicks within 10 minutes and news of his death saw 560,000 clicks in 10 minutes. Also, the news area on our front page experienced five times the amount of traffic it normally receives.</p>
<p>Yahoo! Music<br />
· Yahoo! Music’s blog post on Michael Jackson has generated 21K comments in under a day.</p></blockquote>
<p>UPDATE: Here&#8217;s some boasting from CBS&#8217;s (CBS) Web group. Happy to keep adding to this if anyone else wants to do a little chest-beating.</p>
<blockquote class="memo"><p>
· Since the news broke, Last.fm saw a huge surge in users streaming music tracks by Jackson. On average, users were streaming 43,000 Jackson tracks per hour. The Michael Jackson artist page has received heavy traffic with more than 30 page impressions per second as fans log on to pay their respects to the pop icon. The traffic for the artist page continues to increase, and the site continues to see more than 45 times the normal traffic.</p>
<p>· TheInsider.com reported record traffic for June 25, with an increase that was close to double compared to the previous week. Prior to yesterday, the record for high traffic was held on May 5 when the site shared revealing photos of former Miss California Carrie Prejean.</p>
<p>· Within 12 hours of the announcement, CBS.com saw 100% aggregate growth over the same day last year as fans turn to CBS.com for breaking news about the tragedy, as well as to link to CBSNews.com and THE EARLY SHOW for their streaming coverage.</p>
<p>· CBSNews.com traffic tripled during the hour in which Jackson’s death was officially announced (3 p.m. PACIFIC/6 p.m. EASTERN) on June 25 as people turned to the site to learn more about the circumstances involving his death.</p></blockquote>

Wouldn&#8217;t be accurate, anyway. Instead, let&#8217;s just say that the Internet was&#8230;<em>challenged</em> yesterday by the crush of people who flocked to it when Michael Jackson died. And that it seemed to do a pretty good job in the end.</p>
<p>We&#8217;ve already seen the requisite &#8220;Twitter is down&#8221; stories, but in my experience, the service seemed to hold up reasonably well, and certainly it performed exponentially better than it would have just a year ago when it was a fraction of its current size.</p>
<p>And after the first crush of users started to slow Twitter down, the service calmly went into triage mode, disabling the search bar on the homepage that few people use anyway. Later that evening things were back to <a href="http://status.twitter.com/post/130350715/search-results-temporarily-disabled-from-logged-in">normal</a>.</p>
<p>This seems to have been the pattern across the Web: Sites and services struggled with the initial burst of traffic&#8211;roughly from 5:30 pm through 7:30 pm Eastern time&#8211;then regained their footing. I&#8217;m told that AOL&#8217;s AIM service, for instance, had an outage around 5:30 pm Eastern that was likely related to Jackson chatter, but it was back up again shortly after that.</p>
<p>Meanwhile, the <a href="http://news.bbc.co.uk/2/hi/technology/8120324.stm">BBC</a> has tallied up other services that had slowdowns or outages:</p>
<ul>
<li>Google (GOOG)</li>
<li>Time Warner&#8217;s TMZ (TWX), which broke the story</li>
<li>Time Warner&#8217;s AOL, which put the TMZ story on its front page within a couple of minutes of its initial publication</li>
<li>Time Warner&#8217;s CNN, which was much more cautious about the story, and only reported that Jackson had been hospitalized until non-TMZ sources confirmed the story</li>
<li>Yahoo (YHOO)</li>
<li>MSNBC</li>
</ul>
<p>I assume the list is longer than that, so feel free to add others in comments below. But I spent a lot of time surfing to various sites yesterday evening and was struck by how well many of them held up.</p>
<p>The good/bad news: Media fragmentation means that Michael Jackson is likely the last global icon, so we&#8217;re unlikely to see a repeat of this. If you want to get really macabre, you can think up other events that might put the Web under strain all over the world, but that&#8217;s no fun.</p>
<p>This is, though:</p>

News broke, and people promptly turned to the service to spread the word. It&#8217;s a story that&#8217;s becoming <a href="http://mediamemo.allthingsd.com/20090115/us-airways-flight-1549-twitter-and-an-amazing-photo/">increasingly</a> <a href="http://mediamemo.allthingsd.com/20081127/riveting-tragedy-boring-twitter-debate/"> familiar</a>.</p>
<p>Except&#8230;I have this nagging concern.</p>
<p>Like a lot of you, I first learned about Michael Jackson&#8217;s death Thursday via Twitter. But at the time, I wasn&#8217;t convinced I was learning about it.</p>
<p>I saw tweet after tweet on my BlackBerry declaring the superstar dead. I was mobile, and my Web browser wasn&#8217;t working, so my Twitter stream was my only source of information, and I was grateful for it.</p>
<p>But in the first hour the story broke, I was never sure what the source of the information was. And so I never knew whether I should believe it.</p>
<p>Turns out that some of the Twitterers I followed had seen a report, first published at <a href="http://www.tmz.com/2009/06/25/michael-jackson-dies-death-dead-cardiac-arrest/">5:20 Eastern time</a> by TMZ.com, Time Warner&#8217;s (TWX) gossip powerhouse<a href="http://www.tmz.com/2009/06/25/michael-jackson-dies-death-dead-cardiac-arrest/"></a>. But even if they linked to TMZ, I couldn&#8217;t tell that at a glance because they used URL-shorteners like <a href="http://bit.ly/">bit.ly</a> that obscured the Web addresses.</p>
<p>And many other Twitterers didn&#8217;t bother to explain where they&#8217;d heard the information at all. It was just fact. They were right, of course. But were they sure?</p>
<p>In some folks&#8217; eyes, these qualms I have about accuracy and sourcing make me an old media dinosaur. So says a pal who&#8217;s worked as a reporter at three big, prestigious old media outlets. Here&#8217;s a bit of a missive he sent me via Facebook:</p>
<blockquote class="memo"><p>Twitter delivered the news first and fastest. Yes, it was from tmz; but who actually went to tmz.com? I didn&#8217;t. I read it on Twitter&#8230; and stayed there to read more. Did I turn on CNN? No. Just read the tweets.</p>
<p>This is really bad for old media: Twitter is the water cooler. It is the center of the conversation. Almost every media outlet wants to be the center of a conversation. They&#8217;re suddenly failing.</p></blockquote>
<p>But I don&#8217;t think it&#8217;s that binary. Twitter and old media are complementary, and the former certainly has less value without the latter.</p>
<p>I eventually got to a Web browser and looked around the Web for other sources confirming Jackson&#8217;s death. When I couldn&#8217;t find them, I came back to Twitter.</p>
<p>At 6:15 Eastern time, the Los Angeles Times reported that Jackson was dead, citing its own sources. After that I knew that Twitter would primarily be repeating the LAT&#8217;s report and those that followed it, so I bailed.</p>
<p>That worked out well. Staying clear of Twitter for a while Thursday night meant I didn&#8217;t have to read about Jeff Goldblum&#8217;s death. Which <a href="http://news-briefs.ew.com/2009/06/jeff-goldblum.html">never happened</a>, of course. But that didn&#8217;t stop Twitter users from repeating the story, <a href="http://search.twitter.com/search?q=jeff+goldblum">over and over</a>.</p>

<p>In an interesting and innovative move compared to what has typically been less-than-hip online programming over the years, Microsoft&#8217;s MSN service is debuting a slick new celebrity site called <a href="http://www.wonderwall.com">Wonderwall</a> today&#8211;created, designed and produced by a Hollywood company run by former Yahoo media chief and well-known television exec Lloyd Braun.</p>
<p>Using an unusual horizontal design with a scrolling &#8220;wall,&#8221; a plethora of pictures and a deeply visual sensibility, it&#8217;s definitely a laudable risk for Microsoft as the company seeks to continue to push itself into the online content business, despite a lackluster record.</p>
<p>The <a href="http://kara.allthingsd.com/20080602/bermanbraun-will-make-both-msn-celeb-site-and-also-yahoo-lunacy-report/">site, by BermanBraun Interactive</a>, which is being launched right before the Grammy Awards, will aggregate content from a variety of partners, but also use a small staff of editors to differentiate it and give it &#8220;voice.&#8221; BermanBraun will operate Wonderwall for MSN.</p>
<p>Last week, in yet another sign that it is upping the content ante at MSN, <a href="http://kara.allthingsd.com/20090130/exclusive-former-yahoo-scott-moore-heads-back-to-microsoft-as/">Microsoft hired Yahoo&#8217;s most recent media head Scott Moore</a>, who used to work at Microsoft (MSFT).</p>
<p>&#8220;We are investing more than ever in content,&#8221; said MSN GM Rob Bennett. &#8220;With Wonderwall, we are creating an offering to attract and retain new audiences, using content that is already at the core of MSN.&#8221;</p>
<p>But unlike other MSN sites, there is more subtle MSN branding on Wonderwall, although Microsoft&#8217;s search will be an important part of the site. MSN will promote Wonderwall across the service and will also give it an external marketing push.</p>
<p>To make money, Microsoft and BermanBraun are jointly selling the advertising for Wonderwall, which also has a partnership with MediaVest, to bring major brands to the site.</p>
<p>One obstacle is the huge amount of competition in the Internet space, from AOL-backed TMZ to Perez Hilton to omg! from Yahoo (YHOO), which is currently the most-trafficked celebrity site (and, ironically, was pushed through Yahoo by Braun and Moore).</p>
<p>But the interest in this pop culture category is obvious&#8211;celeb-focused online programming has grown strongly.</p>
<p>Celeb news-obsessed BoomTown accounts for much of that traffic (How much do we love following the hijinks of Britney? <em>Much!</em>).</p>
<p>So, I hightailed it to the Santa Monica offices of BermanBraun yesterday to have a look-see at Wonderwall and do some video interviews.</p>
<p><a href="http://kara.allthingsd.com/files/2009/02/wall.jpg"><img src="http://kara.allthingsd.com/files/2009/02/wall-300x181.jpg" alt="" title="wall" width="300" height="181" class="aligncenter size-medium wp-image-9436" /></a></p>
<p>Overall, I was struck by the site&#8217;s arresting visual design, particularly the easily interactive wall, which has what I can only call an &#8220;iPhone&#8221; feel combined with a flipping-through-a-magazine tone (see above; click on image to make it larger).</p>
<p>With more touchscreen technology moving to personal computers, you can easily see Wonderwall being manipulated by hand.</p>
<p>And it makes great use of linking out, another plus, without excessively pointing to only Microsoft sites.</p>
<p>One problem: No true ability for users to interact on Wonderwall, via comments or other social-networking tools, which Braun said are coming soon, along with videos being able to be played in the main wall.</p>
<p>But overall, it raises the stakes in the celeb market and gives users a new interface without straying too far.</p>
<p>Here&#8217;s my video interview with Braun, along with another below it with his partner, former Fox and Paramount exec Gail Berman, and also Wonderwall&#8217;s top creators&#8211;all talking about Wonderwall.</p>

But it is just this kind of ramped-up blabbery that has many at both companies predicting that a deal will go through, sooner or later, as soon as Time Warner and Yahoo can agree on a price.]]></description>

<p>As has been <a href="http://kara.allthingsd.com/20081007/will-yahoo-and-aol-ever-stop-talking-and-make-a-deal-in-related-news-generalissimo-francisco-franco-is-still-dead/">copiously reported here</a> and all over, Yahoo and AOL have been engaged in never-ending talks about a possible deal to merge their flagging Internet businesses.</p>
<p>Now, sources tell me, the circle of executives at both companies interfacing with each other has been widened, for purposes of due diligence.</p>
<p>That chit-chatting includes Yahoo CEO Jerry Yang, who has been in New York several times recently [UPDATE: But not yesterday, in a story I had previously linked to here]&#8211;where AOL parent, Time Warner, is located&#8211;to meet once with its CEO, Jeff Bewkes, and see if they can actually complete the merger.</p>
<p>Now, all this frantic activity does not mean a deal will necessarily be struck. In fact, in typical Yahoo style, it is going very slowly and that is never a good thing in dealmaking.</p>
<p>But it is this kind of ramped-up blabbery that has many at both companies predicting&#8211;hoping, really&#8211;that a deal will go through, sooner or later, as soon as Time Warner and Yahoo can agree on a price.</p>
<p>Or, more precisely, a <em>percentage</em>, since <a href="http://kara.allthingsd.com/20081002/yahoo-drops-to-1558-a-share-but-microsoft-still-uninterested/">Yahoo&#8217;s stock price has been falling like a particularly sharp knife</a> of late.</p>
<p>Sources said Yahoo does not want Time Warner (TWX) to have any more than 25 percent of the new company in a trade for AOL&#8217;s assets&#8211;although that figure would be slightly more if the media giant throws in some of that &#8220;Harry Potter&#8221;-generated cash into the deal kitty.</p>
<p>Yahoo (YHOO) management, sources said, also think its assets are of significantly better quality than AOL&#8217;s, and it still has that powerful&#8211;although declining&#8211;share in the lucrative search market.</p>
<p>Thus, it does not want to pay the $8 to $10 billion price Time Warner wants, and it should not either. (Here is a <a href="http://www.alleyinsider.com/2008/10/jerry-please-don-t-buy-aol-for-8-billion">good analysis on the price issue by Silicon Alley Insider&#8217;s Henry Blodget</a>.)</p>
<p>But Yahoo shares closed yesterday at a troubling $14.58, down 73 cents, or almost five percent.</p>
<p>That means its market valuation also declined by many billion dollars very quickly. It is now at $20.2 billion.</p>
<p>These profound stock drops, said several sources, could spur Yahoo to act before it gets even worse, which is why talks have been more frequent in recent weeks.</p>
<p>While not the best state of mind, panic is always a good motivator, and both companies are surely desperate to turbocharge themselves in the face of tough competition and avoidable management mishaps in recent years.</p>
<p>The hope? That together the pair can do better than they have separately&#8211;by combining their advertising, content and communications assets, which are among the largest in the world.</p>
<p>In addition, the &#8220;new&#8221; Yahoo would be able to make massive cost cuts, including layoffs, under the cover of integration and starting off with a clean slate.</p>
<p>So who would emerge more powerful in a new set-up&#8211;AOL or Yahoo?</p>
<p>Here&#8217;s a short cheat list:</p>
<p><strong>Content:</strong></p>

<p>AOL and Yahoo have a similar range of content assets, with big sites in all the classic categories, like news, financial, sports and lifestyles. Yahoo&#8217;s content head is Scott Moore, while AOL&#8217;s is Bill Wilson (both pictured here, left to right).</p>
<p>As I wrote yesterday, I expect that the more dominant Yahoo will rule, slashing and burning most of the AOL-branded properties, keeping only interesting newer brands like sports blog FanHouse, celeb blog TMZ and the Engadget, Tuaw and JoyStiq tech blogs.</p>
<p>And while former Microsoftie Moore is the likely head of this behemoth, don&#8217;t count on the very adept Wilson, who is known as a skilled corporate player at AOL, to stick around without a big role in this arena.</p>
<p><strong>Communications:</strong></p>
<p>Again, advantage Yahoo, which has bigger calendaring, email and instant messaging assets, an area once overwhelmingly dominated by AOL. That was then, of course.</p>
<p>Still, AOL&#8217;s communications tools are used by a huge audience worldwide and the pair together would be a powerhouse. So much so, in fact, that this might be the one major regulatory hurdle any deal would face.</p>
<p><strong>Advertising:</strong></p>

<p>Again, Yahoo would probably dominate, having just hired well-known former Microsoft exec Joanne Bradford to head up U.S. advertising sales. <p>And, Yahoo does have its search ad business, however weakening, and a stronger graphical ad business, even if the sector will be most under siege in the current down economy.</p>
<p>Plus, AOL&#8217;s Advertising.com, while a major ad network, is more of a business subject to bruising competition and squeezed margins.</p>
<p><strong>Community:</strong></p>

<p>But AOL has a savvy and voluble exec in <a href="http://kara.allthingsd.com/20070802/kara-visits-bebo-in-london/">Joanna Shields, who came recently via its Bebo social-networking acquisition</a>. While AOL woefully overpaid for Bebo and got played into thinking that other bidders were more interested than they actually were, it was Shields (pictured here) who essentially did that playing.</p>
<p>Sign her up for a top exec role in the combined company pronto!</p>
<p>In all seriousness, there is room for both in the newco, as both AOL and Yahoo seriously <em>bite</em> in the social-networking space. They will surely need a lot more than Bhat and Shields if they want to become true players in Web 2.0&#8242;s hottest and probably most important trend.</p>
<p><strong>Engineering:</strong></p>
<p>Yahoo. I do not need to explain this, do I?</p>
<p>Okay: AOL has always been incompetent in the technical arena, since its beginning days, compared with Silicon Valley companies like Yahoo.</p>
<p>All yours, <a href="http://kara.allthingsd.com/20080625/yahoo-reorg-will-be-announced-thursday/">Ash Patel</a>!</p>
<p><strong>Management:</strong></p>
<p>Now, it is here that it gets interesting.</p>
<p>Most feel the push by Yang to do an AOL deal&#8211;and make no mistake, it is being pushed by him most of all&#8211;is due to increased pressure from his board, as well as major investors, who have had just about enough of his leadership.</p>

<p>&#8220;There is no way Jerry stays on as CEO in a newco,&#8221; said one source about Yang (pictured here). &#8220;He&#8217;ll be kicked upstairs as chairman, and I will think [President Sue] Decker will also have to go eventually, since there will be a lot of resistance if she is named CEO.&#8221;</p>
<p>But, said other sources, these major management changes will not happen immediately, if at all, as it is too distracting in the wake of a deal and ruins the positive &#8220;story&#8221; that both companies will surely want to spin.</p>
<p>And spin they will! (Go, Tricia! Go, Jill!)</p>

<p>And while he has a reputation for sharkish political skills, especially compared to Yahoo&#8217;s very diplomatic U.S. head, Hilary Schneider, expect AOL President Ron Grant to be an important part of the transition, since he is good&#8211;almost too good&#8211;at cutting costs.</p>
<p>Most expect his boss, AOL CEO Randy Falco, not to be part of the new company, thereby separating him and Grant, who are nicknamed &#8220;Smithers and Burns&#8221; at AOL, after &#8220;The Simpsons&#8221; creepy duo.</p>
<p>Most likely, there will be a search for a top-level CEO to take over the combined company&#8211;someone of the stature of New Corp.&#8217;s No. 2 Peter Chernin or eBay&#8217;s former leader Meg Whitman (except now, she is apparently Sen. John McCain&#8217;s pick for Treasury Secretary, if the Republican Presidential candidate were to win the election).</p>
<p>&#8220;If this has any chance of working out, the board has to push restart on the leadership,&#8221; said one person close to the situation, who notes that this deal is Yang&#8217;s last chance to truly impact the future of the company he co-founded and preserve its legacy. &#8220;Everyone gets that, even Jerry.&#8221;</p>
<p>But I think the idea that Yang would leave if there were to be a merger of Yahoo with AOL is wishful thinking on the part of his critics.</p>
<p>He appears tome to be very committed to seeing his vision of turning around Yahoo through.</p>
<p>And those who have counted him out always seem to be the ones who have been typically wrong, such as Microsoft CEO Steve Ballmer and shareholder activist Carl Icahn.</p>
<p>Because, for all the turmoil at Yahoo, it&#8217;s Yang still calling the shots.</p>

<p>Back in the first season of &#8220;Saturday Night Live,&#8221; one running catchphrase uttered by Chevy Chase would always crack the then-12-year-old BoomTown right up: &#8220;This breaking news just in: Generalissimo Francisco Franco is <em>still</em> dead.&#8221;</p>
<p>It&#8217;s that same kind of extreme déjà vu I feel with the continuing drip-drip-drip of the news-less news that Time Warner&#8217;s AOL and Yahoo are <em>still</em> talking about a merger.</p>
<p>Both <a href="http://www.alleyinsider.com/2008/9/aol-boss-randy-falco-begs-time-warner-to-put-him-out-of-his-misery-twx-">Silicon Alley Insider&#8217;s (and soon-to-be AllThingsD.com blogger) Peter Kafka</a> and I wrote extensively about the talks on in mid-September, noting that the discussions centered around merging AOL&#8217;s content, advertising and software assets with Yahoo (minus the access business).</p>
<p>There were the price issues&#8211;Yahoo wanted to pay between $6 and $8 billion, while Time Warner has long wanted $10 billion&#8211;as well as the worries about integration (East Coasties versus West Coasties) and email dominance monopoly problems.</p>
<p><a href="http://kara.allthingsd.com/20080922/reset-whats-next-for-yahoo-merging-with-aol-new-execs/">As I wrote on Sept. 23</a>, for example:</p>
<blockquote><p>That support will be especially important if Yahoo tries to buy AOL, which it is again strongly considering as a way to bolster its ad business, international portfolio and email and content offerings.</p>
<p>Several sources I have spoken to recently have said that Yahoo leadership is very interested in doing such a deal, although not at the $10 billion price tag that Time Warner wants. (Think half and add a little more.)</p>
<p>In addition, there are some daunting regulatory and integration issues&#8211;AOL and Yahoo email and messaging combo would be a giant in the space, and the HQs of the companies are on opposite coasts.</p>
<p>But, the deal would give Yahoo some more experienced executives it needs and make it more attractive to others who might not consider going to Yahoo in its present state.</p>
<p>Yang had been pinging a lot of execs over the last year and has had little uptake.</p>
<p>But a stronger and more flexible Yahoo&#8211;i.e., it knows it has to change dramatically&#8211;would surely be more enticing, especially in a down economy.&#8221;</p></blockquote>
<p>Now comes yet another <a href="http://www.techcrunch.com/2008/10/06/aol-yahoo-merger-details-emerge-deal-could-happen-this-month/">story yesterday from TechCrunch that the talks are&#8211;wait for it&#8211;<em>still</em> on</a>.</p>
<p>The story recounted similar details and added even older ideas from previously reported AOL-Yahoo talks (some multi-billion-dollar cash infusion from Time Warner, for example).</p>
<p>And, said TechCrunch, it could happen this month!</p>
<p>Good gracious&#8211;October is, like, a <em>really</em> long month. And, if not October, I guess November is good or maybe December. Hey, what about 2009?</p>
<p>Actually, what everyone really would like to know is what the heck is taking Time Warner (TWX) and Yahoo (YHOO) so long, hashing over the same issues (price mostly), especially if it is such a stellar idea?</p>
<p>And, with the economy crashing all around and Yahoo&#8217;s and Time Warner&#8217;s stock hitting five-year lows, one has to wonder what, exactly, the pair are waiting for?</p>
<p>A more fortuitous reading of the entrails? A sign from the heavens? Better winds?</p>
<p>Well, I hate to inform Time Warner CEO Jeff Bewkes and Yahoo CEO Jerry Yang, but  the tide is not turning anytime soon, and both their companies are getting weaker by the minute.</p>
<p><a href="http://kara.allthingsd.com/files/2008/10/drunks.gif"><img src="http://kara.allthingsd.com/files/2008/10/drunks-300x294.gif" alt="" title="drunks" width="250" height="250" class="alignleft size-medium wp-image-4887" /></a></p>
<p>I once called the pairing of AOL and Yahoo a little like leaning two drunks against each other to keep them from toppling over.</p>
<p>Looking back, I will admit that was a little harsh.</p>
<p>Given the stakes now, though&#8211;and especially if Yahoo has to abandon its controversial search ad outsourcing deal with Google (GOOG)&#8211;it makes sense to combine forces.</p>
<p>In the online ad space, for example, Yahoo and AOL mostly complement each other. The same is true in email and communications tools. And, while Bebo is not the prize Time Warner touted it as, despite paying a king&#8217;s ransom for it, Yahoo has no social-networking property.</p>
<p>The only area of true overlap is in content. Here, based on many sources, I would imagine if a deal is ever struck that Yahoo will slash and burn most of AOL-branded properties, keeping only interesting newer brands like sports blog FanHouse, celeb blog TMZ and the Engadget, Tuaw and JoyStiq tech blogs.</p>
<p>And, in fact, if the pair even gets its act together&#8211;this or next week would be great for us&#8211;it will give them the much-needed impetus to start making the massive cuts needed at both Web outfits for a long time now.</p>
<p>In that regard, look for an AOL exec like its President Ron Grant to be buttonholed to swing that particular ax.</p>
<p>Yahoo, with its less confrontational culture, has never been good at that kind of thing. For all its many flaws, it is a talent AOL will surely bring to the party.</p>
<p>If, of course, Yahoo and AOL ever manage to throw one before they become too much like Generalissimo Franco.</p>
<p>You know: Still dead.</p>

<p>Yesterday, BoomTown was hanging in Hollywood at <a href="http://www.contentnext.com/econceleb/">ContentNext&#8217;s EconCeleb&#8217;s conference</a>, where I did an onstage interview with legendary editor Bonnie Fuller about the massive impact of the Internet on celebrity journalism.</p>
<p>With its instant ability to deliver news, video and more, sites like TMZ, PerezHilton, The Superficial and Yahoo&#8217;s (YHOO) omg! have become massive drivers of traffic on the Internet and&#8211;despite the saturation&#8211;the arena is still growing fast, especially among women users.</p>
<p>But for those not in the know about Fuller&#8217;s impact on how celebrity journalism has developed to its current power, she is the reason&#8211;more than any other modern editor&#8211;humanity now knows every move made by the unholy trio of Paris, Lindsay and, most of all, Britney.</p>
<p>As founding editor of US Weekly (with stints at Cosmopolitan, Marie Claire and other mags), and as the editorial director of the parent company of Star magazine, Fuller&#8217;s various editorial innovations&#8211;<em>celebrities are just like us!</em>&#8211;are now commonplace.</p>
<p>And like a lot of old media stars, Fuller is now working on her own new celeb-focused digital and media company, which she says is aimed at women 20 to 40 years old, plunging headlong into the Web arena.</p>
<p>Here&#8217;s my video interview with her in an alcove of the Roosevelt Hotel on Hollywood Boulevard, where we discuss what she is up to and where online celebrity coverage is going (<em>Britney 24-7!</em>):</p>

<p>Everybody remain calm.</p>
<p>While it might have looked like it was the rapture for major Internet players yesterday&#8211;what with everyone and his mother getting sucked up into the Yahoo-Microsoft takeover tussle and disappearing into the ether of confusion that now reigns over the situation&#8211;it is best to keep moving toward the light of harsh reality for illumination.</p>
<p><span id="more-67921"></span></p>
<p>And the reality in three parts, addressing <a href="http://digitaldaily.allthingsd.com/20080409/yahoal/">the trifecta of big news yesterday</a>, is:</p>
<p><strong>I DO NOT LIKE MONOPOLIES, I DO NOT LIKE THEM, JERRY-I-AM</strong></p>
<p>Google (GOOG) and Yahoo (YHOO) will not and, more importantly, <em>cannot</em> make any significant search-ad deal in any way longer than <a href="http://digitaldaily.allthingsd.com/20080409/yahoo-google/">the two-week test they announced to terrific fanfare yesterday</a>.</p>
<p>It is a regulatory no-no of such an obvious nature, that Microsoft (MSFT) has to prove almost nothing to win on the merits of the fact that Google dominates the arena with such power that it cannot be linked with anyone else.</p>
<p>But it is a nice image of one Silicon Valley company coming to the rescue of another, helping to show how Yahoo could be better monetized and, therefore, be worth more.</p>
<p>(Although irony-alert: Outside of Yahoo&#8217;s own self-inflicted wounds, it is Google that is most responsible for knocking Yahoo&#8217;s teeth out in the search and search ad game.)</p>
<p>So, any further hook-up between the two seems sure to become the Justice Department Lawyer Employment Act of 2008, the likes of which we have not seen since Microsoft got its turn at being deservedly whacked for being a monopolist back in the last century.</p>
<p>Let&#8217;s face it, outside of those who cannot seem to shake the annoying Kumbaya mentality over at Google, a Yahoo-Google partnership is simply fantastical, like some out-of-control Dr. Seuss ditty.</p>
<p><em>They could not, would not with a goat. They would not, could not on a boat. They will not share an algorithm, they will not, will not, Jerry-I-Am.</em></p>

<p><strong>TROUBLE AHEAD, TROUBLE BEHIND</strong></p>
<p>In a post I did just before the heating up of the AOL-Yahoo talks was reported yesterday, I had written:</p>
<p>&#8220;Yahoo is still ferreting away with execs from Time Warner and its AOL unit&#8211;you know, that rat&#8217;s-nest of a deal in which AOL, Time Warner investment dollars and, oh, some old fishing rod of former exec Don Logan&#8217;s is thrown into Yahoo for a 20% stake, along with perhaps a dollop of Google involvement for added complexity.&#8221;</p>
<p>And, maybe it is just me, or&#8211;except for the fine fishing rod&#8211;is anyone else a little worried about the potential disaster of an AOL-Yahoo mashup?</p>
<p>As someone who wrote two&#8211;<em>count &#8216;em, two!</em>&#8211;books on AOL, including a very detailed narrative of the horrific AOL merger with Time Warner (TWX) a few years back, a union from which both sides have never adequately recovered, I am plenty worried.</p>
<p>From a Time Warner perspective, I get it. It allows the company to unload the lodestone of AOL from around its neck and finally give it some value.</p>

<p>I might point out that Time Warner had ample opportunity to so do over the years (more on <em>that</em>, tomorrow!).</p>
<p>And its inability to make much of the online unit must be disappointing to its new CEO Jeff Bewkes, who hated the original AOL merger more than most.</p>
<p>While Time Warner and AOL like to point to the success of Advertising.com, and there are some various bright spots here and there (Truveo, TMZ, Userplane), its online ad business is still not dominant enough and other parts woefully behind the efforts of others.</p>
<p>And its recent $850 million cash purchase of the very nice, but distant-third Bebo social-networking site reeked of desperation rather than the aspiration it was meant to be. With MySpace and Facebook battling for the big numbers, only help from a large traffic site like Yahoo might work.</p>
<p>That&#8217;s not to say that some of its deeply underutilized assets, like AIM, would not be a good add to Yahoo. But the benefit to Yahoo&#8211;except as a way to try to escape from or shake down Microsoft for more money&#8211;seems negligible.</p>
<p>Lastly, given that it would be a stock transaction without the need for a shareholder vote, I cannot imagine that a large number of them would not freak out at the uncertainty of an AOL-Yahoo merger versus a solid number from Microsoft.</p>
<p><strong>RUPE-A-DOPE</strong></p>
<p>How jaw-dropping are the rascally wiles of Rupert Murdoch of News Corp. (owner of this site)?</p>
<p>First, he cozies up to Yahoo CEO Jerry Yang like a White Knight, but gets caught up in the fact that Yahoo does not want him to have too much power.</p>
<p>Then, Murdoch heads on up to Redmond to play footsie with Microsoft CEO Steve Ballmer, intrigued by the possibility of offloading MySpace and getting a better trade for it.</p>
<p>You just know he&#8217;s going to end up with the whole thing and Yang and Ballmer will be left scratching their heads over what just happened.</p>
<p>But, seriously, I am not entirely clear why Microsoft is also adding this level of complexity, even if it would give it a partner to add more money and assets to the deal.</p>
<p>I get the addition of MySpace might be nice. And so would some investment dollars from News Corp. (NWS).</p>
<p>And, most of all, I see how delicious it might be for Microsoft to be able to fire Google as News Corp.&#8217;s ad partner for MySpace (a firing, I suspect, Google might actually welcome, given its public complaints about the difficulty of monetizing social networking).</p>
<p>But I am not sure why Microsoft won&#8217;t just man-up and fork over a few more dollars to its original offer, which would end this circus pretty quickly.</p>
<p>My guess is that the deal-making fervor has gone to its head and it cannot just be seen as giving in to Yahoo&#8217;s exertions to show it really, truly could be worth more.</p>
<p>Ballmer should just deliver that need from Yahoo and do the deal.</p>

<p>No longer a &#8220;popwreck,&#8221; as the TMZ (TWX) celebrity site calls her so lovingly, her first words on the show are: &#8220;Can we have sex and then go shopping?&#8221; BoomTown loves poetic irony.</p>

<p>I had <a href="http://kara.allthingsd.com/20070518/kara-visits-tmzcom/">previously posted a piece about the site in May</a>, because I consider it one of the really great content sites on the Internet&#8211;using a nice blend of text, video, audio and a laser focus on intense reporting on its topic to yield a whole new kind of media that is Web born and bred.</p>
<p>Here&#8217;s my tour of TMZ&#8217;s new studio on Sunset Boulevard in West Hollywood, right across from the trendy Hyde club (of course!):</p>

<p>Sure, that topic is to chronicle All Things Britney, Lindsay and Paris, but who cares? What TMZ proves, with its ever-growing audience of millions and millions, is that the Internet requires much more than simply porting of offline content online to succeed.</p>

<p>That kind of stuff has been simply lazy on the part of Hollywood and, really, all traditional media, which still have a very hard time creating new kinds of online content of any lasting kind.</p>
<p>TMZ, to my mind, should be a road map for what works well.</p>
<p>And now, in an interesting move, TMZ&#8217;s fare is also on television, with a recently launched syndicated show&#8211;heading backward into old media from new media.</p>
<p>Entering the crowded celebrity entertainment television field will doubtlessly be a tougher challenge, and the jury is still out on its success. But I like the chutzpah of TMZ&#8217;s efforts.</p>
<p>The brainchild of Harvey Levin and Jim Paratore, who came to the Web from longtime television backgrounds, the site made its bones by breaking stories about the antics of naughty celebs like Mel Gibson, Alec Baldwin and all those girls behaving badly.</p>
<p>Rather than kissing up to the celebrity culture, TMZ&#8217;s tougher stance has, well, distinguished it from a lot of others.</p>
<p>TMZ.com is owned by Time Warner. It was launched in 2005 jointly by its Telepictures and AOL units in an unusual&#8211;for Time Warner, at least&#8211;cooperative effort.</p>
