			<content:encoded><![CDATA[<p><img class="align right size-full wp-image-143364" title="gorilla380" src="http://allthingsd.com/files/2011/11/gorilla380.png" alt="" width="380" height="285" />What&#8217;s the future of EMI? The much-battered music company is supposed to be <a href="http://online.wsj.com/article/SB10001424052970204224604577031694160429400.html">split in two</a>, with a Sony-led coalition buying its publishing business for $2.2 billion and Universal Music Group buying the recorded music unit for $1.9 billion.</p>
<p>But not so fast. Before we can get there, we need to review some history, then engage in some speculation.</p>
<p>First, the past: Way, way back in 2000, EMI was supposed to merge with Warner Music Group. But the deal, which would have created a company that controlled 25 percent of the world&#8217;s music market, didn&#8217;t fly with European regulators.</p>
<p>And since Universal is the world&#8217;s biggest music label, and the new combination will create a company with about 40 percent of the world&#8217;s music market, you&#8217;d think antitrust types would have a problem with this one, too. (Maybe even in the U.S., which has usually let most industries consolidate, but recently perked up when it came to AT&amp;T&#8217;s proposed T-Mobile deal.)</p>
<p>Bear in mind that back in 2000, there were five major music labels. Since then Sony swallowed up BMG, so we&#8217;re down to four. And Universal wants to shrink it down to three.</p>
<p>Universal&#8217;s answer, of course, will be that today&#8217;s music business looks nothing like it did 11 years ago when Britney Spears was selling millions of CDs, Napster was a novelty, and Apple&#8217;s iTunes store didn&#8217;t exist. Most important: Back then, music sales were a $37 billion business. By the end of last year, that number was down to $16 billion.</p>
<p>But simply arguing that the pie is smaller won&#8217;t convince regulators. If Universal is really going to get this deal done, it&#8217;s almost certainly going to sell off some pieces, particularly in markets like Germany and France, where a combined EMI/UMG could end up with something like 80 percent of the music market.</p>
<p>I think it will also work very hard to convince people that even the world&#8217;s biggest music label doesn&#8217;t have any power when it comes to Apple, which controls the world&#8217;s digital music market.</p>
<p>That part won&#8217;t be that hard, because it&#8217;s at least partly true. But it will still be interesting to see Universal, which has longstanding ties to Apple, go out of its way to publicly complain about the relationship, without actually straining it for real.</p>
<p>And in any case we&#8217;re going to have quite some time to watch this one develop. EMI CEO Roger Faxon told his staff yesterday that approvals, etc., for the split-up could go &#8220;well past&#8221; March 31, 2012, when EMI&#8217;s fiscal year ends. Music industry folks assume that a realistic timetable would be closer to 12 months from now.</p>

Under the deal, expected to be unveiled Tuesday, Baidu will be able to provide licensed music files for users to stream or download free. These files will include all songs from the catalogs of Sony Corp.&#8217;s Sony Music Entertainment, Vivendi SA&#8217;s Universal Music Group and Warner Music Group Corp. Baidu will pay royalties to the labels and a cut of revenue earned from premium music services in the future.</p>
<p>The deal ends a years-long struggle between China&#8217;s most popular website and the three big labels over a popular Baidu MP3 search service used to find links to music files around the Web, many of which were unlicensed. The music industry and the U.S. government have complained that the Baidu site was among the world&#8217;s most widely used platforms for unlicensed music downloads, with the U.S. Trade Representative listing Baidu as a &#8220;notorious&#8221; market for piracy.</p>

<p>When the selling of Myspace winds down in the next week or so, it&#8217;ll probably attract a spate of comments about what a failure the whole social networking enterprise turned out to be.</p>
<p>And &#8212; especially when you recall what a Web phenom the social networking site was before it got blown out of the water by Facebook &#8212; it was.</p>
<p>That is, unless you think of the mob of former execs who have worked at the company over time, many of whom have moved on to some more golden opportunities <em>after</em> leaving the News Corp.-owned property.</p>
<p>That includes, most recently and notably, former sales head Michael Barrett, who is about to score big as CEO of <a href="http://allthingsd.com/20110609/google-will-keep-washington-regulators-busy-with-400-million-admeld-deal/">AdMeld</a>, which is reportedly in the process of selling to Google for $400 million.</p>
<p>Also a big winner: Former Myspace CEO Owen Van Natta, who was <a href="http://allthingsd.com/20100210/myspace-ceo-van-natta-was-fired-by-news-corp-digital-head-miller-in-late-afternoon-meeting/">fired from that job</a> in one of its many putsches and who <a href="http://allthingsd.com/20100813/zyngas-newest-deal-snagging-myspace-facebook-vet-owen-van-natta/">quickly rebounded to a top job</a> at online gaming powerhouse Zynga.</p>
<p>So, while it is one of the more overused memes of Silicon Valley, the &#8220;mafia&#8221; analogy &#8212; which has been applied to fertile entrepreneurial breeding grounds such as PayPal, before its acquisition by eBay &#8212; is useful when thinking about Myspace.</p>
<p>It is also a good thing to keep in mind about any tech company that goes off the rails: There might still be a silver lining, even if the start-up never sees the light of day again.</p>
<p>As proof, herein is a list I created after pinging a bunch of former Myspace folks:</p>
<p><strong>Jason Oberfest:</strong> Former SVP of business development. Now, VP Ngmoco, which was <a href="http://allthingsd.com/20110124/ngmocos-ambitions-accelerate-from-game-maker-to-future-entertainment-company/">sold to Japanese gaming giant DeNA</a> for $400 million last year.</p>
<p><strong>Dmitry Shapiro: </strong> Former CTO, <a href="http://allthingsd.com/20100607/veoh-ceo-shaprio-resurfaces-at-myspace-music/">Myspace Music</a>. Now, at Facebook competitor <a href="http://allthingsd.com/20110526/ex-myspace-exec-to-launch-facebook-alternative-with-funding-from-dfj/">Altly</a>.</p>
<p><strong>Adam Bain:</strong> While at Fox Interactive Media, he ran the ad platform for Myspace. Now, <a href="http://allthingsd.com/20100823/bain-leaves-news-corp-s-fan-which-will-be-integrated-into-myspace-the-internal-memo-of-course/">head of sales</a> at Twitter.</p>
<p><strong>Jeff Berman:</strong> Former <a href="http://allthingsd.com/20090820/myspace-to-hire-millard-and-also-media-link-to-take-over-ad-sales-whither-berman/">president of sales and marketing</a>. Now, GM of the NFL&#8217;s digital media unit.</p>
<p><strong>Jason Hirschhorn:</strong> Former <a href="http://allthingsd.com/20100617/myspace-co-president-jason-hirschhorn-leaves/">co-president</a> and chief product officer. Now, on MGM board, angel investor, and there are rumors of him working on a curation start-up.</p>
<p><strong>Amit Kapur:</strong> Former <a href="http://allthingsd.com/20090303/kapur-stepping-down-as-myspace-coo/">COO</a>. Now, CEO, <a href="http://allthingsd.com/20101116/gravity-wants-to-instantly-personalize-any-content-site/">Gravity</a>, an information filtering service start-up.</p>
<p><strong>Chris DeWolfe:</strong> Co-founder and <a href="http://allthingsd.com/20090422/its-official-dewolfe-out-as-myspace-ceo-co-founder-tom-anderson-also-moving-aside/">former CEO</a>. Now, CEO, <a href="http://allthingsd.com/20110418/myspaces-founder-chris-dewolfe-on-acquisition-spree-in-games-space/">MindJolt</a>, an online gaming roll-up.</p>
<p><strong>Ross Levinsohn:</strong> Former president of FIM, he was integral to buying Myspace. Now, <a href="http://allthingsd.com/20101026/exclusive-yahoo-courts-former-news-corp-digital-exec-ross-levinsohn-as-u-s-head/">EVP of Americas unit</a>, Yahoo.</p>
<p><strong>Mike Lang:</strong> Former News Corp. strategy exec also involved in Myspace purchase. Now, CEO, <a href="http://allthingsd.com/20101209/new-miramax-ceo-lang-talks-digital-options-for-movie-company/">Miramax</a>.</p>
<p><strong>Aber Whitcomb</strong>: Former CTO. Now CTO, MindJolt.</p>
<p><strong>Jim Heckman:</strong> Former chief strategy officer of FIM. Now, CEO of <a href="http://allthingsd.com/20110511/exclusive-yahoo-looking-at-5to1-purchase/">5to1</a>, recently sold to Yahoo for $25 million.</p>
<p><strong>Dani Dudeck:</strong> Former communications head. Now, PR head at Zynga.</p>
<p><strong>Travis Katz:</strong> SVP of international. Now, CEO of <a href="http://allthingsd.com/20101116/gogobot-ceo-travis-katz-talks-about-beta-launch-of-social-travel-site/">Gogobot</a>, a social travel start-up.</p>
<p><strong>Richard Rosenblatt:</strong> Former CEO of Intermix Media and Chairman of Myspace, he sold it to News Corp. Now, CEO of Demand Media.</p>
<p><strong>Angela Courtin:</strong> Former SVP of marketing. Now, EVP at Aegis Media.</p>
<p>These folks should be on the call list of whoever ends up buying Myspace. Last week, I wrote that an investor group, including <a href="http://allthingsd.com/20110609/exclusive-myspace-in-advanced-deal-talks-with-investor-group-possibly-including-activisions-kotick/">Activision head Bobby Kotick</a>, is now in the lead for the deal.</p>
<p>As an update, according to sources, Kotick has gotten clearance from Activision&#8217;s major shareholder Vivendi to do the Myspace transaction as a passive personal investment.</p>

<p>Amazon thanked users for their patience on its website and on Twitter, saying consumers who ordered &#8220;Born This Way&#8221; on Monday would get the full album for the promotional price. Lady Gaga, a Grammy-winning multiplatinum pop star, is known for her unusual sense of style as well as hits including &#8220;Just Dance&#8221; and &#8220;Poker Face.&#8221;</p>
<p>Amazon is buying &#8220;Born This Way&#8221; at the full wholesale price, around $9, from Lady Gaga&#8217;s recorded-music distributor, Vivendi SA&#8217;s Universal Music Group, according to people familiar with the matter.</p>

What it&#8217;s going to do with that money?</p>
<p>The streaming music service is going to raise something like $100 million, at a valuation of $1 billion or more, very shortly, according to <a href="http://techcrunch.com/2011/02/20/dst-about-to-lead-huge-spotify-funding/">TechCrunch</a>, the <a href="http://www.ft.com/cms/s/2/743bbb6e-3ded-11e0-99ac-00144feabdc0.html#axzz1Eeo6dmKQ">Financial Times</a>, the <a href="http://dealbook.nytimes.com/2011/02/21/spotify-raises-new-investments-at-1-billion-valuation/?src=dlbksb">New York Times</a> and <a href="http://blogs.news.sky.com/kleinman/Post:5fe6b607-9594-428c-86ba-15b191d2fb45">Sky News</a> (?).</p>
<p>People who tell me they&#8217;re familiar with Spotify&#8217;s plans also tell me all of those publications are wrong. But they won&#8217;t be specific about <em>why</em> they&#8217;re wrong. So my hunch is that some combination of the total amount raised, the valuation and the investors may still be in flux. Or not.</p>
<p>Whatever. Sooner, or later, Spotify is set to cash a very big check. What&#8217;s it going to do with that money?</p>
<p>The easy assumption is that the company will turn around and redistribute its new investors&#8217; funds to the big music labels, as part of the distribution deals it is cutting to get into the U.S.</p>
<p>Spotify already has deals with <a href="http://mediamemo.allthingsd.com/20110119/one-down-spotify-signs-sony-to-us-deal/">Sony</a> and <a href="http://mediamemo.allthingsd.com/20110217/spotify-signs-on-emi-for-us-launch-at-least-one-more-to-go/">EMI</a>, and is supposedly closing in on one with Vivendi&#8217;s Universal Music Group, the world&#8217;s biggest label.</p>
<p>And as I wrote last fall, <a href="http://mediamemo.allthingsd.com/20101027/spotifys-real-news-no-news-but-big-bags-of-cash-might-help/">Spotify is willing to pay the labels real money</a> over the life of these deals to get them done. But I don&#8217;t think the bulk of this cash goes immediately from DST, or Kleiner Perkins, or whomever, to UMG, Sony, et al.</p>
<p>For starters, I don&#8217;t think Spotify&#8217;s backers would be happy to serve as a direct funding source for the flailing labels. And remember that Spotify is a money-losing startup, so it would likely need cash to fund operations even if it was staying put.</p>
<p>But I think that Spotify is going to have to spend real money to break into America, which already has plenty of streaming music services, and doesn&#8217;t seem very interested in them.</p>
<p>A rough guesstimate is that Rhapsody, Napster, MOG, Rdio and Thumbplay have a total of about a million subscribers&#8211;about the same that Spotify has on its own. So in order to really make the case for music you rent by the month, Spotify is going to have to lay out serious marketing cash to get people to pay attention.</p>
<p>It will need to staff up, too: The company, based in Sweden and London, has a handful of people working in a small corner of Google&#8217;s New York City office, but that won&#8217;t be nearly enough to tackle the States.</p>
<p>The other big variable, which wasn&#8217;t on Spotify&#8217;s radar when it started looking for cash last year but certainly is now, is the impact of <a href="http://mediamemo.allthingsd.com/20110215/apple-rolls-out-long-awaitedfeared-subscription-plan/">Apple&#8217;s new subscription plan</a>. As described in Apple&#8217;s press release, that plan will lop 30 percent off of every subscription Spotify sells through Apple&#8217;s iTunes store.</p>
<p>Spotify, like every other music service, can&#8217;t live with that. So if Apple doesn&#8217;t back down, and U.S. or European regulators don&#8217;t force it to back down, Spotify will have two choices:</p>
<ul>
<li>It can market the heck out of the service on everywhere but Apple&#8217;s platform, and hope that the overwhelming majority of its signups happen via some other outlet, where they won&#8217;t have to pay Apple&#8217;s tariff.</li>
<li>And/or it can spend a lot of time fighting Apple in court.</li>
</ul>
<p>Either way, some extra cash might be handy. Good thing the company has some lined up.</p>

Multiple sources tell me the deal, <a href="http://mediamemo.allthingsd.com/20101027/spotifys-real-news-no-news-but-big-bags-of-cash-might-help/">which has been very close since last fall</a>, is now closed.</p>
<p>I&#8217;m told the terms call for a U.S. service that more or less mirrors the one Spotify offers in Europe: A <a href="http://www.spotify.com/int/help/faq/unlimited/spotify-says-streaming-limit-reached-why/">certain number of hours per month</a> of free streaming music, with the ability to pay for an ad-free version, or a more popular one that lets users listen on mobile devices like Apple&#8217;s iPhone.</p>
<p>Both Spotify and Sony declined to comment.</p>
<p>The deal doesn&#8217;t mean a U.S. launch is imminent for the service, which has been trying to make the leap from Europe for a couple of years, and which missed a self-imposed deadline to make it over in 2010. In order to make a credible offer to U.S. customers, it will need at least two of the three other big music labels to sign on.</p>
<p>And practically, at least one of those labels has to be Vivendi&#8217;s Universal Music Group, the world&#8217;s biggest music label. So Spotify will need to hammer out a deal with UMG and either Warner Music Group or EMI before we can start talking about a U.S. launch date.</p>
<p>The <a href="http://www.nypost.com/p/news/business/spotify_leaps_to_us_oCGRiUlgBbgU8076NBkyuN">New York Post</a> reported last week that Spotify was close to a Sony deal.</p>
<p>What&#8217;s taking Spotify so long to land in the U.S.? Depends on whom you ask.</p>
<p>Some industry sources tell me the big music labels are genuinely worried that Spotify&#8217;s free streaming service will increase the decline of CD sales, which have been dropping for a decade, but still make up the majority of the labels&#8217; revenue.</p>
<p>Others have a more cynical take, though it&#8217;s not mutually exclusive: The labels, which have already licensed Spotify in Europe, simply want more cash from the company before they do an American deal. There is also muttering that the labels don&#8217;t want to upset Apple, which sells tunes on a track-by-track basis via its iTunes store and dominates the market for digital music.</p>
<p>It&#8217;s also unclear how close Spotify is to more label deals. Executives at the service have long been hopeful that getting one deal done would convince the other labels to join up. On the other hand, you could argue that it gives the holdouts that much more leverage.</p>
<p>And in any case, even if Spotify signed two more labels tomorrow, it would still take the company some time to cross the Atlantic, as it prepares a marketing campaign, etc.</p>
<p>It might also be nice for the company to have a new slug of cash on hand, something it would have if it goes through with fundraising talks it has been holding recently.</p>

<p>It&#8217;s not a complete failure, apparently, as Nokia will continue to support the service in six countries, including China. But it will pull the plug in 27 other countries. (It never arrived in the U.S.)</p>
<p>The <a href="http://digitaldaily.allthingsd.com/20071205/comes-with-music/">idea</a>, pushed in large part by Vivendi&#8217;s Universal Music Group, was that consumers would pay a premium for certain Nokia phones and get access to all-you-can-eat music.</p>
<p>A couple of problems, per <a href="http://www.reuters.com/article/idUSTRE70G1YE20110117">Reuters</a>: Consumers didn&#8217;t want it, and carriers didn&#8217;t support it.</p>
<p>It&#8217;s possible that the Nokia plan was sunk because of a <a href="http://digitaldaily.allthingsd.com/20080422/nokia-sony/">complicated digital rights management scheme</a> that more or less locked the music onto the phones. But it may be that people just aren&#8217;t that interested in paying for all-you-can-eat music, whether that payment is bundled into the price of the phone, or via a month-to-month subscription service.</p>
<p>In the U.S., there is no shortage of the latter&#8211;Rhapsody, Best Buy&#8217;s Napster, MOG, Rdio, Thumbplay, etc.&#8211;but they haven&#8217;t caught on despite years of effort. In Europe, for now, Spotify seems to be gaining some traction&#8211;people familiar with the company say it now has one million paying subscribers, up from 750,000 last fall, but that&#8217;s still not mainstream.</p>
<p>Subscription services were supposed to get more popular once they started playing nicely with Apple&#8217;s iPhone, but that has kicked in over the past couple of years without any noticeable bump. Now subscription advocates are pining for another boost from Google, which they imagine will end up partnering with one of the services instead of building its own.</p>
<p>And if Google wanted to, say, provide every Android buyer with a couple months of free subscription music, they argue, then subscriptions might finally catch on.</p>
<p>Could be! But I wouldn&#8217;t count on it.</p>

At least if you use the world&#8217;s biggest music company as a proxy.</p>
<p>Universal Music Group just reported a sales increase of 2.8 percent in the last quarter. But if you adjust for currency fluctuations, the company, owned by France&#8217;s Vivendi conglomerate, saw sales drop 3 percent. Meanwhile, cash flow, measured via EBITDA, dropped no matter which metric you want to use &#8211;either by 9.9 percent or 17.3 percent.</p>
<p>The slightly good news is that Q2 was less bad for Universal than Q1: For the first half of the year, sales were down 5.4 percent (or 7.9 percent) and EBITDA declined by 24.6 percent (or 28 percent).</p>
<p>What happened? The same thing we&#8217;ve heard for the last decade, according to Vivendi&#8217;s press release: Digital revenues are up, but not enough to counter &#8220;reduced demand for physical product.&#8221; Perhaps an <a href="http://mediamemo.allthingsd.com/20100826/itunes-music-update-think-social-not-streaming/?mod=ATD_rss&amp;mod=ATD_sphere">iTunes overhaul</a> can help&#8230;.</p>

<p><a href="http://d8.allthingsd.com/speakers/steve-burke/">Steve Burke</a> is about to take on a very big job: Combining GE&#8217;s (GE) NBC Universal with Comcast&#8217;s programming assets to create a television colossus. Good thing he has spent a lifetime in TV preparing for it.</p>
<p>But even without those responsibilities, Burke has plenty on his plate. As COO of the country&#8217;s biggest cable company, he helps steer Comcast (CMCSA) through tricky waters: Net neutrality, <a href="http://arstechnica.com/old/content/2008/08/fcc-spanks-comcast-for-p2p-blocking-no-fine-full-disclosure.ars">feisty file-sharers</a>, <a href="http://www.youtube.com/watch?v=CvVp7b5gzqU">sleeping tech guys</a>, etc.</p>
<p>In certain circles&#8211;perhaps one you&#8217;re in sitting right now&#8211;the central question Burke and Comcast have to answer is: How are you going to survive the attempts of Google/Apple/everyone on the Web to turn you into an irrelevant dumb-pipe provider?</p>
<p>But the flip side of this question is just as valid: How can anyone really dislodge the company that controls the pipe that makes TV? <span id="more-5773"></span></p>
<h4 class="subhed">Liveblog</h4>
<p>Kara starts off with the basics: Why do you want to buy NBC?</p>
<p>Burke: We&#8217;ve always believed that content and distribution go better together. We&#8217;ve had distribution, we&#8217;ve been trying to get content for a while. Tried to get Disney (DIS), came close to buying Universal when Vivendi owned the whole thing.</p>
<p><strong>8:16 am</strong>: Kara&#8211;but lots of companies have tried marrying content and distribution. That doesn&#8217;t always work.</p>
<p><strong>8:16 am</strong>: Burke&#8211;It has for News Corp. (NWS). But in our case, we already have the ability to put up 70,000 hours of content for video on demand. But we don&#8217;t have all the content we&#8217;d like. We don&#8217;t have day-and-date movies. We&#8217;d like all prime-time programming on VOD, etc. The thing that slows that down is the natural negotiations that you have to go through when you don&#8217;t own the content.</p>
<p><strong>8:18 am</strong>: Kara&#8211;You&#8217;re also worried about becoming a dumb pipe, without control, right?</p>
<p><strong>8:18 am</strong>: Burke: I like to think of it as opportunities. Look at DreamWorks (DWA)&#8211;they are worried about declining DVD sales, and they&#8217;d like to be able to do electronic sell-through. We&#8217;re in a position to help craft that evolution.</p>
<p><strong>8:19 am</strong>: Kara&#8211;Are you sure consumers really want to watch this stuff on TVs, as opposed to iPads, etc?</p>
<p><strong>8:20 am</strong>: Burke&#8211;We&#8217;re all for choice, anytime, anywhere. We believe consumers want that, too, and &#8220;it&#8217;s frustratingly slow&#8221; to get that to happen. &#8220;But I think that&#8217;s the world  we&#8217;re all crashing into,&#8221; and &#8220;you can&#8217;t stop it anyway.&#8221;</p>
<p><strong>8:21 am</strong>: What&#8217;s going with Hulu, which you&#8217;re going to own a piece of?</p>
<p><strong>8:21 am</strong>: Burke&#8211;Whether it&#8217;s Hulu or Fancast, which we own all of, &#8220;people want their shows on the Internet. And they&#8217;re going to get their shows on the Internet.&#8221; Not sure if it&#8217;s going to be ad-supported or a paid model. &#8220;I know&#8211;I&#8217;ve read&#8221;&#8211;that Hulu is going to try a paid model.</p>
<p><strong>8:22 am</strong>: We also support the TV-everywhere concept (spearheaded by Time Warner&#8211;get what you want on the Web, as long as you pay for a cable subscription).</p>
<p><strong>8:23 am</strong>: Kara&#8211;you&#8217;re going to be running NBC, right?</p>
<p><strong>8:23 am</strong>: When the deal closes, Jeff Zucker will run the entity. But he&#8217;ll report to me.</p>
<p><strong>8:24 am</strong>: By the way, content and distribution don&#8217;t naturally work together. You have to make them work together. You have to do things that sometimes aren&#8217;t immediately advantageous for both sides.</p>
<p><strong>8:24 am</strong>: Kara&#8211;Let&#8217;s talk about your individual businesses, as well as Steve Jobs&#8217;s expressed lack of interest in getting into TV. So cable is most important to you, right?</p>
<p><strong>8:25 am</strong>: Burke&#8211;Cable provides the majority of NBCU&#8217;s cash flow. They&#8217;re the best part of the media landscape right now. Majority of cash at most entertainment companies comes from cable right now, and even more so at NBCU. But we also think there&#8217;s upside with Universal studio and NBC broadcast.</p>
<p><strong>8:26 am</strong>: Okay, but give me an honest assessment of broadcast. What did you think of the Conan deal? Did they call you?</p>
<p><strong>8:27 am</strong>: Burke&#8211;as the deal closes, it&#8217;s not our company. We can&#8217;t manage anything. To a degree, we&#8217;re watching things in the same way you are. There&#8217;s clearly a separation that exists. Because of regulators [natch].</p>
<p><strong>8:27 am</strong>: Anyway, broadcast TV has been challenged for some time. But right now it looks to be on the upswing. Ads are coming back. retrans consent, where broadcasters will get money from cable operators, is coming. But broadly, if you look at TV, including cable, the overall television business is making as much money as ever.</p>
<p><strong>8:29 am</strong>: Kara&#8211;do you still need broadcast networks anymore, anyway?</p>
<p><strong>8:29 am</strong>: Burke&#8211;for big events, you can&#8217;t get a bigger audience. And that&#8217;s very attractive. We&#8217;re not naive. We know the business is &#8220;very challenged.&#8221; But in the next few years, there can be a real upside. We can invest in the business. If you&#8217;re in the network TV business, you have to spend the money to be competitive: on pilots, on encouraging creative people to work, etc. Note that NBC spent a lot more on pilots for this fall than they did a year ago. &#8220;If you&#8217;re in it, you have to be in it to invest and win. You can&#8217;t cut your way to success in broadcast TV.&#8221; [Which was Zucker's strategy last year. So what does that mean?]</p>
<p><strong>8:31 am</strong>: Burke moves on to the Universal movie studio. It can move the existing library to different platforms, help it migrate from DVD to electronic sell-through, etc.</p>
<p><strong>8:32 am</strong>: Will Burke have to do a lot of cost-cutting? When we bought AT&amp;T (T), we did. But in this case, it&#8217;s not about costs. There&#8217;s very little overlap. It&#8217;s more of a case of trying to put everything together.</p>
<p><strong>8:33 am</strong>: Kara: So will you sell anything off after the deal goes through?</p>
<p>Burke: No. We want the cable systems, but the other stuff has value, too. And all of the parts can work together.</p>
<p><strong>8:34 am</strong>: Kara&#8211;How do you look at competitors like Apple (AAPL), Google (GOOG). What do you think of Google TV?</p>
<p><strong>8:34 am</strong>: Our real competitors are the satellite companies and telcos. Right now. The real challenge is delivering all that data. You need infrastructure&#8211;pipe&#8211;for that. That&#8217;s how you deliver tonnage. And it&#8217;s going to be that way for a long time. The Web can deliver video, but not the same tonnage, in the same way. There are a lot of companies that want to get to the TV set. And I think all of them can be complementary. But people who subscribe to us want ESPN, CNBC, etc.</p>
<p><strong>8:36 am</strong>: Kara&#8211;But why do need bundles and tiers, anyway?</p>
<p><strong>8:36 am</strong>: Burke: The programmers we work with want full distribution. And you pay $50, $60, and you get 200 channels. And the ecosystem works very well for the programmers, and it works well for us.</p>
<p><strong>8:36 am</strong>: Kara&#8211;and for customers?</p>
<p><strong>8:37 am</strong>: Burke&#8211;TV in the U.S. is better than anywhere in the world. It&#8217;s natural to say you only want to pay for two channels. And we could technically do that, and we could offer a less expensive bundle. But I think the business model has evolved to be what it is right now, and it&#8217;s been successful for both sides of the equation.</p>

<p><strong>8:37 am</strong>: But again, people are picking and choosing what they want on the Web. And some of them seem to be turning off cable as well. Aren&#8217;t you worried about that?</p>
<p><strong>8:38 am</strong>: Burke: We worry all the time. But the fact of the matter is, it&#8217;s counterintuitive. I have five kids. And they all consume media different ways. But quarter after quarter, year after year, cable subs go up. It has never gone down. There&#8217;s no evidence that people are giving up their cable. If people want ESPN or CNBC, they&#8217;re going to subscribe. In the future, you&#8217;ll have more stuff on more devices. But at the end of the day, it&#8217;s in the programmers&#8217; interest to get affiliate fees for their stuff.</p>
<p><strong>8:40 am</strong>: Kara&#8211;But don&#8217;t you think people want a la carte?</p>
<p><strong>8:40 am</strong>: Burke&#8211;I&#8217;d like to buy the first section of the Wall Street Journal, and not the rest of the paper [followed by Kara fumbling with some math].</p>
<p><strong>8:40 am</strong>: In any case, you&#8217;ve got much more choice now than you had 10 years ago. It&#8217;ll be the same thing in the next 10 years.</p>
<p><strong>8:41 am</strong>: Kara&#8211;which devices are important to you beyond TV?</p>
<p><strong>8:41 am</strong>: Burke&#8211;The  iPad, of course. We just showed off that new iPad app/TV controller that will replace the crummy search and navigation that exists on the set-top box now.</p>
<p><strong>8:43 am</strong>: Kara&#8211;Is 3-D coming to the home?</p>
<p><strong>8:43 am</strong>: Burke&#8211;Yep. This won&#8217;t be like HD sets, where they started off very expensive and came down relatively slowly. We&#8217;ll get a  point pretty quickly where if you&#8217;re buying a nice TV set, it will have 3-D. Now there are a lot of places where 3-D doesn&#8217;t enhance the experience. And they need to figure it out. For instance, you don&#8217;t 3-D when you have overhead shots at at a football game. So we need to figure out what percent of stuff you watch will have 3-D. But it&#8217;s coming.</p>
<p><strong>8:44 am</strong>: Kara&#8211;Jobs talked about collapsing windows, but windows don&#8217;t really seem to ever collapse.</p>
<p><strong>8:45 am</strong>: Burke&#8211;Right. They are narrowing, but only slightly. You want to have windows, but make sure they have a purpose. For instance, I think the best place to have a movie for the general public is the movie theater. I think that&#8217;s going to be the same for a long time.</p>
<p><strong>8:46 am</strong>: Kara&#8211;But what if you don&#8217;t want to go the theater?</p>
<p><strong>8:46 am</strong>: Burke&#8211;I don&#8217;t know. I think there&#8217;s a real benefit to having it in theaters opening weekend. But 90 days out, I&#8217;m not sure. It probably doesn&#8217;t have to be windowed for 90 days; you should be able to get it on VOD, etc.</p>
<p><strong>8:47 am</strong>: Kara&#8211;One more time: What&#8217;s the most important device, either real or overhyped?</p>
<p><strong>8:47 am</strong>: Burke&#8211;The iPad. I bring it everywhere I go. It&#8217;s so elegant. And so early in its life cycle. But I&#8217;m looking forward to other tablets, too. The big picture is that all this stuff will enhance the value of great content. That&#8217;s the bet we made with NBC, that it can get to more people, over more devices, and get more valuable that way. People are always worried about technology draining value from media, but each new wave of technology has been additive.</p>
<p>Q&amp;A:</p>
<p><strong>Q: Do you think your pipe business will become separate from rest of your business and become commoditized?</strong></p>
<p>Burke: For starters, we&#8217;re already separating programming from video (which includes TV, high-speed, etc.</p>
<p><strong>Q: What about the theory that big mergers, like the ones you&#8217;re doing, are products of hubris more than business savvy?</strong></p>

<p>Burke: I know that theory. We&#8217;ve done a lot of deals. &#8220;Every single time we&#8217;ve done a deal, Wall Street has said, &#8216;Why are you doing that?&#8217;&#8221; But we have a view that content and distribution work together if properly managed. And that a company that gets bigger can do cool things with technology, if you do it right. &#8220;But we&#8217;re totally aware that there are a lot of people saying&#8211;&#8217;Why don&#8217;t you stay where you are?&#8217; We think we&#8217;re getting a fairly priced deal for NBCU.&#8221;</p>
<p><strong>Q: Do you think there will be a market for set-top boxes that consumers buy on their own, with features they want?</strong></p>
<p>Burke: Complicated question. Each MSO is a conglomeration of different technologies. We&#8217;d love it if people bought their own set-top boxes. We&#8217;d save a ton of money. But the different technologies involved make that difficult.</p>
<p><strong>Q: What&#8217;s your mobile strategy?</strong></p>
<p>Burke: We&#8217;ve invested in Clearwire. We&#8217;re rolling out WiMax. We&#8217;re big believers in Wi-Fi. The iPad makes you want Wi-Fi meshing in cities, and we&#8217;re working on that. But the traditional cellphone business, as a fourth product to complement TV, landline and Web, doesn&#8217;t make sense for us.</p>
<p><strong>Q: You guys have been good about chasing after malware, botnets, etc. What can you do to get others to emulate you?</strong></p>

<p>Burke: The Internet business is crucial for us. It&#8217;s a growth driver. So we have to provide really reliable, really fast Internet service. And we believe in open internet. But you have to deal with congestion and protect copyrights and prevent malware and spam, and we invest a lot in that. It&#8217;s a very tricky balancing act, to make sure that the highway is really fast, but also controlled.</p>
<p><strong>Q: I run Hillcrest, and Hulu blocked my service. Will you do something different when you own NBC?</strong></p>
<p>Burke: &#8220;It&#8217;s not time for me to answer that question.&#8221;</p>
<p><strong>Kara: &#8220;Really?&#8221;</strong></p>
<p>Burke: &#8220;Really.&#8221;</p>
<p><strong>Q: Your customers hate you. What are doing about that?</strong></p>
<p>Burke: We&#8217;re working on customer service, spending a lot of money on it. If you don&#8217;t take care of your customers, they&#8217;re going to go somewhere else. The physical networks are getting more sophisticated. But we want to improve them.</p>
<p><strong>Q: Apologies, missed the question here.</strong></p>
<p>Burke is explaining that TV software platform is &#8220;balkanized&#8221; compared with the Web, where it&#8217;s much easier to get stuff to work together.</p>

<p>The service, formerly a joint venture between RealNetworks (RNWK) and Viacom&#8217;s (VIA) MTV, has two new investors. Real and Viacom each own about 47.5 percent of the company, and Vivendi&#8217;s Universal Music Group now owns a minority stake&#8211;something less than five percent. An undisclosed investor owns something much smaller than that.</p>
<p>Rhapsody&#8217;s managers will tell you that their new corporate structure gives them a better shot at turning around the music service, which has lost money for years and has recently been losing subscribers as well&#8211;it&#8217;s now down to 675,000. They predict they&#8217;ll generate $130 million in revenue this year and turn profitable by the end of 2010.</p>
<p>But consumers won&#8217;t care about any of that. The core question about them: Is there any amount of money they&#8217;re willing to pay for a monthly music subscription that lets them listen to whatever they want wherever they are?</p>
<p>Rhapsody&#8217;s price cut brings it in line with the $10-per-month offering <a href="http://mediamemo.allthingsd.com/20100301/thumbplay-moves-from-ringtones-to-mobile-music-hires-apple-exec/">Thumbplay announced earlier this year</a>. If you want to spend less, both <a href="http://mediamemo.allthingsd.com/20090901/napster-dont-hold-your-breath-waiting-for-our-awesome-new-iphone-app/">Best Buy&#8217;s (BBY) Napster</a> and <a href="http://mediamemo.allthingsd.com/20100225/more-money-for-digital-music-sure-mog-gets-another-10-million/">MOG</a> offer $5 monthly subscriptions, but neither supports mobile phones (yet), so they&#8217;re only good for people who do most of their listening within earshot of their PCs.</p>
<p>Meanwhile Spotify, the music industry&#8217;s great European hope, has yet to make it to the U.S. despite many months of promises and negotiations. And lots of folks insist/believe/hope that Apple (AAPL) will eventually offer some sort of subscription service, or at least some kind of portable option that involves the cloud.</p>
<p>In the meantime, the overwhelming majority of people who do pay for music online do it in $1 increments. Apple is still selling some two billion songs a year via iTunes.</p>

<p>Vivendi says it will install <a href="http://finance.yahoo.com/news/Vivendi-Lucian-Grainge-bw-3250082030.html?x=0">Lucian Grainge</a> as head of its Universal Music Group unit in 2011, replacing longtime head Doug Morris. The Grainge era will really start this summer, since Universal&#8217;s international boss will be moving to New York in July, and he and Morris will be &#8220;co-CEOs&#8221; for a six-month stint.</p>
<p>This one will surprise absolutely no one as it has been in the works for a very long time, and people both in and outside of Universal have been trying to figure out how they&#8217;ll fit in after Grainge&#8217;s ascension. In the meantime, a more pressing issue for Universal is chatter that the company is looking at yet another round of layoffs this spring.</p>

<blockquote class="memo"><p>Vivendi announced today the appointment of Lucian Grainge as Chief Executive Officer of Universal Music Group (UMG), the world’s leading music company. Mr. Grainge is promoted from his current role as Chairman and CEO of London-based Universal Music Group International (UMGI). He will take up the position on Jan. 1st 2011, succeeding Doug Morris, who will remain as Chairman. He will relocate to New York from July 1st 2010. During these six months, Doug Morris and Lucian Grainge will act as co-CEOs of UMG. Lucian Grainge will report to Jean-Bernard Levy and become a member of the Vivendi Management Board.</p>
<p>Under Lucian Grainge’s leadership since 2005, UMGI has grown its market share worldwide, broken global acts and led the music industry in developing a range of new digital services. He started his career with CBS/April Music in 1979, advancing to positions in Artists &amp; Repertoire (A&amp;R) and talent development, and rising to senior management positions at PolyGram UK and Universal Music internationally.</p>
<p>Doug Morris commented: &#8220;The time has come for Lucian to step up to the CEO role. I am very happy with the new organization as I have been grooming him to succeed me for quite a while now. I know he is ready, willing and able to attack the challenges of the new decade.&#8221;</p>
<p>Commenting on the appointment, Jean-Bernard Levy, chairman of the Vivendi Management Board, stated: &#8220;I am delighted that Lucian Grainge has agreed to move to New York to take on the Chief Executive role. His track record speaks for itself, finding stars, growing revenues and building new business models. He has the right combination of experience and innovation to take UMG forward as the migration into the digital era accelerates.&#8221;</p>
<p>Jean-Bernard Levy went on: &#8220;I would also like to take this opportunity to thank Doug Morris for the extraordinary results he has achieved over the years in a very tough environment. After starting out as a songwriter in 1965, Doug has overseen 35 years in the business and taken it from Vinyl to Vevo. Lucian will be able to benefit from their period in tandem. I know Doug, as the chairman of UMG, will continue to provide a major contribution to the business and the music industry as a whole.&#8221;</p>
<p>Lucian Grainge added: &#8220;Stepping into Doug’s shoes is an honour and a privilege. This is a great industry which I believe has as much to look forward to as to be proud of. <p>It has fixed its tech problems and is doing just fine, thank you very much. Vevo says it is generating around 20 million video views a day, which puts it on track to generate some 600 million views a month.</p>
<p>Some context: <a href="http://www.comscore.com/Press_Events/Press_Releases/2010/1/November_Sees_Number_of_U.S._Videos_Viewed_Online_Surpass_30_Billion_for_First_Time_on_Record">ComScore</a> (SCOR) says that Hulu itself generates some 900,000 video views in the U.S, making it the second biggest video site after YouTube. And Viacom (VIA), the current No. 3, generates 500,000 views.</p>
<p>If you want to compare apples to apples, though, you have to cut Vevo&#8217;s 600 million down to 300 million since about half its views come from outside the U.S. Still, that&#8217;s enough to qualify Vevo for eighth place in comScore&#8217;s rankings, placing it above AOL (AOL) and CBS (CBS).</p>
<p>And when comScore&#8217;s December video numbers are released at the end of this month, Vevo&#8217;s numbers will come in below 300 million since it didn&#8217;t launch until Dec. 9 and because comScore&#8217;s numbers are usually lower than any site&#8217;s internal numbers.</p>
<p>Still, that&#8217;s a lot of eyeballs, and it&#8217;s more than the joint venture between Sony (SNE), Vivendi&#8217;s Universal Music Group and Abu Dhabi Media Company <a href="http://adage.com/digital/article?article_id=140970">expected</a>. But the fact that Vevo began with a huge audience, rocky start and all, shouldn&#8217;t be a surprise.</p>
<p>In fact, <a href="http://mediamemo.allthingsd.com/20091209/why-vevos-first-day-flub-isnt-a-total-disaster/">I said so last month</a>. No need to type it twice:</p>
<blockquote class="memo"><p>While everyone has rightly been flocking to Vevo.com itself for a look-see, it’s not the most important Web site for the joint venture. That would be YouTube, where most Vevo users are actually going to encounter&#8211;and watch&#8211;Vevo videos, without even knowing that they’re watching a Vevo video.</p>
<p>To be clear: When Google’s (GOOG) video site agreed to help Universal Music Group (and later Sony) launch a new hub for music videos, it didn’t mean it would be sending its users away from YouTube.</p>
<p>When you read about Vevo launching with 400 million video views in the first month, understand that the majority of those aren’t coming from the new site but from YouTubers who are watching music clips the same way they always do, on YouTube. But Vevo will get credit for those eyeballs and any ad dollars they generate.</p></blockquote>
<p>That is: If you&#8217;re watching a Ke$ha video on YouTube, there&#8217;s a good chance you&#8217;re watching a Vevo video.</p>
<p>So. Next question. Can Vevo turn all those views into dollars?</p>
<p>We&#8217;ll see. CEO Rio Caraeff tells me his sales group continues to bring in high-profile advertisers&#8211;the latest, last week, was Procter &amp; Gamble (PG)&#8211;and has been able to get between $25 and $30 for every 1,000 impressions. That&#8217;s a whole lot better than videos traditionally earned on YouTube, and as good as some TV shows.</p>
<p>But it&#8217;s relatively easy to announce that you&#8217;re selling your initial batch of inventory at a high rate. It&#8217;s much harder to sustain that over time. So it&#8217;s hard to read too much into those numbers just yet.</p>
<p>In the meantime, the site is going to get much bigger in the near future.</p>
<p>For one thing, it should <a href="http://mediamemo.allthingsd.com/20091207/vevos-hulu-for-music-gets-a-pre-launch-boost-emi-adds-its-clips-but-not-equity-to-the-mix/">start showing videos from EMI Music Group</a> within a few weeks, which means that it will have clips from three of the four big music labels. <a href="http://mediamemo.allthingsd.com/20090928/how-the-youtube-warner-music-deal-got-done-meet-vevo-jr/">Warner Music Group</a> (WMG), the lone holdout, has its own deal with YouTube.</p>
<p>And in March, Vevo should start syndicating its clips to other big properties, starting with CBS and AOL, meaning it will have plenty more eyeballs to sell. The challenge will be proving that the JV&#8217;s thesis&#8211;music videos alone are attractive to advertisers&#8211;is worth the effort.</p>
<p>Meanwhile, here&#8217;s a primer on Ke$ha, whom I didn&#8217;t know about until the other day. She is apparently big with the kids these days. </p>

What else is in store? This is normally Palm (PALM) bete noire John Paczkowski&#8217;s territory, but John&#8217;s en route to Las Vegas from the Bay Area, so I&#8217;ll be tapping away.</p>
<ul>
<li>Some totally unverified gossip from my fellow scribes here at the Venetian Hotel in Las Vegas: Expect an AT&amp;T (T) announcement as well. [UPDATE: Make that "sort of verified"--AT&amp;T already indicated it would support the Palm operating system yesterday, as <a href="http://www.businessinsider.com/alleyinsider">Business Insider's</a> Dan Frommer notes.]</li>
<li>Palm CEO Jon Rubinstein takes the stage: Our platform is a deliberate bet on the Web, he tells us. It&#8217;s at &#8220;the heart of everything we do at Palm.&#8221;</li>
<li>Rubinstein notes that there have been 85,000 downloads of the webOS software development kit since launch in July and 20,000 registrations for the new online developer program, adding that these are clear indicators of interest in the Palm platform. [Translation: We're going to start catching up to Apple (AAPL) and its gazillions of apps. Promise.]</li>
<li>Rubinstein: Pixi is the &#8220;perfect choice for consumers looking to purchase their first smartphone.&#8221; That&#8217;s why we have these supercool back covers available. Check &rsquo;em out! And now a video of people talking about our stuff. [In the video, a talking head mentions "the death of the PC." Ominous!]</li>
<li>Palm announces a new partner: French carrier SFR, co-owned by Vivendi and Vodafone (VOD). Vivendi SVP Jean-Marc Tassetto says his company reaches half of the country&#8217;s population, simultaneously taking a dig at Apple and offering praise for Palm: &#8220;We started negotiating in Cupertino, we ended up in Sunnyvale.&#8221;</li>
<li>Palm SVP of Product Marketing Katie Mitic updates Palm&#8217;s developer program. After six months in closed beta, it is formally opening up. Any developer can submit a webOS app. Why work with Palm, Mitic asks? Her answer includes more coded Apple digs: The company promises a &#8220;fast and easy development&#8221; cycle and &#8220;freedom and choice&#8221; in how developers take apps to market. There are now 1,000 apps and Palm expects much faster growth.</li>
<li>Palm promises a &#8220;new approach to app distribution,&#8221; i.e., you won&#8217;t have to get Palm apps exclusively through Palm&#8217;s equivalent of iTunes. You can get them anywhere on the Web or via mobile. Mitic shows off <a href="http://www.Projectappetite.com">Projectappetite.com</a> as an example.</li>
<li>Coming this spring: A &#8220;Hot Apps&#8221; bonus program&#8211;$1,000 to developers with the best distribution (both free and paid), measured by downloads.</li>
<li>Also coming: A new &#8220;Plug-in development kit&#8221; for webOS.</li>
<li>We&#8217;re shown some new games from the likes of Gameloft and Electronic Arts (ERTS), including Need for Speed and Sims, etc. These are available today in the U.S.</li>
<li>Here&#8217;s Travis Boatman, VP of EA Mobile&#8217;s Worldwide Studios. Palm came to us a few months ago, he notes, before offering praise for Palm (duh): &#8220;Within a few weeks, we realized how great this SDK is&#8230;.It&#8217;s really easy to use,&#8221; etc.</li>
<li>Some demos: Sims3, Need for Speed Undercover (which does indeed look &#8220;gorgeous,&#8221; as Boatman says).</li>
<li>More from Katie Mitic, who introduces Paul Cousineau, product marketing director, who is going to demo something involving Pre&#8217;s camera.</li>
<li>New feature: Video recording. Cousineau demos an editing feature with footage he just took onstage. It can be shared to Google&#8217;s (GOOG) YouTube, Facebook, etc., and will be available to all customers in February via software update. &#8220;No new hardware required.&#8221;</li>
<li>Cousineau demonstrates integration of various webOS features, moving data/elements from one app to another&#8211;sharing a YouTube clip that was just shot, for example.</li>
<li>Back to Mitic: More on over-the-air software updates. There have been nine updates since June, she says, covering battery performance, email, search, etc., adding that Palm is &#8220;bringing the pace of Web development to the mobile environment.&#8221; The February update will have a battery performance boost, too.</li>
<li>Back to Rubinstein, who focuses on two new products. He pulls the first, &#8220;Pre Plus,&#8221; from his pocket, describing it as a &#8220;more elegant, easy-to-use experience.&#8221; Button goes away, memory increases. It comes with 16 gigabytes of flash. The second new product,&#8221;Pixi Plus,&#8221; comes with built-in Wi-Fi. More color choices for back cover.</li>
<li>Carrier announcements: Both new phones are available exclusively on Verizon Wireless.</li>
<li>There&#8217;s a new 3G &#8220;mobile hotspot&#8221; app for both new phones that allows users to tether with the &#8220;appropriate data plan.&#8221; They can connect up to five devices.</li>
<li>Next: A taped message from Verizon Wireless CMO John Stratton, who is snowed in at O&#8217;Hare International Airport in Chicago, apparently. Phones will be avail starting Jan. 25, he says.</li>
<li>How much will the new Palm phones cost? We won&#8217;t tell you! Ho ho ho.</li>
<li>Rubinstein recaps, promising to allow CES visitors to actually hold the new phones this time. (Last year Palm had a &#8220;look but don&#8217;t touch&#8221; policy when it showed off the Pre).</li>
</ul>
<p>There&#8217;s no mention of AT&amp;T, even <a href="http://ces.cnet.com/8301-31045_1-10426771-269.html">though the carrier has been talking about Palm options in public</a>. Interesting. Maybe there&#8217;s a &#8220;one carrier per press event&#8221; rule.</p>
<p>UPDATE (sort of): After the event, I asked Rubinstein about the phantom announcement from AT&amp;T. Here&#8217;s the entire exchange.</p>
<p>Rubinstein: &#8220;We don&#8217;t have anything to announce.&#8221;</p>
<p>Me: &#8220;Really? Because AT&amp;T executives are saying they&#8217;ll have two phones running the webOS later this year.&#8221;</p>

<p>GE, which owns 80 percent of NBC Universal, reached an agreement after its chief executive, Jeffrey Immelt, held face-to-face negotiations in Paris with Vivendi Chief Executive Jean-Bernard Lévy last week, the people said.</p>
<p>Spokeswomen from GE (GE) and Vivendi declined to comment.</p>
<p>If finalized, the Vivendi-GE agreement will clear the final major obstacle to a deal GE worked out weeks ago to give U.S. cable company Comcast (CMCSA) control over NBC Universal. The Comcast transaction would create one of the world&#8217;s largest media companies, but it always hinged on Vivendi selling its 20 percent stake to GE.</p>

When Vivendi says they can.</p>
<p>The former French water utility has the ability to hold up the deal due to its 20 percent stake in NBCU and a put option that gives it the right to sell the stake back to back to GE (GE), hang on to it or take the thing public.</p>
<p>There&#8217;s no reason for Vivendi to do anything but the first option, but the company is not going to come out and say so, which means that negotiations for GE to buy the stake aren&#8217;t going as fast as it or Comcast (CMCSA) would like. Vivendi itself <a href="http://mediamemo.allthingsd.com/20090112/ge-ready-for-a-french-haircut-vivendi-to-write-down-nbc/">wrote down the value of the stake by a few billion</a> earlier this year, but that was then, and this is now. <a href="http://www.nypost.com/p/news/business/vivendi_sets_high_bar_on_nbcu_PCQlWHyJIsxhLuYoqt83yH">New York Post</a>:</p>
<blockquote class="memo"><p>The deal, which many assumed would be announced today, is being held up because Vivendi is playing hardball in its negotiations with GE, said several sources close to the deal.</p>
<p>&#8220;They&#8217;re trying to squeeze every nickel they can out of GE,&#8221; said one of these sources. &#8220;Why wouldn&#8217;t they?&#8221;</p></blockquote>
<p>But again, there&#8217;s no reason for this deal not to get done, and Vivendi itself made a strong case for it on Friday by <a href="http://dealbook.blogs.nytimes.com/2009/11/16/is-vivendis-gtv-deal-a-signal-on-nbc-stake/">announcing plans to spend some $4 billion on Brazilian telecom GVT</a>. The proceeds of a $6 billion sale sure could come in handy for that, no?</p>
<p>While we&#8217;re at it: I wouldn&#8217;t read all that much into <a href="http://www.reuters.com/article/technology-media-telco-SP/idUSN1051243320091110">reports</a> that Comcast plans to appoint current NBCU head Jeff Zucker to run the new business. Perhaps they really do. But even if Comcast didn&#8217;t, it would have no choice but to say it does. Remember that any deal will take a very long time to clear regulatory review and that someone has to keep running NBCU in the meantime. This stuff will get more meaningful when we&#8217;re closer to showtime.</p>

<blockquote class="memo"><p>Guns N&#8217; Roses and Universal Music Group&#8217;s Interscope-Geffen A&amp;M label were sued by British label Independiente and the U.S. arm of Domino Recording Company, who own the licensing rights to songs by German electronic musician Ulrich Schnauss.</p>
<p>Singer Axl Rose and Guns N&#8217; Roses band members and album producers copied portions of two of Schnauss songs&#8211;&#8221;Wherever You Are&#8221; and &#8220;A Strangely Isolated Place&#8221;&#8211;for a song used on the band&#8217;s last album called &#8220;Riad N&#8217; the Bedouins,&#8221; according to the lawsuit.</p>
<p>The lawsuit, filed on Friday but made available on Monday, seeks $1 million in damages. A spokesperson for Interscope-Geffen A&amp;M, owned by Vivendi&#8217;s Universal Music Group, was not available for comment.</p></blockquote>
<p>You might have thought the labels suing the band and Universal Music would have done so last fall, when there was a <a href="http://mediamemo.allthingsd.com/20081121/omg-new-gnr-on-myspace-ohnevermind/">biggish to-do about the album</a> and when the band and Universal Music were <a href="http://mediamemo.allthingsd.com/20081216/blogger-to-guns-n-roses-sorry-i-shared-your-album-best-buy-to-guns-n-roses-sorry-we-bought-your-album-axl-rose-to-internet-look-at-me/">siccing the federal government on bloggers</a> who posted links to unauthorized MP3s from the album.</p>
<p>Anyway, it&#8217;s another good opportunity to remind the young people of today why the young people of 20 years ago were really into Guns N&#8217; Roses: They used to be great! </p>

			<content:encoded><![CDATA[<p>So, the latest theory seems to be that Comcast (CMCSA) is in talks to buy 20-50 percent of NBC Universal, the TV/movie studio/cable/theme park company owned 80 percent by General Electric (GE) and 20 percent by Vivendi.</p>
<p>As I noted in a post last night, the Web site TheWrap.com yesterday asserted that Comcast had inked a deal to buy NBC Universal for $35 billion; Comcast said that was wrong, but didn’t deny being in talks.</p>
<p>This morning, the AP is reporting that two people familiar with the negotiations confirm talks for Comcast to acquire up to half of NBCU, including Vivendi’s stake.</p>

Comcast, in a statement, <a href="http://mediamemo.allthingsd.com/20090930/report-comcast-buying-nbc-for-35-billion/">says that&#8217;s not true</a>.</p>
<p>Could Comcast (CMCSA) be talking to NBC Universal about&#8230;something? Could be&#8211;that&#8217;s what the <a href="http://latimesblogs.latimes.com/entertainmentnewsbuzz/2009/09/comcast-wants-nbc-universal-.html">Los Angeles Times</a> and other outlets reported last night.</p>
<p>And Comcast&#8217;s statement says there&#8217;s no &#8220;deal,&#8221; which doesn&#8217;t preclude &#8220;talks about deals.&#8221; Then again, it&#8217;s awfully unusual for a company in Comcast&#8217;s position to say anything at all.</p>
<p>Clear as mud? Then this won&#8217;t help. Check out these comments from Comcast COO Steve Burke at a Sept. 9 conference hosted by Bank of America (BAC) where analyst Jessica Reif-Cohen asked him about his appetite for acquisitions.</p>
<p>Burke said he&#8217;d love get more cable channels (like the kind NBCU owns). <em>And</em> he said he didn&#8217;t want a really big deal that would require the company to use its shares or take on a lot of debt (like, say, a $35 billion deal for NBCU). He said all this, by the way, in the span of a single answer.</p>
<p>I&#8217;ll carve it up and translate for you:</p>
<p><strong>We&#8217;ve had plenty of debt, and we don&#8217;t want any more right now, thank you very much.</strong></p>
<blockquote class="memo"><p>Well, if you look at cable companies over the last 10 or 20 years&#8211;I joined the Company 11 years ago. It is really amazing how deleveraged our Company and other cable companies have gotten&#8230;.We like where we are from a leverage point of view and<strong> I think [we] would be uncomfortable if our leverage was significantly higher</strong>.</p></blockquote>
<p><strong>But boy oh boy, are cable channels attractive!</strong></p>
<blockquote class="memo"><p>At our core, we believe that content and distribution work well together&#8230;.I think there are a lot of case studies where content and distribution, particularly in a world where the distribution has technology that can deliver content in new and innovative ways, you really can create a lot of value by putting content and distribution together, particularly if that content is cable content.</p>
<p>And again, when you look at the big media companies, the best businesses that all of us have in the entertainment business I think are the cable content channels and those channels with that dual revenue stream are really good businesses. And I think <strong>we wouldn&#8217;t be doing our job if we didn&#8217;t try to figure out a way to get bigger in those businesses. </strong>Those businesses are growing more rapidly than our cable business and if the opportunity came about where we could add cable content to our portfolio, I think we would do it.</p></blockquote>
<p><strong>But really, we&#8217;re not in the market for a mega-deal.</strong></p>
<blockquote class="memo"><p>Just to sort of get it right out there, I don&#8217;t think that means doing a big deal with our stock. I think all of us think our stock is significantly undervalued. So I don&#8217;t think that means doing a big deal with our stock. <strong>I also don&#8217;t think that means doing a big $50 billion acquisition.</strong> I think it is more trying to find opportunities that are complementary with our core business, that don&#8217;t take our balance sheet and push it back into a position, which we have worked so hard to get it down.</p></blockquote>
<p><strong>Never say never!</strong></p>
<blockquote class="memo"><p>We are going to try to make sure that we are disciplined and we have high IRRs and good free cash flow generation and <strong>we will see if anything comes available. If it does, we will certainly look at it</strong>.</p></blockquote>
<p>Got it? Me either. The only way I can reconcile Burke&#8217;s comments with the notion that Comcast is interested in an NBCU deal would be if Comcast was talking about buying Vivendi&#8217;s 20 percent stake in the NBCU.</p>
<p>Comcast could swing that one without breaking the bank&#8211;the conventional wisdom is that it would cost something in the $5 billion range. And it would technically increase Comcast&#8217;s cable network holdings, as Burke says he wants to do. But not really: Comcast would be a minority shareholder with no clear path to control. And it wouldn&#8217;t get the &#8220;distribution plus content&#8221; benefit Burke was talking about last month.</p>

Or at least, here&#8217;s the report: <a href="http://www.thewrap.com/article/exclusive-comcast-buy-nbc-universal-general-electric-8002">Sharon Waxman of TheWrap</a> says cable giant Comcast is buying all of NBC Universal from GE for $35 billion.</p>
<p>The deal was hammered out by reps at a Tuesday meeting, Waxman reports, citing &#8220;two individuals informed about the meeting.&#8221; The $35 billion price tag happens to be the value that a recent JP Morgan report assigned to the company.</p>
<p>Comcast (CMCSA), in a statement, says the story is untrue: &#8220;While we do not normally comment on M&amp;A rumors, the report that Comcast has a deal to purchase NBC Universal is inaccurate.&#8221; NBC Universal has no comment.</p>
<p>Clintonian parsers will note that Comcast&#8217;s denial has potential wiggle room: It isn&#8217;t denying, for instance, that the two companies had or are having talks. On the other hand, this is exactly the situation where corporate PR protocol calls for the &#8220;we don&#8217;t comment on market rumor and speculation&#8221; line. That way, you have the option of updating your statement if the story does turn out to be true. And for what it&#8217;s worth, I can&#8217;t recall the last time I saw a big, publicly traded company respond to an M&amp;A story with this specificity.</p>
<p>UPDATE: The <a href="http://latimesblogs.latimes.com/entertainmentnewsbuzz/2009/09/comcast-wants-nbc-universal-.html">Los Angeles Times&#8217;s Joe Flint</a> now says that Comcast is &#8220;kicking the tires&#8221; at NBCU, according to &#8221;people familiar with the situation.&#8221; His report is much more hedged than Waxman&#8217;s.</p>
<p>All that said, this is a tie-up that has a first-blush logic to it: Comcast is flush with cash and could presumably take on more debt if it wanted to, and the company has shown an interest in branching out into content before. In 2004, it made a run at Disney (DIS). And the drumbeat for GE (GE) to dump its 80 percent stake in NBCU has been more or less constant, even while the industrial conglomerate insisted it had no interest in selling.</p>
<p>Those drumbeats get louder every year around this time, by the way. That&#8217;s because Vivendi, which owns the remaining 20 percent stake in NBCU, has a put option that kicks in every November and that could <a href="http://mediamemo.allthingsd.com/20090917/back-for-yet-another-season-the-what-will-ge-do-with-nbc-show/">theoretically force GE into buying out the stake</a> or spinning the whole thing out to the public.</p>
<p>More theoretical ammunition for a deal: Comcast is one of the few potential buyers that could swallow up all of NBCU. While there might be lots of people interested in NBCU&#8217;s cable properties (USA, Bravo, SciFi, etc.), there aren&#8217;t many who also want the company&#8217;s flailing broadcast property.</p>
<p>And while Universal&#8217;s film library is potentially attractive to some buyers, many of them&#8211;like Time Warner (TWX), for instance&#8211;have no interest in the film studio because they already have one.</p>
<p>If you want to play out the theoretical implications for digital, things could get very interesting. NBC is one of the founding partners at Hulu, the free Web TV portal that&#8217;s caused consternation for Comcast and other cable providers, which worry that the site is undermining the value of the TV programming they spend big money on. And Comcast and Time Warner have been trying out a &#8220;TV Everywhere&#8221; strategy that is, in part, a reaction to Hulu&#8217;s initial success. But let&#8217;s let the dust settle for a minute before we head in that direction.</p>

Here&#8217;s the guy who&#8217;s supposed to attract advertisers: <a href="http://www.linkedin.com/in/kohlconsulting">David Kohl</a>, a former Nokia (NOK) executive, who starts work today as the site&#8217;s sales boss.</p>
<p>Kohl&#8217;s job is a key one at the venture, whose premise is that the music industry can do a better job of selling its video inventory than sites like Google&#8217;s (GOOG) YouTube. Vevo is a joint venture owned (for now) by <a href="http://mediamemo.allthingsd.com/20090604/sony-joins-vevo-universals-hulu-for-music-videos/">Sony</a> (SNE) and Vivendi&#8217;s Universal Music Group; YouTube will help power the site and share in some of its revenue.</p>
<p>In theory, there could be a lot of dollars to go around. When Vevo opens its doors later this year, it is expected to generate some 450 million video streams a month. In theory, the fact that a single company controls the way the videos are displayed and distributed will make those streams more attractive to advertisers.</p>
<p><a href="http://mediamemo.allthingsd.com/files/2009/04/vevo-logo.png"><img class="size-medium wp-image-6164 alignleft" title="vevo-logo" src="http://mediamemo.allthingsd.com/files/2009/04/vevo-logo-250x77.png" alt="vevo-logo" width="250" height="77" /></a>But there are plenty of skeptics who think the site will flounder, in large part because the music industry has never figured out how to run a successful consumer business and because media companies have a terrible track record when it comes to joint ventures. In Vevo&#8217;s favor: They said the same thing about Hulu, and that venture has been a success, at least operationally.</p>
<p>Kohl will run a six-person sales team he intends to expand, people familiar with Vevo&#8217;s strategy tell me. Until now, Vevo head <a href="http://mediamemo.allthingsd.com/20090508/vevo-aka-youtube-music-gets-a-ceo-universal-digital-boss-rio-caraeff/">Rio Caraeff</a> has been overseeing sales himself&#8211;and learning on the job, since he didn&#8217;t have any sales experience of his own. Vevo now employs about 45 people.</p>
<p>At Nokia, Kohl ran the company&#8217;s interactive ad group; he has also put in time at Viacom&#8217;s (VIA) MTV Networks, Vivendi Universal and Comedy Central.</p>

<p>Even when the M&amp;A market was shut down, Wall Street couldn&#8217;t stop speculating about <a href="http://mediamemo.allthingsd.com/20090112/ge-ready-for-a-french-haircut-vivendi-to-write-down-nbc/?mod=ATD_search">GE&#8217;s intentions for its NBC Universal unit</a>. And now that it&#8217;s <a href="http://mediamemo.allthingsd.com/20090916/former-time-warner-boss-dick-parsons-gets-back-in-the-media-business/">deal-making time</a> again, the chatter is getting very noisy.</p>
<p>Hence the <a href="http://news.google.com/news/story?q=vivendi+nbc&amp;oe=utf-8&amp;rls=org.mozilla:en-US:official&amp;client=firefox-a&amp;um=1&amp;ie=UTF-8&amp;ncl=dq2AG3oolz0ro0M&amp;hl=en&amp;ei=2w2ySqoqz7KUB4L98O4O&amp;sa=X&amp;oi=news_result&amp;ct=more-results&amp;resnum=1">flurry of coverage</a> over yesterday&#8217;s remarks by Vivendi CEO Jean-Bernard Levy, in which he said&#8230;not very much.</p>
<p>But even Levy&#8217;s noncomments are important, since his company may have a good deal to say about the fate of NBCU. That&#8217;s because Vivendi owns a 20 percent stake in the company, and it looks increasingly likely to sell this year. And that could trigger a whole series of moves. <a href="http://online.wsj.com/article/SB125313973290917555.html">The Wall Street Journal</a>:</p>
<blockquote class="memo"><p>Vivendi, the Paris-based entertainment conglomerate, has an annual option to unload its NBCU stake which it is allowed to exercise beginning each November. The option was part of a deal made in 2003 when Vivendi sold its theme parks and television assets in the U.S. to GE for cash and stock.</p>
<p>If Vivendi exercises the option this year, Mr. Levy said, it will plan to offer the shares in the public stock market unless GE exercises its right to buy the stake.</p>
<p>If Vivendi says it will exercise the option this year, GE would have nine months to pony up an estimated $4 billion to $5 billion if it chooses to buy Vivendi&#8217;s stake at a time when it already is struggling to shore up its financial position. Otherwise, Vivendi&#8217;s minority stake in NBCU could be put in play, raising a host of potential complications for GE&#8217;s ownership of the media company.</p></blockquote>
<p>Yet another option: GE (GE) and Vivendi work together to sell off all of NBC via a direct sale&#8211;Comcast (CMCSA) and Time Warner (TWX) are the names you always hear as obvious strategic buyers, though I&#8217;m not sure that&#8217;s the case&#8211;or even via an IPO.</p>

<p>A good bet: <a href="http://www.veoh.com/">Veoh</a>, one of the best-funded would-be YouTubes. Multiple sources tell me the company is aggressively marketing itself in hopes of finding a buyer.</p>
<p>And if a deal does go through, it will result in a loss for the company&#8217;s high-profile backers, who include former Disney (DIS) CEO Michael Eisner and Goldman Sachs (GS). I&#8217;m told that CEO Dmitry Shapiro has been shopping the company at prices below $70 million, which is the amount investors have sunk into the portal since 2005.</p>
<p>What happened to Veoh? The same thing that happened to almost every other Web video portal that isn&#8217;t Google&#8217;s (GOOG) YouTube or Hulu: Not enough audience, not enough ad revenue, too many costs.</p>
<p>Veoh claims an audience of about 25 million users, which is less than auditors like comScore (SCOR) report, and is, in any case, an order of magnitude smaller than YouTube&#8217;s. Sources tell me the company lost money on revenue of about $6 million last year. Sales are up and executives are optimistic it could break even this year, but the trajectory isn&#8217;t high enough to keep Veoh afloat as an independent company.</p>
<p>Complicating matters for Veoh is a costly court battle with Vivendi&#8217;s Universal Music Group, which accuses the company of copyright violations. That two-year-old fight has cost the start-up millions in legal fees.</p>
<p>The fact that Veoh&#8217;s backers include media-savvy players like Time Warner (TWX); former Viacom executives Tom Freston and Jonathan Dolgen; and Spark Capital, one of the primary investors in Twitter, hasn&#8217;t been enough to help the company extricate itself from the suit.</p>
<p>In April, Veoh laid off a good chunk of its staff, replaced CEO Steve Mitgang with Shapiro, the company&#8217;s founder, and focused its energy on a new &#8220;Video Compass&#8221; player that users are supposed to download and install in their Web browsers.</p>
<p>At the time, Shapiro said that the company&#8217;s Web portal business was a success but acknowledged that <a href="http://mediamemo.allthingsd.com/20090401/video-site-veoh-cuts-staff-boots-ceo-bets-on-browser-plug-in/">&#8220;quite frankly, there are a lot of things like that.&#8221;</a></p>
<p>So who would buy Veoh? Theoretically, at the right price, the company could be attractive to a large Web player like a Yahoo (YHOO), which used to be a big player in video back when video was a small market. Or the company could try marketing its technical expertise to a cable/telco company like Time Warner Cable (TWC) that hasn&#8217;t done much with online video but says it will soon.</p>
<p>But rival Web portal Joost tried making the same pitch to various buyers over the last few months and couldn&#8217;t get a deal done. Last week Joost laid off most of its staff and said it would try to go it alone as a services company.</p>
<p>This kind of flux is now par for the course among the big Web portals that thought they could rival YouTube, or at least secure second place. But Google&#8217;s lead over everyone else in video gets bigger every day, and its primary competitor is now Hulu, which has the advantage of premium content from its Hollywood owners&#8211;Disney, GE&#8217;s (GE) NBC Universal, and News Corp.&#8217;s (NWS) Fox.</p>
<p>In addition to Veoh and Joost, <a href="http://paidcontent.org/article/419-industry-moves-dailymotion-taps-cedric-tournay-as-new-ceo/">France&#8217;s DailyMotion has swapped out CEOs in recent months</a> and is reportedly looking to raise money. Meanwhile, Metacafe, yet another video hub, has hired boutique investment bank Think Equity to look for &#8220;strategic investors to provide expansion capital.&#8221;</p>
<p>Metacafe CEO Erick Hachenburg says his company doesn&#8217;t need the money and can survive on its own if it doesn&#8217;t go ahead with a deal. &#8220;You would expect in this marketplace that you&#8217;re going to have a shakeout, and the stronger players are going to make it,&#8221; he says.</p>
<p>That sounds right. The question is whether we&#8217;ll have more than two players left when this is all over.</p>
